1 SHOW RULES AND REGULATIONS Thank you for reviewing the Rules & Regulations for exhibitors displaying at CONEXPO Latin America, to be held in Santiago de Chile, at the Espacio Riesco Events and Conventions Center from October 2 nd until 5 th 2019. Exhibitors are required to complete an application, execute the space contract and subscribe to all the rules and regulations of the exhibition. Failure to comply with the rules and regulations of the exhibition may result in the cancellation of the right to exhibit. 1.- EXHIBITION GENERAL INFORMATION 1.1. - PARTICIPATION IN THE EXHIBITION Any company can participate in the show if they manufactures equipment, components, parts and accessories, or provide services related to the construction and construction materials industries. The exhibitors have the following options of stand types: Indoor Raw Space (minimum 21 square meters) Basic Indoor Stand (minimum 9 square meters) Equipped Indoor Stand (minimum 9 square meters) Fully Equipped Indoor Stand (minimum 9 square meters) Outdoor Space (minimum 50 square meters) 1.2 ASSIGNMENT OF EXHIBIT SPACE The Priority Formula is used in the assignment of exhibit space. 1.2.1 Definition of Years of Membership: Show management chooses the company/division with the greatest number of years as an AEM member. An exhibitor must be a current member in good standing with AEM in order to have its years of membership used in calculating the membership number. 1.2.2 Definition of Past Participation Number: Show Management uses the total square meters purchased by an exhibitor for CONEXPO Latin America 2015. If a company acquired another company(s), the parent company can use the newly acquired company(s) space. (Consecutive Years of (Square Meters for CONEXPO AEM Membership x 10) + Latin America 2015 ÷ 10) = Priority Number *CONEXPO Latin America dealers will receive the same benefits as AEM members. Any dealer carrying (one of more) AEM member brands, will received the (years of membership) benefits, referent to that brand. SHOW RULES AND REGULATIONS Thank you for reviewing the Rules & Regulations for exhibitors displaying at CONEXPO Latin America, to be held in Santiago de Chile, at the Espacio Riesco Events and Conventions Center from October 2nd until 5th 2019. Exhibitors are required to complete an application, execute the space contract and subscribe to all the rules and regulations of the exhibition. Failure to comply with the rules and regulations of the exhibition may result in the cancellation of the right to exhibit.

1.- EXHIBITION GENERAL INFORMATION 1.1. - PARTICIPATION IN THE EXHIBITION Any company can participate in the show if they manufactures equipment, components, parts and accessories, or provide services related to the construction and construction materials industries. The exhibitors have the following options of stand types:

Indoor Raw Space (minimum 21 square meters)

Basic Indoor Stand (minimum 9 square meters)

Equipped Indoor Stand (minimum 9 square meters)

Fully Equipped Indoor Stand (minimum 9 square meters)

Outdoor Space (minimum 50 square meters) 1.2 ASSIGNMENT OF EXHIBIT SPACE The Priority Formula is used in the assignment of exhibit space. 1.2.1 Definition of Years of Membership: Show management chooses the company/division with the greatest

number of years as an AEM member. An exhibitor must be a current member in good standing with AEM in order

to have its years of membership used in calculating the membership number.

1.2.2 Definition of Past Participation Number: Show Management uses the total square meters purchased by an

exhibitor for CONEXPO Latin America 2015. If a company acquired another company(s), the parent company can

use the newly acquired company(s) space.

(Consecutive Years of (Square Meters for CONEXPO AEM Membership x 10) + Latin America 2015 ÷ 10) = Priority Number

*CONEXPO Latin America dealers will receive the same benefits as AEM members. Any dealer carrying (one of

more) AEM member brands, will received the (years of membership) benefits, referent to that brand. Situations

when a dealer carries more than one AEM member brand, the longest membership brand will be used for this

calculation.

1.3 SPACE REDUCTION POLICY

A. Any company decreasing its space before June 1, 2019 must pay at least the initial deposit (paid at reservation) of the original space, regardless of the new space cost. If the new space cost is less than the initial deposit (paid at reservation), the exhibitor will not be refunded the difference between the new space cost and the original initial deposit (paid at reservation).

B. Overpayments beyond the initial deposit (paid at reservation) will be refunded if the reduction occurs before June 1, 2019.

C. Any company reducing its space on or after June 1, 2019 will not receive a refund.

1.4 CANCELLATION POLICY

A. Any notice of cancellation of exhibit space by an exhibitor must be made in writing to Exposition Management. This cancellation policy does not depend upon whether the exhibit space is re-sold or re-assigned. At no time will the initial deposit (paid at reservation) be refunded to an exhibitor cancelling its space.

B. Any company paid in full canceling its exhibit space before June 1, 2019 automatically lose the initial deposit (paid at reservation). The remaining balance paid to CONEXPO Latin America will be refunded.

C. Any company cancelling its exhibit space on or after June 1, 2019 will not receive any refund due to the late date in which Exposition Management was informed of the cancellation.

1.5 FAILURE TO HOLD THE EXPOSITION Fair management reserves the right to cancel the Fair in exceptional circumstances or in the event if greater force, change fairground location or Fair dates and hours, selection of the public, content of seminars, and type of services, or other features of the Fair as it sees fit. In such event, Exhibitor is not entitled to cancel any lease or to demand compensation for possible damages. 1.6. - Exhibition Schedules: Wednesday October 2 10:00 to 18:00 hrs. Thursday October 3 10:00 to 18:00 hrs. Friday October 4 10:00 to 18:00 hrs. Saturday October 5 10:00 to 14:00 hrs. 1.7. - ENTRY PRICE General Entry 15 USD 1.8. - EXHIBITOR SERVICE COUNTER Exhibitor Center office will be available inside the exhibition hall from September 26th, at the following schedule hours: Assembly 09:00 to 19:00 hours Fair 09:00 to 19:00 hours The following services are coordinated in this office: Badges - Additional power - Internet connection - Furniture rental - Audiovisual equipment rental Computers rental - Hostess - Photocopying - Official Shipper and till for payment of services 1.9. - INAUGURATION CEREMONY. The inauguration ceremony will take place on October 2nd at 12:00 hrs. (Schedule subject to modifications) in Institutional Hall (Av. El Salto N°5000, Huechuraba, Santiago) 1.10. - CONFERENCES AND TECHNICAL TALKS Technical Lectures will take place in rooms especially equipped for these activities. For further information, visit the official website of the exhibition. 1.11. - RECEPTIONS & CATERING

The exhibitor may offer food tasting at the stand provided that it is not prepared or handled in the area considering that this infringing the Legal Rules defined in the Food Hygiene Regulations established by the Ministry of Health

and overseen by SESMA (Metropolitan Environmental Health Service) via the corresponding Regional Ministerial Health Secretary (Seremi). Further information, www.asrm.cl Receptions on the exhibition site must be previously coordinated with the official supplier and will be held in the places designated for this purpose. According to the contract between the organizer and the exhibition site, the only official food supplier is Espacio Riesco therefore, exhibitors must specify their requirements through this company. The exhibition site management does NOT allow the entrance of external suppliers. 1.12. -SOUND AND LIGHTING EQUIPMENT If the exhibitor decides to install sound equipment, it cannot exceed 60 decibels measured from the edge of the stand. In all cases sound boxes must be installed within the boundary of the stand pointing inside it. In no case may they be more than 1,50m high. The lighting must be oriented only towards the interior of the respective stands, and it is forbidden for the lights to directly illuminate the public areas and adjoining spaces. It is suggested the use of low energy consumption and energy saving devices, lamps and bulbs. Considering that this type of lighting requires a lower installed energy power depending on the light intensity projected and developed for each project, which will reduce additional costs in the implementation. 1.13. -STOREROOM FOR EXHIBITORS A storeroom shall be available for exhibitors; however, due to space constraints its main use is for pamphlets or smaller objects. It will be available in the following schedule:

From September 28 until October 1 9:00 - 21:00 hrs.

2. - BOOTH OPTIONS AND HEIGHTS REGULATIONS OF THE EXHIBITION 2.1. -INDOOR BASIC BOOTH Indoor Basic Booths consist of a structure 2.50 meters high, which contains panels of white melamine, the panels serve as a dividing element between the stands, and the interior height of the stand is 2.40 m under the lighting grill. On the front has a border with the name of the exhibitor (as specified in the form required in the Guide for the exhibitor available in January 2019) in a standard typeface indicated by the fair (it is not allowed to put other forms of typography, logos corporate or slogans). Inside, it has a gray carpet cover, which covers the entire surface of the stand. Each basic stand will receive 100 Watts of electrical supply per rented square meter, distributed in 3 spotlights of 100 Watts each.. The available power difference is supplied in one power point (socket). Regulation for indoor basic booth Exhibitors must follow the following guidelines:

a) Panels adjoining to another stand may not be painted or drilled. Any graphic element may only be attached to these with Velcro tape or double sided tape.

b) Items may not be hung from, pressed to or otherwise affixed to fascia or grid. All components must be self-supporting.

c) If graphic, visual, or other items need to be installed and are too large or too heavy to be fixed with Velcro tape, the exhibitor shall install or construct their own self-supporting panels.

d) The electric system may not be altered by the exhibitor or contracted company. e) If any item is more than2.40 meters tall,the Exhibitor should request removal of the lighting grid and/or

fascia at least 15 days before the Fair opens. f) Exhibitors may not dismantle or move any part of the stand (hard walls, fascia, lighting, sockets). Exhibitors

wishing to dismantle or move a portion of the stand need to request this service from FISA S.A. g) Exhibitors are responsible for hiring and paying for booth cleaning.

Important: Any partial or total damage caused to the panels or the pavilion will be borne by the

Exhibitor in the costs informed by FISA S.A.

2.3. –North America Pavilion For companies with headquarters in the US, Canada, and / or Mexico. It gives right to the use of interpreters and office for private meetings. This area will also have AEM personnel located within it, who can provide customer service. The booths of the North America Pavilion have the same configuration of the Indoor Equipped Booths, consist of a structure 2.50 meters high, containing panels of white melamine, the panels serve as a dividing element between the stand, the interior height of the stand is 2.40 m below the lighting grid. On the front has a

Inside, it has a gray carpet cover, which covers the whole surface of the stand, a round black table with two chairs, a wastebasket, three shelves, a white cabinet with divisions, a storage room of 1m x 1m. Each stand will receive 100 Watts of electricity supply per rented square meter, distributed in 3 spotlights of 100 Watts each. The available power difference is supplied in one power point (socket). 2.4.1. -Regulations for the use of indoor fully equipped booth Exhibitors must meet the following guidelines:

a) Panels adjoining to another stand may not be painted or drilled. Any graphic element may only be attached to these with Velcro tape or double sided tape.

b) Items may not be hung from, pressed to or otherwise affixed to fascia or grid. All components must be self-supporting.

c) If graphic, visual, or other items need to be installed and are too large or too heavy to be fixed with Velcro tape, the exhibitor shall install or construct their own self-supporting panels.

2.5.- INDOOR RAW SPACE Exhibitors can choose to rent raw space and does not include panels, signs, lighting grids or electrical sockets. Show Management will provide exhibitors with carpeting and an electrical panel with 100 W per square meter at a single drop point in the stand. All stand construction and decorations are at the expense of the exhibitor. Any exhibitor leasing raw space will be considered a special project by the organizer. 2.5.1.- Regulations for the use of empty space

a) Exhibitors will be able to request the production and assembly of their stand from a company approved for that purpose by the administration of the fair.

b) The Exhibitor's Guide contains a list of companies approved by FISA S.A. for the implementation of special projects.

c) If the exhibitors opt to employ firm not included in the list, the selected contractor shall comply with all the internal regulations of FISA S.A. in effect for contractors working in the fairgrounds.

d) The exhibitor or the exhibitor's designers must visit the site before executing the stand project. e) The organization is not responsible for elements that already exist in the area that could affect or

condition the design of the exhibition space (structural pillars, uneven floors, firefighting cabinets, recording chambers, drainage grids, etc)

f) The feasibility of access for prefabricated decoration elements or exhibited machinery not considered in the exhibitor's project must be verified.

g) Exhibitors are responsible for hiring and paying for booth cleaning.

2.6. -OUTDOOR RAW SPACES Show Management will provide the exhibitors with an electrical panel with 50 W per rented square meter, which will be located in a single point of the stand. The internal power distribution is the responsibility of the exhibitor or their stand builder. All stand construction and decorations are at the expense of the exhibitor. Any exhibitor leasing raw space will be considered a special project by the organizer. 2.6.1.- Regulations for the use of outdoor empty space

a) Exhibitors will be able to request the production and assembly of their stand from a company approved for that purpose by the administration of the fair.

b) The Exhibitor's Guide contains a list of companies approved by FISA S.A. for the implementation of special projects.

c) If the exhibitors opt to employ a firm not included in the list, the selected contractor shall comply with all the internal regulations of FISA S.A. in effect for contractors working in the fairgrounds.

2.7. -HEIGHTS AND DISTANCES These heights apply to any type of display elements. The equipment is exempt from height limits and it is not necessary to obtain an authorization from the modulation department. 2.7.1. –Indoor Height limits The maximum height for exhibitor constructed stands is 5 meters (provided the ceiling height of the exhibit hall allows it). The maximum height of the exhibit stands that adjoin with another exhibitor is 2.5 meters, unless the exhibit materials/product are placed ½ meter from the adjoining stand. 2.7.2. -Outdoor height limits The maximum height of stands for exhibitor constructed stands in the outdoor exhibition areas is 6 meters. Buildings or multidirectional scaffolding can have a height of up to 10 meters. The maximum height of the exhibition stands that adjoins another exhibitor is 6 meters. Those stands which adjoin other stands will not be allowed to install display materials in the back perimeter of the stand higher than 6 meters, unless the display materials are separated from the neighboring exhibit by at least 1 meter. 2.7.3. -Exhibition stands that exceed the height limits A letter of authorization from the neighboring exhibitors is required to exceed the maximum permitted heights. The exhibitor requesting the height variance must use a neutral finish (White or pearlescent gray) or the corporate color required by the affected exhibitor. It is strictly forbidden to place graphic elements facing neighboring stands. This authorization must be attached when submitting the project, via E-Form No 8.

3. -SUBMISSION OF EXHIBITOR FLOOR PLANS Exhibitors can opt to rent raw space and this does not include panels, fascia, signs, lighting grids or electrical outlets. All stand construction and decorations are at the expense of the exhibitor. Any exhibitor leasing raw space will be considered a special project by the organizer. If the exhibitor rents a fully equipped stand that has modifications to the basic stand or raw space, it will be assumed that the exhibitor will carry out the stand construction. The exhibitor may request that a company that is accredited by the show organizer produces and assembles their display. A list of companies approved by FISA S.A. for the undertaking of special projects can be found on the show website after April 1, 2019. If the exhibitor opts to employ a non-accredited company, the selected contractor must comply with all the internal regulations of FISA S.A. in effect for contractors working in the fairgrounds. In accordance with the provisions of Circular 28 of the Metropolitan Intendancy, the CONEXPO Latin America 2019 Organizer must present the event 20 business days before its completion, including the declaration of all temporary structures and facilities that will be part of this exhibition. That is why we ask our Exhibitors to present the documents for the approval of their project, before August 23rd (deadline). If you do not comply with what has been described, you must opt for a stand in a modular system that the organization will deliver in order to safeguard the standard of the Exhibition. Billing the exhibitor the cost that this involves. Below we detail the documents that you must send at the time of the presentation of your project: - Dimensioned plans and a 3D for better visualization. Respecting the rules of distance and maximum heights described in this document (Chapter 4.6). - Structures Certificate (Architect, Civil Constructor, or Engineer) Simple structures up to 2,50m. Without this document you cannot lift structures - Calculation Report (Architect, Civil Constructor, or Engineer) Complex structures. Without this document you cannot lift structures - Electrical map with the SEC entry certificate form TE1 (Installer Class A or B: Installation Type C2). Without this document you cannot lift structures - Send list with name, Rut/ID Number and mutual society to which the company or individuals are affiliated who attend to work at the fairgrounds. The documents should be sent via Online Form Nº 8, to be checked and approved, or alternatively attached to an e-mail sent to [email protected], before August 23rd. 3.1. – Elevated Structures If the exhibitors plan to have an exhibition of 2 floors or raised structures, the following documentation / information should be provided:

1. Structural plans of the two-story project that will have access to exhibitors and visitors. This project must be designed by an architect.

2. Structure calculation report, signed by a professional licensed architect or engineer.. 3. Qualification certificate of the professional/company in charge 4. Letter of Liability, signed by the representative of the exhibiting company, in case of accidents or damages

derived from an inadequate assembly of structures. 5. Technical specifications of all exhibit components. 6. Copy of the title and identity card of the licensed professionals involved in the design and construction of

the stand (Licenses must be valid and carry the text diagonally. "EXCLUSIVE USE FOR CONEXPO Latin America 2019").

7. Civil Liability insurance with a coverage of 2,000UF. 8. If the two-story structure exceeds the maximum height (2.5 meters) and will have visitors occupy it, should

include additional structural plans/calculations endorsed by the licensed professional.

The approval of the project will be received as long as the technical requirements set out in this document are fully complied with. Once the project has been reviewed / approved, a digital approval stamp will be issued for each of the documents sent and these will be sent to the same email address from where the project documents were received.

FISA S.A. reserves the right to interpret the floor plan submissions in reviewing / approving projects, and decisions must be accepted, without recourse to appeal.

Any difference between the approved drawings and the on-site project assembly will cause the suspension of the assembly. Failure to comply with the requirements will cause the closure of the stand.

Projects that fall within the fully equipped stand configurations, have no modifications to the structure, do not exceed the height limit and only have furniture and decorations, do not have to submit the project for approval.

4. -GENERAL RULES FOR STAND ASSEMBLY Exhibitors are responsible for the construction of the stand, assembly and general maintenance of their exhibit stand. Show Management may require that the exhibitor modify the stand if it is found objectionable. Any modifications required by the organizers will be at the expense of the exhibitor. Exhibitors and/or their stand builders should plan a visit to the venue before the development of the stand project is finalized. Show Management does not take responsibility for structural pillars, uneven flooring, etc., in an exhibitor’s stand. The stand builders should design the stand around these elements. Any construction work must be approved by the Technical Area of FISA S.A. before starting construction and reserves the right to accept or reject the project and the work under construction that do not comply with the technical requirements established by the administration of the exhibition. Exhibitors should require Letters of Guarantee from the stand builders constructing the exhibit stands to guarantee the fulfillment dates for the assembly and dismantling of the exhibit stand. In addition, exhibitors should require a valid civil liability policy for your stand builder.

4.1. –EXHIBIT DESIGN AND USE OF EXHIBIT SPACE No portion of a machine, product or display pieces may extend beyond the boundaries of the exhibitor’s assigned exhibit space. The only exception to this rule will be for tower cranes and fixed angle cranes with towers over 30 meters in height. Due to the nature of the booms, only these products will be allowed to extend beyond the assigned exhibition’s assigned exhibit space with the following guidelines:

1. Only at the point 30 meters high or higher can the boom begin to extend outside the exhibition area. 2. With a tower over 30 meters high, at least 50% of the boom must be within the confines of the assigned

exhibit space. 3. Exhibitors must submit a foot print of the machine extending beyond the exhibit area, including the boom

height, length and position to Show management no later than August 23rd 2019. 4. Exhibitors must include a detailed plan for handling the machine in the event of strong winds or other

environmental factors that require the boom to free swing or be brought down. 5. Exhibitors in exhibit areas affected by the boom will be notified by the Show Management of boom

extensions in their stand. 6. Show Management reserves the right to limit an exhibitor from placing crane booms outside of the exhibit

for safety reasons.

4.2. -SCHEDULES AND DELIVERY DATES 4.2.1. – Special Projects Area Delivery: September 26th, 2019 Working hours: from 9:00 to 21:00 hours Until October 1st from 9:00 to 18:00 hours

4.2.2. -Modular Booth and Equipped Stand Delivery: September 29th, 2019 Working Hours: from 09:00 to 21:00 hours

The construction of stands, decoration, furnishing and placement of items on display must be completed at 18:00 hours on October 1, 2019. The stand builders will not be allowed to stand on the stand to complete the construction work on the opening day of the exhibition.

Non-compliance with this requirement or the absence of the exhibitor from its stand will entitle the fair management to dispose of the stand as it may see fit, and the exhibitor shall forfeit all rights while remaining bound to make payment under the contract in effect.

4.3. -EXHIBITOR BADGES Exhibitor shall submit on the appropriate form a list of staff who will attend the stand in order to obtain personal ID badges for access to the premises while the Fair is in progress. Badges will be delivered to Exhibitor prior to the commencement of the Fair, provided the required information is submitted by the date specified on the appropriate form (form nº 4) Badges shall be issued for the exclusive use of stand personnel.

4.4. -ASSEMBLY / DISMANTLING BADGES Exhibitors must provide a list of personnel who will enter the fairgrounds during the assembly and disassembly periods. Credentials will be delivered to the exhibitor prior to the assembly period. Exhibitors will need to order badges through the online system (E-Form No. 4). No one may enter the premises without such ID. Deadline for form submission: August 9th 2019. Each exhibitor may receive complementary badges and parking passes, at no additional cost. However, if in need of a replacement, a fee will be applied for each badge and/or parking pass reprinted. More information is available in the Exhibitor Service Manual. 4.5. -PLATFORMS Projects that include platforms or surfaces above ground level should have access ramps with non-slip surfaces for disabled access, with an inclination that does not exceed 12% and with a maximum length of 2 meters and a minimum width of 1.2 meters directed towards the interior of the stand. 4.6. -HANGING OF POSTERS, LIGHTING, ETC. Exhibit materials attached to the exhibit stand, such as hanging lighting grids, promotional balloons, flags, hanging signs, etc., must be detailed on the exhibitor’s floor plan and submitted for approval by the Modulation Department of FISA S.A. In addition, technical documentation that details the assembly requirements should be presented along with a letter of liability in case of damages or accidents. 4.7. –TWO STORY EXHIBITS Any exhibits that include second floors must have handrails for stairs and elevated platforms. The steps of the stairs should be covered with a non-slip surface. 4.8. –REMOVAL OF TRASH It is the responsibility of each exhibiting company to remove the remaining material, debris and waste due to stand construction and booth assembly. The work area should always remain clean and clear. 4.9. -CARGO VEHICLES ACCESS It is important to note that the admission of heavy machinery and large equipment will be on September 26th. Arrangements must be made for the delivery of heavy machinery and large equipment with the FISA Operations Department. The exhibitors should send the specifications of the equipment (tracks, weight, dimensions, range of movement, wheels, etc.) that will be on display to the department email at [email protected]. In order to avoid delays in the installation of the exhibition stand, send the specifications before August 23, 2019. Access for cargo vehicles with equipment, merchandise and assembly materials should come in at the Santa Clara access point on Avenue El Salto 5000. All vehicles will be checked and should declare all elements that are being transported in the internal control guide. In addition, passengers will also be checked, and must have their assembly badge. 4.10. -NON- CARGO VEHICLES ACCESS From September 29th, the access for non –cargo vehicles is not allowed. The organization has provided a general parking space, located in the east area of the fairground.

4.11. -GENERAL WORK RULES FOR STAND ASSEMBLY (INDOOR EXHIBITS) 1. Construction work within the indoor exhibition area is prohibited (ie. cutting of metal plates, welding,

spray painting, etc.). All project parts and components should be prefabricated and may only be assembled, retouched and furnished in the place.

2. No wires or other fastenings are allowed on panels, display facilities, pavilion ceilings or stand ceiling grids. It is prohibited to perforate floors and walls. All exhibit display components must be self-supporting.

3. The perforation or anchoring of walls and floors within the pavilion is strictly forbidden. Every decorative element or exhibit must be self-supporting.

4. The installation of carpets, platforms or other elements over the carpeting supplied by the trade fair will require the authorization of the Operations Department.

5. Exhibit elements may not be hung from the structure of the pavilion (including its pillars). 6. All stands should have a small waste paper bin during the show.

4.12. -GENERAL RULES OF WORK FOR STAND ASSEMBLY (OUTDOOR EXHIBITS) The construction or assembly of canopies, tents and roofing designed to cover open area stands as well as towers, scaffolds or other types of exhibit materials constructed in the open air areas shall provide a basic engineering drawings executed by a licensed engineering firm. Drawings need to include all technical specifications related to the type of structure, materials, anchoring, supports and coverings. Technical drawings issued by an external company need to be endorsed and approved by the FISA S.A. technical team, via its Modulation Department. Tents, awnings, sunshades or any element which could fly away should be correctly fixed to the ground if they are used in uncovered areas. If the project requires anchoring into the asphalt in order to affix it to the ground, the exhibitor must repair the damage and submit in writing to the show organizer of the intention to make the repairs. It is mandatory for outdoor exhibitors to use appropriate guttering and rainfall drainpipes on one of the corners of the stand. These must be directed away from the stand and never towards the neighboring stands. In addition, all exhibit stands should have a small water paper bin during the show. 4.13. – EXHIBITOR LIABILITY With all the above, any damage caused to third parties will be the exclusive responsibility of the exhibitor who has contracted the work, and this will be set out in a letter signed by the exhibitor and which will be attached to the rental contract. FISA S.A., through its Commercial and Operations Management, reserves the right to accept or reject the project and the work carried out that do not fulfill the technical requirements. Projects will be supervised on the ground during their assembly; the requirements described in this document will be enforced, and correspondence between installations and the documents presented initially will be checked. If any elements are found which are not indicated on the plans sent in or should there be technical difficulties for the execution, defects in the materials, poor assembly of parts, etc., the work will be halted until the situation is resolved in accordance with what is indicated by the Modulation Department.

5.- GENERAL RULES FOR STAND DISASSEMBLY 5.1. – MERCHANDISE REMOVAL & STAND DISASSEMBLY For safety reasons, equipment and materials can ONLY be removed by hand on October 5 from 14:30 to 17:00. Stand dismantling, removal of equipment and materials will be allowed beginning on October 6 and 7 from 09:00 to 20:00 and on October 8 from 09:00 to 14:00. The withdrawal of equipment and machinery on display only in uncovered areas is from 17:00 October 5th until 00:00 on October 6th in continuous opening hours. The organizers of the fair request that exhibitors respect all schedules and deadlines for disassembly. All equipment, construction, signs and other items that have not been removed by the end of the dismantling period of the fair shall remain at the disposal of the Fair organizer. The Fair organizer may dispose of them as it sees fit with no obligation to reimburse the Exhibitor, and the Exhibitor shall forfeit all rights over these elements. In addition, the Fair organizer is entitled to charge the exhibitor for costs incurred in the event of demolition, removal, transportation, freight, etc. All equipment and exhibit materials displayed in the exhibit stand is exclusively the responsibility of the exhibitor, who should take all necessary safety precautions to prevent loss of these elements. 5.2. – MERCHANDISE REMOVAL DOCUMENTATION Exhibitors need to have an approved REGISTER OF ADMISSION AND REMOVAL OF GOODS FROM THE FAIRGROUND form and a copy of the bill of lading or invoice, and the customs documents for the temporary entry. For goods under temporary admission to the country, a permit from customs allowing the change of domicile must be submitted. For national and / or nationalized merchandise, only the internal income and exit control form is used. If you do not have this document, you can request / complete a new form that will be authorized by the pavilion manager. IT IS THE RESPONSIBILITY OF EACH EXHIBITOR, TO REMOVE THE REMAINING MATERIAL, DEBIRS AND THE WASTE DUE TO CONSTRUCTION AND STAND ASSEMBLY. THE WORK AREA SHOULD ALWAYS REMAIN CLEAN AND CLEAR.

6.- SAFETY, SECURITY AND INSURANCE Every reasonable precaution will be taken to protect the property during periods of installation, exposure and dismantling. However, neither the fair organizer nor the service contractors are responsible for the safety of the exhibitors' property from theft, damage by fire, accident, vandalism or other causes. The organizer of the fair recommends that the exhibitors make special arrangements with the official security contractor for the additional protection of their stands. Exhibitors who contract additional security require authorization from the FISA S.A. Office of Operations before the fair. SHOW MANAGEMENT IS NOT RESPONSIBLE FOR ANY LOSS OR THEFT DURING THE ASSEMBLY, SHOW AND DISASSEMBLY PERIOD.

6.1. - SUPERVISION ON THE SHOW GROUNDS FISA S.A. staff will supervise the work being done on the show grounds in the assembly and disassembly periods. In addition, FISA will ensure that exhibitors are compliant with all show rules and regulations. In the periods of assembly and disassembly, exhibitors must have copies of the approved plans and the documents that contain the digital seal of approval issued by FISA S.A. in the exhibit stand. 6.2. - INSURANCE REQUIREMENTS Exhibitors should obtain a certificate of insurance that covers transfers, assembly and the use of equipment and facilities during the exhibition (September 27th - October 7th, 2019). Companies that rent LCD screens, plasma screen, notebook or other equipment shall request providers for insurance policies to cover all electronic elements on lease. It is recommended to use security elements such as support, padlocks or other fixing devices to avoid losses of the aforementioned equipment. 6.3. - SECURITY REQUIREMENTS 6.3.1. - Smoke It is strictly PROHIBITED TO SMOKE in indoor exhibition areas or in areas where combustible and flammable materials are found. 6.3.2. - Fire extinguishers Each exhibit stand should have an A, B, C. fire extinguisher of at least 2 kg per 9 square meters of exhibition area. These should be placed in a visible area within the stand. 6.4. - PROTECTION REQUIREMENTS During the assembly and dismantling work, all material must remain within the boundaries of the respective stands and the corridors of the pavilion must be maintained unobstructed. For the safety of the personnel involved in the assembly and disassembly, the use of safety elements such as footwear, helmets, goggles, gloves, etc., is mandatory. You will not be allowed on the show floor (indoor or outdoor) without a helmet and covered shoes during installation and dismantling. Work at heights should consider the Work Standards and Height Hung. The necessary elements must be used for this type of work such as harnesses, lifeline, etc. Compliance with this regulation will be supervised by the expert in risk prevention of FISA, who will have the power to stop the works, in case this regulation is not complied with.

a) In the first place, a call will be made to the worker and he will notify in writing the Head of the Work or person in charge of the Assembly of the project and who in turn represents the exhibitor.

b) Second, apply a 1UF fine. For each worker who has reiterated the lack, with the provisions of this Regulation.

c) Thirdly, to proceed with the withdrawal of the credentials of the workers involved who have reiterated the lack or faults, who will be prevented from continuing to perform functions inside the premises where the exposure of the sanctioned worker is carried out and will have to abandon the premises.

During the assembly and disassembly periods, the Organizer may restrict entry to those who do not comply with safety regulations.

6.5.- ELECTRICAL AND ENERGY USE Any alteration to the electrical installations provided by FISA must be supported by an electrical project approved and executed by a professional competent in electricity (Class A or B) and entered into the SEC as a temporary installation type C2 (according to NChElec, 4/2016). Any alteration in the electrical installations provided by the Organizer must be pre-approved by the FISA Technical Area. It is recommended that exhibitors consider the use of light bulbs, lamps, etc. Low power consumption for your lighting systems in order to save energy and costs. Each project in the electricity plan must indicate the type of lighting that will be used, this plan will be approved by the Technical Area and verified by the electrical professionals of the organization in the field. 6.6. - USE OF HELIUM INFLATED BALLOONS The use of promotional elements inflated with helium (Globes) must have the written authorization of the Organization of the exhibition. For approval, the following documents must be attached to the stand project:

1. Mini project which must contain Materials, Technical sheets of gases to be used (dangerous or flammable gases are not authorized.) Security measures implemented for the installation of these elements

2. Letter of responsibility of the exhibiting company in the case of damages or accidents caused by the installation of this type of advertising elements.

6.7. - USE OF INCANDESCENT TOOLS The use of incandescent tools (welding equipment, blowtorch, grinders, etc.) is prohibited. 6.8. - PEDESTRIAN FOOTBRIDGES AND EXIT DOORS At no time will blocking of pedestrian walkways or exit doors be permitted. 6.9 -DRONES Drones are not allowed anywhere on the show floor (indoor or outdoor) at any time (includes installation, show hours and dismantling).

7.- BOOTH REGULATIONS 7.1. -SUBLEASING Exhibitors may not assign or sublease any part or the whole of the display space or advertising rights under contract, except for special cases duly authorized by the Fair. 7.2. -SALES No sales are allowed while the Fair is in progress. Exhibitors shall display services or capital goods without conducting any form of transaction. Nor may any such goods be materially delivered to other organizations or individuals while the Fair is in progress. Any goods, gifts, food, etc. to be consumed, handed out free of charge, or sold by Exhibitor during the Fair for immediate delivery to, or consumption by, the public, shall be admitted to the premises after payment of customs

duties and taxes as the case may be. Notwithstanding, an exception to this rule is provided under item 3c above, regarding promotion materials and raw materials required for demonstration of exhibited machinery in operation. Food and drink may be provided only at locations specifically authorized by the Fair for such purpose. 7.3.- CUSTOMS, TAX, AND MUNICIPAL PROVISIONS Exhibitors are bound to comply with all applicable customs and tax provisions in effect. Exhibitors wishing to know details of temporary admission procedures, taxes applicable to Exhibitors residing abroad, or how to obtain a municipal license for sale and immediate delivery of goods may apply to Official Shipper. Municipal License: All Exhibitors selling goods or rendering services to the public during the Fair must obtain a municipal license for commercial activities. To obtain permission from the Town Council, you must show your RUT (ID number) and the copy of the lease contract with the fair. The payment is cash, in advance, at the Town Hall which corresponds to the area where the fair is taking place. 7.4.- CIVIL AND CRIMINAL LIABILITY

a) Exhibitor shall take all necessary steps to prevent accidents and other damages from the time of taking possession of a stand to the time of relinquishing it.

b) The Fair is not liable for theft, pilfering, and defects, damages, or claims affecting or liable to affect Exhibitors and their staff, individuals, the public, goods or any other object located or remaining in pavilions, stands, fair ground, or fair parking lots, owing to emergencies, natural, or accidental causes

c) Exhibitors shall be responsible for extending insurance policies or hire new ones covering risks related to the transportation of equipment, machinery, merchandise and goods in general from and to the fair as well as the period the equipment will be in the exhibition site. Companies renting LCD screen, plasma screen, notebook or other equipment shall request providers for insurance policies for every component, equipment and pieces. Likewise, security elements such as support, locks or other fastening and securing devices shall be required for the assembly of the aforementioned equipment.

d) Exhibitors or Lessees shall be liable for all damages, thefts, pilfering, and other claims affecting individuals and goods located in the leased stands and fair ground, if due to the Exhibitor action, Exhibitor’s staff or third parties connected or related in any way with Exhibitor, or caused by objects belonging to, or held by Exhibitor.

e) Should a problem arise between the Exhibitor and FISA S.A. with reference to the application, interpretation, fulfilment or lack of fulfilment, or termination of the rental contract and of this ruling which is an appendix to it, or for any other reason, this problem will be resolved by an arbitrator, who is a non-legal adjudicator of equal rights to both parties, without recourse to a trial, and on one sole occasion, with both parties renouncing any further demands. The arbitrator will be appointed by both parties to common agreement. Should such agreement not be reached, the arbitrator will be appointed as indicated by the Arbitration Centre of the Santiago Chamber of Commerce and the arbitration proceedings established by said center will prevail.

f) Only agreements in writing between Exhibitors and organizers shall be valid.

7.5 AGREEMENT TO RULES & REGULATIONS

The exhibitor agrees that the exhibiting company and its employees and agents will abide by these rules and by

any amendments that may be put into effect by Show Management, provided that such amendments shall not

substantially diminish rights or increase the liability of an exhibitor (and written notice is given to exhibitors). The

rules may be amended by Show Management as necessary to comply with applicable laws, regulations, accounting

rules and pronouncements. The Exhibit Space Application form must be signed by an official of the exhibiting

company indicating that these rules have been read and agreed to before any space assignment will be made.

Show Management RESERVES THE RIGHT TO RESTRICT ACTIVITIES, RESTRICT AND/OR CLOSE EXHIBITS THAT, IN

THE OPINION OF Show Management, BECOME OBJECTIONABLE.

This includes people, things, conduct, printed matter, or anything of a character that is deemed not to be in the

best interests of all exhibitors or Show Management. An exhibitor’s space shall not be used to publicize meetings

to be held outside the Exhibition that will detract from Exhibition attendance. All matters and questions not

covered by these Rules & Regulations and all interpretations of these Rules & Regulations are subject to final

decision by Show Management. Any questions should be addressed to Show Management.

7.6 ENFORCEMENT OF EXHIBITION RULES & REGULATIONS

Reasons for Enforcement — The primary reasons for the enforcement of Exhibition rules are to: (1.) protect the

integrity of CONEXPO Latin America 2019, its participants, sponsors and Show Management; (2.) insure

compliance with the laws, codes, ordinances and contracts of the exhibit facility, municipality and the state in

which the Exhibition is held; and (3.) ensure that all exhibitors are treated fairly.

7.7 PREVENTION OF VIOLATIONS (Pre-Exhibition Planning) — To prevent violations by exhibitors, Show Management will:

1. Send special alert mailings and newsletters to exhibitor representatives to make them aware of the intent of important Exhibition Rules & Regulations.

2. Establish and publish a clear procedure for handling Exhibition violations and the penalties to be implemented by Show Management to deal with violators.

7.8 PROCEDURES FOR IDENTIFYING AND HANDLING VIOLATIONS

Exhibition Installation, Exhibition Days and Dismantling:

1. An exhibitor should contact Show Management if there are any questions concerning the procedures for identifying and handling violations of the Exhibition Rules & Regulations.

2. Show Management and floor managers under the supervision of Show Management will routinely inspect the exhibit floor during Exhibition installation, Exhibition days and dismantling. Their duty will be to assist in the interpretation and enforcement of the rules. The Exhibit Space & Rules Committee and the Management Committee will have the final decision concerning all Exhibition Rules & Regulations.

3. Upon discovery of a violation of the Exhibition Rules in an exhibit, Show Management or the floor manager will issue a written notice to the exhibitor representatives in the exhibit and explain the nature of the violation.

4. The written notice will explain that the violation must be corrected: (a) immediately, if the violation poses a safety hazard, (b) by 6 p.m. on October 1, 2019, if the violation occurs during Exhibition installation; or (c) before the opening of the next Exhibition day, if the violation occurs during Exhibition days. (If the exhibit in violation is unoccupied, Show Management will alert the representatives of the exhibit.)

5. Violations involving ineligible equipment or exhibitors must be corrected IMMEDIATELY during Exhibition days and are subject to the penalties listed below.

6. An exhibitor receiving a written notice of a violation will have its exhibit re-inspected by floor managers at the time specified on the written notice.

7. If the inspection reveals that the violation has not been corrected or if the same violation is found at any time after the first violation, a second notice will be given and the procedure noted above for the first violation will be repeated.

8. Failure to correct a violation immediately in the case of ineligible equipment, (item 5 listed above) or after the second notice in the case of other violations, or a third occurrence of the same violation, will result in a penalty being administered by Show Management in accordance with the Exhibition Rules & Regulations listed below.

9. An exhibitor wishing to appeal a written notice must do so by contacting Show Management within the time allowed on the written notice to correct the violation.

7.9 PENALTIES FOR VIOLATION OF EXHIBITION RULES & REGULATIONS

Show Management reserves the right to penalize an exhibitor for an uncorrected violation in the Exhibition Rules

& Regulations. Violations during the installation period or Exhibition days will result in one or more of the

following:

1. Draping off or covering the item in violation for a period specified by Show Management at the exhibitor's expense.

2. Immediate removal or draping off the entire exhibit at the exhibitor's expense. 3. Removal of the item in violation at the exhibitor's expense. 4. Loss of priority status for future CONEXPO Latin America. 5. Other sanctions deemed appropriate by Show Management.

7.10 THE EXHIBITOR AGREES…

1. The Exhibitor shall make no claim for any reason whatsoever against either EDIFICA, FISA or Show Management for loss or damage or for injury to him/herself or his/her employees while in or about the show grounds or for loss or damage by reason of failure to hold the Exhibition as scheduled, failure to provide exhibit space, removal of the exhibit or any other act of Show Management. This includes but is not limited to any indirect, incidental, consequential, punitive or special damages, lost profits, lost savings, loss of goodwill or otherwise arising out of or relating to the Exhibition or any act or omission of Show Management.

2. Exhibitor shall bear their own risks of loss or damage to property and injury. 3. The Exhibitor shall make no claim against Show Management for any reason for the acts or omissions of any

contractor or for charges or billings (including overtime charges) for services rendered to the Exhibitor by any contractor, or due to any change to the targeted move-in or move-out time for the exhibit, or any delays in move-in or move-out of the exhibit.

4. Show Management shall not be liable for any delay, failure in performance, loss or damage due to: fire, explosion, power blackout, earthquake, flood, the elements, strike, embargo, labor disputes, acts of civil or military authority, war, acts of God, acts of terrorism, acts or omissions of carriers or suppliers, acts of regulatory or governmental agencies, or other cause beyond its reasonable control, whether or not similar to the foregoing.

5. That Exhibitor shall: A. Insure against said risks of loss or damage to property and injury and secure and furnish Show

Management with each insurer's covenant not to exercise any legal or equitable right it may have against Show Management or EDIFICA and provide Show Management with a Certificate of Insurance evidencing such coverage with Show Management.

B. If failing to insure against all such risks, or failing to secure and furnish each insurer's covenant not to sue, the exhibitor shall indemnify and hold harmless Exhibition and the EDIFICA from any and all loss or damage to property and injury aforesaid.

6. Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend and save Show Management and EDIFICA and their employees and agents, harmless against all claims, liability, losses or damages to persons or property, governmental charges or fines and attorney's fees arising out of or caused by exhibitor's installation, removal, maintenance, occupancy or use of the Exhibition premises or a part thereof, excluding any such liability caused by the sole negligence of the indemnitee.

DISASSEMBLY PERIODS.
