general informationDefinition ClauseThe “Company” means Searchlight Electric Ltd, The“Buyer” means the person who buys or agrees to buyfrom the company.

GeneralAll quotations are given and orders accepted subject tothe full Conditions of Sale. The Company will not acceptany terms and conditions other than those specified norany addition or variation thereto unless agreed in writingbetween the parties.

TermsAll accounts are nett and are due for settlement on thelast day of the month following date of invoice. Interestat a rate of 1.5% per annum above the base lending ratefrom time to time of Barclays Bank Plc, together withany expenses incurred in collecting payment will beadded to the agreed price in respect of any part thereofnot paid on or before the due date.

RiskRisk shall pass to the Buyer. Delivery is to be made atthe Company’s address, at the time when the Companynotifies the Buyer that the goods are available for col-lection, or if delivery is to be made elsewhere than at theCompany’s address at the time of delivery or, if theBuyer wrongfully fails to take delivery.

Retention of TitleNotwithstanding delivery and the passing of risk in theGoods, or any other provision of these Conditions, theproperty in the Goods shall not pass to the Buyer untilthe Company has received in cash or cleared funds allsums due to it in respect of;1. the goods, and 2. all other goods agreed to be sold by the Company tothe Buyer for which payment is then due. 3. Until such time as the property in the Goods passesto the Buyer, the Buyer shall: i.hold the Goods as theCompany’s fiduciary agent and bailee; ii. keep the Goodsseparate from those of the Buyer and third parties; iii.keep the Goods properly stored, protectedand insured and identified as the Company’s property. iv.Until such time as the property in the Goods passes tothe Buyer (and provided the Goods are still in existenceand have not been resold), the Company shall be entitled at any time to require the Buyer to deliver up theGoods to the Company, and if the Buyer fails to do so

forthwith, to enter upon any premises of the Buyer orany third party where the Goods are stored and repos-sess the Goods.

PricesWhilst every endeavour will be made to supply goods atthe prices quoted and/or acknowledged, the Companyreserves the right to invoice at prices ruling at date ofdespatch. All prices quoted by our representatives aresubject to verification by Head Office.

DeliveryAlthough the Company shall make every effort to deliveron the date in the contract, time for delivery shall not beof the essence and the Company shall not be liable forany loss or damage resulting from any delay in delivery.The Company may deliver the goods by separate instal-ments. Each separate instalment shall be invoiced andpaid for in accordance with the contract provisions. Fail-ure of the Buyer to pay for any or more of the said instal-ments of the goods on the due dates shall entitle theCompany without notice to suspend further deliveries ofthe goods pending payment by the Buyer; and/or to treatthe contract as repudiated by the Buyer. If the Buyer re-fuses to accept delivery, the goods may be stored by theCompany at the Buyer’s risk and expense until the Buyeraccepts delivery.

Loss or Damage in TransitUnless goods have been checked on receipt, they shouldbe signed for "Unexamined." Claims for shortage ordamage in transit cannot be entertained unless notifiedin writing both to the carrier and ourselves within threedays of receipt of goods or in the case of non-deliverywithin ten days of our invoice.

CancellationsThe written consent of the Company must be obtainedbefore cancellation of any order and the Company re-serves the right to make a handling charge for goods re-turned to stock. Under no circumstances may goods bereturned without the Company's written consent and re-turns note number and when returned must be in theiroriginal packaging to ensure no damage is sustainedduring transit.

Design Alterations & DescriptionGoods supplied may vary in detail from the illustrations,drawings and descriptions (which are approximate and

for guidance only) as a result of improvements or mod-ifications. Colour finishes will be maintained as accu-rately as possible, but matching cannot be guaranteed.All terminology employed in the catalogue is that as un-derstood by general usage in the Trade.

Trade DescriptionIllustrations, measurements and descriptions are ap-proximate for guidance only and are subject to alterationand modification.OutdoorWe will not assume responsibility for corrosion or anyother resulting damage to our products where they areinstalled in areas in which fertilizers or salt are present,either in the air or in the soil, or where our products areinstalled near to chemical plants etc with emissions ofheavily polluted air.

ExportPrices quoted on application.

Breach and InsolvencyIf the Buyer breaches any condition of these conditionsor the contract or becomes subject to an Administrationorder or becomes bankrupt or has a receiver appointed,or a distress is levied on any part of its assets or businessor goes into liquidation or makes any composition withits creditors, the Buyer shall be entitled (whether in re-spect of this contract or any other) to withhold any fur-ther deliveries to the Buyer and/or cancel the contractwithout any liability; appropriate any payments made bythe Buyer to such of the goods (whether supplied underthis contract or any other) as the Company shall thinkfit; immediate payment of all such sums whatever owingby the Buyer to the Company notwithstanding any pre-vious agreement to the contrary: and/or exercise any ofits rights pursuant to retention of title.

Force Majeure The Company shall not be liable for any default due toany act of God, war, strikes, lock-outs or other industrialaction, difficulties in obtaining labour or parts, govern-mental or other restrictions or regulations or other eventbeyond the reasonable control of the Company.All goods supplied by the Company are supplied subjectto the Company's Full General Conditions of Sale which are available on request from Head Office.
