The electronic conclusion of contracts in cross-border transactions is gaining ever increasing significance. Of what should one be aware? What is an elec-tronic signature? What opportunities and risks present themselves through e-business contracts?

Because of an ever-strengthening international economic network, criminal behavior in the realm of business may have international components. Insider trading, corruption and money laundering are an example of this.

This module serves as an introduction to Criminal Business Law and deals with practical cases. In addition the fundamentals of international criminal law cooperation will be discussed as well as the legal situation in the EU and the efforts of international organizations in the area of criminal law.

Criminal Business Law

Although there is no general competence for the EU in the area of taxation and the power to regulate taxes still lies within the competence of each member state, the EU has attempted to effect a harmonization of user and corporate tax. The reason for that is among others that in international mat-ters questions of taxation play an important role, especially in the area of corporate law.

After an overview of the Swiss taxation system, the module turns to the effects of primary and secondary EU law on the national tax systems of the single member states as well as the goals and bases of international tax law. The main scrutiny will be given to the effectiveness and function of double taxation treaties.

ObjectiveThe Program offers a course of study that is aimed at providing a rigorous and practice-oriented further legal education in the area of International Banking and Finance Law. The goal of this Program is to offer a com-prehensive educational opportunity in the field of mod-ern financial services instruments and banking, capital market and insurance law. Topics discussed will be within the relevant public law and private law areas.

This full-time LL.M. Program is new and runs parallel to the existing part-time Program International Busi-ness Law, which also offers a specialized course in International Banking and Finance Law (on a part-time basis).

Target AudienceThe LL.M. in International Banking and Finance Law is primarily geared towards lawyers seeking to acquire deeper knowledge in the international banking and fi-nance law for their current or prospective careers.

Structure of the CourseThe program is divided into three parts:1.General part (approximately 200 lectures): composed of

12 modules, including mandatory and elective areas of study, with an emphasis on European and interna-tional business law (above all, fundamental

freedoms, competition, company, tax and criminal law) as well as on public international business law (GATT/WTO law).

2.Specialization part (approximately 150 lectures): com-posed of 3 modules with a focus on capital, banking and stock exchange law, private banking and insur-ance law.

3.Thesis: between January 2014 and May 2014 the par-ticipants will be required to write a thesis.

GraduationThe Faculty of Law of the University of Zurich bestows the title of «LL.M. in International Banking and Finance Law». Passing the relevant examinations (min. 70 ECTS) and the completion of a thesis are prerequisites.

Certificate of Advance Studies (CAS)In order to meet the needs of practitioners already work-ing in the field of international banking and finance, or those who are planning to do so in the near future, we offer the specialization part (part 2) of the Program also as a Certificate Course (see page 31).

The LL.M. Program begins with the elective module «Business English for Lawyers». The goal of this language course is, on the one hand, to familiar-ize participants with legal vocabulary related to the lectures to be delivered in English. On the other hand, the course is comprised of practice-oriented work with legal texts and exercises based on practical, everyday situations, such as conducting negotiations or creating legal documents. Globalization is one of the most-discussed political and economic themes of our time. What are in fact the foundations of the international economic order? What is the purpose of the WTO?Inthefirstsection,thismoduleprovidesparticipantswithageneralover-

view of the sources and legal nature of international agreements in the area of the international economy. Further, the laws governing the World Trade Organization(WTO),asthemostimportantorganizationinthefieldofin-ternationaltradeanditseffectthroughthestudyofimportantcaseswillbediscussed. In the second section of the module, the lecturers will introduce the competition law foundations of the European Community, such as state and private limitations on competition, market-dominant companies, merg-ers,regulatorygroupexemptionsandeffectsonthirdstates.

All students are required to write a thesis. The topic of the work can be freely chosen with the guidance of a tutoring professor and the approval of the Director. For an accepted thesis, 12 ECTS points are awarded.

Thesis

ObjectiveIn order to meet the needs of practitioners already working in the field of international banking and fi-nance or in the field of sports, or those who are planning to do so in the near future, we offer the specialization part only (International Banking and Finance Law and International Sports Law) of the Program as a Certificate Course (CAS).

Admission RequirementThe candidate must possess good verbal and written knowledge of English.

GraduationThe Faculty of Law of the University of Zurich bestows the title of either «Certificate of Advanced Studies (CAS) in International Banking and Finance Law» or «Certificate of Advanced Studies (CAS) in International Sports Law».

Passing the relevant examination is a prerequisite. With the successful completion of the CAS, 19 ECTS Credits will be awarded.

CostsCHF 9 500. – including the course material and the ex-amination fees.

DurationThe CAS Courses will begin on 13 September 2013 and finish on 20 December 2013.
