Awell-writtenbusinessplannotonlyputsyourbusinessonasolidfoundation,butiscriticalinyourquestforfunding.Thiswillbecomeyourowner’smanualguidingyourdailyoperationsandactivities.

Evenifyoudecidenottowriteoutabusinessplan,itwillstillhelpyoutoatleastresearchandthinkthroughalltheareasthatarediscussedinaplan(see“BusinessPlanOutline.”)

General PartnershipApartnershipissimilartoasoleproprietorshipexceptthattwoormorepeopleareinvolved.Advan-tagesarethatitiseasytoestablish,itcandrawuponthefinancialandmanagerialstrengthofallthepartnersanditsprofitsarenotdirectlytaxed.Somedisadvantagesareunlimitedpersonalliabilityforthefirm’sdebtsandliabilities,terminationofthebusinesswiththedeathofapartnerandthefactthatanyoneofthepartnerscancommitthefirmtoobligations.Thepartnershipisformedbyanagreemententeredintobyeachpartner.Thisagreementmaybein-formal,butitisadvisabletohaveawrittenagreementdrawnupbetweenallparties.Whilenofilingwiththecommonwealthisrequiredtoformageneralpartnership,itmayneverthelessberequiredtofileafictitiousnameregistration.
