EthicsandIntegrityProgramAdministration
StrongethicsandintegrityareapartofthegovernanceframeworkofWITF.Publicmediaboardmembers,staffandvolunteersmustoperatewithintegrityandhighstandardsofethicalconducttomaintainsounddecisionmakingprocessesandensurecommunityconfidenceandtrust.ThisethicsandintegritypolicyappliestoallmembersoftheWITFcommunity,includingboardmembers,employeesandvolunteers.AdministrationofthispolicyshallbeconductedbyWITF’sSeniorVicePresidentofFinanceandAdministration,whoshallserveastheorganization’sChiefEthicsandIntegrityOfficer.
TheEthicsandIntegrityPolicy,whilecomprehensive,doesnotaddresseveryconceivablesituationorethicaldilemmathatmaybefacedbymembersoftheWITFcommunity.WITF’sboardmembers,staffandvolunteersareexpectedtoexercisegoodjudgmentabsentspecificguidancefromthispolicyorotherapplicablelaws,rulesandregulations.SpecificquestionspertainingtotheEthicsandIntegrityPolicyshouldbedirectedtoasupervisor,WITF’sSVPofFinanceandAdministration,ortheChairoftheGovernanceandNominatingCommittee.Totheextentthatviolationsofthispolicyarenotspecificallyaddressedelsewhere,anyreportedviolationsofthispolicyshouldbedirectedfirsttoasupervisor,SVPofFinanceandAdministration,ortheChairoftheGovernanceCommittee.Ifnoneofthesereportingavenuesisappropriate,theviolationofpolicymaybereporteddirectlyandconfidentiallytotheBoardChairortheCEO.
ThisethicsandintegritypolicyshallbereviewedannuallybytheGovernanceandNominatingCommitteeoftheBoardofDirectors.TheBoardofDirectorsofWITFshallhavethesoleauthoritytomodifythispolicy.

IV. PublicMediaCodeofOrganizationalIntegrityPublicbroadcastershaveadoptedsharedprinciplestostrengthenthetrustandintegritythatcommunitiesexpectofvaluedpublicserviceinstitutions.
Publicmediaorganizationscontributetoastrongcivilsocietyandactivecommunitylife,provideaccesstoknowledgeandculture,extendeducation,andoffervariedviewpointsandsensibilities.
Thefreedomofpublicmediaprofessionalstomakeeditorialdecisionswithoutundueinfluenceisessential.ItisrootedinAmerica'scommitmenttofreespeechandafreepress.Itisreflectedintheuniqueandcriticalmediarolesthatfederal,state,andlocalleadershaveencouragedandrespectedacrosstheyears.Itisaffirmedbythecourts.
Trustisequallyfundamental.Publicmediaorganizationscreateandreinforcetrustthroughrigorous,voluntarystandardsfortheintegrityofprogrammingandservices,fundraising,communityinteractions,andorganizationalgovernance.
Thesestandardsofintegrityapplytoallthecontentpublicmediaorganizationsproduceandpresent,regardlessofsubjectmatter,includingnews,science,history,information,music,arts,andculture.Thesestandardsapplyacrossallpublicmediachannelsandplatforms-broadcasting,online,socialmedia,print,mediadevices,andin-personevents.
Publicmedia,individuallyandcollectively:
• Contributetocommunities'civic,educational,andculturallifebypresentingarangeofideasandculturesandofferingarobustforumfordiscussionanddebate.
• Committoaccuracyandintegrityinthepursuitoffactsaboutevents,issues,andimportantmattersthataffectcommunitiesandpeople'slives.
• Pursuefairnessandresponsivenessincontentandservices,withparticularattentiontoreflectingdiversityofdemography,culture,andbeliefs.
• Aimfortransparencyinnewsgathering,reporting,andothercontentcreationandsharethereasonsforimportanteditorialandprogrammingchoices.

ThePublicMediaCodeofIntegritywasdevelopedbytheAffinityGroupCoalitionandtheStationResourceGroup,collectivelyrepresentingpublictelevisionandradiostationsandserviceorganizationsfromacrossthecountry,withsupportfromtheCorporationforPublicBroadcasting.

V. BusinessEthicsandCodeofConductThesuccessfulbusinessoperationandreputationofWITFisbuiltupontheprinciplesoffairdealingandethicalconductofouremployees.Ourreputationforintegrityandexcellencerequirescarefulobservanceofthespiritandletterofallapplicablelawsandregulations,aswellasascrupulousregardforthehigheststandardsofconductandpersonalintegrity.ThecontinuedsuccessofWITFisdependentuponthetrustofourmembers,viewers,listenersandreaders,andwearededicatedtopreservingthattrust.EmployeesoweadutytoWITF,andthecommunitytoactinawaythatwillmeritthecontinuedtrustandconfidenceofthepublic.WITFwillcomplywithallapplicablelawsandregulationsandexpectsitsdirectors,officers,andemployeestoconductbusinessinaccordancewiththeletter,spirit,andintentofallrelevantlawsandtorefrainfromanyillegal,dishonest,orunethicalconduct.Ingeneral,theuseofgoodjudgment,basedonhighethicalprinciples,willguideyouwithrespecttolinesofacceptableconduct.Ifasituationariseswhereitisdifficulttodeterminethepropercourseofaction,themattershouldbediscussedopenlywithyourimmediatesupervisor.Ifdiscussingwithyoursupervisorisnotappropriate,bringthemattertotheSeniorVicePresidentofFinanceandAdministrationoranyoneelseinmanagementwhomyouarecomfortableapproaching.CompliancewiththispolicyofbusinessethicsandconductistheresponsibilityofeveryWITFemployee.Disregardingorfailingtocomplywiththisstandardofbusinessethicsandconductcouldleadtodisciplinaryaction,uptoandincludingterminationofemployment.(Reference:WhistleblowerPolicy.)

VI. ConflictofInterestPolicy&DisclosureFormItisinthebestinterestofWITFtobeawareofandproperlymanageallconflictsofinterestandappearancesofaconflictofinterest.ThisconflictofinterestpolicyisdesignedtohelpDirectors,Officers,employeesandvolunteersoftheWITFidentifysituationsthatpresentpotentialconflictsofinterestandtoprovideWITFwithaproceduretoappropriatelymanageconflictsinaccordancewithlegalrequirementsandthegoalsofaccountabilityandtransparencyinWITF’soperations.
Tothatend,eachDirector,Officer,employeeandregularvolunteershallbeprovidedwithandaskedtoreviewacopyofthisPolicyandtoacknowledgeinwritingthats/hehasdoneso.AnnuallyeachDirector,Officerandseniorstaffmembershallcompleteadisclosureformidentifyinganyrelationships,positionsorcircumstancesinwhichs/heisinvolvedthats/hebelievescouldcontributetoaConflictofInterest.
I. ConflictofInterestDefined.Inthispolicy,apersonwithaconflictofinterestisreferredtoasan“interestedperson.”Forpurposesofthispolicy,thefollowingcircumstancesshallbedeemedtocreateaConflictofInterest:1. ADirector,Officer,employeeorregularvolunteer,includingaBoardmember(orfamilymemberofanyoftheforegoing)isapartytoacontract,orinvolvedinatransactionwithWITFforgoodsorservices.2. ADirector,Officer,employeeorregularvolunteer,(orafamilymemberofanyoftheforegoing)hasamaterialfinancialinterestinatransactionbetweenWITFandanentityinwhichtheDirector,Officer,employeeorvolunteer,orafamilymemberoftheforegoing,isaDirector,Officer,agent,partner,associate,employee,trustee,personalrepresentative,receiver,guardian,custodian,orotherlegalrepresentative.3. ADirector,Officer,employeeorregularvolunteer,(orafamilymemberoftheforegoing)isengagedinsomecapacityorhasamaterialfinancialinterestinabusinessorenterprisethatcompeteswithWITF.
VII. Othersituationsmaycreatetheappearanceofaconflict,orpresentadualityofinterestsinconnectionwithapersonwhohasinfluenceovertheactivitiesorfinancesofWITF.AllsuchcircumstancesshouldbedisclosedtotheBoardchairorCEO,asappropriate,andadecisionmadeastowhatcourseofactiontheorganizationorindividualsshouldtakesothatthebestinterestsofWITFarenotcompromised.
Gifts,GratuitiesandEntertainment:Acceptinggifts,entertainmentorotherfavorsfromindividualsorentitiescanalsoresultinaconflictordualityofinterestwhenthepartyprovidingthegift/entertainment/favordoessoundercircumstanceswhereitmightbeinferredthatsuchactionwasintendedtoinfluenceorpossiblywouldinfluencetheinterestedpersonintheperformanceofhisorherduties.ThisdoesnotprecludetheacceptanceofitemsofnominalorinsignificantvalueorentertainmentofnominalorinsignificantvaluewhicharenotrelatedtoanyparticulartransactionoractivityofWITF.
II. Definitions.

1. A"ConflictofInterest"isanycircumstancedescribedinPart1ofthisPolicy.2. An"InterestedPerson"isanypersonservingasanOfficer,employeeormemberoftheBoardofDirectorsofWITForamajordonortoWITForanyoneelsewhoisinapositionofcontroloverWITFwhohasapersonalinterestthatisinconflictwiththeinterestsofWITF.
3. A"FamilyMember"isaspouse,parent,childorspouseofachild,brother,sister,orspouseofabrotherorsister,ofaninterestedperson.
4. A"MaterialFinancialInterest"inanentityisafinancialinterestofanykind,which,inviewofallthecircumstances,issubstantialenoughthatitwould,orreasonablycould,affectanInterestedPerson’sorFamilyMember'sjudgmentwithrespecttotransactionstowhichtheentityisaparty.
5. A"ContractorTransaction"isanyagreementorrelationshipinvolvingthesaleorpurchaseofgoodsorservices,theprovidingorreceiptofaloanorgrant,theestablishmentofanyothertypeoffinancialrelationship,ortheexerciseofcontroloveranotherorganization.ThemakingofagifttoWITFisnotaContractorTransaction.6. Aregularvolunteerisapersonwhohascompletedavolunteerapplicationformandhas volunteeredforanactivityotherthanansweringphonesforpledgedrives,whicharecasual,non- repetitiveandscheduledingroups.
III. Procedures.
1. PriortoBoardorcommitteeactiononaContractorTransactioninvolvingaConflictofInterest,aDirectororcommitteememberhavingaConflictofInterestandwhoisinattendanceatthemeetingshalldiscloseallfactsmaterialtotheConflictofInterest.Suchdisclosureshallbereflectedintheminutesofthemeeting.IfBoardmembersareawarethatstafforothervolunteershaveaconflictofinterest,relevantfactsshouldbedisclosedbytheBoardmemberorbytheinterestedpersonhim/herselfifinvitedtotheBoardmeetingasaguestforpurposesofdisclosure.
2. ADirectororcommitteememberwhoplansnottoattendameetingatwhichheorshehasreasontobelievethattheBoardorcommitteewillactonamatterinwhichthepersonhasaConflictofInterestshalldisclosetothechairofthemeetingallfactsmaterialtotheConflictofInterest.Thechairshallreportthedisclosureatthemeetingandthedisclosureshallbereflectedintheminutesofthemeeting.
3. ApersonwhohasaConflictofInterestshallnotparticipateinorbepermittedtoheartheBoard'sorcommittee'sdiscussionofthematterexcepttodisclosematerialfactsandtorespondtoquestions.Suchpersonshallnotattempttoexerthisorherpersonalinfluencewithrespecttothematter,eitheratoroutsidethemeeting.
4. ApersonwhohasaConflictofInterestwithrespecttoaContractorTransactionthatwillbevotedonatameetingshallnotbecountedindeterminingthepresenceofaquorumforpurposesofthevote.

5. ThepersonhavingaconflictofinterestmaynotvoteontheContractorTransactionandshallnotbepresentinthemeetingroomwhenthevoteistaken,unlessthevoteisbysecretballot.Suchperson'sineligibilitytovoteshallbereflectedintheminutesofthemeeting.Forpurposesofthisparagraph,amemberoftheBoardofDirectorsofWITFhasaConflictofInterestwhenheorshestandsforelectionasanOfficerorforre-electionasamemberoftheBoardofDirectors.
6. InterestedPersonswhoarenotmembersoftheBoardofDirectorsofWITF,orwhohaveaConflictofInterestwithrespecttoaContractorTransactionthatisnotthesubjectofBoardorcommitteeaction,shalldisclosetotheirsupervisor,ortheSeniorVicePresidentofFinanceandAdministration,ortheCEO,anyConflictofInterestthatsuchInterestedPersonhaswithrespecttoaContractorTransaction.SuchdisclosureshallbemadeassoonastheConflictofInterestisknowntotheInterestedPerson.TheInterestedPersonshallrefrainfromanyactionthatmayaffectWITF’sparticipationinsuchContractorTransaction.
IntheeventitisnotentirelyclearthataConflictofInterestexists,theindividualwiththepotentialconflictshalldisclosethecircumstancestohisorhersupervisor,ortheSeniorVicePresidentofFinanceandAdministration,ortheChairortheChair'sdesignee,whoshalldeterminewhetherfullBoarddiscussioniswarrantedorwhetherthereexistsaConflictofInterestthatissubjecttothispolicy.
IV. Confidentiality.EachDirector,Officer,employeeandvolunteershallexercisecarenottodiscloseconfidentialinformationacquiredinconnectionwithdisclosuresofconflictsofinterestorpotentialconflicts,whichmightbeadversetotheinterestsofWITF.Furthermore,Directors,Officers,employeesandvolunteersshallnotdiscloseoruseinformationrelatingtothebusinessofWITFfortheirpersonalprofitoradvantageorthepersonalprofitoradvantageoftheirFamilyMember(s).
V. Reviewofpolicy.1. EachDirector,Officer,employeeandvolunteershallbeprovidedwithandaskedtoreviewacopyofthisPolicyandtoacknowledgeinwritingthatheorshehasdoneso.TheSeniorVicePresidentofFinanceandAdministrationinhisorhercapacityasChiefEthicsandIntegrityOfficershallkeepallsuchsignedacknowledgements.
2. AnnuallyeachDirector,Officerandseniorstaffmembershallcompleteadisclosureformidentifyinganyrelationships,positionsorcircumstancesinwhichs/heisinvolvedthatheorshebelievescouldcontributetoaConflictofInterest.Suchrelationships,positionsorcircumstancesmightincludeserviceasaDirectorof,orconsultanttoanonprofitorganization,orownershipofabusinessthatmightprovidegoodsorservicestoWITF.AnysuchinformationregardingthebusinessinterestsofaDirector,Officer,seniorstaffmember,orafamilymemberthereof,shallbetreatedasconfidentialandshallgenerallybemadeavailableonlytotheChair,theCEO,theSeniorVicePresidentofFinanceandAdministrationandthemembersoftheGovernanceandNominatingCommittee,excepttotheextentadditionaldisclosureisnecessaryinconnectionwiththeimplementationofthisPolicy.

2.WITFwillconductapromptandthoroughinvestigationoftheclaim,whichmayincludeinterviewsoftheallegedharasserandwitnessesaswellasareviewofrelevantrecords.WITFwillwarnanyemployeeaccusedofsexualharassmentthatanyformofretaliationtakenagainstanindividualsubmittingsuchaclaimwillbegroundsforimmediateterminationofemployment.TheconfidentialityoftheindividualsubmittingtheclaimwillbemaintainedtotheextentpossiblewhileenablingWITFtoconductathoroughandcompleteinvestigation.
3.WhenWITFcompletesitsinvestigation,itwilltakepromptremedialactionconsistentwithitsdeterminationregardingthemeritsoftheclaim.
4.Theemployeesubmittingtheclaimwillbeadvisedoftheoutcomeoftheinvestigation.

ResponsetoSexualHarassmentComplaints1.Sexualharassmentisaprohibitedpersonnelpracticeunderallcircumstancesandwillnotbetolerated.2.Eachmemberofsupervisionandmanagementmustmonitorhis/herworkareaforpotentialsexualharassment.Shouldamanagerorsupervisorbecomeawareofapossibleincidentofsexualharassment,heorshemustreportitdirectlytomanagementforinvestigation.Individualswhobelievetheyhaveexperiencedanyformofsexualharassmentareencouragedtosubmitacomplaintinaccordancewiththereportingproceduresetforthabove.
3.WITFwillpromptlyinvestigateallallegationsofsexualharassment.
4.ViolationofthisSexualHarassmentPolicymayresultintheimpositionofappropriatediscipline,uptoandincludingterminationofemployment.
5.Inanyinstancewhereaninvestigationrevealsthatsexualharassmenthastakenplace,WITFwilltakepromptremedialmeasurestobringtheharassmenttoanend.Iftheharassmentpersistsaftersuchremedialmeasuresaretaken,theindividualexperiencingtheharassmentmustreportthemattertohisorhersupervisor,ortotheSeniorVicePresidentofFinanceandAdministrationsothatappropriateremedialand/ordisciplinaryactionmaybetaken.TheChairoftheFinance/Auditcommitteewillalsobenotified.

XV. EmployeeDrugandAlcoholUsePolicyItisWITF'sdesiretoprovideadrug-free,healthful,andsafeworkplace.Topromotethisgoal,employeesarerequiredtoreporttoworkinappropriatementalandphysicalconditiontoperformtheirjobsinasatisfactorymanner.
Asarecipientoffederalfunds,WITFisboundbythetermsoftheDrug-FreeWorkplaceActof1988.Therefore,whileonWITFleasedorownedproperty,and/orwhileconductingbusiness-relatedactivitiesoffWITFpremises,noemployeemayuse,possess,distribute,sell,orbeundertheinfluenceofalcoholorillegaldrugs.Thelegaluseofprescribeddrugsispermittedonthejobonlyifitdoesnotimpairanemployee'sabilitytoperformtheessentialfunctionsofthejobeffectivelyandinasafemannerthatdoesnotendangerotherindividualsintheworkplace.

6.2TheofficersoftheCorporationshallbeelectedbytheBoardattheannualmeetingassoonaspracticableaftertheelectionofDirectors.VacanciesmaybefilledornewofficescreatedandfilledatanymeetingoftheBoard.Eachofficershallholdofficeuntilasuccessoriselectedandqualified,oruntilhisorherearlierdeath,resignationorremoval.

7.1TheBoard,bydulyadoptedresolution,mayestablishstandingandadhoccommitteesfromtimetotime,includinganExecutiveCommittee.ThedutiesandfunctionsofthesecommitteesshallbeestablishedbytheBoard.TheExecutiveCommitteeshallhaveandexercisetheauthorityoftheBoardinthemanagementoftheCorporationtotheextentgrantedbytheBoardandpermittedbylaw.
7.2TheChairoftheBoardshallappointthemembershipandchairofthestandingandadhoccommittees,eachofwhichshallconsistoftwoormoreDirectors.TheChairoftheBoardisanex-officiomember,withoutvote,onallcommittees.Non-Directorsmayserveoncommittees,althoughsuchpersonsmaynotconstituteamajorityofitsmembers.TheestablishmentoftheExecutiveandanystandingcommitteesandthedelegationtheretoofauthorityshallnotoperatetorelievetheBoardoranyindividualDirectorofanyresponsibilityimposedbylaw.

13.1TheCorporationshallindemnifyanyDirectororofficer,andmayindemnifyanyotheremployeeoragent,whowasorisapartyto,oristhreatenedtobemadeapartytoorwhoiscalledasawitnessinconnectionwith,anythreatened,pending,orcompletedaction,suitorproceeding,whethercivil,criminal,administrativeorinvestigative,includinganactionbyorintherightoftheCorporation,byreasonofthefactthatheorsheisorwasaDirector,officer,employeeoragentoftheCorporationorisorwasservingattherequestoftheCorporationasaDirector,officer,employeeoragentofanothercorporation,partnership,jointventure,trustorotherenterprise,againstexpenses,includingattorneys’fees,judgments,finesandamountspaidinsettlementactuallyandreasonablyincurredbyhimorherinconnectionwithsuchaction,suitorproceeding,unlesstheactorfailuretoactgivingrisetotheclaimforindemnificationisdeterminedbyacourtofcompetentjurisdictiontohaveconstitutedwillfulmisconductorrecklessness.Theindemnificationandadvancementofexpensesprovidedby,orgrantedpursuantto,thisArticle13.1shallnotbedeemedexclusiveofanyotherrightstowhichthoseseekingindemnificationoradvancementofexpensesmaybeentitledunderanyBylaw,agreement,contract,voteofDirectorsorpursuanttothedirection,howsoeverembodied,ofanycourtofcompetentjurisdictionorotherwise,bothastoactioninhisorherofficialcapacityandastoactioninanothercapacitywhileholdingsuchoffice.ItisthepolicyoftheCorporationthatindemnificationof,andadvancementofexpensesto,DirectorsandofficersoftheCorporationshallbemadetothefullestextentpermittedbylaw.TheCorporationshallpayexpensesincurredbyanofficerorDirector,andmaypayexpensesincurredbyanyotheremployeeoragent,indefendingacivilorcriminalaction,suitorproceedinginadvanceofthefinaldispositionofsuchaction,suitorproceedinguponreceiptofanundertakingbyoronbehalfofsuchpersontorepaysuchamountifitshallultimatelybedeterminedthatheorsheisnotentitledtobeindemnifiedbytheCorporation.

Theindemnificationandadvancementofexpensesprovidedby,orgrantedpursuantto,thisArticle13.1shall,unlessotherwiseprovidedwhenauthorizedorratified,continueastoapersonwhohasceasedtobeaDirector,officer,employeeoragentandshallinuretothebenefitoftheheirs,executorsandadministratorsofsuchperson.TheCorporationshallhavetheauthoritytocreateafundofanynature,whichmay,butneednotbe,underthecontrolofatrustee,orotherwisesecureorinsureinanymanner,itsindemnificationobligations,whetherarisingundertheseBylawsorotherwise.Thisauthorityshallinclude,withoutlimitation,theauthorityto(i)depositfundsintrustorinescrow,(ii)establishanyformofselfinsurance,or(iii)establishaletterofcredit,guarantyorsuretyarrangementforthebenefitofsuchpersonsinconnectionwiththeanticipatedindemnificationoradvancementofexpensescontemplatedbythisArticle13.1.TheprovisionsofthisArticle13.1shallnotbedeemedtoprecludetheindemnificationof,oradvancementofexpensesto,anypersonwhoisnotspecifiedinSection6.1abovebutwhomtheCorporationhasthepowerorobligationtoindemnify,ortoadvanceexpensesfor,undertheprovisionsoftheNonprofitCorporationLaw,asamended,orotherwise.TheauthoritygrantedbythisSection13.1shallbeexercisedbytheBoardofDirectorsoftheCorporation.TherepealofthisArticle13.1oranyamendmentthereofwhichmayimpairorotherwisediminishtheprotectionaffordedherebytothepersonsdescribedhereinshallbeeffectiveonlywithrespecttoactsoromissionsbysuchpersonswhichoccuraftertheeffectivedateofsuchrepealoramendmentandshallhavenoeffectwhatsoeverwithrespecttoactsoromissionsoccurringpriortosucheffectivedate.
13.2TheCorporationmaypurchaseandmaintaininsuranceonbehalfoftheaforesaidpersonstotheextentauthorizedbylaw.
13.3ADirectorshallnotbepersonallyliable,assuch,formonetarydamagesforanyaction
taken,orforanyfailuretotakeanyaction,unless:(1)theDirectorhasbreachedorfailedtoperformthedutiesofhisorherofficeunderSubchapterB,Chapter57ofthePennsylvaniaNonprofitCorporationLawapplicabletodirectorsofnonprofitcorporations;and(2)thebreachorfailuretoperformconstitutesself-dealing,willfulmisconduct,orrecklessness.Theprecedingparagraphshallnotapplyto:(1)theresponsibilityorliabilityofaDirectorpursuanttoanycriminalstatute;or(2)theliabilityofaDirectorforthepaymentoftaxespursuanttoFederal,Stateorlocallaw.NoamendmenttoorrepealofthisArticleshallapplytoorhaveanyeffectonthepersonalliabilityformonetarydamagesofanyDirectorfor,orwithrespectto,anyactoromissionofsuchDirectoroccurringpriortosuchamendmentorrepeal.

15.1UpondissolutionoftheCorporation,itsassetsshallbedistributedforoneormoreexemptpurposeswithinthemeaningof§501(c)(3)oftheInternalRevenueCodeof1954(orcorrespondingprovisionsofsubsequentfederaltaxlaws),orshallbedistributedtothefederalgovernmentortoastateorlocalgovernmentforapublicpurpose,inaccordancewiththeArticlesofIncorporation.
