Avila, and Ricardo Zurek (collectively, “Plaintiffs”), by and through their attorney, allege the
following based upon the investigation of counsel, except as to allegations concerning Plaintiffs
which are based upon personal knowledge. The investigation of counsel included, among other
things, a review of public filings, bank records, FIT financial statements, media and news reports,
and publicly available documents and other information.

NATURE OF THE ACTION
1. This is a federal and state law action, brought by Plaintiffs, who invested funds
for trading in foreign currency with Defendant Jairo Enrique Sanchez (“Sanchez”) and
Defendant Dilia Margarita Baez (“Baez”) (collectively, “Defendants”), through their purported
corporation and/or limited liability company FIT International Group (“FIT Group”), FIT
International Group Corp. (“FIT Corp.”) and Forex Investment Team Inc. (“FIT New York”), as
well as other foreign corporate entities (collectively, “FIT”), between May 15, 2003 and August
25, 2009 (the “Investment Period”).1
2. This action is brought under Sections 6b(a) and 25(a) of the Commodities Exchange
Act of 1933 (“Exchange Act”) (7 U.S.C. §§ 6b(a)(2)(A)-(C), 25(a)), Sections 1962(c) and (d), and
1964(c) of the Racketeer Influenced and Corrupt Organizations Act of 1970 (“RICO”), (18 U.S.C.
§§ 1962(c)-(d), 1964(c)), and state common law, on behalf of Plaintiffs as defrauded investors to
recover damages caused to Plaintiffs by Defendants’ violations of the federal Exchange Act and
RICO statutes, and state common law.
3. Defendants orchestrated an international Ponzi scheme, stealing significantly in
excess of $100 million from deceived investors, including Plaintiffs, in the United States and
abroad. They executed this scheme principally through their Florida corporation, FIT Corp, and
through fraudulent representations concerning a nonexistent purported New York corporation
and/or limited liability company, FIT Group. Additionally, Defendants utilized at least three
other corporate instrumentalities in their scheme, including FIT New York, FIT Forex

Investment Team S.A. (“FIT Colombia”), FIT Forex Investment Team AG (“FIT Switzerland”),
as well as several other sham companies — all mere deceptive devices for Defendants’
fraudulent schemes.
4. There is little doubt that Defendants (through FIT Corp., FIT New York, along with
their foreign corporate instrumentalities) defrauded investors out of millions, for which they are
now facing criminal punishment. This action seeks to recover, on behalf of Plaintiffs as defrauded
investors, all of Plaintiffs’ funds fraudulently and unlawfully misappropriated by Defendants, as
well as interest, costs, attorneys’ fees, and any other damages recoverable under law.
JURISDICTION AND VENUE
5. This action arises under Sections 6b(a) and 25(a) of the Exchange Act, (7 U.S.C.
§§ 6b(a)(2)(A)-(C), 25(a)), Sections 1962(c) and (d), and 1964(c) of RICO, (18 U.S.C. §§ 1962(c)-
(d), 1964(c)), and state common law. In connection with the acts, conduct, and other wrongs
alleged herein, Defendants, directly or indirectly, used the means and instrumentalities of interstate
commerce, the United States mail, and international wires.
6. This Court has subject matter jurisdiction over this action pursuant to Section
25(c) of the Exchange Act, (7 U.S.C. § 25(c)), Section 1964(a) of RICO, (18 U.S.C. § 1964(a)),
and 28 U.S.C. § 1331. The Court also has supplemental jurisdiction over the state law claims
pursuant to 28 U.S.C. § 1367.
7. Venue is proper pursuant to Section 25(c) of the Exchange Act, (7 U.S.C. § 25(c)),
Section 1965 of RICO, (18 U.S.C. § 1965), and 28 U.S.C. § 1391, insofar as a substantial part of
the events or omissions giving rise to this action occurred within this District, including but not
limited to the use of the mails and other interstate facilities to communicate with and disseminate
misleading information and statements to clients. Defendants conducted substantial business and
maintained offices within this District.

FACTUAL ALLEGATIONS
I. Defendants Claimed To Be Experts In The Foreign Currency Trading (Forex)
Market.
146. For years, Defendants marketed themselves as foreign currency trading experts.
They purported to operate a school instructing others in Forex trading, and held themselves out as
experienced experts in this market.
147. Forex is the common name for the trading market in foreign currency, one of the
largest markets in the world. Forex trading is not conducted on a central exchange, but through an
interbank market, an over the counter exchange, where parties trade directly with each other over
the telephone or through electronic networks all over the world. The Forex trading market trades
approximately three trillion dollars per day. Most trading in the Forex market is speculative,
attempting to take advantage of movements within the exchange rates between currencies as
interest rates and other factors that cause them to change.
148. In an ordinary Forex transaction, investors trade two currencies, for instance buying
European Euros with United States Dollars, or vice versa. There are no commissions on the trade.
Instead, prices are quoted based on a spread between the buying and selling price for the currencies.
The major commonly traded currencies are designated, for example, EURUSD (euros to dollars),
USDJPY (dollars to yen), and GBPUSD (pounds to dollars). Forex trades are ordinarily traded on
margin, requiring only a relatively small deposit to trade larger positions in the market, sometimes
as low as 1% (requiring, for example, only a $1 deposit to trade $100).
149. Because there are no daily limits on trading or the hours for trades, except on
weekends, there is nearly always an opportunity to react to moves in the main currency markets
and a low risk of being caught in an investment without an opportunity to exit.

II. Defendants Created A Sophisticated, Fraudulent Corporate Enterprise To Execute
An International Ponzi Scheme.
150. Defendants marketed their expertise directly and through various different
corporate entities, including FIT Switzerland, a company incorporated in Switzerland and
registered as an investment advisor in Colombia, which was used to solicit clients in Colombia and
throughout the world, and FIT Colombia, a Colombian company which was not authorized to
solicit clients for investment purposes.
151. As an integral part of their scheme, Defendants claimed to execute a proprietary
Forex trading strategy through FIT Group, a purported corporation, and at other times a purported
limited liability company, organized under the laws of the State of New York. In reality, no such
company has ever been incorporated, as a corporation or limited liability company, in New York.2
FIT Group was merely a sham to avoid any legitimate, enforceable contractual relationships
with investors. All of the transactions supposedly executed by FIT Group were conducted by
Defendants and by other real corporate entities.
152. Defendants primarily solicited clients, including Plaintiffs, by marketing to them
through social connections. In particular, Mauricio Vasquez Uribe (“Uribe”), a dentist in
Colombia, advertised FIT Group and its purported stable returns to a substantial number of
investors. Uribe continually introduced Plaintiffs and other investors to FIT Group by hosting
investment meetings at his brother’s home in Miami, Florida, at his dental offices in Colombia,
and in investors’ homes. In soliciting Plaintiffs and other investors, Uribe gave them each the
same presentation regarding FIT Group and its Forex trading strategy, and showed each
investor the same video produced by Defendants regarding FIT Group. Uribe also showed

potential investors his personal investment statements from FIT Group and the profitable
returns that he had purportedly received from his investment. In addition, Uribe provided
potential investors with fictitious, unenforceable trading agreements to sign with FIT Group.
153. As Defendants began to solicit more investors, Baez incorporated FIT Corp. on
May 12, 2003 in Florida, in order to elevate the sophistication of the scheme and provide an added
measure of perceived legitimacy. Defendants used FIT Corp. to open bank accounts with JP
Morgan Chase, N.A. (“JP Morgan”) in New York, assuring Plaintiffs and other investors that their
money would be deposited into segregated accounts at a reputable United States bank.
III. Defendants Solicited Over $100 Million From Investors With False Promises Of
Consistent, Profitable Returns And Protection From Substantial Loss.
154. Defendants, directly and through their various entities, including FIT New York,
fraudulently marketed their fictitious Forex trading company, FIT Group, and promoted false and
misleading, invalid, unenforceable trading agreements with FIT Group to investors. They showed
investors false statements, promising consistent, profitable monthly returns of approximately 3-
4% over several years. Defendants falsely promised investors that their investments were protected
because FIT had stop loss measures in place to limit any negative losses on investments.
155. Defendants made numerous false statements and representations in the purported
contracts between FIT Group and the investors. Defendants fraudulently promised that FIT Group
“has all of the applicable required government approvals, licenses, and permits, including but not
limited to, if applicable, registration with the NFA [National Futures Association] as a commodity
trader advisor (CTA).” (FIT Trading Agreement at p. 17, attached hereto as Exhibit A). Moreover,
pursuant to the contract, Defendants, directly and through FIT New York and other corporate
instrumentalities, claimed that:
All customer accounts are segregated as a sub-account of one
major FIT account.
All customer accounts will have trades executed via the FIT

account and FIT trading lines.
The automated FIT trading system will distribute profits and
losses accordingly to all customers.
Id. at p. 14.
156. In reality, FIT Group did not exist, but rather was a device through which
Defendants defrauded investors. Defendants also defrauded investors through their other corporate
instrumentalities: FIT Corp., FIT New York, FIT Switzerland, and FIT Colombia. Defendants
were not registered with the National Futures Association (“NFA”) or the Commodity Futures
Trade Commission (“CFTC”). Although applications had been pending with the NFA, those
applications were never approved. Importantly, Defendants did not segregate customer accounts,
but rather pooled them into one account at JP Morgan and later Bank of America, both in New
York. Defendants did not engage in Forex trading as represented, but devised a scheme merely to
steal the funds that clients had invested with them.
157. Through FIT, Defendants collected over $100 million from Plaintiffs and other
investors, which was initially deposited into accounts at JP Morgan and later Bank of America in
August 2008. Over the course of the Investment Period, Plaintiffs individually invested thousands
of dollars with FIT. (See Master List of Individual Plaintiffs’ Investments and Withdrawals,
attached hereto as Exhibit B).
158. Defendants never invested Plaintiffs’ money in Forex trading as they had promised,
but merely siphoned it away to secret private accounts at JP Morgan, Bank of America, HSBC,
UBS, and Wachovia in order to use the funds for their own purposes.
159. In order to deceive clients that Defendants were trading on their behalf with
consistent, profitable returns, Defendants provided investors internet access, through
www.forexfit.com and www.fitcolombia.com, to false and misleading electronic monthly
statements that purportedly showed profitable foreign currency trades and increasing investment

returns over a consistent period. Contrary to their representations and statements, Defendants
never invested the amounts they had claimed and merely produced false trade statements to cover
their misconduct and report false profits to investors.
160. These false monthly statements showed consistent, stable returns to investors for
years, despite significant market volatility. Indeed, Defendants used these false returns to solicit
new clients and additional funds, claiming that their investment strategy was reliable and
profitable.
IV. As Their Scheme Began To Unravel, Defendants Prepared And Executed A Deceptive
And False Exit Scheme Claiming Fictitious, Massive Losses.
A. Preparing For An Eventual Exit, Defendants Crafted New Trading
Agreements to Deceive Investors About Their Legal Rights.
161. In anticipation of the inevitable collapse of their Ponzi scheme, in 2007,
Defendants prepared to deceive investors regarding the loss of their investments. First,
Defendants changed the purported trading agreement with FIT Group to allow FIT to “act as the
counter-party to the Trader in all such transactions.” (See FIT Second Trading Agreement at p.
2, attached hereto as Exhibit C). Had FIT been the counterparty during its years of purported
profitable returns, it would have lost its investors significant sums of money. Second,
Defendants broadened the purported arbitration provisions so that “[n]either Trader nor FIT
[Group] shall be entitled to join or consolidate disputes by or against others in any arbitration,
or to include in an arbitration any dispute as a representative or member of a class ....” Id. at p.

162. Although the trading agreements were invalid and unenforceable because FIT
Group did not exist, the changes allowed Defendants to further advance their fraud against
Plaintiffs and other investors. Now Defendants had the option of claiming “losses” in transactions
to which FIT was a counterparty in breach of the fiduciary duty owed to investors, and of deceiving

investors that had no legal recourse through legal action.
B. As Withdrawals And Redemptions Increased, And New Investors
Decreased, Defendants’ Ponzi Scheme Began to Publicly Unravel.
163. In November 2008, Uribe began warning investors to pull their money out of FIT
because he had concerns over their operations, after he visited Defendants’ purported New York
offices and found the offices empty. On December 1, 2008, Uribe redeemed his entire investment
in FIT of $2,269,655.65. When Plaintiffs and other investors questioned Defendants about Uribe’s
claims, Defendants publicly expressed outrage about Uribe’s actions and statements, and continued
to claim that they were operating a legitimate enterprise and that Plaintiffs and other investors’
money would be available to them at any time.
164. In December 2008, Defendants were forced to deposit over $6 million back into
the FIT Corp. operating account at Bank of America to continue meeting withdrawals and
redemptions. Defendants sensed a collapse of their scheme and made final preparations for an exit.
C. Defendants Executed Their Exit Strategy By Manufacturing Massive Losses
On Investor Account Statements For The First Time In Their History.
165. With the new trading agreements in place since 2007, and the scheme collapsing
under the weight of increased redemptions in December 2008, Defendants announced bad news
for the first time in their trading history.
166. In January 2009, FIT released statements with uncharacteristically low, but still
positive returns. While the returns varied amongst investors, the returns were generally well below
1%. In February 2009, FIT reported its first loss, showing uniformly negative returns of 1-2% for
each investor. In addition, FIT showed open trade positions with substantial losses in order to
avoid the potential for requested redemptions based on the February 2009 statements. This was
the first time FIT had open positions.
167. Upon receipt of weak profits in January, followed by losses and open positions in

February, investors began requesting significant redemptions of their investments. Despite
Defendants’ promises, Defendants never provided the requested redemptions.
168. By February 2009, Defendants began to expressly refuse to provide withdrawals
or redemptions to Plaintiffs and other investors, claiming that no client funds may be removed until
all open positions in the market were closed. This was the first time FIT had ever suspended
withdrawals or redemptions.
169. In March 2009, Plaintiffs and other investors began revoking the limited power of
attorney they provided to FIT Group to trade on their behalf, but Defendants never complied.
170. Additionally in March 2009, once the supposed open positions were closed, FIT
posted catastrophic losses purportedly up to between 70% and 80% of investor accounts.
Defendants never traded these positions, but merely manufactured false reports of losses on paper
transactions that they purposely selected after the fact to defraud investors.
171. According to Defendants, for each of the three claimed open positions, one in
GBPUSD (British Pounds to US Dollars) and two in EURUSD (EU Euros to US Dollars),
Defendants allegedly sold right before the market shot back into hugely profitable returns.
172. In the case of the two EURUSD positions, Defendants allegedly sold one and two
weeks before those positions would have reaped tremendous returns. Specifically, Defendants
purportedly sold the two EURUSD positions at $1.2460 and $1.2642, respectively, despite the fact
that they claimed to have originally purchased the positions at $1.3090 and $1.3072, respectively.
If the positions had sold only a couple weeks later on March 19, 2009, the prices would have risen
to $1.3661 — for a dramatic increase and profit.

173. Similarly, in the GBPUSD position, Defendants purportedly sold for a substantial
loss on March 10, 2009, the exact lowest point before a period of continuous recovery. If
Defendants had waited, the price would have fully recovered by April 14, 2009 and would have
become extremely profitable by June 2, 2009.
174. Moreover, not only did Defendants purportedly sell GDPUSD on the worst

possible date, but they oversold, taking a short position and selling the currency for an additional
significant loss to investors later on March 18, 2009.
175. Defendants’ timing was “too perfect” to be legitimate. With respect to both the
GDPUSD and EURUSD positions, Defendants claimed to have sold for substantial losses at the
lowest points those positions had ever been, a point to which they never returned.
176. This was merely a fiction manufactured on paper. The purchase dates for those
positions were purposefully selected to avoid extreme volatility and disastrous declines only
months before, which would have required Defendants to attempt to collect more money from
investors to cover the losses. In addition, the purchases were just at the right declines in the market
to create the perception of losses to wipe out investors’ funds almost completely.
177. Defendants had been looking for this opportunity for months. Defendants
purposefully chose the positions at the beginning of the month (February 9, 2009 and February 10,
2009) to allow them to manufacture losses that would purportedly occur right before statements
were made available at the end of the month. Defendants then claimed to have sold at the beginning
of the next month (March 3, March 10, and March 11, 2009) before any recovery movements could
disrupt their scheme. Despite these significant losses, FIT continued to produce statements
showing that clients had sizable investments remaining.
178. Meanwhile, FIT had almost complete redemption requests for the remaining
funds. Again, FIT falsely claimed that they were processing all requests and would issue returns
shortly. The returns never came. Plaintiffs and other investors demanded information to verify
the purported transactions that produced the catastrophic losses, including the counterparties
and interbank records. Defendants could not produce any evidence of the trades.
179. Rather than investing client funds in the particular Forex trading strategy they had
promised, Defendants merely parked clients’ funds in various JP Morgan, Bank of America,

HSBC, UBS, and Wachovia bank accounts and used the money to fund their fraudulent operation
to promote their Ponzi scheme. Defendants also paid themselves and friends, and misappropriated
substantial funds to other business ventures, including Swiss, Panamanian, and Colombian sham
companies controlled by Defendants.
CAUSES OF ACTION
COUNT I — FRAUD
180. Plaintiffs hereby incorporate by reference Paragraphs 1 through 179 as if set forth
fully herein.
181. Defendants made material, uniformly false statements to Plaintiffs in order to
solicit their investments through FIT Group. They falsely represented that FIT Group was a New
York corporation and/or limited liability company. In fact, FIT Group had never been
incorporated in New York or any other state. FIT Group was merely a fraudulent artifice (and
enterprise) created to avoid contractual liability to Plaintiffs. Defendants falsely represented that
FIT Group “has all of the applicable required government approvals, licenses, and permits,
including but not limited to, if applicable, registration with the NFA as a commodity trader advisor
(CTA).” (See Exhibit A, p. 17). In fact, Defendants did not have the proper license or government
approval to solicit or invest client funds. In addition, Defendants, directly and through FIT New
York and other corporate instrumentalities, falsely misrepresented that:
All customer accounts are segregated as a sub-account of one major
FIT account.
All customer accounts will have trades executed via the FIT account
and FIT trading lines.
The automated FIT trading system will distribute profits and losses
accordingly to all customers.
Id. at p. 14.
In reality, customer accounts were not segregated, trades were not executed as represented
by Defendants, and the FIT trading system was a sham.

182. Moreover, over the course of their purported trading in the Forex market,
Defendants produced numerous materially false and misleading client account statements,
purporting to show trades and profits with stable, consistent returns over a sustained period of
time, regardless of volatility in the market. Defendants had not traded in the currency and amounts
they claimed, but were merely siphoning money from clients for their own personal benefit and
use.
183. Defendants had actual knowledge that these statements and misrepresentations
were false when they made them.
184. Defendants made such statements and misrepresentations intentionally to induce
Plaintiffs to detrimentally rely upon them.
185. Plaintiffs reasonably and justifiably relied upon Defendants’ false representations
in deciding to invest and maintain their investments with Defendants. Plaintiffs had no knowledge
of, nor could they have had knowledge of, Defendants’ fraud.
186. As a direct and proximate cause of Plaintiffs’ reasonable reliance on Defendants’
intentional and materially false statements, Plaintiffs suffered damages in the following amounts:3

COUNT II — BREACH OF FIDUCIARY DUTY
187. Plaintiffs hereby incorporate by reference Paragraphs 1 through 186 as if set forth
fully herein.
188. Defendants owed a fiduciary duty to Plaintiffs. Pursuant to various account
agreements that Plaintiffs executed, Defendants, through FIT, agreed to take Plaintiffs’ money
and invest it in the Forex trading platform. Plaintiffs placed special trust and confidence in
Defendants to trade in the highly sophisticated and complex foreign currency exchange market
because Defendants claimed they had special knowledge and expertise in the field. This
special relationship of trust and confidence created fiduciary duties of care, loyalty, honesty,
and candor owed by Defendants to Plaintiffs. Defendants’ actions were a gross dereliction of
the duties owed to Plaintiffs, and were of such an extreme departure from the standard of care in
the industry so as to have been patently unreasonable and actionable.
189. Defendants breached a fiduciary duty owed to Plaintiffs by failing to act on behalf
of their clients and misappropriating Plaintiffs’ monies for personal benefit. Defendants, through
FIT, failed to trade in the manner advertised and failed to segregate Plaintiffs’ funds. Instead of
acting on behalf of Plaintiffs, Defendants perpetuated a massive money laundering and
embezzlement scheme in which they misappropriated millions of dollars in client funds for their
own personal benefit and use, and to further their fraud. Defendants engaged in multiple acts of
self-dealing and falsely reported trade activity and the status of Plaintiffs’ funds.
190. Defendants also breached their duty of care to Plaintiffs by engaging in a foreign
currency exchange and holding positions without any protection against losses in a period of
significant decline. Defendants failed to sell those foreign currency positions at a reasonable and
prudent time to prevent losses. Defendants failed to put in place stop-loss or stop-limit orders to
prevent unreasonable losses as promised. Defendants failed to purchase put options or sell futures
contracts to limit exposure to unreasonable risks of loss in the foreign currency positions.

192. Plaintiffs hereby incorporate by reference Paragraphs 1 through 191 as if set forth
fully herein.
193. Defendants, through FIT Corp., unlawfully converted investment funds from
clients for their own personal benefit and use. Over the course of several years, Defendants were
granted use of Plaintiffs’ funds for the sole purpose of investing those funds in the Forex Market
for Plaintiffs’ benefit. Defendants possessed and controlled Plaintiffs’ funds, claiming that they
were investing clients’ funds in the Forex market as promised and reporting significant profits.
194. Plaintiffs have a possessory right and interest in the millions of dollars they
invested with FIT.
195. Defendants exercised unauthorized dominion and control over Plaintiffs’ funds by
the unsanctioned diversion of those funds for Defendants’ own purposes. Defendants stole
Plaintiffs’ funds in furtherance of Defendants’ Ponzi scheme, for their own personal benefit,
including by diverting assets to foreign companies and entities associated with Defendants.
196. Plaintiffs’ investment funds constitute customer property. Defendants, through
FIT, are liable for having wrongfully and unlawfully converted these monies and are now
obligated to return all such monies to Plaintiffs.

198. Plaintiffs hereby incorporate by reference Paragraphs 1 through 197 as if set forth
fully herein.
199. Defendants were unjustly enriched through use of their Ponzi scheme for the
purpose of defrauding investors.
200. Plaintiffs conferred substantial benefits upon and enriched Defendants by providing
them with significant capital for investment. Contrary to Defendants’ representations, however,
Defendants did not invest the funds as promised but engaged in a fraudulent scheme to enrich
themselves.
201. Defendants’ enrichment was at the expense of Plaintiffs. All of the money that
Defendants diverted to Defendants’ personal accounts, which was used to maintain offices and
residential properties throughout the world, was stolen from Plaintiffs without any corresponding
benefit or compensation.
202. Defendants orchestrated a scheme merely to cheat investors out of their money.
Equity and good conscience requires restitution of all monies received by Defendants from
Plaintiffs, including the customer property Plaintiffs directly invested with FIT, and any profits
made from its use.

204. Plaintiffs hereby incorporate by reference Paragraphs 1 through 203 as if set forth
fully herein.
205. Defendants, through corporate instrumentalities including FIT Colombia and FIT
Switzerland, attempted to cheat and defraud, and in fact cheated and defrauded Plaintiffs, through
a Ponzi scheme based on purported foreign currency trading. Defendants willfully falsified reports
and statements concerning the profitability of Plaintiffs’ investments by misappropriating client
funds. In addition, Defendants willfully attempted to deceive, and in fact deceived Plaintiffs, by
providing and purporting to execute unenforceable FIT contracts, the terms of which Defendants
had no intention to comply.
206. These misrepresentations were material and made with intent to defraud Plaintiffs
and other investors.
207. Pursuant to Section 2(a) of the Exchange Act (7 U.S.C. § 2(a)(1)(B)), Defendants
are also equally liable for the same or similar violations by persons acting on their behalf, including
the managers, employees, and agents of FIT who executed any part of their fraudulent scheme and
efforts to deceive.

208. Defendants’ misconduct was in connection with orders to make, or the making of,
contracts of sale of commodities for future delivery, made or to be made, for or on behalf of other
persons.

210. Plaintiffs hereby incorporate by reference Paragraphs 1 through 209 as if set forth
fully herein.
211. Defendants acted as controlling persons within the meaning of Section 13c(a) of
the Exchange Act (7 U.S.C. § 13c(a)). As directors, officers, and majority shareholders with
direct supervisory and operational control, Defendants controlled FIT New York, FIT
Switzerland, and FIT Colombia, did not act in good faith, and knowingly induced, directly or
indirectly, their violations of Section 6b(a) of the Exchange Act (7 U.S.C. § 6b(a)(2)(A)-(C)).
212. As set forth above, supra ¶¶ 204-209, Defendants, through FIT New York, FIT
Switzerland, and FIT Colombia, violated Section 6b(a) by their deceptive, false and misleading
actions. As a consequence of their positions as controlling persons, Defendants are liable for the
actions of FIT Corp. and FIT New York in violation of Section 13c(a) (7 U.S.C. § 13c(a)).

214. Plaintiffs hereby incorporate by reference Paragraphs 1 through 213 as if set forth
fully herein.
215. Defendants are persons within the meaning of 18 U.S.C. § 1961(3), as individuals
or entities capable of holding a legal or beneficial interest in property. FIT International Group,
or FIT Group, is an enterprise within the meaning of 18 U.S.C. § 1961(4), as a group of individuals,
including Defendants, their corporate instrumentalities, and other persons, associated in fact
although not a legal entity. Thus, the “association in fact” enterprise had a structure and
organization and existed apart from its predicate acts. The enterprise had relationships among
those associated with the enterprise and longevity sufficient to permit these associates to pursue
the enterprise’s purpose. At all relevant times to this Complaint, the enterprise was engaged in,
and its activities affected, interstate and foreign commerce.
216. Each Defendant is distinct and separate from FIT Group, the association-in-fact
enterprise of which they are a component part. Defendants are the sole shareholders, officers, and
directors of FIT Corp. and FIT New York. Defendants marketed their fraudulent Forex trading
scheme through FIT New York. Defendants had access to Plaintiffs’ funds in bank accounts held

under FIT Corp. Defendants were all employed by or associated with FIT Group and both
conducted and participated, directly or indirectly, in the conduct of FIT Group’s affairs.
217. FIT Group was a Ponzi scheme organized to fraudulently solicit Plaintiffs’ funds
for a purported investment in foreign currency in order to misappropriate those funds for the
personal benefit and use of Defendants as co-conspirators.
218. Between 2003 and 2009, Defendants conducted or participated in the affairs of the
enterprise, FIT Group, through a pattern of racketeering activity in violation of Section 1962(c) of
RICO (18 U.S.C. § 1962(c)).
219. Specifically, Defendants have engaged in a repeated pattern of mail fraud (18
U.S.C. § 1341) and wire fraud (18 U.S.C. § 1343). As set forth above, supra ¶¶ 180 – 186,
Defendants purposefully created and participated in a scheme to defraud investors, including
Plaintiffs, for the purpose of stealing their funds for personal use. As an integral part of that
scheme, Defendants sent through the mails and international wires, false and misleading
advertisements to clients to solicit funds, and produced false and misleading statements showing
purported profits in the Forex trading market. This was the standard method by which Defendants
conducted their fraudulent business and how they covered up their misappropriation and
misconduct.
220. Between 2003 and 2009, Defendants engaged in conspiratorial conduct in
violation of Section 1962(d) of RICO (18 U.S.C. § 1962(d)). Each Defendant agreed that a
conspirator would conduct or participate in the affairs of the enterprise through a pattern of
racketeering. The conspiratorial objective of that mutual agreement was intended to obtain
Plaintiffs’ interests in business and/or property.
221. As a direct and proximate cause of Defendants’ conduct, Plaintiffs have been
injured in their business and property, and suffered damages in the following amounts:

fully herein, insofar as they are not inconsistent with the following allegations.
223. Defendants owed Plaintiffs a duty of reasonable care in the investment of their
funds. Defendants marketed themselves as experts in the Forex market, investing in foreign
currency. Defendants solicited funds for investment from Plaintiffs based on their expertise and
promises concerning their investment approach and strategy.

224. Defendants materially breached their duty by investing in and holding open
investments in foreign currencies in a period of significant decline. Defendants failed to exercise
reasonable and prudent care to prevent and/or minimize any losses. In addition, Defendants failed
to use reasonable methods to prevent losses in the investments.

PRAYER FOR RELIEF
WHERFORE, Plaintiffs pray that judgment be entered in their favor as follows:
a) In Counts One, Two, Three, Four, Five, Six, and Eight, awarding
$42,153,274.46 (calculated including pre-judgment interest through
September 30, 2019);
b) In Count Seven, awarding $85,326,138.20 (calculated including treble
damages on the actual damages (not including interest), plus pre-
judgment interest through September 30, 2019 on actual, non-trebled
damages);
c) Awarding Plaintiffs reasonable attorneys’ fees, expenses, and costs incurred
in connection with the institution and prosecution of this action; and
d) Such other and further relief that this Honorable Court deems just and
proper.
