CSE CIRCULAR INCORPORATION OF ENFORECEMENT PROCEDURES TO BE IMPLEMENTED ON LISTED PUBLIC COMPANIES VIOLATING LISTING REQUIREMENTS OF THE COLOMBO STOCK EXCHANGE

By way of a letter dated 13th October 2017, the Securities and Exchange Commission of Sri Lanka (SEC) has directed the Colombo Stock Exchange (CSE) to give effect to the enforcement procedures to be implemented on listed companies in relation to the following, which are enclosed as Annexure I thereto; a) Violation of Corporate Governance Requirements; b) Late submission or non-submission of interim financial statements; c) Late submission or non-submission of annual reports; d) Incidence of modified audit opinions in the audited financial statements; and

e) Incidence of an emphasis of matter on going concern in the audited financial statements The said Directive of the SEC [Ref: SEC/LEG/17/10/22] has been uploaded to the CSE Website (www.cse.lk). The Enforcement procedures set out in the said Directive of the SEC will be effective from 01st January 2018. The enforcement procedures in respect of 'modified audit opinions' and 'emphasis of matter on going concern' will be effective for all Annual Reports and Audited Financial Statements released after 01st January 2018. Further, the Default Board of the CSE will be renamed as the 'Watch List' with effect from 01st January 2018. The CSE would take steps to incorporate the aforesaid enforcement procedures to the CSE Listing Rules in due course.

The “Invest Sri Lanka Investor Forum” organized by the Colombo Stock Exchange (CSE) and the Securities and Exchange Commission of Sri Lanka (SEC) in association with CSE Member Firms, Listed Companies and supported by Asia Securities (Event Sponsor) and the Oxford Business Group (Exclusive Publication Partner) drew a strong interest among the investor community in New York. The Governor added that the Central Bank is well advanced in putting in place a flexible inflation targeting regime and added “The narrative is that the macroeconomics are improving, you have a tremendous location, you have a shift to a growth model which is capable of giving you more sustainable growth and the policies are being put in place to support that growth model. The growth framework is being strengthened through action in terms of the investment climate, investment promotion, trade facilitation and trade policy complemented by a pipeline of very ambitious projects. Commenting on the capital market’s role in contributing to the national agenda, CSE Chairman Mr. Ray Abeywardena stated that the CSE is fully geared to creating capital raising opportunities for both the public and private sector, which is set to make a vital contribution to the Government’s Vision 2025 and empowerment of private investment based growth. He added that providing a platform for state-owned enterprise reform through the stock market, facilitating the growth of SMEs through the introduction of an SME Board and providing other equity and debt capital raising opportunities to spur growth among Sri Lankan corporate entities remains to be a key priority at the CSE. A development drive focused on all investor segments, product diversification, improvements to governance and market infrastructure and further improvements to risk management were presented by Mr. Abeywardena as key facets of the way forward for the Sri Lankan stock market. The positive growth of the indices mark a reversal of the declining trend recorded in 2015 and 2016, during which the ASPI recorded a decline of 5.54% and 9.66% respectively. The performance of the market has also resulted in an improved involvement among investors, where the Daily Average Turnover is recorded at Rs. 943 million year-to-date, which is a 28% increase from Rs. 737 million in 2016. The Colombo Stock Exchange (CSE) and Korea Exchange (KRX) announce the signing of a memorandum of understanding (MoU) to establish a collaborative relationship focused on mutual development opportunities in the Sri Lankan and Korean capital markets. The MoU was signed by KRX Chairman Mr. Jiwon Jung and CSE Chairman Mr. Ray Abeywardena in Seoul on Monday, 20th November 2017 in the presence of H.E. Ms. Manisha Gunasekara, the Sri Lankan Ambassador to South Korea. In a development that is of particular interest to the Sri Lankan capital market, the MoU paves the way for collaboration between the CSE and KRX in the areas of new product development in equity and financial derivatives, new technology, business strategy and post-trade technology and systems. Speaking to mark the signing of the MoU, Mr. Jiwon Jung, Chairman at KRX said “Under the spirit of today's MoU, KRX will utilize its experience and technology in market development to closely collaborate with CSE in facilitating further capital market growth of both countries." Foreign investment in the stock market hits an all-time high in 2017

In what continues to be a promising year for foreign investor involvement in the stock market, 2017 has recorded an all-time high in foreign purchases during a year, with Rs. 105.1 billion (year-to-date) in foreign purchases this year passing the record of Rs. 104.7 billion set in 2014. The development follows signs of renewed foreign interest in the stock market in mid-2017, during which foreign purchases recorded for the first half of 2016 doubled in 2017 and recorded an all-time high for foreign purchases in the first half of a calendar year. Such foreign purchases have contributed to a net foreign purchase figure of Rs. 18.9 billion year-to-date, a figure that is substantial compared to foreign activity in 2015/16. Growing foreign interest in the market has also contributed to a 30% improvement in the Daily Average Turnover, where the figure has improved to Rs. 955 million (year-to-date) from Rs. 737 million in 2016. He is an experienced professional with a career spanning over 22 years, comprising diversified expertise in financial services including, treasury and investment management, capital market strategy and corporate finance advisory. The Colombo Stock Exchange (CSE) announces the following changes in S&P Sri Lanka 20 index constituents made by S&P Dow Jones Indices at the 2017 year-end index rebalance.

A revision of the S&P SL 20 methodology in March 2017 established the practice of a semiannual rebalance of the index (previously conducted annually), which is set to take place during the months of June and December each year. The revision also established the

inclusion of non‐voting ordinary shares listed by the respective companies of the S&P SL 20 Index, provided that such shares meet relevant liquidity requirements.

S&P SL 20 index includes the 20 largest companies, by total market capitalization, listed on the CSE that meet minimum size, liquidity and financial viability thresholds. The constituents are weighted by float-adjusted market capitalization, subject to a single stock cap of 15%, which is employed to reduce single stock concentration. The S&P SL 20 index has been designed in accordance with international practices and standards.
