NYLE Board Minutes via ZOOM

NYLE Board Meeting 6-26-2015 via ZOOM

In attendance: Mike Andrews, Robert Bicknell, Bruce Charleson, Tom Ellerbrook, Tom Glauber, Kylie

Holland, Marisa Keppler, John Krueger, Mike Miller, John Perna, Travis Perry, Jordan Russin, Frank Saluti,

Joe Sollitto, Jason Thacker, Phil Willerton, Scott Stahl, Brian Wright, Dave Gluck, and Tammy Wandler-

Ginexi.

Absent: Mike Duval, Alyson McLaughlin, Mike Yazwinski, Matt Durfee, Matt Medoff, Rob Alexander,

Fran Estey, Matt Kuiken, Dan Martin, and Sean Sullivan.

Meeting called to order by President Thacker at 2:10 p.m., and referenced the Sherman anti-trust

guidelines included in the board packets.

Secretary's report: a motion was made to approve the secretary’s report, motion seconded, motion

passed.

Treasury report: a motion was made to accept the treasury report, motion seconded, motion passed.

Total assets and liabilities at: $85,860.44. The treasury will review the upcoming investment spending

policy.

Membership report: total 83 members with 3 new retail members. Short of goal: 112. Jordan asked for

members to reach out to companies who have not renewed.

A discussion ensued regarding NYLE value: What does NYLE do on a month to month basis that can be

communicated??

Should NYLE's role be industry recruitment?

Updates getting buried in weekly wired. Possibly do something once a month through constant

communicate? Ask Andy for assistance.

Ask companies: "What are you doing to get young people in the door?"

Trustees to ask at board meeting: "What does NYLE need to do to assist/grow your business?"

Need to do something different: offer more tech training, offer training for new people to the industry?

It was concluded these were all good questions and should be included in the long range planning

committee's process.

Spring Conference: overall positive remarks.

Summer Outing: 66 tickets sold to date.

Timber Tour: 3 have registered to date, invites out, many State and locals are offering subsidies.

LBM Expo: booth has been contracted, next to NRLA's.

Winter Outing: options being looked at.

Industry recruitment: Kylie and Erin are working on some ideas, possibly sent out a survey to members

for input.

Publicity report: looking for members to make a video for Timber Tour, possibly film at Summer Outing,

while everyone is there.

Scholarship: need number of applications and compare to last year.

Marketing Subcommittee: Mike Duvall and Rob Bicknell are posting on face book and twitter.

Tech Task Force: skipped, no report.

NRLA/LBMDF: provided in board packets, and reviewed.

Trustees' report: given by all in attendance.

Old Business:

Children's Book Task force: will have a committee meeting, looking at digitalize book.

Proposed Bylaws Amendments: have been looked at by attorney, going through second rewrite, will

have available for August board meeting.

Investment/Spending policy: skipped, no report.

Nominating Committee: Dan Martin is talking with the new folks from Concord Lumber.

2015 Committee Listing: updated, and reviewed.

COI Policy and Forms: hard copies to be provided at August board meeting. Send out policy forms to be

reviewed prior to board meeting.

Review of NYLE goals:

1) Jason has had several conversations with Joe Miles. Mike Duvall will speak with Chuck at

Summer Outing.

2) Trustees: charge trustees with growing membership.

3) Conduct annual revisions of bylaws, NY regulations in place, have at August board meeting.

4) Goals/Objectives: website has been completed, no database for "tech" contact.

5) Mike Duvall is producing an article in the LC on apps.

6) Develop program for website and you tube video for Timber Tour.

7) Develop a NYLE marketing campaign: Scott Norrie willing to assist, involve social media.

8) ADD NYLE website to all marketing materials.

9) NYLE thinking about having something run in weekly wired 1 or 2x a month, possibly story about

a member

10) NYLE communications more content versus update.

LEGISLATIVE & REGULATORY NLBMDA & NRLA Looking for Members to Host Yard Tours in August Congress will be in recess during the month of August, and NLBMDA & NRLA are looking to capitalize on this opportunity to strengthen local relationships and build a solid grassroots network. NRLA is here to help contact your local legislators’ offices to schedule a yard tour, and assist in any questions or concerns members may have. If you are interested in hosting a yard tour, please contact NRLA’s government affairs department at 800.292.6752. Connecticut LDAC rescheduled its yard tour for the week of Aug. 10. All LDAC members willing to host local legislators at their yards should contact NRLA’s government affairs department at 800.292.6752. Connecticut’s special session concluded on June 30, and the House and Senate passed the state budget in a straight party-line vote. The state budget increases spending by 4.12% in fiscal year 2016, which requires approximately $1.6 billion in tax increases. Sales taxes, corporate taxes, personal income taxes, health provider taxes, and other insurance related taxes will be increased.

Maine RLDAM was successful in passing legislation that contains a safe harbor provision for retailers participating in the paint stewardship program, which takes effect in Aug. 2015. The bill was one of 65 bills that was vetoed by the Governor on July 16, which according to the Attorney General and legislature was after the 10 days he is allotted to veto bills. The Governor asked the Supreme Judicial Court for an Opinion of the Justices to determine whether or not the bills have become law without his signature or if the Legislature adjourned preventing the Governor from returning the vetoed bills. The Supreme Court did sided with the legislature, ruling that the 65 bills in question will become law without the Governor’s signature. The paint stewardship bill will become law in October. Massachusetts Boston has instituted a new diesel emissions regulation, but MRDLA worked with other groups and had material delivery vehicles and other groups exempted from the rules as they are not the direct contractor with the municipality. MRLDA would also like to ask members if they have any legislative or regulatory issues they can identify that they would like MRLDA to consider as priorities for the upcoming 2016 session. New Hampshire NHRLA continues to ask members to help identify any legislative or regulatory issues that are of concerns to them for the 2016 session. We would like to see if there are issues that members would like to become proactive on and start lobbying for these issues in Concord. New York In the waning hours of their extended session, NY passes the NRLA-NY sponsored bill exempting material dealers from retainage. NRLA-NY has met with the governor’s counsel since the bill passed and will continue lobbying for his signature. New Jersey NJBMDA held its first annual lobby day on June 25 and had productive meetings concerning mandated earned sick leave, an increase to the minimum wage, and legislation to ban light frame construction with legislators before the session ended. Many of the issues discussed will carry over until the next session and NJBMDA will continue to advocate on those issues. Rhode Island The Rhode Island General Assembly ended abruptly on June 25 with major issues still on the table. The General Assembly is technically in recess and can return at any time, and may decide to return to Providence for a special session this fall. One of the major issues that still needs to be addressed is the truck toll proposal, which would pay for infrastructure and bridge repairs. RILBMDA will be monitoring that issue closely and will need the help of members if this issue arises again later this year. Vermont The Vermont session ended with many issues unresolved, meaning they will carry over to the 2016 session. VRLDA continues to try to identify members that have been named in product liability lawsuits in order to push product liability reform. VRLDA is also asking members to help identify any legislative or regulatory issues that are of concerns to them for the 2016 session.

Rhode Island Legislative Update The following report is from Rhode Island Lumber & Building Materials Dealers Association (RILBMDA) lobbyist, Terrance S. Martiesian of Martiesian & Associates, and NRLA Legislative Coordinator, Ashley Ennis.

For additional information on this month’s legislative update, please contact Ashley Ennis at 800-292-6752 or

[email protected].

The 2015 Rhode Island General Assembly came to an abrupt end to the surprise of many, including the House of Representatives, when the Senate decided to recess, not adjourn, while the House was still in session. The ultimate status of many issues remains unresolved. Also, to be determined is whether or not the General Assembly will reconvene in the fall as the House Leadership would like to address a few major issues that would include the truck tolls assessment and infrastructure bridge repairs financed by a $600 million revenue bond whose ultimate cost is projected to be $1.1 billion over 30 years; charter schools; and the fate of the Red Sox stadium. The Senate had passed its version of the truck tolls, but it was not popular in the House. The House ultimately decided to also recess. If either the House or Senate had adjourned, they could only return to session if called in by the Governor. By recessing, as the General Assembly normally does, it can reconvene on its own. One can only guess what brought this General Assembly session to its sudden ending, but the reasons are many. Many similar bills were left with conflicting House and Senate versions and without the ability to reconcile their final language for passage. Also, left to be determined is will the House and Senate ultimately transmit legislation of the other House that each respective branch passed in concurrence to the Governor for enactment. If not, a number of issues will have to wait until the 2016 session for solution unless the General Assembly does ultimately agree to reconvene in the fall and finish business on agreed upon legislation. Some bills did make it to the Governor’s desk and others that “passed in concurrence”, meaning they have passed both the House and Senate in identical version, will become law if transmitted to the Governor.

A number of bills of importance to RILBMDA were acted on or were not acted on to the satisfaction of the Association. RILBMDA supported legislation that will allow employers to make voluntary contributions to their unemployment account, in order to lower the unemployment insurance tax rate for the following calendar year.

This legislation passed both chambers of the General Assembly and should be transmitted to the Governor. Also, supported by RILBMDA and passed in concurrence was legislation to establish a formula for the assessment of municipal construction permit fees; a bill that exempts from taxation residential property development not completed, or if completed, not sold and occupied; and, a bill that provided for notice of mechanics’ lien either as being incorporated with a contract, or a separate document within 10 days of commencement of work or delivery of materials. Hopefully, these bills will be transmitted to the Governor. The 2015-16 State Budget did include a number of articles that addressed issues supported by RILBMDA including tax credits for job creation and for qualifying real estate development property; corporate investment; small business loans, including micro loans; and, access to capital for small but expanding entities. In addition, a state run health insurance exchange is now in statute, and its mission has been reduced to providing a marketplace for plan comparison and enrollment to permit eligible small businesses and individuals to access the federal subsidies. Also, the present assessment cannot exceed that of the federal exchange which for now is 2.6% premium tax for the individual market and 0.59% premium tax for the small employment market. This is much lower than originally proposed in the Governor’s budget. Lastly, legislation strongly opposed by RILBMDA and not enacted were a number of bills that proposed to expand the number of municipal economic development (MED) zones permitted by law and/or expanded the proposed MED Zone area to include not only new construction but commercial property restoration: a great victory for RILBMDA!

CONFLICT OF INTEREST POLICY

OF

NORTHEASTERN YOUNG LUMBER EXECS

ARTICLE I – PURPOSE

The purpose of this policy (the “Policy”) is to protect the interests of Northeastern Young Lumber Execs (the “Corporation”) when it is contemplating entering into a transaction or arrangement that might benefit the private interest of a Director, Officer, or Key Employee of the Corporation. The Corporation will not enter into any such transaction or arrangement unless it is determined by the Board in the manner described below to be fair, reasonable and in the best interests of the Corporation at the time of such determination.

This Policy is intended to supplement, but not replace, any applicable state and

federal laws governing conflicts of interest applicable to non-for-profit and charitable organizations.

ARTICLE II - RELATED PARTY TRANSACTIONS AND

DUTY TO DISCLOSE

A Related Party Transaction is not necessarily a prohibited transaction. Under this Policy, if the Corporation contemplates entering into a Related Party Transaction, the Board must determine if the transaction is fair, reasonable, and in the best interests of the Corporation at the time of such determination.

If at any time during his or her term of service a Related Party acquires any Financial

Interest or when any matter for decision or approval comes before the Board in which a Related Party has a Financial Interest, that Financial Interest must be promptly disclosed in writing to the Board together with all material facts. The Board will then follow the procedures in Article 4 of this Policy.

Failure to disclose to the Board a known Financial Interest or a known potential

Related Party Transaction may be grounds for removal from the Board or termination of

employment by the Corporation.

ARTICLE III - DISCLOSURE AND VOTING

Disclosure. Any Related Party shall disclose in good faith all material facts of his or her Financial

Interest to the Board.

Non-Participation and Review. All transactions, agreements or any other arrangements between the Corporation and a

Related Party, and any other transactions which may involve a potential conflict of interest, shall be reviewed by the Board. All Related Parties with a Financial Interest shall leave the room in which such deliberations are conducted. The Board will then determine whether the

contemplated Related Party Transaction is fair, reasonable, and in the best interests of the Corporation at the time of such determination. The Corporation will not enter into any Related Party Transaction unless it is determined to be fair, reasonable and in the best interest of the Corporation at the time of such determination.

Consideration of Alternate Transactions and Comparability Data.

If the contemplated Related Party Transaction pertains to compensation for services or the transfer of property or other economic benefit to a Related Party, the Board must determine that the value of the economic benefit provided by the Corporation to the Related Party does not exceed the value of the consideration received in exchange by obtaining and reviewing appropriate comparable data prior to entering the transaction.

In those instances where the contemplated Related Party Transaction does not involve

compensation, transfer of property or benefits to a Related Party, the Board must consider alternative transactions to the extent possible, prior to entering into such transaction. Voting.

The Board shall, after considering alternate transactions and/or comparability data, determine in good faith by vote of the Board whether the transaction or arrangement is fair, reasonable, and in the best interest of the Corporation at the time of such decision. The transaction shall be approved by not less than a majority vote of the Directors present at the meeting. In conformity with the above criteria, the Board shall make its decision as to whether to enter into the transaction or arrangement and shall document the meeting contemporaneously under Article VI of this Policy.

A Related Party with a Financial Interest may not be present for deliberations and

voting on the transaction or arrangement in which he or she has a Financial Interest. However, Related Parties are not prohibited from providing information regarding the

transaction to the Board prior to the Board’s deliberations. Only Independent Directors shall vote on Related Party Transactions. No Related Party shall vote, act, or attempt to influence improperly the deliberations on any matter in which he or she has been determined by the Board to have a Financial Interest. Any attempt to vote, act, or improperly influence deliberations by a Related Party on any matter with which such person has a Financial Interest may be grounds for removal from the Board or termination from the Corporation. Compensation.

A voting member of the Board of Directors or an Officer who receives compensation directly or indirectly from the Corporation for services or a Director serving as a voting member of any Committee whose jurisdiction includes compensation matters is precluded from voting or acting on matters pertaining to that Director’s or Officer’s compensation.

The Board may delegate to a Committee which shall be composed solely of Independent Directors, the adoption, implementation of and compliance with this policy. The Board may delegate to that Committee review and approval of any Related Party Transaction involving a Related Party and the Corporation, as contained in this Policy; provided that if the Related Party Transaction would otherwise require full Board approval, the Committee shall submit the Related Party Transaction to the Board for consideration, providing its recommendation as to whether or not to approve it.

FOCUS #1: LEADERSHIP DEVELOPMENT

This key area deals with developing the future leaders of the LBM industry in the Northeast.

Goals/Objectives

2013

1. Create direct, personal connections between NYLE & NRLA board leaders. The ideal

relationship would be set-up in “circular mentoring”—where each of the paired leaders could

learn from the other’s strengths and experiences. Such relationships can start at a relationship-

building event held at Spring Leadership Conference, Summer Outing, NRLA Spring Meetings,

and/or LBM Expo; the goal is to build these connections so NYLE leaders will feel comfortable

to continue to communicate, network and consult with these experienced volunteer leaders. Also:

hold a reception before or after the NYLE Annual Meeting at the Expo.- Rita proposed to NRLA

Exec Cmt- they were “extremely receptive.” Plan to begin at Expo 2015.

President with Chairman

1VP with Chair Elect and Membership Chair

2VP with Vice Chair

Treasurer with Treasurer

Ex-Officio with Immediate Past Chair

2. Develop role and responsibilities of state and local trustees; these individuals should be more

fully utilized; require to serve on a committee; this provides a service to NYLE and helps

develop this position as additional back-up to the organization’s leadership.- 1st VP- Thacker

3. Re-emphasize importance of all NYLE Committees—requiring everyone to have, at

minimum, a chair, one board member and one non-board member; create committee chair

orientation so every committee develops goals and objectives for the year; each should

benchmark as part of their reporting to the Board.

4. Look for new additional opportunities for the NRLA Executive Committee to join

NYLE events: NRLA’s Spring Meetings, NYLE’s Spring Conference, NRLA’s Annual Meeting

One of the most important roles of the NRLA is to provide support to its state and local affiliate associations (S&Ls): meeting/event planning and administration, financial reconciliation, tax return preparation, administering education, and managing legislative activities. Additionally, NRLA works closely with S&L boards of directors to assist in the development and implementation of programs and services, and to lend support to the volunteer leadership.

Please give this to each board member to be filled out independently, or fill it out as a group during a regularly scheduled meeting. Return completed evaluations to Rita Ferris via one of the methods provided at the end.

Rate each service on a scale of 1 to 5, with 5 being the highest. If you give less than 4, please comment.
