Minutes of the WJFF Radio Catskill Board of Trustees Meeting held on January 24 th , 2018 at Town of Callicoon Town Hall, Jeffersonville, N.Y. (Springhetti, Lomax) In Favor: Bruno, Geary, Hulit, Lomax, McDaniel, Page, Peterson, Pomeroy, Springhetti Opposed: None Abstaining: McCullough (was on leave of absence at the time of that meeting) Revisions to the Agenda: Kit Hulit requested that the second public comment period be held before the executive session. She reported that the CAB would not be giving a report at this meeting. First Public Comment Section: No comments General Manager’s Report: Dan Rigney presented both his report and a report from the program director. Copies are attached to these minutes. Treasurer’s Report: Because Ken Hilton is away we just looked at the QuickBooks reports. Committee Reports Executive Committee: Pat Pomeroy spoke about meeting locations, about the need for the Nominating and Governance Committee to meet and said that she would step in as chair of that committee. It was announced that Dante DeLeo tendered his resignation from the board by email shortly before the meeting, so there is now one less person on the committee, which was chaired by John Nordstrom prior to his resignation from the board. Pat reported that the Nominating and Governance Committee needs to get busy recruiting potential trustees. She reviewed the terms of current trustees. There was also a discussion of the need to recruit members of the CAB. Finance Committee Report: Thane Peterson reported that the Finance Committee finished revising the Endowment Policy to make sure its language was consistent with Radio Catskill’s Gift Policy. (The revised endowment policy is attached to these minutes.) General Manager’s report for Board of Trustees Meeting 1/24/2018 1) Community Outreach

Since the last board meeting, I have continued to meet with members of our listening area’s community members to introduce myself, learn about the organization and their history with WJFF and begin to envision ways to enrich our relationships. My face-toface meetings include:

NY Assemblywoman Aileen Gunther DVAA Exec Dir Ariel Shanberg (2x) Latino Alliance of Sullivan County - Allen Weir Sullivan Agencies Leading Together (SALT) - Martin Colavito Sullivan Renaissance - Denise Frangipane SUNY Sullivan, President - Jay Quaintance Delaware Valley Job Corps - Dan Bohan SUNY New Paltz, Career Services, Beth King Ken Hilton and I presented at the Honesdale Rotary’s monthly meeting on January 9. Jim Lomax and I will attend the Liberty Area Rotary Club meeting on March 7. Today I participated in the Sullivan Renaissance sponsored Liberty Networking Group Liberty. I will present at Sullivan Renaissance’s monthly Liberty Networking Group meeting on February 21. I am happy to have another board member join me as well. Next week Andrea and I will participate in a second Liberty Networking group organized by Marty Colavito of SALT. I am also setting up a meeting with Catskill Art Society’s Sally Wright. I have also been meeting with various members of WJFF’s board and volunteers as I continue to learn more about the station and the people who help keep it alive. I was please to meet many of our volunteers at the January 6 Volunteer Appreciation Event in Callicoon. I have renewed WJFF’s membership with New York Council of Nonprofits (NYCON), and joined the New York State Broadcasters Association (NYSBA). These groups, along with our ongoing NFCB membership, will expand our statewide contacts and offer new resources for the station’s development as an organization. 2) Development and Fundraising: 2017 End of Year Gifts: $12,665 Year End On-Air Fund Drive: A payment for the pledge of $5,000 wire transfer (Anonymous match) has been received. Total received should be above $39,000, with renewal membership yet to be counted. Barbara Demarest has continued to reach out to lapsed Sound Supporters to provide updated credit card information.

John Bachman sent $400 for Music Sale from eBay sales 2018 dates for bulk mail and on air fund drives have been set:

Spring Fund Drive begins April 6 - Renewal mailing to be sent March 9 Summer Fund Drive begins July 20 - Renewal Mailing to be sent June 8 Year End Fund Drive begins October 26 - Renewal Letter to be sent Sept. 21

Goal for each on-air drive is $50,000 I have been reviewing our Underwriting Policies and am beginning to reach out to renewal prospects. I have already had an initial meeting with Kirsten Foster of Foster Supply Company and will be meeting shortly with the Himalayan Institute and Catskill Brewery. WJFF will renew our reciprocal in-kind sponsorship with DVAA for 2018 2) Liberty Property As previously reported to the Board, the sudden deep freezes in December resulted in repairs being needed to the water meters in both buildings. The freeze also revealed significant issues with the existing plumbing in Building Two - the “White House.” Facilities Chair Martin Springhetti and Scott Campbell have mitigated these issues, and the property is being regularly checked by myself and others. No further repairs to Building Two are planned for the immediate future, though we will not be able to heat this building as planned this winter. The Liberty property drive is now being plowed as needed. I have been working with the Executive Committee - particularly Pat Pomeroy and Kit Hulit - on making the necessary steps needed to move forward on renewing the tax-exempt status of the Liberty Property with the Town of Liberty Tax. After a conversation at the planning office this morning, the issue has been clarified. It is the feeling of the code enforcement officer and at least one Planning Board member that our ‘change of use’ is to an ‘office/professional use. Such a use would not trigger a review by the planning board. WJFF needs to submit a full Building Permit application with current site plans and as built site plans (stamped by an architect). The permit application also needs to have a contractor named and so the insurances reviewed. The Code Enforcement officer will review it and indicate approval disapproval. Once the plan is approved, WJFF will then have a building permit and a CO, both indicating the change of use. There is no such thing as a separate ‘change of use’ permit. We will need to submit this within the next couple weeks in order to be approved and complete what is needed for the renewal of the non taxable status of the property. The Renewal form is due in the assessor’s office March 1. Moving forward I will act a single point of contact with the Town of Liberty. Obviously this is still a very tight turnaround and I will reach out to all 3 architect candidates tomorrow. Architect David Burke - currently of Grimshaw Architects - visited the site at my invitation and may also submit a proposal.

I am drafting the Letter of Inquiry for a possible New York State Dormitory Authority Capital Grant to support the project for Aileen Gunther’s office to review. 3) Marketing I have begun to talk to David Dann about redesigning our print brochure and also reviewing our visual marketing as a whole. It is my intent to have 3 different brochures created for Membership, Underwriting and Planned Giving. Martin Higgins and I have begun to talk about creating an overall marketing plan for the station. Paul Henshaw has been working on updating the WJFF mobile app in order to bring it back online. We are hopeful the Android app will be back online within the next couple weeks. iOS will take longer due to Apple’s approval process. Once completed, we will work on a longer term strategy for the app looking at adding more functionality and an 4) Programming I sat in on the Programming Committee meeting on January 2. WJFF has added two syndicated programs to its lineup - 51% and Only a Game. See Program Director’s report for complete scheduling changes 5) Operations Nick Straka upgraded the phones, installed turntables. He is working on a cost analysis for the Liberty Studio’s technical needs. 6 ) Finance - added as a signatory, 2018 Budget entered into QB 7) Gary Schuster Representation Letter I have submitted for the board’s approval a retention agreement for attorney Gary Schuster of Jacobowitz and Gubits in Orange County. Gary is a recognized expert in New York State nonprofit law, a board member of the New York Council of Nonprofits (NYCON) and would be available to me for consultation on the move and other matters concerning WJFF as a nonprofit. I have worked with Gary at a number of my previous positions including at ReThink Local and Manitoga.

NEW: The Attitude with Arnie Arnessen, daily political talk program from NH, rounds out Mon, PM Politics at midnight NEW: Fifty-One Percent, weekly women’s roundtable/talk program from WAMC, airs 2.pm. after NPR Headlines Retro Cocktail Hour, a tasteful mix of lounge, easy listening, exotica & more replaces Gandalf from noon to 2 Wednesday Change: NEW: – The Spin – “All Women Media Panel” from the African American Public Radio Consortium, hosted by Esther Arma , airs at noon Thursday Change: NEW: Something Old, Something New – Kit Hulit will take over the fourth Thursday of the month during Mark Shulgasser’s time slot, playing a mix of vintage and modern classical music Saturday Changes: NEW: – Only A Game – NPR’s only sports show, focuses on telling the stories of the people who play the games. SPECIAL PROGRAMMING REPORT: With major holiday eves falling on Sunday this year, we were able to do marathon holiday programming for both Christmas Eve and New Year’s Eve. On Christmas we had a mix of local and national music programming going from 6p.m. to 5a.m. The following week, we brought back “Beatles New Year” with an all-Beatles marathon all night hosted by WJFF volunteers. We had live volunteers on air right through midnight. Both holidays got a great response. We were also able to air more than 12 hours of special programming for Martin Luther King Day this year, spread out from Sunday afternoon through Monday Evening, January 15th. WJFF took part in the live national mini-series “Beyond #Me Too” from WNYC, focusing on the issues surrounding women’s rights, sexual harassment, and the cultural shift we seem to be living through. It’s been a great compliment to WJFF’s own programming, and I’m glad our local music hosts (David Dann, Brad Mann, John Gordon) were able to accommodate. Part 3 airs tonight at 8 (1/24) and Part 4 airs tomorrow night at 8.

Thisfollowingstatement,inconjunctionwiththeWJFFFinancialAccountingPolicy,WJFFGiftPolicyandtheWJFFInvestmentPolicy(asofthisdatenotyetwrittenorapproved)governthestation’sinvestment

andendowmentpolicies.

Purpose

ThispolicyestablishesWJFF’sendowmentpurposes,policies,guidelinesandobjectivesforthestation’s

investments.Indoingsothepolicy:

*DefinestheWJFFEndowmentFundasanendowmentfundofcash,securities,orotherassetssetaside

inperpetuitytoprovidelong-termfundingforthestationinfulfillingitsmissionwhilepreservingthe

legacyofitsdonors.

*Outlinesthreetypesoflong-terminvestments:

EndowmentFund,aRestrictedFundhereafterreferredtoastheWJFFLegacyFund.Theprincipaloftheendowment(LegacyFund)willbeinvestedandanannualincomestreamwillbe

drawnthatwillbothservetheimmediateneedsofthestationwhilepreservingandgrowingthe

principalovertime.

TemporaryRestrictedFundthatisusedforaspecificpurposesetforthbythedonor(s)and/ortheWJFFBoardofTrustees.Suchfundsarerestricteduntilspentfortheirintendedpurpose.(A

CapitalCampaignisagoodexample)

OperationalReserveFund,apartially-restrictedfundthatmaybeused,withtheapprovalofa

two-thirdssuper-majoritytheBoardofTrustees,forgeneraloperationsorotherpurposesto

fulfillthemissionofWJFF.InkeepingwiththegoalsoftheWJFFStrategicPlan,thiswillbea

“rainydayfund”–establishedtoensurethestation’sabilitytocoverunexpectedcoststhat

mightthreatentheviabilityofthestation.TheBoardofTrusteeshasdirectedthat,beginningin

2023,theOperationalReserveFundberegularlymaintainedatnolessthan50%oftheannual

budgetexceptforfinancialcrisesrequiringitsuse.

aregenerallyandgratefullyacceptedbyWJFF.However,asnotedintheWJFFGiftPolicy,theWJFF

BoardofTrusteeshasestablishedgiftacceptanceandadministrationguidelinesforalldonationsto

ensurethatsuchgiftsalignwiththemissionofthestation,arenotundulyrestrictiveorcumbersomein

theiradministration,accordwiththestation’sby-lawsandapplicablestatutesandgovernment

regulations,anddonotattempttoinfluenceprogrammingordictatepolicy.

TheWJFFLegacyFund

Thisisapermanently-restrictedendowmentfund.Itprovidesatooltoreachmoneysotherwisenot

availabletoWJFFRadioCatskillthroughannualfundraisingbyofferingsupportersoffinancialmeansthe

opportunitytomakegiftstothestationinperpetuity.Theintentistoinvesttheprincipalofthe

endowmentandannuallydrawanincomestreamthatwillbothservetheimmediateneedsofthe

stationwhilepreservingandgrowingtheprincipalovertime.Thiswillultimatelyprovidemorefunding

tosupporttheprogramsandservicesprovidedbyWJFFinfulfillmentofitsmissionwhilehonoringthe

legacywishesofourdonors.

DonorIntent

Absentspecificdonordirection,giftsoflessthan$10,000willbeusedatthediscretionofthestation.

Unspecifieddonationsgreaterthan$10,000,butlessthan$50,000willbehandledinthefollowing

manner:50%ofsuchdonationswillbedesignatedaspermanently-restrictedfundsandaddedtothe

WJFFRadioCatskillLegacyFundwheretheywillbenefitthestationinperpetuity.Theremaining50%

willbedepositedintotheRainyDayFund,andusedforstationneedsasdeterminedbytheBoardof

Trustees.Unspecifieddonationsof$50,000orgreaterwillbehandledinthefollowingmanner:20%

willbedepositedintotheOperationalReserveFundandusedforstationneedsasdeterminedbythe

BoardofTrustees.Theremaining80%ofthedonationwillbedesignatedaspermanently-restricted

fundsandaddedtotheWJFFRadioCatskillLegacyFundwheretheywillbenefitthestationandhonor

thedonorinperpetuity.

ANamedFundcontributedtoWJFFmustbeapprovedbytheBoardofTrusteespriortoacceptance.

WJFFsubscribestotheDonorBillofRightsoftheAssociationofFundraisingProfessionalsexistingasof

ManagementandInvestmentoftheLegacyFund

ThefinancialpurposeoftheWJFFLegacyFundistoprovideWJFFRadioCatskillwithaconsistentsteam

ofincometosupportitsprogramsandfulfillitsmission.TheinvestmentmanagementoftheWJFF

LegacyFundisdirectedtowardmaximizingthereturnofprincipalwhilemaintainingprudentfiscal

practicesandinvestinginsocially-responsibleinvestmentsconsistentwithourassetallocationmodel.

Specificinvestmentobjectivesaretwo-fold:

1) Togenerateaconsistentandstablestreamofincomeforon-goingoperatingandprogramming

purposes.

2) ToappreciateandgrowtheWJFFLegacyFund’sprincipalforthelong-termbenefitofWJFF

RadioCatskillaswellastoprotecttheWJFFLegacyFundassetsfromtheerosionofinflation.

ThemanagementoftheWJFFLegacyFundwillbeguidedbythefollowing:

1) TheWJFFFinanceCommittee,withtheapprovaloftheBoardofTrustees,willdevelopspecific

investmentguidelines,includingassetallocations,prohibitedsecurities,andperformance

objectives.(WJFFRadioCatskillInvestmentPolicy)2) Along-termratherthanshort-terminvestmentapproachwillbeapplied,thoughhigh-risk

securitieswillbeavoided.

3) Theprincipalwillbepreservedandgrowovertime.Donorscanbeassuredthattheirgiftsto

WJFFRadioCatskillwillbenefitthestationandhonortheirgenerosityinperpetuity.

4) TobalancetheeffectsofinflationandtoguaranteetodonorsthattheirlegacyinWJFFwillbe

preserved,onlyamodestincomestreamwillbeannuallydrawn.TheFinanceCommittee,with

theformalapprovaloftheBoardofTrustees,willannuallyrecommendthatyear’spercentageof

returnforwithdrawalandusebythestation.Downturnsintheeconomymaytemporarily

resultintappingfundsfromtheprincipal,thoughthemodestrateofincomewithdrawalwill

ensurethelong-termgrowthoftheprincipal.

5) TheFinanceCommittee,withoversightbytheBoardofTrustees,ensuresthatthefiduciary

responsibilitiesconcerningthepropermanagementoftheWJFFLegacyFundarefulfilled

throughappropriateinvestmentstructuresandpractices,andproperlyreviewedbyannual

audits.

Confidentiality

1) WJFFRadioCatskill,itsstaff,volunteers,andTrusteesrespectandhonortheinterestsofits

donorsinanygiftplanning.Donorscanexpectthattheactionsandwordsofrepresentativesof

WJFFRadioCatskillwillreflectthemissionandvaluesofthestation,whileabidingbythe

promisesofthe2015DonorBillofRightsoftheAssociationofFundraisingProfessionals,which

isattachedtothispolicyasAppendixA.

2) InformationlearnedbyanyrepresentativeofWJFFRadioCatskillaboutadonororthedonor’s

assetsorphilanthropicintentionswillbeheldinstrictconfidence.Alldonorswillbeencouraged

tonotifythePresidentoftheBoardofTrusteesand/orthestation’sGeneralManageroftheir

LegacyFundgifts,whetheroutrightorplanned/estategifts,includingbequests.Allsuch

informationwillbekeptconfidentialunlesspermissiontoreleasethatinformationisobtained

fromthedonororhisorherheirsorcounsel.

3) IfthereshouldcomeatimethatWJFFRadioCatskillisnolongerabletousetheLegacyFundfor

transferredtotheDelawareValleyArtsAlliance.Ifthatorganizationisnolongerinexistence,

thetotalLegacyFundwillbegiventotheCommunityFoundationofOrangeandSullivan.

RevisionsandAmendments

ThispolicywillbeperiodicallyreviewedbytheWJFFFinanceCommitteeandBoardofTrusteesandmay

Board Report DCOC Meeting

January 17, 2018/WJFF Station House @ 6:00 PM Members of the DCOC committee did an extensive review of fund-raising activities that occurred during 2017.

• Last years Mid-Winter event was favorably reviewed and will be repeated this year. (see discussion about this event under New Business). It produced some net profits but has potential of producing more.

• The Spring Auction was not as well attended as in prior years due to having

to give up a holiday weekend Saturday and rescheduling it 3 times it decreased attendance. Suggestions were was made that we consider a new location such as the Narrowsburg Inn or another local fire house such as Youngsville so that we will be able have a better choice of dates Kevin McDaniel and Pat Pomeroy agreed to co-chair this event and look for another location.

• There was a discussion concerning the Major Donor Appreciation event held

last June. All agreed that scheduling is important, and that August would be a better month, although it will always conflict with other local events. This does not generate income and should be income neutral. Jim Lomax will work on finding a location and set up along with staff support.

• Awards ceremony was addressed. Comments were made that it was too

expensive for many. As part of an event like this, we also needed to comp the honoree and his/her guests reducing revenue from the event. Jim Lomax and Dante Deleo will co-chair this event.

• Music and Electronics Sale is our jewel and well run by John Bachman and associates. Proceeds were down this year because of less electronic equipment for sale. It was felt that this event needs to be promoted through the spring, summer and fall. Having it the Saturday after Thanksgiving is a good time.

• There were suggestions made about splitting off the Spring auction/silent

auction and creating a Liberty Flea Market held on our property and inviting local folks to set up their own tables to sell. We would charge a reasonable vendor fee. It would also work to introduce the public to our new facility. This could be a June/July event with little overhead expenses.

• Martin Higgins suggested that we explore joining with DVAA and CAS to hold

an art event in which people would pay a fee to attend and be guaranteed that each attendee would go home with a work of art. Martin has agreed to develop the outline of an event in which all 3 non-profits would share proceeds but also make sure that artists are reimbursed. Martin and Dan will work together on putting a meeting together with WJFF and CAS.

• Mid-Winter Event: This will be held later February/early March. The general

theme will be a SALSA dance event with proceeds being shared between WJFF and an organization that is working in Puerto Rico. This event is being actively planned.

• Dan introduced a concept he is developing in which the station will approach

local businesses to be co-sponsors and underwriters for our fund-raising events for the year. He will bring this back to the committee and BOT.

Board of Trustees WJFF Radio Catskill P.O. Box 546 Jeffersonville, NY 12748 Dear Board of Trustees, We are pleased to confirm our understanding of the services we are to provide for WJFF Radio Catskill for the year ended December 31, 2017. We will audit the financial statements of WJFF Radio Catskill (the “Organization”), which comprise the statement of financial position as of December 31, 2017, the related statements of activities and cash flows for the year then ended, and the related notes to the financial statements. Audit Objective The objective of our audit is the expression of an opinion about whether your financial statements are fairly presented, in all material respects, in conformity with U.S. generally accepted accounting principles. Our audit will be conducted in accordance with auditing standards generally accepted in the United States of America and will include tests of your accounting records and other procedures we consider necessary to enable us to express such an opinion. We will issue a written report upon completion of our audit of the Organization’s financial statements. We cannot provide assurance that an unmodified opinion will be expressed. Circumstances may arise in which it is necessary for us to modify our opinion or add an emphasis-of-matter. Audit Procedures Our procedures will include tests of documentary evidence supporting the transactions recorded in the accounts and direct confirmation of receivables and certain assets and liabilities by correspondence with selected individuals, funding sources, creditors, and financial institutions. We will also request written representations from the Organization’s attorneys as part of the engagement, and they may bill you for responding to this inquiry. At the conclusion of our audit, we will require certain written representations from you about the financial statements and related matters. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements; therefore, our audit will involve judgment about the number of transactions to be examined and the areas to be tested. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of significant accounting estimates made by management, as well as evaluating the overall presentation of the financial statements. We will plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement, whether from (1) errors, (2) fraudulent financial reporting, (3) misappropriation of assets, or (4) violations of laws or governmental regulations that are attributable to the Organization or to acts by management or employees acting on behalf of the Organization.

Because of the inherent limitations of an audit, combined with the inherent limitations of internal control, and because we will not perform a detailed examination of all transactions, there is a risk that material misstatements may exist and not be detected by us, even though the audit is properly planned and performed in accordance with U.S. generally accepted auditing standards. In addition, an audit is not designed to detect immaterial misstatements or violations of laws or governmental regulations that do not have a direct and material effect on the financial statements. However, we will inform the appropriate level of management of any material errors, any fraudulent financial reporting, or misappropriation of assets that comes to our attention. We will also inform the appropriate level of management of any violations of laws or governmental regulations that come to our attention, unless clearly inconsequential. Our responsibility as auditors are limited to the period covered by our audit and does not extend to any later periods for which we are not engaged as auditors.

Our audit will include obtaining an understanding of the Organization and its environment, including internal control, sufficient to assess the risks of material misstatement of the financial statements and to design the nature, timing, and extent of further audit procedures. An audit is not designed to provide assurance on internal control or to identify deficiencies in internal control. However, during the audit, we will communicate to you and those charged with governance internal control related matters that are required to be communicated under professional standards. Other Services

We will prepare the Organization’s IRS Form 990 and the New York State CHAR500, for the year ended December 31, 2017. We will assist in preparing the financial statements of the Organization in conformity with U.S. generally accepted accounting principles based on information provided by you. We will also provide the Corporation for Public Broadcasting with a copy of the audited financial statements as well as log onto their website and certify that the audit has been completed.

We will perform the services in accordance with applicable professional standards, including the Statement on Standards for Tax Services issued by the American Institute of Certified Public Accountants. The other services are limited to the financial statement and tax services previously defined. We, in our sole professional judgment, reserve the right to refuse to perform any procedure or take any action that could be construed as assuming management responsibilities. We will advise management with regard to tax positions taken in the preparation of the tax return, but management must make all decisions with regard to those matters.

Management Responsibilities You are responsible for establishing and maintaining internal controls, including monitoring ongoing activities; for the selection and application of accounting principles; and for the preparation and fair presentation of the financial statements in conformity with U.S. generally accepted accounting principles. You are also responsible for making all financial records and related information available to us and for the accuracy and completeness of that information. You are also responsible for providing us with (1) access to all information of which you are aware that is relevant to the preparation and fair presentation of the financial statements, (2) additional information that we may request for the purpose of the audit, and (3) unrestricted access to persons within the organization from whom we determine it necessary to obtain audit evidence.

Your responsibilities include adjusting the financial statements to correct material misstatements and confirming to us in the management representation letter that the effects of any uncorrected misstatements aggregated by us during the current engagement and pertaining to the latest period presented are immaterial, both individually and in the aggregate, to the financial statements taken as a whole.

You are responsible for the design and implementation of programs and controls to prevent and detect fraud, and for informing us about all known or suspected fraud affecting the Organization involving (1) management, (2) employees who have significant roles in internal control, and (3) others where the fraud could have a material effect on the

Your responsibilities include informing us of your knowledge of any allegations of fraud or suspected fraud affecting the Organization received in communications from employees, former employees, grantors, regulators, or others. In addition, you are responsible for identifying and ensuring the Organization complies with applicable laws and regulations. You agree to assume all management responsibilities for the financial statement preparation services, and any other non attest services we provide; oversee the services by designating an individual, preferably from senior management, with suitable skill, knowledge, or experience; evaluate the adequacy and results of the services; and accept responsibility for them. Engagement Administration, Fees, and Other We understand that your employees will prepare all cash, accounts receivable, and other confirmations we request and will locate any documents selected by us for testing. Pamela Kelly-Day is the engagement partner and is responsible for supervising the engagement and signing the report or authorizing another individual to sign it. We expect to begin our audit on approximately April 30, 2018 and to issue our report no later than June 15, 2018. Our fees are based upon the time expended on an engagement and are determined by rates directly related to each individual’s level of experience and training. Our fees for these services will be billed at our hourly rates set forth below. We will also be reimbursed for our reasonable out-of-pocket expenses including, but not limited to, costs of reproduction, typing, travel, our legal counsel and other direct expenses. We expect our fees on this assignment will be de minimis. The fee estimate is based on anticipated cooperation from your personnel and the assumption that unexpected circumstances will not be encountered during the work performed. If significant additional time is necessary, we will discuss it with you and arrive at a new fee estimate before we incur the additional costs. Our invoices for these fees will be rendered each month as work progresses and are payable on presentation. Invoices that are not paid in full within 30 days after receipt of the invoices shall be subject to interest of 1% per month (12% annual interest rate), computed from the date of the invoice until paid. You also agree to reimburse Day Seckler LLP for reasonable collection and litigation costs incurred by Day Seckler LLP should it commence proceedings to collect fees and expenses due from you to Day Seckler LLP. Our current hourly rates are as follows: Partners $250 Professional Staff $150 - $195 Support Staff $110 We agree that our fees for the services requested above would be $8,500. The fee estimate is based on anticipated cooperation for unless there are any unforeseen circumstances will not be encountered during the engagement. If significant additional time is necessary, we will keep you informed of any problems we encounter and our fees will be adjusted accordingly. We request a retainer of $2,500 upon the signing of our engagement letter and then we would invoice you $2,000 in the months of April, May and June.
