a “nominee shareholder” without beneficial ownership by GCC

Local Service Agent

A foreign company can establish a federally registered branch,

a federally registered representative office or a locally registered

branch office. Federal registrations fall within the jurisdiction of

the UAE Commercial Companies Law whereas local registrations

fall within the jurisdiction of the relevant Local Order applicable in

each Emirate.

GCC can act as your local service agent acting as a

100% Emirati owned company for a branch of a company with

an existing legal presence in a jurisdiction outside of the UAE or

for an existing company in the UAE i.e. from a Free Zone.

The Branch LLC is 100% foreign owned and GCC acts solely as

the Local Service Agent to satisfy the requirements of the

UAE Commercial Companies Law.

Commercial Agent

Foreign companies may engage in a commercial agency arrangement which is defined as any arrangement whereby a foreign company is represented by a UAE agent to distribute, sell, offer, or provide goods or services within the UAE for a commission or profit.

The agent must either be a person holding UAE nationality or a company that is 100% owned by UAE nationals. The agent must be registered with the Ministry of Economy. Unless otherwise agreed in writing between a foreign company and its commercial agent, an agent is entitled to receive a commission on the sale of products in his or her designated Emirate, irrespective of whether such sales are made by or through the agent.

GCC Solutions can act as your commercial agent in the UAE that will allow you to:

• Sell products directly to buyers / customers in the UAE• Distribute products in the UAE• Market services in the UAE

In addition, GCC can work with our clients to oversee sales / promotion activities if the company elects to place a sales representative on the ground in the UAE. The sales representative works from GCC’s offices with the full support of our administrative staff and oversight from our Directors.

GCC is a registered commercial agent with the Ministry of Economy and can act as your agent to provide product sales, distribution and market services in the UAE.

GCC provides Commercial Agency Services for a fixed annual fee, no commission and a transparent fee structure.

Engineering Consultancy and Architectural Practice - Dubai

As per the regulations of the Dubai Municipality (under Local Order No. (89) of 1994 & Administrative decision amended by Local Order No. 106 of 1997 and Local Order No. 4 of 1999 issued on Regulating the Practice of Engineering Consultancy Profession in the Emirate of Dubai) it is required that Engineering or Architectural Consultancies appoint a local partner with the following attributes:

• To be a UAE National • To be holder of a BSc. Degree in Engineering from a recognized university in one of the recognized engineering fields • To have experience in the specialization field not less than three years

There are three types of Engineering Consultancies based upon experience:

In 2000, the Saudi government announced a new Foreign Investment Law, introducing regulatory incentives that provided for the establishment of the Saudi Arabian General Investment Authority (SAGIA), to assist foreign investors in the application and approval process for operating in the Kingdom. Saudi Business Visa

GCC can provide you or your company with an invitation letter that

will allow you to obtain a Saudi Business Visa.

This Saudi visa will allow you to make short terms visits for business

meetings, discussions and training events. You are able to obtain either

a 3-month single entry Saudi visa or a 6-month multiple entry Saudi visa.

You are entitled to up to a maximum of a 30-day stay during each visit.

The Ministry of Foreign Affairs will decide whether a single or multiple

Commercial Agent

Law No. 36 of 1964 on the Regulation of Commercial Agencies, and

the Kuwaiti Commercial Code, Articles 260-296 regulates commercial

agencies. Non-Kuwaitis may not act as commercial agents in Kuwait

(Article 1 of Law No. 36 of 1964), and those who violate the rule are

subject to three months imprisonment and/or a fine

(Article 10 of Law No. 36 of 1964).

An LLC should have a minimum of two and a maximum of 50 participants. Each participant is only liable to the extent of his or her share of the firm’s capital. The minimum required capital for an LLC must be QAR 200,000. The capital is divided into equal shares of QAR 10 or more each. The signed Memorandum and Articles of Association must be submitted, in Arabic, to the Ministry of Economy and Commerce. Foreign investors are permitted a 49% stake in the business, on condition that there are one or more Qatari partners.

A Qatar LLC is liable to pay a corporate income tax of 10 % on profits sourced in Qatar and requires a minimum of two shareholders / a director. If yearly profits exceed 100,000 QR the declaration should be accompanied by audited financial statements prepared by an auditor registered in Qatar.

On February 1st, 2010, Law Number 1 of 2010 was issued amending some key provisions of Law No. 13 of 2000 regulating the investment of non-Qatari capital in key economic sectors. Law 1 of 2010 allows foreign investors to have up to 100 percent ownership in businesses such as consultancy services, information technology (IT), services related to sports, culture and entertainment as well as distribution services. Qatar offers the business sector all the advantages of a highly-developed economy, the infrastructure and services match the highest international standards, facilitating efficiency, quality and service.

Branch Office

A foreign company may set up a branch office if the project

‘facilitates the performance of a public service or utility’ and the

company is performing a specific contract for a government client.

There is no need for a Qatari partner in this instance, but the

branch office will be fully taxable in Qatar and is limited to only

perform the specific contract for which it is registered for therein.

Key Features of a Branch Office in Qatar:

• Used when a foreign company performs a specific government contract in Qatar

• If the project is “government qualified”, it will be authorised by the Ministry of Economy and Commerce.

• A Qatari partner is not required

• It is only registered to perform the specific government contract cannot undertake activity for the private sector.

Commercial Agency

In this form, the company is not required to have a presence /

legal entity registered in Qatar, but appoints an agent to market

its goods and services in the country.

Under a registered agency, commission is payable on all sales of

the products within the territory even if the sales are not due to

the activities of the agent. Exclusive agencies must be registered.

There are two types of Commercial Agents: one is with a limited

period where a fixed term is applied in the contract and the other

is with unlimited period which cannot be terminated without the

reconciliation of both parties.

Qatar Financial Centre Company

There are several different types of companies that can be formed

in the QFC under the QFCRA.

• Limited Liability Companies - Any one or more persons may apply for the incorporation of an LLC for the purpose of carrying on a Business of a kind permitted by the QFC Law to be conducted in the QFC by signing and filing with the Registration Authority and otherwise complying with the requirements of these Regulations in respect of registration. The nature of the Business to be conducted by the LLC and it shall be sufficient to state that the purpose of the LLC is to engage in any lawful act or activity for which LLCs may be incorporated under the QFC Law and Regulations.

• Special Purpose Companies - Special purpose companies may only be incorporated in the QFC for the purpose of a ‘Transaction’. The definition of a ‘Transaction’ in the new Regulations effectively removes the previous restriction on the type of transaction for which a Special Purpose Company may be set up. A ‘Transaction’ is now defined as “a transaction or series of transactions in connection with which the Special Purpose Company has been established”. This broad definition is a departure from the previous version of the Regulations, which had limited the type of transactions to Islamic or conventional structured finance transactions, including securitisations or other capital markets transactions.

• Holding Company - A Holding Company is a company incorporated under the Companies Regulations and is registered by the Companies Registration Office (CRO) as a Holding Company. The subsidiaries of a Holding Company and other companies that may be established by the Holding Company within the Holding Company Group may be, but are not required to be incorporated in the QFC.

Corporate Sponsorship Structure

30% of the company's shares are held by GCC in its capacity as

a “nominee shareholder” without beneficial ownership by GCC

or its company directors to ensure our clients' interests are

protected.

As a nominee capital shareholder, GCC is not commercially

active in the daily operations of the company and will not be

party to any clients' commercial or operational activities. GCC

does not participate in or interface with the clients' capital

interests / share capital in the company.

Limited Liability Company (LLC)

Limited Liability Companies in Oman require an Omani shareholder with

a minimum 30% shareholding holding with foreign nationals/companies

being able to hold a maximum of 70% of the outstanding shares therein.

The minimum required share capital to register an LLC with foreign

shareholders is OMR 150,000 (USD 390,000). A LLC is required to have a

minimum of two shareholders.

GCC National/Omani Limited Liability Company

GCC nationals can own 100% of the shares of a LLC in Oman and can

establish an LLC without a Omani shareholder for the majority of business

activities that are not on the negative list. The minimum share capital

required for LLCs with 100% Omani/GCC ownership is

OMR 20,000 (USD 52,000).

US-Oman Free Trade Agreement (FTA)

An Omani shareholder is not required for US companies/individuals who

seek to establish a LLC in Oman, provided that all the shareholders are

US companies/individuals. The minimum share capital for LLCs qualifying

under the US Free Trade Agreement (FTA) is OMR 20,000 (USD 52,000).

Branch Office

Oman

A foreign company that has entered into an agreement with a government

entity or a quasi-government entity is authorised to register and function in

Oman as a foreign branch. Foreign companies will be entitled to benefit

100 percent of foreign proprietorship. The branch of the parent company

is the branch office. Therefore, this type of corporate entity does not require

a share capital nor does it require a local shareholder. The foreign company

will remain accountable for all of the debts and other liabilities of the

branch office.

The branch duration is limited to the term of the project which will be

adequate for its implementation in Oman. Accordingly, the branch is not

authorised to execute any additional type of work in the private economy

sector. The branch’s activities must be similar to the undertakings of its parent

establishment. It is not acceptable to perform any other type of business

unless authorised by the parent corporation and registered under the

Ministry of Commerce and Industry.

A branch of a foreign company which is incorporated and registered

outside Bahrain may be registered as an operational office,

representative office or a regional office.

A Bahraini in the same industry must act as a sponsor, unless the

branch or office is being set up in Bahrain as a regional goods or

services distribution centre.

Key features:

• The parent company shall bear all liability of its branch in Bahrain.

• Business operations are allowed only for an operational office

• Representative and regional offices are only permitted to undertake marketing and promotion

• Banking, insurance and investment arrangement activities are allowed (operational office only)
