We have acted as special coimselto the IndianaFinance Authority ("EA") in connectionwith the lease of the Toll Road, and the grant of the ri^t to operate the Toll Road, from the IFAto the Concessionaire pursuant to the IndianaToll Road Concessionand LeaseAgreement, datedas of , 2006 (the "Apreemait"^by andbetween the IFA and Concessionaire. Thisopinion is being delivered to you pursuant to Section2.4(a) ofthe Agreement. Capitalized termsused and not otherwise de^ed herein shall have the respective meanings set forth in theAgre^ent
We have examined originals or copies, certified or otherwise identified to oursatisfaction, of(i) the Agreement and (ii) the [TollRoad Legislation]. In rendering our opinion,we have alsoexamined originals or copies, certified or otherwise identified to our satisfaction, ofthe following (collectively, the "Authorization Documents"): (i) a certificate executed by theChairman and the [ ] of the IFA of even date herewith as to certain factual matters (the"Certificate''^ (ii) a copy of the Toll Road Legislation, certifiedby the Secretaryof State of theState ofIndiana; and (iii) [IFA meeting minutes approving tiie Agreement].
In r^dering our opinion, we also have examined such certificates of public officials,organizational documents and records and other certificates and instruments as we have deemednecessaryfor the purposesofthe opinionhereinexpressed and, with your permission, have reliedupon and assimied the accuracy of such certificates, documents, records and instruments. Wehave made such examination of the laws of the State of Indiana as we deemed relevant forpurposes of this opinion,but we have not made a reviewof, and expressno opinionconcerning,the laws ofany jurisdiction other than the State ofIndiana.
We have relied iqion and assumed the truth and accuracy of the rq)resentations,certifications and warranties made in the Agreement, and have not made any independentinvestigation or verification of any factual matters stated or rq)resented therein. Whenever ouropinionor confirmation hereinwith respectto the existence or absence offacts is indicated to be

based upon our knowledge or belief, it is intended to signify that, during the course of ourrepresentation of the IFA no information has come to the attention of the attorneys whoparticipated in the rq)resentation which would give us actual knowledge of the existence orabsence of such facts. Excq>t to the extent expresslyset forth herein, we have not undertakenany indq>endent investigation to determine the existence or absence of such &cts orcircumstances or the assumed&cts set forth herein, we acc^t no responsibilityto make any suchinvestigation, and no inference as to our knowledge of the existence or absence of such facts orcircumstances or of our having made any indqjendent review thereof should be drawn from ourrq>resentation ofthe IFA.
In rendering this opinion letter to you, we have assumed with your permission;
(a) The genuineness of all signatures, the legal cq)acity andcompetency of natural persons executing the Agreem^t, whether on b^alf ofthemselves or other persons or entities, the authenticity of all documentssubmitted to us as originals, the conformity to original documents of alldocuments submitted to us as certified, conformed or photostatic copies, and theauthenticity ofthe originals ofsuch copies, and the completeness ofill records ofcorporateproceedingsprovided to us.
(b) All official public records (including their proper indexing andfiling) fu^shed to or obtained by us, electronically or otherwise, are accurate,complete and authentic.
(c) The documents that havebeen or willbe executed and delivered inconsummation of the transactions contemplated by the Agreement are or will beidenticalin all material and relevantrespects with the copiesofthe documents wehave examined and on which this opinion is based.
(d) Concessionaire (i) has been organized, is validly existing, andwhere applicable is in good standing under its jurisdiction of incorporation, (ii)has full power and authority to enter into, execute, deliver, receive and performtheAgreement, and(iii)is qualified to dobusiness in die Stateof Indiana.
(e) Theentry into, execution, delivery, receipt, andperformance of theAgreement by Concessionaire has be«i dulyauthorized by all requisite action onthe part ofConcessionaire.
(f) The Agreement will be duly entered into, executed, received anddelivered by Concessionaire, and upon such execution and delivery constitutes thelegal, valid and binding obligation of Concessionaire, so that the Agreement hasmutuality ofbinding effect.
(g) The respective factual rqwesentations, statements and warrantiesof the IFAin the Agreement, and in the otherdocuments that we havereviewed,anduponwhichwehaverelied, areaccurate, complete andtruthful.

(h) The execution and delivery of the Agreement by all parties theretowill be free of intentional or unintentional mistake, misrqpresentation,concealment, fraud, imdue influence, duress or criminal activity.
(i) The Agreement has not been amended or modified by oral orwritten agreementor by conduct ofthe parties thereto.
(j) Eachpartyto the Agreement will at all timesexerciseits rightsandremediesunder the Agreementin good frdth and in a manner that is commerciallyreasonable.
Based on and subject to the foregoing and the qualifications, exceptions and limitationsreferred to below, we are ofthe opinion that, on the date hereof:
1. The IFA has been duly created and is a validly existing bodycorporate and politic under and by virtue of the laws of the State of Indiana,spe^cally Indiana Ck>de 4-4-11 etseq.
2. The Legislature has adopted and the Governor has signedinto lawthe [Toll Road Legislatfon], whichremains in full forceand effect.
3. The IFA has duly authorized and approved (i) the execution anddelivery of the Agreement; and (ii) the performance by the EFA of its obligationscontained in the Agreement The IFA has the corporate power and corporateauthority under Indiana law to enter into the Agreement and to do all acts andthings and execute and deliver all other documents as are required under theAgreement to be done, observed or p^ormed by the IFA in accordance with theterms thereof
4. The Agreement has been duly authorized, executed and deliveredby the IFA and constitutes a valid and legally binding obligation of the IFA,e^orceable against the IFA in accordance with &e terms thereof
5. The Toll Road is not subject to any real property taxes.
Eachofthe opinions set forth aboveis limited by its terms andsubject to the assumptionsheremabove stated and is further subject to the following qualifications, exceptions andlimitations, none of which shall limit the generality of any other assumption, qualification,excq>tion or limitation.
A. The legality, validity and enforceability of the Agreement and the opinionexpressed in paragraph 4 above maybe limited or otherwise affected by:
(i) bankruptcy, insolvency, reorganization, liquidation, readjustment of debt,receivership, moratorium, fraudulent conveyance, equitable subordination, equity ofredemption, recharacterization or other sunilar legal principles now or hereafter in effectgoverning or affecting the ri^ts and remedies of debtors and creditors generally, or

general principles ofequity, regardless ofwhether considered inaproceeding at law orinequity;
(ii) applicable laws or judicial decisions of the State of Indiana which may rendercertain of the ri^ts, remedies, waivers, and attomey-in-fact appointments containedtherein unenforceable or ineffective, but the inclusion of which do not render theAgreement invalid as a whole or make the remedies generally afforded thereunderinadequate for the practical realization of the principal benefits intended to beprovidedby those documents; and/or
(iii) the concq)ts of good faith and fair dealing, materiality and reasonableness,regardless of whether considered in aproceeding at lawor in equity.
Notwithstanding the foregoing and wi&out limiting the generality of theforegoing exertions, we express no opinion witii respect to (a) the availability of therem^es ofspecific performance or injunctive relief, (b) the availability of ex parter^edies and otho: self-help or non-judidal relief, (c) set-off rights or (d) the legality,validity, binding effect, or enforceability of provisions tiiat provide for an event ofdefault oravailability of remedies predicated solely upon commencement ofbankruptcy,reorganization or similar proceedings with respect to the DFA.
B. Wewish to advise you that under Indiana law, contractual indemnificationand hold harmless provisions seeking to cover the indemnified party's own negligence,strict liability orother acts oromissions may not beenforceable to the extent thecontractdoes not clearly and unequivocally specify that the indemnity or exculpation coversclaims, losses, exposes oroth^ liabilities arising or alleged to arise, inwhole orinpart,fi:om the negligence, strict liability or other acts or omissions of the indemnified party.At least one hidiana case, Wilson Leasing Co. v. Gadborv, 437 N.E.2d 500 (Ind. CtApp. 1982), states that indemnification clauses generally are strictly construed and thattiie terms mustbe set forth clearly and unequivocally. Another Indiana case, Powell v.American Healfli Fitness Center. 694 N.E.2d 757 (Ind. Ct. App. 1998), states thatexculpatory clauses must both specifically and explicitly refer to the negligence of theparty seeking release fix)m liability. Further, indemnification or exculpation as againstcertain claims, losses, expenses, orother liabilities arising asflie result oftiie indemmfiedparty's violation of federal or state statutes, or the indemnified party's own tort liabilitywhen performing a public or quasi-public duty, or other acts or omissions, may beconsidered contrary to public policy and therefore invalid and/or unenforceable. Ouropinion set forth in paragraph 4 above is limited by and subject to the Wilson Leasmgand Powell decisions and these principles.
C. Except assetforth inparagraph 2 above, we express no opinion and makeno statements concerning or with respect to any statutes, ordinances, administrativedecisions, rules, and regulations of counties, towns, municipalities or special politicalsubdivisions.
D. Without limiting the generality of any other exception, limitation orqualification, we express no opinion in this letter with respect to (i) tiie enforceability of

a set-offri^t, (ii) the application of any law, statute, rule or regulation relating to theenvironment, h^th or safety, (iii) any law, statute, rule, or regulation that may apply toany party asa result of its activities in theState of Indiana that arenot directly related tothe transactions contemplated by the Agreement; (iv) the enforceability of anyprovisionof the Agreem^t pertaining to consent to jurisdiction in so far as it relates to Federalcourts or agreements stating thatfailure to exercise or delay in ex^cisingri^ts will notoperate asa waiver ofthe rigjit orr^edy; (v) the enforceability ofany provisions oftheAgreement to the extent that any recovery of attorneys' fees is not limited to reasonableattorneys' fees; and (vi) the validity or enforceability of any purported waiver orpurported consent relating to any other rights ofany party, orduties owed toany ofthem,existing as a matter of law, including without limitation the purported waiver of anyparty's right to a jury trial.
E. We have not considered and do not express an opinion with respect to (i)any Federal or state (including Indiana) securities, taxor antitrust laws and regulations,(ii)flie powCT and au&ority of Concessionaire to ent^ intothe Agreement or to carry outthe transactions contemplated therd^y, or (iii) the possible q)plication of or compliancewith various building codes, zoning ordinances, permit requirem^ts, ^viromnental,health or safety laws and other similar statutes, laws, ordinances, codes and regulationsaffecting theconstruction, condition and/or useof Ihe Toll Road or any Expansion. Ouropinions set forth in this letter are expressly subject to tiie effect ofthe application ofallFederalandstate(including Indiana) antitrust lawsandregulations.
F. We express noopinion astotheapplicability tothetransactionscontemplated bythe Agreement ofSection 548 ofthe United State Bankruptcy Code orInd. Code 32-18-2 relating tofraudul^t transfers orobligations, and theopinionsexpressed herdnarelimited byandsubject to theapplication oftiiose statutes.
The opinions expressed herein are matters of professional judgment, are not a guaranteeof result and areeffective only as of the date hereof. We do not undertake to advise you ofanymatter within the scope ofthis letter than comes to our attention after the date of this letter anddisclaim any responsibility toadvise you ofany future changes inlaw orfact that may affect theopinions set forth herein. Schedule 7.1
Tolling Regulation
Section 1. Right to Establish Tolls.
(a) Concessionaire's Right to Establish Tolls. Subject to the provisions of thisSchedule, the Concessionaire shall, at all time during the Term, have the right to establish,collect and enforce payment of tolls with respect to the operation of any vehicle or class ofvehicles on the Toll Road in accordance with the provisions of this Agreement.
(b) Vehicles Not Subject to Concessionaire's Right to Establish Tolls. TheConcessionaire shall not have the rights to establish, collect or enforce payment of tolls withrespect to:
(i) vehicles used in fire fighting;
(ii) vehicles used in law enforcement;
(iii) vehicles bearing diplomatic Ucenseplates;
(iv) ambulances; or
(v) vehicles owned or operated by the State or any department or agencythereof.
Section 2. Notices.
(a) Notice ofPending Toll Changes. If the Concessionaire desires to change any toll(including increases or decreases in any toll or different methods of charging tolls), it shall givenotice of such change (a "Pending Toll Change") (i) to the IFA no later than 90 days prior to theimplementation of such change and (ii) to the public in accordance with Section 2(b^ of thisSchedulebeginning, but not earUer than, 30 days prior to the implementation of such change.
(b) Notice to Public. The Concessionaire shall use commercially reasonable efforts to(i) provide notice to the public of all tolls for the use of the Toll Road and (ii) inform the publicof a Pending Toll Change during the 30-dayperiod prior to the implementation of such change.The Concessionaire shall maintain a website on the Internet that states all tolls, temporarydiscounts and Pending Toll Changes. The Concessionaire shall make known to the public andmaintain a telephone number to enable any person to request a printed description of all tolls,temporary discounts and Pending Toll Changes. The Concessionaire may modify any of theaforesaidmeans of communication with the public consistentwith any developments in commonpractice relatingto means of comparable communication.
(c) Notice ofTemporary Discounts. Notwithstanding Section 2(a) of this Schedule, ifthe Concessionaire desires to establishor terminate a temporary discountwith respect to any toll,

it shall give notice of the establishment or termination of such temporary discount to the IFA atleast one Business Day prior to the implementation of termination of such temporary discount.
(d) Timing ofCertain Calculations. Any calculationto be made pursuant to Section 3of this Schedule may be made at any time after the data necessary to make such calculation hasbeen released to the public, and any change in tolls that is dependent upon such calculationshallbe subject to notice being given under this Section 2 following such calculation.
Section 3. Tolling Level Requirements.
(a) Maximum Toll Levelsfor Through Trips. The maximum toll levels applicable toToll Road users for use ofthe Toll Road in each direction for Through Trips shall be as follows:
(i) Period from Closing Date Through June 30, 2010 for Class 2 Users.Except as provided in Section 3re) or 3{jQ hereof, the maximum toll levels from Class 2Users of the Toll Road for use of the Toll Road in each direction for Through Trips forthe period from the Closing Date through June 30, 2010 shall be as follows:

For purposes of this Schedule, "Initial Applicable PercentageToll Increase" means the greater of (A) 8.2% or (B) the percentage increase compoundedannually of the Index or Per Capita Nominal GDP, whichever is greater, measured fromeach of (i) January 1, 2006 to December 31, 2006, (ii) January 1, 2007 to December 31,2007, (iii) January 1, 2008 to December 31, 2008 and (iv) January 1, 2009 to December31,2009. The following example is for illustrative purposes only:

(ix) Subsequent Adjustment to Maximum Toll Levels on June 30, 2011 andthereafter. On each Tolling Measurement Date starting June 30, 2011, theConcessionaire shall, subject to the provisionsof Section2 of this Schedule, be permittedto increase toll levels by the Subsequent Applicable Percentage Toll Increase. Forpurposes of this Schedule, "Subsequent Applicable Percentage Toll Increase" means the

greater of (a) two percent (2%) or (B) the percentage increase of the Index or Per CapitaNominal GDP, whichever is greater, measured from January 1 to December 31 for thecalendar year immediately preceding the Tolling Measurement Date. For purposes of thisSchedule "Tolling Measurement Date" shall mean June 30, 2011 and each June 30thereafter. Any adjustment made pursuant to this clause (ix) shall be made to the tolllevels calculated without giving effect to any of the rounding described in Section 3rbyi)below that may have occurred prior to the relevant date of the adjustment. (x) Classifications, For purposes of the toll payable under the toll scheduleadoptedby the IFA for use of the Toll Road, the following classifications shall apply:
(1) Class 2. Any vehicle with two (2) axles, including motorcycles.(2) Class 3. Any vehicle or combination with three (3) axles.(3) Class 4. Any vehicle or combination with four (4) axles.(4) Class 5. Any vehicle or combination with five (5) axles.(5) Class 6. Any vehicle or combination with six (6) axles.(6) Class 7. Any vehicle or combinationwith seven (7) or more axles and all LCVs.
(b) Application ofMaximum Toll Levels. The toll levels determined in accordancewith Section 3ra\ above, represent maximum toll levels which the Concessionaire shall beauthorized to charge. Subject to the notice provisions of Section 2 of this Schedule, theConcessionaire shall be authorized to charge toll levels which are less than the applicablemaximum levels at its discretion, including providing for lower toll levels at determined timesduring the day, or for commuters, trucking companies or other frequent users of the Toll Road.In addition, anytime after June 30, 2010 so long as (A) the aggregate charge for a Through Tripdoes not exceed the applicable maximum level, (B) the charge for any non-Through Trip is notless than the maximum toll levels set forth on Schedule 7.1(a) as of June 29, 2010 and (C) anyincrease in the toll level charged by the Concessionaire on the Toll Road is allocated to allsegments of the Toll Road such that the highest per mile increase does not exceed 3 times thelowest per mile increase, the Concessionaire at its discretion shall be permitted to set themaximum toll level for any segment of the Toll Roadto any level it determines. For purposes ofdetermining different toll levels for the various segments of the Toll Road anytime afterJune 30,2010, the following shall apply:

(i) Notwithstanding the toll levels determined in accordance with Section 3(a)and the actual tolls charged by the Concessionaire will be rounded to:
(A) the nearest $0.01 if the toll is collected using an electronic tollingsystem; and
(B) the nearest $0.10 in the event that such toll is not collected using anelectronic tolling system.
(ii) The maximum toll for any journey will be calculated as the sum of the tollsfor each segment ofthe Toll Road including in the journey, subject to the following:
(A) Tolls at Wespoint (MP 1) and at ramp plazas to and from the east atCalimiet Avenue (MP 5) and Cline Avenue (MP 10) will be computed assumingthe trips were to/from Portage (MP 24);
(B) Tolls at ramp plazas to and from the west at 1-65 Gary East (MP 17),I-94/Lake Station (MP 21) and Willow Creek (MP 23) will be computedassuming the trips were to/from Buchanan Street (MP 13).
The table below presents the mileage that shall be used when determining maximum (orminimum) toll levels for any segment of the Toll Road, provided that if the location of any of thetoll plazas is changed or a new toll plaza is added, then the segment lengths shall be adjusted toreflect such change in a manner consistent with the methodology used in preparation of the tablebelow.

(c) Tolls as Only Imposable Charges as ofClosing Date. As of the Closing Date, theonly charges that the Concessionaire may impose on Toll Road users are the tolls authorizedpursuant to Section 3 of this Schedule. For avoidance of doubt and in confirmation andfurtherance of the foregoing, as of the Closing Date, the Concessionaire may not chargeadministration fees related to use of the Toll Road nor impose interest rates on unpaid tolls orfees related to use of the Toll Road.
(d) Fees and Charges Related to Electronic Tolling System. Notwithstanding Section3(c) of this Schedule, upon implementation of an electronic tolling system pursuant to Section7.2 of the Agreement, the Concessionaire shall have the right to:
(i) establish, collect and enforce reasonable administration fees andreasonable fees to commence or appeal any dispute proceedings;
(ii) establish reasonable interest rates to be charged on unpaid tolls and fees,and collect interest charged as such rates;
(iii) establish reasonable terms and conditions, including reasonable fees, forthe registration and distribution of toll devices; and
(iv) require reasonable security for the provision ofany toll devices.
All revenues to be derived from the foregoing shall be deemed to be Toll Revenues. The solepurpose of any fees or charges implemented pursuant to this Section 3(d') of this Schedule shallbe to enable the Concessionaire to recover its reasonable, out-of-pocket and documented costsand expenses that are directly incurred with respect to the items listed in clauses Til {ii}, {iii}andriv) of this Section 3rd) of this Schedule. To the extent theConcessionaire implements any fees or charges pursuant to this Section SCd) of this Schedule, theprovisions of Section 2 of this Schedule shall apply to the initial implementation and anysubsequent changes to any such fees or charges.
In addition, upon implementation of the electronic tolling system pursuant to Section 7.2 of theAgreement, the State shall assess fines against persons who run toll gates and the Concessionaireshall receive 50% ofsuch fines.
(e) Limitations on Toll Increases for Class 2 Users (including Commuter DiscountUsers). The following limitations on toll increases shall apply to Class 2 Users (includingCommuter Discount Users):
(i) Period Prior to the Termination of the Toll Freeze Period.Notwithstanding anything to the contrary set forth herein, during the Toll Freeze Period,the toll levels applicable to Class 2 Users (including Commuter Discount Users) may notbe increased above the Original Toll Rate. Notwithstanding anything to the contrary setforth herein, during the Toll Rebate Period, the toll levels applicable to EligibleElectronic Transponder Users may not be increased above the Toll RoadRebate Rates.
(ii) During the Toll Rebate Period, hnmediately upon the termination of theToll Freeze Period, the Concessionaire shall be entitled to increase the tolls applicable toClass 2 Users (including former Commuter Discount Users) who are not EligibleElectronic Transponder Users to the Contract Toll Rate without the approval or consentof the IFA, any other governmental entity or any other Person. The right of theConcessionaire to increase the tolls in the manner contemplated in the immediatelypreceding sentence shall be without prejudice and shall not otherwise hinder, limit oraffect any of its rights pursuant to this Schedule 7.1. including, without limitation, anyright to farther increase such tolls in accordance with SectionMo) of this Schedule7.1.
(f) Period After the Termination of the Toll Rebate Period. Immediately upon thetermination of the Toll Rebate Period, the Concessionaire shall be entitled to increase the tollsapplicable to Eligible Electronic Transponder Users to the Contract Toll Rate without theapproval or consent of the IFA, any other governmental entity or any other Person.
