    Congratulations, you have decided to set-up an internal printing company. This willliterally save your corporation thousands of dollars in printing costs. Remember when adivision-DBA is set-up it should state what it does. For instance, NAPA Printing Inc.

    says what it does. Be sure to check planning and zoning.

    Resale License (This allows the wholesale printer the ability to sale at

    wholesale prices)

    The division in California is only for savings within your own organization.

    The division in Nevada should be set up for the retail end of printing and should be set upthrough our office, so we can connect it to your corporation. The first thing that shouldbe considered is setting up a website. The website should be designed to sell businesscards, envelopes, letterhead, invitations, etc. You should also set up a virtual shoppingcart (enabled to receive credit cards as well as checks) so you can receive orders 24-7.All money received through your website should land in Nevada. This would requireyour bank account to be set up in Nevada with both names (corporation and division).

    If you decide to set up a retail store in California find a location and check planning andzoning. You should join the Chamber of Commerce and the Printing Association ofCalifornia. This will allow your business to network with other businesses and help yoursales. Remember, if you set up multiple locations you must check planning and zoning ineach city. We must work within the system and play by the rules. If you do decide to setup a retail store you do not need to go out and spend thousands of dollars for equipment;you can act as a printing broker. For instance, Sir Speedy, PIP, and Kinkos in mostcases send out printing for business cards, envelopes, letterhead to a company called BCT(Business Cards Tomorrow). BCT is a wholesale company that specializes in businesscards, envelopes, and letterhead. Their telephone number 714-996-0391 and websiteaddress is www.bct-net.com. Depending on where you or your customers are locatedBCT will pick up, deliver, or ship to your customer once you have billed or receivedmoney or a customer has established an account with you.

    Remember, the lease should be set up in the divisions name. A division is stillconsidered a corporation, for liability purposes. All assets such as desks and computersobtained should always be owned by the parent company. Proof of ownership isestablished by a UCC1 and a Straight Note. The stock from the parent company shouldbe transferred to the equity holding company.

    Fine-tuning Your Divisions

    When you file a Fictitious Business Name Statement to set up your division, you areactually saying a corporation is doing business as (DBA) or doing business under anotherbusiness name. Therefore, the division is actually another name for your corporation and

    may use the corporations Tax ID number for tax and credit purposesYou can have as many divisions as you require or want. As you learned in Level 1 Building Wealth and Financial Freedom, you should be in the process of setting updivisions for the following functions:

    o The business intended (e.g. construction, Internet business, beauty salon,

    bookkeeping, etc., whatever business you are in or want to establish). Note: Ifyou are a doctor, lawyer or other professional, you must establish a

    professional corporation.

    o Printing - to fulfill your business card and printing needs at wholesale prices.

    o Marketing and research - to procure wholesale advertising rates.

    o Sales - to buy materials and product at wholesale rates.

    Note: Because each of these divisions is actually a corporation doing business underanother name, you can build additional credit for each division and you can protect yourassets should one division experience legal or financial challenges. We will explore each

    topic later in this program.

    Lets take a closer look at the process for setting up divisions in accordance with the lawsthat govern corporations in the United States:

    o The first requirement is an Official Meeting of the Officers of the corporation in

    which they vote and elect to establish a division of the corporation and select astate and county in which the division will do business.

    o An official Corporate Resolution outlining the decision made should be prepared

    to support this decision.

    o Every county has its own rules and regulations for businesses; some may require a

    business to pay a percentage of earnings or have special zoning laws that prohibityour type of business, etc. Therefore, before you file the Fictitious BusinessName Statement, be sure you contact the countys Planning and Zoning office andinquire about their specific requirements.
