Request for Proposal (RFP)
for
Components Maintenance Services forA320 family, A330 and B737NG
Continuing Airworthiness Department
Moscow 2014
1. BACKGROUND1.1. JSC “Aeroflot” hereinafter referred to as “Aeroflot” is the Russian flag carrier airline,
a public company listed on Moscow stock exchange. More information on Aeroflot is available at www.aeroflot.aero.
1.2. Aeroflot has four subsidiary airlines: Aurora, Donavia, Rossiya Airlines and Orenair. These airlines together with Aeroflot are commonly referred to “Aeroflot Group” or AFLG.
1.3. In an effort to lower component maintenance costs for Aeroflot Group and synchronize terms and conditions for component maintenance services across Aeroflot Group we have decided to consolidate the AFLG demand in a single tender process and kindly request the interested Maintenance Providers (MP) to respond to this RFP.
1.4. Service level agreements will be executed with the winner MP for a duration of either five (5) or ten (10) years.
1.5. Interested MPs shall quote the provision of component maintenance services covering Scope of work specified in Section 3 and based on Terms and Conditions specified in Section 4 of this RFP for each airlines of Aeroflot Group (also referred to as “The Operators”) for A320 family, B737NG and A330 aircraft types.
2. FLEET UNDER COVERAGE 2.1. Fleets to be covered by the component maintenance services are listed in Annex
A. 2.2. The Operators reserve the right to separately select a MP for each aircraft type of
each airline.
However, MPs are encouraged to offer consolidation discounts:
A discount for covering a single fleet type for all of Aeroflot Group’s airlines (i.e. all A320 family aircraft or all B737NG aircraft)
A discount for covering all fleet types of all of Aeroflot Group’s airlines
Such discounts, if any, shall be stated in accordance with Table 1.a and Table 2.a of Annex D of this RFP
3. SCOPE OF WORK3.1. Component Maintenance covered under flight hour rate3.1.1. MP shall repair, overhaul, modify and test rotable and repairable components
removed from Operators’ aircraft based on a flight hour rate concept. Maintenance flight hour rate shall cover components per the exclusion-based principle in accordance with scope specified in Annex B.
3.1.2. The Operators shall have an option to exclude certain components from coverage in the future (with corresponding rate adjustment as agreed by the parties) due to development of internal repair capabilities of Aeroflot Group.
3.1.3. Flight hour rate inclusions:
a) Cost of ADs and mandatory modifications up to 4 000 USD per part per modification Incorporation and/or performance of ADs and mandatory modifications
issued prior to the start of the contract required by the relevant

authority/OEM to be accomplished within a valid term of the contract shall be included into flight hour rate
b) Non-mandatory modifications proposed by MP (including any phase-in modifications necessary to comply with MP’s pool standard) The Operators’ approval is required prior to incorporation of non-
mandatory modificationsc) Component removals during heavy maintenance events (A, C checks and
heavier, including redelivery checks) regardless of maintenance organization which performs the work
d) Fulfillment of lease return conditions specified in Section 4 (Lease Return Conditions)
e) Scrap replacement of components as specified in Section 4 (Scrap Replacement Policy)
f) Transportation according to the following terms: Unserviceable components: DAT MP’s pool location Serviceable components: FCA MP’s pool location (delivered to Operator's
agent) or other location as agreed by the parties on a case-by-case basis
3.1.4. Flight hour rate exclusions:
a) Exchange of LLPsb) “Off-wing” component removals during Landing Gear/Thrust Reverser/Engine
or APU overhaul or shop visitc) ADs and mandatory modification costs above 4 000 USD per part per
modificationd) Modifications proposed by the Operators
3.1.5. Rates and charges shall be applied in accordance with Annex D (Table 1)3.2. Component Maintenance provided on time and material basis3.2.1. At the Operators’ request, MP shall provide maintenance of components removed
from Operators’ aircrafts but not covered under a flight hour rate on a time and material basis
3.2.2. Rates and charges shall be applied in accordance with Annex D (Table 4)3.3. Access to MP’s pool stock 3.3.1. For all aircraft covered by the maintenance flight hour rate the MP shall also provide
the Operators with access to MP’s pool stock on an advance exchange basis based on a flight hour rate concept
3.3.2. Pool access flight hour rate shall cover all rotable and repairable components per the exclusion-based principle in accordance with scope specified in Annex B with the following additional exclusions:
a) Subassemblies of components in MP’s pool
b) Next higher assemblies of components in MP’s pool
c) Components that are peculiar to aircraft and/or engine
3.3.3. Rates and charges shall be applied in accordance with Annex D (Table 2)3.4. Access to Consignment stock3.4.1. MP provider shall establish and replenish a consignment stock at Operators’
premises at their base airports with an objective of maintaining an optimal balance between component availability and cost of financing the consignment stock. Consignment stock shall be used exclusively for the support of the fleet of aircraft covered by the maintenance flight hour rate.

3.4.2. Rates and charges shall be applied in accordance with Annex D (Table 3)3.5. Component maintenance and pool access for engine-related and APU-related
components for Aeroflot3.5.1. At Aeroflot’s separate confirmation, MP shall extend “on-wing” component
maintenance coverage as described in Section 3.1 and provide access to pool stock as described in Section 3.3 to engine-related and APU-related components for Aeroflot’s A320 and A330 fleets. For avoidance of doubt, engine-related and APU-related components are already included into main coverage scope for B737NG fleet of Aeroflot and all fleets of Daughter airlines.
3.5.2. Rates and charges shall be applied in accordance with Annex D (Tables 5.1 and 5.2)
4. TERMS AND CONDITIONSGeneral terms & conditions4.1. Term & termination4.1.1. Contract duration
Separate offers shall be submitted for the terms of 5 years and 10 years
4.1.2. Contract termination
If the contract is prematurely terminated due to Operator's default, the total compensation from the Operators to MP shall be limited to a lump-sum payment that will be equal to 10% of the annual Contract revenue (defined as consignment stock lease fees and flight hour rate payments in the 12 months preceding the termination).

4.3. Payment terms4.3.1. MP shall invoice the Operators on a monthly basis based on the agreed flight hour
rates applied to the actual flight hours flown by the Operators’ fleet (specified in Annex A). In the event that actual flight hours are below minimum guaranteed flight hours specified in Section 4.2, MP shall invoice the minimum guaranteed flight hours.
4.3.2. The Operators will supply the MP with the actual flight hours flown in any given month within five (5) days of the end of the month in which the services are provided unless otherwise agreed on case by case basis in exceptional situation. In

case the Operators fails to provide the actual flight hours within five (5) days from the end of such month or other agreed period, the MP will invoice the Operators based on one twelfth (1/12) of the annual average Flight Hour with advanced notice to the Operators.
4.3.3. MP shall invoice the Operators the consignment stock lease fee after the end of the month when such services were provided.
4.3.4. MP shall invoice the Operators for time and material services upon completion of services or upon delivery of components to the Operators whichever happens later.
4.3.5. Payment terms and payment methods for services shall be as follows:

4.3.6. Late payments by the Operators may be subject to a late payment penalty based on an 8% annual rate.
4.4. Price adjustments due to inflation and exchange rate fluctuations4.4.1. Maintenance flight hour rate may be escalated annually due to changes in cost of
material and labor in accordance with the following rules:
a) Regardless of aircraft type, labor portion shall be assumed to be 35% of the maintenance flight hour rate and material portion shall be assumed to be 65% of the maintenance flight hour rate.
b) Labor portion of the maintenance flight hour rate shall be escalated in accordance with the increase in the Harmonized Index of Consumer Prices (“HICP”) “All Items Index” (Monthly data index, EU27, 2005 = 100) measured for the European Union as published by Eurostat.
c) Material portion of maintenance flight hour rate shall be escalated in accordance with the increase of the Producer Price Index PPI, Commodity WPU142 (Aircraft and Aircraft equipment) as published monthly by the U.S. Department of Labor.
d) Annual escalation shall be limited by 3% per year.
e) The annual BER limits for Aeroflot shall be escalated each year by the same value as maintenance flight hour rate.
f) Modification cap should be escalated by the same value as maintenance flight hour rate.
g) Pool access flight hour rates and consignment stock fees shall not be escalated.
4.4.2. All prices shall be quoted with 2015 as a base year
4.4.3. MP will denominate all rates in US dollars. Any potential exchange rate risk shall be borne exclusively by the MP.
4.5. Warranty

4.5.1. All workmanship and material supplied by the MP or its subcontractors shall be warranted to be free from defects for the following period:
a) A320 Family: 360 days or 3500 FH (whichever is sooner)
b) B737NG: 360 days or 4000 FH (whichever is sooner)
c) A330: 360 days or 4500 FH (whichever is sooner)
4.5.2. Warranty claims must be raised not later than 90 days after the Operator becomes aware of the defect.
4.5.3. Any logistics costs related to defect rectification in warranty cases shall be covered by the MP. Such costs may include packing, insurance, shipping, customs clearance.
4.5.4. MP shall handle any warranty claims raised by the Operators against the MP’s suppliers on Operators’ behalf.
4.6. Subcontracting4.6.1. Subcontracting of any services provided by the MP based on flight hour rate is
subject to the Operators’ approval. A list of MP’s subcontractors shall be periodically reviewed and approved by the Operators.
4.7. Insurance4.7.1. MP shall for the duration of the contract procure and evidence an aviation third
party liability insurance (including Hangar keepers liability insurance) with a liability of not less than USD 600,000,000 per occurrence (and in the annual aggregate for products liability) effected through leading international insurance markets, brokers and insurers.
4.8. Scrap Replacement Policy4.8.1. MP shall consider a component beyond economical repair (BER) and shall scrap
such a component when repair cost exceeds 65% of CLP.
4.8.2. The Operators shall have the right to challenge the cost of repair estimate by providing an alternative repair quotation from a certified repair shop.
4.8.3. Compensation for BER cases shall be as follows:
a) Aeroflot:
MP shall cover BER replacement costs calculated as the total of CLP values of the replacement components up to the following annual limits per year per out-of-warranty aircraft:
A320 family B737NG A330

The Operator shall cover scrap replacement costs in excess of this limit at 100% of CLP
The annual allowance stated above shall apply to all out-of-warranty aircraft that was in the Operator’s fleet for more than 6 month out of the respective year
b) Rossiya, Donavia, Orenair, Aurora:
Operator shall pay 35% of current CLP for each BER component

Technical and operational terms and conditions4.9. Service level requirements4.9.1. Service level commitments proposed by MP shall be in accordance with the table

4.9.2. MP and the Operators shall agree on consignment stock values, however MP shall guarantee proposed service levels based on consignment stock values not exceeding the following per Operator:

4.9.3. MP’s service level commitments shall not be affected by Operators’ return time performance, NFF ratio, and AOG ratio (subject to terms of Clause 4.12.1).
4.9.4. In case MP is not able to achieve target Service levels the Operators are entitled to charge MP:
a) 700USD for each unmet AOG request outside target service level
b) 350USD for each unmet Critical request outside target service level
c) A compensation of 15,000 USD per day for A320/B737 aircrafts and 25,000 USD per day for A330 aircrafts for each full day of removal of an aircraft from revenue service caused by a delayed AOG delivery which fell outside of the target rate of fulfillment.
For the avoidance of doubt: if a target rate of fulfillment is not met, the deliveries resulting in the longest removals of aircraft from revenue service shall be considered to be the ones outside of the target rate of fulfillment.
4.9.5. The Operators are entitled to terminate the contract without any penalty payable to MP if actual Service level for AOG or Critical requests is below the target service level by 10 or more percentage points (measured over the 6-month period)
4.10. Component dispatch4.10.1. MP shall book shipments on the Aeroflot’s flight to SVO or an Operator’s flight to an
Operator’s base airport, or alternative flight to an Operator’s base airport as agreed with the Operator
Documents supplied with each delivery shall include:
a) Export customs declaration

b) Commercial invoice indicating MP as a shipper
c) Air waybill indicating MP as the shipper
4.11. Lease return conditions4.11.1. Average age of components installed on an aircraft should not be greater than the
age of such aircraft
4.11.2. All types: each hard-time Component with a limit set to not less than 12,000 flight hours, 9,000 cycles or 48 months shall not have remaining time less than equivalent of a) 7,000 flight hours, 5,000 cycles or 24 months remaining to next scheduled removal in accordance with the shortest interval specified in Operator’s Approved Maintenance Program and Manufacturer’s Maintenance Planning Document. In other cases the component remaining life shall not be less than 60% of the full hard-time interval.
4.12. Operational limitations4.12.1. AOG ratio

b) If actual AOG ratio exceeds the limit specified in the table above, MP may perform the delivery of AOG requests exceeding the limit with the Target Time of 24 hours.
4.12.2. Return time
a) Unserviceable components shall be returned by the Operator within time frames specified in the table below:

b) If MP loans a component from a 3rd party to meet agreed service levels and provides such component to the Operators, the Operators shall return such component within a period specified in Section 4.12.2 a) after MP provides serviceable component from its pool stock to the Operator.
c) If actual return time exceeds time limits specified in the tables above, MP is entitled to charge the loan fee specified in Annex D, Table 4
4.12.3. NFF ratio
a) The number of Component shop visits with No Fault Found (NFF) of the components submitted to MP for maintenance shall not exceed an annual rate of 25% of the total number of unscheduled removals
b) MP is entitled to charge 600 USD per each NFF event exceeding 25% limit

5.2. Proposal Evaluation Process5.2.1. Proposals will be made in two rounds.
5.2.2. After the first round of submissions: a) Compliance of prospective bidders and submitted document packages with
RFP requirements will be assessed
b) Each package deemed compliant with RFP requirements will be evaluated in accordance with the evaluation criteria stated in Section 6.
c) Aeroflot will initiate discussions on the submitted proposals if required.
d) Based on the outcome of the evaluation, successful bidders will be short-listed and invited to the second round.
5.2.3. Successful bidders will be invited to the second round. Communication to the short-listed bidders will consist of:
a) Service level agreement template.
b) An indication of relative standing of each of the short-listed bidders on all major elements of the proposal.
Note: Bidders are encouraged to submit second round proposals considering Service level agreement template provided by Aeroflot.
5.2.4. After the second round of submissions: a) Each updated package deemed compliant with RFP requirements will be
evaluated in accordance with the evaluation criteria stated in Section 6.
b) An indication of relative standing of each of the short-listed bidders on all major elements of the proposal may be continuously updated until all proposals are finalized.
c) Based on the outcome of the evaluation of finalized proposals, a decision on the tender outcome will be made.
5.3. Aeroflot reserves the right to request all needed clarifications, additions or correction from the bidder at any stage of the process. However, if a bidder does not provide all required information in submitted proposal, such proposal may be immediately rejected without any further notice or clarification request from Aeroflot.

5.5. Proposal shall be submitted via e-mail. The submittal shall be titled “AIRBUS A320F, BOEING 737NG, A330 COMPONENT MAINTENANCE SERVICES” in capital letters. All proposals must be received prior to 17-00 MSK on the due date.
6. PROPOSAL EVALUATION CRITERIA6.1. Aeroflot will evaluate proposals and select a Contractor based on a combination of
the following factors:
a) Cumulative costs saving potential for the contract duration for AFL Group in components MRO, pool access and consignment stock with materials delivery costs considered
b) Time to deliver materials to Operator’s base airports
c) Quality level of previously performed services to other operators
d) Qualifications and relevant experience of the firm’s proposed management team and staff
e) Ability of MP to perform repair works at own facilities
f) Preferably - experience of operations in the Russian market
7. REQUIREMENTS TOWARDS PARTICIPANTS AND LIST OF DOCUMENTS TO BE SUBMITTED TO CONFIRM PARTICIPANT’S COMPLIANCE WITH THE REQUIRMENTS
7.1. Requirements:
a) Participant shall not be in the process of undergoing bankruptcy or liquidation procedure
b) Operations of participant shall not be suspended in accordance with provisions and (or) constraints of any international laws as of the date of submission of the proposal
c) Participant shall provide services specified in section 3 “Scope of Work” of this RFP in accordance with rules and requirements of EASA and Bermudan Aviation Authority (as applicable)
d) Participant shall be certified according to EASA Part 145 and FAA FAR 145 requirements
7.2. List of documents to confirm participant’s compliance with the requirements is listed in Annex C of this RFP
8. REQUIREMENTS AND FORMAT OF THE PROPOSAL8.1. Letter of Transmittal

A letter of transmittal shall be prepared and signed by an individual authorized to bind the Contractor contractually. It shall:
a) Concisely identify the services offered in the proposal.
b) Confirm that all terms and conditions requested in this RFP are understood and accepted
c) State that the proposal will remain in effect for a period of 120 calendar days after the deadline for submission of proposals.
d) Include the name, title, address, telephone number and email address of the one or more contact individuals.
e) Include the name, title, address, telephone number and email address of one or more individuals who are authorized to sign a contract
f) Information about company beneficiaries should be provided (this requirement also applies to the future contract).
8.2. Proposal form
Proposal form (Annex D) shall be fully filled out and attached to the proposal.
8.3. Questionnaire Questionnaire (Annex C) should be fully filled out and attached to the proposal as well as other documents requested by Questionnaire or deemed relevant by the bidder
8.4. Since the successful proposal will be incorporated into the contract, contractors are cautioned not to make claims or statements to which they are not prepared to commit contractually.
9. LIMITATIONSRequest for proposal is neither an auction nor a tender for the right to enter into a contract and is not regulated by articles 447-449 of the first part of the Civil Code of the Russian Federation. Request for proposal is also not a public tender and not regulated by articles 1057-1061 of the second part of the Civil Code of the Russian Federation. Thus, request for proposal does not impose on the Operators respective civil obligations to conclude the contract with the winner or any other participant.
Aeroflot can cancel the request for proposal at any time without incurring any liabilities to the participants including reimbursement of any costs associated with the preparation and submission of proposals.
Aeroflot reserves the unqualified right to waive defects in any proposal, to choose or accept or reject any or all proposals submitted in response to this RFP for any reason whatsoever without explanation or justification, to select any firm as the party with whom to would be willing to enter into an agreement regardless of whether such party shall have submitted a proposal pursuant to this RFP at any time including the deletion, addition , modification or other changes hereto, and to make any decision in any manner as Aeroflot may choose in its sole discretion in the determination of its own interests and irrespective of the position of any interested party that in Aeroflot’s determination is unreasonable, unfair, arbitrary, discriminatory or capacious.
Aeroflot may consult references familiar with contractor, regarding prior projects, management, financial resources, reputation or otherwise. Submission of a

proposal in response to this RFP shall constitute permission for Aeroflot to make such inquiries and authorization to third parties to respond thereto.
Aeroflot make no representations, warrantees or guarantees that the information obtained herein is accurate, complete or timely. The furnishing of such information by Aeroflot shall not create, nor be deemed to create any obligation or liability upon it for any reason whatsoever. Each organization by expressing its interest and submitting its proposal expressly agrees that it has not relied upon foregoing information and that it shall not hold Aeroflot liable or responsible therefore in any manner whatsoever. If MP will not sign agreement with Aeroflot within 2 months after official tender results than Aeroflot have rights to reject your company proposal and choose another MP.
10. CONSEQUENCES OF DECLARING RFP INVALIDIf the RFP is declared invalid and (or) a contract is not concluded with a participant that submitted the only application to participate in the RFP or recognized to be the sole participant, the Operators are entitled to send out another RFP or apply any other procedure including a conclusion of a contract with the sole participant in accordance with paragraph 5.16.4. of “Regulations on procurement of goods, works and services” of JSC “Aeroflot – Russian airlines”.
11. PUBLIC RECORDS REQUIREMENTSAeroflot will seek to hold all proposals and subsequent submissions in confidence, to the extent consistent with applicable law, until a final decision has been made or the selection processes is terminated. Respondents are advised, however, that all materials received by Aeroflot which fall within the definition of “public record” shall be disclosed by Aeroflot upon request.
12. ADDENDAAll changes and additions to this RFP will be in the form of written Addenda to these proposal documents which, if issued, will be emailed, delivered, or mailed to all prospective Maintenance Providers.
All clarifications of the requirements stated in this RFP will be officially communicated via the e-mail stated in Section 5.4

B-1 Coverage principle
All Rotable and Repairable components that are listed in ATA chapters specified in this Annex B and that are not explicitly excluded shall be covered. Expendables and Consumables shall be excluded from coverage.
For the avoidance of doubt, the following definitions shall be used:
Rotable - a component of an aircraft which is controlled by serial number and can be economically restored to a serviceable condition, and which in the normal course of operation can be repeatedly rehabilitated to a serviceable condition over the life of the aircraft to which it is related.
Repairable - a component of an aircraft which can be economically repaired to a serviceable condition, and which in the normal course of operation can be repeatedly restored to a fully serviceable condition except when it is Beyond Economical Repair (BER). A repairable component is normally provided with a tag.
Expendable - a component identified by part number for which no authorized repair procedure exists or for which cost of repair would normally exceed that of replacement. A component with CLP value below USD 600 (A320f, B737NG), USD 800 (A330) shall be considered an expendable unless otherwise agreed on case-by-case basis.
Consumable - means a part which can only be used once and is replaced irrespective of apparent condition during the course of removal or maintenance.
