Why modernise?


CIPS Modernisation - Principles:• CIPS is a global professional body which values the diversity of its membership and its status as a Chartered

Institute & UK charity– inside the charity, CIPS runs a global network of commercial activities in pursuit of its Charter objectives and to fund

member benefits and initiatives for the public good

• CIPS must be able to make timely and effective decisions;– decision rights to be defined at all levels with clear accountability and communications– there will be effective control of subsidiaries and JV’s through the CEO and staff

• There will be a global advisory body, or Congress, that will represent all the membership and be the conscience of CIPS;

– will be constituted such that it is not dominated by a single interest group– will engage the membership to guide and influence the trustees– will be chaired by the President of the Institute and elect a proportion of the trustees

• There will be a smaller executive body of trustees;– trustees will be MCIPS or FCIPS, or non-members selected for their particular expertise– the trustee board will be chaired by the Chairman of the Institute– the performance of each trustee will be evaluated and managed by the trustees as a group– the CEO will be an ex officio trustee, responsible for the management of CIPS and all subsidiary entities and will be line-

managed by the Chairman of the trustee board

• There will be an independent Nominations Committee responsible for the election and appointment of trustees, against published criteria

– led by two recent past presidents, with senior MCIPS/FCIPS members and an independent advisor– will champion the democratic election of trustees from the global Congress– will consider nominations from individuals to be appointed as trustees– will appoint the Chairman and President as two independent and non-sequential roles

The New Structure


• Regional seats allocated based on global Qualified Membership– Members qualified to level 5 and above– 6 geographical regions (Asia, Africa, UK, Americas, Europe/Middle East, Australasia)– 1 seat per 2%, or part thereof– 56 (max) elected regional seats

• 6 additional seats allocated to students• 1 ex-officio member – elected Chairman of Congress• Composition will flex over time as membership grows

– the theoretical maximum size is 62 elected seats• Elected Council members became founder members

• Open elections– All MCIPS and FCIPS members can vote for Regional seats– Students vote for student seats– Balanced renewal of one third of Congress each year

• Term of office– Elected for 3 year term– Members can immediately stand again for a second 3 year term– A 3 year interval required before standing for a third term

• Online voting, conducted by an independent agency• Casual vacancies filled by election runner-up

– If none is available, the Nominations Committee will make individual adjustments to maintain the renewal cycle

How the elections will work


• There will normally be 13 Trustees serving a 3 year term– 6 elected from Congress– 6 appointed by the Nominations Committee– CEO appointed by the Trustees (ex officio)

• Appointed trustees can include up to 2 non-members• Everyone else (except for the CEO) must be MCIPS/FCIPS• Chairman of the Board of Trustees and President of the Institute

are selected by the Nominations Committee from among the Trustees

• At the end of their term, Trustees can stand for re-election or be re-appointed for a second term straight away; then a gap of 3 years before seeking a third term

The New Board of Trustees


• Trustees must make a commitment to comply with good governance principles

• Trustees must make a Declaration of Interest annually • Induction training will be provided so they understand their

role and responsibilities• There will be an annual performance review – a mix of self-

reflection and external assessment• There is an attendance requirement (bye-law)• Individual under-performance will be handled by the

Nominations Committee working with the Chairman of the Board of Trustees

• The entire Board can be dismissed via an EGM

How Trustee performance will be monitored


• Chairman of the Board of Trustees (2 year term)– Head Trustee, chairs the meetings, line manager for the CEO

• President of the Institute (1 year term)– External face of CIPS, spokesperson and host for major events

• Chairman of Congress (1 year term, can stand again)– Links Congress to the Board of Trustees, ensures members’ views are properly

represented and responsible for the operation of Congress

There are three officer roles………..

………and three subcommittees of the Board• Remuneration Committee

– responsible the CEO’s remuneration and setting the policy for his staff• Nominations Committee

– responsible for the election and appointment processes• Disciplinary Committee

– handles complaints against members for breaches of the professional code of ethics.


• CEO is responsible for – Global operations – The successful execution of strategy set by the Trustees– Maintaining a qualified staff and effective Operating Procedures for the entire

group including subsidiaries– Managing finances within budget and reserves policy set by Trustees– Ensuring the Trustees receive regular and accurate reports– Supporting governance and helping Trustees fulfil their obligations
