The Police Services Board Meeting was called to order at 1:02pm by Karen Bartlett. Present: Marion Wearn, Bev Beaton, Karen Bartlett, Rodger Mordue, Staff Sergeant John Fashing, and Cretia Brittain.

1. Speed signs arrived. Posted in Fennell St Plattsville without display, next week display will beoperating to compare. Gary Crandall has asked board to have input as to location of these signs.We will look into co-coordinating info exchanged to OPP. Areas of concern: coming intoWashington, Princeton, Drumbo, Trussler Rd and Richwood. Traffic islands are being installed bycounty on Fennell St to slow traffic.

2. Wilmot St Speed County. Has been changed on west from 50km to 60km to railway crossing.

Correspondence: 1. Fitzgerald Letter: Concern with the speed/sound of traffic on Wilmot St S. Has been addressed by township

council. Letter has been forwarded to county. 2. Parker Letter: Concerns with the speed in Washington. She has already spoke to Scott Bougner of the

The process of replacing Tim is in progress and being moved along as quickly as possible. 5. Park trails use of motorized vehicles and poop/scoop bi-law posting needed to be checked on so OPP

can enforced.

Excellence in Municipal Risk Management Award

Frank Cowan Company is pleased to announce the launch of the Excellence in Municipal Risk Management Award to recognize the advancement of the practice of risk management within the municipal sector.

The award will be presented annually to a Canadian municipality that has recognized a risk within their municipality’s operations and has developed and successfully implemented a solution that will prevent harm or injury to its assets or to a third party. This risk management solution must also have the potential to be adopted by other municipalities.

Eligibility

The award is open to all Canadian municipalities

The solution: • Must have the potential to be adopted by other municipalities • Is cost-effective to implement • Addresses a risk within the municipal sector

The municipality agrees to the documentation and sharing of the winning solution along with the use of the $10,000 prize through the Frank Cowan Company Risk Management Centre of Excellence, social media posts, a press release as well as an awards presentation.

Award

An award in the amount of $10,000 will be presented by Frank Cowan Company to the municipality that is awarded the annual Excellence in Municipal Risk Management Award. The award monies must be used to continue to fund the current or a future risk management initiative. The recipient will be asked to provide details regarding the use of the funds. The use of the funds will be publicly disclosed as referenced in the “Eligibility” section.

A plaque recognizing the municipality’s advancement of the practice of risk management will be presented to Municipal Council by representatives of Frank Cowan Company.

Changes to Your Insurance Program

Please be advised of the following changes to your insurance program that now apply:

o Please refer to 'IMPORTANT PRODUCT CHANGES – DATA' regarding changes to the above coverages.

Casualty – Sewer Back Up Per Claimant Deductible

o The Sewer Back Up Per Claimant Deductible Endorsement has been revised. We have reformatted and clarified our intent under this endorsement.

Crime Coverage

o Computer and Transfer Fraud has been updated to clarify the intent of coverage. We now specify that coverage is to apply when a computer system is used to fraudulently transfer funds.

Legal Expense

o The Legal Expense wording has changed. For a brief description in the changes to coverage please refer to Legal Expense Coverage Change information attached.

o The Legal Expense Important Information document has been updated to include a wallet card that can be copied and distributed to Insured's covered under the policy (e.g. employees, managers etc.)

o We have automatically increased the Legal Expense limits to a $100,000 occurrence and $500,000 aggregate limit for no additional premium.

Property Policy

o Building values have been increased in order to reflect inflationary trends.

Equipment Breakdown Coverage

Automobile Policy

o Your policy now provides for primary automobile limits up to 15 million. As a result your policy will be issued without the need for an excess Automobile policy (SPF 7). Your primary auto limit is as shown on your “Schedule of Coverage”.

o Vehicle #9, 1990 Ford Pumper has been amended to Actual Cash Value due to age.

o As of June 1, 2016, new auto reforms in Ontario will be in effect, including lower accident benefit limits, new options to increase coverage. The Financial Services Commission of Ontario (FSCO) has produced a publication entitled “Important Changes to your Policy” which is available at www.fsco.gov.on.ca and provides consumers with information regarding the auto insurance reforms. The publication explains changes to the standard auto insurance policy and the new choices available. A copy of this will also be provided with your Insurance renewal documents.

IMPORTANT PRODUCT CHANGES – DATA

Every organization depends on data - be it in paper or digital form - to operate. Client and employee information is gathered and stored for transactional and/or customer service purposes, however, this activity poses a threat to both individuals and organizations with respect to right of privacy. One of the largest exposures an organization has is the unauthorized access of confidential information and the number of ways in which access can be illegally obtained is countless and ever evolving. Frank Cowan Company believes in providing you with coverage that responds to new and emerging trends. As a result we are announcing several product changes and enhancements.

LIABILITY CHANGES Liability policies were not designed to cover loss of information from computer systems. Common cyber exposures are routinely and expressly excluded under liability. Instead, insurance has evolved to offer specific solutions for cyber events by way of cyber liability policies. To clarify the intent of the Frank Cowan Company liability wordings, the personal injury coverage has been amended. While 'invasion of privacy' coverage is still provided under personal injury, coverage has been removed as it relates to data losses because a cyber liability policy is a better fit for this exposure. In addition, standard exclusions for fungi, asbestos, terrorism are now included within the base wording. These were previously added to the policy via endorsement. The war and nuclear exclusions have been updated for consistency in liability wordings.

ERRORS AND OMISSIONS CHANGES E & O coverage has changed to allow for an error or omission that may have resulted from a data entry error (e.g. a date error for an employees' benefit coverage). A loss of data or change in data as a result of a virus or cyber exposure is still not covered; however this change broadens coverage slightly and accurately reflects the original intent of this wording to cover human errors and omissions.

CYBER RISK INSURANCE CHANGES The Frank Cowan Company offers a comprehensive cyber product and responds to network and data breaches to your own computer system. There is an emerging trend where businesses that are similar in nature use Shared Computer Networks and Services via a Shared Network Agreement. This involves sharing specialized technological resources such as databases, programs, hardware and other resources to maintain the system and security. Such an arrangement can have many benefits such as cost savings and access to more reliable systems/services, but is not traditionally covered by cyber insurance policies.

The following changes have been made to our cyber policy:

We have clarified the definition of Service Provider to automatically include Network Service

Agreements for Privacy Liability Coverage. New definitions have been added for Network Sharing

Agreements and PCI-DSS (Payment Card Industry Data Security Standard).

Forensic Costs no longer extend to a Service Providers System and industry standard war,

radioactive contamination and nuclear exclusions have been added.

We have amended the software responsibility exclusion so that it will only apply to software

relating to security.

Legal Expense Coverage Changes Legal Expense

We offer comprehensive Legal Expense Coverage to protect an Insured against the cost of potential legal

disputes arising out of the Named Insured's operations.

Overview of Changes

The following document outlines the changes to our wording:

'Permissions' Clause: we have removed the clause that stated: Any "Insured" claiming under this

policy must have permission of the "Named Insured".

It is important to note that the definition of 'Insured' includes a wide range of people e.g. employees,

volunteers, managers, council and committee members; and coverage is applicable to duties relating

to the Named Insured's business.

The term ‘Insurer’ has been changed to ‘Insurer’s Claims Administrator’.

The term 'date of claim' has been removed and replaced by the term 'claim'. The term 'claim' has

been defined and spells out what constitutes a "claim" under each Insuring Agreement.

Insuring Agreements

We have added a clause stating we will not cover legal costs related to an investigation that is

conducted by the Named Insured (e.g. an internal investigation).

we now only exclude coverage when the Named Insured is the landlord; and

Limits of Insurance Section

We have clarified that all offences stemming from the same originating cause are considered to be one

claim and apply to each legal proceeding.

The 'Each Claim Limit' shown on the declarations will still apply to each Insured.

Coverage is still subject to an Each Claim Limit and an Aggregate Limit.

General Conditions

The General Condition 'Choice of Appointed Representative' has been amended to 'Conduct and Control

Property policies typically exclude losses that Equipment Breakdown Insurance is designed to cover.

Equipment Breakdown Coverage insures against losses (property damage and business interruption) resulting from 'accidents' (as defined in the wording) to various types of equipment such as pressure, mechanical, electrical and pressure equipment (called “objects” in the policy). Coverage also extends to electronic equipment for 'electronic circuitry impairment'. Coverage typically extends to production machinery unless specifically excluded.

Coverage is extended to pay for:

Property Damage: The cost to repair or replace damaged equipment or other covered property, including computers,

due to a covered accident.

Business Income The loss of business income due to an interruption caused by a covered accident from the date of

Public Entity Errors and Omissions Insurance (E&O) Coverage protects risks from civil litigation caused by

allegations of professional negligence or failure to perform professional duties. Errors and Omissions

focuses on providing coverage when there is financial loss to a third party (rather than bodily injury or

property damage as general liability does).

Limits Typically limits follow that of our Liability. We have the availability to offer up to

$50,000,000.

Defence Costs Over and above the Limit of Insurance. Whether a potential claim is baseless, or

not, mounting legal expense can have serious monetary consequences for an

Insured. No Annual Aggregate With higher out of court settlements and increased damage awards, large or even

a series of small claims can quickly erode an annual aggregate limit.

Claims Made Policy Pays for claims occurring and reported during the policy period. Our policy

provides retroactive coverage (no date need be specified) and stipulates that a

claim is first known only when written notice is first received.

Claims Definition The definition of claim also includes arbitration, mediation or alternative dispute

Non-Owned Automobile Coverage Highlights Overview

Non-Owned and hired automobile liability insurance covers bodily injury and property damage caused by a

vehicle not owned by the Insured (including rented or borrowed vehicles). Coverage is provided for Third

Party Liability arising from the use or operation of any automobile not owned or licensed in the name of the

Insured if it results in bodily injury (including death), property damage (if the property was not in

possession of the Insured) to a third party.

Features

SEF No. 96 Contractual Liability:

When renting a vehicle you engage in a contractual relationship with the rental company where you

assume liability for the operation of the automobile. It is therefore important that contractual coverage

is added to the policy by way of an endorsement known as SEF (Standard Endorsement Form) No.

96. Contractual Liability coverage is automatically provided for all written contractual agreements with

our Non-Owned Automobile coverage.

SEF No. 99 Long Term Lease Exclusion:

When Contractual Liability is provided under the policy there is also an exclusion for Long Term

Leased vehicles SEF No. 99. This excludes coverage for vehicles hired or leased for longer than a

certain period such as 30 days.

Territory:

The Non-Owned Automobile policy provides coverage while in Canada and United States.

Termination Clause:

The standard termination clause has been amended in that the Insured may still provide notice of

cancellation at any time, however, the Insurer must provide ninety days' notice of cancellation to the

Insured rather than the standard 15 or 30 days.

SEF No. 94 Legal Liability (Physical Damage) to a Hired/Rented Automobile:

We automatically provide coverage for damage to a vehicle that you have hired or rented. Coverage is

provided via endorsement SEF No. 94. We automatically provide 'All Perils' coverage. The limit of

coverage will vary per client.

Additional Information

Courts have repeatedly held that when an automobile is used on a person’s behalf or under a person’s

direction, that person (or entity) has a responsibility for the operation of the automobile and may be held

liable for damages in the event of an accident even though he or she is not the owner or driver of the

vehicle. This common law principle has been supported by a number of court decisions making an

employer responsible for the use and operation of an automobile when an employee is operating an

automobile (not owned by the employer) while being used for the employer’s business.

Environmental Coverage Highlights Overview

Pollution incidents are a significant risk that can result in serious harm to public health and safety as well as to

the environment.

We provide pollution liability insurance for claims for third party bodily injury and property damage. Coverage is

provided on a blanket basis resulting from pollution conditions on or migrating from premises owned, occupied,

rented or leased by the insured that are discovered and are reported during the policy period. The policy

responds to events that are gradual in nature as well as those that are sudden and accidental causing third party

damage whether pollutants are released on land, into the atmosphere or in the water.

Our Defence costs are over and above the limit of insurance and will respond even if allegations are

groundless or false.

Storage Tanks

Seepage or leakage from both above and below ground storage tanks are covered without being

Environmental exposures pose an imminent and substantial threat to public health, safety or welfare or to the

fertilizers, road salts and chemicals used to de-ice roads and bridges, contaminated waste from medical facilities

Loss from a pension or employee benefit plan resulting directly from a dishonest or fraudulent act

Property policies typically exclude losses that Equipment Breakdown Insurance is designed to cover.

Equipment Breakdown Coverage insures against losses (property damage and business interruption) resulting from 'accidents' (as defined in the wording) to various types of equipment such as pressure, mechanical, electrical and pressure equipment (called “objects” in the policy). Background: The following will provide Council with an update regarding the activities of the Community Services Department, for the month of November.

Analysis/Discussion: Princeton Park Expansion Bench pads were put into place by volunteers and a very nice job was done by them. Benches are starting to be put into place and may continue throughout the winter. Both the water and hydro are done. The north fence should be completed this week. The Legacy Committee will be busy with the tree and bench fundraising throughout the next few months leading up to our spring planting season. Waste receptacles purchased as part of the fundraising have been placed along the trail and 2 dog waste bag dispenser stations have been put into place. We have a free trial on the dog waste bag dispenser stations for 2 months. Natural planting of grasses and flowers has also been applied around the pond areas.

Drumbo Lights Project The post are delayed, 90% of all other materials are at the contractors shop.

Arena Staff hosted a group from the community of Bayfield, Ontario who were interested in our renovation. Throughout the tour staff received positive comments regarding the cleanliness of the facility and the layout.

Oxford Child & Youth Planning Table On the 23rd the Manager attended the Oxford Child & Youth Planning Table. This is an important step in Oxford County to coordinate services for children and youth hopefully identifies gaps and duplication in services while encouraging all groups to work together for systemic change to benefit the young people of our community. represented the Woodstock Police, the youth justice system, youth mental health and others. Only 2 municipal recreation departments were present with Blandford- Blenheim being the only rural representative. Although the school board was invited, they sent their regrets. I did leave the session supporting the need for this planning table to be active and move on actions. And further that the remuneration for Council members, Volunteer Fire Fighters, Fence-Viewers, Livestock Valuers, Property Standards Committee members and all Township employees, with the exception of those affected by minimum wage legislation, be increased by 1.5% effective January 1, 2017;

Background:

Each year Council gives consideration to salary increases for staff and others based on the cost of living index, as established by Statistics Canada. TR-15-11 recommended that the Cost of Living Adjustment (COLA), from August to August of the previous year be used on an ongoing basis, for budgeting and consistency.

The one year average increase in the monthly Consumer Price Index for the province of Ontario, from August 2015 to August 2016 is 1.5%.

Analysis/Discussion:

This amount is within the range of other townships within our County and the County itself. Their proposed increases fall within the range of 1.0 to 2.1%.

For budgeting purposes, an increase of 1.5% in all salaries and wages will be included in the 2017 draft budget.

And further that Council authorize the Director of Finance to prepare a fees and charges by-law for the December 21, 2016 Council meeting based upon Township fees and charges as outlined on the attached schedules.

Background:

Section 391(1) of the Municipal Act, 2001 authorizes a municipality to impose fees and charges on persons,

(a) For services or activities provided or done by or on behalf of it; (b) For costs payable by it for services or activities provided or done by or on behalf of any

other municipality or any local board; and (c) For the use of its property including property under its control.

Under Section 400(d) of the Municipal Act, 2001 and the Township of Blandford-Blenheim Notice By-Law, the Township is required to give notice of its intention to pass a by-law imposing the fees and charges which have priority lien status.

Analysis/Discussion:

The proposed 2017 user fees and charges by department is attached to this report. User fees and charges were generally increased by a modest percentage or the fee was left unchanged for 2017.

For the Cemetery section the following revisions were made:

Use of Chapel at Mausoleum

Chapels exist at the Drumbo and Princeton mausoleums but have not been used for a number of years and are in poor condition. They should not be offered for rent and this charge should be eliminated from the fees and charges schedule.

Report TR-15-12 - 2 - October 21, 2015

The storage vault has been offered as an alternative to paying a surcharge for winter burials. The Township has been assuming a level of liability when winter storage is offered in the mausoleum vault. Since its being recommended that the winter burial charge be adjusted to be based on actual charges incurred by the municipality it is recommended that this service no longer be offered. Use of Storage Vault – other Cemeteries It is recommended that this service also no longer be offered for the reasons detailed above. Snow Removal A flat rate charge for snow removal has been in place to access graves for winter burials. Its suggested that this flat rate be replaced with charge based on cost recovery for this service. Winter Burial – Full Internment (December 1st to March 31st) Traditionally the Township has levied a surcharge for winter burials. In 2016 this charge for full internments was $800 on top of the standard internment charge. It is recommended that the winter burial charge be adjusted and that the new charge be based strictly on cost recovery for the extra costs that is levied against the Township for this service. Winter Burial – Cremated Remains (December 1st to March 31st) As with full internments the Township has also levied a surcharge in the past for winter burials of cremated remains. In 2016 that charge was $100. It is recommended that winter burials for cremated remains also be based on cost recovery for the extra costs that is levied against the Township for this service. Park Benches It is recommended that the charge for memorial benches within the Township cemeteries be equal to the charge for memorial benches located in Township parks. Attachments:

Background:

This report is to provide Council with information in regards to the Reserves and Reserve Funds held by the Township, up to the current date as well as a future forecast.

Reserves and Reserve Funds fulfil critical financial needs for the Township, including:

- making provisions for the replacement / rehabilitation of existing Township assets; - providing for future liabilities; - supplying a source of contingency funding for one time and unforeseeable events; and - offering flexibility to manage debt levels and protecting the Township’s financial position.

Reserves are an allocation of revenues set aside at the discretion of Council to provide for future expenditure requirements such as working funds, contingencies, equipment replacement or other municipal need. They are created by provision in the budget or by transferring unexpected or surplus funds via Council resolution.

Reserve Funds are established by By-Law and are restricted to meet a specific purpose. Obligatory Reserve Funds are mandatory reserves created by statute such as Development Charges and Gas Tax Funding. They are created through transfers from Federal or Provincial governments or collected as a charge on development.

There are explanations as to why some balances are higher or lower than expected. Background:

At the July 6, 2016 meeting of Council staff brought forward a Community Partnership for Municipal Assets Policy. The intent of the policy is to ensure that the lines of communication are open between Council, staff and the fundraising organizations so that each group is aware of everyone’s role at the outset of capital projects.

Analysis/Discussion:

Staff set out to develop partnership agreements with organizations who are currently fundraising for various projects around the Township. Early on while working on these partnership agreements it became clear that in addition to these agreements there needs to be a policy in place on how charitable donations are received and when Official Tax Receipts can be issued by the municipality.

The Federal Income Tax Act contains provisions that grants Canadian municipalities the authority to issue official income tax receipts without being registered as a charitable organization. The regulations and policy at the Canada Revenue Agency is very prescriptive in what can be considered a “gift” and how it is to be receipted. For this reason it is very important to have a policy in place that not only states what type of gifts can be receipted but also the process that staff needs to follow when issuing income tax receipts.

The attached Charitable Donation Policy has been drafted and is presented for Council’s consideration. It details what can be considered a gift and how eligible donations will be receipted by the municipality.

Also attached is a Community Partnership Agreement with the Princeton Park Legacy Committee. This agreement has been worked on and refined over the past three months through consultation with the Committee. It details the relationship between the Committee and the Municipality and what each partner can expect from each other.

Financial Considerations:

The municipality has the power to issue income tax receipts. This is a powerful tool in helping the Township acquire funds through donations. It is important that the municipality follow procedures to ensure that federal income tax rules are followed and the municipality retains this right to issue receipts.

Funds are being raised by the Princeton Park Legacy Committee for features in the Princeton Park. The partnership agreement is an important communication tool that spells out the roles and responsibilities of each group. By building this partnership each group is able to stay well informed on the progress and success of the project.

PURPOSE: To establish the regulations and procedures that will be followed when accepting charitable donations and issuing Official Tax Receipts. PROCEDURE: 1. This policy governs the Township’s action with respect to charitable donations and issuing Official Tax Receipts. In addition, operational procedures are included to assist staff with processing donations and issuing receipts. 2. The Federal Income Tax Act contains provisions that allow Canadian municipalities the authority to issue official income tax receipts without being registered as a charitable organizations. For clarification and information on charitable organizations, what is considered a gift and any other matter regarding the rules surrounding the issuance of income tax receipts reference should be made to the Canada Revenue Agency (CRA). A Gift must be given freely and not the result of a contractual or other obligation. A Gift must be a transfer of property.

• Only Gifts of property are eligible for official donation receipts. (i.e. cash, equipment, land, etc.) • Gifts of service and promise of service are not gifts of property and are not eligible for an official donation

receipt. (There are special situations where a receipt can be issued – see below) • Gift certificates donated by the issuer of the certificate are not considered property and are only eligible for

official donation receipts under specific circumstances. See guideline 7 below. However a gift certificate purchased and then donated does constitute property and may be receipted.

• Pledges do not constitute a transfer of property until they are fulfilled and as such are not eligible for an official donation receipt. Transactions that do not qualify as gifts include:

• A court ordered transfer of property to a qualified done; • The payment of a basic fee for admission to an event or program; • The payment of membership fees that convey the right to attend events, receive literature, receive services, or

be eligible for entitlements of any material value that exceeds 80% of the value of the payment. • A payment for a lottery ticket or other chance to win a prize. • The purchase of goods or services from a charity. • A donation for which the fair market value cannot be determined.

• Donations provided in exchange for advertising/sponsorship. • Gifts of services (for example, donated time, labour, etc.). • Gift certificates donated by the issuer (may qualify under specific circumstances as indicated in section 7 below). • Pledges. • Loans of property. • Use of a timeshare. • The lease of premises.

3. The Township will issue official tax receipts for donations that conform to the provisions of the Income Tax Act. 4. Donations may be made for a wide variety of purposes. Examples include but are not limited to:

• Municipal Building/Construction Projects • Fire Department Equipment • Recreation & Playground Equipment • Park Expansion and related appurtenances • Trees • Landscaping • Other purposes beneficial to the Community

5. Purposes that, in the opinion of the CAO/Clerk, are not consistent with the Township’s current programs and service levels will require Council approval before a donation is accepted and an Official Tax Receipt is issued. The Township has exclusive control over whether or not to accept a donation. Generally, donations that are consistent with current programs and maintain or enhance an existing level of service would be considered eligible. Donations that increase or add a new service to the Township’s operation will require Council approval. 6. Donations may be in the form of monetary donations, property or equipment. Tax Receipts are issued based on the fair market value if the donation is property or equipment. 7. Official Tax Receipts cannot be issued directly for services. The Definition of a Gift does not include services. To donate services the following provisions shall apply:

a) The donor offers their services to the Township, which requires Township approval before any service is performed.

b) The donor submits an itemized invoice to the Township for the services rendered. c) The Invoice is reviewed for reasonableness and accuracy and approved for payment by the appropriate staff

member. d) The invoice must represent the fair market value of the service provided. e) The Township will then process a payment to the donor. f) The donor will then either provide a donation cheque equivalent in value to the invoice for the services

rendered or sign the cheque issued by the Township back over to the Township. g) Once all payments have cleared then the Township will process the donation and issue an Official Tax Receipt.

8. The Township will only issue Tax Receipts for donations greater than or equal to $20.00. 9. The Township will cooperate with other organizations when they are involved in fundraising for approved municipal projects. In order to make this arrangement transparent the organization may be required to enter into a Community Partnership for Municipal assets agreement. This agreement will spell out the roles and responsibilities of both parties and would be submitted to Township Council for approval. 10. The following operational procedures shall be used for processing donations:

a) Once all payments have cleared (if applicable) then the Township will process the donation and issue an Official Tax Receipt within 30 days.

b) The Official Receipt will be made out as per the name on the cheque. If there is no name the Receipt shall be made out as specified by the donor.

c) The Township will maintain accurate records of Charitable Donations broken down by purpose. Donor information may be made available as required for Memorial Donations or other specific donation activities.

d) Replacement Official Tax receipts can be issued if requested by the donor. Replacement receipts shall be marked as such.

11. The CAO/Clerk shall be responsible for the implementation and ongoing maintenance of this policy. The CAO/Clerk is authorized to make administrative and operational amendments to this policy without the need for Council approval. 12. Fire Department Vehicle Donations:

• Vehicles can be donated to the Fire Department, subject to the approval of the Fire Chief. • The Ownership for the vehicle must be dated and signed when donating a vehicle. • Unless the donor provides documentation to the contrary, the value of the donated vehicle shall be $100.00.

13. Policies and Regulations around Gifting and Receipting made by Revenue Canada prevail regardless of what this policy states.

COMMUNITY PARTNERSHIP AGREEMENT THIS AGREEMENT effective as of _______________________, 2016 BETWEEN:

The Corporation of the Township of Blandford-Blenheim “The Municipality”

- and -

The Princeton Park Legacy Committee “The Committee”

Contact: The Committee identifies Peggy Crosby, Co-Chair of The Princeton Park Legacy Committee as the person(s) to be contacted with respect to this agreement. All communication to the Municipality regarding this agreement will be directed to the Chief Administrative Officer / Clerk. Services and Requirements: The Committee is working to raise funds for the purchase of appurtenances for the municipal park in Princeton. Under this agreement the Committee will work with the Municipality to provide funding for the purchase of items to complete the initiatives listed below:

1. Trees and natural plantings 2. Benches 3. Fitness equipment 4. Central gathering space donor recognition area 5. Wetland area natural beautification items 6. Storage building 7. Gazebo

Future items could be added to the above list by amending this agreement. The Committee will submit all donations received to the Municipality along with a listing detailing who the donation is from, the donor’s contact information, amount of the donation and the park feature they wish the donation to be allocated to. The Municipality will advise the Committee when donations are received for the project directly from a donor. This will enable the Committee the opportunity to acknowledge the donation.

For those donations which are received and allocated to no specific project feature the Committee and the Municipality jointly shall decide where the funds should be directed in order to best complete the initiatives listed above. The Municipality will review the donation and issue receipts based on the Township’s Charitable Donation Policy. The Municipality will provide a level of administrative support to the Committee including, but not limited to, small batch mailing and small batch photocopying. The private sector will be encouraged to bid on contract jobs where warranted in order that the project may benefit from their specific skill and expertise. The Committee and the Municipality will consult with one another when researching and applying for various grants that may be available to help fund the project. Signage: The Committee, at its sole cost and expense, shall be responsible for all project specific signage located on Princeton Park property related to the fundraising activities. Any signage installed by the Committee requires approval by the Municipality and shall be maintained by the Committee for the term of the fundraising activities. The Committee shall arrange with the Municipality a mutually acceptable time for installation. Term: This Agreement shall come into force on approval and shall continue in force until either of the Parties gives thirty (30) days’ notice in writing of their desire to cancel or amend the Agreement.

That Council authorize the mayor and Clerk to execute an agreement with Hillside Kennels Animal Control Ltd. For the provision animal control services for the Township of Blandford-Blenheim for the calendar years 2017 and 2018.

Background:

Hillside Kennels have been providing canine and animal control services for the municipality since 1997. The current 2 year contract with them expires on December 31, 2016. Hillside also provides this service to all municipalities in the County of Oxford with the exception of Zorra Township as well as to the neighboring County of Brant and the Township of North Dumfries.

Analysis/Discussion:

The Township’s agreement with Hillside Kennels for animal control services expires on December 31, 2016. The services covered in the agreement proposed are the same as what has been covered by Hillside in the past, that being as the Township’s canine control officer, pounds keeper and the provision of general animal control services as needed.

The proposal submitted by Hillside shows a slight increase in costs over the expiring agreement. The minimum monthly charge has increased from $650.00 to $700.00. Also, the euthanasia charge per animal has been increased from $25.00 to $30.00 and the call out charge has increased from $115.00 to $120.00. All other charges remain the same.

For the past 2 agreements Hillside has included 10% fuel surcharge that’s added to the bill when the average price of gasoline at the pumps is $1.00/litre or more per month. It takes staff time to research and track this cost so a request was made to have this fee eliminated from the

bill. Hillside has offered to eliminate the surcharge and in exchange the minimum monthly charge would be increased from the proposed $700 to $750. To determine the financial impact of this staff has review the 2016 bills to compare costs with the surcharge and without the surcharge:

Monthly bills in 2016 that did not reach the minimum retainer 3

Additional cost per month for retainer $50

Total extra retainer cost $150

Months in 2016 fuel surcharge was in place 2

Minimum surcharge cost (at 10% of retainer) $75

Total savings if surcharge is eliminated $150

Based on 2016 invoices the costs would have been the same. Going forward with the new agreement staff would recommend that the surcharge be eliminated and that the increased retainer be agreed to. This would eliminate the need for staff time tracking fuel prices as well as protect the Township when fuel prices eventually climb above the $1.00/litre mark.

The Township has utilized the services of Hillside form time to time for dog licensing and by-law enforcement issues related to dogs as well as for dealing with other types of animals (i.e. raccoons). Hillside is also called upon by other agencies such as the OPP and the Board of health when animals need to be picked up and quarantined. Staff has been satisfied with the services provided by Hillside.

Financial Considerations:

The rates proposed from Hillside are for the two year term of 2017/2018 and would translate into approximately 3.75% increase over the 2016 cost.

A G R E E M E N T

IN THIS AGREEMENT: BETWEEN: THE CORPORATON OF THE TOWNSHIP OF BLANDFORD- BLENHEIM, a Municipal Corporation within the County of Oxford, hereinafter called the “TOWNSHIP”. OF THE FIRST PART AND: HILLSIDE KENNELS ANIMAL CONTROL LTD. hereinafter called

the “CONTRACTOR”. OF THE SECOND PART

WHEREAS both parties hereto are desirous of entering into an agreement to provide for the service of Animal Control Officer and Poundkeeper for the Township of Blandford-Blenheim (Township):

NOW THEREFORE the parties hereto agree as follows: Pound Facilities 1. The Contractor agrees to provide and maintain a pound facility to be located at R.R.

#2, Innerkip, Ontario, being 786007 Township Road 6, to serve the Township, such facility to be kept in good order and state of cleanliness at all times in accordance with the “Animals for Research Act”, Revised Statutes of Ontario, 1990, Chapters 22 & 23 and its’ Regulations. The facility will include an indoor and outdoor run area as well as holding cages.

2. Such pound facility will be served by staff of the Contractor who will ensure that all animals impounded will be kept clean, well cared for and fed during the time of

confinement. 3. All sick or injured animals will immediately receive medical attention by veterinary staff.

If, in opinion of the medical staff, any animal is too severely injured or diseased and medical care will only prolong the suffering of the animal, the animal shall be humanely euthanized and properly disposed. Every attempt will be made by the Contractor to contact the owner of any such animal before such action is taken. 4. The Contractor shall keep records of all animals impounded and their disposition

which shall be submitted to the Township at the end of each month. 5. All animals impounded shall be kept for a minimum of four days, holidays excluded, or

longer at the discretion of the Contractor. Staff will attempt to contact the owner of any animal as quickly as possible. If the Contractor is required by law to quarantine an animal for a specified period, the Township will pay the additional boarding fees for the quarantine period unless the owner redeems the animal in which case the owner shall be responsible for additional boarding fees.

6. The Contractor shall ensure that the pound facility will be open to the public during the regular office hours Monday to Friday, 8:00 A.M. until 5:00 P.M. and Saturday 8:00 A.M. until 12:00 Noon for animal redemption.

7. The Contractor agrees to respond to all requests for pick-up of confined dogs during the hours of 8:00 A.M. to 8:00 P.M. every day of the year for:

7.1 Calls coming from a Township employee or members of Council. Calls for pick-up shall be for confined dogs only.

7.2 Calls for pick-up coming from the Woodstock Police Service and/or Ontario Provincial Police (O.P.P.) 7.3 Calls from resident public. Calls for pick-up shall be for confined dogs only.

7.4 Calls dealing with a vicious dog. 7.5 The Contractor may at their discretion pick-up any dog found running at large on all municipal or school properties in the municipality.

The term “confined” shall mean “kept or restricted within certain limits” such as but not limited to the animal being kept or restricted to the interior of a garage or fenced in area.

8. The Contractor shall charge such fees to animal owners as are deemed necessary to cover the cost of pick-up, boarding and any veterinary services if applicable of

impounded animals. The Contractor will reduce the account to the Township by the amount of fees recovered from animal owners to a maximum of pick up costs, the cost of three (3) days boarding or, in the case of a quarantine period required by law, the additional boarding fees and veterinary services, if applicable.

9. The Contractor agrees that any dog(s) impounded that do not have a current year dog

tag shall not be released to the owner or other person until a proper tag is purchased. The Township shall provide the Contractor with a supply of current year dog tags and a schedule of fees. It shall be the responsibility of the Contractor to sell the tags and remit all monies and records of the tags sold, by the 15th day of each month. The Township agrees to provide to the Contractor a list of tags purchased and relevant Township By-laws.

10. Any animal not claimed by the owner shall become the property of the pound and may be adopted, or disposed of according to the Ministry of Agriculture Food and Rural Affairs and Regulations governing Pounds and Animal Control Facilities, Chapter A. 22 & 23 of the Animals for Research Act.

11. The Contractor agrees to provide public relation services during regular office hours and provide the public with information relating to animal control.

Animal Control Service 1. The Contractor agrees to provide the service of Animal Control Officer within the

Township and agrees to pick up stray dogs. Requests to pick up other animals such as cats, raccoons, skunks, opossum, etc. shall not be part of this agreement. The Township will refer people requesting other animal control to the Contractor when requested.

2. The Contractor agrees to provide a vehicle suitably equipped to pick up such stray animals. Said vehicle shall have the wording “Animal Control.” The vehicle shall be maintained in a safe and clean condition.

3. The Contractor agrees that said vehicle will be available to pick up such stray animals within the Township on a 24 hour per day basis.

4. It is expressly understood that at no time shall the said vehicle become the property of the Township, and that responsibility for its operation, fuel, maintenance, licence and insurance rests solely with the Contractor. The Contractor agrees to indemnify and save the Township harmless from any and all claims out of or in connection with use of the vehicle.

5. The vehicle or its driver shall be equipped with a paging device to allow communications with the vehicle.

6. The Contractor agrees to carry out patrols if requested by the Township. The

Contractor will within reason answer all telephone complaints as quickly as possible.

7. The Contractor will ensure that the driver or drivers of the vehicle are adequately trained in the capture and confinement of stray animals.

Amendments or Additions: Fees 1. In return for animal control and pound facility services the Township agrees to pay the Contractor upon submission of monthly reports and invoices, fees according to the following schedule: (Fees plus applicable taxes)

Call Out: Canine, Sick & Injured Wildlife and Cats $120.00

Boarding: Maximum of 3 days, except quarantine, per day $ 25.00

Veterinary administered Euthanasia, per animal $ 30.00

Disposal by Cremation, per animal: Dogs $ 60.00; Cats & Small Wildlife $ 40.00

Rate to provide patrol or by-law enforcement per hour (Min. 2 hours) $ 40.00

Mileage at $0.50 per kilometer for patrol or by-law enforcement If the individual charges listed above do not total $750.00 in any given month, the Contractor shall invoice a minimum charge of $750.00 for that particular month.

2. It is understood by the parties hereto that there will be no adjustment in fees paid by

the Township during the full term of this agreement. General 1. This agreement shall be in effect from January 1st, 2017 to December 31st, 2018 unless

terminated earlier. Either party may terminate this agreement by giving written notice to the other party by registered mail at least 90 days before the intended date of termination. Termination of this agreement shall be of condition of violation or of mutual consent.

2. The Contractor shall maintain and pay for Comprehensive Liability Insurance, coverage for all operations as poundkeeper and Animal Control Officer. This insurance coverage shall be subject to limits of not less than three (3) million dollars inclusive per occurrence for third party Bodily Injury and Property Damage.

The coverage shall include the Township of Blandford-Blenheim (Township) as an additional insured in respect of all operations performed by or on behalf of the Contractor. The coverage shall not be altered, cancelled or allowed to expire or lapse without thirty (30) days prior to written notice to the Township. A certificate of such insurance shall be filed with the Township upon signing of the contract and annually thereafter. The Contractor agrees to fulfill all of its obligations in compliance with the Occupational Health and Safety Act and further agrees to take responsibility for any health and safety violation that may occur. Furthermore, if the municipality (or any of its Council members or employees) shall be made a party to any charge under the Occupational Health and Safety Act in relation to any violation of the said Act arising out of the operations of the Contractor. The Contractor shall indemnify and save harmless the Township from any and all charges, fines, penalties, and costs that may be incurred or paid by the Township.

This agreement cannot be assigned without the written consent of the other party and shall enure to the benefit of both parties, their executors, heirs and assigns. All services carried out hereunder by the Contractor shall be as an independent contractor and not as an employee of the Township. THE CORPORATION OF THE

BY-LAW NUMBER 1995 -2016

Being a By-law to amend By-law Number 506-83, as amended, being a By-law to appoint certain municipal officials.

WHEREAS Section 8 of the Municipal Act, S.O. 2001, Chapter 25, and amendments thereto, provides that the power to a municipality shall be interpreted broadly so as to confer broad authority on the municipality to govern its affairs as it considers appropriate.

AND WHEREAS Section 286(2) of the Municipal Act, S.O. 2001, Chapter 25, and amendments thereto, provides that a municipality may appoint a Deputy Treasurer who has all the powers and duties of the Treasurer under this and any other Act.

AND WHEREAS the Municipal Council of the Corporation of the Township of Blandford-Blenheim deems it advisable to further amend By-law Number 506-83, as amended, and to repeal By-law Number 1927-2015 to reflect the changes in personnel with this municipal appointment.

NOW THEREFORE the Council of The Corporation of the Township of Blandford-Blenheim enacts as follows:

1. That Section 3 of By-law Number 506-83, as amended, is hereby deletedand the following section substituted.

1.1 “Section 3” That Katherine Koski is hereby appointed as the DeputyTreasurer/Collector for the municipality.

2. That By-law 1927-2015, enacted the 16th day of September, 2015, is herebyrepealed.

3. The provisions of this By-law shall take full force and effect onNovember 1, 2016.

Being a By-law to confirm the proceedings of Council.

WHEREAS by Section 5 of the Municipal Act 2001, S.O. 2001, c.25, the powers of a municipal corporation are to be exercised by its Council.

AND WHEREAS by Section 11 of the Municipal Act 2001, S.O. 2001, c.25, the powers of every Council are to be exercised by by-law;

AND WHEREAS it is deemed expedient that the proceedings of the Council of the Corporation of the Township of Blandford-Blenheim at this meeting be confirmed and adopted by by-law;

NOW THEREFORE the Council of the Corporation of the Township of Blandford-Blenheim hereby enacts as follows:

1. That the actions of the Council of the Corporation of the Township of Blandford-Blenheim in respect of each recommendation contained in the reports of theCommittees and each motion and resolution passed and other action taken by theCouncil of the Corporation of the Township of Blandford-Blenheim, at this meetingheld on December 7, 2016 is hereby adopted and confirmed as if all suchproceedings were expressly embodied in this by-law.

2. That the Mayor and proper officials of the Corporation of the Township ofBlandford-Blenheim are hereby authorized and directed to do all things necessaryto give effect to the actions of the Council referred to in the proceeding sectionhereof.

3. That the Mayor and the CAO / Clerk be authorized and directed to execute alldocuments in that behalf and to affix thereto the seal of the Corporation of theTownship of Blandford-Blenheim.
