BE IT ENACTED by the Queen's Most Excellent Majesty by and with the advice and consent of the Legislative Council and the Legislative Assembly of Victoria in this present Parliament assembled and by the authority of the same as follows (that is to say):

1 Short title, commencement and division (1) This Act may be cited as the Tourism Victoria

Act 19921.

(1A) In—

(a) an Act; or

(b) a subordinate instrument within the meaning of the Interpretation of Legislation Act 1994; or

(c) any document whatever—

a reference to the Tourism Victoria Act 1992 by the name of Victorian Tourism Commission Act 1982 is, unless inconsistent with the context or subject-matter, to be taken to be a reference to the Tourism Victoria Act 1992.

(2) This Act shall come into operation on a day to be fixed by proclamation of the Governor in Council published in the Government Gazette.

(3) This Act is divided into Parts as follows:

2 Definitions In this Act, unless the contrary intention appears—

Chairman means Chairman of the Commission and includes Acting Chairman appointed under section 9(1);

Commission means the body corporate established by section 3 and called "Tourism Victoria";

prescribed means prescribed by the regulations made under this Act;

tourist facilities includes accommodation recreation and other facilities or services for tourists;

Treasurer means the Treasurer of Victoria.

PART I—ESTABLISHMENT OF COMMISSION

3 Establishment of Commission There is hereby established a body corporate by the name of Tourism Victoria which shall have perpetual succession and a common seal and be capable in law of suing and being sued of acquiring holding and disposing of real and personal property and of doing and suffering all acts matters and things which bodies corporate may by law do and suffer.

4 Change in Commission's name (1) On and from the date of commencement of this

section—

(a) the name of the Commission is to be "Tourism Victoria";

(b) in—

(i) an Act; or

(ii) a subordinate instrument within the meaning of the Interpretation of Legislation Act 1984; or

(iii) any document whatever—

a reference to the Commission by its old name is, in relation to any period occurring on or after that date of commencement, and unless inconsistent with the context or subject-matter, to be taken to be a reference to the Commission by its new name;

(c) in—

(i) an Act; or

(ii) a subordinate instrument within the meaning of the Interpretation of Legislation Act 1984; or

(iii) any document whatever—

a reference to the Victorian Government Travel Authority is, in relation to any period occurring on or after that date of commencement, and unless inconsistent with the context or subject-matter, to be taken to be a reference to Tourism Victoria.

(2) The Commission continues to be the same body after as before its change of name and no act matter or thing is affected by that change.

7 Constitution of Commission The Commission shall consist of not more than 10 members appointed by the Governor in Council of whom—

(a) one shall be chairman;

(b) one shall be deputy chairman.

7A Consequences of change in constitution The Commission continues to be the same body after as before the change in its constitution, made by section 5 of the Victorian Tourism Commission (Tourism Victoria) Act 1992, and that change does not affect the term of office of the members of the Commission or any other act, matter or thing.

8 Term of office members

Subject to this Act each member of the Commission is entitled to hold office for a term of not more than five years as specified in the instrument of his appointment and is eligible for re-appointment.

9 Acting members (1) The Governor in Council may appoint for a period

of not more than six months a person to act in the place of any member including the chairman who is absent from Victoria or through illness or other incapacity or for any other reason is incapable of discharging his duties as member.

(2) An acting member shall discharge the duties of the member so absent or incapable until his return to Victoria or the removal of his incapacity, or the expiry of the appointment of the acting member, whichever first happens.

10 Meetings (1) At any meeting of the Commission the chairman

(or, in the absence of the chairman, the deputy chairman) shall preside.

(2) A quorum shall consist of a majority of the members appointed to the Commission and shall include the chairman or deputy chairman.

(3) Subject to the presence of a quorum the Commission may act notwithstanding any vacancy in its membership.

(4) In the event of an equality of votes on any question at a meeting of the Commission the chairman or deputy chairman shall have a second or casting vote.

(5) Meetings of the Commission shall be held at such times and places as the Commission determines or the chairman (or if for any reason the chairman is unable to act, the deputy chairman) appoints.

11 Vacation of office The office of any member of the Commission shall become vacant—

(a) at the expiration of his term of office;

(b) if he dies;

(c) if he resigns his office by writing addressed to the Governor in Council;

(d) if he is removed from office as hereinafter provided;

(e) if he becomes bankrupt or applies to take the benefit of any Act for the relief of bankrupt or insolvent debtors or by any deed or writing compounds with his creditors;

(f) if he becomes incapable of performing his duties;

(g) if he is wilfully absent from three meetings in any year of the Commission without leave granted by the Minister (which leave the Minister is hereby empowered to grant).

12 Members subject to the Public Administration Act 2004

The Public Administration Act 2004 (other than Part 3 of that Act) applies to a member of the Commission in respect of the office of member.

13 Remuneration of members; removal from office (1) Each member of the Commission and each person

while acting in the place of a member shall be paid such remuneration as is determined by the Governor in Council.

(2) Each member of the Commission and each person while acting in the place of a member shall be entitled to receive such travelling and other allowances as are fixed by the Governor in Council.

(3) The Governor in Council may at any time remove a member of the Commission from office.

14 Pecuniary interests of members (1) Any member of the Commission who—

(a) is concerned in any contract or participates in any manner in any work to be done under the authority of this Act; or

(b) derives or is entitled to any benefit either directly or indirectly from any such contract or work—

shall disclose to the Commission the nature of his interest in that contract or work and shall not be present at any meeting of the Commission whilst that contract or work is being discussed or vote on any question with respect to that contract or work.

(2) No person being a shareholder or member of a company consisting of more than twenty persons shall be disqualified from acting as a member by reason of any contract entered into between such company and the Commission but no such shareholder or member shall act as a member of the Commission in any matter relating to a contract entered into between the Commission and the company.

15 Objects of Commission (1) The objects of the Commission shall be—

(a) to market Victoria as a tourist destination for interstate and international travellers;

(b) to increase—

(i) the number of travellers to Victoria;

(ii) the period during which travellers or tourists stay at destinations in Victoria;

(iii) the use of tourist facilities in Victoria;

(c) to increase the amount of travel within Victoria and the use of tourist facilities in Victoria by Victorians;

(d) to improve and develop tourist facilities in Victoria;

(e) to support and co-ordinate the provision of tourist facilities in Victoria; and

(f) to provide the more efficient and effective utilization of investment in travel and tourism within Victoria.

(2) The Commission shall advise the Minister upon any matters relating to travel or to tourism within Victoria that are referred to the Commission by the Minister for advice.

16 Powers of Commission (1) Subject to the direction and control of the

Minister, the Commission shall administer this Act.

(2) The Commission shall have power to do all things necessary or convenient to be done for or in connexion with carrying out its objects, administering this Act, and encouraging, promoting, facilitating, and assisting in the marketing of travel and development of tourism and in particular without in any way limiting the generality of the foregoing provisions of this section shall have power—

(a) to acquire and dispose of real or personal property or both real and personal property for the purposes of this Act whether the property is situated in Victoria or elsewhere;

(b) to sell and grant leases of land;

(c) to construct establish and maintain and operate or make arrangements with other persons for or in connexion with the construction establishment maintenance and operation of hotels or other establishments or enterprises providing tourist facilities;

(d) to promote and market travel whether by itself or in conjunction with the Government of any other place or any corporation, firm, or individual;

(e) to enter into arrangements and agreements with overseas authorities, corporations and persons and make such payments as are necessary to enable the Commission to participate in tourism promotion ventures exhibitions or displays whether in Victoria or elsewhere;

(f) to act as an agent for any person or body, whether corporate or unincorporate, engaged in the provision of travel or tourist facilities;

(g) to appoint agents whether in Victoria or elsewhere;

(h) to provide travel and tourism information services by itself or in conjunction with the Government of any other place or any person or body whether corporate or unincorporate;

(i) to demand and receive fees, retainers, or commissions for acting as an agent or for the sale of travel or the provision of tourist facilities or associated services;

(j) to undertake research and investigation in relation to any of the foregoing matters and generally in relation to promoting the tourism industry and the provision of tourist facilities;

(k) to make loans or grants to assist any research or investigation into the establishment maintenance extension or development of tourist facilities;

(l) to make loans or grants to a Minister of the Crown to a municipality or to any other public authority body or organization for the establishment construction development improvement or maintenance of works or facilities which would maintain or improve the tourist facilities of Victoria.

(3) In addition to its powers in subsection (2) the Commission may, with the consent of the Minister, for the purposes of carrying out its object of developing managing and operating tourist facilities in Victoria—

(a) arrange for, or participate in, the formation of any company of which the objects include the development management or operation of tourist facilities in Victoria; or

(b) subscribe for or otherwise acquire, and dispose of, shares in any such company.

(4) Where the Commission—

(a) arranges for or participates in the formation of a company;

(b) subscribes for or otherwise acquires shares in a company—

and by virtue of that arrangement, participation, subscription or acquisition the Commission has the right to appoint some person to be director of

or hold an office in or under the company the Commission may appoint a person to be such a director or hold such an office.

(5) The Commission may appoint any person including a person who is a member of the Commission or employed under section 18 to be such a director or hold such an office referred to in subsection (4) and any such person may, notwithstanding anything to the contrary in this Act or the Public Administration Act 2004, be such a director or hold such an office and may exercise all the powers of such a director or office holder.

(6) Where a person appointed by the Commission under subsection (4) to be a director of or hold an office in or under a company is employed by or on behalf of the Crown or any public authority or municipality any fees or other remuneration received by that person in respect of his office in or under the company shall if the Commission in nominating that person so specifies be paid into the Consolidated Fund.

(7) In this section, company has the same meaning as in the Corporations Act.

17 Minister to set performance targets (1) The Minister shall as soon as practicable after the

commencement of each financial year of the Commission and after consultation with the Commission make a written determination of the performance targets to be attained by the Commission in carrying out its objects and exercising its powers in that financial year.

(2) The Minister shall cause a copy of every determination of performance targets made by him under subsection (1) to be served on the Commission as soon as practicable after it is made.

(3) The Minister may at any time amend a determination of performance targets made by him under subsection (1) and shall cause a copy of every such amendment to be served on the Commission.

(4) Any reference in this Act to performance targets determined by the Minister under subsection (1) shall be construed as a reference to those performance targets as amended from time to time by the Minister under subsection (3).

(5) The Commission shall carry out its objects and exercise its powers under this Act in such a manner as to secure so far as is practicable the attainment in each financial year of the performance targets determined by the Minister under subsection (1) in relation to that financial year.

(6) A copy of every determination of performance targets made by the Minister under subsection (1) and a copy of every amendment of such a determination made by the Minister under subsection (3) shall be laid before both Houses of Parliament as soon as may be after it has been served on the Commission.

PART II—STAFF

18 Staff (1) Any employees that are necessary to carry this

Act into effect may be employed in accordance with this section.

(2) The number of employees employed in accordance with the section shall not exceed the number for the time being fixed by the Minister.

(3) Except in the case of a person employed in a position in respect of which a declaration is in force under subsection (4), employees shall be employed in the Commission under Part 3 of the Public Administration Act 2004.

(4) The Governor in Council may on the recommendation of the Commission declare a position in the Commission to be exempt from the application of the Public Administration Act 2004 and may revoke any such declaration.

(5) The Commission may employ a person in a position in respect of which a declaration under subsection (4) is in force on such terms and conditions as it thinks fit and are approved by the Governor in Council.

(6) An employee of the Commission—

(a) who was immediately prior to his or her employment by the Commission an employee in the public service; and

(b) whose position has been exempted from the provisions of the Public Administration Act 2004 under subsection (4)—

is entitled to be employed in the public service at the termination of his or her employment by the Commission with a classification and emolument corresponding with or higher than that which he or she last held or received in the public service as if his or her service with the Commission had been service with the public service.

21 Delegation (1) The Commission may with the consent of the

Governor in Council delegate to the chairman all or any of the powers functions authorities or discretions conferred or imposed on it by this Act (except this power of delegation) so that the delegated powers functions authorities or discretions may be exercised by the delegate.

(2) Every delegation under subsection (1) shall be revocable at any time by the Commission with the consent of the Governor in Council and no delegation shall prevent the exercise of any power function authority or discretion by the Commission.

(3) Where the exercise or performance of any power function authority or discretion delegated by the Commission to the chairman requires that the Commission have or reach an opinion belief or decision in relation to any matter then such opinion belief or decision may be that of the director and the power function authority or

discretion may be exercised or performed upon that opinion belief or decision.

22 Consultants The Commission may with the approval of the Minister engage—

(a) such consultants and technical advisers as the Commission considers necessary from time to time for enabling the Commission to carry out its objects and duties under this Act;

(b) persons on a casual basis, on such terms and conditions as the Commission thinks fit, to provide such services as the Commission thinks fit.

PART III—FINANCIAL

23 General fund (1) The Commission shall cause to be established and

kept a fund to be called the general fund.

(2) There shall be paid into the general fund—

(b) all moneys borrowed by the Commission for the purposes of this Act;

(c) all moneys received by the Commission by way of advances from the Works and Services Account;

(d) all moneys received in respect of the repayment of loans made by the Commission from the general fund and any charges of interest in connexion therewith; and

(e) any other moneys received by the Commission except moneys received and held on trust for another person in any transaction carried out in its capacity as a travel agent.

(3) The Commission may apply moneys in the general fund—

(a) in the payment of any expenses incurred in the administration of this Act;

(b) in the repayment of moneys borrowed by the Commission under this Act and interest thereon;

(c) in the repayment of money to the Public Account under this Act; or

(d) in any other way authorized by this Act.

(4) Without in any way limiting the generality of the foregoing provisions of this section the Commission may pay out of the general fund any amount due to any person by way of reimbursement for any expense he has incurred for services by reason of services not being provided or available in accordance with any reservation or arrangement made with any of the Victorian Government Tourist Bureaux or the Victorian Government Travel Authority carrying on business before the commencement of this Act.

24 Application of trust money as travel agent (1) Where the Commission receives or holds money

on behalf of any person in respect of any transaction in its capacity as a travel agent or interest pending the completion of a transaction it—

(a) shall pay that money into an authorised deposit-taking institution within the meaning of the Banking Act 1959 of the Commonwealth to a trust account in the name of the Commission;

(b) shall retain that money in that trust account until paid to the person entitled thereto or at such person's direction; and

(c) shall not withdraw or cause any payment to be made from any money paid into a trust account under this subsection unless the withdrawal or payment is made in the form of a trust account cheque which has been crossed and marked "not negotiable" or in such other form as the person entitled to the payment directs in a particular case.

(2) All money paid into a trust account under subsection (1) shall be kept in a separate account, and shall be so kept and accounted for separately from any money of the Commission.

25 Borrowing by Commission; Treasurer's guarantee (1) Subject to this Act and with the approval of the

Treasurer the Commission may obtain financial accommodation or borrow by way of loan, advance or overdraft such moneys as it thinks necessary from time to time for carrying out its objects.

(2) Before the Commission adopts any project or scheme or programme of works involving in whole or in part the expenditure of moneys borrowed or proposed to be borrowed by the Commission under this Act the Commission shall obtain the approval of the Minister and for that purpose shall submit or cause to be submitted to the Minister a statement of the purpose of the expenditure, including particulars of any proposed works or services and a detailed statement of the manner in which the Commission proposed to repay the moneys to be borrowed under the project, scheme or programme.

(3) The Treasurer of Victoria may execute a guarantee in favour of any person or body, corporate or unincorporate (in this section called the "lender"), guaranteeing the repayment to the lender of any moneys borrowed by the Commission for the purposes of this Act.

26 Guarantee (1) The following provisions shall apply to and with

respect to any guarantee under this Act:

(a) The guarantee shall be in such form and subject to such terms and conditions as are prescribed or the Treasurer of Victoria determines;

(b) The guarantee may include the interest charges and expenses chargeable by the lender against the Commission in the usual course of its business and the expenses of obtaining or endeavouring to enforce or obtain payment of the moneys borrowed and such interest charges and expenses; and

(c) The lender shall not without the consent in writing of the Treasurer of Victoria assign or encumber the benefit of the guarantee.

(2) Any moneys which may from time to time become due and payable by the Treasurer of Victoria under a guarantee under this Act shall be paid out of the Consolidated Fund (which is hereby to the necessary extent appropriated accordingly).

(8) The Commission may engage a registered company auditor to carry out such intermediate inspections and audits as the Commission thinks necessary.

PART IV—MISCELLANEOUS

28 Regulations The Governor in Council may subject to the regulations being disallowed by Parliament make regulations for governing the affairs of the Commission and in particular without in any way limiting or derogating from the generality of the foregoing provisions of this section for or with respect to—

(a) meetings of the Commission and the conduct of the business of the Commission;

(b) any matters authorized or required by this Act to be prescribed.

3. Explanatory Details

1 S. 1(1): Section 9(2) of the Victorian Tourism Commission (Tourism Victoria) Act 1992, No. 81/1992 reads as follows:

9 New short title for Principal Act (2) In—

(a) an Act; or

(b) a subordinate instrument within the meaning of the Interpretation of Legislation Act 1984; or

(c) any document whatever—

a reference to the Principal Act by its old name is, in relation to any period occurring on or after the commencement of this section, and unless inconsistent with the context or subject-matter, to be taken to be a reference to the Principal Act by its new name.
