Failure of Buyer within ten (10) days of receipt to object specifically

All quotations are submitted to customers with drawings and complete
information regarding specifications. YOUNGDO RESERVES THE RIGHT TO

PRICES
Unless otherwise expressly stated in writing by YOUNGDO, all prices are Ex-
works YOUNGDO’s plant and do not include applicable local, state or federal
taxes. THE PRICE QUOTED IS SUBJECT TO CHANGE BY YOUNDO AND MAYBE
ADJUSTED TO CONFORM TO PRICES IN EFFECT AT TIME OF SHIPMENT.
PAYMENT
Unless otherwise agreed to in writing by YOUNGDO, payments are opening
of irrevocable Letter of Credit at sight in favor of YOUNGDO. Other payment
terms can be discussed and settled through quotation.
LIQUIDATED DAMAGES
Buyer acknowledges that YOUNGDO does not anticipate that any invoice or
part thereof will be unpaid after the due date. Buyer agrees that if any invoice
or part thereof is not paid when due, YOUNGDO may impose as LIQUIDATED
DAMAGES a charge of 1-1/2% per month or maximum applicable legal
amount upon any overdue amount to offset YOUNGDO’s anticipated
damages, including administrative and accounting costs, plus an additional
sum equal to 33-1/3% of the total unpaid balance as REASONABLE ATTORNEY
FEES, if an attorney is assigned for collection.
CHANGES AND CANCELLATION
Any changes to any order must be made in writing by Buyer and
approved by YOUNGDO in writing. Buyer may not cancel its order
except with the written consent of YOUNGDO and only upon payment
of YOUNGDO’s normal cancellation charges for work in process at
time of cancellation, which may include special, direct, indirect and
consequential damages and which will constitute, at a minimum, 30% of
the purchase price of the cancelled goods. No material may be returned
for credit without YOUNGDO’s prior approval. In the event of approval,
transportation charges must be prepaid unless otherwise agreed to
in writing by YOUNGDO. In the case of such returns at the Buyer’s
request (without fault on the part of the seller), a fifteen percent (15%)
restocking charge will be deducted from any credit issued.
WARRANTIES
Except for products for which YOUNGDO specifically provides a separate
written warranty YOUNGDO warrants all products manufactured by it
to be free from defective workmanship for a period of one(1) year from
the date of shipment if installed and used in compliance with standards
established by CGA or other applicable standards.
YOUNGDO’S SOLE LIABLLITY FOR BREACH OF WARRANTY OR FOR NEGLIGENCE IS EXPRESSLY LIMITED to one of the following, to be selected by YOUNGDO
(a) Replacement at the agreed point of delivery of any goods found
to be defective; or (b) Refund, or crediting to Buyer, the price of such
goods; provided that written notice of such breach or any defect is
given by Buyer to YOUNGDO five (5) working days after the breach or
defect is discovered and in no event more than one (1) year from date of
shipment, and provided further that such goods have not been used or
resold. Goods may not be returned to YOUNGDO without Prior written
consent.
THIS WARRANTY IS EXPRESSLY IN LIEU OF ANY OTHER WARRANTIES,
EXPRESS OR IMPLIED, INCLUDING ANY IMPLED WARRANTY OF
MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, AND
OF ANY OTHER OBLIGATION OR LIABILITY ON THE PATR OF YOUNGDO.
LIMITATION OF LIABILITY The remedies available to Buyer set forth in this document are exclusive
remedies, and all other remedies, statutory or otherwise, are hereby
waived by Buyer and Buyer further acknowledges that the exclusion of
remedies is neither unreasonable nor unconscionable.
YOUNGDO WILL NOT BE LIABLE FOR SPECIAL, CONSEQUENTIAL OR
DELAY DAMAGSE DIRECTLY OR INDIRECTLY ARISING OR RESULTING
FROM THE BREACH OF ANY TERMS OF THIS AGREEMENT, OR FROM
THE SALE, INSTALLATION, HANDLING, REWORKING, MACHINING,
NEGLIGENCE, MISUSE OR ALTERATION OF THE GOODS SOLD. IN NO
EVENT WILL YOUNGDE BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE
TOTAL AMOUNT PAID BY BUYER HEREUNDER.
CLAIMS BY BUYER
All claims by Buyer for shortages must be made within ten (10) days
after receipt of goods.
DELIVERY AND DELAYS
Unless otherwise agreed to in writing by YOUNGDO, deliveries and risk
of loss or damage are Ex-works YOUNGDO’s plant. Delivery dates are
subject to change at the discretion of YOUNGDO and YOUNGDO will
not be responsible for any failure to deliver on schedule regardless of
the cause, including but not limited to the following; an Act of God,
war, riot, fire, explosion, flood, nuclear incident, strike, lockout, labor,
disturbance, injunction, inability to obtain fuel, power, raw materials,
component parts or accessories manufactured and supplied by others,
labor, containers, transportation facilities, breakage of machinery
or apparatus, national defense requirements or any other similar or
different cause whether or not within or beyond the
control of YOUNGDO.
PATENTS
Buyer will indemnify and defend YOUNGDO from
and against any expense or loss resulting from
infringements of patents or trademarks arising
from compliance with designs, specifications or
instructions furnished by Buyer.
WARNING
I n order to ensure proper and cont inued
performance of YOUNGDO products, regular
inspection and maintenance is required to detect
any corrosion or unusual wear of metallic and
nonmetallic parts.
