    Dear Pat:

    We hope that you are as pleased as we are with the way the Foundation Board is developing. As you know, one of the first major projects we are undertaking is the fundraising for the new Guest Center in Seton Hall. This Center, which will provide short-term accommodations for family members of very young and elderly Eatients undergoing prolonged or difficult treatment, will help to meet a growing and vital need. The Center will include 16 private guest rooms along with shared lounge, kitchen, and laundry facilities. The estimated cost of the project is $500,000. I a.rn enclosing materials which provides additional information about this important facility.

    The Development Committee is working actively with the Foundation staff to identify and secure support from selected individuals and private foundations which have previously supported the Medical Center. This effort is very promising. At the same time, however, our commitment, as Trustees, to this fund raising effort is crucial. one of the first questions many prospective donors ask is "What have the Trustees committed?" Our answer must clearly demonstrate our leadership role in fund raising for the things we believe in at St. Vincent. This is especially true for our first major initiative.

    During the next few weeks the members of the Development Committee would like the opportunity to sit down with you individually to discuss this project and to explore with you the level of financial commitment you might be prepared to consider. We will be calling shortly to arrange a mutually convenient time to talk. Our goal for this project is a total of $150,000-$200,000 from the Foundation Board of Trustees.

    AMENDED PROVISIONS

    THE 1RUSTORS, ANGELO KOUDOUNARIS and FANNIE ANN KOUDOUNARIS, HEREBY AMEND THE A. AND F. A. KOUDOUNARIS CHARITABLE REMAINDER UNIT.RUST (herein 11Chadtable Remainder Trust"), AS FOLLOWS:

    1. Article 3 of said Charitable Remainder Trw;t is hereby deleted in its entirety and the following Article 3 is hereby adopted and added to read as follows:

    3. REMAINDER PROVISIONS.

    3.1 Distribution to Remainderman

    3.1.1 Within a reasonable period following the first day of the second taxable year of this Trust (i.e., January l, 1997) the Tmstee shall distribute One and One-Quatter Percent (1.25%) of the then determined principal balance of this Trust to ST. VINCENT MEDICAL CENTER FOUNDATION, a California non-profit corporation, located at 2131 West Third Street, Los Angeles, California 90057-0972, to be used for its general charitable purposes. This designation of said Charitable Remainderman shall be irrevocable and unchangeable, and the Trustor does not retain the right to remove said Charitable Remainderman, to substitute other Charitable Remainderman, or to alter the interest designated to said Charitable Remainderman.

    3.1.2 Within a reasonable period following the fil'st day of the second taxable year of this Trust (i.e., January 1, 1997) the Trustee shall distribute One and One-Quarter Percent (1.25%) of the then determined principal balance of this Trust to ST.
