Insurance Agreement

The Group Policyholder (as specified in the Policy Schedule)and ACE European Group Limited * (ACE) agree that:The Group Policyholder shall pay the Premium as agreed.ACE will subject to the terms, Conditions and Exclusions ofthis Policy, provide the insurance in the manner and to theextent provided in this Policy, All information supplied to ACEby the Group Policyholder shall be incorporated into and bethe basis of this Policy.

ACE will pay a percentage of the amount shown inthe Schedule of Benefits relative to the degree ofdisability as shown in the following Scale of Benefitswhich prescribes the maximum percentage payablefor a range of Permanent Disabling Injuries, Thedisablement must be expected to last at least 12months and be beyond hope of recovery.

Eligibility

Cover applies to:

1. persons who are Permanently Resident in theUnited Kingdom, Isle of Man, the ChannelIslands or the Republic of Ireland;

2. persons serving full time in the armed forces ofany country or international organisation butonly whilst participating in an activityrecognised by the Group Policyholder whichtakes place in the United Kingdom or on anBritish Armed Forces base overseas;

3. United Kingdom, Isle of Man, Channel Islands orRepublic of Ireland nationals resident abroad; or

4. Foreign nationals who are resident in the UnitedKingdom, the Isle of Man, the Channel Islandsor the Republic of Ireland.

Personal Injury Insurance

If during a Period of Insurance an Accident occursduring the Effective Time and causes Bodily Injury toan Insured Person ACE will pay the Beneft Amountshown in the Schedule of Benefits for:

i. a foot below the level of the ankle 50%(talo-tibial joint)

ii. a hip, knee, ankle or thumb 20%ill. a forefinger or big toe 15%iv. any other finger: 10%u. any other toe 5%

I. Loss of use of:i. the back or spine below the neck 40%

with no damage to the spinal cordii. the neck or cervical spine with no 30%

damage to the spinal cordiii. a shoulder, elbow or wrist 25%

J. Payment for any Permanent Disabling Injury notnoted above will be calculated on a medicalassessment by ACE of the degree of disabilityrelative to this scale. No account shall be takenof the Insured Person's occupation.

Provided that:a) benefit shall be not payable under more than

one of Benefits 1 to 3 to one Insured Person inrespect of any one Accident.

b) the total amount payable shall not exceed100% of the Benefit Amount for each InsuredPerson in respect of any one Accident.

c) if benefit is payable for Loss of or Loss of useof a Limb then benefit for parts of that limbcannot also be claimed.

d) If the Insured Person was already disabledbefore the Accident or already had a conditionwhich was gradually getting worse, ACE willreduce its payment. The reduced payment will

be based on ACE's medical assessment of thedifference between:

i) the Permanent Disability after the Accident;and

ii) the extent to which the Permanent Disabilityis affected by the disability or conditionbefore the Accident.

Additional Benefits

Accident Medical Expenses

ACE will pay the Insured Person for AccidentMedical Expenses incurred in the Insured Person'scountry of residence up to s maximum of:i) 25% of any amount paid by ACE for Death,

Permanent Total Disablement or PermanentDisabling Injuries, or

ii) 30% of any amount paid by ACE for TemporaryTotal Disablement

subject to a maximum total amount of £20,000 inrespect of anyone Insured Person.

Emergency Death Expenses

ACE will pay the Insured Person up to £1,000 tocater for expenses which need urgent/immediatepayment whilst the administration of the InsuredPerson's estate is being arranged. These expensesare payable in addition to any Benefit Amount fordeath which will become payable on production ofthe final Death Certificate.

Disappearance

If a Insured Person disappears and after a suitableperiod of time it is reasonable for the Police orregistration authorities to believe that such InsuredPerson has died as a result of Bodily Injury, thedeath Benefit shall become payable subject to asigned undertaking given by the Insured Person'spersonal representatives that if the belief issubsequently found to be wrong such death Benefitshall be refunded to ACE.

Definitions

The following General Definitions are applicable tothe Policy as a whole:

£ shall mean United Kingdom pounds sterling; GBPwhere used in this Policy shall also mean UnitedKingdom pounds sterling.

Accident/Accidental shall mean a suddenidentifiable violent external event which happens bychance and which could not be expected, orunavoidable exposure to severe weather.

Accident Medical Expenses shall mean expensesnecessarily incurred by the Insured Person forimmediate and urgent treatment Due To the InsuredPerson having sustained Accidental Bodily Injurywhich results in a valid claim under Death,Permanent Total Disablement, Permanently

Disabling Injuries or Temporary Total Disablementas shown in the Schedule of Benefits.

Association shall mean a constituted organisationcomprising a membership combined for somecommon objectives governed by self imposedregulations.

Benefit Amount shall mean the maximum amount,or an assessed percentage thereof, ACE can pay asshown in the Schedule of Benefits.

Benefit Period shall mean the maximum (but notnecessarily consecutive) period for which benefitsare payable in respect of any Insured Person for anyone Accident. The benefit period commences at theend of the Deferment Period, if any.

Biological Agent shall mean any pathogenic(disease producing) micro organism(s) and/orbiologically produced toxin(s) (including geneticallymodified organisms and chemically synthesizedtoxins) which cause illness and/or death in humans,animals or plants.

Bodily Injury shall mean an injury to an InsuredPerson which happens while the Policy is in forceand which:a) is caused only by an Accident; andb) on its own leads to:

i) death; orii) disablement; oriii) Broken Bones, Dental Injury, Hospital

Confinement, or Convalescence,within 24 months of the Accident.

Broken Bone shall mean the Fracture of one ormore of the bones listed below:1. lower leg (fibula and tibia);2. upper leg (femur);3. kneecap (patella)4. foot (metatarsals);5. ankle (tarsals);6. upper arm (humerus);7. lower arm (radius and ulna).

In the event of multiple Fractures to a bone, orFractures to more than one bone in a limb, as aresult of one Accident the Benefit Amount will applyonly once to each limb.

Chemical Agent shall mean any compound, which,when suitably disseminated, producesincapacitating, damaging or lethal effects on people,animals, plants or material property.

Claim shall mean a single loss or series of lossesDue To one cause.

Club shall mean a constituted organisationcomprising a direct membership combined for somecommon objectives governed by self imposedregulations.

Convalescence shall mean a period ofconvalescence after a period of HospitalConfinement of at least 4 consecutive days which isprescribed by a Qualified Medical Practitioner.

Declarations shall mean the information supplied bythe Group Policyholder confirming up to date InsuredPersons information including cover selected andPremium due to ACE.

Deferment Period shall mean a period at thebeginning of a period of temporary disablementduring which benefits are not payable.

Dental Injury shall mean damage to teeth, gingivaltissues or alveoli resulting in mobility, luxation,subluxation or fractures of the hard tissues or injuryto the soft tissues, or loss of or damage to dentalprostheses whilst inside the mouth Due To a forceoutside the mouth, for which treatment is requiredwithin 7 days.

Due To shall mean directly or indirectly caused by,arising from or in connection with.

Effective Time shall mean when and where theinsurance provided by this Policy applies asspecified in the Schedule of Benefits.

Event shall mean all instances of Bodily Injuryarising out of and directly occasioned by onesudden, unexpected, unusual and specific eventoccurring at an identifiable time and place. Theduration and extent of an Event shall be limited to 72consecutive hours and within a 10-mile radius andno instance of Bodily Injury occurring outside suchperiod and/or radius shall be included in that Event.

Foodstuff shall include any foreign body in food anddrink.

Fracture / Fractured shall mean a break in thecontinuity of the bone.

Group Policyholder shall mean the organisationnamed in the Policy Schedule and any of its affiliatedclubs or specialist bodies.

Hospital shall mean any establishment which isregistered or licensed as a medical or surgicalhospital in the country in which it is located andwhere the Insured Person is under the constantsupervision of a Qualified Medical Practitioner.

'Hospital' shall not include a special unit in a hospitalor a place existing primarily:

• for the treatment of psychiatric disease orsub-normality;

• for the care of the aged, drug addicts oralcoholics;

• as a health hydro or nature cure clinic, anursing or convalescent home, extendedcare facility, rest home or hospice.

Hospital Confinement shall mean any continuousperiod of 24 hours or more during which time theInsured Person has been confined to Hospital.

Insured Person shall mean any person or categoryof persons shown as being insured in the Scheduleof Benefits.

Loss of Hearing shall mean total and irrecoverabledeafness confirmed by audiometer and soundthreshold tests.

Loss of Limb shall mean in respect of:1. an arm - amputation of the four fingers at or

above the metacarpal phalangeal joints (wherethe fngers join the palm of the hand) orcomplete and permanent loss of use of anentire hand or arm.

2. a leg - amputation or complete and permanentloss of use above the level of the ankle (talo-tibial joint).

Loss of Sight in both eyes shall mean permanentblindness resulting in the Insured Person's namebeing added to the register of Blind Persons on theauthority of a qualified ophthalmic specialist.

Loss of Sight in one eye shall mean permanentblindness in an eye to the degree that aftercorrection using spectacles, lenses or surgery,objects that should be clear from 60 feet away canonly be seen from 3 feet away or less.

Loss of Speech shall mean total and permanentloss of speech.

Major Powers shall mean the United Kingdom, theUnited States of America, France, the PeoplesRepublic of China and the former constituents of theUnion of Soviet Socialist Republics.

Member shall mean a person whose application hasbeen accepted for membership by the GroupPolicyholder and whose fees and / or subscriptionsare not in arrears. Where it appears associateMember shall have the same meaning.

Nuclear, Chemical or Biological Weapons orAgents shall mean the use of any nuclear weaponor device or the emission, discharge, dispersal,release or escape of any solid, liquid or gaseousChemical Agent and/or Biological Agent during thePeriod of Insurance by any person or group(s) ofpersons, whether acting alone or on behalf of or inconnection with any organisation(s) orgovernment(s), committed in the pursuit of War orfor political, religious or ideological purposes orreasons including the intention to influence anygovernment and/or put the public, or any section ofthe public, in fear.

Osteoporosis shall mean the thinning of the boneout of proportion to age.

Parent or Legal Guardian shall mean a person withparental responsibility, or a legal guardian, bothbeing in accordance with the Children Act 1989 andany statutory amendment modification or re-enactment of it.

Participant shall mean a person who has applied orregistered to participate in an activity formallyorganised by the Group Policyholder.

Pathological Fracture shall mean any Fracture in anarea where pre-existing disease has causedweakening of the bone.

Period of Insurance shall mean the period betweenand inclusive of the dates specified From: and To:on the Policy Schedule commencing at 00.00 hourson the earlier date shown and expiring at 24.00 onthe later date shown. Dates and times refer to LocalStandard Time at the address of the GroupPolicyholder as shown in the Policy Schedule.

Perkins Slade shall mean Perkins Slade Limited.Head Office: 3 Broadway, Broad Street, BirminghamB15 1BQ. Authorised and regulated by the FinancialServices Authority, registration number FRN302886.

Permanently Resident shall mean resident in the firstinstance for 3 months and thereafter for 40 weeks onaverage each year.

Permanent Total Disablement shall mean disabilitywhich has lasted for at least 12 months, from whichACE believes the Insured Person will never recoverand which results in the Insured Person's inability toperform or give attention to any gainful occupation forwhich an Insured Person is fitted by way of training,education or experience.

Premium shall mean the amount shown or referredto in the Policy Schedule in respect of the specifiedPeriod of Insurance or any amount whichsubsequently becomes due as a result of alteration,adjustment or renewal of the Policy.

Qualified Medical Practitioner shall mean a doctoror specialist, registered or licensed to practisemedicine under the laws of the country in which theypractise who is neither:a) an Insured Person; ora) a relative of such Insured Personunless approved by ACE.

Temporary Total Disablement shall meantemporary disablement which entirely prevents theInsured Person from engaging in their UsualOccupation.

United Kingdom for the purposes of this Policyshall mean England, Scotland, Wales and NorthernIreland.

Usual Occupation shall mean the tasks, duties andother functions, which the Insured Person normallyperforms in connection with their occupation.

War shall mean armed conflict between nations,invasion, act of foreign enemy, civil war, and militaryor usurped power.

Aggregate Limit of Liability

ACE shall not be liable for any amount in excess ofthe amount shown in the Schedule of Benefits forany one Event. If the aggregate amount of allbenefits payable under this Policy exceeds thatamount the benefit payable for each Insured Personshall be proportionately reduced until the total of allbenefits does not exceed the Aggregate Limit.Where there is more than one Schedule of Benefits,the Aggregate Limit of Liability shall applycollectively and not to each one individually.

Exclusions

The following Exclusions are applicable to the Policyas a whole.

1. ACE shall not be liable for payment of anybenefit for Bodily Injury, loss or expensesuffered or incurred:a) after the expiry of the Period of

Insurance during which the InsuredPerson attains the age of eighty years;

b) by any Insured Person who isi) a professional sports person other

than:• a full time or part time paid coach;

or• a sponsored amateur who is

engaged in their sport on a full-time or part-time basis; or

ii) a professional entertainer

2. ACE shall not be liable for payment of anybenefit for Bodily Injury, loss or expense DueTo:a) suicide, attempted suicide or deliberate self-

inflicted injury by the Insured Personregardless of the state of their mental healthor deliberate exposure to exceptionaldanger (except in an attempt to save humanlife).

b) the Insured Person engaging in aviation asa pilot or crew member of a fixed wing orrotary propelled aircraft.

c) the Insured Person being on duty as a fulltime member of the armed forces of anynation or international authority or amember of any Reserve Forces called outfor Permanent Service.

d) War, whether declared or not:in the United Kingdom,between any of the Major Powers,in Europe in which one or more of theMajor Powers or their armed forcesare engaged.

(iv) in Europe involving forces acting forany international authority.

e) Human Immunodeficiency Virus (HIV) orother forms of the virus, Acquired ImmuneDeficiency Syndrome (AIDS) and AIDS-Related Complex (ARC);

f) Post Traumatic Stress Disorder or relatedsyndromes or any psychological orpsychiatric condition.

g) Repetitive Stress (Strain) Injury orSyndrome or any other injury whichdevelops over a period of time.

h) the influence of solvents, drugs ormedication upon the Insured Person, exceptwhere it can be proved that the drugs ormedication were taken in accordance with aproper medical prescription and not for thetreatment of drug addiction.

i) the Insured Person driving a motor vehiclewhile the alcohol content of their bloodexceeds the level permitted by the law ofthe country in which the Accident occurs.

j) the Insured Person suffering from sicknessor disease not directly resulting from BodilyInjury.

k) any act of terrorism involving the use ofNuclear, Chemical or Biological Weapons orAgents.

The following Exclusions apply to Benefit 5 - BrokenBone;

1. ACE shall not be liable for payment of any benefitfor a Broken Bone Due To:

a) Fractures to bones of the fingers or toes;b) Pathological Fractures;c) Osteoporosis or bone disease which was

diagnosed prior to the From: date of anyPeriod of Insurance.

The following Exclusions apply to Benefit 6 - DentalInjury;

1. ACE will not pay for the treatment of a DentalInjury which is:

a) caused by the Insured Person'sparticipation in playing rugby (other thanrugby played as a school sport) or takingpart in boxing, in either case withoutwearing equipment that should reasonablybe worn for protection against Dental Injury;

b) caused by any Foodstuff while the InsuredPerson was consuming it;

c) not apparent within one week of the incidentwhich caused the Dental Injury;

d) the result of ordinary deterioration,deliberate damage or wear and tear; or

e) not claimed for within 30 days of theincident which caused the Dental Injury.

2. ACE will only pay for any bridgework, crown ordenture replaced which is a similar type orquality to that lost or damaged by the DentalInjury.

3. ACE will not pay for the fitting or re-fitting ofimplants or any subsequent loss of or damage toimplants once fitted.

4. ACE shall not be liable for the first £50 of eachand every claim in respect of Dental Injury.

Conditions

1. This Policy, Policy Schedule and Schedule ofBenefits shall be read as one contract and anyword or expression to which specific meaninghas been attached shall unless the contextotherwise requires bear such meaningwherever it may appear.

2. The Group Policyholder shall give written noticeto ACE within a reasonable time of anyalteration in the Group Policyholder's business.

3. No sum payable by ACE under this Policy shallcarry interest unless payment has beenunreasonably delayed by ACE following receiptof all the required certificates, information andevidence necessary to support the claim.Where interest becomes payable by ACE, it willbe calculated only from the date of final receiptof such certificates, information or evidence.

4. ACE may cancel this Policy by giving 30 dayswritten notice to the Group Policyholder at theirlast known address and in such event thePremium for the period up to the date when thecancellation takes effect shall be calculated andACE shall promptly return any unearned portionof the Premium paid.

5. Where the Group Policyholder, or an InsuredPerson or their personal representatives do notcomply with any obligation to act in a certainway specified in this policy, ACE reserves theright not to pay a claim.

6. It is hereby agreed between ACE, the GroupPolicyholder and Insured Person that:a) this Policy shall be governed and construed

in accordance with the Laws of England andWales and the English Courts alone shallhave jurisdiction in any dispute.

b) communication of and in connection withthis Policy shall be in the English language.

7. It is the Group Policyholder's responsibility toprovide complete and accurate information toACE when applying for the Policy andthroughout the life of this Policy. It is importantthat the Group Policyholder (and InsuredPerson where appropriate) ensures allstatements made in the application, over thetelephone, on claim forms and other documentsare full and accurate. If the Group Policyholderor Insured Person fails to disclose any materialinformation to ACE this could invalidate theinsurance cover and could mean that part or allof a claim may not be paid.

8. This Policy will be voidable in the event ofmisrepresentation, misdescription or non-disclosure of any material particular by or onbehalf of the Group Policyholder or InsuredPerson.

9. The benefits under this Policy may not beassigned by the Group Policyholder or InsuredPerson. ACE shall not be bound to accept or beaffected by any notice or any trust, charge, lien,purported assignment or other dealing with orrelating to this Policy.

10. The Group Policyholder, the Insured Personand ACE agree that it is not intended for anythird party to this contract to have the right toenforce the terms of this contract. The GroupPolicyholder, the Insured Person and ACE canrescind or vary the terms of this contract withoutthe consent of any third party to this contract,who might seek to assert that they have rightsunder Contracts (Right of Third Parties) Act1999.

11. The insurance in respect of each InsuredPerson will cease at midnight of the day thefollowing events occur:a) the expiry of the Period of Insurance

during which they attain the upper agelimit shown in the Schedule of Benefits; or

b) their membership ends with the GroupPolicyholder during the Period ofInsurance; or

c) when they die;whichever happens first.

12. ACE is required to notify the GroupPolicyholder or Insured Persons that othertaxes or costs may exist which are not imposedby ACE

Changing the Cover

There may be times when ACE may want to changethe Policy. If this happens, ACE will write to theGroup Policyholder with details of the changes atleast 30 days before ACE makes them. Any changesACE makes will be the same for all Insured Personsunder the Group Injury Policy. ACE cannot makechanges to cover that only apply to a particularInsured Person.

Claim Provisions

1. On the happening of any occurrence likely togive rise to a claim under this Policy noticeshall be given to Perkins Slade at 3 Broadway,Broad Street, Birmingham B15 1BQ (Tel. 0121698 8000 Fax: 0121 625 9000 as soon asreasonably possible after the date of theoccurrence.

2. The Insured Person or their legalrepresentative shall at their own expensefurnish to ACE such certificates, informationand evidence as ACE may from time to timereasonably require in the form prescribed byACE. ACE shall be allowed at its own expense,upon reasonable notice to the GroupPolicyholder, to request a medical examinationof an Insured Person as appropriate.

3. If any claim under this Policy shall be in anyrespect fraudulent or if any fraudulent means ordevices shall be used by the GroupPolicyholder or an Insured Person or by anyoneacting on their behalf or by their legalrepresentatives to obtain benefit under thisPolicy ACE shall be under no liability in respectof such claim.

4. The Insured Person shall as soon as possibleafter the occurrence of any Accidental BodilyInjury obtain and follow the advice of aQualified Medical Practitioner and ACE shallnot be liable for any consequences of theInsured Person's failure to obtain and followsuch advice and use such appliance orremedies as may be prescribed.

5. ACE will deal with Accidental death claims asfollows:

i. If the Insured Person is aged 18 years orover ACE will pay the Benefit Amount forAccidental death to the estate of thedeceased Insured Person and the receiptgiven to ACE by the personalrepresentatives shall be a full discharge ofliability by ACE in respect of the claim forsuch Benefit Amount;

ii. If the Insured Person is a minor, ACE willpay the Benefit Amount for Accidental deathto the Parent or Legal Guardian of suchminor. The Parent or Legal Guardian'sreceipt shall be a full discharge of all liabilityby ACE in respect of the claim for suchBenefit Amount.

6. ACE will deal with claims - other than forAccidental death - as follows:

i. If the Insured Person is aged 18 years orover ACE will pay the Benefit Amount for allclaims other than Accidental death to thatInsured Person and their receipt shall be afull discharge of all liability by ACE in respectof the claim for such Benefit Amount or theassessed percentage.

ii. If the Insured Person is a minor, ACE will paythe Benefit Amount for all claims other thanAccidental death to the Parent or LegalGuardian of such minor, for the benefit of thatminor. The Parent or Legal Guardian's receiptshall be a full discharge of all liability by ACEin respect of the claim for such Benefit Amountor the assessed percentage.

1. ACE fully accepts its responsibility to protectthe privacy of customers and the confidentialityand security of information entrusted to it.

2. ACE is part of the ACE Group of companies. Itand the group companies will use informationgiven together with other information for theadministration of this Policy, the handling ofclaims and the provision of customer services.The information may also be disclosed toACE's service providers and agents for thesepurposes. It may be disclosed to the GroupPolicyholder's or Insured Person's agents,including Perkins Slade, where appointed. Itmay also be used for the purposes of fraudprevention including passing details to otherinsurers and regulatory bodies.

3. Where the Group Policyholder has providedinformation about another person in connectionwith the purchase and performance of thisinsurance Policy, ACE will assume they haveappointed the Group Policyholder to act forthem, that they have consented to theprocessing of their personal data, includingsensitive personal data and they haveconsented to the transfer of their informationabroad. ACE (or reputable organisationsselected by them) may monitor and/or recordcommunication to ACE, to ensure consistentservicing levels and account operation.

4. ACE will keep information about the GroupPolicyholder or Insured Person only for so longas it is appropriate. In accordance with anindividual's Subject Access rights, when asked,ACE will tell any Insured Person whatinformation it holds about them and provide it tothem in accordance with applicable law. Anyinformation found to be incorrect will becorrected promptly.
