SecureWeb Services Terms and Conditions of Web Site Service 1. The Service 1.1 These Terms & Conditions govern your use of SecureWeb Services (the "Service"), an Internet subscription service operated by SecureWeb Services Pty Limited, ("SecureWeb") that provides users with access to a Website creation and hosting service and/or Search Engine Marketing services for Google AdWords and Yahoo! Search Marketing (SecureWeb). SecureWeb is provided to you by SecureWeb on an "AS IS", "AS AVAILABLE" basis subject to the provisions contained herein for your personal or business use only. Any other use or attempt to use SecureWeb for other purposes, directly or indirectly, by you or by a third party is prohibited. 1.2 Unless explicitly stated otherwise, any new features that augment or enhance the current service shall be subject to these Terms and Conditions of Service. The Service consists of website building services and software and/or search engine marketing services. Your participation in the Service is conditional upon your acceptance of these stated terms and conditions. Please read the following terms and conditions. Your acceptance of these terms and conditions is indicated by your payment for the services. 1.3 SecureWeb reserves the right, at its discretion, to change or modify all or any part of these Terms and Conditions at any time. Such changes or modifications shall be effective immediately upon notice published on the www.securewebservices.com.au your continued use of the Service constitutes your binding acceptance of these terms and conditions, including any changes or modifications made by SecureWeb as permitted above. If at any time these Terms and Conditions are no longer acceptable to you, you should immediately terminate your subscription to the Service in writing. 2. Delegation 2.1 You understand that SecureWeb requires the registry key for your domain name in order to publish your website to the Internet if you have SecureWeb Services build or makeover your existing website in the SecureWeb tool. It is your responsibility to provide your registry key to SecureWeb with the information you return in your Welcome Pack. You understand that any delay in providing your registry key to SecureWeb will delay the publication of your website. You also understand that you will be billed for the construction of your website, even if you do not provide your registry key to SecureWeb. You also understand that even if your registry key is provided in a timely manor, there may be a delay in the publication of your website due to latencies in the propagation of domain name information across the Internet. You understand that these propagation latencies are outside of SecureWeb's control and SecureWeb cannot be held accountable for such delays. 3. Registration 3.1 You must provide accurate, complete, and current registration information and you agree to provide SecureWeb with an update of that information promptly should changes occur.

2.Delegation
2.1 YouunderstandthatSecureWebrequirestheregistrykeyforyourdomainnameinordertopublishyourwebsitetotheInternetifyouhaveSecureWebServicesbuildormakeoveryourexistingwebsiteintheSecureWebtool.ItisyourresponsibilitytoprovideyourregistrykeytoSecureWebwiththeinformationyoureturninyourWelcomePack.YouunderstandthatanydelayinprovidingyourregistrykeytoSecureWebwilldelaythepublicationofyourwebsite.Youalsounderstandthatyouwillbebilledfortheconstructionofyourwebsite,evenifyoudonotprovideyourregistrykeytoSecureWeb.Youalsounderstandthatevenifyourregistrykeyisprovidedinatimelymanor,theremaybeadelayinthepublicationofyourwebsiteduetolatenciesinthepropagationofdomainnameinformationacrosstheInternet.YouunderstandthatthesepropagationlatenciesareoutsideofSecureWeb'scontrolandSecureWebcannotbeheldaccountableforsuchdelays.
3.Registration
3.1 Youmustprovideaccurate,complete,andcurrentregistrationinformationandyouagreetoprovideSecureWebwithanupdateofthatinformationpromptlyshouldchangesoccur.
3.2 SubscriptionstotheServiceareavailableonlytoindividualswhoareatleast18yearsofageortoincorporatedbusinessesorsoletradersorpartnershipsortrustsorassociationsownedoroperatedbyindividualswhoareatleast18yearsofage.YourrighttousetheServicecannotbetransferredtoanyotherpersonoranyotherentity.
3.3 SecureWebmayterminate,atitsowndiscretion,anyregistration,includingwithoutlimitationanyorallrelatedinformation,communications,postings,Webpages,Websitesorservices,atanytime,withoutnotice,foranyreasonornoreason,includingwithoutlimitationforconductthatviolateslocal,stateorfederallawsorregulationsortheseTermsofService,ormaterialthatSecureWeb,atitssolediscretionbelievesisharmfultoothers,thebusinessofSecureWeborotherthirdpartyinformationorserviceproviders.YouacknowledgethattheServicecontainsinformation,software,photographs,graphics,keywordsandothermaterial(collectively,the"Content")thatisprotectedbycopyright,trademarkorotherproprietaryrightsofSecureWeborthirdparties.AllContentontheServiceiscopyrightedasacollectiveworkofSecureWebpursuanttoapplicablecopyrightlaw.
3.4 Youagreetocomplywithanyadditionalcopyrightnotices,information,orrestrictionscontainedinanyContentavailableonoraccessedthroughtheService.TheContentisintendedfortheuseoftheregisteredsubscribersoftheService.Youmaynotmodify,publish,transmit,transferorsell,reproduce,createderivativeworksfrom,distribute,perform,display,orinanywayexploit,anyoftheContent,inwholeorinpart,exceptasotherwiseexpresslypermittedinthesetermsandconditions.Contentconsistingofdownloadablesoftwaremaynotbereverseengineeredunlessspecificallyauthorisedbytheownerofthesoftware'spatentand/orcopyright.Exceptasexpresslypermittedbythecopyrightlaws,nocopying,storage,redistributionorpublicationofanyContentispermittedwithouttheexpresspermissionofSecureWebortheownersofsuchContentortheirauthorisedpersons.
3.5 YouassumeallriskandresponsibilityfordeterminingwhetheranyContentisinthepublicdomain,regardlessofanynoticeswhichmaybepostedonsuchContent.YougranttoSecureWebtherighttoedit,copy,publish,distribute,translateandotherwiseuseanyContentthatyouplaceontheService,inanymedium.Yourepresentandwarrantthatyouareauthorisedtograntallrightssetforthintheprecedingsentence.AnyinformationsuppliedbyyouuponregistrationfortheServiceandcertainotherinformationwhichSecureWebmaycollectissubjecttoSecureWeb'sprivacypolicy.
3.6 Aset-upandadministrationfeeof$50willbedeductedfromyouraccountuponsignuporuponrenewalofyourhostingaccount.
4.UserConduct
4.1 You,asauseroftheService,understandthatallinformationcontainedinyourcontent,whetherpubliclypostedorprivatelytransmitted,arethesoleresponsibilityoftheusergeneratingthesame.ThismeansthatyouareresponsibleandmaybeheldlegallyliableforallInformationthatyouupload,postorotherwisetransmitviaSecureWeb.Forexample,youshallnot:
(a)transmituploadorpostviaSecureWebanyInformationthatisoffensive,vulgar,sexuallyexplicit,racial,hateful,discriminatory,unlawful,invasiveofanother'sprivacy,exploitativeofaminor,identifiableinformationpertainingtoaminor,informationorinstructionsconcerningillegalactivities,informationthatisharmful,threatening,abusive,harassing,defamatory,libelous,obscene,orotherwiseobjectionable;
(b)harass,threaten,abuse,defame,embarrassorcausedistressordiscomforttoanother;
(c)transmituploadorpostviaSecureWebanyInformationthatyouareprohibitedfromtransmittingbyanylaw,includingwithoutlimitationInformationthatinfringesanypatent,trademark,tradesecret,copyrightorotherproprietaryright;
(d)transmit,uploadorpostanyInformationthatcontainssoftwarevirusesoranyothercomputercode,filesorprogramsdesignedtointerrupt,destroyorlimitthefunctionalityofanycomputersoftwareorhardwareortelecommunicationsequipment;
(e)disruptthenormalflowofInformationavailableonorthroughSecureWeborotherwiseactinamannerthatnegativelyaffectsotherparticipantsorusers,transmit,uploadorposthiddenpagesorimages,interferewithordisruptthefunctionalityofSecureWebortheSecureWebserversornetworks,orviolateanyrequirements,procedures,policiesorregulationsofnetworksconnectedtoSecureWeb,theSecureWebnetwork,servers,directories,databasesandlistings;
(f)transmit,uploadorpostanyunsolicitedadvertising,promotionalmaterials,oranyotherformsofsolicitation;
(g)intentionallyorunintentionallyviolateanyapplicablelocal,state,nationalorinternationallaworregulation;.
(h)translate,decompile,reverseengineer,disassemble,modify,copy,alter,mergeintoothersoftware,exploit,reproduce,duplicate,rent,lease,sell,resell,lend,distribute,remarketorotherwisedisposeofSecureWeb,useofSecureWeb,oraccesstoSecureWeboranypartthereof;
(i)impersonateinanyway,includingwithoutlimitationbywayofforgingheadersorotherwisemanipulatingidentifiers,anyperson,entity,leader,SecureWeborSecureWebofficial,operatororhost;
(j)collectorstorepersonaldataaboutotherusersinanywayorformorsolicitorharvestpasswordsorscreennamesinanillegalmannerorwithoutdueregardtoprivacylawsinforce;
(k)useyourallocatedstoragespaceonSecureWebasstorageforremoteloadingofInformation,orrent,sub-leaseortransferyourallocatedspaceonSecureWebtoanythirdparty;or
(l)linkyourWebsiteonSecureWebtoInformationnotallowedonSecureWebundertheseTermsandConditionsofService.
4.2 SecureWebdoesnotcontrol,activelymonitororreviewtheInformationuploaded,posted,transmittedormadeavailableonorthroughSecureWebandshallnotberesponsibleforanyInformationanddoesnotguaranteetheaccuracy,integrityorqualityofsuchInformation.You
understandthatbyusingSecureWeb,youmaybeexposedtoInformationthatisoffensive,indecentorobjectionable.YourwebsitecontentontheSecureWebServicestoolissolelyyourresponsibility;SecureWebServiceswillnotbeliableforanyliabilityinregardstothematerialusedonyourwebsite.
5.AcceptableUse
5.1 AsauseroftheSecureWebService,youagreetoabidebySecureWeb’sAcceptableUsePolicy,andtobeliableforanychargesincurredforexcessusageoftheservice,whethercausedbyyourself,orbyothersvisitingyourwebsite,orsendingemailtoyouremailaccount(s).SecureWebwillimmediatelysuspendanysitesthatarewedeemtohavebreachedtheabovepolicy,andifanyillegalactivityhasbeenfoundtheymayattheirdiscretioncontacttheappropriateLawEnforcementauthorities.SecureWebwillnotbeheldliableforanycontentstoredonourserversindirectoriesthatarecontrolledbyusers.
5.2 Youtheuserareresponsibleformakingsurethatallofyouremailpasswordsandwebsitepasswordsarekeptinasecurelocation.SecureWebwillnotsetusernamesandpasswordstobethesamethingasthisbreachesoursecurityprotocols.IfyoufeelthatyourpasswordhasbeencompromisedyoumustcontactSecureWebServicesviaemailassoonaspossible.SecureWebwillnotbeheldliableforanyactivitythathasbeenundertakenunderanaccountwithacompromisedpassword.
5.3 ServiceOutages:whilstSecureWebhopetherearenoserveroutageswecannotbeheldresponsibleforanysortofsoftwarefailureorhardwarefailureorinternetconnectionfailure.SecureWebwillalsonotbeheldliableforanylossofincomeduetoServiceOutages,itisthecustomersresponsibilitytoadviseSecureWebiftheyrequireaguaranteed80%uptime.SecureWebwilldoitsbesttoscheduleServiceOutagesoutsideofbusinesshourstominimizedisruptiontobusinesses.
6.InformationPostedonSecureWeb
6.1 Bytransmitting,uploading,postingorsubmittinganycontenttoSecureWebyou
(a)declaresuchInformationisnotconfidential,secretorproprietaryinformation;
(b)warrantthatnootherpartyhasrightstotheInformationandthatyourtransmission,posting,uploadingorsubmissionoftheInformationtoSecureWebdoesnotviolateanycopyrightorotherlaws;and
(c)irrevocablygrantSecureWeb,aworldwide,royaltyfree,non-exclusiveperpetual,worldwidelicensetouse,display,perform,distribute,modify,reproduceandpublishthecontentinanyformanywhere.Youmustevaluate,andbeartheriskassociatedwith,theaccuracy,completenessorusefulnessofanyinformationavailableonorthroughSecureWeb.
6.2 SecureWebshallnotbeobligatedtoactivelymonitor,review,orotherwisecontrolinanymanner,thecontentuserspost,uploadortransmitthroughSecureWeb.However,SecureWebreservestherightbutnottheobligation,initssolediscretion,torefuseorremoveanyInformationavailableon
orthroughSecureWeb.Withoutlimitingtheforegoing,SecureWebshallhavetherighttoremoveanyInformationthatviolatestheseTermsandConditionsofServiceorisotherwiseobjectionableinSecureWeb'ssoleopinion.TheinformationonSecureWebmayincludeinappropriatematerial.ByenteringorusingSecureWebyouundertakefullresponsibilityto:
(a)determinewhethertheinformationcomplieswithyourneedsandisaccurateandwhendeemedimportantisconfirmedinwriting.
(b)determinewhetheryouhaveadequatelegalrightstostore,reproduceorotherwiseusetheinformationinanymannercontemplatedbyyouand
(c)complywithanylegalobligations,includingwithoutlimitationobligationsimposedbycopyright,tradesecret,defamation,indecency,onlineconductandacceptablecontent,privacyandexportlaws.IfyoudonotagreetotheseTermsandConditions,donotenteroruseSecureWeb.

8.FeesandPayments
8.1 YouagreetopayallfeesandchargesincurredbyyouoranythirdpartyusingyourServiceaccount(whetherornotauthorisedbyyou)attheratesineffectforthebillingperiodinwhichsuchfeesandchargesareincurred,including,butnotlimitedtoapplicabletaxes,andchargesforanyproductsorservicesofferedforsalethroughtheServicebySecureWeborbyanythirdparty.
8.2 YourrighttousetheServiceissubjecttoanylimitsestablishedbyyourcreditcardcompanyifbillingisthroughacreditcard.Youshallberesponsibleforobtainingalltelephone,telephoneaccesslines,computerequipmentandotherproductsorservicesnecessarytoaccessandusetheService.YoushallberesponsibleforallchargesassociatedwithaccessingandmaintainingaconnectiontotheService(e.g.chargesimposedbyanInternetaccessprovider,oryourlocaltelephonecompany).OngoinghostingandSearchEngineMarketingfees(includingcostsassociatedwithSecureWebmaintainingyourGoogleAdWordsandYahoo!SearchMarketingaccount)willcontinueautomatically,attheendofyoursubscriptionuntilsuchtimeaswereceiveacancellationinaccordancewithourCancellationsPolicy.
8.3 SecureWebshallprovideyouwithwebsiteandwebsitehostingservices.Thesubscriptionamountistheamountagreedtoontheorderformatthetimeofsale.SecureWebworkscloselywithyoutoidentifyrealisticgoalsandtimelinesanddesignanappropriatewebsite.Ifobjectivesarenotmet,wewilloffertomakeitrightwithin20daysfromreviewdate.Youhaveaperiodofthreemonthstoprovideuswithwebsitecontent,afterwhichyouraccountwillgoliveandanyinstallmentpaymentsbecomepayable.SecureWebwillnotprovideyouwiththelogindetailsuntilsuchtimeasthewebsitehasbeenapprovedandsignedofftogolive.Ifyourinstallmentpaymenthasnotbeenmade,asperyourpaymentterms,youraccountwillbesuspendeduntilpaymenthasbeenreceivedandareactivationfeeof$50willapply.Ifthereisnopaymentafter90daysforaninstallment,asperthepaymentterms,theaccountwillbecancelledandtheaccountwillnotbesubjecttoanyformofarefund.Cancelledaccountscannotbereactivatedandanyaccounthistoryorinformationwillnotberetrievable.
9.CancellationsPolicy
9.1 OnlySecureWebmay,atitssolediscretion,allowyoutocancelyourcontractagreement.
9.2 Notificationofintenttocancelmustbeprovidedinwritingorbyemailtowebsites@securewebservices.com.au.
9.3 YoumusttonotifySecureWebifyoudonotwishtorenewyoursubscriptionbeforetheendofthecontract.SecureWebwillautomaticallyrenewyoursubscriptionattheendofeachtermandbillthethen-currentrenewalfeetothesamecreditcardorcreditlineyouroriginalsubscriptionfeewasbilledto,ortothecurrentcreditcardwehaveonourfiles.
9.4 YoumaycancelyourSecureWebwebsiteaccountatanytimebynotifyingSecureWebtwoweekspriortothedatethatyouwishtoterminatetheserviceinwriting,shouldyoudothis,acancellationfeeof$100willapply.
9.5 Ifyourwebsitehostingaccountiscancelledpriortotheendofeachannualterm,butafteryourwebsiteisbuiltyouwillnotbeentitledtoarefundofanymonies.Youareresponsibleforallchargesincurreduptothetimetheaccountisterminated,includingallannualchargesfortheyearinwhichterminationbecameeffective.
9.6 SecureWebreservestheright,atitssolediscretion,torestrict,suspendorterminateyouraccesstoalloranypartoftheServiceatanytimeforanyreasonwithoutpriornoticeorliability.SecureWebmaychange,suspendordiscontinuealloranyaspectoftheServiceatanytime,includingtheavailabilityofanyServicefeature,database,orcontent,withoutpriornoticeorliability.
9.7 Websitesthathavebeenonholdforoverthreemonthswithoutanycontentprovidedtowww.securewebservices.com.auandhavefailedtoreplytoSecureWeb’snoticesarenotentitledtoanyrefund.Thiswillcoveradministrationandcustomerservicefeeprovidedduringtheperiodofwebsitecontentcollection.
10.DisclaimerofWarranties
10.1 YouexpresslyagreethatenteringorusingofSecureWebisatyourownrisk.Nowarranty,representation,condition,undertakingorterm-expressorimplied,statutoryorotherwise-
includingbutnotlimitedtothecondition,quality,durability,performance,accuracy,reliability,non-infringement,merchantability,orfitnessforaparticularpurposeoruseofSecureWebisgivenorassumedbyallsuchwarranties,representations,conditions,undertakingsandtermsareherebyexcluded.
10.2 SecureWebmakesnowarrantythatSecureWebwillmeetyourrequirements,orthatSecureWebwillbeuninterrupted,timely,secure,orerrorfree;SecureWebmakesnorepresentationsastothesuitabilityoftheinformationavailableonorthroughSecureWeb,includingbutnotlimitedtouseramendedsites,foranypurposenoraboutitslegitimacy,legality,validity,accuracy,correctness,reliability,quality,stability,completenessorcurrency.
10.3 SecureWebmakesnowarrantythatawillgenerateanyincreaseinsales,businessactivity,profitsoranyotherformofimprovementforyourbusinessoranyotherpurpose,SecureWebmakesnowarrantythataWebsitewillleadtoanyclickstoyourbusinessorotherinformation.
10.4 SecureWebmakesnowarrantythataWebsitewillleadtoconsistentexposureofyourbusinessoryourkeywordsduringyoursubscriptionperiod(includingbutnotlimitedto,thepositionyouradvertisementisplacedonasearchresultpageorthefrequencyandtimeofdaythatyouradvertisementisdisplayed).
10.5 Allsuchinformationontheuser-amendedsitesisprovidedbytheusers.TheinformationavailableonorthroughSecureWebuseramendedsitesisnotreviewed,controlledorexaminedbySecureWebinanywaybeforeitappearsonSecureWeb.SecureWebdoesnotendorse,verifyorotherwisecertifythecontentsofanysuchinformation.
10.6 UsersaresolelyresponsibleforthecontentsoftheirwebsitesandtheirAdWordsadvertisementcontentandmaybeheldlegallyliableoraccountableforthecontentsoftheirwebsites(includingwithoutlimitationinconnectionwithinfringementofintellectualpropertyrightsofanyotherparty).
10.7 SecureWebabidesbytheguidelinesofGoogleAdWordsandYahoo!SearchMarketing,keytermsoradvertsrequestedbythecustomermustalsoabidebytheseguidelines.Thepackagesaresoldonthetermsofkeytermsbeingakeytermandlocation,hencekeytermsontheirownwithoutalocationmayrequireahighersubscriptionoranincreaseinthecustomerscurrentpackage.SecureWebisnotresponsiblefortheincreaseofanykeytermscostperclick,henceifyoursubscriptionamountcannolongercaterforthekeyterms,theywillberemovedfromyourlistofkeyterms.SecureWebdoesnotwarrantorguarantee:
(a)thatanyinformationavailableonorthroughSecureWebwillbefreeofinfectionbyviruses,worms,trojanhorsesoranythingelsemanifestingcontaminatingordestructiveproperties;
(b)thattheinformationavailableonorthroughSecureWebwillnotcontainadult-orientedmaterial,ormaterialwhichsomeindividualsmaydeemobjectionable;or
(c)thatthefunctionsorservicesperformedbySecureWebwillbeuninterruptedorerror-freeorthatdefectsinSecureWebwillbecorrected.Itisthesoleresponsibilityoftheusertoisolatesoftwareandinformation,executeanti-contaminationsoftwareandotherwisetakestepsto
ensurethatsoftwareorinformation,ifcontaminatedorinfected,willnotdamageuser'sinformationorsystem.
11.LimitationofLiability
11.1 InnoeventshallSecureWebbeliabletoanypartyforanydamages,includingwithoutlimitationanydirect,indirect,special,punitive,incidentalorconsequentialdamages(including,butnotlimitedto,damagesforlossofbusinessprofits,businessinterruption,lossofprogramsorinformation,lossofprofitsorgoodwillorlossofuseoffacilitiesorequipment),oranyotherdamagesarising-inanyway,shapeorform-outoftheavailability,use,relianceon,inabilitytoutiliseorimproperuseofSecureWebevenifSecureWebshallhavebeenadvisedofthepossibilityofsuchdamagesorisnegligent,andregardlessoftheformofaction,whetherincontract,tort,orotherwise.
11.2 Becausesomejurisdictionsdonotallowtheexclusionorlimitationofincidentalorconsequentialdamages,theaboveexclusionsofincidentalandconsequentialdamagesmaynotapplytoyou.InnoeventshallSecureWebbeliabletoanypartyforanydelays,inaccuracies,errorsoromissionswithrespecttoSecureWebortheinformationorthetransmissionordeliveryofalloranypartthereof,foranydamagearisingtherefromoroccasionedthereby,orfortheresultsobtainedfromtheuseofinformationavailableonorthroughSecureWeb.YouexpresslyagreethatSecureWebshallnotberesponsibleorliableforanylossofdata,norshallSecureWebberequiredtoreturnanylostdata,resultingfromthesuspensionordeletionofuserwebsitesorwebsites,networkorsystemoutages,filecorruptionoranyotherreasons.
11.3 SecureWeburgesyoutomaintainbackupversionsofyourwebsite'scontenttoguardagainstlossesofanykind.YouexpresslyagreethatSecureWebshallnotbeliableforanyconductbyusersofSecureWebandshallnotberesponsibleorliablefortheaccuracy,usefulnessoravailabilityofanyinformationtransmitted,uploaded,postedormadeavailableonorthroughSecureWebServices.
11.4 YouexpresslyagreetoindemnifyandholdharmlessSecureWeb,itssubsidiaries,affiliates,officers,agents,co-brandersandotherpartners,anditsandtheirrespectiveemployees,fromandagainstanyandalldamages,liabilities,actions,causesofaction,suits,claims,demands,losses,costsandexpenses(includingwithoutlimitationreasonableattorneys'feesanddisbursementsandcourtcosts)arisingfromorinconnectionwithyourInformation,youruseoforconnectiontoSecureWeb,yourviolationoftheseTermsandConditionsofServiceoryourviolationofanyrightsofanythirdparty.
12.DebtorPolicy
12.1 Default&ConsequencesOfDefault
(a)Interestonoverdueinvoicesshallaccruefromthedatewhenpaymentbecomesduedailyuntilthedateofpaymentatarateof2.5%percalendarmonthandshallaccrueatsucharateafteraswellasbeforeanyjudgement.
(b)IftheBuyerdefaultsinpaymentofanyinvoicewhendue,theBuyershallindemnifytheSellerfromandagainstalltheSeller'scostsanddisbursementsincludingonasolicitorandownclientbasisandinadditionallcostsofcollection.
(c)WithoutprejudicetoanyotherremediestheSellermayhave,ifatanytimetheBuyerisinbreachofanyobligation(includingthoserelatingtopayment),theSellermaysuspendorterminatethesupplyofGoodstotheBuyerandanyofitsotherobligationsunderthetermsandconditions.TheSellerwillnotbeliabletotheBuyerforanylossordamagetheBuyersuffersbecausetheSellerexerciseditsrightsunderthisclause.
(d)Ifanyaccountremainsunpaidattheendofthesecondmonthaftersupplyofthegoodsorservicesthefollowingshallapply:Animmediateamountof$50.00shallbeleviedforadministrationfeeswhichsumshallbecomeimmediatelydueandpayable.
(e)Intheeventthat:
(i)anymoneypayabletotheSellerbecomesoverdue,orintheSeller'sopiniontheBuyerwillbeunabletomeetitspaymentsastheyfalldue;or
(ii)theBuyerbecomesinsolvent,convenesameetingwithitscreditorsorproposesorentersintoanarrangementwithcreditors,ormakesanassignmentforthebenefitofitscreditors;or
(iii)areceiver,manager,liquidator(provisionalorotherwise)orsimilarpersonisappointedinrespectoftheBuyeroranyassetoftheBuyer;then
(iv)theSellershallbeentitledtocancelalloranypartofanyorderoftheBuyerwhichremainsunperformedinadditiontoandwithoutprejudicetoanyotherremedies;and
(v)allamountsowingtotheSellershall,whetherornotduetheSellerarisingoutofthesetermsandconditions,andtheSellermaytakeanylawfulstepstorequirepaymentoftheamountsdueandthePrice.
(vi)TheSellercanissueproceedingstorecoverthePriceoftheGoodssoldnotwithstandingthatownershipoftheGoodsmaynothavepassedtotheBuyer.
13.Privacy
13.1 PrivacyAct1988
(a)TheBuyerand/ortheGuarantor/sagreefortheSellertoobtainfromacredit-reportingagencyacreditreportcontainingpersonalcreditinformationabouttheBuyerandGuarantor/sinrelationtocreditprovidedbytheSeller.
(b)TheBuyerand/ortheGuarantor/sagreethattheSellermayexchangeinformationaboutBuyerandGuarantor/swiththosecreditprovidersnamedintheApplicationforCreditaccountornamedinaconsumercreditreportissuedbyareportingagencyforthefollowingpurposes:
(i)ToassessanapplicationbyBuyer;
(ii)TonotifyothercreditprovidersofadefaultbytheBuyer;
(iii)Toexchangeinformationwithothercreditprovidersastothestatusofthiscreditaccount,wheretheBuyerisindefaultwithothercreditproviders;and
(iv)ToassessthecreditworthinessofBuyerand/orGuarantor/s.
(c)TheBuyerconsentstotheSellerbeinggivenaconsumercreditreporttocollectoverduepaymentoncommercialcredit(Section18K(1)(h)PrivacyAct1988).
(d)TheBuyeragreesthatPersonalDataprovidedmaybeusedandretainedbytheSellerforthefollowingpurposesandforotherpurposesasshallbeagreedbetweentheBuyerandSellerorrequiredbylawfromtimetotime:
(i)provisionofServices&Goods;
(ii)marketingofServicesandorGoodsbytheSeller,itsagentsordistributorsinrelationtotheServicesandGoods;
(iii)analysing,verifyingand/orcheckingtheBuyer'scredit,paymentand/orstatusinrelationtoprovisionofServices/Goods;
(iv)processingofanypaymentinstructions,directdebitfacilitiesand/orcreditfacilitiesrequestedbyBuyer;and
(v)enablingthedailyoperationofBuyer'saccountand/orthecollectionofamountsoutstandingintheBuyer'saccountinrelationtotheServicesandGoods.
(e)TheSellermaygive,informationabouttheBuyertoacreditreportingagencyforthefollowingpurposes:
(i)toobtainaconsumercreditreportabouttheBuyer;andor
(ii)allowthecreditreportingagencytocreateormaintainacreditinformationfilecontaininginformationabouttheBuyer.
14.Miscellaneous
14.1 SecureWebreservestherightinitssolediscretionto:
(a)makeimprovements,corrections,adaptations,conversionsand/oranyotherchangeinSecureWebandtoanypartthereofand/ortoreviseormodifytheseTermsandConditionsofService;
(b)change,limit,terminate,removeorceasetoprovideatanytime,temporarilyorpermanently,SecureWeboranypartthereof,toallusersoranynumberthereofincludingwithoutlimitationtheuseoforaccesstoSecureWeb,grantedtoyouortoanyotheruser,atanytime,withoutnotice,foranyreasonornoreason;
(c)refrainfrompublishingonthissiteanddeleteorremovefromSecureWeb,atitssolediscretion,anyWebpageorInformationormaterialprovidedfordisplay,posted,uploadedortransmittedbyanyuseroranypartthereof;
(d)establishanewoperatingandusagepolicyforSecureWebandchangeitatanytimeforanyreasonornoreason;and
(e)cancel,change,hold,de-list,introducedifferentoptionsandfeaturestodifferentusersorrefrainfrompublishingSecureWebnumbersoranyotherdetailsoftheusersusingSecureWeb,atanytime.
14.2 TheseTermsandConditionsofServicedonotgranttoyouoranyotheruseranylicenseorrightinortoanypatent,copyright,trademark,tradesecretorotherproprietaryrightsofSecureWeb.SecureWebmayreviseorreplacetheseTermsandConditionsofServicefromtimetotime.YouagreethatyouruseofSecureWeb,beyondaperiodof15daysafteranoticeofsuchchangehasbeenprovidedontheSecureWebnetworkorWebsiteforthefirsttime,shallconstituteyourconsenttotheneworrevisedSecureWebTermsandConditionsofService.AnyreferencemadeinthisdocumenttoSecureWeborSecureWebshallbedeemedtohavebeenmadetoSecureWeb,itssuppliers,co-brandersandlicensorsandeachoftheirsubsidiaries,successors,assignees,affiliatesaswellasanycompanythatcontrolsSecureWeb,directlyorindirectly,andanyothersubsidiaryofthatcontrollingcompany.
