I. NOTICE INVITING TENDER (NIT)
NMCG invites sealed Bids under two bid basis i.e. Technical Bid and Financial Bid from reputed and experienced agencies for conducting and managing the event “Ganga SwachhtaPakhwada” on behalf of NMCG during the period March 16-31, 2018.
The interested bidders should submit their bids to Procurement Wing, National Mission for Clean Ganga, 1st Floor, Major Dhyan Chand National Stadium, India Gate, New Delhi-110002 on or before February 22, 2018 upto 15:00 Hrs.

II. INSTRUCTIONS TO BIDDERS
1. Cost of Bid: The bidder shall bear all costs associated with the preparation and submission of bid and NMCG in no case shall be responsible or liable for those costs, regardless of the conduct or outcome of the tender process.
2. The bidder is expected to examine all instructions, forms, terms and conditions in the tender document. Failure to furnish all information required by the tender document or submission of a tender not substantially responsive to the tender document in every respect will be at the bidder’s risk and may result in rejection of thebid.
3. The bidder shall not make or cause to be made by any alternation, erasure or obliteration to the text of the tender document.
4. Preparation of Bids
4.1 Language: Bids and all accompanying document shall be in English language. In case any accompanying documents are in other languages, it shall be accompanied by an English Translation. The English version shall prevail in matters of interpretation.
4.2 Form of Bid
The form of bid shall be completed in all respects and duly signed and stamped by an authorized representative of the Bidder. Relevant power of attorney for signingthe bid should be attached.
4.3 Currencies of Bid and Payment The bidder shall submit his financial bid in Indian Rupees and payment under this contract will be made in Indian Rupees.
4.4 Clarifications by Bidders
4.4.1 Bidders requiring any clarification on the tender document may contact Procurement Wing of the NMCG in writing by e-mail/ fax/ post/ courier within such date as specified in the Schedule of Bidding Process set out in Clause 13- Schedule of Bidding Process.
4.4.2 All correspondence for clarifications should be submitted to the following address in writing by email/fax/post/courier:

4.4.3 NMCG shall endeavour to respond to the queries raised or clarifications sought by the Bidders. However, NMCG reserves the right not to respond to any query or provide any clarification, in its sole discretion, and nothing in this clause shall be construed, taken or

read as compelling or requiring NMCG to respond to any query or to provide any clarification.
4.4.4 At any time prior to the Bid Due Date, NMCG may, for any reason, whether at its own initiative or in response to clarifications requested by Bidder(s), modify the tender document by way of issue of Addendum/Corrigendum/Clarifications. Any Addendum/ Corrigendum/Clarifications thus issued shall be uploaded on the website of NMCG (https://nmcg.nic.in) and CPPP portal (https://eprocure.gov.in/cppp/) and shall be binding on Bidders and shall form part of the tender document.
4.5 Pre-Proposal Meeting
4.5.1 To clarify and discuss issues with respect to the Project and the RFP Document, a Pre-Proposal meeting (“Pre-Proposal Meeting”) will be held as per the details provided in Clause 13- Schedule of Bidding Process.
4.5.2 Prior to the Pre-Proposal meeting, the Bidders may submit a list of queries and proposed suggestions, if any, to the RFP requirements.
4.5.3 Bidders may note that NMCG will not entertain any deviations to the RFP Document at the time of submission of the Proposal or thereafter. The Proposal to be submitted by the Bidders will be unconditional and unqualified and the Bidders would be deemed to have accepted the terms and conditions of the RFP Document with all its contents. Any conditional Proposal shall be regarded as non-responsive and would be liable for rejection.
4.5.4 Bidders’ representatives attending the Proposal opening shall bring an authorisation letter from the Bidder.
4.5.5 In case of any change in the schedule of Pre-Proposal Meeting, the same will be communicated to Bidders through email and/or by posting on the web sites www.nmcg.nic.in and https://eprocure.gov.in/cppp/.
4.5.6 Attendance of the Bidders at the Pre-Proposal Meeting is not mandatory. NMCG will endeavour to respond to all queries from all Bidders, irrespective of attendance of the Bidder in the Pre-Proposal Meeting.
4.5.7 No interpretation, revision, or other communication from NMCG regarding this solicitation is valid unless in writing. NMCG may choose to send to all Bidders whose Proposals are under consideration, in writing or by any standard electronic means such as email or by uploading on website(s) of responses, including a description of the enquiry but without identifying its source to all the Bidders.
4.6 Format and Signing of Bid
4.6.1 The documents comprising the bid shall be typed and all pages of the bid shall be signed by a person duly authorized to sign on behalf of the bidder.

4.6.2 The bid shall contain no alternations, omissions or additions except those to comply with instruction issued by NMCG, or are necessary to correct errors made by the bidder, in which case such corrections shall be initialed/singed by the person signing the bid.
5. Submission of Bids
5.1 The bidder shall submit their offer under two bid basis i.e. Technical Bid (One Original and One Copy) and Financial Bid, complete in all respect, in separate sealed envelopes put into an outer envelope superscribed “RFP for Event Management of Ganga Swachhta Pakhwada (March 16-31, 2018)”.
The sealed envelope should reach the address Procurement Wing, National Mission for Clean Ganga, 1stFloor, Major Dhyan Chand National Stadium, India Gate, New Delhi-110002on or before February22, 2018 upto 15:00 Hrs. The Bids shall not be accepted beyond the stipulated date and time under any circumstances what so ever.
5.2 Validity of Bid: The bid must remain valid and open for acceptance for a period of 60
days from the date of opening of Bid.
6. Late and Delayed Bids:
6.1 Bids must be received not later than the date and time stipulated in the tender document. NMCG may, at its discretion, extend the deadline for submission of bids in which case all rights and obligations of NMCG and the bidder will be the same.
6.2 Any bid received by NMCG after the deadline for submission of bids, as stipulated above, shall not be considered.
7. Opening and Evaluation of Technical Bid
7.1 Technical Bidswill be opened in the presence of the bidders’ representatives who choose to attend at the appointed place and time.
7.2 The Technical Bid of the bidder would be evaluated as per the eligibility criteria set out in the tender document. Bids will be evaluated based on the information submitted by bidder. However, NMCG reserves the right to seek clarification/documents from the bidders, if the NMCG considers it necessary for proper assessment of the bid.
7.3 The Technical Bids will be evaluated based on following criteria. The marks allocation for
the technical evaluation shall be assigned as under:

The minimum Technical Score required for opening of financial bid is70.
8. Opening of Financial Bid and Final Evaluation
8.1 The Financial Bids of the technically qualified bidders who have obtained minimum
technical score of 70 marks shall be opened in the presence of such bidders’
representatives who choose to attend.
8.2 NMCG has mentioned the total cost of the elements in TOR section. Accordingly, bidders
are required to quote their agency charge in terms of percentage (%) on the total
amount only.
8.3 The contract will be awarded on Least Cost Selection basis. NMCG will select the Bidder
with most advantageous bid, which is the bid with the lowest percentage of agency
charge quoted among those bids that achieved the minimum qualifying technical score.
8.4 Failure of the Successful Bidder to comply with the requirements shall constitute
sufficient grounds for the annulment of the LOA. In such an event, NMCG reserves the
right to,
(a) invite the L-2 bidder and negotiate upon the following scenario, or
(b) take any such measure as may be deemed fit in the sole discretion of NMCG,
including annulment of the Bidding Process.
9. Right to accept any Bid and to reject any or all Bids
9.1 NMCG is not bound to accept the lowest bid or any bid and may at any time by giving
notice in writing terminate the tendering process.

9.2 NMCG may terminate the contract/cancel the LOA if it is found that the bidder is
blacklisted on previous occasions by any of the central/state government
ministry/department/institutions/local bodies/municipalities/PSUs, etc.
9.3 NMCG may also terminate the contract/cancel the LOA in the event the Successful
Bidder fails to furnish the performance security or fails to execute the agreement.
10. Award of Contract
10.1 NMCG will award the contract to the Successful Bidder to perform the contract
satisfactorily as per the terms and conditions incorporated in the tender document.
10.2 NMCG will communicate the Successful Bidder by email/fax confirmed by letter
transmitted by registered/speed post that his bid has been accepted. This letter
(hereinafter and in the condition of contract called the “Letter of Award”) shall prescribe
the amount which NMCG will pay to the Successful Bidder in consideration of the
execution of work/services by them as prescribed in the contract.
10.3 The Successful Bidder will be required to commence the assignment at the earliest as
communicated by NMCG in this regard.
10.4 The Successful Bidder will be required to execute the contractfor the services within a
period of seven (7) days from the date of issue of Letter of Award.
11. Performance Security
11.1 The Successful Bidder shall be required to furnish a Performance Security prior to sign
the contract for an amount of Rs.20,00,000 (Rupees Twenty Lakhs) in the form of Bank
Guarantee from a Nationalised Bank in acceptable form in favour of ‘National Mission
for Clean Ganga’ payable at New Delhi. The Performance Security shall remain valid for a
period of 60 (sixty) days beyond the date of completion of all contractual obligations. In
case the contract period is extended further, the validity of Performance Security shall
also be extended by the Successful Bidder accordingly.
11.2 Failure of the Successful Bidder to comply with the requirements of above clauses shall
constitute sufficient grounds or the annulment of the award and other actions as
deemed necessary.
12. Mobilization Advance
i) Amount of Rs.25,00,000 (Rupees Twenty Five Lakhs) shall be paid as advance against production of bank guarantee valid for a period upto 30th April 2018 for the equal amount.
ii) An amount upto Rs.75,00,000 (Rupees Seventy Five Lakhs) shall be paid against submission of invoice for the activities completed till 22nd March 2018. The advance payment will be adjusted at the time of final payment.

III. ELIGIBILITY CRITERIA
1. The Bidder should be NGO/Indian company/ partnership firm/ proprietary Firm registered under the respective act of India.
2. The Bidder should have experience of minimum five years in the relevant field for event management for various programmes conducted by Govt. Ministries/ Department/ Govt. Organisations/PSUs/Private sectors.
3. The Bidder should have completed minimum two assignments of event management programmes conducted by Govt. Ministries/ Department/ Govt. Organisations/ PSUs during last three years.
4. The Bidder should have average annual revenue earned from similar nature of assignments (event management programmes) of more than Rs.50 lakhs during the last three financial years i.e. FY 2014-15, 2015-16 and 2016-17. Copy of certificate from Statutory Auditor/ Chartered Accountant in this regard shall be submitted.
5. The Bidder participating in the tender should have PAN and GST registration Number. The documentary proof of such registrations shall be submitted.
Bidders are requested to submit the necessary documentary evidence for the aforesaid information along with their bid.

IV. Scope of Work
The Ganga is India's most important river. Its sprawling basin covers more than 860,000 square
kilometres in India alone and is home to around 600 million Indians, or close to half the nation‟s
population. The basin generates approximately 40 percent of the country's GDP and is an
invaluable environmental and economic resource for India. The main stem of the Ganga rises
from glacial sources in the Himalayas and courses through five major states before draining
through the Sundarbans -- the largest mangrove system in the world--into the swirling waters of
the Bay of Bengal. Along its 2,500 km journey, the river enriches huge swathes of agricultural
land and sustains a procession of denselypopulated cities and towns along its banks. Fast-
flowing tributaries in its upper reaches have the hydropower potential to ease India's chronic
power shortages, and in the plains, the river has the potential to transform into an arterial
waterway that spurs economic growth in one of the poorest and most populous regions of the
country. But the Ganga -- long an icon of India's ancient civilisation and critical for its prosperity -
- is in trouble. Ever-growing populations, unplanned urbanisation and rapid industrialisation
generate heavy pollution loads that incessantly sully the river. Over-abstraction of its waters in
the lean season (primarily for irrigation), competing water demands, and diversions and
obstructions on the main stem and tributaries have wreaked havoc on the health of the river
and its ability to nourish the millions of people who live and work in the basin.
National Mission for Clean Ganga:
The National Mission for Clean Ganga (NMCG) has been set up under the Ministry of Water
Resources, River Development and Ganga Rejuvenation (MOWR, RD & GR) to steer the
rejuvenation of the river. Its flagship programme, NamamiGange, integrates efforts to clean and
protect the Ganga river in a comprehensive manner. The Namami Gange programme has a
budget outlay of Rs. 20,000 crore for the next 5 years. The objective of the Programme is to
improve the quality of water of river Ganga by the year 2020.
Campaign :
As part of Swachh Bharat Abhiyaan and Namami Gange initiative, a "Ganga Swacchta
Pakhwada" (16th -31st March 2018) will be observed by National Mission for Clean Ganga
(NMCG). It is aimed at creating mass awareness and ownership among citizens about cleanliness
and sanitation and to develop a sense of pride for the city on the banks of the river Ganga and
the importance of keeping the river clean. Campaign will be organised in all important cities/
towns along 5 Ganga basin States covering Uttarakhand, Uttar Pradesh, Bihar, Jharkhand and
West Bengal. The inaugural and concluding ceremony will be held at any major city situated on
the bank of River Ganga.
State Programme Management Groups (SPMGs) will be the primary nodal agency for all the
administrative support along with Ganga Vichar Manch (GVM), Nehru Yuva Kendra Sangathan
(NYKS) for advice to build up network with the local coordination with in the State. At each

location, various events will be organized with the handholding support from State agencies,
District Administration, Nagar Nigam, Jal Nigam, Executing agencies, NYKS, Rotary, Central
Pollution Control Board, Nagar Panchayats, local NGOs/ Universities/Schools and individuals etc.
Public outreach will be targeted using different mediums like SMS, radio jingles, mobile van,
social media and hoardings etc.. Major events shall be covered widely in print and electronic
media.
The campaign at Bijnore(Tentative) will be preside by Hon’ble Minister of State and at other
locations it is expected to be witnessed by MPs, MLAs and Senior officers of both Central and
State Government, Ministry, other align Government departments, state officials, Central
Defence and paramilitary forces, print and electronic media, students, general public, young
techies, and floating public.
Objectives:
Ganga Swacchta Pakhwada Action Plan would entail resilient components of public
awareness and community participation for keeping the reverence of Ganga to the people,
inspiring thousands of people to support, protect and restore Ganga.
1. To create awareness and ownership among citizens about cleanliness and sanitation in
their vicinity and the city.
2. To develop a sense of pride within the community on the banks of the river Ganga and
the significance of keeping the river clean.
3. To support the ongoing initiatives under Namami Gange programme through creating a
mass movement.
Campaign Roll-out and Role of the agency:
The agency will plan, organize and execute the Ganga Swachhta Pakhwada including the
opening and closing ceremony.
Action Plan: Preparation of detailed communication action plan and strategies for the
campaign. This will be approved by NMCG.
Develop Guidelines: Develop the protocols and guidelines for the various activities being done
as a part of the campaign.
Printing & distribution of Resource Materials: Printing and distribution of IEC and resource
materials such as- flyers on attitudinal and behavioral changes, handouts, leaflets, badges/
bands, stickers, t-shirt/ caps, pledge, invitation cards, making of CD’s/DVD’s on Namami Gange
theme song and short movie, designs and material will be provided by NMCG to the agency to
print and distribute it for the respective locations. However, agency will be required to make
few changes as and when required in some creative’s during the event by the NMCG.
Coordination: Network and coordinate with all key stakeholders for effective implementation
of the campaign in a comprehensive manner. Primary contact point in the State shall be State
Programme management Groups (SPMGs) and at district level District Magistrate / Municipal

Commissioner. The agency shall designate nodal official/s responsible as single point contact for
matters pertaining to this campaign and to ensure better results/ coordination.
Publicity and Public Outreach: To ascertain mass community involvement publicity of the 16-
day SwachhtaPakhwada will be made through mediums such as hoardings, banners, FM
campaign and mobile van etc.
Wide Coverage through print and electronic/ social media: Regular media updates, press
releases/ briefings, local newspapers/ local TV channels coverage, bytes of the dignitaries etc.
will be carried out by the agency to ensure publicity in local as well as national press and media.
Promotion and publicity on Social Media: The campaign will be widely promoted on all social
media domains. The agency shall support NMCG’s social media agency for smooth execution of
publicity through social media live coverage of few events will also be carried out.
Documentation: The required outputs of this campaign shall be as follows:
(i.) Daily event / progress reports of all the locations shall be submitted by the agency with
brief of the activities conducted and before & after photographs of activities such as Ghat
Cleaning, ShramDaan and plantation/ green drive activities etc.
(ii.) Daily Press clippings to be documented
(iii.) A final report shall be submitted within (15) fifteen days of successful completion of the
project, documenting the event.
(iv.) Coffee Table Book documenting the activities of the whole campaign including
photographs, news clippings etc. would be published by the agency at the culmination of the
Pakhwada to highlight the activities.
(v.) Pen drive comprising high-resolution photographs, videos, bytes and coverage of the
programme along with the comprehensive report shall be submitted in both soft as well as
hard copy.
Proposed Pakhwada activities: It is envisaged that variety of awareness and action activities will
be conducted on each of the identified 34 locations. Activities will build up sequentially,
followed by the intensification of activities which happen around identified areas. Community
interaction, shramdaan, cultural and Swachhta fest will provide the required buzz to the
campaign. This can then is followed up with activities such as plantation, chaupal, padyatra and
Adopt a Ghat campaign, awareness camps/drives and the Ganga Swachhta Pledge etc.
Cleanliness Drives and ShramDaan: ShramDaan will be among one of the major activity to be
carried out on all locations to promote cleanliness of Ghats and river bank areas.
Ganga Swachhta Sandesh Rallies and Pad Yatras: Ganga Swachhta Sandesh Rallies and
Padyatras to massively spread awareness. The agency will identify locations to clean up and fix
the event.

Nukkad Nataks/Skits: Local groups will be mobilized /invited to present Nukkad Nataks and
skits at selective locations on the theme of Ganga Swachhta. The skits will be organized at the
Ghat and a few other locations near the Ghat and consultation with SPMGs, GVM, local
administration, Municipal Corporation and communities etc.
Ganga Chaupal/ Public Meetings: To get views and suggestions from local community Ganga
chaupal will be conducted inviting local leaders, individuals, Ganga sabha etc. These community
interactions/public meetings/ Ganga Chaupal will be held to emphasize the importance of the
river and how citizens can contribute to evoke community involvement and strengthen the
river-connect. This will be organized through help of NGOs, PRIs and youth groups active in the
community etc.
Cultural Evening: Cultural programmes/ events and regional, traditional and folk events will be
conducted at Ghats with the help of local/ national artist groups or institutions. The agency will
involve local musicians/ schools/ colleges/ youth groups to come forward and perform for the
cause.
Mega Events/ Inaugural/ Closing Ceremony and VIP programme: Special activities and wide
coverage/ publicity in media shall be emphasized/ among the core responsibility of the agency.
Special event on World Water Day: A special event shall be organized at Bijnor on the
occasion of World Water Day as it is expected that Minister of State, MoWR, RD & GR would
precede the event.
Workshops/ Interactive Seminars: The agency shall organize various area specific seminars/
interactive sessions and workshops etc. in university/colleges/institutions. Technical local
experts and speakers may be invited as resource persons to address lectures on various topics
such as cleanliness, water conservation, waste management and other related topics to spread
awareness among students, youth and other groups
Competitions: Various competitions shall be organized through schools and colleges.
a). Painting/ drawing competitions- The competition will be held in schools which will be invited
to participate through a mass media announcement in each city. The painting/ drawing can be
organized as spot fixing campaigns involving all citizens at identified public spots. These would

Ganga Pledge and Signature Campaign: Involve communities through Adopt a Ghat
campaign/Selfie/ Signature Campaigns and Ganga Swachhta Pledges reiterating their
commitment to Swachh Ganga.
Exhibition and Information Centers: To increase awareness of public, exhibition and
information centers shall be set-up by the agency. This exhibition could be set up at the Ghats or
in a nearby area which is visited by the communities. Team of the agency or volunteers would
be stationed at the exhibition to distribute resources material and conduct other activities.
NMCG will provide the designs of the panels and the agency will do the printing and fabrication
of the stalls.
Brand Ambassadors and Branding Partners: Brand Ambassadors of the Swachh Bharat Abhiyan
should be contacted and motivated to participate in this campaign. Suitable Branding partners
should also be explored, which may support in publicity of the campaign on any medium like
print, electronic and outdoor publicity etc.

II. General Terms and Conditions
1. GENERAL PROVISIONS
1.1. Definitions Unless the context otherwise requires, the following terms whenever used in this Contract have the following meanings:
(a) “Applicable Law” means the laws and any other instruments having the force of law
in India for the time being.
(b) “EMA” means any private entity that will provide the Event Management Services to the “NMCG” under the Contract.
(c) “Contract” means the Contract signed by the Parties and all the attached documents listed in its Clause 1,that is this General Conditions (GC), the Special Conditions (SC), and the Appendices.
(d) “Day” means calendar day.
(e) “Effective Date” means the date on which this Contract comes into force and effect pursuant to Clause GC 2.
(f) “GC” means these General Conditions of Contract.
(g) “Government” means the Government of India
(h) “Party” means the “NMCG” or the EMA, as the case may be, and “Parties” means both of them.
(i) “Personnel” means professionals and support staff provided by the EMA or by any Sub-Contractor of EMA and assigned to perform the Services or any part thereof;
(j) “SC” means the Special Conditions of Contract by which the GC may be amended or supplemented.
(k) “Services” means the work to be performed by the EMA pursuant to this Contract, as described in Appendix A hereto.
(l) “Third Party” means any person or entity other than the “NMCG”, or the Consultant.
(m) “In writing” means communicated in written form with proof of receipt.
1.2. Relationship Between the Parties
Nothing contained herein shall be construed as establishing a relationship of master and servant or of principal and agent as between the NMCG and the EMA. The EMA, subject to this Contract, has complete charge of Personnel and Sub-Contractors, if any, performing the Services and shall be fully responsible for the Services performed by them or on their behalf hereunder.
1.3. Law governing the Contract
This Contract, its meaning and interpretation, and the relation between the Parties shall be governed by the applicable laws of India, for time being in force as amended from time to time.

1.4. Subletting
The EMA shall not sublet, transfer or assign this contract or any part thereof without the prior written consent/approval of the NMCG. In the event of the EMA contravening this condition, the contract is liable to beterminated and NMCG will be free to get the balance work or services under the contract executed at the risk and cost of the EMA.The EMA shall be liable for all the losses, damage which the NMCG may sustain in consequence or arising out of such replacing of the Contract and/or personnel engaged by the EMA.
1.5. Headings: The headings shall not limit, alter or affect the meaning of this Contract.
1.6. Notices:
1.6.1. Any notice, request or consent required or permitted to be given or made pursuant to this Contract shall be in writing. Any such notice, request or consent shall be deemed to have been given or made when delivered in person to an authorized representative of the Party to whom the communication is addressed, or when sent by registered post to such Party at the address specified in the SC.
1.6.2. A Party may change its address for notice hereunder by giving the other Party notice in writing of such change to the address specified in the SC.
1.7. Location: The Services shall be performed at such locations as are specified in Appendix A hereto and, where the location of a task is not so specified, at such locations, as the “NMCG” may approve.
1.8. Taxes and Duties: The EMA shall be liable to pay such direct and indirect taxes, duties, fees and other impositions levied under the applicable laws of India.
1.9. Fraud and Corruption:
1.9.1. Definitions: It is the NMCG’s policy to require that NMCGs as well as EMA observe the highest standard of ethics during the execution of the Contract. In pursuance of this policy, the NMCG defines, for the purpose of this provision, the terms set forth below as follows: (i) “corrupt practice” means the offering, receiving, or soliciting, directly or
indirectly, of anything of value to influence the action of a public official in the selection process or in contract execution;
(ii) “fraudulent practice” means a misrepresentation or omission of facts in order to influence a selection process or the execution of a contract;
(iii) “collusive practices” means a scheme or arrangement between two or more

consultants, with or without the knowledge of the NMCG, designed to establish prices at artificial, non-competitive levels;
(iv) “coercive practices” means harming or threatening to harm, directly or indirectly, persons or their property to influence their participation in a procurement process, or affect the execution of a contract;
1.9.2. Measures to be taken by the NMCG
(a) The NMCG may terminate the contract if it determines at any time that
representatives of the EMA were engaged in corrupt, fraudulent, collusive or coercive practices during the selection process or the execution of that contract, without the EMA having taken timely and appropriate action satisfactory to the Employer to remedy the situation;
(b) The NMCG may also sanction against the EMA, including declaring the EMA ineligible, either indefinitely or for a stated period, to be awarded a contract if it at any time determines that the EMA has, directly or through an agent, engaged in corrupt, fraudulent, collusive or coercive practices in competing for, or in executing, a NMCG- financed contract;
2. COMMENCEMENT, COMPLETION, MODIFICATION AND TERMINATION OF CONTRACT
2.1. Effectiveness of Contract This Contract shall come into force and effect on the date (the “Effective Date”) of the ‘NMCG’s notice to the EMA instructing the EMA to begin carrying out the Services. This notice shall confirm that conditions as stipulated in clause 3 of the SC.
2.2. Commencement of Services The EMA shall begin carrying out the Services not later than the number of days after the Effective Date specified in the SC.
2.3. Expiration of Contract Unless terminated earlier pursuant to Clause GC 2.7 hereof, this Contract shall expire at the end of such time period after the Effective Date as specified in the SC.
2.4. Entire Agreement This Contract contains all covenants, stipulations and provisions agreed by the Parties. No agent or representative of either Party has authority to make, and the Parties shall not be bound by or be liable for, any other statement, representation, promise or agreement not set forth herein.
2.5. Contract Price
The Contract Price for this Contract shall be the total cost of proposed submitted by

EMA in the Financial Proposal. The Contract Price is including applicable taxes and duties if any payable and is as set forth in the SC.
2.6. Modifications or Variations (a) Any modification or variation of the terms and conditions of this Contract, including any modification or variation of the scope of the Services, may only be made by written agreement between the Parties. (b) In cases of substantial modifications or variations, the prior written consent of the NMCG is required.
2.7. Force Majeure:
2.7.1. Definition (a) For the purposes of this Contract, “Force Majeure” means an event which is beyond the reasonable control of a Party, is not foreseeable, is unavoidable and not brought about by or at the instance of the Party claiming to be affected by such events and which has caused the non-performance or delay in performance, and which makes a Party’s performance of its obligations hereunder impossible or so impractical as reasonably to be considered impossible in the circumstances, and includes, but is not limited to, war, riots, civil disorder, earthquake, fire, explosion, storm, flood or other extreme adverse weather conditions, strikes, lockouts or other industrial action (except where such strikes, lockouts or other industrial action are within the power of the Party invoking Force Majeure to prevent), confiscation or any other action by Government agencies. (b) Force Majeure shall not include (i) any event which is caused by the negligence or intentional action of a Party or by or of such Party’s Sub-contractors or agents or employees, nor (ii) any event which a diligent Party could reasonably have been expected both to consider at the time of the conclusion of this Contract, and avoid or overcome in the carrying out of its obligations hereunder. (c) Subject to clause 2.6.2, Force Majeure shall not include insufficiency of funds or inability to make any payment required hereunder.
2.7.2. No Breach of Contract: The failure of a Party to fulfill any of its obligations hereunder shall not be a breach of, or default under, this Contractinsofar as such inability arises from an event of Force Majeure, provided that the Party affected by such an event has taken all reasonable precautions, due care and reasonable alternative measures, all with the objective of carrying out the terms and conditions of this Contract.
2.7.3. Measures to be Taken: (a) A Party affected by an event of Force Majeure shall continue to perform its obligations under the Contract as far as is reasonably practical, and shall take all reasonable measures to minimize the consequences of any event of Force Majeure. (b) A Party affected by an event of Force Majeure shall notify the other Party of such event as soon as possible, providing evidence of the nature and cause of such event, and shall similarly give written notice of the restoration of normal conditions as soon as possible. (c) Any period within which a Party shall, pursuant to this Contract, complete any action

or task, shall be extended for a period equal to the time during which such Party was unable to perform such action as a result of Force Majeure. (d) During the period of their inability to perform the Services as a result of an event of Force Majeure, the EMA, upon instructions by the “NMCG”, shall either:
i) demobilize,; or ii) continue with the Services to the extent possible, in which case the EMA shall continue to be paid proportionately and on prorata basis, under the terms of this Contract.
(e) In the case of disagreement between the Parties as to the existence or extent of Force Majeure, the matter shall be settled according to Clause GC 8.
2.8. Termination The “NMCG” may terminate this Contract in case of the occurrence of any of the events specified in paragraphs (a) through (g) of this Clause GC 2.7. a) If the EMA fails to remedy a failure in the performance of its obligations hereunder, b) If the EMA becomes insolvent or go into liquidation or receivership whether compulsory or voluntary. c) If the EMA fails to comply with any final decision reached because of arbitrationproceedings pursuant to Clause GC 8 hereof. d) If the EMA, in the judgment of the “NMCG”, has engaged in corrupt or fraudulent practices in competing for or in executing this Contract. e) If the EMA submits to the “NMCG” a false statement which has a material effect on the rights, obligations or interests of the “NMCG”. f) If the EMA fails to provide the quality services as envisaged under this Contract. g) If the “NMCG”, in its sole discretion and for any reason whatsoever, decides to terminate this Contract.
2.8.1. In such an occurrence the “NMCG” shall give a not less than five (5) days’ written notice of termination to the EMA.
2.8.2. Cessation of Rights and Obligations: Upon termination of this Contract pursuant to Clauses GC 2.7 hereof, or upon expiration of this Contract pursuant to Clause GC 2.3 hereof, all rights and obligations of the Parties hereunder shall cease, except (i) such rights and obligations as may have accrued on the date of termination or expiration, and (ii) any right which a Party may have under the Law.
2.8.3. Cessation of Services: Upon termination of this Contract by notice of either Party to the other pursuant to Clauses GC 2.7 hereof, the EMA shall, immediately upon dispatch or receipt of such notice, take all necessary steps to bring the Services to a close in a prompt and orderly manner and shall make every reasonable effort to keep expenditures for this purpose to a minimum.
2.8.4. Payment upon Termination: Upon termination of this Contract pursuant to Clauses GC 2.7 hereof, the “NMCG” shall make the following payments to the Consultant: (a) If the agreement is terminated, the EMA shall not be entitled to receive any agreed payments upon termination of the contract. However, the “NMCG” may consider to make payment for the part satisfactorily performed on the basis of Quantum Merintas

assessed by it, if such part is of economic utility to the NMCG. Applicable Under such circumstances, upon termination, the client may also impose liquidated damages as per the provisions of Clause 9 of this agreement. The EMA will be required to pay any such liquidated damages to NMCG within 30 days of termination date.
3. OBLIGATIONS OF THE EMA
3.1. General
3.1.1. Standard of Performance: The EMA shall perform the Services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional standards and practices, and shall observe sound management practices, and employ appropriate technology and safe and effectiveequipment, machinery, materials and methods. The EMA shall always act, in respect of any matter relating to this Contract or to the Services, as faithful adviser to the “NMCG”, and shall at all times support and safeguard the “NMCG’s legitimate interests in any dealings with Sub-Consultants or Third Parties.
3.2. Confidentiality: Except with the prior written consent of the “NMCG”, the EMA and the Personnel shall not at any time communicate to any person or entity any confidential information acquired during the Services, nor shall the EMA and its Personnel make public the recommendations formulated in the course of, or as a result of, the Services.
3.3. Insurance to be Taken out by the Consultant: The EMA (i) shall take out and maintain, and shall cause any Sub-contractors to take out and maintain insurance, at their (or the Sub-contractors, as the case may be) own cost, insurance against any risks.
3.4. Reporting Obligations: The EMA shall submit to the “NMCG” the reports and documents specified in Appendix B hereto, in the form, in the numbers and within the time periods set forth in the said Appendix. Final reports shall be delivered in CD ROM in addition to the hard copies specified in said Appendix-C.
3.5. Documents Prepared by the EMA to be the Property of the “NMCG”: All plans, drawings, specifications, designs, reports, other documents and software prepared by the EMA for the “NMCG” under this Contract shall become and remain the property of the “NMCG”, and the EMA shall, not later than upon termination or expiration of this Contract, deliver all such documents to the “NMCG”, together with a detailed inventory thereof. The EMA may retain a copy of such documents, but shall not use anywhere, without taking permission, in writing, from the NMCG and the NMCG reserves right to grant or deny any such request. If license agreements are necessary or appropriate between the EMA and third parties for purposes of development of any such computer programs, the EMA shall obtain the “NMCG‘s prior written approval to such agreements, and the “NMCG” shall be entitled at its discretion to require recovering the expenses related to the development of the program(s) concerned.
4. EMA’s PERSONNEL AND SUB-ONTRACTORS
4.1. General:The EMA shall employ and provide such qualified and experienced Personnel as

are required to carry out the Services. Details of key personnel shall be provided as Appendix-D to this contract. Except as the “NMCG” may otherwise agree, no changes shall be made in the key Personnel. If, for any reason beyond the reasonable control of the EMA, such as retirement, death, medical incapacity, among others, it becomes necessary to replace any of the Personnel, the EMA shall forthwith provide as a replacement a person of equivalent or better qualifications. (b) If the “NMCG” (i) finds that any of the Personnel has committed seriousmisconduct or has been charged with having committed a criminal action, or (ii) has reasonable cause to be dissatisfied with the performance of any of the Personnel, then the EMA shall, at the “NMCG’s written request specifying the grounds therefore, forthwith provide as a replacement a person with qualifications and experience acceptable to the “NMCG”. additional travel and other costs arising out of or incidental to any removal and/or replacement, and (ii) the remuneration to be paid for any of the Personnel provided as a replacement shall not exceed the remuneration which would have been payable to the Personnel replaced. The EMA shall not sub-contract any or part of the work without prior written permission of the NMCG.
5. OBLIGATIONS OF THE “NMCG”
5.1. Assistance and Exemptions: Unless otherwise specified in the SC, the “NMCG” shall use its best efforts to ensure that the Government shall: a) Provide the EMA, and Personnel with work permits and such other documents as shall be necessary to enable the EMA or Personnel to perform the Services. b) Issue to officials, agents and representatives of the Government all such instructions as may be necessary or appropriate for the prompt and effective implementation of the Services. c) Provide to the EMA and Personnel any such other assistance as may be specified in the SC.
5.2. Change in the Applicable Law Related to Taxes and Duties: If, after the date of this Contract, there is any change in the Applicable Laws of India with respect to taxes and duties, which are directly payable by the EMA for providing the services i.e. GST tax or any such applicable tax from time to time, which increases or decreases the cost incurred by the EMA in performing the Services, then the remuneration and reimbursable expenses otherwise payable to the EMA under this Contract shall be increased or decreased accordingly by agreement between the Parties hereto, and corresponding adjustments shall be made to the ceiling amounts specified in Clause GC 6.1(b).
5.3. Payment: In consideration of the Services performed by the EMA under this Contract, the “NMCG” shall make to the EMA such payments and in such manner as is provided by Clause GC 6 of this Contract.

6. PAYMENTS TO THE EMA
6.1. Total Cost of the Services a) The total cost of the Services payable is set forth in Appendix-B as per the
EMA’sproposal to the NMCG and as negotiated thereafter. b) Except as may be otherwise agreed under Clause GC 2.5 and subject to Clause
GC 6.1(c), payments under this Contract shall not exceed the amount specified in Appendix-B.
c) Notwithstanding Clause GC 6.1(b) hereof, if pursuant to Clause 5.2 hereof, the Parties shall agree that additional payments shall be made to the EMA to cover any necessary additional expenditures not envisaged in the cost estimates referred to in Clause GC 6.1(a) above, the ceiling or ceilings, as the case may be, set forth in Clause GC 6.1(b) above shall be increased by the amount or amounts, as the case may be, of any such additional payments.
6.2. Currency of Payment: All payments shall be made in Indian Rupees.
6.3. Terms of Payment The payments in respect of the Services shall be made as follows: a) Performance guarantee - 10% of total value of the Contract in the form of Bank Guarantee valid for two months beyond the expiry of the Contract prior to signing of contract. b) 10% of the total value of the contract shall be paid as advance against production of bank guarantee valid for a period of 3 months for the equal amount. c) Final Payment : The final payment as specified in SC shall be made only after the final report and a final statement, identified as such, shall have been submitted by the EMA and approved as satisfactory by the “NMCG”. The Services shall be deemed completed and finally accepted by the “NMCG” and the final report and final statement shall be deemed approved by the “NMCG” as satisfactory thirty (30) calendar days after receipt of the final report and final statement by the “NMCG” unless the “NMCG”, within such thirty (30) day period, gives written notice to the EMA specifying in detail deficiencies in the Services, the final report or final statement. The EMA shall thereupon promptly make any necessary corrections, and thereafter the foregoing process shall be repeated. d) For the purpose of payment under Clause 6.3 (c) above, acceptance means; acceptance of the deliverables by the NMCG after submission by the EMA with / without modifications to be communicated in writing by the NMCG to the EMA. e) If the deliverables submitted by the EMA are not acceptable to the NMCG, reasons for such non-acceptance should be recorded in writing; the NMCG shall not release the payment due to the consultant. This is without prejudicing the NMCG’s right to levy any liquidated damages under clause 9. In such case, the payment will be released to the EMA only after it re-submits thedeliverable and which is accepted by the NMCG.

f) All payments under this Contract shall be made to the accounts of the EMA specified in the SC. g) With the exception of the final payment under (c) above, payments do not constitute acceptance of the Services nor relieve the EMA of any obligations hereunder, unless the acceptance has been communicated by the NMCG to the EMA in writing. h) In case of early termination of the contract, the payment shall be made to the EMA as mentioned here with: A reasonable assessment of the reimbursable and miscellaneous expenses shall be made based on details furnished by the EMA in this regard with supporting documents and based on the assessment of the work done and the respective rates as provided. Wherever such an assessment is difficult, the rates should be arrived at by calculating the amount on pro-rata basis.
7. FAIRNESS AND GOOD FAITH
7.1. Good Faith: The Parties undertake to act in good faith with respect to each other’s rights under this Contract and to adopt all reasonable measures to ensure the realization of the objectives of this Contract.
7.2. Operation of the Contract: The Parties recognize that it is impractical in this Contract to provide for every contingency which may arise during the life of the Contract, and the Parties hereby agree that it is their intention that this Contract shall operate fairly as between them, and without detriment to the interest of either of them, and that, if during the term of this Contract either Party believes that this Contract is operating unfairly, the Parties will use their best efforts to agree on such action as may be necessary to remove the cause or causes of such unfairness, but no failure to agree on any action pursuant to this Clause shall give rise to a dispute subject to arbitration in accordance with Clause GC 8 hereof.
8. SETTLEMENT OF DISPUTES
8.1. Amicable Settlement: Performance of the contract is governed by the terms & conditions of the contract, in case of dispute arises between the parties regarding any matter under the contract, either Party of the contract may send a written Notice of Dispute to the other party. The Party receiving the Notice of Dispute will consider the Notice and respond to it in writing within 30 days after receipt. If that party fails to respond within 30 days, or the dispute cannot be amicably settled within 60 days following the response of that party, clause GC 8.2 shall become applicable.
8.2. Arbitration: In the case of dispute arising upon or in relation to or about the contract between the NMCG and the EMA, which has not been settled amicably, any party can refer the dispute for Arbitration under (Indian) Arbitration and Conciliation Act, 1996. Such disputes shall be referred to an Arbitral Tribunal consisting of 3 (three) arbitrators, one each to be appointed by the NMCG and the Consultant, the third arbitrator shall be chosen by the two arbitrators so appointed by the parties and shall act as Presiding Arbitrator. In case of failure of the two arbitrators, appointed by the parties to reach a

consensus regarding the appointment of the third arbitrator within a period of 30 days from the date of appointment of the two arbitrators, the Presiding arbitrator shall be appointed by the Secretary of the Ministry / Department. The Arbitration and Conciliation Act, 1996 and any statutory modification or re-enactment thereof, shall apply to these arbitration proceedings.
8.3. Arbitration proceedings shall be held in New Delhi, India and the language of the arbitration proceedings and that of all documents and communications between the parties shall be English.
8.4. The decision of a majority of arbitrators shall be final and binding upon both parties. The expenses of the arbitrators as determined by the arbitrators shall be shared equally by the NMCG and the Consultant. However, the expenses incurred by each party about the preparation, presentation shall be borne by the party itself. All arbitration awards shall be in writing and shall state the reasons for the award.
9. LIQUIDATED DAMAGES
9.1. The amount of liquidated damages under this Contract shall not exceed [5] % of the total value of the contract.
9.2. The liquidated damages shall be applicable under following circumstances: In the event of EMA’s default in maintaining the agreed time frame / scheduled set of activities as detailed in this Contact, the EMA shall be liable to pay 1% of the total cost of the services for delay of each day or part thereof.
10. Miscellaneous provisions: i. Nothing contained in this Contract shall be construed as establishing or creating
between the Parities, a relationship of master and servant or principal and agent.
ii. Any failure or delay on the part of any Party to exercise right or power under this Contract shall not operate as waiver thereof.
iii. The Contractor/EMA shall notify the NMCG/Employer/ the Government of India of any material change in their status, in particular, where such change would impact on performance of obligations under this Contract.
iv. Each member/constituent of the Contractor/Consultant, in case of a consortium, shall be jointly and severally liable to and responsible for all obligations towards the Employer/Government for performance of works/services including that of its Associates/Sub Contractors under the Contract.
v. The Contractor/EMA shall always indemnify and keep indemnified the NMCG/Employer/Government of India against all claims/damages etc. for any infringement of any Intellectual Property Rights (IPR) while providing its services under the Project.
vi. The Contractor/EMA shall always indemnify and keep indemnified the NMCG/Employer/Government of India against any claims in respect of any damages or compensation payable in consequences of any accident or injury sustained or suffered by its (the Contractor’s/Consultant’s) employees or agents or by any other

third Party resulting from or by any action, omission or operation conducted by or on behalf of the Contractor/Consultant.
vii. The Contractor/ EMA shall always indemnify and keep indemnified the NMCG/Employer/Government of India against any and all claims by Employees, Workman, Contractors, sub-contractors, suppliers, agent(s), employed engaged or otherwise working for the Contractor, in respect of wages, salaries, remuneration, compensation or the like.
viii. All claims regarding indemnity shall survive the termination or expiry of the Contract.
ix. It is acknowledged and agreed by all Parties that there is no representation of any type, implied or otherwise, of any absorption, regularization, continued engagement or concession or preference for employment of persons engaged by the (Contractor/Consultant) for any engagement, service or employment in any capacity in any office or establishment of the Government of India or the NMCG.
11. Jurisdiction of Courts
Jurisdiction of courts for dispute resolution shall be New Delhi only.
