Terms and ConditionsUnlessyou arealreadyboundinrespectoftheloan account,thefirstuse ofacard oranadditional card ortheloan account,willbetakenasyour acceptanceofthisagreement.However,theprovisionsregardingcard details andcard securitycontainedin4.4and18.7arebindingonyou fromreceiptofthecard details orcard,whicheverisreceivedfirst.

TherightsandobligationsoutlinedintheseTermsandConditionsinrelationtoEFT transactions complywiththeElectronicFundsTransferCodeofConductasrevisedbytheAustralianSecuritiesandInvestmentsCommissionandwiththeCodeofBankingPractice.

1 Definitions and interpretations

‘access period’meanstheperiodfromthedisclosure date untiltheendofthesecondcalendermonthafterthemonthinwhichthedisclosure date occurs(forexample,ifthedisclosure date isduringJanuary,theaccess period finisheson31March).

‘additional card’meansacard issuedunder5.1.

‘additional cardholder’meansapersontowhomanadditional card isissuedunder5.1.

‘agreement’meanstheseTermsandConditions,theloan account details andwhereyou oranadditional cardholder areabletooperatetheloan account throughanextra facility under6.4,thetermsandconditionsoftheextra facility,eachasamendedfromtimetotime.

‘annual percentage rate’meanstheannualpercentagerateapplicabletopurchases orcash advances (asthecaserequires)asdescribedintheloan account details,andaschangedfromtimetotimeunder25.

‘authorisation’means,inrelationtoatransaction,approvalgivenbyNAB totherelevantmerchanttoproceedwiththetransaction whichreducesyour available credit.

‘available credit’meansthemaximumamountoffundsacardholder maydrawdownfromtheloan account atanypointintimeduringtheaccess period,withoutexceedingthecredit limit,whichwillbeequalto:

(a) thecredit limit,less

(b) thesumof:

(i) theloan amount;

(ii) anyauthorisations whichhavebeenreceivedbyNAB inrelationtotransactions whichhavenotyetbeenprocessedtoyour loan account;and

(iii)anyrepaymentcreditedtoyour loan account duringtheaccess period whereNAB hasexerciseditsrightnottoincreasetheavailable credit inaccordancewith16.1.

‘business day’meansadayotherthanaSaturdayorSundayoradaygazettedasapublicholidaythroughoutAustralia.

‘card’meansacardissuedbyNAB foruse inconnectionwiththeloan account.

‘card details’means:

(a) thecard number;and

(b) thecard expirydate,assetoutonthecard.

‘cardholder’meansyou oranypersonwhohasbeenissuedacard,orotherwiseauthorisedbyyou touse acard orcard details.

‘cash advance’meanseachamount:

(a) ofcashsuppliedbyuse ofacard,orbyuse ofanotherplasticcard,onyour loan account includingeachsuchamountconvertedinaccordancewith13.4;

(b) transferredfromyour loan account byuse ofacard,orbyuse ofanotherplasticcard,orotherwisearisingfromuse ofanextra facility onyour loan account wherethetransferistoanaccountwithNAB oranotherfinancial institution and,inthelattercase,includesbothatransferwhichissuccessfullycompletedandatransferwhichisunsuccessfulforanyreason;

(c) chargedbyasupplierofcash,cashsubstitutesorbillpaymentserviceswheresuchitemsareauthorisedbyuse ofacard orotherwisearisingfromuse ofanextra facility onyour loan account,includingeachsuchamountconvertedinaccordancewith13.4,exceptforBPAY®transactionswhicharepurchases.

Someexamplesofthesecashsubstitutesandbillpaymentservicesare:

• travellers’cheques;

• valueloadedinaprepaidorstored-valuecard;

• paymentofutilitybillsoverthecounteratbanks,otherfinancial institutions andpostoffices;or

(d) treatedbyNAB asacashadvanceunder16.2.

‘cash component’means,inrelationtoaclosing balance,thatpartoftheclosing balance whichrelatesto:

(a) acash advance;

(b) feesandchargesapplicabletoacash advance;

(c) interestchargesapplicabletoacash advance,includinganyinterestchargesshownonastatementofaccountapplicabletoacash advance;and

(d) anyothercomponentoftheclosing balance NAB designatesaspartofthecash component asnotifiedtoyou fromtimetotime.

‘closing balance’meanstheloan amount attheendofastatement period,asshownonyour statementofaccountforthatstatement period.

‘closing date’means,forastatementofaccountorastatement period,thedateshownontherelevantstatementofaccountasthelastdayofthestatement period forthatstatementofaccount.

‘credit limit’meanstheapprovedlimitoftheloan account asadvisedtoyou intheloan account details,oraschangedfromtimetotimeinaccordancewiththeseTermsandConditions.

‘daily percentage rate’meanstheratedeterminedbydividingtheannual percentage rate by365.

‘direct debit arrangement’hasthemeaningsetoutin11.1.

‘disclosure date’meansthedateadvisedasthe‘disclosuredate’inyour loan account details.

‘due date’means,foramonthly payment,thedatebywhichthepaymentisrequiredtobemadeasdescribedintheloan account details.Thiswillbeadvisedtoyou onstatementsofaccount.

‘EFT Code’meanstheElectronicFundsTransferCodeofConductasrevisedbytheAustralianSecuritiesandInvestmentsCommission.

‘EFT transaction’meansafundstransferthatresultsinadebitorcredittotheloan account whichisinitiatedthroughelectronic equipment usingacard orcard details (oracombinationofoneormoreofthem).Theseinclude,butarenotlimitedto:

(a) transactions initiatedbyacardholder usingthecard details throughotherelectronic equipment (suchaspersonalcomputerortelephone)includingforexamplemerchantInternetsitesandbytelephoneore-mailwithamerchant;and

(b) transactions initiatedbyacardholder whereacard isusedthrougha‘swipe-only’devicethatdoesnotrequireamanualsignature.Thesedonotinclude:

• anyfundstransferwhichisauthorisedbyacardholder physicallysigningadocument(e.g.signingacard receipt);

• anyfundstransferthroughaNAB channelwithseparatetermsandconditionssuchas:

(i) NABTelephoneBanking;or

(ii)NABInternetBanking.

‘electronic banking facility’meanseachbankingfacilityavailablethroughtheInternetorbytelephonefromNAB andanyotherelectronicbankingfacilityadvisedtoyou byNAB fromtimetotime.

‘electronic equipment’meansanyelectronicequipmentwhichmaybeusedinconjunctionwithacard orcard details includingpersonalcomputersandtelephonestocarryoutanEFT transaction.

‘extra facility’meansanybankingfacilityofferedbyNAB fromtimetotimewhichpermitsyou oranadditional cardholder touse thecard orchargeamountstotheloan account.ThisincludesNAB’s electronic banking facilities.

‘fee overlimit’occurswherefees,interestorgovernmentchargesaredebitedtotheloan account duringastatement period causingthebalanceoftheloan account toexceedthecredit limit,butwheretheloan account hasnotalsobecometransaction overlimit.

‘financial institution’means:

(a) a‘bank’withinthemeaningoftheBankingAct1959;

(b) acorporation:

(i) thatisregisteredorincorporatedasabuildingsocietyorcreditunionunderalawrelatingtosuchorganisationsthatisinforceinaStateorTerritoryofAustralia;or

(ii) asubstantialpartofwhosebusinessorundertakingistheprovisionofcredit;or

(c) apersonwhoisnotacorporationandinrelationtowhomparagraph(b)(ii)wouldapplyifthepersonwereacorporation.

‘loan account’meansyour PersonalLoanaccount,asdescribedintheloan account details.

‘loan account details’meanstheletterentitled‘loanaccountdetails’inwhichNAB offeredyou theloan account.

‘loan amount’meansthebalanceoftheloan account,whichisthedifferencebetweenthedebitsandcreditsonyour loan account.

‘low value transaction threshold’meanstheamountadvisedtoyou assuchintheloan account details.

‘minimum payment’meanstheamountcalculatedinaccordancewith14.2.

‘monthly payment’meanstheamountdescribedin14.5.

‘NAB’meansNationalAustraliaBankLimitedABN12004044937anditssuccessorsandassigns.

‘overlimit amount’meanstheamountbywhichtheclosing balance ofthelaststatementofaccountexceedsthecredit limit.

‘opening date’meansforastatementofaccountorastatement period,thedateshownontherelevantstatementofaccountasthefirstdayofthestatement period forthatstatementofaccount.

‘past payment’meanstheamountdescribedin14.3.

‘personal information’meansinformationoranopinion(includinginformationoranopinionformingpartofadatabase),whethertrueornot,andwhetherrecordedinamaterialformornot,aboutanindividualwhoseidentityisapparent,orcanreasonablybeascertained,fromtheinformationoropinion.

‘post-access period’meanstheperiodwhichcommencesontheopening date ofthefirststatement period afterthelaststatement period coveringtheaccess period,andcontinuesuntilallmoniesowingunderthisagreement arepaidandtheloan account isclosed.

‘purchase’meanseachamountchargedbythesupplierforthesupplyofanygoodsorservicespurchasedbytheuse ofacard (includingaBPAYtransaction),includingeachsuchamountconvertedinaccordancewith13.4,exceptforamountswhicharecash advances.

‘statement period’meanstheperiodspecifiedonastatementofaccountasthestatementperiod,andistheperiodtowhichthestatementofaccountrelates.Thelaststatementofaccountcoveringtheaccess period mayincludeseveraldaysaftertheendoftheaccess period.

‘transaction’meansadebitorcredittotheloan account authorisedbyacardholder.Thismayinclude,butisnotlimitedto:acash advance,apurchase,apayment,orareversalofapayment.

‘transaction overlimit’occursatanytimewhereatransaction isdebitedtoyour loan account andeither:

(a) thetransaction causestheloan amount toexceedthecredit limit;or

(b) your loan account isfee overlimit ortransactionoverlimitatthetimethetransaction isdebitedtoyour loan account.

‘use’inrelationtoacard meansanyphysicaluseofthecard,andanynotificationoruseofthecard numberoranyotheridentifyingnumberorpasswordissuedbyNAB inrelationtothecard ortheloan account ortoenablethecard ortheloan account tobeusedthroughanextra facility,andthemakingofanypaymenttotheloan account.Someexamplesofuseofacard are:

• physicaluseofthecard inaterminaldevice;

• physicaluseofthecard inanimprinterinamanuallyprocessedtransaction;

• providingthecard numbertoamerchantbytelephoneorinternet;

• nominatingthecard numberinamailorderorotherauthoritytoamerchant;

• enteringthecard numberoranidentifyingnumberissuedinrelationtotheloan account underNAB’s TelephoneBankingfacilityintoadeviceconnectedtothatfacility;

• anytransaction conductedontheloan account throughNAB’s InternetBankingfacility.

‘you/your’meansthepersonaddressedasthecardholder intheloan account details.Youincludesyoursuccessorsandassigns.Thesingularincludesthepluralandviceversa.

2 Loan purpose

2.1 Use ofacard toaccessthecredit limit mustbeinaccordancewiththeloanpurposeassetoutbyyou ontheapplicationform.

2.2 NAB maymonitortheuse ofacard toensurethatitisconsistentwiththeloanpurpose.

2.3 Wheretheuse ofacard isnotconsistentwiththeloanpurpose,orwhereyou carryoutmultipletransactions whichareunderthelow value transaction threshold,NAB reservestherighttorestrictacardholder’s accesstotheavailable credit.NAB willcontactyou assoonaspracticableinthisevent.

3 Access period: access to the credit limit and available credit

3.1 Theaccess period istheperiodoftime,duringwhichNAB willallowyou toaccessthecredit limit throughuse ofacard.Theaccess period istheperiodfromthedisclosure date untiltheendofthesecondcalendarmonthafterthemonthinwhichthedisclosure date occurs.

3.2 Theloan account details willadviseyou ofthecredit limit whichhasbeenapprovedfortheloan account.

3.3 Noseparatecredit limit appliesforeachcardholder orcard.

3.4 Acardholder shouldensuretransactions donotexceedtheavailable credit.Ifthisoccurs,theloan account maybetransaction overlimit and,subjectto14.3,anyoverlimit amount willbedueandpayableaspartofyour nextmonthly payment.

3.5 Thecredit limit isonlyavailabletobeaccessedduringtheaccess period.Oncetheaccess period hasexpired,nofurtheraccesstothecredit limit ispermitted,unlessagreedtobyNAB andyou.

4 Cards

4.1 Anycards issuedbyNAB toyou oranyadditional cardholder areforuse ontheloan account duringtheaccess period.Eachcard remainsthepropertyofNAB,andattheendoftheaccess period allcards mustbedestroyed.

4.2 Theloan account isasingleaccountforallcards issuedunderthisagreement.

4.3 Eachcard isissuedwithvaliditydatesdenotingmonthandyear(e.g.06/07isJune2007).Thecommencingdateisthefirstdayofthemonth,theexpirydateisthelastdayofthemonth.

4.4 Eachcardholder should:

• keeptheircard inasafeplace,andprovidereasonableprotectionforthecard fromtheft;

• use thecard intermsoftheseTermsandConditions;

• returnthecard toNAB ordestroythecard bycuttingitdiagonallyinhalfthroughitsmagneticstripupon:

(i) noticefromNAB cancellingthecard;or

(ii) expiryofthecard.

4.5 Subjectto4.1,acard maybeuseduptoitsexpirydateforsometransactions withoutreferencetoNAB.

4.6 Eachcardholder mustsigntheircard immediatelywhenitisreceived.

4.7 You areresponsibleforeachtransaction madeontheloan account.Thisissowhetherthetransaction ismadeatyour requestorattherequestofanothercardholder orbytheuse ofanycard.Therearelimitsonyour liabilityforunauthoriseduse setoutin17and18.

Forthisreason,you shouldensureeachcardholder receivesacopyoftheseTermsandConditionsandthetermsandconditionsofanyextra facility (ifapplicable).Eachcardholder shouldreadandunderstandthesedocuments.

5 Additional cards

5.1 NAB mayissueacard (calledanadditional card)toanypersonwhois16yearsofageorolderandwhomyou nominatetobeanadditional cardholder ontheloan account.

5.2 Ifanadditional card isissuedyou areresponsibleforitsuse.NAB doesnotimposeanyjointorseveralliabilityontheadditional cardholder.

5.3 Anadditional cardholder isabletooperatetheloan account ineverywaythatyou areableto.

Forexample,theadditional cardholder may:

• maketransactions;

• accessanyfinancialinformationabouttheloan account (includingthebalanceoftheloan account,theavailable credit,payments(ifany)dueontheloan account,copiesofstatementsofaccount,andinformationrelatingtotransactions madebyyou,theadditional cardholder orotheradditional cardholders);and

• makepaymentsontheloan account.

5.4 You canrevoketheauthorityofanadditional cardholder tooperatetheloan account ifyou:

(a) giveNAB anoticerequestingtheauthorityberevokedorotherwiserequestNAB inamanneracceptabletoNAB thatyou wishthistobedone;and

(b) takeallreasonablestepstoreturnanycurrentadditional card toNAB orotherwisedestroytheadditional card bycuttingitdiagonallyinhalf.

Ifyou requestNAB torevoketheauthorityofanadditional cardholder,you mustimmediatelynotifytheadditional cardholder ofyour request.

5.5 Ifyou makearequesttorevoketheauthorityofanadditional cardholder tooperatetheloan account inaccordancewith5.4,you areresponsiblefor:

(a) transactions generatedbyuse ofanadditional card untilyou havemadetherequest;and

(b) transactions generatedbyuse ofanadditional card whichareprocessedtotheloan account afterNAB receivesyour request.

6 Use of cards

6.1 Low value transaction threshold

(a) Alow value transaction threshold willapplytotheloan account.Thisthresholdwillbeadvisedtoyou intheloan account details.

(b) ALowValueTransactionFeewillbeappliedtoanytransaction debitedtotheloan account foranamountlessthanthelow value transaction

threshold.Theamountofthisfeewillbeadvisedtoyou intheloan account details.

6.2 Acard mustnotbeusedforanyunlawfulpurpose,includingthepurchaseofgoodsorservices,prohibitedbylocallawinthecardholder’s jurisdiction.

6.3 NAB maytemporarilyblocktheuse oftheloan account whereithasreasontosuspectunauthorisedorunlawfulactivityontheloan account.NAB willendeavourtocontactyou inthisevent.

6.4 Electronictransactions–Use ofcard throughanextra facility

You,oranadditional cardholder maybeabletouse acard oroperatetheloan account throughanextra facility.Inthisinstance:

• you willbeprovidedwithacopyofthetermsandconditionsoftheextra facility;

• use ofthecard orloan account throughtheextra facility willbesubjecttothetermsandconditionsoftheextra facility;and

• wherethosetermsandconditionsconflictwiththeseTermsandConditions,thosetermsandconditionswillprevail.

6.5 Cardholders shouldensurethatthetransaction amountiscorrectbeforetheysignreceiptsortransaction recordsgiventothembymerchantsorafinancial institution whentheyuse theircard,andbeforetheyenteranidentifyingnumberorpasswordatanelectronic banking facility.Bysigningareceiptortransaction recordorenteringanidentifyingnumberorpasswordatanelectronic banking facility,thecardholder indicatestheiragreementthatthetransaction amountiscorrect.

6.6 Itisdesirableforcardholders toretainorrecordreceiptstoverifythestatementsofaccount.

6.7 Use ofacard isanunchangeableorderbythecardholder toNAB toprocessthetransaction.Acardholder maynotrequestNAB toalterorstoppaymentonthetransaction.

6.8 However,your liabilityforthetransaction couldbelimitedinaccordancewithclause17.2.

7 Acceptance of card

7.1 NAB isnotresponsibleforgoodsorservicessuppliedtoacardholder ortherefusalofanymerchantto

acceptacard and/orcard details.Thisissubjectto:

(a) anyrightsyou mayhaveagainstNAB inrelationtogoodsorservicespurchasedbyuse ofacard ifNAB isalinkedcreditproviderofthemerchantundertheASICAct2001,TradePracticesAct1974(Cth)oranyconsumercreditlegislation;and

(b) anyotherapplicablelaw.

7.2 Acard maybehonouredbyfinancial institutions andmerchantsdisplayingaVisasignorVisacardpromotionalmaterial.Thisdoesnotmeanthatallgoodsandservicesavailableatthosepremisesmaybepurchasedbyuse ofacard.NAB isnotliablefortherefusalofanymerchantorfinancial institution toacceptorhonouracard oraccount.

7.3 Acardholder maywithdrawcashnotexceedingtheavailable credit atanyfinancial institution whichisamemberoftheVisacreditcardschemeandwhichprovidesoverthecounterwithdrawalservices.Inthisinstance,thecardholder mayberequiredtoproducesuitableidentificationthatidentifiesthecardholder.

7.4 APersonalIdentificationNumber(PIN)willnotbeissuedforuse inconnectionwithacard.Acard willnotbeabletobeusedinautomatictellermachines.

8 Amounts debited to the loan account and effective dating

8.1 Theloan account willbedebitedwith,andyou agreetopaytoNAB:

(a) eachtransaction;

(b) interestcharges,whichwillbedebitedmonthlyinarrearsinaccordancewith10,11and12;

(c) feesandgovernmentchargespayableunderthisagreement.

8.2 You agreethat:

(a) theamountshownonasalesordebitreceiptoranyotherevidenceofatransaction issufficientevidenceofthetransaction;and

(b) theaboveappliesregardlessofwhetherthereceiptorotherevidenceissignedbyacardholder.

8.3 NAB mayassignanydateitconsidersappropriatetoadebitorcredittotheloan account (but,inthecaseofadebit,thatdatemustnotbeearlierthanthedateonwhichtherelevanttransaction occurred)ormayadjustsuchadebitorcreditforthepurposesofcorrection,subjecttoconsumercreditlegislation.

9 Loan amount and credit limit

9.1 Transactions maybedebitedtotheloan account aftertheendoftheaccess period.Insomecircumstances,thismaycausetheloan amount toexceedthecredit limit advisedtoyou intheloan account details.

For example: Late processing of transactions

Acredit limit isapprovedof$20,000.Attheconclusionoftheaccess period,theclosing balance is$18,500.Inthefirstmonthofthepost-access period,beforeanyrepaymentismade,atransaction for$1,750isdebitedtotheloan account.Thistransaction wasconductedthroughuse ofacard duringtheaccess period,butnotdebitedtotheloan account untilthepost-access period.Inthisexample,thetotalloan amount atthetimetherelevanttransaction isdebitedtotheloan account wouldbe$20,250,plusallfees,interestandgovernmentchargesdebitedtotheloan account.

Note:Ifthisoccurs,theloan account willbecome transaction overlimit andyou willberequiredto repaytheamountinaccordancewith14.5.

9.2 Iftheloan amount atthebeginningofthepost-access period islessthanthecredit limit,you mayaskNAB toreducethecredit limit accordingly.NAB may,butisnotobligedtoreducethecredit limit inresponsetoyour request.Ifthecredit limit isreduced,themonthly payment willalsochange.Ifthishappens,NAB willconfirmthischangeonyour nextmonthlystatementofaccount.

10 Calculation of interest charges

10.1 Access period

Whereatransaction isprocessedtotheloan account duringtheaccess period,nointerestwillapplytothattransaction duringtheaccess period.

10.2 Post-access Period

Themethodofinterestcalculationwillbeinaccordancewith12.

11 Direct debit arrangement

11.1 You mayrequesttosetupanarrangementforyour loan account toberepaidonamonthlybasisbyadirectdebitfromanaccountyou nominate.ThisarrangementmustbesetupusingamethodprescribedbyNAB,forinstancethecompletionof

NAB’s DirectDebitRequestForm.Forthepurposesofthisclauseadirect debit arrangement doesnotincludesettingupregularfundstransfersfromanotherNAB ornon-NAB account.

11.2 Whenweagreetoyour requesttoparticipateinadirect debit arrangement,foreachstatement period duringthepost-access period,interestwillbechargedattheratedescribedintheloan account details providedtherehasbeenasuccessfuldirectdebitpaymentreceivedbyNAB bythedue date applicabletothepreviousstatement period.

Forthepurposesofthisclause,nosuccessfuldirectdebitpaymentwillhavebeenreceivedbyNAB inastatement period ifforanyreasonNAB isunabletoprocessthedirectdebitpaymentontheapplicabledirectdebitday(forexample,wherethereareinsufficientfundsintheaccountnominatedfordebit).

12 Method of interest calculation

12.1 (a) Interestchargeswillbecalculatedonpurchases byapplyingthedaily percentage rate forpurchases totheaggregatedbalance.

(b) inthecaseofacash advance,thedailyunpaidbalanceofthecash advance foreachdayfromandincludingthedateassignedtothecash advance untilandexcludingthedatethecash advance isrepaidinfull.

(c) inthecaseofinterestshownonastatementofaccountforpurchases andwhichareoutstandingforeachdayfromandincludingthedateassignedtotheinterestchargeuntilandexcludingthedatetheinterestchargeisrepaidinfull;

(d) inthecaseofinterestshownonastatementofaccountforcash advances andwhichareoutstandingforeachdayfromandincludingthedateassignedtotheinterestchargeuntilandexcludingthedatetheinterestchargeisrepaidinfull.

12.3 Interestchargeswillbedebitedmonthlyontheclosing date foreachstatement period andwillbecalculatedfromandincludingtheopening date uptoandincludingthatclosing date.

13 Statements and currency conversion

13.1 NAB willgiveyou amonthlystatementofaccount.

13.2 NAB recommendsthatyou checkeachstatementcarefullyassoonasyou receiveit.Pleasereferto18fordetailsonhowtoreportanydisputedtransaction toNAB.

13.3 Amountsonyour statementofaccountwillbeexpressedinAustraliandollars.

13.4 Forthepurposesofthisclause,anyreferenceto‘singlecurrencytransactions’and‘multicurrencytransactions’means:

‘multi currency transaction’meansatransactionmadeinacurrencyotherthanAustraliandollarswithaninternationallyorAustralian-designatedmerchant,aninternationalATMoroverseasbank.

‘single currency transaction’meansapurchasetransactionmadeinAustraliandollarswithaninternationally-designatedmerchant.

Ifacard oraccount isusedtomakeinternationaltransactionsthewayamountsareprocessedforlistingonyour statementofaccountdependsontherelevantcreditcardschemeandthetypeoftransaction.

(i) Multi Currency Transactions

Purchases, cash advances,refundsandanyothercharges,incurredincurrenciesotherthanAustraliandollars(AUD)areconvertedtoAUD(directlyfromUnitedStates,Canadian,NewZealandandSingaporedollars,poundssterling,eurosandJapaneseyenor,ifinacurrencyotherthanthesecurrencies,firsttoUnitedStatesdollars)asatthedatestheyareprocessedbyVisaInternational(Visa)usingexchangeratesdeterminedbythem.

TheexchangeratesusedbyVisatoconvertaforeigncurrencytransactiontoAUDarewholesalemarketratesselectedbyVisafromwithinarangeofwholesaleratesorthegovernment-mandatedrate,ineffectonedaypriortotheVisaCentralProcessingDate.TheconvertedAUDamountappearsonyour statementofaccountasthetransactionamount.

ANAB InternationalTransactionFee,specifiedinyour

loan account details ischargedtoyou inaccordancewith7.1(d)forpurchases andcash advances.ThisfeeisthesumofafeechargedbyVisatoNAB (andon-chargedbyNAB toyou)andaNABProcessingFee,bothcalculatedontheconvertedAUDamountduringthecurrencyconversionprocess.

(Note:RefundsincurredincurrenciesotherthanAUDareconvertedtoAUDasatthedatetheyareprocessedbyVisausingexchangeratesdeterminedbythem.Thisoftenresultsintherefundbeingconvertedusinganexchangeratedifferentfromtheoneusedtoconverttheoriginalpurchase.)

(ii) Single Currency Transactions

Byyour agreementwiththemerchant,purchases areconvertedtoAUDbythemerchantatthepointofsaleusingexchangeratesprovidedbyathirdparty.ThesetransactionsaresubjecttoaNAB InternationalTransactionFeeasspecifiedinyour loan account details andchargedtoyou inaccordancewith8.1(c).

TheNAB InternationalTransactionFeeisthesumofaVisaschemefeechargedbyVisatoNAB (andon-chargedbyNAB toyou)andaNABProcessingFee,bothcalculatedontheAUDamountduringtheprocessingofthetransaction.

(Note:Themerchantconvertsarefundusinganexchangerateapplicableasatthedateofprocessingtherefund.Thismeansthattherefundmaybeconvertedusinganexchangeratedifferentfromtheoneusedtoconverttheoriginalpurchase.)

14 Payments required from you

14.1 Wheretheclosing balance onyour statementofaccountshowsanamountowing,you mustpaytheminimum payment.

14.2 Theminimum payment equalsthesumofthepast payment andthemonthly payment.

14.3 Thepast payment isanyamountshownonyour statementofaccountaspastduewhichhasnotyetbeenpaid.Anypast payment isdueandpayableimmediately.

14.4 Themonthly payment isdueandpayableonthedue date andiscalculatedassetoutin14.5.

14.5 Themonthly payment dueduringastatement period iscalculatedasfollows:

(a) subjectto(b)and(c),themonthly payment willbe2.25%ofthecredit limit;or 15

(b) whentheclosing balance lessanypast payment asattheclosing date ofthepreviousstatement period islessthanthemonthly payment asdescribedin14.5,themonthly payment willbetheclosing balance lessthepast payment (ifany);or

(c) iftheloan account wastransaction overlimit attheclosing date ofthepreviousstatement period,themonthly payment willbethegreaterof:

(i) theoverlimit amount lessanypast payment;or

(ii) 2.25%ofthecredit limit.

14.6 Inadditiontotheminimum payment,you mustalsopayanyotheramountthendueandpayableunderthisagreement.

For example: This example is provided for information purposes only. The actual number and amount of payments for the loan account can only be calculated at the end of the access period. The example is calculated using anaggregatedbalancethatdoesnotincludeinterestchargesshownonastatementofaccountwhichareoutstanding.

Acredit limit isapprovedof$20,000onaNABPersonalProjectLoan.Attheconclusionoftheaccess period,$20,000ofpurchases havebeenmadethroughuse ofthecard,and$125offees,interestandgovernmentchargeshasbeendebitedtotheloan account.Twomonthly payments of$450havebeenmadeduringtheaccess period asrequired.Thetotalloan amount attheconclusionoftheaccess period wouldbe$19,225.Themonthly payment willbecalculatedas2.25%of$20,000(thecredit limit).Torepaytheloan amount,andallfees,interestandgovernmentchargesprojectedtobedebitedtotheloan account duringthepost-access period,thefollowingwouldberequired:

• 60monthly payments of$450.00;and

• afinalpaymentof$49.01.

This information is based on the projected operation of this agreement and the assumptions applicable under the Consumer Credit Code for disclosing required repayments. The actual repayments may vary. For the purposes of this example, we have assumed an annual percentage rate for purchases of 15%. Note that use of the loan account for cash advances could result in a higher annual percentage rate being applied.

14.7 Business days

Ifadayonwhichapaymentmustbemadeisnotabusiness day thenthepaymentmustbemadenolaterthanthenextbusiness day.

14.8 Time for payment

Forthepurposesofpaymentsunderthisagreement adayendsat4.00pm.

14.9 Place of payment

Allpaymentsmustbemade:

(a) bydirect debit arrangement;or

(b) byanyfacilityforpaymentwhichNAB makesavailablefromtimetotime.ExamplesincludeNABTelephoneBankingandNABInternetBanking;or

(c) bypostingittotheaddressshownonyour statementofaccount;or

(d) toanybranchofNAB withinAustralia.

Wheneveryou areoverseasyou mustarrangeforpaymentstobemadetotheloan account inAustralia.

14.10 Currency of payment

AllpaymentsmustbemadeinAustraliandollars.

15 Early Repayment

You mayprepaythewholeoranypartofloan amount andanyothermoneyowingunderthisagreement atanytime.Ifyou prepayonlypartoftheloan amount early,theamountofyour monthly payments underthisagreementandthedue dates forpaymentofthemonthly payments remainunchangedunlessweagreetochangethemonthly payments.

16 Application of payments and refunds

16.1 NAB willcreditpaymentsassoonaspracticableafterreceiptofthepayment.However,ifapaymentismadeduringtheaccess period,NAB reservestherightnottoincreasetheavailable credit bytheamountofthepaymentuntilNAB receivesvalueforthepayment(forexample,whenachequeiscleared).Paymentsmadeduringthepost-access period willnotincreasetheavailable credit.

16.2 Whereapaymenthasbeencredited,butNAB doesnotreceivevalueforit(forexample,ifachequeisdishonoured),NAB willdebitthepaymenttotheloan account.NAB mayreversetheapplicationofthe

originalpaymentortreatanypartofthepaymentasacash advance.

16.3 Anydepositbalanceintheloan account willbeappliedtowardspaymentofanyamountdebitedtotheloan account assoonastheamountisdebited.

16.4 Apaymentwillbeappliedinthefollowingorder:

(i) first,towardspaymentofanyinterest,feesandgovernmentchargesshownonastatementofaccount;

(ii) second,towardspaymentofcash advances shownonastatementofaccount;ifmorethanonecash advance isshownonastatementofaccount,paymentwillfirstbeappliedtothecash advance onwhichnointerestisbeingchargedandthentothecash advance towhichthelowestannual percentage rate applies;or

(iii) third,towardspaymentofpurchases shownonastatementofaccount;ifmorethanonepurchase isshownonastatementofaccount,paymentwillfirstbeappliedtothepurchase onwhichnointerestisbeingchargedandthentothepurchase towhichthelowestannual percentage rate applies;or

(iv) fourth,towardspaymentofacash advances thathavenotappearedonastatementofaccount;ifmorethanonecash advance isnotshownonastatementofaccount,paymentwillfirstbeappliedtothecash advance onwhichnointerestisbeingchargedandthentothecash advance towhichthelowestannual percentage rate applies;

(v) fifth,towardspaymentofpurchases thathavenotappearedonastatementofaccount;ifmorethanonepurchase isnotshownonastatementofaccount,paymentwillfirstbeappliedtothepurchase onwhichnointerestisbeingchargedandthentothepurchase towhichthelowestannual percentage rate applies;

(vi) sixth,towardspaymentofanyotheramountowingontheloan account.

16.5 Arefundduetoyou,forapurchase,willbeappliedinthefollowingorder:

(i) first,towardspaymentofpurchases thathavenotappearedonastatementofaccount;

(ii) second,towardspaymentofpurchases appearingonyour laststatementofaccount;

(iii) third,towardspaymentofinterestchargesshownonastatementofaccountthatareapplicabletoapurchase andfeesandchargesshownonastatementofaccountexceptfornon-governmentfeesandchargesapplicabletoacash advance;

(iv) fourth,towardspaymentofinterestchargesapplicabletoapurchase thathavenotappearedonastatementofaccountandfeesandchargesthathavenotappearedonastatementofaccountexceptfornongovernmentfeesandchargesapplicabletoacash advance;and

(v) fifth,towardspaymentofanyotheramountowingonyour loan account.

16.6 Arefundduetoyou inconnectionwithapurchase oranyotheramountdebitedtoyour loan account otherthanacash component willbeappliedinthefollowingorder:

(i) first,towardspaymentofinterestchargesshownonastatementofaccountthatareapplicabletoapurchase andfeesandchargesshownonastatementofaccountexceptfornon-governmentfeesandchargesapplicabletoacash advance;

(ii) second,towardspaymentofpurchases appearingonyour laststatementofaccount;

(iii)third,towardspaymentofpurchases thathavenotappearedonastatementofaccount;

(iv) fourth,towardspaymentofinterestchargesapplicabletoapurchase thathavenotappearedonastatementofaccountandfeesandchargesthathavenotappearedonastatementofaccountexceptfornongovernmentfeesandchargesapplicabletoacash advance;and

(v) fifth,towardspaymentofanyotheramountowingonyour loan account.

16.7 Arefundduetoyou,foracash advance,willbeappliedinthefollowingorder:

(i) first,towardspaymentofcash advances thathavenotappearedonastatementofaccount;

(ii) second,towardspaymentofcash advances appearingonyour laststatementofaccount;

(iii) third,towardspaymentofinterestchargesandothernon-governmentfeesandchargesshownonastatementofaccountthatareapplicabletoacash advance;

(iv) fourth,towardspaymentofinterestchargesandothernon-governmentfeesandchargesapplicabletoacash advance thathavenotappearedonastatementofaccount;and

(v) fifth,towardspaymentofanyotheramountowingonyour loan account.

16.8 Arefundduetoyou inconnectionwithacash advance willbeappliedinthefollowingorder:

(i) first,towardspaymentofinterestchargesandothernon-governmentfeesandchargesshownonastatementofaccountthatareapplicabletoacash advance;

(ii) second,towardspaymentofcash advances appearingonyour laststatementofaccount;

(iii) third,towardspaymentofcash advances thathavenotappearedonastatementofaccount;

(iv) fourth,towardspaymentofinterestchargesandothernon-governmentfeesandchargesapplicabletoacash advance thathavenotappearedonastatementofaccount;and(v)fifth,towardspaymentofanyotheramountowingonyour loan account.

17 Lost/stolen cards

17.1 Notificationprocedure

(a) Ifacard islostorstolenyou mustimmediatelynotifyNAB usingthetelephonenumberreferredtointheSummaryofImportantInformationinsidethefrontcoveroftheseTermsandConditions.You mustgiveNAB alltheinformationanycardholder hasabouthowthelossoccurred.Wheretelephonefacilitiesarenotavailableduringparticularperiods,anylossesoccurringduringtheseperiodsthatwereduetononnotificationaredeemedtobetheliabilityofNAB,providingnotificationismadetoNAB withinareasonabletimeofthefacilityagainbecomingavailable.PleaserefertothecontactdetailsintheSummaryofImportant

Informationatthefrontofthisdocument.NAB willacknowledgeyour reportandyou shouldrecordorretainthisacknowledgment.

(b) Whereacard islostorstoleninthetwoweekspriortotheendoftheaccess period,NAB reservestherightnottore-issueacard.

Thecardholder willbenotifiedofthisatthetimeofreportingthecard lostorstolen.Inthisevent,you maystillaccesstheavailable credit atanybranchofNAB,orthroughanextra facility suchasNABTelephoneBankingorNABInternetBanking.

17.2 Your liability

You remainliableforanytransaction madebyanyotherpersonbeforeyou notifyNAB ofthelossortheftuptoamaximumof:

(a) inrelationtoalltheuses ofthecard throughanextra facility –theamountdeterminedunderthetermsandconditionsfortheextra facility (ifany).(OnceNAB hasbeennotifiedofthesemattersyour liabilityforfurtherEFT transactions willbelimited);

(b) inrelationtoallotheruses ofthecard –atotalamountof$150.

17.3 DespitenotifyingNAB ofaneventdescribedin17.1,you remainliableforanytransaction madebyacardholder oranypersonauthorisedbyacardholder.

18 Disputed transaction

18.1 Adisputedtransaction canbeconductedelectronicallyormanuallyandmayinclude:

(a) anunauthorisedtransaction –atransaction whichyou believewasnotauthorisedbyuse ofthecard orloan account byacardholder.Thisincludesanyunauthorisedmail,telephoneorInternetordersoranyotherunauthorisedtransaction ontheloan account.

(b) generaldispute–atransaction whichyou wishtodispute.Thismayincludeatransaction whichhasbeenprocessedtotheloan account morethanonce,oratransaction whichwasauthorisedbytheuse ofthecard orloan account whichyou wishtodispute.DespitenotifyingNAB ofadisputedtransaction you remainliableforanytransaction madebyacardholder oranypersonauthorisedbyacardholder.

18.2 Notificationprocedure

• You shouldimmediatelynotifyNAB ofanydisputedtransaction.

• NAB recommendsthatyou promptlyreadyour statementofaccount.

• Usethetelephonenumberprintedonyour statementofaccountorontheloan account details toreportthedisputedtransaction.You mustgiveNAB alltheinformationanycardholder hasabouthowthedisputedtransaction occurred.NAB mayrequireyou toconfirmdetailsinwriting.

• Allrelevantinformationavailabletoyou regardingthedisputedtransaction istobedisclosedtoNAB.

• You mayberequiredtoreportanydisputedtransaction tothepoliceandtoprovideNAB withacopyofsuchreport.You mayalsoberequiredtocompleteastatutorydeclarationdetailingparticularsofthedisputedtransaction.

18.3 Chargebackrights

Visahasadisputeresolutionprocessthatiscontainedinitsoperatingrules.Thisprocesssetsoutspecificcircumstancesandtimeframesinwhichamemberofthescheme(e.g.abank)canclaimarefundinconnectionwithadisputedtransaction onyour behalf.Thisisreferredtoasa‘chargebackright’.NAB’s abilitytoinvestigateanydisputedtransaction ontheloan account,andsubsequentlyprocessachargebackisrestrictedbythetimelimitsimposedundertheoperatingrulesofVisa.

18.4 TimeframesfornotifyingNAB

The ability of NAB to dispute a transaction on your behalf (where a chargeback right exists) may be lost if you do not notify NAB within the required timeframes. For this reason, it is in your interest to report any disputed transaction to NAB immediately and certainly no later than the due date shown on the statement of account.

Where it can be shown that you have unreasonably delayed notifying NAB, you may be liable for the loss on any disputed transaction.

18.5 TimeframesforNAB toprocessachargebackrightNAB willonlyprocessachargebackforyou (whereachargebackrightexists)whenyou havenotifiedNAB ofthedisputedtransaction withintherequiredtimeframe,asdescribedin18.4.

ThetimeframesforNAB toprocessachargeback(whereachargebackrightexists)varybetween30daysand180daysdependingonthetypeofdisputedtransaction.NAB willnotacceptarefusalofachargebackbyamerchant’sfinancial institution unlessitisconsistentwiththeVisaschemerules.

18.6 EFT transactions

IftheElectronicFundsTransfer(EFT)Codeisapplicabletoadisputedtransaction,thetimeframesasspecifiedin18.4maynotapplyincertaincircumstances.NAB warrantsthatitwillcomplywiththerequirementsoftheEFT Code forallEFT transactions ontheloan account.EFT transactions include:

(a) Non-Card Based Electronic Transactions Forexample,transactions conductedusingNAB’s InternetorTelephoneBankingfacilities.Theproceduresforresolvingdisputedelectronictransactions aresetoutinthetermsandconditionsoftheextra facility.

(b) Card Based Electronic Transactions Forexample,transactions conductedatamerchantusingeitherthetelephoneorInternet.Theproceduresforresolvingdisputedcard basedEFT transactions aredetailedbelow.

18.7 Generalresponsibility You aregenerallyresponsibleforallEFT transactions

authorisedbytheuse ofthecard and/orcard details orundertakenbyanotherpersonwithyour knowledgeand/orconsent.Your liabilityforanyuse notauthorisedbyyou mayhoweverbelimitedasprovidedbelow.

18.8 Noliabilityinsomecircumstances

You arenotliablefor:

(a) lossesthatarecausedbythefraudulentornegligentconductofNAB’s employeesoragentsorcompaniesinvolvedinnetworkingarrangementsorofmerchantsoroftheiragentsoremployees;

(b) lossesarisingbecausethecard details and/orcard isforged,faulty,expiredorcancelled;

(c) lossesthatarisefromEFT transactions whichrequiredtheuse ofacard andthatoccurredbeforeacardholder receivedthecard;

(d) lossesthatarecausedbythesameEFT transaction beingincorrectlydebitedmorethanoncetothesameloan account;

(e) lossesresultingfromunauthorisedtransactions occurringafternotificationtoNAB thatthecard hasbeenmisused,lostorstolen;

(f) lossesresultingfromunauthorisedtransactions whereitisclearthatacardholder hasnotcontributedtosuchlosses.

18.9 Liabilityforunauthorisedtransactions

You areliableforlossesresultingfromunauthorisedtransactions asprovidedbelow:

(a) whereNAB canproveonthebalanceofprobabilitythatacardholder hascontributedtothelossesthroughtheirfraudyou areliablefortheactuallosseswhichoccurbeforeNAB isnotifiedthatthecard hasbeenmisused,lostorstolen.However,you arenotliableforthatportionofthetotallossesincurredonanyloan account whichexceedsthecredit limit ofthatloan account;

(b) You arealsoliablewhereNAB canproveonthebalanceofprobabilitythatacardholder contributedtolossesresultingfromunauthorisedtransactions becausetheyunreasonablydelayednotifyingNAB afterbecomingawareofthatmisuse,lossortheftofthecard.

You willthenbeliablefortheactuallosseswhichoccurbetweenthetimeyou becameaware(orshouldreasonablyhavebecomeawareinthecaseofalostorstolencard)andwhenNAB wasactuallynotified.However,you willnotbeliableforthatportionofthetotallossesincurredonanyloan account whichexceedsthecredit limit oftheloan account.

18.10 LiabilityundercreditandchargecardschemerulesNotwithstandingtheabovewhereyou notifyNAB ofanunauthorisedtransaction ontheloan account NAB willnotholdyou liableforanamountgreater

thantheliabilityyou wouldhavehadifNAB had,atthetimethecomplaintwasmade,exerciseditsrights(totheextentrelevant)undertheVisaschemerules.

19 Complaint investigation and resolution procedure

19.1 NotifyNAB

Ifyou believethattherehasbeenanerrorinatransaction,instanceofunauthorisedtransactions,orerrorinthestatementofloan account,promptlynotifyNAB.PleaserefertothecontactdetailsintheSummaryofImportantInformationinsidethefrontofthisdocument.

19.2 WrittenAdvice

ShouldNAB beunabletoresolvethematterimmediatelytoyour satisfaction,NAB willprovideyou withawrittenadviceofNAB’s proceduresbywhichitwillbeinvestigatedandhandledfurther.NAB willacknowledgereceiptofyour claim,andwithin21daysofreceiptofthecomplaintNAB willadviseyou inwritingofeither:

(a) theoutcomeofNAB’s investigation,detailingthereasonsforNAB’s decisionwithreferencetothespecifictermsoftheTermsandConditionswhereappropriate;or

(b) theneedformoretimetocompleteNAB’s investigation.Unlessthereareexceptionalcircumstances,ofwhichNAB shalladviseyou inwritingNAB mayrequireupto45daysfromreceiptofyour complainttocompleteNAB’s investigations.

19.3 MonthlyUpdates

Whereaninvestigationcontinuesbeyond45days,NAB shallprovideyou inwritingwith:

(a) thereasonsforthedelay;

(b) monthlyupdatesontheprogressofNAB’s investigation;and

(c) adatewhenadecisioncanbereasonablyexpected;exceptwhereNAB isawaitingaresponsefromyou andNAB hasadvisedyou ofthisfact.

19.4 FinancialOmbudsmanService

If,becauseofadelayingivingafinaldecision,you havearighttotakeamattertotheBankingOmbudsmanorsomeotherexternaldisputeresolutionscheme,NAB willadviseyou inwriting

aboutthatrightwithin5business days ofthedayonwhichyou acquireit.

19.5 Loan account adjustments

IfNAB concludes,asaresultofNAB’s investigations,thattheloan account hasbeenincorrectlydebitedorcredited,NAB willpromptlyadjusttheloan account (includinganyfees,interestorgovernmentcharges)accordinglyandnotifyyou inwritingoftheamountbywhichtheloan account hasbeenadjusted.

IfNAB concludesfromitsinvestigationsthattheloan account hasnotbeenincorrectlydebitedorcredited,orinthecaseofanunauthorisedEFT transaction,thatacardholder hascontributedtoatleastpartofthelossoccasionedbytheunauthoriseduse (seeclause18.7),NAB willsupplyyou withcopiesofanydocumentorotherevidenceonwhichNAB baseditsfindingandwilladviseyou inwritingwhethertherewasanysystemorequipmentmalfunctionatthetimeofthetransaction.

19.6 Seniormanagementreview

Ifyou arenotsatisfiedwithNAB’s findingsyou mayrequest,inwriting,areviewofthesefindingsbyNAB’s seniormanagement.Pleasedirectsuchrequestsinwritingto:

20 Cancellation of cards and closure of loan account

20.1 CancellationorclosurebyNAB

(a) NAB mayclosetheloan account,atanytimewithoutnotice.Duringtheaccess period,thismayresultineachcard beingcancelled.

(c) WhereNAB hasclosedtheloan account,you mustcontinuetorepaytheloan amount inaccordancewith14.1.

20.2 Closurebyyou

You mayclosetheloan account ifyou:

(a) telephoneorwritetoNAB,requestingthattheloan account beclosedandrevokingtheauthorityofalladditional cardholder’s tooperateontheloan account orotherwiseadviseNAB inamanneracceptabletoNAB thatyou wishthistobedone;and

(b) returnallcurrentcards (includingalladditional cards)toNAB orotherwisedestroythecards bycuttingthemdiagonallyinhalf;and

(c) paythewholeoftheunpaidbalanceoftheloan account,oriftheloan account hasadepositbalance,withdrawthedepositbalance.Ifyou requestthedepositbalancetobepaidtoyou bycheque,NAB willchargeitsusualfeeforissuingabankcheque,andsubtractthatfeefromtheavailabledepositbalance.

20.3 NAB willnotnormallyissuechequesforthedepositbalancesonloan account closurewherethedepositbalance(lessbankchequefees)islessthan$5.00.Ifthebalanceislower,you willneedtocollectthebalanceincash.

20.4 Agreement continuesaftercancellationorclosureThisagreement willcontinueafteracard iscancelledortheloan account isclosedunder20.1or20.2,until:

(a) thewholeoftheunpaidbalanceoftheloan account ispaid;and

(b) anyamountssubsequentlydebitedtotheloan account arepaid(whethertheamountsareaccruedorchargedbeforeorafterthecancellationorclosure).

21 Default

21.1 Ifyou areindefaultAND:

(a) NAB hasgivenyou adefaultnoticeallowingyou atleast31daysfromthedateofthenoticetoremedythedefaultistakentobegiven;and

(b) thenoticecontainswhateverisrequiredbyconsumercreditlegislation;and

(c) thedefaulthasnotbeenremediedwithinthatperiod;OR

Ifyou areindefaultandconsumercreditlegislationdoesnotintherelevantcircumstancesrequire togiveadefaultnotice,ortowaituntiltheperiodspecifiedinthedefaultnoticehaselapsedbeforetakingproceedingsagainstyou,THEN,UNLESSNAB NOTIFIESYOU TOTHECONTRARY:

(d)NAB mayenforcethisagreement againstyou;and

(e) you mustpayNAB immediatelytheunpaidbalanceoftheloan account andanyothermoneyowingunderthisagreement.

21.2 You mustreturnorarrangethereturnofeachcard immediatelyuponbeingtoldbyNAB thatthebalanceoftheloan account hasbecomedueandpayable.

21.3 You areindefaultif:

(a) you donotpayanypaymentrequiredunderthisagreement ontime;

(b) you breachanyotherrequirementofthisagreement oraprovisionofanysecurityorotheragreementyou havewithNAB;or

(c) anyinformationyou giveNAB inapplyingfortheloan account isfalseor,initsopinion,misleading;or

(d) you becomebankruptorinsolvent,orgointoliquidationorreceivershiporhaveanadministratorappointed;or

(e) you assignyour estatetoacreditor.

22 Notices

22.1 Anoticemustbeinwriting.

Ifyou wishtogiveNAB anotice,you maysenditbypost,facsimiletransmissionorsomeotherformofelectronictransmissionto,orleaveitwithanofficerofNAB at:

(a) abranchofNAB,or

(b) theregisteredofficeofNAB.

IfNAB wishestogiveyou anotice,NAB may:

(c) deliveritpersonallytoyou;or

(d) leaveitat,orsenditbypost,facsimiletransmissionorsomeotherformofelectronictransmissionto,theaddressnominatedbyyou inwritingtoNAB,orifyou donotnominateanaddress,theaddressofyour placeofresidencelastknowntoNAB.You agreetotellNAB ofanychangeofyour address.

22.2 Forthepurposesofthisagreement anoticeistakentobegiven:

(a) inthecaseofanoticegivenpersonally–onthedateitbearsorthedateitisreceivedbytheaddressee,whicheveristhelater;or

(b) inthecaseofanoticesentbypost–onthedateitbearsorthedatewhenitwouldhavebeendeliveredintheordinarycourseofpost,whicheveristhelater;or

(c) inthecaseofanoticesentbyfacsimiletransmissionorsomeotherformofelectronictransmission–onthedateitbearsorthedateonwhichthemachinefromwhichthetransmissionwassentproducesareportindicatingthatthenoticeorthedocumentwassenttothenumberoftheaddressee,whicheveristhelater.

23 Fees, interest and government charges

23.1 NAB mayretainorrequirepaymentoffees,interestorgovernmentchargesincurredbyyou beforethisagreement ends,exceptthirdpartyfeesorchargesnotincurredbyNAB,whetherornotyou drawdowntheloan.

23.2 You mustpaythefees,interestandgovernmentchargesshownintheloan account details.

23.3 Enforcementexpensesmaybecomepayableunderthisagreement intheeventofabreach.You mustpayanyreasonableenforcementexpensesreasonablyincurredorexpendedbyNAB inenforcingthisagreement.TheseenforcementexpensesmayextendtothosereasonablyincurredbytheuseofNAB’s staffandfacilities.

23.4 Governmentcharges

IfNAB isliabletopaygoodsandservicestaxoranysimilartax(GST)onasupply(asdefinedinrelevantlegislation)(‘thesupply’)madeinconnectionwiththisagreement,thenyou agreetopayNAB anadditionalamountequaltotheconsiderationpayableforthesupplymultipliedbytheprevailingGSTrate.You mustalsopayanamountequaltoanygovernmentchargesanddutiesonreceiptsorwithdrawalschargedupontheuse ofacard orupontransactions ontheloan account orboth,calculatedinaccordancewiththerelevantlegislation.Thesechargesanddutiesarepayablewhetherornotyou

areprimarilyliableforsuchchargesandduties.Allsuchchargesanddutieswillbedebitedtotheloan account ontheclosing date foreachstatement period.Inaddition,NAB mayimposenewfeesandchargesinconnectionwiththisagreement,theloan account andanyagreement ortransaction relatedtotheloan account,subjecttocomplyingwith25.Anyfeesandchargespaidbyyou arenotrefundable.NAB maywaiveordeferthepaymentofanyfeesorcharges.

24 Code of Banking Practice

NAB hasadoptedtheCodeofBankingPracticeandrelevantprovisionsoftheCodeapplytotheloan account,ifyou areanindividualorasmallbusinesscustomer(asdefinedbytheCode).

You canobtainfromNAB uponrequest:

(a) informationonNAB’s currentinterestratesandstandardfees,interestandchargesrelatingtothisloan account;

(b) generaldescriptiveinformationconcerningNAB’s bankingservicesincluding:-

• foraccountswithchequeaccess,generaldescriptiveinformationaboutcheques;

• accountopeningprocedures;

• NAB’s obligationsregardingtheconfidentialityofyour information;

• complainthandlingprocedures;

• bankcheques;

• theadvisabilityofyou informingNAB promptlywhenyou areinfinancialdifficulty;

• theadvisabilityofyou readingthetermsandconditionsapplyingtoeachbankingserviceNAB providestoyou;

(c) generaldescriptiveinformationabout:

• theidentificationrequirementsoftheFinancialTransactionsReportsAct1988;

• theoptionsavailabletoyou underthetaxfilenumberlegislation;and

(d) acopyoftheCodeofBankingPractice.

25 Changes

25.1 NAB maymakechanges

NAB maychange:

• thedue date;

• theannual percentage rate bychangingtheIndicatorRateorotherwise;

• anyinterestratemargin;

• theamount,frequencyortimeforpaymentofthecreditfeesandchargesapplicableundertheagreement orimposeanewcreditfeeorcharge;

• theamount,frequencyortimeforpaymentofthepaymentsrequiredunderthisagreement;and

• anyoftheotherprovisionsofthisagreement.

25.2 NAB willgiveyou noticeofanyunilateralchangesbyNAB asfollows:

(a) Changestoannual percentage rates

NAB willnotifyyou ofanychangetoincreaseanannual percentage rate nolaterthanthedayonwhichthechangetakeseffect.NAB maynotifyyou bypublishingthenoticeinanewspapercirculatingthroughoutyourStateorTerritory.Wherethechangereducesanannual percentage rate,NAB willnotifyyou inaccordancewith(e)below.

(b) Changestothecalculationofinterest

NAB willnotifyyou ofanychangeinthemannerinwhichinterestiscalculatedortheannual percentage rate isappliedundertheseTermsandConditions,orfrequencywithwhichitisdebitedorcreditedtotheloan account,atleast20daysbeforethechangetakeseffect.WherethechangereducesyourobligationsNAB willnotifyyou inaccordancewith(e)below.

(c) Changestorepayments

NAB willnotifyyou ofanychangeinthefrequencyortimeforpaymentorthechangeinthemethodofcalculatingminimumpaymentsatleast20daysbeforethechangetakeseffect.WherethechangereducesyourobligationsorextendsthetimeforpaymentNAB willnotifyyou inaccordancewith(e)below.

(d) Changestofeesandcharges

NAB willnotifyyou ofanychangeto:

• increasetheamountofafeeorcharge

• introduceanewfeeorcharge

• thefrequencyortimeforpaymentofafeeorchargeatleast20daysbeforethechangetakeseffect.

NAB maypublishthenoticeinanewspapercirculatingthroughoutyourStateorTerritory.Ifnoticeisprovidedbyapressadvertisement,NAB willgiveyou particularsofthechangebeforeorwhenthenextstatementofaccountissenttoyou afterthechangetakeseffect.WhereNAB reducesorremovesafeeorchargeorextendsthetimeforpaymentofafeeor

chargeNAB willnotifyyou inaccordancewith(e)below.

(e) Changeswhichreduceyourobligations

NAB isnotrequiredtoprovideadvancenoticeofanychangetoyou whichreducesyourobligationsorextendsthetimeforpaymentundertheseTermsandConditions.

NAB willnotifyyou beforeorwhenthenextstatementofaccountissenttoyou afterthechangetakeseffect.

(f) Otherchanges

NAB willgiveyou atleast20dayswrittennoticeofanyotherchangeswhichincreaseyourobligationsorreducethetimeforanyotherpaymentundertheseTermsandConditions.

25.3 NAB mayagreetochangethisagreement ordeferor waiveanyoftheTermsandConditionsofthis

agreement withoutcreatinganewcontract.

25.4 Emailnotification

Ifyou agreeNAB mayadviseyou ofanyalterationsorotherchangesunderclauses25.1byelectronicmailtoyour nominatedelectronicaddress.Ifyou soagree,NAB maynotgiveyou noticeinotherways(e.g.inwriting).You maychangeyour nominatedelectronicaddressorwithdrawyour agreementtoreceivenoticesbyelectronicmailbygivingNAB anotice.You mayrequestapapercopyofanoticegiventoyou byelectronicmailifyou requestthepapercopywithin6monthsofreceiptoftheelectroniccopy.

26 Other matters

26.1 Nosecurity

NAB agreesnottorelyonortoenforceassecurityforyour obligationsunderthisagreement:

(a) anysecuritywhichNAB mayholdfromyou;or

(b) anyothersecurityorguaranteewhichNAB mayholdfromanyotherpersoninrelationtoyour obligations.You acknowledgethatthisagreement byNAB doesnotvarythetermsoraffecttheenforceabilityofthatsecurityorguarantee.

26.2 Consumercreditandotherlegislation

Totheextentthatlegislationrelatingtoconsumercreditorotherlegislationappliestothisagreement,if:

(a) thatlegislationwouldotherwisemakeaprovisionofthisagreement illegal,voidorunenforceable;or

(b) aprovisionofthisagreement wouldotherwisecontravenearequirementofthatlegislationorimposeanobligationorliabilitywhichisprohibitedbythatlegislation;thisagreement istobereadasiftheprovisionwereomittedorreaddownsothatresultwouldnotoccur.

26.3 Totheextentthatlegislationrelatingtoconsumercreditappliestothisagreement:

(a) NAB’s rightstodemandanyamountsfromyou andtoexerciseitsrightsandremediesagainstyou aresubjecttothelimitationsonenforcementofthisagreement imposedbythelegislation;and

(b) NAB’s rightsandremediesunderthisagreement areinadditiontothosegiventoacreditproviderunderthelegislation.

26.4 PrivacyAct1988(Cth)

ThePrivacyAct1988(Cth)appliestothisagreement ifyou areanindividualandatthetimeyou enteredthisagreement you providedpersonal information ofyourselforanyotherindividual.You canobtainfromanyofNAB’s branchesourPrivacyPolicywhichexplainsNAB’s privacypracticeswithrespecttothecollection,useanddisclosureofyour personal information.ThePrivacyPolicyoutlinesyour privacyrightsalongwithNAB’s rightsandobligationsunderthePrivacyAct.

26.5 Miscellaneous

PartiesotherthanNAB mayfromtimetotimeoffercertaingoodsandservicestoyou:

(a) freeofcharge,or

(b) ataparticularprice,inconnectionwiththeloan account.NAB isnotresponsibleforanyofthesegoodsorservices,orthefailureofsuchapartytoprovideorperformsuchgoodsorservices.

26.6 Co-operation

You mustgiveNAB promptlyanyinformationitreasonablyasksforaboutyour financialposition.You mustdoanything(suchasproducingandsigningdocuments)thatNAB reasonablyrequirestogivefulleffecttotheseTermsandConditionsandthesecurities.

26.7 Assignment

NAB mayassignorotherwisedealwithitsrightsorbeneficialinterestsunderthisagreement inanywayNAB considersappropriate.You agreethatNAB maydiscloseanyinformationordocumentNAB considersnecessarytohelpNAB exercisethisright.Your rightsarepersonaltoyou andmaynotbeassigned.

5 How can I find out the pay out figure?

Youcanwritetoyourcreditprovideratanytimeandaskforastatementofthepayoutfigureasatanydateyouspecify.Youcanalsoaskfordetailsofhowtheamountismadeup.Yourcreditprovidermustgiveyouthestatementwithin7daysafteryougiveyourrequesttothecreditprovider.Youmaybechargedafeeforthestatement.

6 Will I pay less interest if I pay my contract out early?

Yes.Theinterestyoucanbechargeddependsontheactualtimemoneyisowing.

7 Can my contract be changed by my credit provider?

Yes,butonlyifyourcontractsaysso.

8 Will I be told in advance if my credit provider is going to make a change in the contract?

Thatdependsonthetypeofchange.Forexample:

• yougetatleastsamedaynoticeforachangetoanannualpercentagerate.Thatnoticemaybeawrittennoticetoyouoranoticepublishedinanewspaper.

• youget20days’advancewrittennoticefor:

• achangeinthewayinwhichinterestiscalculated

• achangeincreditfeesandcharges;or

• anyotherchangesbyyourcreditproviderexceptwherethechangereduceswhatyouhavetopayorthechangehappensautomaticallyunderthecontract.

9 Is there anything I can do if I think that my contract is unjust?

Yes.Youshouldfirsttalktoyourcreditprovider.Discussthematterandseeifyoucancometosomearrangement.Ifthatisnotsuccessfulyoucouldapplytothecourt.ContacttheGovernmentConsumerAgencyorgetlegaladviceonhowtogoaboutthis.

Insurance

10 Do I have to take out insurance?

Yourcreditprovidercaninsistyoutakeoutorpaythecostoftypesofinsurancespecificallyallowedbylaw.Thesearecompulsorythirdpartypersonalinjuryinsurance,mortgageindemnityinsuranceorinsuranceoverpropertycoveredbyanymortgage.Otherwise,youcandecideifyouwanttotakeoutinsuranceornot.

11 Will I get details of my insurance cover?

Yes,ifyouhavetakenoutinsuranceovermortgagedpropertyorconsumercreditinsuranceandthepremiumisfinancedbyyourcreditprovider.Inthatcasetheinsurermustgiveyouacopyofthepolicywithin14daysaftertheinsurerhasacceptedtheinsuranceproposal.Also,ifyouacquireaninterestinanysuchinsurancepolicywhichistakenoutbyyourcreditproviderthen,within14daysofthathappening,yourcreditprovidermustensureyouhaveawrittennoticeoftheparticularsofthatinsurance.Youcanalwaysasktheinsurerfordetailsofyourinsurancecontract.Ifyouaskinwritingyourinsurermustgiveyouastatementcontainingalltheprovisionsofthecontract.

12 If the insurer does not accept my proposal, will I be told?

Yes,iftheinsurancewastobefinancedbythecreditcontract.Theinsurerwillinformyouiftheproposalisrejected.

13 In that case, what happens to the premiums?

Yourcreditprovidermustgivearefundorcreditunlesstheinsuranceistobearrangedwithanotherinsurer.

14 What happens if my credit contract ends before any insurance contract over mortgaged property?

Youcanendtheinsurancecontractandgetaproportionaterebateofanypremiumfromtheinsurer.

15 What do I do if I cannot make a repayment?

Getintouchwithyourcreditproviderimmediately.Discussthematterandseeifyoucancometosomearrangement.Youcanaskyourcreditprovidertochangeyourcontractinanumberofways.Forexample:

•toextendthetermofthecontractandeitherreducetheamountofeachpaymentaccordinglyordeferpaymentsforaspecifiedperiod;or

•tosimplydeferpaymentsforaspecifiedperiod.

16 What if my credit provider and I cannot agree on a suitable arrangement?

Ifyouhavebeenunemployed,sick,orthereisanothergoodreasonwhyyouarehavingproblemswithyourcontract,thenyourcontractmaybeabletobechangedtomeetyoursituation.Youmaybeabletoapplytothecourt.ContactyourGovernmentConsumerAgencyorgetlegaladviceonhowtogoaboutthis.Thereareotherpeoplesuchasfinancialcounsellors,whomaybeabletohelp.

17 Can my credit provider take action against me?

Yes,ifyouareindefaultunderyourcontract.Butthelawsaysthatyoucannotbeundulyharassedorthreatenedforrepayments.Ifyouthinkyouarebeingundulyharassedorthreatened,contactyourGovernmentConsumerAgencyortheAustralianCompetitionandConsumerCommission,orgetlegaladvice.

18 Do I have other rights and obligations?
