WHY LOCKE LORD? At Locke Lord our international network of lawyers operate as one seamless cross-border team to manage large, complex, business-critical data center projects and offer commercial advice across multiple regions.

We recognize the critical role that physical IT infrastructure, particularly data centers, has in the deployment of IT services. We are acutely aware of the reliance our clients place upon such infrastructure, and the need to ensure that commercial and legal arrangements reflect that fact.

Our lawyers have advised a broad range of clients on hundreds of data center and IT infrastructure projects at different stages of their evolution, encompassing the full range of legal needs: corporate, real estate, construction and procurement, funding and corporate finance, commercial and outsourcing, energy and utilities, environmental, intellectual property, employment, data protection, litigation and tax.

We are well versed in the key legal and regulatory issues currently impacting all players in the data center industry, including operators, developers, customers and lenders.

At Locke Lord we understand the complex elements that comprise data center projects and draw on the breadth of experience of our lawyers to advise clients on the full spectrum of data center requirements.

We also participate fully in the data center market, sponsoring various international events. As a result, our lawyers have a profound understanding of the environment in which our data center clients operate.

The diversity of our experience makes us well-placed to advise all organizations in the sector.

EXPERIENCE. We provide commercial and legal services across the full lifecycle of a data centers project, from business strategy, planning (including country selection in tandem with brokers), acquisition, development, through to operation and exit. This includes advice in the following areas:

• Strategic. As the income derived from operational services of data centers makes up a high proportion of overall income, strategic planning must include provisions for carbon reduction, bulk energy purchase, location choice, intellectual property, cash flow and financial flexibility.

• Site Acquisition & Planning. During the planning stages, attention must be given to the real estate acquisition as well as the power and carrier infrastructure. Outline planning is crucial, alongside developmental finance. Tax and incentives (VAT, capital allowances etc.) and environmental considerations such as land, acquisition and clean up.

• Development. We treat complex data centers projects like sophisticated engineering or construction projects. In the developmental stages, key focus areas include design, construction, equipment procurement, asset financing, power and carrier infrastructure, tax incentives and developing M&E systems. In addition to drafting provisions giving developers appropriate controls over costs, program and quality issues.

Data Centers• Lease & Service Level Agreements. These documents are a hybrid of property documents and

commercial service level agreements which can affect traditional real estate landlord covenants and termination rights. Getting the lease and service level agreements right is critical for the value realized from the project. Limitation of liability, rent review provisions, clarity of landlord’s services, defined levels of service, clear demarcation of party responsibilities, knowhow for the tenant to operate efficiently, and provisions for the refresh and upgrade of equipment are of paramount importance.

• Operation. During the operational stage, the following aspects must be taken into consideration: whole sale leases, service level agreements, power supply and metering, hard/soft supply, connectivity and peering, facilities management, responding to public sector competitions to supply, employment matters, data protection, insolvency and dispute resolution. For example, we advise end-user clients on claims against operators for breach of service levels, particularly power outages.

• Exit & Disposal. We advise on the real estate and corporate disposal of data centers, as well as the transfer of supply and customer contracts, and the management of associated data protection issues.
