Bio Green Landscape Fertilization Service is comprised of individually owned and operated Licensed Bio Green Lawn & Landscape Fertilization Service businesses
located throughout the U.S. Our Licensees represent the Bio Green Brand to the public and the company commits considerable resources to ensure their success.
Bio Green is not a Franchise. Bio Green USA, Inc. does not charge
license fees or collect royalties. We simply require:
Licensees operate within the parameters of the Fertilization Service
Provider License Agreement. All fertilizer products must be purchased from Bio-Green USA, Inc.
All other products used by Bio Green Fertilization Service Licensees must be approved by Bio Green USA, Inc.
Each Licensed Bio Green Fertilization Service Provider will have the
exclusive right to apply Bio Green products in their territory.

Product Information
Bio Green USA is the manufacturer of high quality, environmentally responsible fertilizers. Each Bio Green product is designed specifically for the growing demands of
turf, shrubs, and trees. Bio Green fertilizers feed plants systemically, making nutrients immediately available to plants through both roots and foliage when applied.
Bio Green is nationally branded and provides the complete macro and micro
nutrients needed by plants and soils. It is a complete nutrient fertilizer. This
means that it contains or makes available through natural processes, the widely known
macro nutrients; Nitrogen, Phosphorous and Potassium. Bio Green also contains the
micronutrients which are essential for plant growth. Our complete formulas ensure that
plants get all that is needed to thrive during the growing season and soil
organisms get all that is needed to build and maintain healthy topsoil.

The Lawn Service Industry
The lawn service industry cares for the lawns of 10.5 million households in the U.S. While this only represents 15% of total households, it represents 75% of the $3billion
lawn care market. Do-it-yourselfers represent the remaining 25%.
The lawn fertilization service industry as a component of the total lawn service market is highly fragmented especially in the area of “green” products. There is currently no
national/global “Green” fertilizer that produces results like Bio Green at an affordable price. Political pressure to go “green” is significant. Fertilizer is widely recognized as
the one category that has the greatest negative impact on the environment, yet until Bio Green, no clear answer had been presented to the industry.
Fertilization Facts
Approximately 48 million acres of land in the U.S. are devoted to turf Grass.
Approximately 70 Million tons of synthetic fertilizer are applied to American Lawns
Annually
Approximately 35% of synthetic fertilizer is used by plants (realization rate)
40% to 60% of synthetic fertilizers used, run off or leach into the soil, contributing
to non source-point pollution.
The remaining synthetic fertilizer chemicals are retained in the soil and trapped in
salts, raising soil salinity and pH.
The leading nationally branded fertilization service providers use synthetic chemical
fertilizers.
Some smaller independent service providers find it difficult to compete on price and
often are forced to use lower quality products.
Some smaller independent service providers provide “organic” products which can
come with their own set of problems and environmental concerns.
Organic means expensive
Organic formulations actually contain less nutrients
Organic nitrogen is typically de-energized. Meaning the carbon source has
already been depleted before it was ever packaged Organic does not always mean healthy. Sewage sludge and manure can con-
tain high amounts biologically harmful byproducts that can build up and dam-
age plant and human life. Fish emulsions can contain high levels of Mercury.

The process of becoming a Licensed Bio Green Fertilization Service Provider is simple. It begins with the exchange of information. We learn about you and you learn about
us. It is vitally important to your success that we forge a productive relationship based on integrity and mutual respect. We find that Licensees are the most successful when
we are collectively working toward the same goals.
Training While experience in the lawn and landscape service industry is helpful, it is not a
requirement for success. Neither is previous business ownership experience. Bio Green USA provides professional training and ongoing assistance to our Licensees to
help ensure their success. Bio Green USA provides the following training:
Corporate Support Shared wisdom is an asset that Bio Green USA values greatly. We utilize national and
regional conference calls, maintain an online resource library, and seek to constantly
improve our operational, marketing and customer service processes. We view our Licensees as partners in business and regularly engage them in visionary and affiliative
discussions prior to making corporate decisions.
The Team The corporate team at Bio Green consists of business, horticultural and turf science
professionals who are committed to the success of our Licensees. We pledge an open door policy that guarantees accessibility.
Our Licensees come from diverse backgrounds and possess varied gifts, skills, goals.
Some have experience in the lawn and landscape service industry, some do not. Some wish to be the Owner/Operator of a fertilization service in their home town. Some wish
to be a more corporately focused owner of a fertilization service in a large metropolitan area with the corresponding staff and fleet of service vehicles. The common bond
among our Licensees is a commitment to integrity and quality customer service. Bio
Green has room for both and all points in between.

By the Numbers Bio Green’s formula for sales is a simple equation: 5x500x500
5 Applications per year (6 to 7 applications per year in southern states)
500 Customers $500.00 Average Annual revenue per customer
$250,000.00 per season
As with any equation, there are variables that can change the total amount of sales, for
instance;
Small Applications If you are only focusing on smaller applications such as 3000 square feet or less with a
sale of $35.00 per application. This equates to $175.00 per customer per year, or total gross sales of $87,500.00. This would be your total if you never did any extra applica-
tions, or add-ons.
Add on Sales A minimum square footage lawn (3000 or less) is $35.00 per application. If we add on
a tree and shrub application for another minimum price, this is an extra $35.00. If a pre-emergent application is added for the spring or fall, for flowerbeds and lawn areas,
this is a $95.00 minimum application. You have now turned a small and fast
application into a $445.00 per year account. Estimated product cost per season— $72.50. Spot treatments of pesticides and herbicides throughout the season will also
be a source of additional revenue.
Commercial Accounts Commercial accounts vary in size and price, and 50 to 75 total commercial accounts
could be enough for $250,000.00 in gross annual sales.
With a balance of commercial and residential sales with add-ons, it is very easy to maintain a $500.00 average per customer.

Q. Can I select my own territory?
A. Typically yes with the exception of territories in which a licensed Bio Green Service exists. This is decided through discussions and demographics research.
Q. Will my territory be protected?
A. Yes, a protected exclusive territory is defined in the license agreement.
Q. What is my initial cost: A. The initial cost depends on the size of the territory and the equipment needed to
become operational.
Q. Must I work full time in the business? A. Not necessarily. You may be an Owner/Operator or an Owner/Investor. As with
any business, someone must manage the operation of the business and meet all
of the requirements of the license agreement.
Q. Can I own more than one Bio Green Territory? A. Yes, provided you have the experience, financial resources and staff to be
successful.
Q. Can I sell my territory/business? A. Yes, pursuant to the conditions stated in the license agreement.
Q. How long does it take to get the business operational?
A. Most Licensees are operational within 60 days of signing.
Q. Does Bio Green provide financing? A. While Bio Green does not provide financing, we will assist Licensees as needed
with their financial institutions.
Q. Why is a Licensed business better than a franchise?
A. First, there are no franchise or license fees. Secondly, there are no ongoing royalties. Thirdly, there is more autonomy within the License Agreement than is
typically granted from a Franchise Agreement.

Q. What information does Bio Green USA, Inc. need from me?
A. We will need a signed Confidentiality Agreement and completed Prospective Licensee Questionnaire to facilitate the communication process.
Prior to Licensure, we will need a completed Financial Statement.
CONFIDENTIALITY AGREEMENT
This Confidentiality Agreement is entered into on this ____ day of, __________, 20___, by an between
_____________________________________________________________.( the “CLIENT” ), and BIO GREEN
USA, LLC ( the “PROVIDER” ) and each individual involved in providing goods or services to the CLIENT, to
whom confidential and proprietary information will be revealed during the course and scope of the PROVIDER
furnishing the CLIENT with its goods and/or services.
WITNESSETH: The parties agree as follows:
1. Confidentiality. In considerations of being made privy to confidential and/or proprietary
trade-secret information described in paragraph 2 below belonging to the PROVIDER, CLIENT, on behalf of
itself, its employees and agents, hereby agrees not to copy, reproduce, transmit, communicate or disclose this
information to any person not a party to this Agreement or to use the data or information for any purpose without
the prior written approval of the PROVIDER and shall treat this information as a trade secret belonging to the
PROVIDER. CLIENT warrants that it has policies and procedures adequate to avoid intentional or negligent
disclosure of the data and information acquired hereunder. CLIENT agrees that it shall immediately, upon
discovery of a potential disclosure or misuse of information in violation of this Agreement, advise the PROVIDER
of the same.
Further, CLIENT agrees that prior to disclosing this Trade Secret information; as defined below; to any
individual or entity, that it shall first advise the PROVIDER of same and obtain from the PROVIDER its written
consent to permit such individual or entity to review or see such information. In addition, each employee and, if so
approved, each non-agent employee or entity which is provided with access to the information shall be required to
first sign a copy of this Confidentiality Agreement. A copy of each such Confidentiality Agreement shall be
provided to the PROVIDER.
2. Trade Secrets Defined. The information to be treated as proprietary and/or as a confidential
trade secret ( “Trade Secret” ) is all materials provided to CLIENT which relate to any and all aspects of the
PROVIDER’S business ( the “BUSINESS” ), whether oral, written or visual, including, but not limited to, any
agreement entered into between the parties and any documents, drawings, data or other information however
displayed, included but not limited to, performance models, designs, materials, controls and flow charts which
includes, but is not limited to, any written descriptions or oral descriptions of otherwise protected written materials.
Data and information which:
(a) through no fault of either party is or becomes part of the public domain, or
(b) is lawfully disclosed to such party by a third party with legal right to do so,
shall not be considered as proprietary and/or confidential trade secret information of the PROVIDER and
such data or information shall not be subject to the restrictions above.
Documents, drawings or other information or materials furnished or displayed by the PROVIDER to CLIENT shall
remain the exclusive property of the PROVIDER.
3. Return of Data. Upon the earlier of (i.) the termination of this Agreement or (ii.) the written
request of the PROVIDER, CLIENT shall return all documents, drawings and other written information and all
pictures and notes of visual or oral communications furnished to or obtained by it under this agreement by or from
the PROVIDER to the CLIENT and shall destroy all notes or other information describing, referring to or contain-
ing any trade secret information.
4. Specific Performance. PROVIDER acknowledges that it would be difficult or impossible to
place a value, for the purposes of determining damages, upon the damage which would result in the event of
disclosure of the Trade Secrets by CLIENT to third parties. PROVIDER further acknowledges that a violation by
CLIENT of any of the restrictive covenants contained in this Agreement would cause continuing irreparable injury
to the PROVIDER and that in such event money damages would not be readily calculable. Therefore, the
PROVIDER would not have an adequate remedy by law. By reason thereof, CLIENT agrees and consents that if it
violates any of the provisions of this Agreement, the PROVIDER, in addition to any other rights and remedies
available under this Agreement or otherwise, shall be entitled to an injunction to be issued by any tribunal of
competent jurisdiction restraining CLIENT from committing or continuing any violation of this Agreement.
5. Attorney’s Fees. If any legal action arises relating to the enforcement of this Agreement, the
prevailing party shall be entitled to recover its court costs, expenses and reasonable attorney’s fees. Arbitration
shall be considered a legal action for the purposes of this section.
6. Term. This Agreement shall become effective on the above date first written and shall continue
for a term of two (2) years from the termination date of negotiations. Notwithstanding the forgoing, the obligations
of CLIENT to maintain the confidentiality and the proprietary rights of the PROVIDER and the Trade Secrets as
defined herein shall survive the termination or expiration of this Agreement.
