47 Annual General Meeting to be held through Video Conference (VC) I Other Audio Visual means (OAVM)

1. The Members of the Company are hereby informed that the 47~ Annual General Meeting (AGM) of the Company will be held through Video Conference (VC) I Other Audio Visual means (OAVM) on Friday. 25~ September 2020 at 11.30 a.m. (1ST) in compliance with the provisions of the Companies Act, 2013 ("the Act') and rules thereof, including amendments thereunder read with the General Circular No. 1412020 dated a~ April 2020, 1712020 dated 13~ April 2020 and 2012020 dated 5"' May 2020, issued by the Ministry of Corporate Affairs (MCA Circulars) along with the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, including amendments thereunder read with the SEBI Circular No. SEBI/HOICFDICMD11CIR!PI2020/79 dated 12"' May 2020, to transact the business that shall be set forth in the Notice of AGM.

2. In terms of the above MCA Circulars and SEBI Circular, the Company shall send the AGM Notice and the Annual Report for the year 2019·20 including the Financial Statements for the year ended 31 • March 2020 by e-mail to those Members, whose e-mail addresses are reg1stered with the Company's Registrar and Share Transfer Agent ("RTA ")I Depository Participant(s). No physical copies of the Annual Report including Notice of the AGM will be sent to any Member of the Company. Members can join and participate in the 47"' AGM through VC I OAVM. Members attending the AGM through VC I OAVM shall be counted for the purpose of reckoning the quorum under provisions of Section 103 of the Companies Act, 2013.

3. The instructions for joining 47"' AGM, remote e-voting and e-voting during the AGM for Members holding shares in electronic mode, physical mode and for members who have not registered their email addresses will be provided in the Notice of 47"' AGM of the Company. The Company has engaged the services of Central Depository Services (India) Limited (CDSL) to provide e-voting facility to members of the Company which would enable them to cast votes electronically. The Notice of the 47"' AGM & the Annual Report for the year 2019-20 will also be made available on the Company's website www.gacl.com, stock exchanges website www.bselndla.com, www.nselndla.com and on CDSL website at www.evotlnglndla.com in due course.

4. Members can register their email addresses with Registrar and Share Transfer Agent (RTA) of the Company viz. Link lntime India Private Limited at https:llllnklntlme.co.lniEmaiiRegl Emaii_Reglater.html by entering the details of Folio No. I Demat Ale Number, Certificate No (for Physical Folio's only), Shareholder Name, PAN, Mobile Number and Email address with OTP Verification or Shareholders may send such details through email at vadodaraOIInklntlme.co.ln. While uploading I sending the said details self-certified copy of PAN and copy of Aadhaar card or Valid Passport are required to be attached for verification purpose.

5. Members who hold shares in physical form may also register I update their Bank Account details for receiving the dividend, if any, directly in their bank accounts through electronic mode or National Electronic Clearing Service (NECS) at the aforesaid link or can send an email, mentioning the Folio No. to the RTA of the Company by attaching copy of their cancelled cheque or bank passbook I statement attested by the bank.

Members who hold shares in dematerlised form can register their Bank Account details with their Depository Participants (DP) where they have their demat account by complying the requisite formalities of their DP. Such shareholders can also register their email address, PAN, Mobile Number etc. with their DP.
