OnApril15, 2014, Motorola Solutions, Inc. (the Company) issued the press release attached to this Current Report on Form 8-K as Exhibit 99.1 announcing that it expects revenue for the quarter ended March29, 2014 to be $1.8billion, down approximately 9% from the first quarter of 2013, and now expects full year sales to decline low single digits while operating margins are expected to be comparable to previous guidance. The Company also announced its expectations forcertain first quarter 2014 operating results.

Item8.01.Other

On April14, 2014, the Company entered into a Master Acquisition Agreement (theAcquisition Agreement) with Zebra Technologies Corporation (the Purchaser) to purchase the Enterprise business of the Company. The Purchaser has agreed to pay $3.45 billion in cash to the Company on the closing date of thetransaction. Certain assets of the Company relating to the Enterprise business will be excluded from the transaction and retained by the Company, including the Companys iDEN infrastructure business, and other assets and certain liabilities asspecified in the Acquisition Agreement. The terms of the Acquisition Agreement, including the conditions thereto, will be described in a subsequent filing on Form 8-K.

Motorola Solutions Reports Preliminary Fiscal 2014

First Quarter Results

SCHAUMBURG,Ill. April15, 2014 Motorola Solutions, Inc. (NYSE: MSI) today announced preliminary financial results for its first quarter 2014. Sales results were below the companys previous revenue outlook, primarily due tosofter demand in the North America Government business along with lower than anticipated Enterprise sales. Non-GAAP earnings per share were within the range of the companys previous earnings outlook. First quarter sales are expected to beapproximately $1.8 billion, down approximately 9 percent from the first quarter of 2013. Full-year total company 2014 sales are now expected to decline low single digits while operating margins are expected to be comparable to previous guidance.This full-year sales outlook assumes Enterprise growth and a low- to mid-single digit decline for the combined Government and iDEN business. The company will provide full earnings results on its call, now scheduled for May1.

GAAP operating earnings in the first quarter of 2014 are expected to be $170 million or 9.4 percent of sales. GAAP earnings per share are expected to be$0.49.

Non-GAAP* operating earnings in the first quarter are expected to be $212 million or 11.8 percent of sales. Non-GAAP earnings per share for thequarter are expected to be $0.50, within the companys previous guidance.

Greg Brown, chairman and CEO of Motorola Solutions, said: Revenuesin the quarter did not meet our expectations due primarily to lower than expected volumes in our North America Government business in addition to a push out of certain Enterprise orders late in the quarter. While revenues were less than anticipatedin the first quarter, we remain confident that we are well positioned for long-term profitable growth based on our strong pipeline position. We remain committed to our value creation strategy for our shareholders, which combines profitable growthwith significant and consistent capital return programs.

Use of Non-GAAP Financial Information

In addition to the GAAP results included in this presentation, Motorola Solutions also has included Non-GAAP measurements of results. We have provided theseNon-GAAP measurements to help investors better understand our core operating performance, enhance comparisons of core operating performance from period to period and allow better comparisons of operating performance to our competitors. Among otherthings, management uses these operating results, excluding the identified items, to evaluate performance of the businesses and to evaluate results relative to certain incentive compensation targets. Management uses operating results excluding theseitems because it believes this measurement enables it to make better period-to-period evaluations of the financial performance of core business operations. The Non-GAAP measurements are intended only as a supplement to the comparable GAAPmeasurements and the company compensates for the limitations inherent in the use of Non-GAAP measurements by using GAAP measures in conjunction with the Non-GAAP measurements. As a result, investors should consider these Non-GAAP measurements inaddition to, and not in substitution for or as superior to, measurements of financial performance prepared in accordance with GAAP.

*Non-GAAP financialinformation excludes from GAAP results the effects of share-based compensation expense, intangible assets amortization expense and highlighted items.

Highlighted items: The company has excluded the effects of highlighted items (and any reversals of highlighted items recorded in prior periods) fromits Non-GAAP operating expenses and net income measurements because the company believes that these historical items do not reflect expected future operating earnings or expenses and do not contribute to a meaningful evaluation of the companyscurrent operating performance or comparisons to the companys past operating performance.

Share-based compensation expense: The company hasexcluded share-based compensation expense from its Non-GAAP operating expenses and net income measurements. Although share-based compensation is a key incentive offered to our employees and the company believes such compensation contributed to therevenue earned during the periods presented and also believes it will contribute to the generation of future period revenues, the company continues to evaluate its performance excluding share-based compensation expense primarily because itrepresents a significant non-cash expense. Share-based compensation expense will recur in future periods.

Intangible assets amortization expense:The company has excluded intangible assets amortization expense from its Non-GAAP operating expenses and net income measurements, primarily because it represents a significant non-cash expense and because the company evaluates its performanceexcluding intangible assets amortization expense. Amortization of intangible assets is consistent in amount and frequency but is significantly affected by the timing and size of the companys acquisitions. Investors should note that the use ofintangible assets contributed to the companys revenues earned during the periods presented and will contribute to the companys future period revenues as well. Intangible assets amortization expense will recur in future periods.

Lincolnshire, Ill. and Schaumburg, Ill., April15, 2014Zebra Technologies Corporation (NASDAQ: ZBRA) and Motorola Solutions, Inc.(NYSE: MSI) today announced that they have entered into a definitive agreement in which Zebra will acquire Motorolas Enterprise business for $3.45 billion in an all-cash transaction. The acquisition will be funded through a combination of cashon hand and new debt. The transaction, which was approved by the Boards of Directors of both companies, is subject to customary closing conditions including regulatory approvals. The transaction is expected to be completed by the end of 2014.

This acquisition will transform Zebra into a leading provider of solutions that deliver greater intelligence and insights into our customersenterprises and extended value chains, stated Anders Gustafsson, Zebras chief executive officer. The Enterprise business will generate significant value for our shareholders by driving further product innovation and deeperengagement with our customers and partners. It positions Zebra as a leading technology innovator, with the accelerating convergence of mobility, data analytics and cloud computing.

Our Enterprise business is an ideal fit for Zebra, stated Greg Brown, Motorola Solutions chairman and CEO. This transaction will enable usto further sharpen our strategic focus on providing mission-critical solutions for our government and public safety customers. Upon closing of the transaction, we intend to return the proceeds to our shareholders in a timely fashion.

With 2013 pro-forma sales of approximately $2.5 billion (excluding sales of its iDEN products), Motorolas Enterprise business is an industry leader inmobile computing and advanced data capture communications technologies and services. Through this transaction, Zebra will enter the segment where Motorolas Enterprise business competes and strengthen its position in key industries includingRetail, Transportation& Logistics, and Manufacturing and serve approximately 95 percent of the Fortune 500.

Zebra Technologies, with 2013 sales of $1.0 billion, is an industry leader in barcode and enterprise printing,asset tracking, Internet of Things (IoT) solutions, and motion and location sensing. The combination of these technology offerings and asset tracking solutions, together with Motorolas Enterprise business, will create an industry leader inenterprise asset intelligence for the Connected Age.

The combined Zebra Technologies with Motorolas Enterprise business would have had pro-formasales in 2013 of approximately $3.5 billion. Approximately 4,500 employees are expected to join Zebra upon completing this transaction. Motorola Solutions will retain its iDEN product portfolio that was part of its Enterprise business and willcontinue its Government business, including its professional commercial radio product portfolio.

Last year, we undertook a thorough review of our strategy and concluded that the synergies between our Government and Enterprise businesses were not asgreat as the value we could create by being singularly focused on our core Government& Public Safety business, Motorolas Brown said. Going forward, we will have absolute clarity of purpose and mission as we servecustomers globally with our suite of mission-critical communications solutions. This business is truly distinctive in its industry leadership, strong pipeline position, long-term track record of consistent profitability and cash flow, and an arrayof growth opportunities.

Transaction Details

Under the agreement, Zebra will acquire the Enterprise business from Motorola Solutions in an all-cash transaction valued at $3.45 billion, which Zebramanagement expects to be immediately accretive on a cash earnings basis. Zebra expects to fund the transaction with approximately $200 million of available cash on hand and $3.25 billion that is fully committed to be raised through a new creditfacility and the issuance of debt securities. The transaction is not subject to a financing condition and is expected to be completed by the end of 2014.

Morgan Stanley is serving as financial adviser to Zebra and is providing a fully underwritten financing commitment for the debt component of the transaction.Kirkland& Ellis LLP is serving as legal advisor to Zebra.
