John "ellington, Butler resident, s*o+e a#out solar and trans*arency and the

#udget& e felt that at the time it was well intentioned, #ut it is *ro/ennow that the solar endea/or was a total failure& That #eing said, these

solar *roPects might ne/er ha/e ha**ened if at that time the Freeholder Board

had ta+en more in*ut from the *u#lic& :hat is going to ha**en going forward

:hat is this Board going to do to insure the *u#lic is *art of the maPor

decisions #y ha/ing more discussion and in*ut at the *u#lic meetings

Mr& "ellington as+ed if the current de#t is H22 million& Treasurer -o/alci+

said the de#t is H2)! million& Mr& "ellington as+ed what is the *roPected

date for the County to #e down to ero de#t&

Freeholder -ric+us answered that the County is *aying de#t at H1 million a

year& 6#/iously, that is going to de*end on future *olicy decisions from the

Board& :e *roPect to do that o/er 4 years at H4< million #ut stated that will#e u* to future Freeholder Boards&

DThere were ! counties who did renewa#le energy *roPects( Morris, Susse,

Somerset, Mercer, and Gnion& t was a *u#lic *ri/ate *artnershi* which would

utilie *ri/ate in/estment funds, ta credits and grants to *ro/ide solar

energy at *u#lic #uildings at no e*ense to *u#lic entities& All of the

information gi/en to the Board, which was ! different freeholder #oards

including the mar+et data all indicated that e/erything was all *ositi/e&

/erything that was done #y the Authority and the Freeholder Board and was

done in *u#lic session& 6f the )! Freeholders that consist on the ! #oards,

1? were democratic and 1' were re*u#licans #ecause of ) re*u#lican counties

and 2 democratic controlled counties& All the Freeholders /oted yes in their

res*ected counties& There was only one mem#er of the *u#lic who came to s*ea+

against these *roPects in the ! counties& That was in Susse& No one came from

any of the other counties #ecause what was *resented was a *ositi/e thing&

Morris County itself, #ased on CCM and the Mennen Arena will sa/e millions of

dollars o/er the course of this& All of the *u#lic entities that had

su#scri#ed will sa/e tremendous amounts of money li+e <R on their electric

#ills o/er the course of time& There is no shortage of entities that wanted

to get on line here& That is why we were ha/ing '1 *roPects among our )

counties u* here& That7s why #elie/e the engineering that did this was

o/erloaded and didn7t +now #ecause it was such a *ositi/e thing&E

Joe Basralian, Chatham Townshi* resident, than+ed the Board for their ser/ice&

e s*o+e a#out "ilgrim "i*eline& e #elie/es in fossil fuels #ut does not

#elie/e that *lacing crude oil in the middle of communities ma+es any sense&The ris+ of the water su**ly and ris+ on health and *eace of mind and *ro*erty

Administrator Bonanni said that the morning after the meeting he contacted the

State Com*trollers 6ffice and tal+ed to an in/estigator who as+ed for

information which Administrator Bonanni *ut together in a com*rehensi/e email

form to him that he sent to him last Friday and that7s where it sits at this

*oint at the State 6ffice&

Freeholder Mastrangelo said to Mr& Mo+en, D a**reciate as freeholder e/eryone

who comes to this *u#lic meeting and as+ .uestions& As far as settlement,

e/erything that too+ *lace too+ *lace in closed session with all se/en

Freeholders& Si Freeholders /oted for settlement in closed session& More

than once, we ga/e our attorneys direction and more than once the H14&)

million was a threshold that was set #y e/ery Freeholder for our law firm to

go and see if we could settle on that figure& :e ha/e minutes in closed

session that descri#e that& :e had an economic decision to ma+e whether we

litigate and s*end millions of dollars to do that, :e had se/eral scenarios&

7m going to as+ our attorney and Mr& Bonanni to +ee* me straight on this& f

we would ha/e litigated and lost, was told and we were all told that itwould #e in the millions of dollars that we would ha/e #een hit for& f we

litigated and won, we would #e loo+ing at a higher num#er than what we settled

for& f we settled, we were told #y the attorneys and the *rofessionals that

it was the #est economic decision for the County& As far as the

in/estigation, we *ut u* a resolution last wee+ for the State Com*troller7s

6ffice to come in first& f needed the State Attorney7s 9eneral 6ffice will

come in& f the State Com*troller7s 6ffice does not come in& Freeholder

-ric+us and tal+ed a#out this earlier& f the State Com*troller7s 6ffice

does not come in, then a resolution will #e *ut together for an outside firm

to come in and to ta+e a loo+ at this transaction& f the outside firm finds

anything else then any other unit of go/ernment can come in and ta+e a loo+&

No one u* here has done anything wrong& No one u* here has made secret deals&

No one u* here has done anything ece*t to go/ern the #est way we can on this

situation& My decision was an economic decision and to minimie any more

losses for the ta*ayer&E

Mr& Mo+en said that he still feels that the *u#lic was not gi/en any of the

details&

Freeholder Mastrangelo said DBecause we were in litigation, we were ad/ised #y

our attorneys that we had to +ee* this in closed session and could not

com*romise either the litigation or negotiation& :e were trans*arent when we

were a#le to #e trans*arent #ased on the ad/ice of our attorneys&E

Mr& Mo+en felt that all the .uestions they we were *re*ared to as+ were a#out

Solar and Solar and what was going on with the *roPect& e felt they

were outside the realm of the litigation *rocess and the settlement&

Counsel 67Mullan said that we go into closed session for those items that are

identified as in the section of the 6*en "u#lic Meetings Act that are either

re.uired or *ermit closed session& Mr& 67Mullan said that if Mr& Mo+en wants

closed session minutes from those items, he can ma+e a re.uest for them&

Mr& Mo+en feels that the Board selecti/ely reframes the issues for the *u#lic

after the closed sessions&

$ay Newman, :harton resident, said the logic #ehind the ad/ice that was gi/en

originally for the solar *roPect a**ears to #e contradictory com*ared to the

logic that Freeholder Mastrangelo tal+ed a#out& e is sus*icious of

go/ernment& e as+ed what were the *a*ers that Freeholder Sca*icchio held u*

last wee+ :hy was there such a rush to get the settlement done

Counsel 67Mullan said DThe reason as understand it, is that we hired a firm

to re*resent us who were e*erts in the area of #onding and transactional

matters and also with the litigation& The litigation situation had reached a

*oint where some of the *arties had #een *ut through ar#itration& All of the

*arties had #een through mediation, and it reached a *oint where settlement

was on the ta#le and was #eing negotiated among the attorneys for a *eriod of

time& t was a com*licated situation in/ol/ing ) counties, and ) county#oards& t was either settle the matter or mo/e on with the litigation& t

was dictated entirely #y the schedule and the num#ers set u* #y the on8going

litigation situation&E

Mr& Newman as+ed if they were suing for ser/ices rendered&

Counsel 67Mullan said that it was a /ery com*licated situation and a com*le

case& The time had come for this thing to either settle or not to settle and

mo/e on that was dictated #y the state of the litigation not Pust #ecause the

Freeholders here decided it was time to settle&

who su**osedly has the #ond, and that #ond was only for one year and the*roPect didn7t start until the time limit on the #ond was o/er so #asically

that meant that there was no surety #ond or no guaranteed of *erformance& The

retired today with the necessary years of em*loyment& This is a loo+ at

million& f you loo+ at the aging of the wor+ force what we do is ta+e a loo+

annually what we en/ision as far as retirements& 0ast year we had a num#er of

retirements&
