Basic Column defines the simplest engine, designed for unattended machinery spaces (UMS), without taking into consideration any further requirements from the classification society, the yard, the owner or any specific regulations.
Option Column lists the different alternatives available in order to fulfil the requirements/functions for a specific project.
Remarks for specific engine types are valid for their dual fuel versions too, unless othwerwise noted.

IntroductionThis ‘Extent of Delivery’ (EoD) is provided to facilitate negotiations between the yard, the engine maker and the customer in specifying the scope of supply for a specific project. It describes MAN Energy Solutions recommended basic and optional executions and indicates our ‘Copenhagen Standard Extent of Delivery’ as explained below.
The final and binding extent of delivery of MAN B&W two-stroke engines is to be supplied by our licensee, the engine maker, who should be contacted in order to determine the execution for the actual project.
Please note that licencees may select a different extent of delivery as their standard.

GENERAL CONDITIONSfor the
SUPPLY OF MECHANICAL, ELECTRICAL AND ELECTRONIC PRODUCTS

PREAMBLE
1. These General Conditions shall apply when the parties
agree In Writing or otherwise thereto. Any modifications of or
deviationsfromthemmustbeagreedInWriting.
DEFINITIONS
2. IntheseGeneralConditionsthefollowingtermsshallhave
themeaningshereunderassignedtothem:
- “Contract”: the agreement In Writing between the
parties concerning supply of the Product and all appendices,
includingagreedamendmentsandadditionsInWritingtothesaid
documents;
- “Gross Negligence”:anactoromissionimplyingeither
a failure to pay due regard to serious consequences, which a
conscientiouscontractingpartywouldnormallyforeseeaslikely
toensue,oradeliberatedisregardoftheconsequencesofsuch
anactoromission;
- “In Writing”: communication by document signed by
bothpartiesorby letter, fax,electronicmail andbysuchother
meansasareagreedbytheparties;
- “the Product”: the object(s) to be supplied under the
Contract,includingsoftwareanddocumentation.
PRODUCT INFORMATION
3. All information and data contained in general product
documentationandpricelistsshallbebindingonlytotheextent
that they are by reference InWriting expressly included in the
Contract.
DRAWINGS AND TECHNICAL INFORMATION
4. All drawings and technical documents relating to the
Productor itsmanufacturesubmittedbyonepartytotheother,
priororsubsequenttotheformationoftheContract,shallremain
thepropertyofthesubmittingparty.
Drawings, technical documents or other technical
informationreceivedbyonepartyshallnot,withouttheconsent
of theotherparty, beused for anyotherpurpose than that for
whichtheywereprovided.Theymaynot,withouttheconsentof
thesubmittingparty,otherwisebeusedorcopied, reproduced,
transmittedorcommunicatedtoathirdparty.
5. TheSupplier shall, not later thanat thedateof delivery,
provide free of charge information and drawings which are
necessarytopermitthePurchasertoinstall,commission,operate
andmaintain theProduct.Such informationanddrawingsshall
be supplied in the number of copies agreed upon or at least
onecopyofeach.TheSuppliershallnotbeobliged toprovide
manufacturingdrawingsfortheProductorforspareparts.
ACCEPTANCE TESTS
6. AcceptancetestsprovidedforintheContractshall,unless
otherwise agreed, be carried out at the place of manufacture
duringnormalworkinghours.
IftheContractdoesnotspecifythetechnicalrequirements,
thetestsshallbecarriedoutinaccordancewithgeneralpractice
intheappropriatebranchofindustryconcernedinthecountryof
manufacture.
7. The Supplier shall notify the Purchaser InWriting of the
acceptancetestsinsufficienttimetopermitthePurchasertobe
representedatthetests.IfthePurchaserisnotrepresented,the
testreportshallbesenttothePurchaserandshallbeaccepted
asaccurate.
8. If the acceptance tests show the Product not to be in
accordancewith theContract, the Supplier shall without delay
remedy any deficiencies in order to ensure that the Product
complieswiththeContract.Newtestsshallthenbecarriedoutat
thePurchaser’srequest,unlessthedeficiencywasinsignificant.
9. TheSuppliershallbearallcostsforacceptancetestscarried
out at the place of manufacture. The Purchaser shall however
bear all travellingand livingexpenses for his representatives in
connectionwithsuchtests.
DELIVERY. PASSING OF RISK
10. Anyagreed trade termshallbeconstrued inaccordance
withtheINCOTERMS®inforceattheformationoftheContract.
Ifnotradetermhasbeenspecificallyagreed,thedelivery
shallbeFreeCarrier(FCA)attheplacenamedbytheSupplier.
If,inthecaseofdeliveryFreeCarrier,theSupplier,atthe
requestof thePurchaser,undertakestosendtheProduct to its
destination,theriskwillpassnotlaterthanwhentheProductis
handedovertothefirstcarrier.
Partial delivery shall not be permitted, unless otherwise
agreed.
TIME FOR DELIVERY. DELAY
11. If theparties, insteadof specifying thedate for delivery,
havespecifiedaperiodof timewithinwhichdeliveryshall take
place, such period shall start to run as soon as the Contract
is entered into and all agreed preconditions to be fulfilled by
the Purchaser have been satisfied, such as official formalities,
paymentsdueattheformationoftheContractandsecurities.
12. IftheSupplieranticipatesthathewillnotbeabletodeliver
theProductat thetimefordelivery,heshall forthwithnotify the

PurchaserthereofInWriting,statingthereasonand,ifpossible,
thetimewhendeliverycanbeexpected.
IftheSupplierfailstogivesuchnotice,thePurchasershall
be entitled to compensation for any additional costs which he
incursandwhichhecouldhaveavoidedhadhe receivedsuch
notice.
13. Ifdelayindeliveryiscausedbyanyofthecircumstances
mentionedinClause41,byanactoromissiononthepartofthe
Purchaser,includingsuspensionunderClauses21and44,orany
other circumstances attributable to the Purchaser, the Supplier
shallbeentitledtoextendthetimefordeliverybyaperiodwhich
isnecessaryhavingregardtoallthecircumstancesofthecase.
Thisprovisionshallapplyregardlessofwhetherthereasonforthe
delayoccursbeforeoraftertheagreedtimefordelivery.
14. IftheProductisnotdeliveredatthetimefordelivery,the
Purchasershallbeentitledtoliquidateddamagesfromthedate
onwhichdeliveryshouldhavetakenplace.
The liquidateddamagesshallbepayableatarateof0.5
per cent of the purchase price for each commenced week of
delay.The liquidateddamagesshallnotexceed7.5percentof
thepurchaseprice.
If only part of the Product is delayed, the liquidated
damagesshallbecalculatedon thatpartof thepurchaseprice
which is attributable to such part of the Product as cannot in
consequenceofthedelaybeusedasintendedbytheparties.
The liquidated damages shall become due at the
Purchaser’sdemandInWritingbutnotbeforedeliveryhasbeen
completedortheContractisterminatedunderClause15.
ThePurchasershallforfeithisrighttoliquidateddamages
ifhehasnotlodgedaclaimInWritingforsuchdamageswithinsix
monthsafterthetimewhendeliveryshouldhavetakenplace.
15. If the delay in delivery is such that the Purchaser is
entitled tomaximum liquidated damages underClause 14 and
iftheProductisstillnotdelivered,thePurchasermayInWriting
demanddeliverywithinafinalreasonableperiodwhichshallnot
belessthanoneweek.
If the Supplier does not deliver within such final period
andthis isnotduetoanycircumstanceswhichareattributable
to the Purchaser, then the Purchasermay by notice InWriting
totheSupplierterminatetheContractinrespectofsuchpartof
theProductascannotinconsequenceoftheSupplier’sfailureto
deliverbeusedasintendedbytheparties.
If the Purchaser terminates the Contract he shall be
entitledtocompensationforthelosshesuffersasaresultofthe
Supplier’s delay, including any consequential and indirect loss.
Thetotalcompensation,includingtheliquidateddamageswhich
arepayableunderClause14,shallnotexceed15percentofthat
partofthepurchasepricewhichisattributabletothepartofthe
ProductinrespectofwhichtheContractisterminated.
ThePurchaser shall also have the right to terminate the
Contract by notice InWriting to the Supplier, if it is clear from
thecircumstancesthattherewilloccuradelayindeliverywhich,
under Clause 14, would entitle the Purchaser to maximum
liquidated damages. In case of termination for this reason, the
Purchasershallbeentitledtomaximumliquidateddamagesand
compensationunderthethirdparagraphofthisClause15.
16. LiquidateddamagesunderClause14and terminationof
the Contract with limited compensation under Clause 15 shall
betheonlyremediesavailabletothePurchaserincaseofdelay
onthepartoftheSupplier.AllotherclaimsagainsttheSupplier
basedonsuchdelayshallbeexcluded,exceptwheretheSupplier
hasbeenguiltyofGrossNegligence.
17. IfthePurchaseranticipatesthathewillbeunabletoaccept
deliveryoftheProductatthetimefordelivery,heshallforthwith
notify theSupplier InWriting thereof, stating the reasonand, if
possible,thetimewhenhewillbeabletoacceptdelivery.
If the Purchaser fails to accept delivery at the time for
delivery,heshallneverthelesspayanypartofthepurchaseprice
which becomes due at the time for delivery, as if delivery had
takenplaceatthetimefordelivery.TheSuppliershallarrangefor
storageoftheProductattheriskandexpenseofthePurchaser.
TheSupplier shall also, if thePurchaser so requires, insure the
ProductatthePurchaser’sexpense.
18. UnlessthePurchaser’sfailuretoacceptdeliveryisdueto
anysuchcircumstanceasmentionedinClause41,theSupplier
maybynoticeInWritingrequirethePurchasertoacceptdelivery
withinafinalreasonableperiod.
If,foranyreasonwhichisnotattributabletotheSupplier,
the Purchaser fails to accept delivery within such period, the
SuppliermaybynoticeInWritingterminatetheContractinwhole
orinpart.TheSuppliershallthenbeentitledtocompensationfor
thelosshesuffersbyreasonofthePurchaser’sdefault,including
anyconsequentialandindirectloss.Thecompensationshallnot
exceedthatpartofthepurchasepricewhichisattributabletothat
partoftheProductinrespectofwhichtheContractisterminated.
PAYMENT
19. Payment shall bemadewithin 30days after thedateof
invoice.
Unless otherwise agreed, the purchase price shall be
paidwithonethirdattheformationoftheContractandonethird
whentheSuppliernotifiesthePurchaserthattheProduct,orthe
essentialpartofit,isreadyfordelivery.Theremainingpartofthe
purchasepriceshallbepaidwhentheentireProductisdelivered.
20. Whateverthemeansofpaymentused,paymentshallnot
bedeemedtohavebeeneffectedbeforetheSupplier’saccount
hasbeenirrevocablycreditedfortheamountdue.
21. If the Purchaser fails to pay by the stipulated date, the
Supplier shall be entitled to interest from the day on which
paymentwasdueandtocompensationforrecoverycosts.The
rateofinterestshallbeasagreedbetweenthepartiesorotherwise
8percentagepointsabovetherateofthemainrefinancingfacility
of the European Central Bank. The compensation for recovery
costsshallbe1percentoftheamountforwhichinterestforlate
paymentbecomesdue.
In case of late payment and in case the Purchaser fails
to give an agreed security by the stipulated date the Supplier
may,afterhavingnotifiedthePurchaser InWriting,suspendhis
performanceoftheContractuntilhereceivespaymentor,where
appropriate,untilthePurchasergivestheagreedsecurity.
IfthePurchaserhasnotpaidtheamountduewithinthree
monthstheSuppliershallbeentitledtoterminatetheContractby
noticeInWritingtothePurchaserand,inadditiontotheinterest
andcompensationforrecoverycostsaccordingtothisClause,to
claimcompensation for the losshe incurs.Suchcompensation
shallnotexceedtheagreedpurchaseprice.

RETENTION OF TITLE
22. TheProductshallremainthepropertyoftheSupplieruntil
paid for in full to the extent that such retention of title is valid
undertherelevantlaw.
ThePurchasershallat the requestof theSupplierassist
him in takinganymeasuresnecessary toprotect theSupplier’s
titletotheProduct.
The retention of title shall not affect the passing of risk
underClause10.
LIABILITY FOR DEFECTS
23. PursuanttotheprovisionsofClauses24-39,theSupplier
shall remedy any defect or nonconformity (hereinafter termed
defect(s))resultingfromfaultydesign,materialsorworkmanship.
24. The Supplier shall not be liable for defects arising out
ofmaterialsprovidedoradesignstipulatedorspecifiedby the
Purchaser.
25. TheSuppliershallonlybeliablefordefectswhichappear
undertheconditionsofoperationprovidedforintheContractand
underproperuseoftheProduct.
26. The Supplier shall not be liable for defects caused by
circumstances, which arise after the risk has passed to the
Purchaser, e.g. defects due to faulty maintenance, incorrect
installationorfaultyrepairbythePurchaserortoalterationscarried
outwithouttheSupplier’sconsentInWriting.TheSuppliershall
neitherbeliablefornormalwearandtearnorfordeterioration.
27. The Supplier’s liability shall be limited to defects which
appear within a period of one year from delivery. If the use of
theProduct exceeds thatwhich is agreed, this period shall be
reducedproportionately.
28. WhenadefectinapartoftheProducthasbeenremedied,
theSuppliershallbeliablefordefectsintherepairedorreplaced
partunderthesametermsandconditionsasthoseapplicableto
theoriginalProduct foraperiodofoneyear.For the remaining
partsoftheProducttheperiodmentionedinClause27shallbe
extendedonlybyaperiodequaltotheperiodduringwhichand
totheextentthattheProductcouldnotbeusedasaresultofthe
defect.
29. ThePurchasershallwithoutunduedelaynotifytheSupplier
InWritingofanydefectwhichappears.Suchnoticeshallunder
nocircumstancesbegivenlaterthantwoweeksaftertheexpiry
oftheperiodgiveninClause27ortheextendedperiod(s)under
Clause28,whereapplicable.
Thenoticeshallcontainadescriptionofthedefect.
IfthePurchaserfailstonotifytheSupplierInWritingofa
defectwithinthetimelimitssetforthinthefirstparagraphofthis
Clause,heshalllosehisrighttohavethedefectremedied.
Where thedefect issuch that itmaycausedamage, the
Purchaser shall immediately inform theSupplier InWriting.The
PurchasershallbeartheriskofdamagetotheProductresulting
fromhisfailuresotonotify.ThePurchasershalltakereasonable
measurestominimisedamageandshall in thatrespectcomply
withinstructionsoftheSupplier.
30. On receipt of the notice under Clause 29 the Supplier
shallathisowncostremedythedefectwithoutunduedelay,as
stipulatedinClauses23-39.Thetimeforremedialworkshallbe
choseninordernottointerfereunnecessarilywiththePurchaser’s
activities.
RepairshallbecarriedoutattheplacewheretheProduct
islocatedunlesstheSupplierdeemsitmoreappropriatethatthe
Productissenttohimoradestinationspecifiedbyhim.
Ifthedefectcanberemediedbyreplacementorrepairof
adefectivepartandifdismantlingandre-installationofthepart
donotrequirespecialknowledge,theSuppliermaydemandthat
thedefectivepartissenttohimoradestinationspecifiedbyhim.
In such case the Supplier shall have fulfilled his obligations in
respectofthedefectwhenhedeliversadulyrepairedpartora
partinreplacementtothePurchaser.
31. ThePurchasershallathisownexpenseprovideaccessto
theProductandarrangeforanyinterventioninequipmentother
thantheProduct,totheextentthatthisisnecessarytoremedy
thedefect.
32. Unless otherwise agreed, necessary transport of the
ProductorpartsthereoftoandfromtheSupplier inconnection
withtheremedyingofdefectsforwhichtheSupplierisliableshall
beat theriskandexpenseof theSupplier.ThePurchasershall
followtheSupplier’sinstructionsregardingsuchtransport.
33. Unless otherwise agreed, the Purchaser shall bear any
additional costs which the Supplier incurs for remedying the
defectcausedbytheProductbeinglocatedinaplaceotherthan
the destination stated at the formation of the Contract for the
Supplier’sdeliverytothePurchaseror–ifnodestinationhasbeen
stated–theplaceofdelivery.
34. Defectivepartswhichhavebeenreplacedshallbemade
availabletotheSupplierandshallbehisproperty.
35. If the Purchaser has given such notice asmentioned in
Clause29andnodefectisfoundforwhichtheSupplierisliable,
theSupplier shall beentitled tocompensation for thecostshe
incursasaresultofthenotice.
36. IftheSupplierdoesnotfulfilhisobligationsunderClause
30,thePurchasermaybynoticeInWritingfixafinalreasonable
periodforcompletionoftheSupplier’sobligations,whichshallnot
belessthanoneweek.
IftheSupplierfailstofulfilhisobligationswithinsuchfinal
period, thePurchasermayhimself undertakeor employa third
partytoundertakenecessaryrepairworkattheriskandexpense
oftheSupplier.
Where successful repair work has been undertaken by
the Purchaser or a third party, reimbursement by the Supplier
of reasonable costs incurred by the Purchaser shall be in full
settlementoftheSupplier’sliabilitiesforthesaiddefect.
37. WheretheProducthasnotbeensuccessfullyrepaired,as
stipulatedunderClause36,
a) the Purchaser shall be entitled to a reduction of the
purchasepriceinproportiontothereducedvalueoftheProduct,
provided that under no circumstances shall such reduction
exceed15percentofthepurchaseprice,or
b) where the defect is so substantial as to significantly
deprivethePurchaserofthebenefitoftheContractasregardsthe
Productorasubstantialpartof it, thePurchasermayterminate

the Contract by notice InWriting to the Supplier in respect of
suchpartoftheProductascannotinconsequenceofthedefect
beusedasintendedbytheparties.ThePurchasershallthenbe
entitledtocompensationforhisloss,costsanddamagesuptoa
maximumof15percentofthatpartofthepurchasepricewhich
isattributabletothepartoftheProductinrespectofwhichthe
Contractisterminated.
38. Notwithstanding the provisions of Clauses 23-37 the
SuppliershallnotbeliablefordefectsinanypartoftheProduct
formorethanoneyearfromtheendoftheliabilityperiodreferred
toinClause27orfromtheendofanyotherliabilityperiodagreed
uponbytheparties.
39. SaveasstipulatedinClauses23-38,theSuppliershallnot
beliablefordefects.Thisappliestoanylossthedefectmaycause
includinglossofproduction,lossofprofitandotherindirectloss.
This limitationof theSupplier’s liabilityshallnotapply ifhehas
beenguiltyofGrossNegligence.
ALLOCATION OF LIABILITY FOR DAMAGE CAUSED BY THE
PRODUCT
40. TheSuppliershallnotbeliableforanydamagetoproperty
causedbytheProductafterithasbeendeliveredandwhilstitis
inthepossessionofthePurchaser.NorshalltheSupplierbeliable
foranydamagetoproductsmanufacturedbythePurchaserorto
productsofwhichthePurchaser’sproductsformapart.
If the Supplier incurs liability towards any third party
for such damage to property as described in the preceding
paragraph, the Purchaser shall indemnify, defend and hold the
Supplierharmless.
IfaclaimfordamageasdescribedinthisClauseislodged
bya thirdpartyagainstoneof theparties, the latterpartyshall
forthwithinformtheotherpartythereofInWriting.
TheSupplierandthePurchasershallbemutuallyobliged
to let themselvesbesummoned to thecourtorarbitral tribunal
examiningclaimsfordamageslodgedagainstoneofthemonthe
basis of damage allegedly caused by the Product. The liability
betweentheSupplierandthePurchasershallhoweverbesettled
inaccordancewithClause46.
ThelimitationoftheSupplier’sliabilityinthefirstparagraph
ofthisClauseshallnotapplywheretheSupplierhasbeenguiltyof
GrossNegligence.
FORCE MAJEURE
41. Eitherpartyshallbeentitledtosuspendperformanceofhis
obligationsundertheContracttotheextentthatsuchperformance
is impeded or made unreasonably onerous by Force Majeure,
meaninganyof the followingcircumstances: industrialdisputes
and any other circumstance beyond the control of the parties
such as fire, war, extensive military mobilization, insurrection,
requisition, seizure, embargo, restrictions in the use of power,
currency and export restrictions, epidemics, natural disasters,
extreme natural events, terrorist acts and defects or delays in
deliveriesbysub-contractorscausedbyanysuchcircumstance
referredtointhisClause.
AcircumstancereferredtointhisClausewhetheroccurring
priortooraftertheformationoftheContractshallgivearightto
suspensiononly if itseffectontheperformanceoftheContract
couldnotbeforeseenatthetimeoftheformationoftheContract.
42. ThepartyclaimingtobeaffectedbyForceMajeureshall
notifytheotherpartyInWritingwithoutdelayontheintervention
andonthecessationofsuchcircumstance.Ifapartyfailstogive
suchnotice,theotherpartyshallbeentitledtocompensationfor
any additional costswhich he incurs andwhich he could have
avoidedhadhereceivedsuchnotice.
If Force Majeure prevents the Purchaser from fulfilling
his obligations, he shall compensate theSupplier for expenses
incurredinsecuringandprotectingtheProduct.
43. Regardless of what might otherwise follow from these
GeneralConditions,eitherpartyshallbeentitledtoterminatethe
Contract by notice InWriting to the other party if performance
oftheContractissuspendedunderClause41formorethansix
months.
ANTICIPATED NON-PERFORMANCE
44. Notwithstanding other provisions in these General
Conditionsregardingsuspension,eachpartyshallbeentitledto
suspendtheperformanceofhisobligationsundertheContract,
where it is clear from thecircumstances that theotherparty is
not going to perform his obligations. A party suspending his

DISPUTES AND APPLICABLE LAW
46. AlldisputesarisingoutoforinconnectionwiththeContract
shall be finally settled under the Rules of Arbitration of the
InternationalChamberofCommercebyoneormorearbitrators
appointedinaccordancewiththesaidRules.
47. TheContractshallbegovernedbythesubstantivelawof
theSupplier’scountry.

MAN Energy SolutionsSales addendum to General Conditions Orgalime S 2012
This Addendum contains conditions valid for the tender and sale of diesel engine plants and other equipment fromMAN Energy Solutions, amending and supplementing the General Conditions for the Supply of Mechanical, Electrical and Electronic Products, S 2012, prepared by Orgalime March 2012.
Supplementary clause 5A – RegulationsThe Product shall be in accordance only with such regulations as expressly stated in the Contract and as in force on the date of formation of the Contract.
Supplementary clause 9A – InspectionsThe Purchaser shall be entitled for his own account to have the quality of the manufacture of the Product inspected by his authorised representatives. Such inspection shall be carried out at the place of manufacture during normal working hours according to agreement with the Supplier as to date and time.
Supplementary clause 9B – Erectors, supervisors and/or test engineersThe Supplier shall provide the assistance of erectors, supervisors and/or test engineers for quay and sea trial to the extent stipulated in the Contract.Such erectors, supervisors and/or test engineers shall act under the management of the Purchaser and will give comments and advice to the best of their knowledge on technical questions. Theresponsibility for compliance with such advice and/or recommendation rests solely with the Purchaser.The Supplier’s liability for negligent assistance of erectors, supervisors and/or test engineers shallbe limited as stipulated in clauses 23 - 39.
Delivery. Passing of riskReplace clause 10 by the following:Any agreed trade term shall be construed in accordance with the INCOTERMS in force at the formation of the Contract.If no trade term has been specifically agreed, the delivery shall be Ex Works (EXW).If, in the case of delivery Ex Works, the Supplier, at the request of the Purchaser, undertakes to send the Product to its destination, the risk will pass not later than when Supplier has notified Purchaser that the Product is ready for dispatch. Partial shipments shall be permitted unless otherwise agreed.
Time of delivery. DelayReplace clause 14, 2nd para by the following:The liquidated damages shall be payable at a rate of 0.5 per cent of the purchase price for each completed week of delay. The liquidated damages shall not exceed 7.5 per cent of the purchase price.
Add to clause 18:As a minimum the Supplier shall be entitled to a compensation corresponding to 10% of that part of the purchase price which is attributable to the part of the Product in respect of which theContract is terminated.
Liability for defectsReplace clause 27 by the following:The Supplier’s liability is limited to defects that have been notified to the Supplier within a period of either 12 months from the date the Product was taken into use (sea trial of the vessel orcommissioning of the Product as the case may be) or 18 months
from the date of delivery of the Product, whichever period expires first.
Add to clause 30:When the Supplier is to carry out repair works at the place where the Product is located, the Purchaser shall make available and bear the costs of an adequate number of fitters, local transport, lifting gear, towing, dockage, supply of electricity and similar supplies.
Add to clause 32:The Supplier is in no case obliged to pay for airway transportation of defective or replacement parts.
Replace clause 38 by the following:Notwithstanding the provisions of clauses 23 – 37, the Supplier shall not be liable for defects in any part of the Product for more than two years from the commissioning of the Product.
Add to clause 39The provisions in clauses 23 - 40A set forth the exclusive remedies for claims based upon defects in the Product irrespective of whether the claims are based upon contract, warranty, negligence, tort or otherwise.No implied warranty of merchantability or fitnessfor a particular purpose shall apply.The warranties expressed herein are exclusive ofall other written, implied, oral or statutorywarranties, terms or conditions.
Division of liability for damage caused by theProductSupplementary clause 40A:The Supplier’s liability otherwise for damage caused by the Product to the property of third parties shall be limited to DKK twenty (20) million, and the Supplier shall in no case be liable for loss of production, loss of profit or any other consequential economic loss.In the event that the Supplier should incur liability towards a third party in excess of the limitations stipulated above in this clause 40A, the Purchaser shall indemnify the Supplier.The limitations of the Supplier’s liability according to this clause 40A shall not apply where the Supplier has been guilty of gross negligence as defined in clause 12.
Anticipated Non_PerformanceAdd to clause 44:If the other party cannot provide adequate security for his performance under the Contract within a reasonable period of time, the party suspending his performance according to thisclause 44 shall be entitled to terminate the Contract and to claim compensation.
