1. Preface 1
There are no specific investment approvals required for setting up a business in Romania. The procedure requires fulfilling certain legal formalities such as getting a delegated judge’s approval, and registering with the Romanian Trade Register and the Fiscal Administration.
Limited Liability CompanyThe minimum capital requirement for a limited liability company (Societate cu Raspundere Limitata in Romanian, or SRL) is ROL 2 million (RON 200) and the minimum value per share of the capital is ROL 100,000 (RON 10). The maximum number of equity partners permitted in such a company is 50.A SRL is managed by one or more administrators who may have full or limited powers and who may be Romanian or foreign nationals. There is no distinction between companies operating with or without foreign share capital.
Joint stock companyThe minimum capital requirement for a joint stock company (Societate pe Actiuni in Romanian, or SA) is EUR 25000 and the minimum nominal value per share is ROL 1,000 (RON 0.1). When a SA is set up, at least 30% of the subscribed share capital, or 100% in case of contributions in kind, must be immediately contributed upon formation of the company. The subscribed share capital must be fully paid within 12 months of formation. Shares must be held by a minimum of five shareholders at all times (there is no maximum limit) and can be open to either public or private subscription.One or more members of the company’s board of directors, who may or may not be shareholders, should administer the day-to-day activities of the SA. Board members should convene a meeting at least once a month to decide on the topics of the agenda and decisions should be taken by a majority vote of the board members present.
Representative officeForeign companies can set up representative offices in Romania to carry out preparatory or ancillary activities such as advertising and market research. However, representative offices cannot carry out commercial activities in Romania. In order to register a representative office, company officials should apply to the General Department of Commercial Policies in the Ministry of Economy and Trade and pay an annual fee of USD 1,200 for the licence.
Branch of foreign companyBranches of foreign companies can be registered in Romania to carry out commercial operations.A branch is subject to corporate profits tax in the same way as other Romanian companies, but there are no remittance taxes for such branches. Using branches of foreign companies for commercial activities is relatively rare because of poor legislation compared to the clear and extensive provisions for SRLs and SAs.

PartnershipUnder Romanian law, partnerships may either be limited or general:
• General partnership – the partnership’s obligations are guaranteed by the capital and by the unlimited joint liability of all partners;
• Limited partnership – the partnership’s obligations are guaranteed by the capital and by the unlimited joint liability of all unlimited partners; limited partners are liable only up to the value of their share contribution.
The most significant characteristic of a general partnership is the unlimited joint and several liability of general partners for the debts of the partnership.A limited partnership is similar to a general partnership except it has one or more limited partners who are liable for the debts of the partnership only up to the amount of their capital contributions.Partnerships are not a preferred medium for doing business in Romania.
ConsortiumRomanian legislation allows joint venture agreements (Contract de Asociere in Participatiune in Romanian) in which different parties act together for the accomplishment of a common business goal. This form of doing business in Romania does not lead to the creation of a legal entity. Usually, one party is in charge of keeping books of the joint venture.
TrustRomanian legislation does not recognise the concept of a trust.
Economic Interest Group (EIG)An EIG can be defined as an association of two or more individuals or companies set up for a definite period. Its main objective is the development of the activities of the members; the development of the EIG itself is secondary. An EIG is allowed a maximum of 20 members.A key feature of EIGs is the unlimited joint liability of its members and the fact that it may not, directly or indirectly, own shares in one of its member companies or in another EIG. An EIG is not allowed to issue shares, bonds or other negotiable instruments.
European Economic Interest Group (EEIG)An EEIG is an association of two or more individuals or legal entities with the objective of developing the activities of its members. The development of the EEIG itself is secondary.An EEIG can be set up in any EU member state, but may function in Romania through subsidiaries, branches, representative offices or other non-legal entities provided these conform to domestic legislation. The subsidiaries and branches of an EEIG are subject to the same registration procedure as EIGs, viz. with the trade registry where these are located.
Entities commonly used by foreign investorsLimited liability companies (SRLs) are the most popular vehicles for business in Romania because of simple administrative requirements, greater flexibility compared to other types of companies and low capital requirement. However, the number of joint stock companies (SAs) and their attractiveness to investors are increasing.

11General Bu sines s Conditions of the Danish Trade Council
General Business Conditions as per March 31st, 2003
1. Purpose1.1 These General Business Conditions shall apply to the Danish Trade Council's/The Foreign Service's assistance to Danish and foreign enterprises in commercial cases, cf. part 2 of the Executive Order No. 1240 of 23 December 2002 on payment for the services of the Foreign Service
2. Agreement2.1 Assistance by the Danish Trade Council shall be paid for according to the current rates and for cases that are paid according to hourly rates and where the time spent exceeds half an hour in accordance with a written agreement between the Danish Trade Council and the enterprise. The written agreement shall contain information about the expected time consumption, the hourly rate - or if deemed more expedient, an overall price for the specified service - as well as an estimate of possible expenses.
3. Prices etc.3.1 For assistance whose purpose it is to support the business community's export efforts and other commercial activities abroad, a fixed price per hour or fraction of an hour or a fixed overall price for the service shall be paid. There is though a minimum fee per individual solved case. 3.2 For certain types of assistance, for instance, the procurement of publications, statistical material, credit reports or customs information etc., a fixed fee shall be paid provided the time consumption is less than one hour. A fixed fee shall be paid for lectures.3.3 In cases where the enterprise requires that the assistance be provided outside the normal office hours of a mission, an additional 50 per cent shall be paid, and on days where the mission is closed an additional 100 per cent.3.4 Prices and fees are in Danish kroner unless otherwise stated. Assistance provided in Denmark is subject to value added tax.3.5 Any expenses, for instance for purchase of materials, information, access/connection to databases, travel expenses, telecommunication etc., have to be refunded.
4. Terms of Payment4.1 The Danish Trade Council collects its payment when the service has been rendered. However, depending on the circumstances a partial or advance payment may be required.4.2 Payment shall be made no later than 30 days after the invoice date. A fee may be charged for late payment and interest may be charged according to the general rules.
5. Termination5.1 The enterprise shall have the right to terminate the agreement effective immediately. The enterprise shall in such case pay for the assistance provided so far and for any expenses that the Danish Trade Council has paid or committed itself to pay.
6. Liability for Damages6.1 The Danish Trade Council shall be liable to the enterprise according to the general rules of Danish law, always provided that the Danish Trade Council shall not be liable for loss of profits, loss of income or any other indirect loss. Payment of damages cannot exceed the remuneration agreed upon or the fee according to the current tariff.
7. Disputes7.1 Agreements comprised by these General Business Conditions shall be subject to Danish law.7.2 Any dispute arising out of or in connection with agreements comprised by these General Business Conditions and which cannot be settled by negotiation shall be settled by the ordinary courts of law.
