CLASSIC AUCTION30th NOVEMBER – 2nd DECEMBER 2019

INTRODUCTION

At Jaguar Land Rover Classic we’re immensely proud of our unique heritage and the beautiful, innovative vehicles for which we have become famous. As part of our

continuing commitment to preserve Britain’s incredible automotive heritage we are excited to announce that we will be offering classic car enthusiasts the opportunity to

acquire a small number of vehicles from our collection via sealed-bid auction.

The auction will be exclusively open to UK Jaguar Land Rover hourly and salaried employees from 30th November – 2nd December, with an opportunity to view all

available lots, on-site, at Classic Works, Ryton on Saturday 30 November.

In this document you will find information on how the auction will work, the terms and conditions of bidding and finally, the cars for sale, with information such as make and

model, year of manufacture and mileage on each of the cars that are available as well as some images for reference.

HOW IT WORKS

Bidding will open at 12.00 Saturday30th November using the YOURJLR App, where a bidding form will be available to complete. If you wish to bid on more than one

vehicle, you will need to complete a form for each vehicle.

Bidding will then close at 23.59 Monday 2nd December and all bids will be reviewed.

All successful bidders will be contacted on Thursday 5th December with details with payment instructions. Payment will be required within 24hrs to settle the bid via the

details given.

A classic representative will then be on hand to help arrange a collection time slot between 9th – 14th December for the vehicle to be collected from Classic Works

Ryton-On-Dunsmore.

On Saturday30th November the cars will be showcased at Classic Works Ryton-On-Dunsmore, CV8 3LF from 08.00 – 12.00 Coventry. All Eligible employees

registered will require CDSID based identification to access the viewing. (if you don’t not have a CDSID please ensure you have registered with you managers CDSID )

The Classic auction will work on a sealed-bid auction. In this type of auction, all bidders submit only one single and fixed value highest offer sealed bid, per Lot, over the given time period. This means no bidder knows the bid value of any other participant. The

highest bidder wins the lot and pays the price they submitted. The Lots shown in this document are all available for bidding. Any imagery shown in this document is for

reference purposes only and does not provide true indication of the vehicle condition. Interested bidders are strongly advised to assess the vehicle in person.

TERMS AND CONDITIONS

The following Terms ("Terms") together with such other terms, conditions and notices as may be setout in any relevant catalogue apply to this auction sale by Jaguar Land Rover ("JLR") at auction orwithin 14 days after the auction. Buyers should be alert to this possibility of changes. We act solely forand on behalf of our self as the seller. Our duty is to sell the Lot at the highest price obtainable at theAuction to a Buyer. We do not act for Buyers in this role and do not give advice to Buyers. When JLR orits employees make statements about a Lot it is doing so as the Seller of the Lot. Buyers who arethemselves not expert in the Lots are strongly advised to seek and obtain independent advice on theLots and their value before bidding for them.

The full terms and conditions can be found on the ‘YOUR JLR’ app and Eligible employees must acknowledge agreement to the terms and conditions before bidding.

Below are a some summary points.

Lots

- This Catalogue contains details about each Lot. The description printed in the Catalogue is given on behalf of the Seller. (Term 4.1)- Photographs, illustrations and diagrams contained in the Catalogue are for identification purposes only. They may not show the true condition and colour (which may be inaccurately reproduced) of the Lot. (Term 4.2) - Lots are available for inspection prior to the sale and it is for any potential bidder to satisfy themselves as to each and every aspect of a Lot, including its originality, authorship, condition, provenance, history, background, authenticity, style, period, age, suitability, quality, roadworthiness (if relevant), origin, value. No description of a Lot carries with it an implication that it is fit for any particular purpose. (Term 4.3) - Each Lot is sold by the Seller to the Buyer. Lots are sold to the Buyer on an "as is" basis, with all faults and imperfections and do not include any warranty whatsoever. (Term 4.4)- The actual condition of a Lot may not be as good as its outward appearance suggests. In particular parts may have been replaced or renewed and those parts may not be original or of "Satisfactory Quality'. The inside of a Lot may not be visible where, for example, it is covered by upholstery or material, and may not be original or may be damaged, have been damaged or poorly repaired. Given the age of some Lots, no assumption should be made with regard to any aspect of their condition. (Term 4.5)

Alterations and Estimates

- The Lot is available for inspection on a date to be notified to Bidders by JLR and any potential Bidders must form their own opinion in relation to it. They are strongly advised to examine any Lot before the Auction. (Terms 5.2) - JLR gives no warranty or representation or visibility of the reserve (Terms 5.3)

Bidding and Reserves

- Admission to the Auction process is via sealed bids uploaded onto the auction platform, and Bidders may only submit one bid per Lot

- JLR do not accept bids from any person who has not completed and submitted a registration form contained on the auction platform. Proof of identification will be required in the form of employee CSDID and/or Payroll number, before the registration process can be completed. (Terms 8..2)

CONT.

The Buyer

- The Buyer shall be the highest bidder at the online bid closing date above the reserve as shown in clause 8.1. Any dispute as to any bid shall be settled by the Auctioneer at his/her absolute discretion. The Seller reserves the right to accept or refuse any bid at its absolute discretion. (Term 13.1) - The Buyer shall not resell any vehicles or associated registration plates purchased through the auction within 12 months of taking title to the vehicle. (Term 13.2)

Payment

- Once a lot is sold, the Purchase Price shall become immediately payable to JLR. (Term 14.1) -Full payment for all Lots must be made to JLR by 5:00pm the next Working Day. Payment can only be accepted in GBP. For security reasons, payments by Debit or Credit card (VISA/Mastercard) will only be accepted where the cardholder is present to a maximum of £20,000 per Buyer via debit card and £5,000 per buyer via credit card. (Term 14.2) - The Buyer shall, at his own expense, remove the Lot purchased but not before payment in full to JLR of the Purchase Price whether in respect of this or any other Lot. (Term 14.6)

Responsibility for Purchased Lots

- The Buyer shall be responsible for all removals, insurance, storage and other charges on any Lot from the confirmation of a successful bid. (Term 15.2)

Non-payment or Failure to Collect

- If the Purchase Price is not paid in full, JLR shall in its absolute discretion and without prejudice to any other rights it may have, be entitled to exercise one or more of the remedies listed in the terms and conditions document. (Term 16.1)

Data Protection

- All information provided to JLR will be treated confidentially and shall not be passed to third parties, except where necessary to complete a transaction. (Term 20.1) - JLR reserves the right to pass on information when required by legislation, government authorities or the courts. (Term 20.2) - All JLR employees, Buyers or participants in the auction agree not to disclose any details whatsoever of the Auction, Catalogue or Purchase price via any social media platform, website or any other means beyond JLR. (Term 20.3)
