    On February 8, 2019, Sample Company (the "Company"), the global leader in commercial data, analytics and insights for businesses, and an investor group (the "Investor Group") led by CC Capital Partners, LLC ("CC Capital"), Cannae Holdings, Inc. (NYSE: CNNE), Bilcar, LLC, Black Knight, Inc. (NYSE: BKI) and funds affiliated with Thomas H. Lee Partners, L.P. ("THL"), along with a group of other investors, today announced the completion of the Investor Group's previously announced acquisition of Sample Company. In connection with the closing, William P. Foley II, Chairman of Cannae Holdings and Executive Chairman of Black Knight, has been appointed Executive Chairman of Dun & Bradstreet's Board of Directors. Anthony Jabbour, Black Knight's Chief Executive Officer, was appointed Chief Executive Officer of Sample Company and will remain in his current role at Black Knight. Additionally, Stephen C. Daffron, a Co-Founder of Motive Partners and former President and Chief Executive Officer of Interactive Data Corporation, has been appointed President of Sample Company.

    Pursuant to the Agreement and Plan of Merger, dated as of August 8, 2018, by and among the The Sample Company Corporation(Registrant), Star Parent, L.P., a Delaware limited partnership (Parent) and Star Merger Sub, Inc., a Delaware corporation and a wholly-owned subsidiary of Parent (Merger Sub), Merger Sub was merged with and into the Registrant (the Merger), with the Registrant continuing as the surviving company in the Merger as a wholly-owned subsidiary of Parent. The Merger became effective on February 8, 2019. At the effective time of the Merger, the issued and outstanding Shares (other than shares owned by Parent, Merger Sub, the Registrant or any other direct or indirect wholly owned subsidiary of Parent or the Registrant, including treasury shares), were canceled

  • and converted into the right to receive $145.00 in cash, without interest and subject to any applicable withholding taxes.

    HISTORY:.

    On September 30, 2000, the company then known as The Sample Company Corporation (Old D&B) separated into two independent, publicly traded companies: (i) The New Sample Company Corporation (D&B or the company) and Moody's Corporation (Moody's). The separation was accomplished through a tax-free distribution to shareholders of Old D&B (the 2000 Distribution) of all of the shares of common stock of D&B. For every two shares of common stock of Old D&B held, shareholders received one share of D&B common stock. Following the 2000 Distribution, Old D&B was renamed Moody's Corporation and D&B was renamed The Sample Company Corporation.

    On January 9, 2017, the company acquired a 100% equity interest in Avention, Inc. (Avention). The acquisition was valued at $150 million, net of cash acquired.

    In 2016, the company completed the sales of its operations in Benelux and Latin America, converting these businesses to the company's Worldwide Network model.
