TERMS AND CONDITIONS1. Payment: Net 30 days from invoice date. A 2 percent per month finance charge will be charged for payments not received

within the 30-day period. In the case of customers who have invoices outstanding after 60 days, Applied may choose to assign them a "hold" status and may allow shipments on a COD or prepaid basis only. Applied Medical will also accommodate “just in time” suppliers or distributors if this is the customer’s preference or if the payment terms present a difficulty.

2. Freight Charges: Applied Medical waives ground shipping charges on orders greater than or equal to $2,500 to a single destination. Freight charges on orders less than $2,500 are prepaid and billed (FOB shipping point), and orders are shipped ground unless the customer instructs otherwise. All orders using consignee billing will be charged to the consignee account.

3. Shipping: Orders received by 12:00 p.m. PST will ship the same business day. Orders submitted after 12:00 p.m. PST will ship the next business day.

4. Price Changes: Prices are subject to change without prior notice. All applicable taxes will be charged.

RETURNED GOODS POLICY1. Unused products can be returned to Applied Medical within thirty (30) days of the shipping date and must be received

at Applied Medical within thirty (30) days of the date on which a Return Goods Authorization (RGA) number was issued. Products must be returned in original, salable condition to receive credit. A 22.5 percent restocking and handling fee will be charged unless a product was shipped in error by Applied Medical.

2. The customer must receive an RGA number issued by Applied Medical’s Customer Relations department prior to returning any product to Applied Medical. The customer should include the RGA number on the outside of the shipping carton.

3. Credit value at the invoice purchase price will be issued for authorized returns upon confirmation of final inspection at Applied Medical. Customers should include a copy of the original packing slip or invoice with any returned product.

4. Applied Medical requires notification by the customer of any used product being returned for evaluation. A Customer Experience Report (CER) must be completed in full and submitted to Applied Medical within 24 hours of product use. Used products returned to Applied Medical must be decontaminated and packaged for safe handling. Applied Medical’s field representatives are prohibited from picking up a product that does not meet these criteria. Credit value will be issued for any returned product that does not meet specifications upon evaluation by Applied Medical.

5. Any product received at Applied Medical that does not meet all of the above conditions will be returned to the sender at the sender's expense.

IMPORTANT WARRANTY INFORMATION1. Limited Warranty. Applied Medical warrants that the product will (i) conform to the written specifications furnished to the

purchaser and (ii) comply at the time of shipment with the then-applicable requirements of the U.S. Food, Drug and Cosmetic Act and regulations promulgated thereunder.

2. Warranty Claims. For any product that does not comply with the Limited Warranty set forth above, Applied Medical will, in its sole discretion, (i) replace the product at its sole expense or (ii) refund the full purchase price of the product. Applied Medical’s obligations under this section are subject to the purchaser's compliance with all instructions and requirements regarding the use of the product.

3. EXCLUSION OF OTHER WARRANTIES AND REMEDIES. EXCEPT AS PROVIDED ABOVE, APPLIED MEDICAL EXCLUDES ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL APPLIED MEDICAL BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL LOSS, DAMAGE, OR EXPENSE DIRECTLY OR INDIRECTLY ARISING FROM THE USE OF ANY PRODUCT. APPLIED MEDICAL NEITHER ASSUMES, NOR AUTHORIZES ANY OTHER PERSON TO ASSUME FOR IT, ANY OTHER ADDITIONAL LIABILITY OR RESPONSIBILITY IN CONNECTION WITH THE PRODUCTS. IN NO EVENT SHALL APPLIED MEDICAL’S LIABILITY UNDER THIS LIMITED WARRANTY EXCEED THE PURCHASE PRICE OF THE PRODUCT.
