THIS AGREEMENT made and entered into by and BETWEEN:

ST. LAWRENCE CEMENT, INC.

MISSISSAUGA, ONTARIO

Hereinafter called the "Company"

PARTY OF THE FIRST PART and

UNITED CEMENT, LIME, GYPSUM AND ALLIED WORKERS DIVISION OF

INTERNATIONAL BROTHERHOOD OF BOILERMAKERS, IRON SHIP BUILDERS, BLACKSMITHS, FORGERS AND HELPERS, AFL-CIO-CLC

LOCAL D366 Hereinafter called the "Union"

PARTY OF THE SECOND PART

ARTICLE 1 - PURPOSE

1.01 - The intention of this Agreement is to promote and improve industrial and economic relationships between St. Lawrence Cement Inc. and its hourly paid employees, at its Mississauga Plant, Ogden Point Quarry and Cement Distributing Depots, represented by the United Cement, Lime, Gypsum and Allied Workers Division of International Brotherhood of Boilermakers, AFL-CIO-CLC. It is understood by both parties that their object is the protection of the best interests of the St. Lawrence Cement Inc. and its employees. Both will abide by this Agreement and all mutual understandings, it being their purpose to settle all differences without disturbance to industrial peace. 1.02 - The Company recognizes the Union as the sole collective bargaining agency for its own employees, as mentioned above. The term "employee" or "employees" as and wherever used in this Agreement shall include all production and maintenance employees but exclude office employees, remunerated by annual salaries, and Supervisors and persons above the rank of Supervisor. As well, the term “employee” as used in this agreement shall not include “students” or probationary employees, except where specifically indicated otherwise. 1.03 - Reservation of Management Rights The union acknowledges that it is the exclusive function of the Employer to: (a) Maintain order, discipline and efficiency. (b) Hire, discharge, direct, demote, suspend or otherwise discipline employees, subject to the

provisions of Article 6, 7 and 9. (c) Generally to manage the industrial enterprise in which the Employer is engaged and without

restricting the generality of the foregoing, to determine the operation, extension, limitation, curtailment and cessation of operations, the kinds and locations of machines, tools and equipment to be used, the right to study or introduce new or improved methods or facilities.

(d) The right to establish and maintain reasonable rules and regulations covering the operation

of the Employer's business, any violations of which shall be among the causes for

discharge. (e) Initiate and deal with other matters not otherwise specifically referred to in this Agreement.

1.04 - The Employer agrees that these functions will be exercised in a manner consistent with the provisions of this Agreement.

1.05 - No Company employee outside the Bargaining Unit shall perform work that is customarily performed by employees in the bargaining unit except as outlined in the following: 1 - To instruct, inspect, experiment. 2 - In case of emergency to avoid injury or loss of life or damage to property, material or machinery 1.06 - For any violation of Article 1.05, the Company shall be required to pay a minimum of four (4) hours pay at the applicable overtime rate to the most senior employee(s) who is qualified to perform the type of work involved and who files a grievance that is found to be valid. 1.07 - For the purposes of this Agreement, the workforce is divided into three Departments: Production Maintenance Purchasing The Departments are further divided into areas: Plant Elect. Maintenance Stores Quarry Mech. Maintenance Packhouse Yard Boat Loaders In plant Transport Employees will work one of the following schedules: Day workers Eight (8) hour rotating shifts Twelve (12) hour rotating shifts

ARTICLE 2 - DISCRIMINATION

2.01 - There shall be no discrimination or intimidation by supervisors, superintendents, managers or other agents of the Company against any employee because of the employee's membership in the Union or by virtue of holding office in the Union. 2.02 - The Union agrees that no intimidation or coercion shall be practiced among the Company's employees in recruiting membership of the Union or for other purposes, and that there shall be no soliciting of membership, distribution of propaganda or transaction of any business of the Union on the Company's time or property save such as is authorized by this Agreement. The foregoing shall not be held to restrict or interfere with the right of individual employees to converse freely with each other upon matters of interest to them during rest periods, lunch hour and like interludes. 2.03 - The company and the Union will not discriminate against any employee on the basis of: race, ancestry, place of origin, colour, ethnic origin, citizenship, creed, sex, age, record of offences, marital status, family status, sexual orientation or handicap pursuant to the provisions of the Ontario Human Rights Code.

If they commenced to work and work any portion of their normal shift, they shall be paid eight (8) hours straight time. 3.01.3 - Payment for all hours spent in training shall be at the same rate as would be paid if time was worked. (If outside normal (regular) working hours, the overtime rates will apply). All expenses, such as travel time/ meals/ accommodations, are exclusive of hours worked. Instead, reimbursement under the company’s travel and expense policy will apply. All employees identified for training pertaining to their job are obligated to attend such training. 3.01.4 - The Company agrees to post the change in shift (day, afternoons, midnights) for all employees two (2) days or forty-eight (48) hours in advance of new starting time. Time and one half (1 ½) will be paid for the first day of a schedule during the normal week if notification is not given. Double (2) time will be paid for the first day of a schedule if notification is not given, providing that the first working day of the schedule is on Sunday. 3.01.5 - For any of the shifts listed above, the company does not guarantee work for any of the hours listed above. OVERTIME 3.02- Work in excess of eight (8) hours in any day or shift shall be deemed overtime. Overtime shall be paid for at the rate of time and one half (1 ½), up to ten (10) hours and double (2) time for all hours over ten (10) exclusive of lunch period, provided that both daily and weekly overtime shall not be paid for the same hours. 3.02.1- An employee who works overtime shall not be required to take time off to offset such overtime.

3.02.2 - Overtime shall be divided equitably among employees in the same job position within the same classification, based on an annual period (Jan. 1 - Dec. 31). The company will post a copy of the overtime worked and refused monthly. Overtime will be recorded in the following manner:

Employees who work or refuse overtime will be charged the applicable hours. This covers the employee’s regular job position as well as transfer relief positions. Inequities shall be considered and corrected insofar as it is practical to do so within the following month.

3.02.3 - Saturday work for the day workers will be paid at one and one half (1 ½) hourly rate for the first ten (10) hours and two (2) times hourly rate for all hours over ten (10), exclusive of lunch period. 3.02.4 - Sunday work for Day Workers will be paid at two (2) times hourly rate for all hours worked exclusive of lunch period. 3.02.5 - Overtime offered and not worked shall be charged as if worked. Employees on leave of absence, sick leave, Workplace Safety Insurance, lay-off or vacation, shall be charged with overtime occurring in their absence. In the case of phone calls home, the individual will be charged with refusing overtime if a person answers the phone and the employee is not available, or if there is no answer. A message left on an answering machine or not picked up after six (6) rings will be deemed as no answer.

Any employee who agrees to work overtime and does not work the agreed amount of overtime may be charged three (3) times the number of hours agreed to work as overtime refused, and may be subject to the company’s discipline policy. 3.02.6 - During a transfer, relief employees must be asked for normal overtime in their regular department and may be asked in their transferred department if regular employees refuse. All overtime hours worked by employees will be recorded on their regular department’s overtime record. New employees or employees posting into a new department shall be credited with one (1) hour more than the highest amount credited to the existing employees in the new department / work group. CALL - IN 3.03 - When an employee is instructed to report to work during any hours in addition to their regular work, except immediately before or following their regularly scheduled hours, or they are notified at least twelve (12) hours in advance of their normal starting time to report to work, whether called at home or asked at work, a minimum four (4) hours time shall be paid for such emergency calls at the rate of one and one half (1 ½) times their regular rate for the first two (2) hours; double (2) time to be paid for the next two (2) hours. Double (2) time to be paid for four (4) hours for a second emergency call-in in a day, 00:00 -24:00 hours. 3.03.1 - The purpose of call-in work is to have work performed which is urgently required at that time. The first job performed will be paid as a call-in. Additional jobs performed during a call-in will be paid for according to additional time or a minimum of one (1) hour per job at the applicable overtime rate. 3.03.2 - The company will advise the employee as to the nature of work to be done. 3.03.3 - Call-in work extending over 24:00 hours on Sunday is to be paid at the applicable rate.

Stand-by Coverage

3.03.4 - Up to two (2) Maintenance Mechanics will be scheduled for stand-by coverage and available to answer call-ins per week. Stand-by coverage Maintenance Mechanics will be provided with beepers and/ or cell phones, provided by the company, when on stand-by. It is understood that stand-by coverage is not intended to replace scheduled overtime.

1. A scheduled coverage week is defined as Tuesday 7:00 AM to Tuesday 7:00 AM the following week

2. Employees on stand-by status are obliged to be available for up to 8 hours call-in work per day of the coverage period.

3. Employees scheduled for a stand-by period may switch with another qualified in-classification employee with prior company approval. Arrangement for alternate coverage is the responsibility of the scheduled stand-by employee. Once alternate arrangements have been approved the responsibility for coverage belongs to the new assigned employee.

4. A rotation schedule will be established by the company to evenly distribute stand-by coverage responsibility among qualified in classification employees.

5. Conflicts between Stand-by responsibilities and confirmed vacations will be minimized as much as possible. Alternate weeks will be assigned to maintain equal distribution.

6. Employees failing to respond or show up for stand-by coverage call-ins will be charged as if worked, subject to company attendance policy and forfeit all stand-by premiums for the assigned period.

7. Stand-by responses will be paid according to Article 3.03 and 3.03.1

8. Employees successfully completing their stand-by coverage will receive the applicable stand-by premium payment as described in the table below.

UNSCHEDULED WEEKEND OVERTIME

3.04 - When employees are called at home (except during the hours of 23:00 Friday - 07:00 Saturday and 23:00 Saturday -07:00 Sunday) and offered overtime for Saturday or Sunday, this will not be considered call-in and will be paid at the applicable overtime rates. SHIFT PREMIUMS 3.05 - As of Oct 1/2007, the shift premiums will be as follows: The shift premiums will be as follows: Twelve (12) hour shifts (18:30 - 06:30) - $1.05 Eight (8) hour shifts: Afternoons (15:00 - 24:00) - $0.75 Midnights (23:00 - 08:00) - $0.90

For day workers to receive the shift premium, they must be assigned to a shift. MEAL ALLOWANCE 3.06 - The taxable meal allowance will be paid at the following rate: Oct. 2007 $13.10 Oct. 2008 $13.30 Oct. 2009 $13.50 Oct. 2010 $13.70 The meal Allowance is to be paid as per the following conditions. 3.06.1 - To an employee who works more than ten (10) consecutive hours scheduled or unscheduled and at the end of every four (4) consecutive hours worked thereafter, except the last. 3.06.2 - To an employee who is called in and works more than four (4) consecutive hours as well as after every four (4) consecutive call in hours worked thereafter, except the last.

REST BREAKS 3.07 - Each employee shall be given a ten (10) minute rest break with pay, in each half of their shift. Such break shall be given where possible at the midway point in each half shift. Each employee shall be given a five (5) minute wash-up period, with pay, at the end of each shift, during which time employees will be allowed to leave. DAY WORKERS 3.08 - The standard work week shall be one of five (5) consecutive days at eight (8) hours each, starting at 00:00 Monday. 3.08.1 - For the purpose of this Agreement, a day shall be considered as a twenty-four (24) hour period, for all hourly paid employees, beginning at 00:00 hours and ending at 24:00 hours, and the week shall be considered as forty (40) working hours. 3.08.2 - Shift work to be equalized as much as possible in all day worker departments. The most senior employee shall have the first right of refusal unless the job posting states that shift work is or may be required. 3.08.3 - Any work done during shutdown periods, is to be equally distributed among employees insofar as it is practical to do so. 3.08.4 - Should a day worker be required to work through their lunch period, they shall be entitled to a twenty (20) minute lunch break to be taken as soon as the work is over. The employee may choose to be paid thirty (30) minutes at the overtime rate or leave work thirty (30) minutes early. Shift personnel will be allowed their twenty (20) minute break when operating conditions permit. 3.08.5 - Whenever twelve (12) hour shifts are in effect, the starting time shall be 07:00, 08:00 hours or 19:00, 20:00 hours and the employees shall have a twenty (20) minute lunch time, with pay, in addition to the provisions of Article 3.06. Lunch period is to be taken between the fourth and fifth hours. ROTATING SHIFTS - GENERAL

3.09 - Sunday work for Shift Workers shall be paid at two (2) times hourly rate for all hours worked. 3.09.1 - Call-in will not be used for production shift coverage, i.e. absenteeism, due to illness, W.S.I.B., lateness or vacation. 3.09.2 - Employees working on regular continuous operating jobs must remain on their job until relieved by their replacement. If the replacement fails to show up, the employee shall inform the supervisor, and they shall be released by the supervisor providing the release of such employee will not interfere with the continuous and safe operation of the plant. EIGHT (8) HOUR ROTATING SHIFT 3.10 - The standard workweek will start at 00:00 on the first day of the shift schedule. 3.10.1 - Eight (8) hour Rotating Shift Workers work five (5) consecutive days after which they will be off for fifty-six (56) hours. TWELVE (12) HOUR ROTATING SHIFT 3.12 - For additional information pertaining specifically to twelve (12) hour rotating shifts, refer to Article 23. IN-PLANT TRANSPORT (IPT) SHIFT 3.13 - For additional information pertaining specifically to IPT, refer to Article 22.

ARTICLE 4 - STATUTORY HOLIDAYS 4.01.1 - Employees covered by this agreement will be entitled to eight (8) hours regular pay for any of the Statutory Holidays provided: The employees worked their regular shift or work hours on the work day immediately preceding and succeeding the holiday observed or was absent for the following reasons: (1) Illness, substantiated by proper medical documentation, lay-off, a W.S.I.B. injury or illness or

other leave of absence properly granted by the Company, provided the employee has worked within the thirty (30) day period immediately preceding the holiday; or

(2) Serving on Jury Duty; or

(3) Other reason acceptable to the Company.

4.01.2 - Probationary employees are entitled to the statutory holidays identified in Article 4.02.1. The exception shall be the floating holiday. In order to qualify for the floating holiday, the probationary employees must have worked prior to the first (1st) Monday in September. 4.02.1 - Paid statutory holidays shall be: New Year's Day Good Friday Victoria Day Canada Day Civic Holiday Labor Day

Thanksgiving Day Remembrance Day (For employees working on rotating shifts only) Christmas Eve Christmas Day Boxing Day New Year's Eve One floating holiday per year, to be scheduled as per the same rules for scheduling vacation. (For Day Workers only) 4.02.2 - If any of the above holidays occur on a Saturday or a Sunday, the following Monday shall be observed and paid for as the holiday, providing that if December 24, 25, 26, and 31, and January 1 fall on a Saturday or Sunday, by mutual agreement between the Company and the Union, any of these holidays may be observed on any other work day. Rotating Shift workers will observe Statutory Holidays occurring on Saturday on the actual day, and be paid accordingly. (i.e. Saturday, December 25 will be observed on Saturday, December 25) 4.02.3 - Double (2) time will be paid for all hours worked on a Statutory Holiday in addition to the regular eight (8) hours Statutory Holiday pay. Work performed other than during an employee’s regular shift or working hours, on a Statutory Holiday will be paid at the rate of triple (3) time the regular rate provided regular and shift scheduled hours have been worked. Double (2) time shall be paid for all hours worked on a Statutory Holiday by probationary employees who have not completed, prior to the Statutory Holiday, six hundred (600) hours of employment. Work performed by probationary employees other than during a probationary employee's regular shift or working hours on a Statutory Holiday will be paid at the rate triple (3) time the regular straight time rate provided regular shift schedule hours have been worked. 4.03 - When any of the said holidays fall during a Day worker’s vacation, they shall receive their statutory holiday pay in addition to their regular vacation pay. The employee must take one (1) additional day off at the beginning or at the end of their vacation for each holiday occurring during their vacation period or within two (2) weeks of their vacation period by mutual agreement. The employee shall have the right to select such day(s) provided that they give notice to the Company on the day their vacation is confirmed, Otherwise the Company shall have the right to select such day(s). If an employee is requested to work, such work shall be deemed and paid as contemplated in 4.02.3. 4.03.1 - Eight (8) hour rotating shift employees - On the present eight (8) hour rotating shift operation, employees who are on their day(s) off when a Statutory Holiday occurs will receive twelve (12) hours pay at their straight time rate - with no lieu day. 4.03.2 - Eight (8) hour rotating shift employees who are on their day(s) off on a Statutory Holiday and are requested to work, will receive three (3) times their regular rate (Statutory Holiday entitlement included) for all hours worked. 4.04 - The Company agrees that although the manufacture of cement requires that operations be continuous, it will reduce operating personnel to a minimum, which in the opinion of the Management is required to maintain operating continuity on the above holidays. 4.05 - The Company shall post the notice of those employees who are to work on the holiday at least three (3) working days prior to such holiday

5.01.1 - Vacation will be taken on a calendar year basis effective January 1. The first calendar year is the year when the employee started to be employed by the Company. I.e. Date of hiring August 1978, first calendar year is 1978. 5.01.2 - During the first calendar year of employment, vacation will be earned at the rate of one (1) day per month of employment to a maximum of ten (10) working days. This vacation may be taken at any time during the second calendar year. 5.01.3 - After the completion of the second calendar year, the employee will be entitled to their earned two (2) weeks vacation at any approved time during the third calendar year. The two (2) weeks will be paid at the rate of eighty (80) hours at regular time for non-shift workers, and at the rate of eighty-four (84) hours at regular time for shift workers or four (4) per cent of gross wages earned during the previous calendar year in accordance with the Statement of Remuneration paid (T-4 Slips, Box 14) filed by the Company, whichever is greater. 5.01.4 - After the completion of the fourth calendar year, the employee will be entitled to three (3) weeks of earned vacation which may be taken at any approved time during the fifth calendar year. The three (3) weeks of vacation will be paid at the rate of one hundred and twenty (120) hours at regular time for non-shift workers and at the rate of one hundred and twenty-six (126) hours at regular time for shift workers or six (6) per cent of gross wages earned during the previous calendar year in accordance with the Statement of Remuneration paid (T-4 Slips, Box 14) filed by the Company, whichever is greater. 5.01.5 - After the completion of the eighth calendar year, the employee will be entitled to four (4) weeks of earned vacation which may be taken at any approved time during the ninth calendar year. The four (4) weeks vacation will be paid at the rate of one hundred and sixty (160) hours at regular time for non-shift workers and at the rate of one hundred and sixty-eight (168) hours at regular time for shift workers or eight (8) per cent of gross wages earned during the previous calendar year in accordance with the Statement of Remuneration paid (T-4 Slips, Box 14) filed by the Company, whichever is greater. 5.01.6 - After the completion of the eighteenth calendar year, the employee will be entitled to five (5) weeks of earned vacation which may be taken at any approved time during the nineteenth calendar year. The five weeks will be paid at the rate of two hundred (200) hours at their regular rate or ten (10) percent of gross wages earned during the previous calendar year in accordance with the Statement of Remuneration paid (T-4 Slips, Box 14) filed by the Company, whichever is greater. 5.01.7 - After the completion of their thirtieth (30th) calendar year, employees who have completed twenty-five (25) years service with St. Lawrence Cement as of December 31, 1997 will be entitled to six (6) weeks of earned vacation which may be taken during the thirty-first (31) calendar year. The six (6) weeks will be paid at the rate of two hundred and forty (240) hours at regular rate or twelve (12) percent of gross wages earned during the previous calendar year in accordance with the Statement of Remuneration paid (T4 slips, Box 14) filed by the Company, whichever is greater. No further employees will become eligible for a sixth (6th) week of vacation after January 1, 1998. 5.02.1 - In the selection of dates, employees will be permitted to choose up to three (3) weeks of their vacation on a seniority basis in the period of June 15 to September 15 in any year. No more than twenty (20) percent of the permanent working force, in any area, is to be absent on vacation at any time (excluding employees on weekly indemnity - long term disability and Workplace Safety Insurance). It is understood that vacation scheduling will not interfere with the orderly operation of the plant.

Vacation dates shall be selected and marked on the vacation sheet before April 7 of each year. Vacation dates from January 1 to April 30 shall be selected and marked on the vacation sheet before November 15 of the previous year. Vacation will be granted on a seniority basis. Any employee failing to do so shall request vacation time from the remaining available days. The Company must confirm the selected vacation dates within 4 calendar weeks from the end of each selection period. All vacation dates must be selected no later than September 30. Once employees have been granted their vacation dates, they must use those dates unless there are extenuating circumstances accepted by the Company. The Company agrees to give the vacation pay to which the employee is entitled one (1) week preceding such vacation, providing adequate notification of two (2) weeks is supplied. 5.02.2 - When operating conditions permit, vacation restrictions may be amended to allow extra personnel to take vacations at the same time. 5.02.3 - A Day worker’s vacation period will begin on the first day of their regular workweek and will end at the starting time of their first regular scheduled shift after their vacation. Consideration will be given on starting on other than the first day of their regular work week when warranted; in any case vacations must be taken in units of a work week. When a statutory holiday occurs during a Day worker’s vacation, then their vacation will end on the beginning of their first shift, after the day they observed as the statutory holiday. If a Day worker should observe the statutory holiday before their scheduled vacation starts, then their vacation ends on the starting time of their first regular scheduled shift after their vacation is finished. 5.02.4 - If any employee transfers to another work group, they will be required to re-schedule their vacation time. The provisions of Article 5.02.1 will prevail. 5.03 - No employee shall be entitled to vacation with pay under the provisions of Article 5 unless they have actually worked as an employee of the Company for a minimum of eight hundred (800) hours during the calendar year period January 1 - December 31. An employee who is not entitled to full vacation pay under this clause shall receive the applicable percentage of their gross earnings based on seniority. 5.04 - Vacation time earned must be taken as time off. Employees shall not be allowed to receive vacation pay and also work during their vacation period, earning additional pay. 5.05 - If vacation pay is paid to any employee prematurely, any subsequent entitlement shall be less the amount already paid.

ARTICLE 6 - JOB REQUIREMENTS 6.01 - Job requirements outlined in job postings are not to be changed without mutual agreement. 6.02 - If a new job is created or an existing job is materially changed, an applicable rate shall be negotiated between the parties and in the event of failure to reach an agreement, will be subject to arbitration procedure as contained in this Agreement. It is understood between the parties that prior to reaching agreement on this wage rate, the Company may fill the position but the wage rate shall be retroactive to the date on which the position was filled. 6.02.1 - Should the Company introduce new technological changes in the form of Capital equipment that result in:

a) Displacing one or more employees; or b) Materially changing a job(s) as envisioned by Article 6.02

Any change(s) resulting from the above will be handled as follows: (1) An employee directly affected by the technological change will be provided a training period

of up to two hundred and forty (240) hours (which may be extended by mutual agreement) on the new or changed job, (providing one exists) created as a result of the new equipment referred to above.

(2) An employee will be allowed not more than one opportunity for training.

(3) An incumbent employee selected for training who is unable to meet the normal requirements

of the new or changed job within the two hundred and forty (240) hour training period (or mutually agreed extension) will be allowed one permanent bump in accordance with Article 6.14.

The company reserves the right to test employees’ abilities on new processes and technological changes, for effectiveness of training and skill level acquired. 6.02.2 - The Company recognizes the Union’s concern regarding technological changes which might adversely effect the jobs of the hourly rated employees and therefore, the Company will give not less than two hundred and forth (240) hours notice prior to introducing technological changes as defined above. 6.02.3 - The company will notify laid-off employees by registered mail of the Technological change, allowing the employee(s) to exercise their right under the collective agreement. 6.03 - The rate of pay of any employee who is temporarily required to fill the place of an employee receiving a lower rate shall not, for that reason, be reduced. Any employee who is required to perform work, for which a higher rate than that of their classification is paid, shall receive such higher rate of pay. Any employee required to work on two (2) or more jobs having different rates shall be paid the rate of the highest rated job for their entire work day. 6.04 - When a new job is created or a vacancy occurs, it shall be posted by the Company for five (5) working days, excluding week-ends and Statutory Holidays, so as to give all interested employees the chance to apply in writing for such jobs. All jobs will be posted within seven (7) days from the time the vacancy occurs, except when equipment is not operating or when the job is discontinued. Vacancies will be offered to regular full time employees before being filled by a new hire. 6.04.1 – The Company may not post for temporary vacancies in the Yard Crew that are created by coverage of: Short-term illness or injury up to twenty-six (26) weeks leaves of absence, etc. The vacancy may be covered by utilizing the available and qualified manpower, including students or probationary employees, or by contracting out. 6.05 - Careful consideration will be given to applications received in relation to the following qualifications: 1 Seniority 2 Requirements of the job. When factor 2 is deemed to be adequate, then seniority shall govern. This selection shall apply to all vacancies or new jobs.

6.06 - When an applicant has a "Health or Physical Fitness Problem" confirmed by a Doctor's report, which may affect their efficiency on the posted job, their application will be discussed by a joint Union / Management Committee, and subject to the provisions of the privacy act. 6.07 - Any employee going on vacation who wishes to make an application for specific vacancies that may arise during their absence, must complete application forms and leave them with the Plant Union Chairman immediately prior to their departure. 6.08 - Any employee selected will be given a fair trial not exceeding two hundred and forty (240) working hours, [seven hundred and twenty (720) working hours for Console B Operators and Production Operators] in the new classification except as outlined for those classifications in Article 21. The trial period does not begin until the employee is placed in the new job. If at any time during the trial period they have not proven themselves capable of performing the duties of the new position, they shall revert to the position they had previously held. Any employee so demoted shall have their case discussed with the Officials of the Company by the Union Committee. If no satisfactory settlement is reached, it is understood the matter will be resolved through the Grievance Procedure. 6.09 - Any employee who after successfully bidding for a posted job, voluntarily withdraws from the new job position, will be disqualified from bidding for any other job for a one (1) year period. Day workers, who successfully bid for and are awarded a job posting in a classification #2 or higher on shift, will be required to remain on shift for a minimum period of twelve (12) months. Any employee who has successfully bid for and been awarded a job posting will be restricted from applying to other positions for one year from the date of the job being awarded. They may apply for positions of a higher classification, but may not apply for positions of a lower classification or a lateral move for the one year period unless agreed upon by the company or the vacant position has not been filled internally. 6.09.1 - Any employee who has successfully bid for and been awarded a job of Class # 8 or higher will be required to remain in that position for a minimum of two (2) years unless the company, at its discretion waves this requirement. 6.10 - Should the selected applicant decide to withdraw from the new job within the trial period, or should they fail to perform the new duties during the trial period, this withdrawal or failure will cause a vacancy and the next qualified applicant on the job posting list will be awarded the job and the first employee shall revert to their former position. If the second applicant withdraws or fails to perform the new duties, during the trial period, the job will be re-posted. 6.11 - During the trial period the Supervisor shall make a progress report at the end of eighty (80) hours, one hundred and sixty (160) hours, and two hundred and forty (240) hours except as outlined for those classifications in Article 21. The report will be in triplicate, one copy to the employee, one to the Plant Union Chairman and one copy to Human Resources. Upon failure to submit a report about the trainee, it will be understood that the trainee's performance has been judged satisfactory. 6.12 - When a posted position has been filled, the Company will post the name of the selected employee within four (4) days regardless of whether they started to perform their duties at that time or at a later date. The job will be deemed awarded when the notice is posted. 6.13 - When an employee is awarded a new job of a classification for which a higher rate is paid, such higher rate shall become effective immediately after the employee assumes their new duties

or within thirty (30) days, whichever occurs first. 6.13.1 - When an employee is awarded a new job, by their own choice and of a lower rate / classification, such lower rate shall become effective immediately after the employee is relocated to their new position. 6.13.2 - When an employee is not going to be placed in an awarded position within thirty (30) days, the Plant Union Chairman with the employee, will meet with Management to find a solution. 6.14 - An employee whose job is permanently discontinued, may apply in writing for a job in their or any other department and be considered for the job in accordance with the provisions of Article 6.05 and 6.08 of this Agreement. 6.15 - Any employee may be transferred to another department or occupational group if the employee so agrees and shall suffer no change in seniority thereby. The Company will notify the Plant Union Chairman whenever an employee is transferred. This Article pertains to transfers over one (1) week. 6.15.1 - Any employee may be transferred on a "daily basis, one (1) to forty (40) hours" to another department or occupational group and shall suffer no change in seniority thereby. The senior employee on the job classification to be moved will be asked first. If all senior employee(s) refuse, the least senior employee(s) shall be transferred. Payment for transferred employees will be governed by Article 6.03. 6.15.2 - Rotating Shift personnel shall not be subject to any financial loss resulting from a change from one shift to another shift, within the rotating shift operation. In cases where an inter-shift transfer takes place, the Company shall compensate the personnel involved with a payment equal to the loss suffered by the employee for a period of one (1) month from the effective date of transfer. 6.15.3 - Employees requesting a job or shift change will not be entitled to compensation for any loss due to this change. 6.16 - The Company agrees that insofar as it shall be possible to do so, it will give notice of its intention to close down any of its operations, and will give notice of its intention to decrease the number of personnel employed as may be essential because of business or seasonal conditions.

ARTICLE 7 - SENIORITY OF SERVICE 7.01 - The Company accepts the principle of seniority of service. This principle shall be applied as follows: Seniority of service shall date from the Employee’s most recent starting date with the company and local lodge D 366. 7.02 - The Company will establish a seniority list to be revised quarterly indicating the status of all present employees in order of the date of their employment and classification with the Company. Fifteen (15) copies of the seniority list to be given to the union. 7.03 - New employees shall not be placed upon the seniority list until they have worked and earned pay for 600 hours. 7.04 - The Company agrees to notify the Plant Union Chairman in writing of the name, date and position of new employees hired, as well as termination dates and names.

7.05 - Students may be hired to work within the bargaining unit for up to six (6) months, no earlier than March 1 and no later than November 30. The purpose of hiring students is to supplement the workforce for vacation relief and increased work. Students shall be required to pay an amount equivalent to Union Dues, but shall not be required to pay the initiation fee. Such students shall receive the applicable hourly rate. The term “student” shall apply only to persons hired who are scheduled to attend post-secondary school the following school year. Students may not bid on posted jobs within the plant or quarry. 7.06 - Seniority of service shall continue to accumulate during any temporary lay-offs or periods of absence through proven sickness or injury. Seniority shall be determined from the date of original employment. An employee shall lose their seniority and cease to be an employee of the company if:

(1) They quit voluntarily (2) They are dismissed for cause and not reinstated through the grievance procedure (3) They are absent for three (3) working days without permission (4) They do not return to work from a lay-off within seven (7) calendar days after receiving

notification either by messenger or by registered mail to their last known address on the records of the company.

(5) They are laid off for a period equal to their seniority at the time of lay-off, but not to exceed three (3) years.

7.07 - The period spent by an employee in service with the Canadian or Allied Armed Forces, within the meaning of the definition in the reinstatement in the Civil Employment Act, 1942, of the Dominion of Canada, as amended, shall be considered as service within the Company for the purpose of establishing Company seniority, provided said employee re-enters the employ of the Company within six (6) months of discharge from the Canadian or Allied Forces.

ARTICLE 8 - LAY-OFF PROCEDURES 8.01 - The Company reserves the right to lay-off employees. In the case of lay-off, the least senior employee(s) in the affected job position(s) shall be given notice of lay-off first. Senior employees have the privilege of lay-off if requested, provided the plant operation is not affected and a junior qualified person is available. Upon recall from lay-offs, the most senior employee shall be called back first. If the Union disagrees with any action of the Company in regard to lay-offs or recall, after lay-offs, the Union / Management Committee will meet in order to resolve the issues. 8.02.1 - An employee affected by a plant lay off for fourteen (14) calendar days or more, and who has the required seniority, may apply in writing for a job in their or any other department. If they can satisfactorily perform the job with a training period of one (1) shift, they shall replace the regularly classified employee and will be paid at the wage rate of the new job. 8.02.2 - An employee whose job is temporarily discontinued is entitled to bump only once whether successful or not as per 8.02.1 unless bumped by a senior employee in which case they would be eligible to a second bump. 8.02.3 - The time an employee will have to exercise their temporary bumping rights from the time that they have been notified that their job will be discontinued will be three (3) calendar days for the first bump and five (5) calendar days for any further bumps resulting from the initial bump. 8.02.4 - On total recall, an employee exercising their rights under 8.02.1 shall revert to their former position. 8.03 - Lay-offs are to be done in accordance with the Ontario Employment Standards Act.

8.04 - The Company agrees to grant top seniority in case of lay-offs, to the following Union Representatives, in accordance with the provisions of Article 8.02.1:

PERMANENT JOB DISCONTINUANCE

Permanent Layoff 8.05 - Employees who are permanently laid-off will have call back rights to any new permanent job openings as per Article 7.06(5). If the employee(s) refuse their call back, they will give up their recall rights under Article 7.06(5). Permanent Bump 8.05.1 - When an employee’s job is permanently discontinued they may immediately exercise their seniority rights and apply for a position in their or any other department. Employees affected will be given a trial period as per Article 6.08.

8.05.2 - When an employee's job is discontinued for over one (1) year, they may exercise their seniority rights and apply for a position in their or any other department. Employees affected will be given a trial period as per Article 6.08. The employee who initially bumps into a position may vacate it during the trial period in one of the following ways:

1) Apply for another posted position 2) If the Company deems that they are unable to perform the job and they are assigned to the

yard classification 3) If the employee believes the job is not suitable, and chooses to move to the yard

classification. If the job that was bumped into is vacated within the trial period, the previously bumped employee shall have the option to return to their vacated position.

TEMPORARY JOB DISCONTINUANCE 8.06.1 - When an employee is notified that their job has been discontinued for less than fourteen (14) calendar days, they shall not displace a classified employee. Employees may be assigned work in their area. 8.06.2 - When an employee is notified that their job has been discontinued for at least fourteen (14) calendar days and up to four (4) months, all affected workers will either be:

a) Laid-off as per Article 8.01 and 8.02.1; or b) Transferred to the Utility Group; or c) Be retained in their designated positions and assigned other duties.

8.06.3 - Transfers into the Utility Group will not be subject to Article 6.15 of the collective agreement.

8.06.4 - When employees in the Utility Group are moved or bumped to a shift position for coverage, (as per Article 8.06.10) such moves will not be subject to Article 3.01.4 shift change. 8.06.5 - When employees are transferred from the Utility Group back to their normal position, they will be credited with the highest of the overtime of their area or group to which they are assigned, plus one (1) hour. 8.06.6 - Utility Group will be on days, but other shifts may be required at times. (i.e. afternoons and nights) 8.06.7 - Each employee transferred to the Utility Group, retains the right to return to their posted position. 8.06.8 - In case of plant lay-off, employees retain the right under Article 8.02.1 in the collective agreement 8.06.9 - When overtime is required the regular operators, including Utility workers, assigned to classification jobs will have the right of first refusal. 8.06.10 - Employees in the Utility Group will be used as required to fill their regular positions due to; L.O.A., sickness, W.S.I.B. and holidays within their job class. 8.06.11 - Utility Group employees will be assigned bargaining unit work by their Supervisor. 8.06.12 - When shift coverage is required, the most senior employee in the job class will be asked first, then equal opportunity for coverage from qualified personnel in the group. 8.06.13 - If overtime is required within the Utility Group, it will be equalized as per Article 3.02.2. 8.06.14 - Hours of Work, Statutory Holiday, Overtime, Rest & Lunch Periods will be governed as per day workers in the collective agreement. When Utility Employees are doing shift coverage they will be governed as per rotating shift workers in the collective agreement. 8.06.15 - Vacation selection dates to be as per the present rotating shift and Day worker procedures. 8.06.16 - Any dispute arising from Article 8 will be discussed by the Company and Union committee. If no satisfactory settlement is reached, it is understood the matter will be resolved through the grievance procedure. 8.07 - The Company will provide the Union and Employees a minimum of two (2) weeks advance notice of any layoffs which may occur at the Quarry. All affected workers will be governed by the provisions of Article 8.06.2. 8.07.1 – Quarry employee(s) transferred to the plant utility group will work three (3) consecutive twelve (12) hour shifts the first week and four (4) consecutive twelve (12) hour shifts the next. The work schedule will continue to alternate for as long as the employee(s) remain in the utility group. 8.07.2 - A “per diem” of one (1) hour’s pay per day worked (at straight time) will be paid to those quarry employee(s) who work at the plant. 8.08 - The Company agrees that should the opening of a new plant result in lay-off of an employee at the Mississauga Plant or Ogden Point Quarry, such an employee may apply for employment at

the new plant prior to its start of operation and their application shall receive preference over similar applications from persons outside this bargaining unit. Any employee transferring directly to the new plant without break of service shall carry their pension, insurance benefits, seniority and vacation credits with them.

ARTICLE 9 - PLANT COMMITTEE GRIEVANCE PROCEDURE AND ARBITRATION

9.01 - For the purpose of negotiations that may from time to time be necessary between the Company and the Union upon all matters involved in Collective Bargaining with its employees, the Union shall be represented by a committee composed of five (5) representatives (from the Mississauga Plant and O.P. Quarry) whose names shall be advised to the company by the Union, and who shall in such negotiations be accompanied and assisted by accredited representatives of United Cement, Lime, Gypsum and Allied Workers Division of International Brotherhood of Boilermakers, AFL-CIO-CLC The Company agrees that it will arrange to be represented at meetings with the Representatives of the Union for the purpose of such negotiations at such times and places as may be mutually agreed upon by the Company and the Union. The Company further agrees that it will compensate the members of the Negotiating Committee for any loss of wages incurred during negotiations between the Union and the Company, up to, and including conciliation, only if conciliation is requested by the Company. 9.01.1 - The Company agrees to recognize ten (10) elected representatives of Lodge D 366 as the in-house Union Committee. They are as follows: 1) Plant Union Chairman and one (1) Steward from each of the following areas: Packhouse, In-Plant Transport, Maintenance including Stores, Yard Crew, Quarry, one (1) for each shift for a total of Nine (9). The Company also recognizes each employee’s right to hold office in their local and will allow sufficient leave (without pay) for that job to be carried out. 9.01.2 - For the purpose of solving plant controversies or other problems other than grievances, a Union / Management committee shall meet by mutual agreement. Meetings shall take place during working hours with no loss of pay for Union representatives in attendance. 9.01.3 - The Plant Union Chairman shall be allowed a reasonable amount of time (without loss of pay) for the purpose of servicing the contract. 9.01.4 - The Union agrees to furnish the Company with the names of the Plant Union Chairman and Stewards who are authorized to carry out the provisions of this section. 9.01.5 - The Plant Union Chairman is to be on days. The employee will be paid Class #3 or the applicable rate for the job they are performing whichever is greater. 9.01.6 - If additional departments, areas or shifts are created, the parties agree to negotiate further representation. If the departments, areas or shifts are reduced, both parties will negotiate reduced representation. 9.02 - For the purpose of adjusting grievances, the Company shall recognize a grievance committee to process grievances as outlined in section 9.05. Meetings of the grievance committee shall take place during working hours with no loss of pay for the representatives of the Union

attending the meeting(s). In each case, the Plant Union Chairman and / or Steward shall be permitted to use a reasonable amount of time to investigate the grievance. In each case, the Plant Union Chairman and / or Steward shall give notice to their immediate supervisor of the need of those investigations. 9.03 - The Company and the Union agree that they will endeavour to settle grievances as promptly as possible. All grievances shall be submitted in writing on forms provided for this purpose by the Company. 9.04 - The Company reserves the right to discharge or suspend any employee for good and legitimate reason(s). The discharge of a probationary employee or a student shall not be the subject of a grievance hereunder. The Company shall notify the Union, in writing within five (5) days of the discharge or disciplinary time off of any employee, other than a probationary employee or student, stating the reason(s) for such action. Any employee who is discharged or suspended must file an appeal, in writing, within ten (10) working days of receiving notice of such discharge or suspension or the right to appeal is lost. A proper appeal will be taken through the Grievance Procedure starting at the second (2nd) stage. 9.04.1 - If the grievance is not adjusted within seven (7) working days, then it shall be referred within five (5) working days to a single arbitrator selected by the Labour - Management Arbitration Commission, or a Board of Arbitration, which may: (1) Uphold the Company's action

(2) Uphold the employee's appeal and reinstate the grievor to their former position without loss

of wage rate or seniority and with full pay for all loss of time, or (3) Award such lesser penalty as the Single Arbitrator, or Board of Arbitrators, may deem fair

and proper. 9.04.2 - It is further understood that the grievor's health and welfare and pension benefits will remain in force pending the Arbitrator(s) decision. A terminated employee would no longer be eligible for any new weekly indemnity and LTD benefits. 9.04.3 - The Union agrees to co-operate with the Company in regard to valid discipline and Company rules, and will make every effort to combat misdemeanours which may be considered cause for discharge and to support the Company's action in the treatment of same. Each offence shall remain on the record of the employee for a period of eighteen (18) months after which it shall automatically be removed and destroyed. 9.04.4 - Any employee who is to receive a written warning, suspension or discharge, shall be removed from their work station and taken to a private office. The employee's Plant Union Chairman or their designate will be present during the interview and the Supervisor shall advise the employee of the offence committed. After a full investigation of the details, the Manager of Human Resources or designate or Department Manager, will advise the employee, and the Union in writing of the penalty to be imposed within ten (10) working days from the day in which the offence occurred. 9.04.5 - All decisions arrived at by agreement between the authorized Management of the Company and the Grievance Committee with respect to grievances shall be final and binding upon the Company, the Union and the employees. 9.05 - There shall be an earnest effort on the part of both parties to settle promptly any differences, disputes or complaints arising over the interpretation or application of the agreement. Any employee is encouraged to discuss their problem informally with their supervisor, prior to entering a grievance. It is understood that any settlement reached between the supervisor and the employee will not contravene this agreement. 9.05.1 - A grievance must be presented within fourteen (14) calendar days of the act causing the grievance but not thereafter. First Stage: By an Employee, their Union Steward and Plant Union Chairman, the Supervisor and Manager of Human Resources. If the grievance is not resolved within Twenty (20) working days after such meeting, then; Second Stage: Between the Plant Union Chairman, President of Local D366, Union Steward, and Department Manager and Human Resources Manager. The Employee will also be given an opportunity to attend the beginning of the second (2nd) stage in order to provide the facts relating to the grievance. Optional Attendees to the meeting may be: the Union International Representative or the Supervisor. If the grievance is not resolved within Twenty (20) working days, then; Third Stage: The Union Grievance Committee will meet as per Article 9.02 to discuss and respond to the company within twenty (20) working days prior to the fourth (4th) stage. The Plant Union Chairman (P.U.C.) will arrange these meetings with the Manager of Human Resources. Fourth Stage: Either party have Twenty (20) working days to initiate an arbitration. Such an arbitration shall be by a single Arbitrator under section (49) of the Labour Relations Act (1995) or a Single Arbitrator selected by the Labour Management Arbitration Commission or by a Board of Arbitration, as chosen by agreement of both parties. Both parties will endeavour to adhere to the times provided by each stage in the grievance procedure. If either party fails to respond to a grievance within the appropriate time provided, the grievance will proceed to the next stage. 9.05.2 - In grievances involving more than one (1) employee, the Union will select one (1) representative to attend the grievance stages as outlined above. 9.06 - The Board of Arbitration is to be selected in the following manner: The Union shall select one (1) arbitrator and the Company shall select one (1) arbitrator and the two (2) so selected shall endeavour to select a mutually satisfactory third (3rd) arbitrator who shall be the Chairman of the Arbitration Board. In the event the Arbitrators selected by the Union and the Company are unable to agree upon the third arbitrator, they shall be appointed by the Minister of Labour for the Province of Ontario. The decision of the Arbitration Board shall be either unanimous, or failing that, a majority, or failing a majority, the decision of the Chairman. The decision shall be final and binding on all parties involved. 9.07 - Policy Grievance: Any difference arising directly between the Company and the Union involving the interpretation of alleged violation of this Agreement may be submitted in writing by either party at the second (2nd) stage of the grievance procedure. 9.07.1 - If a policy grievance is filed by the Plant Union Chairman for the second time, an equivalent to four (4) hours shall be paid at the applicable wage rate to a local Charitable Organization of the Union’s choice, and will be credited to Local D 366. 9.08 - Grievance in writing must be accepted at Steps one (1) and two (2). Failure to do so will

cause the Grievance to proceed to Steps two (2) and Step four (4) respectively. 9.09 - The Arbitration Board shall not alter, add to, subtract from, modify or amend any part of this Agreement. 9.10 - The expense and compensation of the arbitrators selected by the Parties shall be borne by the respective organization selecting them. The expense and compensation, if any, of the Chairman of the Arbitration Board shall be divided equally between the Company and the Union. Full use shall be made of the services provided by the Ministry of Labour.

ARTICLE 10 - LEAVE OF ABSENCE

10.01 - Any request for leave of absence for a period in excess of three (3) consecutive working days must be made in writing to the Department Manager, who will reply in writing with a copy to the Union. The Union maintains the right to appeal the Department Manager’s decision to the Manager of Human Resources. 10.02 - Vacations must be exhausted prior to a leave of absence being granted. 10.03 - Employees elected or appointed as delegates of the union shall be given reasonable leave of absence, without pay, to enable them to perform the duties of their office. No more than five (5) delegates at any one time shall be granted leave, provided it does not unduly interfere with plant operations. Requests for such leaves of absence are to be submitted to the Manager of Human Resources at least seven (7) days in advance of such leaves. 10.04 - Any employee elected or appointed to a full time position with the United Cement, Lime, Gypsum and Allied Workers Division of International Brotherhood of Boilermakers, AFL-CIO-CLC, or any of its subordinate bodies shall be granted leave of absence not to exceed six (6) years providing ten (10) days notice is given to the Company prior to the beginning of such leave. During such leave, seniority shall not continue for purposes of pension. Insurance benefits shall be suspended after thirty (30) days of such leave and will again be in effect the first day of returning to work with the Company. If additional leave of absence is required (beyond six (6) years), the employee must submit a written request to the company for approval at its discretion. Upon returning to work, such employee will be reinstated in their former job, providing it is still in existence. If not, they shall be eligible to apply for any job within the bargaining unit by means of existing procedure(s) or by bumping. 10.05 - Upon written application to the Manager of Human Resources, an employee with at least one (1) year seniority may, for good and sufficient cause, be granted a leave of absence without pay for a period not exceeding sixty (60) days provided that no disruption to operations will occur. Such leave of absence may be extended, upon request to the Company. The Company will maintain employee benefits, except weekly indemnity (WI) and long-term disability (LTD), for leaves of absence of less than thirty (30) calendar days. 10.06 - The Company will notify the Plant Union Chairman of any leave of absence granted, or refused. In cases of refusal, the reasons are to be specified on the Leave of Absence Application. Any employee on leave of absence who engages in other employment or fails to report for work upon the expiration of their leave shall be deemed to have voluntarily quit. 10.07 - A leave of absence obtained under false pretences shall be cause for discharge or disciplinary action. 10.08 - The Company agrees to grant immediate leave of absence(s) to any employee who holds the position of President or Vice-President of the Local Union, to attend any official business

pertaining to all Units comprising Lodge D366, providing that a replacement can be found. Every effort will be made, by both parties to find a replacement. 10.09 - When a union employee is offered a salaried position with the company, they will be allowed to take a leave of absence from the union for six (6) months without loss of seniority. If the employee requests to return to the bargaining unit they will be placed in any available position open at that time. 10.10.1 - If a Union employee is offered a “Relief Supervisor” position, they will be allowed to take a leave of absence from the union whenever acting as Relief Supervisor. They may be allowed to a take a leave of absence to relieve a Salaried person, other than a Supervisor. When not doing so, they shall return to their classified position with no loss of seniority. 10.10.2 - When acting as a Relief Supervisor or Relief Salaried person, the employee will not be responsible for: discipline, promotion, hiring or discharging. 10.10.3 - Relief referred to in clause 10.10.1 and 10.10.2 will be for training, sickness and vacation relief.

ARTICLE 11 - JURY DUTY AND BEREAVEMENT 11.01 - An employee who is called or subpoenaed for Jury or Witness Duty shall be excused from work for any day on which they report for such Jury or Witness Duty, and shall receive for each day on which they otherwise would have worked, the difference between their regular day’s pay (at straight time) and the payment they receive for Jury or Witness Duty. Should an employee be required to work the night shift the day going on Jury Duty, they shall have that shift off with full pay and be paid as above. Employees subpoenaed for Jury or Witness Duty are to immediately notify the Company. 11.02.1 - Should an employee's father, mother, brother, sister, spouse, child, mother-in-law, father-in-law, brother-in-law, or sister-in-law die, an employee will, upon request, be excused from work for three (3) consecutive calendar days immediately following the date of death and will be paid their regular wages for shifts missed in this period. In the case of multiple deaths on the same date, the employee will be excused from work for a maximum of six (6) consecutive calendar days immediately following the date of deaths and will be paid their regular straight time wages for shifts missed in this period. One of the bereavement days identified above may be taken separately for the funeral if it occurs beyond the time permitted during the period identified above. 11.02.2 - Should an employee's grandfather, grandmother, grandchild, half-brother, half-sister, or step-parent die, an employee, upon request will be excused from work for two (2) consecutive calendar days immediately following the date of death and will be paid their regular wages for shifts missed in this period. In the case of multiple deaths on the same date, the employee will be excused from work for a maximum of four (4) consecutive calendar days immediately following the date of deaths and will be paid their regular straight time wages for shifts missed in this period. One of the bereavement days identified above may be taken separately for the funeral if it occurs beyond the time permitted during the period identified above. 11.02.3 - Should an employee’s niece, nephew, or spouse’s niece, nephew, brother-in-law, sister-in-law, grandparent die, an employee, upon request, will be excused from work for one (1) calendar day for the date of the funeral service and will be paid their regular wages for the shift missed. 11.02.4 - In all cases, application for bereavement entitlement, including proof of death, must be made to and approved by the Manager of Human Resources. Upon approval, the employee will be

paid for Bereavement leave (excused day(s) in the next pay period). The employee must submit proof to the company within four (4) weeks of the death. If the employee fails to provide proof of death, the company maintains the right to deduct any monies necessary from the employees pay. 11.02.5 - The above benefits shall not be implemented if the bereavement period occurs during sick leave, accident leave, lay-off, or leave of absence.

ARTICLE 12 - STRIKES AND LOCKOUTS 12.01 - During the term of this Agreement and in consideration of the relations established by it, it is agreed that neither Union nor its representatives nor any member of it shall cause, sanction, authorize or take part in any strike, either partial or complete, interfering with or causing interruption or stoppage of production, nor shall the Company cause or practice any lockout.

ARTICLE 13 - COMPULSORY CHECK OFF 13.01.1 - The Company shall deduct a fixed sum of money equivalent to one quarter of the monthly Union dues from the pay of all employees covered by this Agreement, on the first four weekly pay periods of each calendar month, and shall remit the same prior to the fifteenth (15th) day of the following month, by cheque to the Financial Secretary, United Cement, Lime, Gypsum and Allied Workers Division of International Brotherhood of Boilermakers, AFL-CIO-CLC, and marked "for deposit only". 13.01.2 - The said sum shall be accepted by the Union as the regular monthly Union dues for those employees who are members of the Union and the sum so deducted from non-Union employees shall be treated as their contribution towards the expenses of maintaining the Union. 13.02 - Upon completing the probationary period, the employee shall have deducted from their pay, an amount to be remitted to the Financial Secretary Treasurer United Cement, Lime, Gypsum and Allied Workers Division of International Brotherhood of Boilermakers, AFL-CIO-CLC, in the form of a cheque and marked "for deposit only". Total amount of Union Dues (not initiation fees) paid by an employee shall be included in the T-4 Slip. 13.03.1 - All employees who are members of the Union in good standing as of the effective date of this Agreement, shall continue their membership as a condition of employment. 13.03.2 - All employees hired after the effective date of this Agreement shall become and remain members in good standing of the Union, as a condition of employment, as soon as their probationary period is over. 13.04 - The Company agrees to furnish bulletin boards of its own selection to be located in conspicuous locations in the operations, for exclusive use of officials of the Union for posting of notices to bear the seal of the Union and signature of its proper officials. Bulletin Boards - Mechanical Maintenance (Electrical Maintenance - Stores) - Yard - Packing Plant - Production -In Plant Transport - Old Guard House - Quarry.

ARTICLE 14 - CONTRACT WORK 14.01 - The Company reserves the right to contract out any work of a repair, construction, quarry and transportation nature. 14.01.2 - The company reserves the right to contract out maintenance or production work customarily performed by its own employees provided:

a) That the company does not have the facilities, equipment and or trained personnel available to properly perform the work as required.

b) That any employees on lay-off, trained and capable of performing the work as required are recalled as per Article 8.01.

14.02.1 - The Company agrees to notify the Union in advance, when possible, and to meet with the Union upon the request of the Union for explanation of the reasons causing the Company to decide to contract any production and maintenance work. The company will meet with the Union, when planning a job in order to receive their input. In this manner, all aspects of the job will be considered. The Company will offer the same work to the Bargaining Unit Employees, whenever possible, subject to Article 14.01.2. 14.02.2 - If contracting out of work is required on an emergency basis the company will notify the Plant Union Chairman or their designate. 14.02.3 - All contractors will be required to follow St. Lawrence Cement rules and the Occupational Health and Safety Act. 14.03 - For any violation of Article14, the Company shall be required to pay a minimum of four (4) hours pay to the most senior employee(s) who is qualified to perform the type of work involved and who files a grievance that is found to be valid. Any settlement under this Section shall not exceed the number of contracted employee(s), not total hours worked.

ARTICLE 15 - GROUP LIFE INSURANCE, SICKNESS AND DISABILITY PLAN 15.00 - In all cases the Master Policy governs the different plans and the Company will provide three (3) copies to the Union. The Company will ensure that the Master Policy contains all the provisions contained in this agreement. 15.01 - The employer agrees to pay the costs of providing the following benefits: (a) Group Life Insurance and Accidental Death and Dismemberment at the following amounts: Oct. 1/07 Oct.1/08 Oct.1/09 Oct.1/10 Life Insurance $51,000 $52,000 $53,000 $54,000 A.D. and D. $51,000 $52,000 $53,000 $54,000 Dependent life insurance to provide a $7,000 benefit for the spouse and a $3,000 benefit for each dependent child. Employees retiring between the age of fifty-five (55) and sixty-two (62) years with twenty (20) years of service - $10,000 in Life Insurance. Employees retiring between the age sixty-two (62) years and sixty-five (65) years with a minimum twenty (20) of service - $5,000 in Life Insurance. Employees retiring at age sixty-five (65) with a minimum twelve (12) years of service - $5,000 in Life Insurance. (b) Weekly Indemnity Insurance is to be twenty-eight (28) times the straight time hourly rate. Weekly Indemnity will be paid on a five (5) schedule work day basis. Weekly Indemnity is payable on the first (1st) day of an accident, and the fourth (4th) day of sickness for a total of twenty-six (26)

weeks. The Company pays for second (2nd) and third (3rd) scheduled workday at one fifth (1/5) the weekly indemnity rate for sickness provided the employee qualifies for weekly indemnity benefits. (c) Long - Term Disability insurance to provide an amount of $1,250 per month, non-

integrated, until the earlier of the employee’s recovery, death or attainment of age sixty-five (65).

(d) A Major Medical plan to include: - prescribed drugs - ambulance service, hospital room supplement (difference between the semi-private room and public ward allowance) - supplemental emergency out of province reimbursement plan Reimbursement of expenses shall be as follows : Hospital - 100% of insured costs Paramedical Services (Chiropractors, Naturopaths, Podiatrists, Osteopaths, Masseurs, Speech Therapist and Psychologist - with medical prescription only) – reimbursed at 100% up to a maximum $450 per year Drugs - 80% for the first $3,750 of expenses (combined with paramedical services) in a calendar year, then 100% of insured costs for the rest of the year. Physiotherapist - 80% of insured costs, up to a maximum reimbursement of $1,000 in any calendar year. Orthopedic shoes or orthotic shoe inserts – combined coverage to $350/ year max. Other services - 100% of insured costs up to the maximum reimbursement for the applicable category. Hearing aids - reimbursed at 100% to a maximum reimbursement of $800.00 every three (3) years, from the date of purchase. Emergency expenses outside of Canada at 100% as well as travel assistance benefit. In order to be eligible for the Major Medical plan, an employee must be covered under the provincial health care plan. e) A Dental Plan to provide: Items 1, 2 and 3 will be reimbursed to a combined maximum of $2,500 per insured person per calendar year.

1. Basic services reimbursed at 100% of insured charges. 2. Additional basic services reimbursed at 80% of insured costs. 3. Major services reimbursed at 60% of insured costs.

4. Rider Orthodontic Care - Orthodontic expenses at 50% of insured costs to a $1,500.00

lifetime maximum (eligible dependent children only).

5. Payment will be made based on the current year’s dental fee guide (ODA). (i.e. 2008 fees based on 2008)

6. New employees will be covered for the dental plan after having completed one (1) year of

seniority. (f) A Vision care program for the family providing 100% reimbursement to a maximum of $300 coverage per family member, including the cost of eye exam, per two (2) benefit years. (g) Employees working beyond the age of sixty-five (65) will continue to receive benefits, less Weekly Indemnity and Long-term Disability (LTD). (h) The foregoing are subject to the terms of the plan in each case including the eligibility requirements as established under the plans. Benefits in this Article apply only to employees who have completed their probationary period. 15.02 - If Government Legislation or Regulation is enacted that alters or amends the premium payment method of any of the Company paid benefits, the Company shall stop all payments under the old system, using the funds thereby to make payment under the new method. The Company is to receive the benefit of any reduction in costs generated by the change. 15.03 - The Company will provide the following coverage to Employees retiring between the age of fifty-five (55) and sixty-five (65) with twenty (20) years of service: Drugs & Paramedical Services (Chiropractors, Naturotherapists, Podiatrists, Osteopaths, Masseurs - with medical prescription only) – at 80% of insured costs for the first $3,750 of expenses in a calendar year, then 100% of insured costs for the rest of the year. Paramedical services are reimbursed at 100% up to a maximum $450 per year. The spouse will be covered during the time the employee is covered. 15.04 - This section is effective for all absences starting on or after October 1, 1998. In case of absence due to sickness, accident or other leave, provisions for coverage continuation are as follows: (a) Weekly Indemnity: all group insurance continues to be paid by the Company, until the earlier of

the employee’s recovery, death or attainment of the maximum payment period. (b) Long Term Disability: all group insurance continues to be paid by the Company, until the

earlier of the employee’s recovery, death or attainment of the maximum payment period. (c) WSIB: all group insurance continues to be paid by the Company, until the earlier of the

employee’s recovery, death, or attainment of age sixty-five (65). (d) Lay-off (temporary): all group insurance (except for WI and LTD) continues to be paid by the

Company for a maximum of three (3) months. Thereafter, all group insurance (except WI and LTD) is available, at the employee’s expense, for a maximum period of three (3) months. The election as to whether the employee continues group insurance at their expense has to be made before the end of the initial three (3) month period and post-dated cheques have to be remitted to the Company at that time for coverage to continue.

(e) Authorized leave of absence: for leaves not exceeding thirty (30) days, all group insurance is

continued as if the employee were actively at work. For leaves in excess of thirty (30) days, all group insurance (except WI and LTD) is available from the date of the leave, at the employee’s expense, for a maximum period of six (6) months. The election as to whether the employee continues group insurance at their expense has to be made before the employee’s last day of work period and postdated cheques have to be remitted to the Company at that time for

coverage to continue. (f) Maternity leave (mother) - During Employment Insurance period: all group insurance continues

to be paid by the Company for a maximum period of fifty-two (52) weeks. (g) Parental leave (father) - During Employment Insurance period: all group insurance continues to

be paid by the company for a maximum period of thirty seven (37) weeks.

LAWRENCE CEMENT INC. AND MINISTRY OF TRAINING, COLLEGES AND UNIVERSITIES APPRENTICESHIP PROGRAM 16.03 - Requirements: Minimum of Ontario Secondary School Grade 12 diploma or equivalent. The Ministry of Training, Colleges and Universities apprenticeship training program consists of three (3) levels of trade courses:

1) Beginner level - 240 hours 2) Intermediate level - 240 hours 3) Advanced level - 240 hours

1. The Millwright Apprentice will be scheduled for the three (3) periods of training, at the company’s discretion, by one of the following options:

- one (1) day per week for thirty (30) weeks, or - everyday for eight (8) weeks each as ‘block release’.

2. Hours missed by Apprentices during school term will be deducted from their pay upon the company receiving notification of their absence from the apprenticeship training centre or school.

3. Change of pay rate to Journeyman will be upon completion and approval of the apprenticeship competency book and upon successfully attaining a Certificate of Qualification (C of Q) recognized by the Province of Ontario.

4. The apprentices must take their Certificate of Qualification examination within three (3) months upon completion of the Apprenticeship courses and final approval of the Competency book. The apprentice will be relocated to the yard crew and the apprenticeship will be terminated upon failure to take this examination within the time indicated above.

5. The apprentice will be allowed to rewrite the trade certificate examination within ninety (90) days following the first examination if they fail their first examination. The employee must pay for any written tests and preparatory work they must repeat due to failing the first written exam.

6. The apprenticeship will be terminated and the employee will be assigned to the yard crew at the applicable rate if they fail the second (2nd) examination.

7. If the employee takes a third (3rd) examination and successfully attains their Certificate of

Qualification (this being at no cost to the company), they will be given consideration for the first opening in their trade.

The Ministry of Training, Colleges and Universities registration fee will be paid by the company.

The Company will also pay the apprentices’ basic daily wages when attending the trade courses. The company will not pay for any training course dates missed by the apprentices and will record the absences as time missed from work. Upon completion of the course, the Company will reimburse the cost of the course provided that a mark of 60% or greater is obtained. As per Trade Appendix

The hours are to be calculated on regular working hours and school attendance. 16.03.1 - Each Apprentice is to be reviewed at the end of each trade year, by the Human Resources Manager or designate, Supervisor, Maintenance Manager, Plant Union Chairman and Maintenance Steward. Assessment of each Apprentice will be taken from school and Supervisor's progress reports. If the assessment is positive, the apprenticeship will continue and the Apprentice will be upgraded to the next appropriate level (i.e. First year to second year) and pay rate. If the assessment is negative, the apprenticeship will be discontinued. Dates of entering Mechanical Electrical and Maintenance Department and acceptance by Ministry of Training, Colleges and Universities will be used. 16.03.2 - TERMINATION OF APPRENTICESHIP The Apprenticeship program may be terminated at any time by the Company, Ministry of Training, Colleges and Universities or the Apprentice. If the person is failing to meet necessary Government or Company requirements during training, they will be relocated to Yard Crew at the applicable rate. The probationary period is not to exceed four hundred (400) hours. If their performance is not acceptable, the apprenticeship may be terminated at any time during the probationary period. The Company will have the right to transfer or terminate apprenticeship of any Apprentice for causes such as: (a) inability to learn (c) unreliability (b) improper conduct (d) irregular work attendance (e) failure to complete school term successfully

16.03.3 - COMPLETION OF APPRENTICESHIP The employee will be placed into the available trade vacancy (if any) upon completion of the apprenticeship program and attainment of a Certificate of Qualification. The employee will be awarded the Senior Journeyman classification upon being placed into an available trade vacancy. Employees who acquire their trade certification through the Company apprenticeship program will be required to remain in the chosen trade for a minimum of two (2) years while employed by the Company. The Company may agree to something less than two (2) years. If there are no vacant positions upon completion of the apprenticeship program, the employee will revert to any vacant position at the time that they are qualified to perform without loss of seniority. 16.03.4 - When the Company determines that a vacancy exists for an Apprenticeship, it shall be posted by the Company for five (5) working days, so as to give all interested employees the chance to apply in writing for such jobs. Careful consideration will be given to applications received in relation to the following qualifications: 1) Seniority 2) Experience - (education, credited trade courses) 3) Ability Any apprentice candidate must successfully achieve a minimum grade of 65% on a mechanical aptitude and competency test. The company reserves the right to hire externally from the plant, any apprentice already enrolled in a trade apprenticeship program provided no internal candidate is suitable. C.O.L.A. 16.04 - During the first contract year of this Agreement, the C.O.L.A. provision will only be activated by a 10% rise in the C.P.I., September 2007 being the base month. Any monies generated above the new triggered base will be calculated and paid for quarterly, the last payment, if any, to be in July 2008. Similarly, in the second year of this Agreement, the C.O.L.A. provision will only be activated by a 10% rise in the C.P.I., July 2008 being the base month. Any monies generated above the new triggered base will be calculated and paid quarterly, the last payment, if any, to be in July 2009. Similarly, in the third year of this Agreement, the C.O.L.A. provision will only be activated by a 10% rise in the C.P.I., July 2009 being the base month. Any monies generated above the new triggered base will be calculated and paid quarterly, the last payment, if any, to be in July 2010. Similarly, in the fourth year of this Agreement, the C.O.L.A. provision will only be activated by a 10% rise in the C.P.I., July 2010 being the base month. Any monies generated above the new triggered base will be calculated and paid quarterly, the last payment, if any, to be in July 2011. 16.04.1 - C.O.L.A. increase will be calculated using the consumer price index as published by Statistics Canada (2002 = 100) (1) A one (1) cent per hour increase will be made to each classification for every .275 increase in

the C.P.I. over the previous quarter.

(2) The amount of any C.O.L.A. benefits in effect at any time shall be included in computing overtime pay, holiday pay, call-in pay, vacation pay, jury duty pay and bereavement pay.

(3) Increases will take effect the first pay period after the publication of the months’ C.P.I.

ARTICLE 17 - SPECIFIC JOB CONSIDERATIONS

17.01 - Employees assigned to assist with poking while the kiln is operating will be increased by one (1) classification to a maximum of Class #4. 17.01.1 - Any qualified employee will be paid a minimum of Class #4 while operating the Slag Dryer. 17.02 - Anyone who operates a dozer or grader will be paid class #4.

17.03 - Maintenance Journeyman move to Senior Journeyman after one (1) year plant experience. 17.04.2 - Any yard crew employee who has been trained for more than one (1) classification for the purpose of "relief" in case of vacation, illness, etc., will receive one (1) class higher than their normal rate, except when relieving a regularly classified operator “(i.e. Oiler, Stores Attendant, Fuel Attendant, etc.) Whenever relief of a regularly classified operator occurs, the higher rate shall apply, as per Article 6.03. 17.04.3 - Bricklayers are to be paid as “’B’ Senior Journeyman” as per Trade Appendix. Bricklayer’s helpers are to be paid class #4. The requirements are: Three (3) Senior Bricklayers, Three (3) Bricklayers, Six (6) bricklayer’s helpers.

The jobs will be posted when the number of Bricklayers and helpers drop below the required amount. Those who apply must come from the yard crew. If vacant postings cannot be filled, the work and pay will be given to those available at the time of each job. 17.04.4 - One (1) class higher will be paid to Yardmen when working inside the Kiln, Cooler and / or Tower on refractory work to a maximum of Class #3. 17.04.5 - Rates for sections 17.04.3 and 17.04.4 are effective on commencement of re-bricking or refractory in the rotary section of the kiln. 17.04.6 - Yard crew are to be paid one (1) class higher when sand blasting. 17.04.8 – Yard crew will be paid Class #3 when operating the heavy forklift. 17.05.1 - Each crew of three (3) will receive a bag bonus of $0.75 / 100 bags per person for every 100 bags over 3500 bags loaded per crew. The Company will endeavour to have only the minimum number of crews bagging so bonus can be maximized. When all workers are not required for bagging, the available workers will be rotated on a weekly basis. 17.05.2 - Shunt Truck Driver/ Warehouse Attendants and Senior Man will receive the average bonus of the highest two (2) crews receiving bonus. If only one (1) crew is bagging - Shunt Truck Driver/ Warehouse Attendants and Senior Man will receive bonus of that crew.

17.05.3 - Senior man will be able to fill in for any job in the Packhouse. 17.05.4 - The same bonus applies during overtime. 17.05.5 - If a Packer Loader arrives late, the employee who replaced them, will have the choice whether they continue bagging or performs other duties assigned. Whoever continues loading will be credited with the bag bonus for the day. 17.05.6 - In case of reduction in the number of crews, the employee will receive the rate of the classification to which they are assigned. 17.05.7 - Regular Packhouse employees, who are qualified, will be given the opportunity of performing available work, when not working at their regular assignments. 17.06.1 - Re: Boat loading and Unloading. When additional employee(s) are required for Boat loading or Unloading, the Company will attempt to cover the situation with available employee(s) at work at the time. If overtime is required the regular Boatloaders will be given first opportunity to work.

ARTICLE 18 - PENSION PLAN

18.01 - All employees governed by this Agreement are eligible to receive benefits under the Company Pension Plan, subject to the terms and provisions of the Plan amended as follows: 18.01.1 - Interest paid on contributions up to December 31, 1986 is seven (7) percent, thereafter the interest will be set according to the appropriate legislation. 18.01.2 - Any employee hired between October 1, 1983 and September 30, 1998, upon reaching thirty (30) years of age, must join the pension plan. Effective October 1, 1998, new employees, at the end of their probationary period, must join the pension plan. 18.01.3 - Earnings used for pension calculations will be based on the following: Effective January 1, 2008 - Base year 2005 Effective January 1, 2010 - Base year 2007 Cap on base year is the average of the best consecutive five (5) years out of the last ten (10) years. 18.01.4 – Upon ratification of the Collective Agreement, earnings for pension calculations will be based on regular wages. Regular wages will be defined as a maximum of all regularly scheduled hours worked multiplied by the applicable hourly rate. Example: Rotating shift workers = 42 hours per week Day workers = 40 hours per week

Overtime Premiums All other bonuses 18.01.5 - A member eligible for early retirement who retires from active service shall receive an annual pension based on: Accrued pension at retirement, reduced by the minimum between a) and b):

a) 0.25% per month between age sixty-five (65) and early retirement age b) i) Effective October 27, 2003, age fifty-eight (58) and ninety (90) points or at age sixty (60):

no reduction ii) Otherwise, 0.25% from early retirement to age fifty-eight (58) and ninety (90) or at age sixty (60) but not beyond age sixty-five (65). 18.01.6 - Long Term Disability: the pension-able earnings while a member is receiving long term disability benefits are the straight time hourly rate for their regular job immediately prior to disability, multiplied by the applicable regularly scheduled hours in the year. Section 9.06 of the plan text (as amended and restated January 1, 1992) pertaining to Disability Pension is removed. 18.02 - In all cases the official plan text governs the different plans and the Company will provide three (3) copies to the Union. The Company will ensure that the official plan text contains all the provisions contained in this agreement. 18.03 - When an employee reaches the age of fifty-seven (57) years and nine (9) months, with a minimum of twelve (12) years service and has signed to confirm their retirement from the company, they will begin to work four (4) days per week and receive pay for five (5) days. This will continue for three (3) months or until retirement (whichever is sooner). If an extension of employment is granted, benefits will be deferred to three (3) months prior to retirement. Those on 12-hour rotating shifts will take two (2) shifts off (with pay) every three (3) calendar weeks. The pre-retirement days cannot be accumulated and taken consecutively. The days are also forfeited if not taken at the appropriate time. It is understood that an employee must retire three (3) months after starting this arrangement.

18.04 - A Joint Committee on the Mississauga Hourly Employees Pension Plan will be established, composed of three (3) members appointed by the General Manager, and three (3) members appointed by the Union. The Joint Committee shall meet at least once per year. This Joint Committee will have responsibility for: A) Reviewing the operations of the Pension Plan. B) Education and information of the Plan participants. C) Discussing significant developments in the Pensions field. D) Investigating complaints of participants. E) Making recommendations to the Mississauga Management, as deemed appropriate.

Joint Committee members will be notified in advance of administrative, legislative changes and proposed amendments. Should the future of the Plan become uncertain, a meeting of the Joint Committee shall be arranged to discuss the matter. The duties of this Joint Committee shall be advisory only.

The Joint Committee will carry out its duties in accordance with the Rules and Regulations of the Retirement Plan for Hourly-Paid Employees at the Mississauga Plant which is the official Plan text. Any proposed changes to these Rules and Regulations are subject to the Company Board of Directors’ approval. 18.05 - In case of absence due to sickness, accident or other leave, provisions for continuation of participation are as follows: a) Weekly Indemnity: participation continues, provided the employee continues to contribute

proportionately on WI benefits received. The election to continue participation has to be made at the time the employee is approved for WI benefits and post-dated cheques have to be remitted to the Company in advance, for three (3) month periods. Otherwise, participation is suspended.

b) Long-term Disability: participation continues, without employee contributions, until the earlier

of the employee’s recovery, death or attainment of age sixty-five (65). c) WSIB: participation continues, without employee contributions, until the earlier of the

employee’s recovery, death or attainment of age sixty-five (65). d) Layoff (temporary): participation is suspended. Employees have the possibility of making

voluntary contributions. The election for voluntary contributions has to be made before the last day of work and post-dated monthly cheques have to be remitted to the Company before the last day of work.

e) Authorized leave of absence: participation is suspended. Employees have the possibility of

making voluntary contributions. The election for voluntary contributions has to be made before the last day of work and post-dated monthly cheques have to be remitted to the Company before the last day of work.

f) Maternity leave (mother) - During Employment Insurance period: participation continues,

provided the employee continues to contribute at the rate of earnings contributed immediately before the leave (maximum period of fifty two (52) weeks). The election to continue participation has to be made before the last day of work and post-dated monthly cheques have to be remitted to the Company before the last day of work. Otherwise, participation is suspended.

g) Parental leave (father) - During Employment Insurance period: participation continues,

provided the employee continues to contribute at the rate of earnings contributed immediately before the leave (maximum period of thirty seven (37) weeks). The election to continue participation has to be made before the last day of work and post-dated monthly cheques have to be remitted to the Company before the last day of work. Otherwise, participation is suspended.

ARTICLE 19 - HEALTH AND SAFETY

19.01 - Injuries of any nature whatsoever shall be reported by the injured employee to their Supervisor. 19.02 - The Company will continue to furnish in accordance with the provisions of the Workplace Safety and Insurance Act, first aid and medical services to its employees in all cases of accidental injury occurring in and arising out of their employment. A complete medical examination of any

employee including x-ray (at the Company's expense) may be made annually or at any time at the discretion of the Company. Copies of reports of such examination and reports of treatment shall be kept on file by the Company or by a mutually agreed to delegate of the Company, and shall be at all times available to the employee's physician for reference. 19.03.1 - The Company will, according to its established practice, continue to install such safety devices for the protection of lives and health of its employees as shall be mutually agreed upon by its representatives and the Plant Joint Health and Safety Committee. It is understood that it is compulsory for all employees to wear hard hats, safety boots and safety glasses at all times when on the job. Other protective equipment, including hearing protection, respirators, safety harnesses etc. may, at times be required. The hard hats will be supplied by the Company. Safety glasses (both prescription and plain) are supplied free of charge when necessary, provided employee takes care of glasses. Employees using other than the designated optometrist shall be reimbursed to a maximum of $45 every two (2) years. 19.03.2 - Packer Loaders, Tower Operators, Dust Collectors, Mill Attendants, Millwrights and Quarry employees are to receive a maximum of two (2) standard pairs of safety boots, at no cost, in any continuous twelve (12) month period. All other employees will receive one (1) standard pair of safety boots, at no cost, per calendar year provided the old pair of safety boots are returned to stores. These boots will be marked or punched and returned to the employee. 19.03.3 - New employees will supply and pay for their “safety boots” during the first year of employment. Upon attainment of the employee’s first anniversary date, Article 19.03.2 will apply. 19.04 - The Plant Joint Health and Safety Committee will review incidents related to safety infraction(s) to assess and recommend how to prevent the incident from occurring again. The company retains the exclusive right (as described in Article 1.03) to issue discipline, if warranted. Safety rules shall also apply to all outside persons entering the plant. 19.05 - It is understood that the Company will use recycled fuels on an ongoing basis to supply heat to the process. The Company agrees to provide the Joint Health and Safety Committee access to the results of tests on these fuels when requested. The handling and storage of these fuels shall be in accordance with the provisions established from time to time by the Ministry of the Environment or any other agency established to control the handling of these products. 19.06.1 - All clothing, tools and equipment shall be maintained in a safe and efficient working order, and the regulations and safety codes adopted by the Province of Ontario in the interest of protecting safety and health of industrial employees as they affect the industry shall be strictly observed by both parties. 19.06.2 - Tools and equipment belonging to the Company will be subject to safety checks on a regular basis. It is the responsibility of all employees to inform the Company of defects in tools and equipment when they are returned to the tool crib. 19.07 - The Joint Plant Safety and Health Committee will consist of at least 50% Union representatives. The remainder consisting of Company representatives. The duties of the Committee consist of making recommendations for the improvement of safety and investigation of all accidents. The Committee will work toward the elimination of safety hazards. The Committee will meet monthly and discuss safety programs and accident reports including the inspection of work sites if necessary. Members of the Safety Committee will do a safety inspection of the entire plant annually – one (1) section per month. A Written report is to be completed on same. The Plant Union Chairman is to be a member of the Safety Committee. 19.08 - Employee rights and responsibilities regarding safety are protected by the Occupational

Health and Safety Act. 19.09.1 - The Company will endeavour to not work any employee more than 12 consecutive hours; however an employee may be required to work up to eighteen (18) consecutive hours in cases of extreme emergency and only as a last resort. 19.09.2 - For any violation of this section, the following penalties apply: 1) The Company shall be required to pay four (4) times the hourly rate of the employee, or

employees involved, for each hour in excess of eighteen (18) consecutive hours worked. The penalty is to be paid to Lodge D 366 for distribution.

2) The employee or employees working in excess of eighteen (18) consecutive hours shall

have forfeited the right of overtime premium rate, regardless of the provisions of Article 3 for all hours worked in excess of eighteen (18) consecutive hours.

19.09.3 - For the purpose of sections 19.09.2 (1 and 2) a period of rest of not less than eight (8) consecutive hours, the minimum limit of time required to break the consecutiveness of eighteen (18) hours.

ARTICLE 20 - CLOTHING

20.01 - The Company will provide two (2) Uniforms or two (2) Coveralls or one (1) Heavy-duty overall per year at no cost to the Employee. 20.01.1 - The Millwrights will receive one (1) pair of uninsulated coveralls per year. 20.02 –The Company will provide one (1) Heavy duty coat every three (3) years at no cost to the Employee.

ARTICLE 21 - TRAINING PRODUCTION OPERATOR TRAINING 21.01.1 - PRODUCTION OPERATOR TRAINING It is the duty of a Production Operator to temporarily replace classified personnel such as: Mill Attendants, Tower Operators and Kiln Helpers. It is, therefore, necessary that a Production Operator be trained in all those areas in order to replace "without further training" the regular operator. 21.01.2 - Although the following defines the amount of time allocated to the Production Operator for training in each area, this time also applies for training in each of the Plant production functions. AREA TRAINING TIME Raw/ Finish Grinding 10 to 14 shifts Overhead Crane 7 to 10 shifts Kiln Helper 7 to 10 shifts Preheater Tower 7 to 10 shifts Material Testing 10 to 14 shifts 21.01.3 - Since it may become necessary to train one (1) applicant in one (1) specific area and

another applicant in another specific area "at the same time" the areas shall be interchangeable. New employees accepting this position must continue to work on processing shift work for a minimum of one (1) year. During their probationary period the probationary rate shall apply. 21.01.4 - Should an applicant for the position of Production Operator have held the position of Production Operator at any time during the previous year, they shall be considered fully trained and receive the Production Operator rate of pay. 21.01.5 - Whenever possible, no more than thirty (30) calendar days shall elapse between the date of the award and the actual date when the applicant assumes their training. 21.01.6 - Should this section be contravened by the Company, the rate of pay shall be applied as if the applicant had actually begun their training. 21.01.7 - At the end of training in each area, the Shift Supervisor shall compile a progress report. A Copy will be given to the employee, Production Manager, to Human Resources and the Plant Union Chairman. 21.01.8 - Should the trainee fail, at any time, during any of the training periods, the provisions of Article 6.08 shall apply. CONSOLE OPERATOR TRAINING 21.02.1 - Training of a console operator requires a training period of one (1) year. It is the purpose of these provisions to regulate the training program. The program has therefore been divided into "areas" and "periods". The Console B rate (Class 8 with less than 480 hours of solo operation) will only be paid upon completion of the training period. To ensure maintaining competency, the Console B will have to achieve a minimum of 288 hours of solo operation on an annual basis. 21.02.2 - These provisions outline the general training program. A detailed specific training schedule will be prepared by the Production Manager for each trainee. 21.02.3 - The Production Manager and the Shift Supervisor are responsible for organizing and coordinating the schedule outlined in the detailed training program. 21.02.4 - Within five (5) working days of the end of each training period, a progress report will be compiled. Individual reports will be prepared by each person who has been responsible for any phase of the training during the period. A summary report will be prepared by the Production Manager. Copies of all reports will be submitted to Human Resources and the Plant Union Chairman. 21.02.5 - Should the trainee fail at any time during the training period, the case shall be discussed by a Committee composed of the Manager of Human Resources, another member of Human Resources and the Production Manager for the Company; the Plant Union Chairman, the Shift Steward and a regularly classified Console Operator for the Union. 21.02.6 - In case of failure during the trial period (seven hundred and twenty (720) working hours), the trainee shall revert to their previously held position. If the failure occurs after the trial period but within the remainder of the training period (as outlined in 21.02.1), the trainee shall be assigned to the Yard Crew.

ARTICLE 22 – IN-PLANT TRANSPORT (IPT)

22.3.01 - When coverage is required, including vacation coverage, the IPT Operators will be asked to cover IPT Operators first, then any other available and qualified workers will be asked. Emergency Coverage: In the event that the Company does not receive the required notice of an employee’s absence, or they have called in and will be late, the Company will assess and schedule the work if they are able to, with the available and qualified workforce on site at the time. 22.3.02 - Work in excess of twelve (12) hours in a shift shall be deemed overtime.

a) Time worked before a regular shift starting time. b) Time worked after a regular shift is finished. c) Time worked on scheduled days off.

Provided both daily and weekly overtime shall not be paid for the same hours. 22.3.03 - One and one half (1½) times the hourly rate will be paid for hours worked in excess of twelve (12) hours in a twenty-four (24) hour period. Double (2) time will be paid for hours worked in excess of fourteen (14) hours in a twenty-four (24) hour period. If employees are required to work their day off to cover a full shift, they will receive ten (10) hours @ one and one half (1½) times their hourly rate and two (2) hours @ two (2) times their hourly rate, except Sunday. Sunday work shall be paid at two (2) times hourly rate for all hours worked. 22.3.06 - Meal allowance to be paid as per Collective Agreement under the following conditions. To an employee who works more than fourteen (14) consecutive hours and at the end of every four (4) consecutive hours worked thereafter except the last. 22.3.11 - Rest and meal breaks will be taken as follows when operating conditions allow: Shift starts 06:30 First break 09:00 (20 minutes) Second break 11:30 (20 minutes) Third break 14:00 (20 minutes) Fourth break 16:30 (20 minutes) 22.3.13 - Overtime It is the Company's intention that overtime will be divided equitably among employees performing a similar class of work. Due to the difficulty of the twelve (12) hour work schedule, two (2) days on, two (2) days off, etc., it is not possible to keep overtime hours divided equitably. Note: Employees who are on their day(s) off on a Statutory holiday and are requested to work, will only receive the premium pay as in Article 22.4.02, they do not receive the additional payment as in Article 22.4.03. 22.4.04 - When any of the Statutory Holidays fall during the employee’s vacation, they will have a choice of one of the following:

1) On their first day back, an additional payment of eight (8) hours straight time rate in lieu of the Statutory Holiday.

2) Take an additional day off in lieu of the Statutory holiday, and receive eight (8) hours pay at

straight time rate. Employees must arrange with their Supervisor, their choice before their vacation period begins. 22.4.06 - All time not worked during the Statutory holiday hours due to lateness, etc., will be deducted from the holiday premium pay. VACATION WITH PAY 22.5.02 - Vacation periods may be taken in blocks of two (2) days or three (3) days. 22.5.03 - When an employee schedules their vacation time off, they will receive vacation pay by the number of shifts they schedule to be off in hours. It is understood that vacation scheduling will not interfere with the orderly operation of the plant. Vacation dates shall be selected and marked on the vacation sheet before April 7 of each year. Vacation dates from January 1 to April 30 shall be selected and marked on the vacation sheet before November 15 of the previous year. Vacation will be granted on a seniority basis. Any employee failing to do so shall request vacation time from the remaining available days. The Company must confirm the selected vacation dates within 4 calendar weeks from the end of each selection period. All vacation dates must be selected no later than September 30. Once employees have been granted their vacation dates, they must use those dates unless there are extenuating circumstances accepted by the Company. The Company agrees to give the vacation pay to which the employee is entitled one (1) week preceding such vacation, providing adequate notification of two (2) weeks is supplied. JURY DUTY AND BEREAVEMENT 22.11.01 - Any employee who is called or subpoenaed for jury duty or is a subpoenaed witness on a normal working day, will receive the difference between twelve (12) hours of straight time hourly rate, and the payment received for such services.

22.11.02.1 - IPT workers will be paid for each scheduled shift for which they are entitled as bereavement leave as described in Articles 11.02.1 to 11.02.3. Note: All other aspects of Article 11 continue to apply. 22.11.02.2 - Federal and Provincial Voting: In recognition of the provisions of the Federal and Provincial Acts, the parties’ request the employees concerned vote in the advanced poll should they be scheduled to work during the election day polling hours. GROUP LIFE INSURANCE -SICKNESS AND DISABILITY PLAN 22.15.01 - Weekly indemnity payments will be at twenty-eight (28) times the straight time hourly rate. Explanation: In case of illness and time lost from work, benefits will be calculated on an hourly basis for time lost. For the above benefits to be paid, an insurance Weekly Indemnity form must be completed by a doctor.

ARTICLE 23 - TWELVE (12) HOUR ROTATING SHIFT

HOURS OF WORK AND OVERTIME 23.3.01 - For the purpose of this agreement, a day shall be considered as a twenty-four (24) hour period, beginning at 18:30 hours. One of the most important factors in the continuation of the twelve (12) hour shift schedule is that the Company be assured that if overtime work is requested, the employees will co-operate by being available to provide coverage. 1) Overtime to be scheduled as far in advance as possible. 2) When coverage is required, the regular operators will be asked first, then any other available

and qualified workers. As much advance warning as possible will be given to the Company by employees if they will be late, absent or need to leave early from their scheduled shift. A minimum of six (6) hours notice is required before the start of the shift. To an employee who works more than fourteen (14) consecutive hours and at the end of every four (4) consecutive hours worked thereafter except the last. 23.3.09.2 - Employees working on regular continuous operating jobs must remain on their job until relieved by their replacement. If the replacement fails to show up, the employee shall inform the supervisor, and they shall be released by the supervisor providing the release of such employee will not interfere with the continuous and safe operation of the plant. 23.3.10 - When shift personnel are called at home during their days off and offered overtime, this will not be considered call-in and will be paid at the applicable overtime rate. 23.3.11 - Rest and meal breaks will be taken as follows when operating conditions allow:

23.5.07 - Two (2) operators cannot be off at the same time. Management reserves the right to specify the time an operator can go on vacation so that full coverage is ensured. 23.5.07.1 - No more than one (1) Shift Electrician and Shift Millwright may be off at the same time. Management reserves the right to specify the time an operator can go on vacation so that full coverage is ensured. UTILITY GROUP 23.8.06.1 - When production operation (i.e. equipment) is reduced, employees not required on shift, may be transferred to the Utility Group. Employees will maintain their regular straight time hourly rate while in the Utility Group. 23.8.06.2 - When Production is down (no kiln operating) for a period of fourteen (14) days or more, the rotating shift workers will be:

a) Laid-off as per Article 8.01 and 8.02.1, or b) Transferred to the Utility Group, or

c) Be retained in their designated positions and assigned other duties. When transfers are made, the employees affected and who have the seniority, may apply in writing for a job on “rotating shift” before being transferred to the Utility Group provided they can satisfactorily perform the job. 23.8.06.3 – Once an employee is placed into the Utility Group, the provisions of articles 8.06.3 to 8.06.16 will apply. ARTICLE 24 - DURATION

24.01.1 - This Agreement shall become effective October 1, 2007 and all provisions shall continue to be in effect until September 30, 2011, and every year thereafter unless not more than sixty (60) days nor less than thirty (30) days written notice is given by either party prior to the expiration date.

24.01.2 - Such written notice shall contain any changes or amendments desired and only such changes and amendments as contained in such notice shall be discussed by the conferees. It is mutually agreed that nothing in this Article shall preclude an extension of this Agreement if mutually agreed by both parties.

For example, a Senior Packer Loader (Class #1) would be eligible for: • 28 x Class #4 rate on a weekly basis. The following positions are the only ones eligible for the increased calculation for Weekly Indemnity: • Packer Loader • Shunt Truck/ Warehouse Attendant • Packhouse Man Senior

The transportation of raw materials will remain the responsibility of IPT, Boatloaders, and Production Operators. IPT Operators will retain the right of first refusal for any overtime created for raw materials movement. All overtime banked will be at the applicable overtime rate to a maximum of 56 hours for day workers and 60 hours for 12 hour rotating shift workers. For example: 4 hours overtime in addition to 8 hours scheduled work will be banked as 7 hours. (2 hours x 1.5 + 2 hours x 2) All days banked must be taken in units of full days. Banked days may only be taken by mutual agreement with the Employee and Supervisor. No overtime hours can be banked after August 1 of each year. All banked overtime days must be booked and approved no later than September 30. Once employees have been granted their banked overtime days, they must use those days, unless there are extenuating circumstances accepted by the Company. All unused banked overtime will be paid to the Employee at the straight time rate. Banked days will be taken at double-time rate for Sundays only. Letter of Intent – Health Care Insurance for Retirees The Company is willing to offer through our current insurance company (Sun Life) the possibility to purchase medical insurance coverage as per Sun Life’s Extended Health Care Insurance for Retirees Program. This program is offered to St. Lawrence Cement retirees as long as the program remains available. St. Lawrence Cement only gives access to their retirees to enroll in this program.
