investors form India and Malaysian medical group for the setting of a hospital in Kuala Lumpur.

(d) Provision of investment fund by Malaysian Venture Capital

(b) Negotiated, drafted and advised on the Concession Agreement with

7. CONSTRUCTION / INFRASTRUCTURE ROJECTS 7.1 Malaysia

(a) Advised the State Government of Terengganu on the Master

Development Agreement pertaining to the Waste to Wealth Management Project, including the negotiation and drafting the aforesaid agreement.

(b) Advised the State Government of Terengganu on the Development Agreement in relation to the development of a Maintenance, Repair and Overhaul Complex and Air Cargo Hub for narrow body commercial aircrafts for the Sultan Mahmud Airport, Kuala Terengganu, Terengganu, including the negotiation and drafting the aforesaid agreement.

(c) Advised KL-Kuala Selangor Expressway Berhad for the construction of access road from the boundary of Bandar Tasik Puteri, Rawang Selangor to the KL-Kuala Selangor Expressway. Prepared a Development Agreement.

(d) Advised Pengurusan Lantas Berhad, the project manager for the construction of the Kuala Lumpur International Airport (“KLIA”) in respect of legal issues arising during the construction of KLIA.

(e) Represented EPE Distribution Sdn Bhd in the negotiations with Projek

Usahasama Transit Ringan Automatik Sdn Bhd (PUTRA) for the design and construction of a Power Distribution System for the Light Rail Transit System 2 For Kuala Lumpur. Prepared a Power Distribution System Contract.

(f) Represented EPE Distribution Sdn Bhd in the negotiations with

Dimensi Arena Sdn Bhd for the operations and maintenance services of two bulk supply stations at Kerinchi and Jelatek both of Kuala Lumpur. Prepared an Operation and Maintenance Contract.

(g) Represented EPE Distribution Sdn Bhd in the negotiations with Trans

Bakti Sdn Bhd for the engineering and procurement services in respect of a Power Distribution System for the Light Rail Transit System 2 For Kuala Lumpur. Prepared an Engineering Procurement Contract.

(h) Represented EPE Distribution Sdn Bhd in the negotiations with Projek

Usahasama Transit Ringan Automatik Sdn Bhd (PUTRA) for the supply of electricity for the Light Rail Transit System 2 For Kuala Lumpur. Prepared an Agreement for the Supply of Electricity.

(i) Represented Ranhill Power in the negotiations with Maxis for the

provision of Maintenance Support Services at Maxis Technical Operation Centers (TOCs). Reviewed and amended the Maintenance Support Services Contract.

(j) Represented Pharmaniaga Logistics Bhd in the negotiations for the

design and construction of the warehouse-cum-office building at Kota Kinabalu Sabah. Prepared a Design and Build Contract.

(l) Represented Projek Penyelenggaraan Lebuhraya Berhad (PROPEL)

in the negotiations with PATI Sdn Bhd for the pavement works in respect of the Malaysia-Singapore Second Crossing Project and Packages 1A, 1B, 2A, 2B and 2C of the North South Expressway Central Link. Prepared a Sub Contract Agreement.

(m) Represented Projek Penyelenggaraan Lebuhraya Berhad (PROPEL)

in the negotiations with United Engineers Bhd for the provision of routine maintenance (civil) services. Prepared a Routine Maintenance (Civil) Agreement.

(n) Advised on, drafted and negotiated the Strategic Management Support Services Agreement for development projects to be undertaken by Kumpulan Darul Ehsan Berhad Group of Companies. Acted for the project management consultant.

(o) Advised UEM in relation to the construction of the National Sports Complex that was the main venue for the 1998 Commonwealth Games.

(p) Drafted, negotiated and advised on construction contracts and other contractual documents for UE Construction Sdn Bhd for the construction of several packages of the Central Link Highway.

(q) Drafted, negotiated and advised on the design and build contract for a

subsidiary of Bank Rakyat Kerjasama Berhad for the proposed development of office towers in Kuala Lumpur.

7.2 International Projects

(a) Advised KYS International College Sdn Bhd (KYSIC) on the

Collaboration Agreement between KYSIC and Victoria University of Wellington, the University of Auckland and the University of Canterbury in respect of the accounting twining programme which, upon successful completion, would result in the students being awarded a Bachelor of Commerce degree with a major in Accounting from one of the Universities.

(b) Advised KYS International College Sdn Bhd (KYSIC) on the

Collaboration Agreement between KYSIC and Queenstown Resort College(“QRC”)in respect of the adventure tourism management twining programme which, upon successful completion, would result in the students being awarded a Diploma Adventure Tourism Management from QRC.

(c) Advised on and drafted the Project Management Services Agreement

(j) The firm represented a company that has been invited by the

Government of Uganda to submit its concession proposal to undertake the development of a power plant in accordance with the built-operate-transfer model, wherein the company shall undertake the finance, design, construction, operation, management and maintenance of the power plant and thereafter the transfer of the same to the Government of Uganda in its negotiations and discussions with the relevant parties and authorities.

(k) The partners of the firm also advised a company in the development

of the convention centre at Garuga Entebbe, and a Golf Resort in Jinja, both in the Republic of Uganda (“CHOGM Qualifying Facilities”) on a build-own-operate model wherein the company shall undertake the finance, design, construction, operation, management and maintenance of the CHOGM Qualifying Facilities.

8. MARINE

(a) The firm acts for one of the major Malaysia companies in marine dredging works Messrs. Tidalmarine (M) Sdn Bhd in drafting various capital and maintenance dredging agreements, purchase of dredging vessels, chartering of dredging vessels and legal disputes.

(b) The firm acts as legal advisor to a major marine consulting firm, Dr.

Nik & Associates on various legal aspects of its works including drafting of contractual documents, Advised on contractual issues and legal dispute.

(c) Advised the project management consultant in relation to contract

administration for the construction, completion and maintenance of dredging works for Port of Tanjung Pelepas, Johor (Phase II). Also

9. UTILITIES

(a) Represented SAJ Holdings Sdn Bhd in the negotiations with the

Government of Malaysia and the State Government of Johor in relation to the exercise for the restructuring of water supply services in the state of Johor involving a migration from the concession system to a new licensing regime.

(b) Represented and advised SAJ Holdings Sdn Bhd in the preparation of

the Privatization Agreement with the State Government of Johor in respect of the privatization of water supply services throughout the State of Johor for the period of 30 years. Also represented and advised SAJ Holdings Sdn Bhd in relation to other incidentally contractual arrangements including the incorporation and setting up of the company.

(c) Advised and assisted Virtual Peaks Sdn Bhd on a Power Purchase

Agreement and on the construction operation and maintenance of a 300MW Kalagala Hydroelectric Power Plant with the Government of the Republic of Uganda.

(d) Advised and assisted Sarawak Hidro Sdn Bhd on the construction

operation and maintenance of a Hydroelectric Power Plant in Sarawak.

(e) Advised and assisted Sarawak Hidro Sdn Bhd on its power purchase

agreement with Smelter Asia Sdn Bhd.

(f) Advised and assisted Ranhill Power Berhad on a joint cooperation agreement at the time it was negotiating with Fauji Foudation group to jointly bid, tender, design, build, construct, fund and establish independent power plants in Pakistan.

10. INFRASTRUCTURE (a) Advised Dommintai Telecommunication (M) Ltd on tenders for the

Bakun Hydroelectric Project and drafted a joint venture arrangement with PT Intidaya, PT Telekom for the proposed telecommunication project in Indonesia.

of Remedi Pharmaceuticals Sdn Bhd with Trump Medical Supplies (HK) Limited, a HK company whose core business is in purchasing, selling, marketing and distributing pharmaceutical and non pharmaceutical products to hospitals, clinics, health centers and medical institutions, dispensaries, medicine shops and chain stores within HK and Macau, for the rights to be its sole and exclusive distributor of pharmaceuticals and non pharmaceutical products to hospitals, clinics, health centers and medical institutions, dispensaries, medicine shops and chain stores within HK and Macau.

(b) Advised and negotiated on a Joint venture for and on behalf of

Pharmaniaga Bhd. with Health Care International Investment Limited, a British Virgin Islands company whose core business is investment, on a joint venture to manage the distribution, logistics, sales and marketing of pharmaceutical products and the establishment of managed care organizations throughout Asia.

agreement for a floating production storage and offloading (FPSO) System.

(d) Advised and assisted Trenergy (M) Berhad in its pre-bid agreement

(k) Advised and assisted Markmore Sdn Bhd and Sumatech Berhad in the acquisition of oil in Mangystau oblast, Republic of Kazakhstan.

(l) Advised and assisted as Kazakhstan Methanol Limited, Employer’s

Professional Advisor (Legal) in LPG and Methanol Plant and their associated infrastructure construction projects in Ak-Kum, Republic of Kazakhstan.

15. INSOLVENCY

(a) Assisted the Liquidators KPMG in the liquidation of PUTRA involving the sale and purchase of all assets, transfer of land rights, novation of rights and obligations under all contractual arrangements and assignment and transfer of the concession rights to operate and maintain the rail services to Syarikat Prasarana Negara Berhad.

(b) Assisted Liquidators KPMG in the liquidation of Sistem Transit Aliran

Ringan Sdn Bhd involving the sale and purchase of all assets, transfer of land rights, novation of rights and obligations under all contractual arrangements and assignment and transfer of concession rights in respect of the franchise agreements of STAR LRT Phase I and II.

18. REGULATORY REVIEW

(a) The firm has been engaged by Suruhanjaya Pengangkutan Awam Darat as legal consultant to advise and draft subsidiary legislations pursuant to the Land Public Transport Act 2010 and Suruhanjaya Pengangkutan Awam Darat Act 2010

(b) The firm acted as the legal consultant in a study commissioned by the

State of Selangor on the Selangor Malay Reserve Enactment resulting in a report that contained, inter-alia, the study on the effects of the current provision of the Malay Reserve Enactment on the development of Malay Reserve Land, suggestion on changes to the Enactment, suggestion on the incorporation of statutory bodies to be the impetus to the development of Malay Reserve Land and suggestion on various legal approaches to enhance the dynamism in the development of Malay Reserve Land in the State of Selangor.

(c) The firm has participated as a member of a consortium appointed by

the City Hall of Kuala Lumpur to undertake a major Local Plan Study for the City of Kuala Lumpur. This Local Plan is to chart the planning of the City of Kuala Lumpur to reach the status of a World Class City by the year 2020. The firm’s input is the review of all major legislations, providing advice to other consultants on legal issues

(a) Advised Amona Land Sdn Bhd for the proposed development of State Government of Johor’s land in the District of Pengerang, Johor which entailed inter alia, drafting of Development Agreement, Power of Attorney and Consultancy Agreement.

(b) Advised Bank Kerjasama Rakyat Malaysia Berhad for the proposed development of its land in Brickfields, Kuala Lumpur which entailed, inter alia, drafting of Development Agreement, Project Management Agreement, Design and Build Contract, Consultancy Agreement and Marketing Agreement.

(c) Advised Tanjung Pinang Development Sdn Bhd and drafted a Land Reclamation Agreement for the development of Tanjung Tokong, Pulau Pinang.

(d) Advised and drafted for Optima Bestari Sdn Bhd a Development Agreement with the State of Johor for the proposed reclamation and development of Pantai Lido, Johor Bahru.

(e) Advised and drafted for Bank Rakyat Kerjasama Berhad, a Development Agreement, Management Services Agreement and other consultancy agreement for a proposed development of office towers in Kuala Lumpur.

(f) Advised and drafted for TM Berhad for a Joint Development

Agreement with Bina Alam Sdn Bhd for a proposed development of housing project in Klang, Selangor.

(g) Advised and drafted for TM Berhad for a Joint Development

Agreement with Syarikat Kemajuan Perumahan Negara Sdn Bhd for a proposed development of housing project in Kuala Lumpur.
