Op voorstel van het benoemings- en remuneratiecomité, stelt de raad van bestuur voor om (i) de voorzitter van de raad van bestuur een jaarlijkse vergoeding toe te kennen van 50.000 euro ongeacht het aantal comités waarin de voorzitter zetelt en (ii) de overige niet-uitvoerende bestuurders van de vennootschap een jaarlijkse vergoeding toe te kennen van 25.000 euro vermeerderd met 6.000 euro per comité waarin zij zetelen.
Voorstel tot besluit: De algemene vergadering besluit om (i) de voorzitter van de raad van bestuur een jaarlijkse vergoeding toe te kennen van 50.000 euro ongeacht het aantal comités waarin de voorzitter zetelt en (ii) de overige niet-uitvoerende bestuurders van de vennootschap een jaarlijkse vergoeding toe te kennen van 25.000 euro vermeerderd met 6.000 euro per comité waarin zij zetelen.

Corporate Governance Charter
Op 4 oktober 2007 heeft de Raad van Bestuur van Arseus het Corporate Governance Charter goedgekeurd. Bijgewerkte versies zijn op 24 april 2008, 23 maart 2010, 27 oktober 2010 en 6 februari 2012 door de Raad van Bestuur goedgekeurd.
Arseus is van mening dat ze voldoet aan alle principes en bepalingen uit de Belgische Corporate Governance Code 2009, onder één afwijking
Er werd geen onafhankelijke interne auditfunctie opgericht. Het Auditcomité van Arseus was van mening dat er voor 2011 geen noodzaak bestond om een onafhankelijke interne auditfunctie op te richten.

11. Toepassing van artikel 556 van het Wetboek van vennootschappen.
Voorstel tot besluit: Overeenkomstig artikel 556 van het Wetboek van vennootschappen, goedkeuring van de bepalingen van, en de verrichtingen ingevolge het Stockoptie Plan 2011, en in het bijzonder de bepalingen dewelke rechten toekennen aan derden (in casu de optiehouders) die een invloed hebben op het vermogen van de Vennootschap, dan wel een schuld of een verplichting te haren laste doen ontstaan, waarvan de uitoefening afhankelijk is van een openbaar bod op de aandelen van de Vennootschap of een wijziging van de controle die op haar wordt uitgeoefend.

Voorstel tot besluit: Toekennen van een volmacht aan Mevrouw Ann De Smedt, woonplaats kiezende te Textielstraat 24, 8790 Waregem, en aan Mevrouw Inge Stiers, woonplaats kiezende te Tervurenlaan 268A, 1000 Brussel. Ieder van voornoemde personen is bevoegd om afzonderlijk te handelen en om de vennootschap te vertegenwoordigen met betrekking tot het vervullen van de neerleggingsverplichtingen vervat in artikel 556 van het Wetboek van vennootschappen. Deze volmacht houdt in dat de elk van de volmachtdragers alle noodzakelijke en nuttige handelingen kan stellen die verband houden met deze neerleggingsverplichtingen.
