12. Taxes.Theprices hereindonotincludeanysales,useand/orothertaxes payableinrespectofthe products shipped hereunder.Buyeragrees topayand allsuchtaxes as thesamebecomedueand as the contextmay requite,exclusive,however,ofpersonalpropertytaxes,

franchisetaxes,and income taxes levied upon LFPApparelLLC. IfLFP ApparelLLC is obligated tocollectany tax for whichBuyerisresponsiblehereundersuchtax shallbe added to theinvoicepriceand paid by Buyerinaccordancewithpaymentterms thereof.

13. Substitutionand Modificationof Goods.LFP ApparelLLC maymodifythespecificationofany products ordered hereunderand may

substituteproducts manufactured tosuch modified specifications for those specified hereinprovided suchmodified goods substantiallyconformto Buyer’s order.

3. Prices.The prices setforthhereinconstitutetheeffectiveprices fortheLFP ApparelLLC products covered herebynotwithstandingany

priorlists,priorwrittenquotationofprices,and/ororalquotations ofprices setforthinanypurchaseorder.

4. Terms ofPayment. Paymentterms arenet(30) days frominvoice date,unless otherwisespecified. Nodiscounts willbe allowed onanyinvoicepaid pasttheinvoicediscountperiod ortoany customerhavinganoverduebalance.Theterms ofpaymentshallbe as setforthon

thefaceof theagreement.Ifthe products aredelivered ininstallment,Buyershallpayfor eachinstallmentinaccordancewithterms andpaymenthereof.Ifany shipmentis delayed byBuyer,payments areduefromthedate ofLFPApparelLLCis prepared to makesuchship-

ment.Alatechargeof1.5%permonthor themaximumratepermitted bylawshallbeassessed oninvoicebalances notpaid whendue.Ifthefinancialconditionofthe Buyeratanytimedoes not,inthesolejudgementofLFPApparelLLCjustifyextendingcreditto Buyeronthe

terms ofpaymentagreed upon,LFPApparelLLCmayrequirefullorpartialpaymentinadvanceorshallbeentitled tocancelanyorderthenoutstandingand shallreceivereimbursementforits reasonableand propercancellationcharges.Intheeventof bankruptcyorinsolvency

oftheBuyeror intheeventofany proceedingis broughtagainstLFPApparelLLC,voluntarilyorinvoluntarily,underthebankruptcyoranyinsolvencylaws,LFPApparelLLCshallbeentitled tocancelanyorderoutstandingat anytimeduringtheperiod allowed forfi l ingclaims

againstthe estateand shallreceivereimbursements forits reasonableand propercancellations charges.The rights ofLFP ApparelLLC underthis paragrapharecumulativeand inadditionto allrights availableto LFPApparelLLCatlawor inequity.

5. Transshipment/Diversion.Buyer shallresellLFP ApparelLLC productonly toconsumers andonly fromthose locations,includingwithout

limitationinternetsites,expresslyauthorizedby LFPApparelLLC locationslistedonBuyers AccountApplicationare theonly approvedlocations.Intheeventadditionaloutlets,storesorinternetsitesareopenedoracquiredbyBuyer,BuyermustsubmitaseparateAccountApplicationineachinstance. Forpurposes hereof,“consumers”is definedto meanindividualswho purchase,use anddisposeof productsfor personal,fam-

ilyorhouseholdpurposeswithnointentofresale.SuchlimitationisdesignedtoserveLFPApparelLLCneedtopreserveitssalesandmerchan-disingprograms,whicharethemselvesnecessaryanddesignednotonlytopromoteandenhanceLFPApparelLLCproductsbuttoavoiddilu-

tionof theLFP ApparelLLC products.Violationofthis provisionshallconstitutegroundsfor, withoutlimitation,terminationofBuyer’s accounts.

6. Title.All LFPApparel LLC products purchased hereunderwill be shipped F.O.B.shippingpoint. Titleto theproducts and allrisk oflossordamagewithrespecttheretowillpass and bebornebyBuyerupondeliverybyLFPApparelLLCtothe carrier.Allshippingand insurance

charges shallbebornebyBuyer.TosecurepaymentbyBuyerofthe amounts duetoLFP ApparelLLCforproductshipped hereunder,Buyerherebygrants to LFPApparelLLCa securityinterestinsuchproducts as and whentitletheretopasses tothe buyer.

7. Limited Warranty.LFP ApparelLLC warrants thatits products,attime ofshipment arefree fromdefects inworkmanship and materials,

LFPApparel LLCmakes nootherwarrants, express orimplied, and herebyspecifically disclaims anyimplied warrantyof merchantabilityoffitness forparticular purposewith respectto theproducts sold hereunder.

8. Returns.Returns aresubject tothe approvaland authorizationof LFPApparel LLCin its soleand absolutediscretion. Returns requests

mustbesubmitted inwritingtoLFPApparelLLCmainoffices in California,USA and mustbe accompanied byan ordernumberor invoicenumber.No returnrequest shallbe considered oraccepted unless madewithin 30days ofdelivery ofproduct toBuyer. Unauthorized returns

mustbereturned to theoriginalpointofin thesameconditionin whichtheywerereceived by theBuyer.Allsales of closeouts,irregulars,seconds orB-grade products arefinal.

9. Cancellations.Cancellationrequests aresubjecttothe approvalofLFP ApparelLLCin its soleand absolutediscretion.Nocancellation

requests shallbe considered unless submitted inwriting toLFP ApparelLLC inLos Angeles,California,USA ,at least45 days priorbefore the

earliest shipmentdate specified on the order. Cancellations mayaffect volume discounts and maybe subject to processingfees.Notwithstandinganythingtothe contraryLFPApparelLLCmay cancelorreducequantities tobe delivered atanytimeorfromtime-to-time

inits solediscretionand withoutcauseeffectuponoralor writtennoticeto Buyerbytelephoneorotherwise.Uponsuchcancellation,LFPApparelLLC shallhaveno furtherobligationwith respectto this contractnot shallLFPApparelLLCbe liablefor damages orany kind,

includingbutnotlimited toconsequentialdamages,provided however,thatcancellationshallnotbedeemed a waiverof LFPApparelLLCrighttodemand performancebyBuyerofany obligationof Buyerpursuanthereto,accrued up tothedateof cancellation.

10. BackOrders.Backorders willbe shipped when available.All backorders willbe shipped F.O.B.shippingpoint.No deductions are

allowed forfreight,parcelpost,or UPScharges.Partialshipments willnotbeconsidered a valid reasonto return.Any backorderover(90)days willautomaticallybe cancelled.

11. TransportationMode/DeliveryDates.Exceptas otherwiseprovided onthe faceofthis agreementordirected byBuyerin writing,LFP

ApparelLLC willselect theshipping carrierin its discretionand willmake allshipments freightcollect. Deliverydates acknowledged byL FPApparelLLC areestimates onlyofthe dates on whichtheproducts willbe shipped and arenonbindingon LFPApparelLLC.Failureto

pursuanttosaid deliverydates foranyreasonwhatsoever,whetherinLFPApparelLLCcontrolornot,shallnotbecauseforcancellationbyBuyeror forthassertion ofdamages ofany kind whatsoeverincluding,but notlimited to,consequential damages againstLFP ApparelLLC.

agreement.

16. GoverningLaw. The parties’ business relationship shall be construed and enforced in accordance with,and the validityandperformancehereofshallbe governed by,the laws ofthe stateofCalifornia,withoutregard toconflictof laws principles.Each party

herebywaives anyrightto a trialby juryinanysuchsuit,actionorproceeding.

17. Confessionof Judgement.UponBuyer’s failuretopay LFPApparelLLCanyindebtedness owed byBuyerto LFPApparelLLCwhendue,Buyerherebyauthorizes and empowers anyattorneydesigned byLFP ApparelLLC oranyclerkof anycourtofrecord to appearfor Buyer

inanycourtof record and confess judgementagainstBuyerwithoutpriorhearinginfavorofLFPApparelLLCfor/and in theamountofallindebtedness ofBuyerto LFPApparelLLC thenoutstandingplus costof suitand attorney’s fees inan amount equalto 10%of such

indebtedness. Suchauthorityand powermay be exercised onone or moreoccasions,from timeto time, on thesame ordifferentjurisdictions,as oftenas LFPApparelLLCshalldeemnecessaryordesirable,forallof whichthis instrumentshallbeinsufficientwarrant.

18. Arbitration.Any claimor demand arising outof thedisputeor controversybetweenLFP Apparel LLCand Buyer,otherthan anyconfessionof judgementproceedinginstituted byLFP ApparelLLC oranyactionby LFPApparelLLCto enjoinany unauthorized useofits

trademarks,shall bedecided bya singlearbitrator underthe rules ofAmerican ArbitrationAssociationin Los Angeles,California,USA. Theaward rendered bythearbitratorshallbefinaland bindingonbothparties and judgementonsuchaward may beentered by eitherparty

inany courtof competentjurisdiction.Nothing hereincontained shallbe deemed togive thearbitrator anyauthority,power, orright toalter,change,amend, modify,add to,or subtractfrom anyof theprovisions ofthese terms and conditions.

19. AttorneyFees. Buyershall reimburseLFP ApparelLLC forall costs,attorney fees,legal expenses and collectionagency fees incurred on

connectionwiththeenforcementby LFPApparelLLCofany rightorremedyofLFP ApparelLLC,includingwithoutlimitationthecollectionbyLFPApparelLLCanyindebtedness owed byBuyerto LFPApparelLLC.

20. NoAssignment.Buyermay notassignor transferany ofits rights or obligations withrespectto Buyer’s accountwithouttheprior

writtenconsentofLFP ApparelLLC,whichconsentmaybe withheld byLFPApparelLLCin its soleand absolutediscretion.Anyassignmentortransferprohibited bythis paragraphshallbenulland void.If Buyeris a corporateentity,any saleortransferof controll inginterestin

Buyershall constitutean assignmentfor purposes ofthis paragraph.

21. NoWaiver.No failureon thepartofLFP ApparelLLC toexercise,no delayinexercising,and nocourseofdealingwithrespecttoanyright,powerorprivilegeunderthis Agreementshalloperateas a waiverthereof,norshallanysingleorpartialexercisebyLFP ApparelLLC

ofanysuchright,powerorprivilegeprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,powerorprivilege.

22. NonExclusiveRemedies.Noremedyorrighthereinconferred upon,orreserved to,LFPApparelLLCis intended tobethe exclusionofanyremedyorright,buteachand everysuchremedyorrightshallbecumulative,and shallbein additiontoeveryotherremedyorright

givenhereundernoworhereafteratlawor inequity.

23. EntireAgreement. This agreementand Buyer’s are related accountapplication(s) constitutethe entireagreement between theparties

withrespectto thesubjectmatterhereofand all previous agreements ordiscussionbetweenthe parties relating tothe subjectmatterthereof,writtenororal,are herebyterminated and/orsuperseded.Theseterms and conditions maybe amended or modified onlyby a

writteninstrumentsigned bybothparties.Nocourseofdealingor usageoftradeorcourseofperformanceshallberelevanttoexplainorsupplementanytermorconditionhereof.

24. IncorporationBy Reference.Terms and conditions relatingtothe purchaseand saleofLFPApparelLLCproducts in anyelectronicdata

interchange(EDI)orsimilaragreementpublished orotherwisecommunicated toBuyerby LFPApparelLLCin anycatalog,invoice,creditapplication,orderconfirmation,oranyotherwrittenorelectronicinstrumentin thenormalcourseofbusiness (LFPApparelLLCcommercial

terms),LFPApparelLLCcommercialterms and anytermorconditionsetforthherein,thetermor conditionhereinshallgovern.

25. TicketingPolicy.Ifanorderrequires tickets,thecustomermustprovidethetickets toLFPApparelLLCwithin(45)days oftheship date. Ticketinginstructions mustappear onoriginalpurchase order.If LFPApparel LLCis asked toprovide thetickets, thecustomer willbe charged

(.16cents)/per ticketand (.26cents)/carton label,unless waived byLFP ApparelLLC management.
