Orion Infusion Limited (OIL) was incorporated in 1983 as a state-of-the-art Large Volume Parenterals (LVP) manufacturing company. At its inception, the company was named as "Mala Chemical & Pharmaceutical Industries Ltd," which was changed to Orion Infusion Limited in 1994. In the same year, the company also became a public limited company and was listed in DSE. Subsequently in 1996, the company was enlisted with CSE as well.
OIL is one of the leading pharmaceutical companies in Bangladesh with cutting edge technologies for manufacturing and marketing of IV Fluid, lifesaving intravenous and intravascular saline like Rehydration Solution, Electrolyte Solution, Antiulcerant Solution viz. Ranitidine IV, Amino Acid Solution, Antimicrobial products viz. Ciprofloxacin IV, Metronidazole IV, Ceftrixone IV & Plazma Substitute viz. Hydroxyethyl Strach Solution, ensuring commitment over quality.
With its modest start, more than three decades ago with the mission to improve the health of people of Bangladesh, OIL has today burgeoned out into the leading infusion companies in Bangladesh. With Mr. Karim's headship, Orion Group also built City Centre, the tallest commercial complex cum car parking in Motijheel, the financial hub of Bangladesh. Mr. Karim's success went further up when the Group became successfully involved in Private Sector Power generation of the Country, when it signed the biggest contract with Bangladesh Power Development Board (BPDB) of 4 supercritical Coal based power plants of 3000MW (with 300MW present distribution) under IPP, under the Ministry of Power of the Government of Bangladesh.
Besides being the Chairman of Orion Group, Mr. Karim is also the Founder Chairman of Tejgaon Industrial Owners Association. He is also the President of Dhaka Mohamedan Sporting Club Ltd., a century old legendary and most successful sporting club of the country.

I am happy to reminisce about what a year 2015 was! From achieving success towards attaining the Millennium Development Goals to becoming a Lower-Middle Income Country, Bangladesh has come a long way in terms of both economic and social development. A strong GDP growth, improved investment climate and increased local demand contributed towards better economic prospects for Bangladesh. I wish and pray for the continued success of the country, as this will ultimately help us to prosper in our individual businesses and lives.
I would now like to take the opportunity to welcome you all to our 33rd Annual General Meeting (AGM). It gives me further pleasure to announce that your Company has done immensely well in all the aspects of the business and has exceeded all our expectations and forecasts. I am happy to say that the performance of your company during the first six months of the reporting financial year; i.e. from July to December 2015, was remarkable but it performed even better during the last six months of the reporting year; i.e. from January to June 2016.
Dear friends, I will now take the opportunity of taking you all over the financial details. I am pleased to inform that your Company attained a Net Revenue of BDT 730.127 million as against BDT 662.837 million of the previous year, registering a praiseworthy positive growth of 10.15% over the previous year. During the present financial year, Gross Profit stood at BDT 288.453 million reflecting a positive growth of 10.45% and the Net Profit reached to BDT 106.985 million which is also higher than the previous year's Net Profit of BDT 28.25 million by a glorious 278.69%. It can be mentioned here that, this extraordinary growth in Net Profit was a result of increased sales in our core business operations as well as a huge Capital Gain on Marketable Securities.
Honorable Shareholders, it is a matter of joy for us all that the Earnings per Share (EPS) for the year 2015-16 is BDT 5.25 compared to previous year's EPS of BDT 1.39. The Return on Equity (ROE) enhanced to 40.50% from 15.07% and the Return on Asset (ROA) increased to 15.12% from 3.93%. Taking into account the extraordinary financial performance of the company this year, your Board has recommended 14% Cash Dividend to be appropriated from the profits to the shareholders for the financial year 2015-16.
Your Company always believes in continuously improving our operations and innovating new products to satisfy the customer base. We continue to work on improving our medicines quality and optimizing our
medicine range. Keeping this in mind, this year we have introduced Proliv Power and Salpac and are optimistic that it will prove to be a good source of revenue for your Company.
Every year your Company makes a significant contribution to the National Exchequer. During the financial year 2015-16, we contributed an amount of BDT 158.93 million in the form of Corporate Tax, Value Added Tax (VAT) and different other duties. This contribution is equivalent to 21.77% of the company's Net Revenue.
My dear fellow shareholders, we would like to assure you that we abide by all relevant guidelines and are committed to comply with all compliance requirements in a timely manner, in the matters involving the mandatory code of Corporate Governance for listed companies issued by Bangladesh Securities and Exchange Commission (BSEC). Disclosure in compliance with the codes has been set out in the Annual Report.
Along with its financial activities, your Company plays an active role in social and charity programs. For the future of our country, we always take an active part in different types of educational and social welfare projects. As we move ahead, we will try to be more involved in the social welfare of the country. The 32nd Annual General Meeting (AGM) for the financial year 2014-15 was held at Officers Club, 26 Baily
Road, Ramna, Dhaka on December 15, 2015. Mr. Mohammad Obaidul Karim, Honorable Chairman of the
