4.SURVEY:Ifsurveyisnecessary,surveyshallbeprovidedatsellersexpenseanewsurveyreflectingthelegaldescription,acreageandboundarylinesforanyTractofthePropertywherethereisnoexistinglegaldescriptionorwherenewbound-ariesarecreatedbythedivisionsofTractsattheAuction.AnyneedforasurveyshallbedeterminedatthesolediscretionoftheSeller.IfanewsurveyisdeterminedtobenecessarybytheSeller,thePurchasePriceshallbeadjustedtoreflectanydifferencebetweenthebidacreageandthesurveyedacreage.PurchaserwillthenhavearevisedPurchasePricecalculatedbyMultiplyingthesurveyedacreagebytheactualPurchasePriceperAcreindicatedinParagraph2.
5.CLOSINGANDPOSSESSION:The“Closing”shalltakeplaceonorbeforeTuesday,December17,2013,attheofficeofMid-WestTitleCompany,545SouthHWY13,Lexington,MO64067andatatimedesignatedbytheSellerandagreeduponbyPurchaser.ConcurrentlywiththeClosing,PurchasershallpaytotheSellerthePurchasePrice,lesstheEarnestMoneyasprovidedforherein.UponfullreceiptoftheentirePurchasePricebySeller,SellershalldelivertoPurchaserspecialwarrantydeedsfromeachsellingentityconveyingtitleinthepropertytothePurchaser.Purchasershallpaythe

chargeforrecordingtheDeed.SellerandPurchaseragreetoexecuteanyrealestatetransferdeclarationsrequiredbythestate,countyormunicipalityinwhichthePropertyislocated.TheSellerandPurchaseragreetoprovideandtoexecutesuchfurtherdocumentsasmaybenecessaryorcustomarytoclosethisAgreement(e.g.,SellerAffidavit;FITPTAAffidavit;Organizationaldocumentsandclosingstatement)andequallyforclosingcosts.PurchasershallbeentitledtopossessionofthepropertyontheClosingdate.
6.CASUALTY:SellerwillkeepthePropertyandImprovementsinsureduntilclosing.Iftheimprovementsontheprop-ertyaresubstantiallydamagedordestroyedbyfireorothercasualtypriortoclosing,thenBuyerwillhavetheoptionofacceptingalloftheinsuranceproceedsandproceedingtoclosethisAgreement,orterminatingthisAgreement.IfthisAgreementisterminatedduetothisparagraphthentheearnestmoneywillbereturnedtotheBuyer.
7.WARRANTIES: Purchaseracknowledges thatPurchaserhasbeengivenanopportunity fora full inspectionof thepropertyandrelatedinformationandfurtheracknowledgeswithrespecttothisagreementthatPurchaserissatisfiedinallrespectswiththeconditionofthePropertyandallmatterspertainingthereto.PurchaseracceptstheProperty“asis”andinitspresentconditionwithPurchaserassumingriskthereof.PurchaserunderstandsthatSellermakesnowarrantyorrepresentationofanykind,eitherimpliedorexpressedorarisingbyparticularpurposeofthePropertyoranyportionthereof,andinnoeventshallSellerbeliableforconsequentialdamages.PurchaseracknowledgesthatSellerhasnotagreedtoperformanyworkonoraboutthePropertyasaconditionofPurchaser’spurchaseofit.
8.MINERALRIGHTS:Onehundredpercent(100%)ofthemineralrightsownedbySellerwithrespecttotheProperty,ifany,shallbeconveyedtoPurchaseratClosing.
9.REALESTATETAXESANDASSESSMENTS:RealEstatetaxesforthecalendaryear2013shallbepaidbytheseller_.PurchasershallassumeandpayrealestatetaxesforthePropertyforallperiodsthereafter.
10.DEFAULT:IfPurchaserfailstoperformanyobligationimposedbythisAgreement,SellermayservewrittennoticeofdefaultuponPurchaserandifsuchdefaultisnotcorrectedwithinten(10)daysthereafter,then,attheoptionoftheSeller,thisAgreementshallterminateandtheSellershallbeentitledtoretaintheEarnestMoneypaidhereunderasliquidateddamages.TheforegoingremedyintheeventofdefaultisnotintendedtobetheexclusiveremedyofSeller,andSellershallhavetherighttoseekanyotherremediesavailableat laworequity, includingbutnot limitedtospecificperformance.DefaultbyPurchasershallentitleSellertocourtcostsandreasonableattorney’sfeesincurredinenforcingtheprovisionofthisAgreement.
IntheeventoffailureofSellertoperformtheobligationsimposedbythisAgreement,Purchaser’ssoleremedyhereunderistoterminatethisAgreementandreceivearefundoftheEarnestMoneyuponsimilarnoticeserveduponSellerandsimilarexpirationtimeperiod.
TheEscrowAgent,uponreceivinganaffidavitfromthenon-defaultingpartystatingthatthisAgreementhasbeentermi-natedasprovidedherein,shallbeentitledtorelyuponsuchaffidavitandshalldelivertheearnestmoneytothenon-de-faultingparty.
11.ENVIRONMENTAL: ThePurchaseracknowledges that theSellerhasnotmadeandherebydisclaimsanyandallrepresentationsandwarranties,eitherexpressor implied,regardingtheenvironmentalconditionoftheProperty. ThePurchasershallrelyuponitsownindependentinvestigation,inspection,inquiry,analysis,andduediligencetoevacuateandascertaintheenvironmentalconditionoftheProperty.ThePurchaserhasbeenadvisedthatthePropertyisbeingsold“asis,whereis”andthatSellerisnotrepresentingorwarrantingthattheconditionofthePropertyisinaccordanceorcom-pliancewithanypast,present,orfuturefederal,stateorlocalenvironmentallaws,regulations,requirements,orstandards.
Asamatterofcorporatepolicy,SellermakesitapracticetoexpresslyadviseanypurchaserthattheimprovementsonthePropertyincludematerials,whichmaycontainasbestos,andencouragesPurchasertoinvestigatespecificallywhetheras-bestoscontainingmaterialsexistontheProperty.
12.PROVISIONSRELATINGSPECIALLYTOSELLER/TRUST/TRUSTEES/EXECUTORANDTHEIRRESPECTIVESPECIALCIRCUMSTANCES:Trustee/ExecutorDisclaimer.EachfiduciarycomprisingSellerexecutesthisinstrumentonlyinitsrepresentativecapacityandshallnotbeboundorobligatedhereunderexceptinsuchcapacity.Purchaserac-knowledgesandagreesthatthisAgreementismadebysuchfiduciariessolelyintheirfiduciarycapacityasdescribedinthesignaturesaffixedhereto,andthatsuchfiduciariesshallnotbeliableforanybreachoranyfailuretoperformanyobligationunderthisAgreementexceptfromassetsheldinthefiduciarycapacitydescribed.
13.PROVISIONSRELATINGTOTHEAUCTIONCOMPANY/AUCTIONEER/BROKERS/FINDERS/AGENTS:(a)ThisAgreementissolelybetweenSellerandPurchaser.WheelerAuctions&RealEstate,L.L.C.(the“AuctionCompa-ny”)anditslicensedauctioneersareemployedbytheSeller.TheAuctionCompanyanditsauctioneersshallnotbeliablefor anypatentor latentdefectsordeficiencies existing in theProperty, improvementsorother appurtenant structuresthereon,norforanyinformationprovidedtothePurchaser.ThePurchaseracknowledgesthatithasconducteditsownindependentinvestigations,inspections,inquiriesandduediligenceconcerningtheProperty.
(b)Commission.NotwithstandinganyotherprovisionsofthisAgreement,therighttocommission,ifany,payabletoanyagentrepresentingeitherpartytothisAgreementshallnotvestuntilthetransactionisclosed,andshallbepayableonlyoutofproceedsofclosingandsaidagentshallhaveequalrighttoanyportionofEarnestMoneyforfeitures.
14.IRS1031TAXEXCHANGEDECLARATION(Optional):Itisagreedbetweenthepurchaser(s)andseller(s)thatamaterialpartoftheconsiderationtothePurchasersforpurchasingisthatthePurchaserhastheoptiontoqualifythistransactionaspartofatax-deferredexchangeunderSection1031oftheInternalRevenueCodeof1986asamended.SellersagreethatPurchasermayassignthisAgreementtoanexchangeintermediaryofPurchaserschoice.Purchaseragreesthatanyandalladditionalexpense,ifany,shallbebornebyPurchaserandSellersagreetofullycooperatetocompletetheexchange.
Sellerhereunderdesirestoexchange,forotherpropertyoflikekindandqualifyingusewithinthemeaningofSection1031oftheInternalRevenueCodeof1986,asamendedandtheRegulationspromulgatedthereunder,feetitleinthepropertywhichisthesubjectofthisContract.Sellerexpresslyreservestherighttoassignitsrights,butnotitsobligations,hereundertoaQualifiedIntermediaryasprovidedinIRCReg.1.1031(k)-1(g)(4)onorbeforetheclosingdate.
15.MISCELLANEOUS:(a)Jurisdiction.ThisagreementshallbeconstruedinaccordancewiththelawsoftheStateofMissouri.AnyprovisionofthisAgreementwhichisunenforceableorinvalid,ortheinclusionofwhichwouldaffectthevalidity,legality,orenforce-mentofthisAgreementshallbeofnoeffect,butalltheremainingprovisionsoftheAgreementshallremaininfullforceandeffect.
(b)EntireAgreement.ThisAgreementcontainstheentireagreementofthepartiesandnorepresentations,warrantiesoragreementshavebeenmadebyeitherofthepartiesexceptassetforthinthisAgreement.
(c)Heirs,SuccessorsandAssigns.ThisAgreementshallensuretothebenefitofandshallbebindingupontheSellerandPurchaserandtheirrespectiveheirs,successors,andpermittedassigns,provided,however,thatPurchasermaynotassignitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheSeller.
(d)TimeisOftheEssence.ThetimeforperformanceoftheobligationsofthisAgreementisoftheessence.
(e)Notice.AllnoticesshallbeinwritingandshallbedeemedtohavebeenproperlydeliveredasofthetimeofdeliveryifpersonallydeliveredorasofthetimedepositedinthemailsystemsifsentbyUnitedStatescertifiedmail,returnreceiptrequested,andpostageprepaid.
16.FSA/NRCS:Sellerisobligatedtomaintain(ifany)thecurrentFSAProgramandBasisontheabovelistedrealestate.BuyeragreestothedivisionofFSAProgramdataasapercentofcroplandacrespertract.BuyerassumestheresponsibilityofanyandallFSAorNRCSProgramscurrentlyinplace.BuyerwillberequiredtomaintainandcomplywithFSAregu-lationsoftheCRPcontract.

17.TenantRights:Presenttenant’srightsprevailifany.
18.SPECIALAGREEMENTS(ifany): TenanthasuntilDecember31,2013tomovethecattleandhislivestockequipment.Possessionofthehomeis atclosingorwhenBettyBellhasmoved,onorbeforeDecember31,2013.Possessionofthefarmgroundis atclosing,orwhenall2013cropsareharvested.
