AmanufacturingdefectresultinginleaksisfoundinaMembraneconstructedofModiflexMF-95-SSbasesheetandanMP-250-Capsheet(a12-yearLimitedMaterialWarrantyMembrane)inOctober2008.TheMembranewasinstalledinJanuary2000.Atotalof105monthshaveelapsedsinceinstallation.IKO’smaximummaterialcostsharewouldbereducedby(84/120=0.70)+(21/206=0.10)=0.80,or80%.Therefore,IKO’smaximumliabilitywouldbe20%towardsthereplacementmembranematerialcost.

ThetermsandrequirementsofthisLimitedMaterialWarranty(“Warranty”)applytoIKOIndustriesLimited(“IKO”),theRoofingContractor(“theRoofingContractor”),andtheBuildingOwner(“theOwner”).

IKOherebywarrantstotheOwnerofabuildingonwhichIKOproductshavebeeninstalledasaroofMembrane(hereinafterreferredtoas"theMembrane")thattheMembranewillremainfreeofanymanufacturingdefectresultinginwaterleakageduringtheapplicablewarrantyperiod,subjecttotheconditionsandlimitationslistedbelow.ThisWarrantyisapplicableonlytoMembranesinstalledinCanada,orMembranespurchasedfromanapprovedIKOexporter.ThislimitedwarrantyappliestoproductinstalledinaccordancewithIKOpublishedspecificationsandapplicationrecommendationsineffectatthetimeofroofapplication.

LIMITATIONOFLIABILITYDuringthefirstthreeyearsoftheWarrantyperiod,IKOshallpaythereasonablecostsforthematerialrequiredtoreplacethedefectiveMembrane(exclusiveofcostsofmetalflashings,metalwork,ballast,orothermaterialssuppliedormanufacturedbyothers)lessanycostspreviouslyincurredbyIKOforthereplacementoftheMembrane.AfterthefirstthreeyearsoftheWarrantyperiod,IKO’smaximumliabilityiscalculatedastheoriginalcostofthedefectiveMembranemultipliedbytheunexpiredfractionoftheWarrantyperiod(Seereversefordetailsandanexamplecalculation.)

MODIFICATIONOFWARRANTY1.THISWARRANTYREPLACESALLOTHERORALORWRITTENWARRANTIES,LIABILITIESOROBLIGATIONSOFIKOOFANYNATUREWHATSOEVER.THEREARENOWARRANTIESWHICHEXTENDBEYONDTHEDESCRIPTIONINTHEFACEHEREOF.IKOWILLNOTBELIABLEFORANYORALSTATEMENTOROTHERWRITTENSTATEMENTABOUTTHEMEMBRANEORTHEROOFDESIGN,WHETHERSUCHSTATEMENTSAREMADEBYANAGENTOREMPLOYEEOFIKOORBYANYOTHERPERSON,OTHERTHANTHEPRESIDENTOFIKO.IKODOESNOTAUTHORIZEITSREPRESENTATIVES,DISTRIBUTORS,CONTRACTORSORDEALERSTOMAKEANYCHANGESORMODIFICATIONSTOTHISWARRANTY.2.TheprovisionsofthisWarrantyareinadditiontoandnotaderogationfromthestatutorywarranties,rightsandremedies,ifany,containedinanyapplicableconsumerprotectionlegislation.

NON-TRANSFERABILITYThisWarrantyappliestotheoriginalOwnerandisnottransferableinanymannerwhatsoever.

OWNERRESPONSIBILITIES1.ToobtainperformanceunderthisWarranty,theOwnershallnotifyIKOinwritingbycertifiedmailwithin30daysfollowingthediscoveryofthewarranteddefect.NotificationofclaimshallbeaccompaniedbyachequepayabletoIKOIndustriesintheamountofTwoHundreddollars($200.00)tocoverthecostofinspection.ThisamountwillberefundedtotheBuildingOwnerintheeventthatIKOconfirmsthattheleaksresulteddirectlyduetomanufacturingdefectsintheroofingsystemmaterialssuppliedbyIKO.TheownershallprovidefreeaccesstotheareaofthesuspectIKOproductforagentsoremployeesofIKOtoinspectthearea,andtomakewhateverinvestigationsorexaminationstheymayconsiderappropriate.TheOwnermustprovideproofsofpurchasetosubstantiatetheoriginaldateoftheIKOMembraneinstallation.NoactionforbreachofthisWarrantyshallbebroughtlaterthanone(1)yearafteranycauseofactionhasaccrued.2.TheOwnermustexercisereasonablecareinmaintainingtheMembrane.3.TheOwnermustprovethatwaterleakagehasresultedsolelyfromthedefectivelymanufacturedMembraneandfromnoothercause.

CONDITIONSANDEXCLUSIONS1.IKOwillhavenoobligationunderthisWarrantyuntilsuchtimeasIKO,theRoofingContractorandMaterialSuppliershavebeenfullypaidforallinstallationservices,suppliesandmaterials.2.IKO'sliabilityshallapplyonlytowaterleakageresultingsolelyfromthedefectivelymanufacturedMembraneandfromnoothercause.Withoutlimitingthegeneralityoftheforegoing,IKOshallhavenoliabilityforanydamageresultingfrom:

a)workmanshiporfailurebytheRoofingContractortoinstallanyoralloftheMembranesinstrictaccordancewithIKOspecificationsandapplicationinstructionsineffectattimeofinstallation,andapprovedbuildingpractices,orb)structuraldefects,settlement,distortion,cracking,orfailureofsubstrateortheroofingbaseoverwhichtheMembraneisapplied,orinadequateperformanceofproductsnotmanufacturedorsoldbyIKO,or(NOTE:Membranesmustnotbetorchedtocombustiblesubstrates)c)anydamageiftheroofisalteredafterinitialinstallationoftheroofingsystem,whetheranysuchalterationisbystructuraladditions,changes,orreplacementorequipmentinstallations(includingwithoutlimitations,aerials,signs,watertowers,fanhousings,airconditioningequipment,televisionantennasandskylights)exceptwhereawrittenrequesthasbeensenttoIKOinadvanceofsuchalterations,andsuchalterationsareperformedbyanapprovedcontractor,andIKOprovideswrittenpermissionforsuchalterations,ord)unusualtraffic,orfromuseasastorageareaorrecreationalsurfaceorforanyotherpurposeforwhichitwasnotdesigned,ore)anychangeintheuseofthebuildingorachangeinthetechnologyassociatedwiththeprocessescarriedonwithinthebuildingfromthoseforwhichitwasoriginallydesigned,orf)standingwater;drainagemustmeetCanadianRoofingContractorsAssociation(CRCA)orNationalRoofingContractorsAssociation(NRCA)minimumrecommendations,org)infiltrationorcondensationofmoisturein,throughoraroundwalls,coping,buildingstructureorunderlaymentorsurroundingmaterial,orh)failureoftheownertoexercisereasonablecareinmaintainingtheMembrane,suchasamaintenanceprogramrecommendedbyeithertheCRCAorNRCA,ori)anydamagecausedbylightning,gale,hurricane,tornado,tempest,hailstorm,icestorm,earthquake,flood,fire,explosion,impactofforeignobjectsorfromabuseormistreatmentoftheMembrane,civilinsurrection,war,riot,vandalism,orj)chemicalattackfromanychemicalmaterialsincludingbutnotlimitedtogreases,solvents,oils,orotherchemicals.k)anydamageduetoanimals,birds,pests,vermin,ortheirwasteproducts(e.g.,birddroppings/guano)l)onroofassemblies,includingbutnotlimitedtoinvertedroofassemblies,costsforremovalofequipmentandalloverburdenarealsoexcluded.

3.Infurtheranceofandnotinlimitationoftheforegoing,IKOwillhavenoliabilityunderthiswarrantyfor:(a)anyvariationincolororshadingoftheMembrane;(b)anydamagetotheinteriororexteriorofanybuildingoranypropertycontainedtherein;(c)anycostsincurredforrepairorreplacementnotauthorizedinwritingbyIKO;(d)anydamagecausedbyanycauseotherthanamanufacturingdefect;(e)anycostsrelatedtodisposal;or(f)anycostsrelatedtotheremovalofanyasbestospresentintherooftowhichtheMembraneisinstalled.4.Inallcases,thereplacementMembraneiswarrantedonlyfortheremainderoftheoriginalMembraneWarranty.5.IKOreservestherighttodiscontinueormodifyanyofitsproducts,withoutnoticetotheOwnerandshallnotbeliabletotheOwnerasaresultofthismodificationordiscontinuance.IKOwillhavenoliabilityintheeventthatreplacementmaterialmayvaryincolorincomparisontotheoriginalproductasaresultofproductchangesornormalweathering.6.THISWARRANTYDOESNOTINCLUDEANYLIABILITYFORINCIDENTALORCONSEQUENTIALDAMAGES.Someprovincesdonotallowtheexclusionorlimitationofincidentalorconsequentialdamages,sotheabovelimitationsmaynotapplytoyou.7.Theunenforceabilityofanyprovisionstatedhereinwillnotaffecttheenforceabilityofanyotherprovisionthatwillremaininfulleffect.
