A. GENERAL INFORMATION/GUIDELINES

Tender terms and conditions will be according to the department. Instructions

regarding website are as follows:-

i) For participation in e-tendering module for any department, it is mandatory for

prospective bidders to get registration on website www.mpeproc.gov.in Therefore, it is

advised to all prospective bidders to get registration by making on line registration fees

payment at the earliest.

ii) Tender documents can be purchased only online and downloaded from website

www.mpeproc.gov.in by making online payment for the tender documents fee.

iii) Service and gateway charges shall be borne by the bidders.

iv)Since the bidders are required to sign their bids online using clas-III Digital Signature

Certificate, they are advised to obtain the same at the earliest.

v)For further information regarding issue of Digital Signature Certificate, the bidders are

requested to visit website www.mpeproc.gov.in Please note that it may take upto 7 to 10

working days for issue of Digital Signature Certificate. Department will not be responsible

for delay in issue of Digital Signature Certificate.

vi) If bidder is going first time for e-tendering, then it is obligatory on the part of bidder to

fulfill all formalities such as registration, obtaining Digital Signature Certificate etc. well in

advance.

vii)Bidders are requested to visit our e-tendering website regularly for any clarification

and / or due date extension.

viii)Bidder must positively complete online e-tendering procedure atwww.mpeproc.gov.in

ix) Department shall not be responsible in any way for delay /difficulties /inaccessibility of

the downloading facility from the website for any reason whatever.

xii)The bidder who so ever is submitting the tender by his Digital Signature Certificate

shall invariably upload the scanned copy of the authority letter as well as submit the copy

of same in physical form with the offer of particular tender.

B. Technical Bid and Eligibility Criteria

Technical Qualification for Mandatory online document :-

A bidder shall be required to fulfill the following eligibility criteria as given

Minimum Three (3) years experience in Branding/ Advertising. This must be

supported by Authentic documents. Copies of the documents must be enclosed

Financial Qualification: Net Worth for last three FY Years as on 31st March 2017

positive or Average Turnover 1 crore. The Bidder fulfilling both mentioned criteria

(i.e. Turnover and Net Worth) shall be considered as Financially Capable.

Last three financial year’s filed income tax return including include Balance sheet

and Statement of Profit & Loss.

Note :- All the required / mandatory documents to be uploaded on E-Tendering.

C. The Bid

The bidder shall submit Tender Fee, EMD, Technical Proposal. The Bidder shall

submit online Technical Bid along with one hard bound hard copy in form of

Physical Submission at the address of the office. Bidder shall submit Financial Bid

online only.

D. Offer Monthly Fee

Offer Monthly Fee (subject to minimum Rs. 40,000/- monthly) per ibike

station could be paid to AICTSL. Space available for advertisement shall be

on present ibike station and cycle at present which is subject to variation no of

ibike station. Area and list of station for advertisement enclosed in Annexure

B and C.

Payment fee :-

It is agreed and understood by the Parties that in the event the Agency delays in

payment of the amounts due to AICTSL under this Agreement, then without

prejudice to other rights of AICTSL, AICTSL will be entitled to claim inter est

@18% per annum on the overdue amounts and in the event such amounts have not

been fully paid (with interest) within 30 (thirty) days, then AICTSL shall have the

right to en-cash Performance Guarantee at the Agencies risk and costs

E. Sealing and Marking of Bids

Technical bid has to be submitted online as well as offline, whereas financial bid

has to be submitted only online. Online Two envelope system shall be followed,

bidders have to submit the technical bid in hard copy also and in case of

difference between the online and offline bid, the bid submitted online shall be

considered final (financial bid shall be accepted only via online medium)

F. SPECIAL GUIDELINES OF THE CONTRACT

1. Tender document is not transferable.

2. PAN Number along with PAN Card.

3. Attested copies of Memorandum and Articles of Association in case of registered

Firm/Co-operative Societies.

4. Partnership deed in case of partnership Firm.

5. Any other relevant information/document which tenderer (s) may consider

appropriate including their expertise and experience in the areas other than for

which tenders invited by AICTSL.

6. Service Tax Registration Number if applicable.

7. Applicable Laws in Madhya Pradesh and in India with respect to taxes and duties,

it shall be completely borne by the Bidder.

8. It may be clearly noted that in case tender(s) submitted by tenderer (s) is not

accompanied by all or any of the documents stated at, such tender will be

rejected by the authority out-rightly.

9. Tenderer (s) should clearly indicate the name & address of their

Firm/Company/Individual, as the case may be, on both the Envelope and should

clearly indicate the name of the facility for which tender(s) have been invited.

10. It may be noted that the Earnest Money Deposit of the successful bidder may be

forfeited and the bidder may be debarred for further participation in AICTSL

tender(s) for a period of three years, on account of non-compliance of the

following:

11. The Successful Bidder shall be required to furnish an irrevocable and

unconditional Performance Guarantee in the form of a bank guarantee from a

scheduled bank of equal amount of three months bill amount(as per rate quoted

by Agency *Ibike Station* three months) on or before the date of signing the

Advertisement Agreement. The Bid Security of a Successful Bidder shall be

discharged only after the Successful Bidd er furnishes the Performance Guarantee.

The Successful Bidder’s Bid Security shall not be adjusted against the Performance

Guarantee. The Performance Guarantee shall remain valid for the entire Term of

the Advertisement Agreement

12. Execution of the Agreement within 15 days of issued acceptance letter .

13. Tender(s) will remain valid for a period of 90 days from the date of opening of the

Financial Bid . If any tenderer withdraw his offer during the validity period, his

Earnest Money Deposit will be forfeited. However, the tenderer(s) can withdraw

their Earnest Money Deposit after the validity is over or may extend the validity of

their tender(s) with the consent of AICTSL.

14. Any breach of the conditions by the successful tender(s) would render him/them

liable to be removed from AICTSL as a licensee/contractor and shall be debarred

from issuing tender papers for the commercial contracts for

a period of 03 years.

10. All the above guidelines will from part & parcel of the Notice Inviting Tenders

(NIT).

11. AICTSL reserves itself the right to extend the date of receiving/opening of the bids

as well as to extend the validity of the tender.

12. AICTSL reserves right to reject any or all tender(s) in part or in full without

assigning any reason.

13. Period of contract – The contract will be awarded for the period of three years.

14. PBS CYCLE SERVICE OVERVIEW

A PBS (public bicycle system ) cycle service is aimed at promoting cycling which is a

non polluting and eco friendly mode of transport as a last mile connection from

various feeder road & Proposed BRTS corridor. It is an eco friendly share ride public

bicycle system which require am offering of convenient and economical way for

travelers to conduct short distance trips to and from Stations, Cycle stops, markets,

workplaces, educational institutes, hospitals, parks and other places. This cycle

feeder service enables a traveler to use a cycle at economical rates & picking it up

from city Cycle station near to his initiating point and dropping it conveniently at the

same or other city Cycle stop near to his destination and vice versa. It is essential for

the success of this cycle sharing project and the convenience of users, that cycle-

stations are available for travelers to drop their cycles at origin and destination

points. The Key element of this project- This Cycle model requires cycles to be used

more frequently and deposited for others to use as quickly as possible. This model

involves to cover destinations of short distances from and to Cycle stop. AICTSL

emphasizes to make this service available to commuters through advertisement and

branding who can motivate public to use cycle in nearby areas of Cycle stop and can

also provide satisfactory, hassle free, ecofriendly, and economical, easily available &

safe service to cover short distance destinations.

15. No rebate for above site in the quoted premium shall be applicable for the

late/delayed availability of the particular station and the successful tenderer shall

have to pay the quoted premium from the date of issue of work order.

16. Objectionable material display will not be permitted. ICTSL also reserves the right

not to allow any advertisement of certain commodities.

17. On successful completion of the contract the party will be given 5 days time to

remove all the advertisement materials. However, display of advertisement will

not be permitted in the above period.

18. Offer Monthly Fee (subject to minimum Rs. 40,000/- monthly) per ibike station

could be paid to AICTSL.

19. Payment fee :-

It is agreed and understood by the Parties that in the event the Agency delays in

payment of the amounts due to AICTSL under this Agreement, then without

prejudice to other rights of AICTSL, AICTSL will be entitled to claim inter est

@18% per annum on the overdue amounts and in the event such amounts have

not been fully paid (with interest) within 30 (thirty) days, then AICTSL shall have

the right to en-cash Performance Guarantee at the Agencies risk and costs.

20. The Agency shall have to pay two months advance monthly fee on or before of

Agreement and monthly fee will be paid by Agency not later than the 5th day of

the next month.

21. Advertisement of Alcoholic drinks, tobacco and other vulgar in vision or other

restricted items are completely banned. Any advertisement displayed on station,

if found contrary to the law of the land, Agency have to remove / alter the display

immediately.

22. All the applicable taxes and fees as specified in the M.P. outdoor advertisement

media rules 2017 published 28 march 2017 shall be borne by successful bidder.

23. The Agency shall ensure that all Taxes and Duties are paid in a timely manner

and there are no arrears with regard to the Project.

24. Evaluation of bids: Notwithstanding anything contained in this RFP document,

AICTSL will have sole and absolute right to evaluate each bid received in

accordance with this RFP document.

25. All the Govt. , AICTSL logo should not be covered by the advertisements and

any other printed material.

26. AICTSL will prepare and will send to the Agency a written notice imposing the

penalties, as and when the circumstances so arise, together with an explanation

of the facts identifyed that have led to the imposition of the penalties.

27. Forfeiture of Bid Security: The Bid Security of a bidder shall be forfeited if a

bidder withdraws or amends the proposal during the period of bid validity, or in

the case of a Successful Bidder, fails to sign the Advertisement Agreement or

fails to furnish the required Performance Guarantee with in stipulated time in

accordance with the advertisement agreement

28. Termination Due to Events of Default- If before the expiry of the Remedial

Period, the underlying Event of Default is neither cured nor waived nor the Parties

have not agreed upon any of the measures in accordance with RFP Clause the

party who has issued the Consultation Notice shall have the right to terminate the

Advertisement Agreement, in which event, the provisions of as per RFP clause

shall, to the extent expressly made applicable, apply.

29. Governing law & Jurisdiction:- The Advertisement Agreement shall be construed

and interpreted in accordance with and governed by the laws of India, only the

courts in Indore shall have jurisdiction to try all disputes and matters arising out of

an under the Advertisement Agreement.

30. Dispute Resolution Procedure :-If any dispute or difference or claims of any kind

arises between the Parties in connection with construction, interpretation or

application of any terms and conditions or any matter or thing in any way

connected with or in connection with or arising out of the Advertisement

Agreement, or the rights, duties or liabilities of any Party under the Advertisement

Agreement, whether before or after the termination of the Advertisement

Agreement, then the Parties shall meet together promptly, at the request of any

Party, in an effort to resolve such dispute, difference or claim by discussion

between them. In the event the dispute or difference or claim, as the case may

be, is not resolved, as evidenced by the signing of the written terms of settlement

by the Parties, within 30 (thirty) days of reference for amicable settlement, the

same shall be brought to the notice of Managing Director , AICTSL whose

decision in this regard shall be final and binding on both the Parties.

32. All the condition this document and guidelines will form part of the agreement.

liable to be forfeited by AICTSL,

tender conditions within the prescribed time, I/We shall be debarred by AICTSL

In addition, AICTSL reserves its right to forfeit the EMD of my/our firm and debar my/our firm from participation in the

the Company or any forbearance whether as to payment, time performance or otherwise or to enforce any of the terms and conditions of the said Contract Agreement

without our consent and knowledge. 4- This Guarantee shall be a continuing guarantee and binding on us and our successors

and assigns and shall not be discharged or affected by any change in the constitution of
