SUBJECT: ELECTION OF BOARD OF DIRECTORS REPRESENTATIVES TO THE 2019-
20 NJSBA NOMINATING COMMITTEE
Background: Article X, Section 3 of the Bylaws of our Association requires that the Nominating
Committee be established prior to the Annual Delegates Meeting.
Governance and Operations File Code 8462R outlines the composition of the Nominating Committee.
The File Code states “…Board of Directors members of the Nominating Committee shall be elected one
each from the four geographical areas, by county on a rotating basis, to the extent possible.” For your
information, counties represented on the last Nominating Committee were: Atlantic, Bergen, Burlington,
Camden, Mercer, Morris, Ocean, Passaic, Salem, Somerset, Union and Warren.
In order to meet our deadlines, the Board of Directors will be requested to elect its representatives at the
September 14, 2018 Board of Directors meeting. Time will be allocated for regional caucuses.
CAL will elect its representatives on September 22, 2018. The elected Board of Directors members will
be reported to the county presidents so that they can elect board members to the Committee who are not
from the same county.
President Sinclair will then appoint four persons at the November 2 Board of Directors meeting, which will
permit the Board to exercise its advice and consent authority required in Article X, Section 3a. (3).
Article X, Section 3 of the Bylaws states that the Nominating Committee shall consist of the following
persons selected in the following order:
(1) Four members of the Board of Directors, one from each of the geographical areas of the state as
defined in Article X, Section 15, shall be elected by the Board of Directors. Each Board of
Directors member selected by the Urban Boards Committee or the President shall participate in the
election of the Board of Directors members of the Nominating Committee by deliberating with the
Board of Directors members from the geographical area in which his or her local board is located;
(2) Four persons, one from each of the geographical areas of the state as defined in Article X,
Section 15, shall be elected by the county school board association presidents;

(3) Four persons shall be appointed at large by the President with the advice and consent of the Board
of Directors;
(4) The Immediate Past President shall be a member of the Committee; provided however, that the
Immediate Past President shall be a nonvoting member when, because of a vacancy in the office of
President, he or she is performing the duties of President;
(5) The President shall be a nonvoting member of the Nominating Committee.
A copy of Article X, Section 15 that specifies the geographical areas is attached, as well as resource
documents directed by the ad hoc Committee on NJSBA Nominating Procedures. The Board of Directors
accepted the Committee report at its October 6, 2000 meeting. The policies were adopted on second
reading at the November 17, 2000 Board of Directors meeting.
The Bylaws further state that Committee members shall be appointed/elected for a two-year term and
shall hold office until their respective successors have been appointed or elected. Vacancies among the
members of the Committee shall be filled for the unexpired term in the same manner by which the
original appointments were made.
Article X, Section 3 (b) states that no two members of the Nominating Committee, excluding the
President and Immediate Past President, shall represent boards of education in the same county.
Committee members shall be eligible to serve on the Nominating Committee for one two-year term.
They would be eligible to serve again after a two-year break.
Article X, Section 3 (c) states that the President shall name one member as the Chairperson of the
Nominating Committee.
Article X, Section 3 (d) states that no person who serves on the Nominating Committee may be
nominated as a candidate for office at the forthcoming election.
Article VII, Section 6 (a) states that no candidate who was a member of the Nominating Committee may
be nominated by petition at the forthcoming election.
Recommendation: I recommend that the Board of Directors hold elections by geographical areas for four
members to serve on the Nominating Committee.

Composition of Nominating Committee The at-large members appointed by the President with the advice and consent of the Board of Directors shall reflect the diversity of the membership of NJSBA, taking into consideration the members already chosen by the Board of Directors and the county school boards associations presidents.
Code of Conduct for Members of Nominating Committee A. Nominating Committee members shall not submit letters of endorsement for candidates. B. Members of Nominating Committees shall not lobby, endorse or otherwise seek to influence other
committee members on behalf of a particular candidate outside of the committee process. It is, of course, expected and accepted that Nominating Committee members may and will advocate for candidates within the committee meeting.
C. Discussion and deliberations within the Nominating Committee shall be considered confidential and
shall not be discussed with others after the process is completed and a candidate has been endorsed.
D. After the selection process is completed, members of the Nominating Committee shall not lobby or otherwise endorse a candidate opposing the Nominating Committee’s choice for an office. E. Except for the unauthorized disclosure of matters deemed confidential by association policy, no
school board member who serves in an Association governance capacity or candidate for Association office shall be sanctioned, reprimanded, censured or otherwise penalized by the Association for any action that is not unlawful, either administratively, civilly or criminally, under the laws of the United states and the State of New Jersey, in connection with an expression of support for or in opposition to any candidate who has been nominated for Association office either by the Nominating Committee or by petition.

Procedures to Inform and Encourage Candidates
for NJSBA Nominating Committee
In order to encourage participation in the NJSBA Nominating Committee the Executive Director shall ensure that the responsibilities of the committee and the dates of election of the Board of Directors to the Nominating Committee shall be publicized in NJSBA publications and other media several months in advance of the meetings at which the elections shall take place. The Nominating Committee members elected by the Board of Directors shall be rotated by county, to the extent possible, to ensure the maximum participation of the Board of Directors members and county leadership on the committee.
Composition of Nominating Committee
Commencing in September 2001 the Board of Directors members to the Nominating Committee shall be elected one each from the four geographic areas, by county on a rotating basis, to the extent possible. Diversity, for purposes of appointing the at-large members to the committee shall be defined as covering gender, race, county, district factor group and district size of the members of the Association.
Procedures of Nominating Committee
The job description of each office shall be published in School Board Notes and included in the application packet sent to each candidate. An application deadline shall be stated in the notice published and shall be no later than the third week of December. In the event there are no applicants for a position, the deadline to receive applications shall be extended for 14 days for that position. The extension deadline shall be published in School Board Notes. The application shall list the scheduled dates that the Committee will personally interview candidates. The application shall be filed by the deadline and may be mailed, return-receipt requested, or faxed or e-mailed with the candidate’s original signature. Each candidate shall apply for only one office. Each candidate shall be interviewed for the office for which he/she applied. If, in the opinion of the committee, a candidate may be better qualified for another office, including that of the president, the candidate will be requested to re-interview for that office, unless in the opinion of a majority of the full committee, the committee determines that the candidate interview has fully vetted the candidate’s qualifications for the other office. The committee shall use the job description for the office and the Criteria for Officer Positions when assessing each candidate’s strengths and weaknesses. The committee shall also consider the results of the Opinionnaire in the Criteria for President. The committee shall use the job descriptions of each office and the Criteria for Officer Position to

establish questions to be asked of every candidate for that office. The committee may ask incumbent officers questions about their attendance and involvement in NJSBA programs and functions, as well as their district board of education’s participation in support of NJSBA’s mission. A rating form shall be used to assess each candidate’s responses to the questions, after each interview is completed. After all candidates have been interviewed for each office, the committee shall discuss the strengths and weaknesses of the candidates against the criteria. After discussion has taken place, the committee chair shall assess whether the committee is able to reach a consensus on a single candidate for the office. Consensus means a clear majority of the committee supports a single candidate for the office. The chair shall facilitate the discussion, but shall not use the position to direct the committee to choose the chair’s preference for the office. When a consensus is reached, the committee shall move on to the next office. However, if a consensus cannot be reached, a vote shall be taken. Votes shall be by secret, written ballot. A simple majority is necessary to select a candidate. If there is no simple majority, the lowest vote getter is removed and there is a revote. If there is an agreement that no candidate interviewed for the office is qualified, the committee shall complete the interview process for all remaining offices. Then, in its discretion, the committee may select a candidate or candidates for another office to re-interview for the vacant office. If no one is considered to be a qualified candidate, then the committee shall make no recommendations for that office. In the event a candidate nominated by the Nominating Committee becomes unable to serve, the Nominating Committee, at the call of its chairperson, shall meet to select an alternate candidate pursuant to Nominating Committee Procedures and shall forthwith submit to the District Boards of Education its amended report. Nominating Committee
A. There shall be a standing committee of the Association called the Nominating Committee consisting
of the following persons, selected in the following order at least 170 days prior to the annual meeting:
(1) Four members of the Board of Directors, one from each of the geographical areas of the
state as defined in Article X, Section 15 shall be elected by the Board of Directors. Each
Board of Directors member selected by the Urban Boards Committee or the President
shall participate in the election of the Board of Directors members of the Nominating
Committee by deliberating with the Board of Directors members from the geographical
area in which his or her local board is located;
(2) Four persons, one from each of the geographical areas of the state as defined in Article

B. No two members of the Nominating Committee, excluding the president and immediate past president, shall represent boards of education in the same county. 11. Perform such other duties as may be prescribed by the Bylaws or assigned by the President. In
the event the office of the President becomes vacant, the Immediate Past President shall perform the duties of that office until a successor is elected in accordance with the new provision in Article V, Section 8 of the Bylaws.

RE: ELECTION OF BOARD OF DIRECTORS REPRESENTATIVES TO 2019-
20 NOMINATING COMMITTEE
The purpose of this memorandum is to remind you that a policy was adopted by the
Board of Directors regarding the above-captioned subject on October 20, 1989. This
memorandum shall also serve as notice to anyone who was unaware of the policy. The
policy states:
NJSBA Campaign Activities
Employees are prohibited from engaging in any
campaign activities or election activities related to any
Association office.
All staff members have been informed about the policy by the Executive Director. I
know that the employees of the NJSBA will comply with this rule. Notwithstanding the
confidence I have in our staff, it is important that the requirements of this policy be
conveyed to our entire membership and I am relying on all of you who are in positions of
leadership to relay the message to our colleagues.
All board members must understand that the employees of the Association cannot be
involved in any way with campaign activities. I know that you will all cooperate so that
staff members will not unwittingly find themselves in situations where their compliance
with the policy could be questioned. I know that I can count on the sensitivity and
discretion of all board members regarding this policy, especially during the coming
months at Association activities where the Association staff will be working closely with
board members in positions of leadership.
