★ ATTRACTIVE TRANSACTION ECONOMICS○ Total consideration of approximately USD $125m, in combination of approximately USD $69m in cash and USD $56m in 8x8 common stock, with USD $12 million of
common stock subject to certain vesting over a three-year period, for a net U.S. GAAP purchase price of USD $113 million (subject to customary post-closing adjustments)
○ Represents a multiple of less than 4x anticipated Wavecell calendar 2019 revenue○ Expect Wavecell business to be accretive to 8x8’s revenue growth rate and have minimal impact on full-year fiscal 2020 non-GAAP pre-tax loss
