How to Reserve Your Sponsorship

Once your application has been reviewed and approved by our team, you will
receive a sponsorship registration confirmation email. Our team will respond
within 24-48 hours to confirm if your application has been approved.
Once you have received approval, further instructions will be provided
regarding payment, pass registrations and next steps.
Your company’s main contact listed on the application will be contacted by our
show services vendor, GES, regarding sponsorship deliverables and deadlines.
GES will provide the main contact login instructions to access the show services
online portal, where you can order services, locate show forms and other
pertinent details.
Pay Invoice. Your invoice must be PAID/RECEIVED in full within 30 days of the
sponsorship confirmation approval date in order to secure your sponsorship.
All sponsorship packages and enhancements are sold on a first-come, first-served basis. All items
are subject to Procore’s approval. An approved application is required to secure your sponsorship.

The Groundbreak 2019 Sponsorship Application (“Application”) submitted by you (“Sponsor”) for exhibit space at the Procore
Technologies, Inc. (“Procore”) 2019 Groundbreak event (“Event”) to be held on October 8, 2019 - October 10, 2019 at the Phoenix
Convention Center located at 100 N 3rd St., Phoenix, AZ 85004 (“Venue”) is governed by these terms and conditions. By your
submission of your Application, you agree to the following terms and conditions (“Terms”):
1. GENERAL
Sponsor agrees to abide by the rules and regulations set forth
in the Application and these Terms (together, the “Agreement”).
Procore has the sole authority to interpret and enforce all
rules and regulations included in this Agreement, to make any
amendments thereto, and to make further rules and regulations
as necessary to ensure the orderly conduct of Groundbreak.
2. ACCEPTANCE
The character of Sponsor’s exhibit is subject to Procore’s
approval. Sponsors will be limited to those companies or other
entities offering materials, products, or services of specific
interest to registrants. Procore shall have the right to prohibit
and/or remove any exhibit, in whole or in part, which in Procore’s
sole judgment is not suitable to or in keeping with the character
or purpose of the Event and Procore will not be held liable for
any damage to any party for the removal, whether in whole or in
part, or prohibition of the exhibit.
3. ASSIGNMENT OF SPACE
Procore may designate the space and time for, and make
changes in the location, size, layout, arrangement, time, and
display limits of, any Sponsorship Rights designated in Exhibit A
attached hereto. Positioning of Sponsorship Rights is at Procore’s
discretion.
a. Space Reductions: Procore may approve requests for space
reductions in its sole discretion. Requests for space reductions
must be made in writing before July 8, 2019 and sent to:
[email protected]. Requests for space reductions
will not be honored unless approved by Procore in writing.
If Procore approves a space reduction request, Sponsor will
remain liable for the greater of: a) 75% of the original space
fee, or b) the fee for the reduced space. Any difference
in rates between the Sponsor’s initial space rate and the
downsized space rate cannot be applied to any other services.
4. EVENT BADGES
Sponsor shall ensure that each of its employees, agents, and
representatives wear official Event identification badges while
on the exhibit floor, and that such individuals do not share Event
identification badges with unregistered personnel.
5. LIABILITY FOR DAMAGES
Procore, Venue management and its owners, affiliates, lessors
and lessees; and official Venue and Event service contractors and
security services (collectively, “Event Providers”) and each of
their respective officers, directors, officials, employees, agents,
contractors and representatives (collectively, “Representatives”)
will not be responsible for the safety or any loss, theft,
destruction or damage to property of, or for any injury to,
Sponsor or its Representatives for any reason, including without
limitation, due to theft, strikes, fire, water, storm, vandalism or
other causes (and Sponsor and its Representatives waive all
claims against Event Providers and their Representatives, and
release them from all liabilities, with respect to same). For the
avoidance of doubt, it is Sponsor’s responsibility to take out and
maintain appropriate insurance in relation to any risks under this
Agreement or its participation in the Event.
6. INSURANCE
Sponsor shall, at its own expense, secure and maintain
throughout the duration of the Event, inclusive of move-in and
move-out days, commercial liability insurance with combined
single limit of at least USD $1,000,000.00 for each occurrence
for bodily injury and property damage. Such insurance must
name Procore, the Venue, and their respective Representatives.
Sponsor shall provide Procore with a certificate of insurance
evidencing such coverage no later than sixty (60) days prior to
the “move-in” date for the Event. If Sponsor fails to provide an
adequate certificate of insurance, Procore may terminate this
Agreement and disqualify Sponsor from participating in the
Event without incurring liability.
7. INDEMNIFICATION
Sponsor and its Representatives agree to indemnify, defend, and
hold harmless (and to the maximum extent permissible under
applicable law, hereby expressly release and discharge) Procore,
the Venue, all other Event Providers, and each of their respective
Representatives from and against any and all alleged and/or
actual claims, actions, lawsuits, proceedings, damages, penalties,
demands, losses, expenses, fees (including reasonable attorney
fees), costs or liabilities of any kind or nature whatsoever
(collectively, “Claims”), including but not limited to any Claim
for property damage and/or personal injury, in connection
with, caused by or arising out of participation in the Event and/
or rights by (a) Sponsor, (b) its Representatives (or any other
party acting on Sponsor’s behalf), or (c) any of Sponsor’s
invitees, patrons or guests (all of the foregoing in clauses (b)
and (c), collectively, “Related Parties”), whether as a result of
(i) Sponsor’s or any Related Party’s act, omission, negligence or
willful misconduct, (ii) Sponsor’s or any Related Party’s actual
or alleged violation of any policy of, or actual or alleged breach
of any agreement with, Procore or any other Event Provider, (iii)
Sponsor’s or any Related Party’s actual or alleged violation of
any applicable laws, (iv) Sponsor’s or any Related Party’s actual
or alleged infringement of any third party Intellectual Property
or other rights, or (v) otherwise, and in each case, whether or
not foreseeable. Procore is not responsible for any errors or
omission in the listings in the official sponsors directory or in
any promotional materials.
Terms and Conditions
8. CANCELLATION
a. By Sponsor: Cancellation requests must be received in
writing via email to [email protected]. The parties
agree that by cancelling its sponsorship, Sponsor: (a)
relinquishes all benefits included with the Event; and (b) will
incur a cancellation fee based on the following schedule:
A cancellation fee of 50% of the sponsorship cost will be
applied for cancellations received up to 90 days prior to
the Event.
A cancellation fee of 100% of the sponsorship cost will be
applied for cancellations received from 0-89 days prior to
the Event.
Cancellation requests must be received in writing via email to
b. By Procore: Procore retains the right to cancel the Event,
with no liability to Sponsor other than a refund of any paid
sponsorship fees, for any reason beyond its control including,
but not limited to, civil unrest, labor disputes, acts of
government or acts of God.
9. EVENT RELOCATION
Procore retains the right to change the Event location, dates,
and/or Terms upon notice to Sponsor. Any such change shall be
incorporated and made part of this Agreement.
10. SPONSOR EVENTS
All events Sponsor holds in connection with the Event must be
preapproved by Procore in writing. For the avoidance of doubt,
Sponsor shall not schedule or sponsor any event that overlaps or
conflicts with any Event session whatsoever, including between
the hours of 9:00 AM to 10:00 PM local time on October 8, 2019
and October 9, 2019, without Procore’s prior written approval.
11. SPONSORSHIP FEES
Sponsor shall pay the sponsorship fees as indicated on the
Application in U.S. Dollars by the earlier of: (a) thirty (30)
days of receipt of notice that Procore has accepted Sponsor’s
Application, or (b) two (2) days before the start date of the
Event. Upon Procore’s acceptance of Sponsor’s Application,
Sponsor shall pay a 50% deposit immediately. The remaining
balance is due within thirty (30) days of Application acceptance
or two (2) days prior to the Event start date, whichever is earlier.
If the Sponsor cannot make payments as required in these Terms,
Sponsor shall submit an alternative payment plan request via
email to [email protected] within thirty (30) days of
Application acceptance. Such request is subject to Procore’s
approval in its sole discretion. Procore may disqualify Sponsor
from the Event if Sponsor does not make payments as required
by this Agreement or an approved alternative payment plan.
Procore may release Sponsor’s reserved space, if any, if payments
are not received in accordance with this Agreement; in such
event, Sponsor will remain liable for the full fee indicated on the
Application.
12. SPACE EXPENSES
For all reserved exhibit spaces, the fees and items included with
the sponsorship are specified in the Application. All other space
expenses are Sponsor’s sole responsibility.
13. SPACE INSTALLATION AND DISMANTLING; FURTHER
INSTRUCTIONS
If Sponsor’s Application is accepted, Sponsor will receive
additional instructions from Procore regarding the rules and
regulations for installation and dismantling, as well as other
detailed information regarding access to the Venue and
regulations regarding space operation. Sponsor shall comply with
all written or verbal instructions from Procore, and with all written
or verbal instructions from the Venue, in addition to the terms of
this Agreement; Sponsor’s failure to do so is grounds for Procore
to terminate this Agreement without liability to Sponsor.
14. APPROVED VENDORS
To ensure the safe and orderly conduct of the Event, Procore may
require that Sponsor use certain vendors for specific functions
(“Required Vendors”). If Sponsor’s Application is approved,
additional information regarding Required Vendors will be
provided.
15. LABOR
Sponsor shall employ only labor who are authorized and will work
in harmony with other labor employed at the Venue to supply
services for the Event. If harmonious labor relations require the
hiring of union labor, or if Procore so requests, Sponsor shall
employ (and cause its Representatives to employ) only union
labor.
16. DATA PRIVACY
AIf Procore provides Sponsor with the contact information of
Event attendees who have opted-in to receiving marketing from
Sponsor, Sponsor shall ensure that it uses such information in
compliance with all applicable laws. Sponsor represents and
warrants that its privacy policy and practices comply with all
laws, statutes, ordinances, or regulations (including any export
control laws or regulations administered by the U.S. Commerce
Department, OFAC, or any other U.S. or foreign government
agency). If there is a conflict between the terms of Sponsor’s
privacy policy and this Agreement, this Agreement will take
precedence. Sponsor also represents and warrants on behalf
of itself and its sub-processors, if any, that Sponsor shall:
(a) shall limit its processing of data received from attendees
to the instructions provided by attendees or by Procore on
behalf of attendees; (b) act only as instructed and put in place
appropriate security safeguards to protect information to avoid
any destruction, degradation, or breach of any information;
(c) provide written notice immediately if Sponsor is no longer
able to meet the obligations associated with the data, and shall
either cease processing or remediate; (d) assist, as appropriate,
in responding to individuals’ requests around notice, choice,
access, and privacy-related complaints, and shall respond to
any such request within twenty days. Upon notice from Procore,
Sponsor and its sub-processors, if any, shall stop or remediate
any unauthorized processing. If Sponsor chooses to collect
information directly from Event attendees, Sponsor shall do so in
a manner that clearly identifies that Sponsor, and not Procore, is
the entity collecting the information.
17. RULES AND REGULATIONS FOR USE OF SPACE, SPONSOR
CONDUCT, AND SPACE CONTENT
In addition to any instructions or regulations supplied upon
acceptance of the Sponsor’s Application, Sponsor agrees to abide
by the following rules and regulations:
a. Fire Regulations: Space decorations and construction must
conform to any fire regulations of the city in which the Venue
is located. Combustible or explosive materials and substances
may not be used. Cloth and other flammable materials must
be flameproof. Packing containers, empty cardboard boxes,
excelsior, wrapping, and similar materials must be removed
from the exhibit and cannot be stored under tables or behind
displays.
b. Sponsor Conduct: All demonstrations and other
promotional activities must be confined to the limits of the
exhibit space. Sufficient room must be provided within the
exhibit space for the comfort and safety of persons watching
demonstrations and other promotional activities. Sponsor may
distribute samples, souvenirs, and publications, and conduct
sales activities only from within its designated space. Sponsor
shall not engage in any activity that interferes with the
activities or obstructs access to neighboring spaces, or that
impedes aisles. Sponsor shall not distribute articles containing
any product other than the product or materials made,
processed or used by the Sponsor in its product or services,
except with Procore’s prior written permission. Sponsor shall
conduct and operate its exhibit so as not to annoy, endanger,
or interfere with the rights of other sponsors and visitors. Any
activity that results in complaints from other sponsors or any
visitor or, in the opinion of Procore, interferes with the right
of others or exposes them to annoyance or danger, may be
prohibited by Procore.
c. Lotteries/Contests: Sponsor shall not operate games of
chance, lottery devices, or the actual or simulated pursuit
of any recreational pastime without Procore’s prior written
consent, and, should Procore consent, only to the extent
permitted by applicable law.
d. Music, License, Patent, Copyright, or Trade Secret: Sponsor
acknowledges that any live or recorded performances of
copyrighted music that occur in the Sponsor’s space must
be licensed from the appropriate copyright owner or agent.
Sponsor shall be fully responsible for obtaining any necessary
licenses and shall indemnify and hold Procore harmless
from any damages or expenses incurred by Procore due to
the Sponsor’s failure to obtain such licenses. Additionally,
Sponsor shall hold Procore, Venue, and their respective
Representatives, harmless from all loss, cost claims, causes
of action, obligations, suits, damages, liability expenses, and
costs, including attorneys’ fees, arising from or out of any
violation or infringement (or claimed violation or infringement)
by Sponsor or its Representatives, of any patent, copyright, or
trade secret rights or privileges.
e. Subleasing: Sponsor shall not assign, sublet, or apportion
the whole or any part of the space allotted to it without
Procore’s prior written consent.
18. GRANT OF LICENSE
Sponsor hereby grants Procore a non-exclusive, non-transferable,
royalty-free license to use and display Sponsor’s name,
trademarks, service marks, copyrights, and logo in promoting the
Event and other events (before, during, and after Groundbreak
2019), and in carrying out its rights and obligations under this
Agreement. Sponsor shall execute any additional releases
provided by Procore in connection with this grant, and hereby
waives any future claims or moral rights. Sponsor shall not use
Procore’s name, trademarks, service marks, copyrights, or logo
in any of Sponsor’s materials or products without Procore’s prior
written permission.
19. ACCEPTANCE OF CONTRACT
By completing and submitting the Application, Sponsor has read
and agrees to abide by the terms of this Agreement. Procore’s
acceptance of the Application constitutes a binding contract.
20. INDEPENDENT CONTRACTORS
Nothing in this Agreement is intended to create an agency,
partnership, joint venture, or any other relationship between
Sponsor and Procore.
21. GOVERNING LAW; WAIVER; SEVERABILITY
The parties agree that this Agreement is governed by the laws
of the State of California, without regard for its conflict of laws
principles. Any disputes must be brought exclusively in the
appropriate courts serving Santa Barbara County, California. This
Agreement contains the entire agreement between the parties
regarding its subject matter. Any failure to enforce a provision
of this Agreement will not constitute a waiver of that provision
or any other provision. The invalidity or unenforceability of
any provision of this Agreement will not affect the validity or
enforceability of any other provision.
EXHIBIT A
SPONSORSHIP RIGHTS
Sponsorship Rights shall consist of the rights granted to Sponsor
as described in the Application. The grant of Sponsorship Rights
does not preclude other entities from becoming sponsors of the
Event.
