The National Constitution & Bylaws Committee presents the following 67 proposed amendments to the Zeta Phi Beta Sorority, Incorporated Constitution & Bylaws for

consideration at the 2016 Grand Boulé. There are fourteen (14) proposed

amendments to our Constitution and forty six to our Bylaws. There is one (1) amendment received that is not included in this packet. It

addressed an increase in staff at Zeta Phi Beta Sorority Headquarters which is outside the purview of this governing document. That amendment is being passed along to the National Personnel Committee who will take it under advice for future consideration.

The 2016 proposed amendments are being presented in number order this year and

do not include a consensus calendar. All wording for the proposed amendments is shown as received from the

submitting chapter. Any grammatical errors, numerical interpretations, misspellings or any other errors will be addressed and corrected if and when proposed amendments are adopted and included in the next edition of the National Constitution and Bylaws.

Rationale: Reducing the number of voting appointed members on the National Executive Board would give the

Membership a stronger voice in the composition of the National Executive Board while allowing the Regional Directors to be present and participate at all National Executive Board Meetings. Participation of the Regional Directors at National Executive Board Meetings will help make sure that the Regional Directors are always informed on the latest policies, procedures, and programs of the Sorority so that they can make sure that their Regions thrive.

Rationale: Currently our NEB has several positions that are unutilized but are financially covered by the membership. In a effort to align Zeta with other 501c organizations this proposed restructuring along with subsequent proposals attempts to allow for great oversight of Board and reduces spending on number of elected and appointed members needed to report and attend NEB meeting. (I.E. 2nd Anti would become Programs Coordinator and receive reports for all appointed chairs over programmatic areas and can make a single report to the board.)

This language puts a limit on the number of years a person may serve on the National Executive Board, ultimately, which allows opportunity for leadership opportunities for new and qualified sorors who choose to run. This promotes effective leadership development and appropriate growth and change in philosophies to meet the need of changing times.

Rationale: The members of the Trustee Board are in the best position to know who should serve as the Chairman. Also, this ensures that the Chairman is already a member of the Trustee Board.

Regions and States may appoint chairmen, who report to the national chairman. 2. It shall be the duty of the Social Action Committee to: a) Develop and coordinate social action programs and projects approved by the National Executive Board; and b) Develop and disseminate a national legislative agenda and programs for chapters.1 c) Stimulate interest in social action and educate chapters on current issues.

supports that this provision will not jeopardize Zeta’s tax-exempt status. If there is not adequate support,

this provision will be deleted prior to being proposed to the Boule.

Rationale: if we are a community-conscious, action-oriented organization who is focused on advocacy within our communities, than we should have a national standing committee dedicated to ensuring we are at the table when there is civic unrest, need for social action and a call for civic engagement on the national stage. further this committee should be available to ensure that local chapters are poised to act within their communities in times of need.

ARTICLE X NATIONAL EDUCATIONAL FOUNDATION Section 1. FOUNDATION The National Educational Foundation is an appendage of and is under the umbrella of Zeta Phi Beta Sorority, Incorporated. Section 2. PURPOSE The Sorority shall develop policies that will promote the purposes and activities of the National Educational Foundation, as provided for in the Trust Agreement and Bylaws of the Foundation. The purpose of the Foundation includes encouragement, promotion of education and scholarship, educational research, community service and educational programs. Section 3. ORGANIZATION The National Educational Foundation is governed by

ARTICLE X ZETA PHI BETA SORORITY NATIONAL EDUCATIONAL FOUNDATION, INCORPORATED. Section l. Organization and Purpose. 1. Zeta Phi Beta Sorority National Educational Foundation was originally formed by Zeta Phi Beta Sorority, Incorporated, pursuant to a Trust Agreement and By-Laws, that were adopted on August 23, 1975, and April 9, l976, respectively. The Trust was formed as a separate entity to encourage and promote education, scholarship, educational research, and community service. In 2006, a business entity conversion was approved by Zeta Phi Beta Sorority, Incorporated, in which the Trust was converted to a not for profit corporation under the laws of the District of Columbia, on October 19, 2006. The Foundation

its own Trust Agreement and Bylaws which were adopted August 23, 1975 and April 9, 1976. This Trust Agreement provides for: a. A Board of Managers comprised of nine (9) trustees; four (4) of which are elected by the Sorority and five (5) of which are appointed by the National Executive Board of the Sorority, preferably past Grand Basilei. The ex-officio members of the Board of Managers consist of the International Grand Basileus, the National Second Anti-Basileus and the National Third Anti-Basileus of the Sorority. b. The National Educational Foundation must assume its own financial obligation of printing and dissemination of its materials to the constituency, as well as all other expenses incurred by it. c. The Board of Managers shall render accounts of its financial transactions to the Sorority annually for approval by the National Executive Board.d. The Sorority shall transfer funds annually to the Foundation for scholarships from chapter tax received annually from its chapters. d. Each member of the Board of Managers is elected or appointed for a term of four years. The terms of elected and appointed members are staggered. 3. The Foundation Board of Managers is responsible for the operation and management of the Foundation in accordance with its Articles of Incorporation and By-Laws.

Section 3. Foundation Support 1. Zeta Phi Beta Sorority, Incorporated, will develop policies and activities that promote the purposes of the Foundation. 2. The Foundation receives a portion of chapter tax on an annual basis from the Sorority to support its scholarship functions. 3. The Foundation is responsible for its own financial obligations and expenses incurred by the Board of Managers. Section 4. Reports The Foundation provides Zeta Phi Beta Sorority, Incorporated an annual report of its operations and finances. Section 5. Constitutional Updates to Article X The Board of Managers of the Foundation, through its Chairman, will submit changes to Article X to reflect material changes in the governance of the Foundation. The Phylacter is authorized to update Article X to reflect changes submitted by the Board of Managers, as requested.

Rationale: Articlce X has not been revised since the early 2000s. The revisionof Article X is needed to reflect the changes in the Foundation structure resulting from the conversion of the Foundation from a Trust to a nor for profit corporation in 2006, under the provisions of the Distric of Columbis laws governing not for profit corporations; and subsequent Internal Revenue Service approval of the Foundation as a public charity, and granting the Foundation Exempt organization status under Section 501(c)(3) as a tax exempt charitable and education organization.

Rationale: Life members are the life Boat of Zeta, they should be those who have demonstrated continued financial ability and interest in Zeta. They currently make up about 5% (~750/15000 total) the active members however comprise about 50% of the Boulé attendees. Uncontrolled LM growth threatens the balance of power within Zeta, and diminishes the value of this category. The application process should include more than a check for the total amount. Membership into this category should reflect higher knowledge of zeta's interworking thus require ZOL certification, 3 Boules, leadership within the organizations as this takes time to develop and 5 yrs isn’t enough to understand the ramifications and historical prospectives of the organization, especially in light of LMs having an individual vote that could potentially overpower that of delegates whom should represent the voice of an entire chapter.

These CEOs, congresswomen, professional artists, etc. lead very busy professional lives but are willing to support Zeta through influence, finance and service, without the encumbrance of local chapter membership. While honorary membership maybe an option it is not guaranteed and the process is time consuming. Minimum areas to be covered include Membership, Finances, Partnerships, National programmatic thrust, and resource/asset development. The International Grand Basileus is then responsible for developing the plan of action for accomplishing these strategic goals within her tenure of office. SECTION 2 -DISCIPLINE A chapter, through its Regional and State Directors, may request suspension of members for non-payment of the approved local, state (where applicable), regional and national taxation, and for actions of misconduct and rule violations.

Rationale: A national Strategic Planning developed with the guidance of the National Executive Board, International Grand Basileus and Boule Body will provide a long range plan of action for the Sorority. This will allow for uniformity and consistency within the Sorority. having our Levels of discipline align with the level of infraction as determined by an impartial investigative board will ensure sorors feel due process as been afforded to them.

Section 1. CHAPTER TAX Each chapter is required to pay a yearly National Chapter Tax, due in October, to be used for national scholarships, projects and general expenses. Failure to pay national obligations for two (2) consecutive years will result in the chapter’s suspension. A chapter must then pay the required reinstatement fee plus national per capita tax for each Soror on its roster.

Rationale: Life Members should have a realistic advantage. Benching marking other organizations within and outside of the Divine Nine; Life Members have paid on the National Level for Life.

If the per capitapopulation of any municiaplity exceeds 100,000 residents, a second auxiliary can be formed upon recommendation by the International Grand Basileus and with the special permission granted by the National Executive Board.”


Section 1. AMICAE Amicae is the name given to the organized group of women interested in Zeta Phi Beta sorority, Incorporated’s ideals and activities. The Amicae, Friends of Zeta, serve as an auxiliary to one (1) or more local Graduate Chapters of Zeta Phi Beta Sorority, Incorporated and are designated by the name of the city. There shall be only one auxiliary in a city and all chapters in the city will cooperate as sponsors.

Rationale: The current wording only allows for Amicae Auxiliaries to be chartered in a city. However, there are metropolitan cities in the US whose populations are as large as 8 million. These cities are often divided into boroughs, counties or other named municipalities. Logisitically, one auxiliary cannot effectively service a municipality whose population is over 100,000. This amendment will provide clarity on allowable expansion options for Amicae auxiliaries based on current geographical and population terminology and data.

Amicae auxiliaries are comprised of non-degreed women who have participated in and contributed to charitable, religious and educational activities.

Rationale: Per the Amicae Handbook and National governing documents, the Amicae sponsoring chapter shall approve the local bylaws, all activities of the Amicae, and be governed by the local sponsoring chapter. The current wording of the description of the Amicae, conflicts with the government of the Amicae as stated above and is not clear as to which sponsoring chapter will provide said approvals if there is more than one graduate chapter in the city. To abate any confusion, the proposed amendment will allow each sponsoring graduate chapter to establish its own Amicae Auxiliary, if they so choose, as this is the current practice with the Youth Auxiliaries.
