The National Constitution & Bylaws Committee presents the following 67 proposed amendments to the Zeta Phi Beta Sorority, Incorporated Constitution & Bylaws for

consideration at the 2016 Grand Boulé. There are fourteen (14) proposed

The 2016 proposed amendments are being presented in number order this year and

do not include a consensus calendar. All wording for the proposed amendments is shown as received from the

submitting chapter. Any grammatical errors, numerical interpretations, misspellings or any other errors will be addressed and corrected if and when proposed amendments are adopted and included in the next edition of the National Constitution and Bylaws.

Rationale: Reducing the number of voting appointed members on the National Executive Board would give the

Membership a stronger voice in the composition of the National Executive Board while allowing the Regional Directors to be present and participate at all National Executive Board Meetings. Participation of the Regional Directors at National Executive Board Meetings will help make sure that the Regional Directors are always informed on the latest policies, procedures, and programs of the Sorority so that they can make sure that their Regions thrive.

Rationale: Currently our NEB has several positions that are unutilized but are financially covered by the membership. In a effort to align Zeta with other 501c organizations this proposed restructuring along with subsequent proposals attempts to allow for great oversight of Board and reduces spending on number of elected and appointed members needed to report and attend NEB meeting. (I.E. 2nd Anti would become Programs Coordinator and receive reports for all appointed chairs over programmatic areas and can make a single report to the board.)

Article: VI Section: 2d Page # 3 Type of amendment: Add a sentence: No person, except the International Grand Basileus, shall serve more than a total of two (2) terms in the same office.

Current Wording Proposed Wording

Elected national officers may only serve two (2) consecutive terms in the same office and only three (3) consecutive terms on the board, unless she becomes International Grand Basileus. Members of the Trustee Board are elected for two (2) terms. The International Grand Basileus may serve three (3) terms.

Elected national officers may only serve two (2) consecutive terms in the same office and only three (3) consecutive terms on the board, unless she becomes International Grand Basileus. Members of the Trustee Board are elected for two (2) terms. The International Grand Basileus may serve three (3) terms. No person, except the International Grand Basileus, shall serve more than a total of two (2) terms in the same office.

Rationale: This language prevents someone from remaining on the National Executive Board, serving in the same capacity for an infinite number of years, since the current language does not preclude anyone from returning to the same office after they have taken a break after completing previous term limits. This language puts a limit on the number of years a person may serve on the National Executive Board, ultimately, which allows opportunity for leadership opportunities for new and qualified sorors who choose to run. This promotes effective leadership development and appropriate growth and change in philosophies to meet the need of changing times.

Page 29: Zeta Phi Beta Sorority, Incorporated...Zeta Phi Beta Sorority, Incorporated 2016 Grand Boulé July 6 - 10, 2016 Hilton Orlando Hotel Orlando, Florida Mary Breaux Wright 24th International

Rationale: Life members are the life Boat of Zeta, they should be those who have demonstrated continued financial ability and interest in Zeta. They currently make up about 5% (~750/15000 total) the active members however comprise about 50% of the Boulé attendees. Uncontrolled LM growth threatens the balance of power within Zeta, and diminishes the value of this category. The application process should include more than a check for the total amount. Membership into this category should reflect higher knowledge of zeta's interworking thus require ZOL certification, 3 Boules, leadership within the organizations as this takes time to develop and 5 yrs isn’t enough to understand the ramifications and historical prospectives of the organization, especially in light of LMs having an individual vote that could potentially overpower that of delegates whom should represent the voice of an entire chapter.

Section 8. MEMBER-AT-LARGE a. A Member-at-Large is a Soror who lives more than twenty-five (25) miles from the nearest chapter and pays only national fees. b. The International Grand Basileus may grant this status to other Sorors with extenuating circumstances. c. She is eligible to receive the Archon, newsletters and periodic communications from National Headquarters that are mailed to the general constituency. d. She can contribute to the National Educational Foundation. e. She can register and participate in National, Regional and State (where applicable) Conferences, but will not have delegate and/or voting status (even if she is a Life Member). f. She can purchase paraphernalia and jewelry from and through National Headquarters.

Section 8. GENERAL MEMBERSHIP a. A General Member is a soror who desires to only pay national fees with no chapter affiliation. b. The General Member designation is available to sorors for a period of 10 years. After the 10 years has expired, a General Member Renewal Application is required to be submitted to the International Grand Basileus to extend General Member status. C. She is eligible to receive the Archon, newsletters and periodic communications from National Headquarters that are mailed to the general constituency. d. Contributes a portion of her national fees to the National Educational Foundation endowment. e. She can register and participate in National, Regional and State (where applicable- as a visiting soror) Conferences, but will not have delegate and/or voting status. The exception to this rule is if she is a Life

Member at the time of application for General Membership. The Life Member voting status will only be recognized at the Boule. f. sorors can not use time as a general member towards. Life Member application. g. She can purchase paraphernalia and jewelry from and through National Headquarters.

Rationale: Allow for great retention of members, allow sorors to live out their oath in the manner the best fits them: those who may best fit this category are women with active children, jobs that don’t allow for chapter membership, sorors who are older and/or otherwise on a fixed income, liminted mobility, those who live within 25 miles of a chapter but have chosen to be inactive rather than participate via a chapter, etc. This is a viable category for many reasons and allows for a revenue stream that would benefit Zeta in many ways including: funding a NEF endowment, providing funds for infrastructural improvements and an active database of members that would boost our 15K to 25K easily.

Rationale: Expanded membership category to allow sorors who wish not or cannot actively participant in a local chapter the opportunity to live out their oath and provide financial backing for our National Headquarters. We have many soror with limited or fixed incomes who have mobility limitations or suffer hardships that prevent local, state and regional participation. These funds would be earmarked for infrastructural improvements including capital building maintenance.

h. She could register and attend National, Regional and State Conferences.

i. Her Membership in this category CANNOT be used towards application for Life Membership.

Rationale: There are distinguished women who are leaders in academia, Fortune 500 companies, politicians and entertainment, among others, who have expressed an interest in membership in Zeta Phi Beta Sorority, Incorporated but are unable to commit to regular attendance and participate in local chapters due to professional schedule conflicts. These CEOs, congresswomen, professional artists, etc. lead very busy professional lives but are willing to support Zeta through influence, finance and service, without the encumbrance of local chapter membership. While honorary membership maybe an option it is not guaranteed and the process is time consuming. Further these potential members may prefer to be acknowledged as a full member of the organization, as opposed to an "honorary" member of Zeta Phi Beta Sorority, Incorporated

Section 3. STATE DIRECTORS The State Directors shall be elected by the voting delegation at their State Leadership Conference.

Rationale: Sorors at the local level should have the opportunity to vote for the soror they feel will best lead and represent the State. Making this position an elected one opens up the opportunity for talented and qualified sorors to run for the office.

New Section 3. PRELIMINARY VOTING There shall be a preliminary vote early in the convention for all offices to be elected which shall include candidates that have been vetted and declared eligible by the National Nominating Committee. The subsequent vote for each office shall include the two (2) candidates who received the highest number of votes.

Rationale: This minimizes the number of ballots required when there are numerous candidates for each office. This also increases the likelihood of one candidate receiving a majority of votes.

New Section 3. ELECTIONS CAMPAIGNING A candidate for national elected office must not declare or disseminate materials (printed or electronic, including social media) until she has been notified by the National Nominating Committee that she meets the eligibilty requirements. The National Nominating Committee shall provide campaign rules to all candidates, which shall include, for example, limits on spending and onsite campaigning. The National Nominating Committee shall notify candidates of the eligibiity or non-eligibility no earlier than [February 1 of

the Boulé year].

If adopted current Section 3 would be re-numbered to Section 4.

Rationale: there is currently no established and published elections rules, thus candidates announce at different times, some as early as 18 months before the Boule occurs, further incumbents may have an unfair advantage if they start campaigning and notification is done at different points.

If the financial membership of the functioning chapter exceeds forty-five (45), or if the per capita population of the municipality exceeds 100,000 residents a second Graduate Chapter can be formed upon recommendation by the International Grand Basileus and with the special permission granted by the National Executive Board.

Rationale: The current wording only allows for Graduate Chapters to be chartered in acity. However, there are metropolitan cities in the US whose populations are as large as 8 million. These cities are often divided into boroughs, counties or other named municipalities. Logisitically, one chapter cannot effectively service a municipality whose population is over 100,000. this amendment will provide clarity on allowable expansion options for Zeta chapters based on current geographical and population terminology and data.

ESTABLISHMENT AND PRESENTATION OF NEWLY-CHARTERED CHAPTERS

Chapters cannot be officially established or presented until all requirements are met and the charter is received from the International Grand Basileus.

ESTABLISHMENT AND PRESENTATION OF NEWLY-CHARTERED CHAPTERS

The request to charter a chapter must include a sustainability plan. The decision to charter a new chapter shall be voted upon by the National Executive Board. A second chapter can be chartered in a city with an existing chapter if the financial membership of the chapter exceeds 45 members for five consecutive years. The sustainability plan must demonstrate community needs through social, educational and economic indicators in that area.

Rationale: While the expansion of the Sorority is necessary and laudable, the ability for newly chartered chapters to exist and thrive must be of paramount concern when considering their chartering. Charters should only be issued when they can provide evidence of need and sustainability. when a chapter fails or dies out, it cast a negative shadow on the organization, fracturing of our foundation and threatens our retention and reclamation efforts.

ARTICLE XV - ORGANIZATIONAL GOVERNANCE SECTION 1 - STRATEGIC PLAN Strategic Plan for Zeta will be developed every 10 years with major thrust beginning voted on during General assembly of the body at a Grand Boule. Minimum areas to be covered include Membership, Finances, Partnerships, National programmatic thrust, and resource/asset development. The International Grand Basileus is then responsible for developing the plan of action for accomplishing these strategic goals within her tenure of office. SECTION 2 -DISCIPLINE A chapter, through its Regional and State Directors, may request suspension of members for non-payment of the approved local, state (where applicable), regional and national taxation, and for actions of misconduct and rule violations.

SECTION 3 TIERED PROGRAMMATIC IMPLEMENTATION Tier programming, based on chapter size. This allows chapters to implement programs based on chapter size. Each chapter would be required to implement a base of 5 programs annually under the Grand's Programmatic thrust. Failure to completed these minimum would result in chapter suspension or financial penalties? (loss of delegates, restrictions on intake, etc.). All programs over 5 would enter the chapter into "competition" mode for award recognition. Chapter awards will be developed based on apportionment 5-24 members, 25-50 members, 50-75 members, 75-100members, 100+ members

Rationale: A national Strategic Planning developed with the guidance of the National Executive Board, International Grand Basileus and Boule Body will provide a long range plan of action for the Sorority. This will allow for uniformity and consistency within the Sorority. having our Levels of discipline align with the level of infraction as determined by an impartial investigative board will ensure sorors feel due process as been afforded to them.

Page 90: Zeta Phi Beta Sorority, Incorporated...Zeta Phi Beta Sorority, Incorporated 2016 Grand Boulé July 6 - 10, 2016 Hilton Orlando Hotel Orlando, Florida Mary Breaux Wright 24th International

Rationale: Per the Amicae Handbook and National governing documents, the Amicae sponsoring chapter shall approve the local bylaws, all activities of the Amicae, and be governed by the local sponsoring chapter. The current wording of the description of the Amicae, conflicts with the government of the Amicae as stated above and is not clear as to which sponsoring chapter will provide said approvals if there is more than one graduate chapter in the city. To abate any confusion, the proposed amendment will allow each sponsoring graduate chapter to establish its own Amicae Auxiliary, if they so choose, as this is the current practice with the Youth Auxiliaries.
