ARTICLE II - LOAN

2.01 . 1 Te Bank agrees to lend to the Borro\wer the amount of three hundred seventymil on Dollars (S370,000.000), as such amount may be converted fron time totim through a Currenicy Conersion (~Loan~), to assist in financing the projectdescribed in Schedule I to this Agreeient (~ProjectC),

2.02. 1he iBorrox\ er may w ithdrau the proeeeds of the l oan in accordane xwith Section111 of Schedule 2 to this A greeient.

2.03. 1he iFront-end Fee is one quarter of one percent (0.25° o) of the Loan amount.

2.04. The (ommitment Charge is one quarter of one percent (<.25° o) per annum on theixnv ithdrawn Ioan Balane.

2.05. 1he interest rate is the Reference Rate plus the Variable Spread or such rate as mayapplj flloxwing a Conversion: subject to Section 3.02(e) of the General(on itions.

2.06. Tlie Pay ment Dates are June 15 and Decenber 15 in each y ear.

2.07. IThe principal amount of the Loan shall be repaid in accordance w\ ith Schedule 3 tothis Ägreeient.

ARTICLFE Il1 - PROJECT

The objective of tbhe Project is to improve land tenure security and stabilizeproperty righits of A RBs.

Part 1 - P'arcelization of ('oilectiv,e CLOAs

1.1. Improved Regulatory Framework

Providing technical assistance support tor: (i) updating DA R' s DAos andother instrunments related to collective CLOA parcelization and preparing

implementing rules and regulations for strengthened inter-agencyinstitnional arrangements: (ii) de\eloping a media and communicationstrategy and materials tor eneonraging participation of ARBs in theparcelization process: and (iii) assessing thle policy and operationalimplications of tbc enhanced parcelåation process and the results of the

SCHEDIL 2

Project Execution

Section 1. Implementation Arrangements

A. Institutional ArrangemenIs.

1. The Borrower, throoh DAR. shall maintain, throughout the period ofimplementation of the Project. Project implementation structures at thenational and sub-national lexels, all xw ith composition, functions., staflingand resources satisfactory to the Bank and set out in the Project OperationsManual.

2 Without limitation to the forecoing te Borrower shall, throuh DA R:

(a) establish and thereatter, maintain: (i) a National Project SteeringCommittee, chaired by DAR and including representatives ofrelevant government agenlcies involv xed in Projectimplementation. ws hich shall be responsible for providing overallpolicy direction and guidance for Project implementation: (ii) aNational Project Coordinating Committee. wxhich shall beresponsible for priding overall operational guidance for Projectimplementation: and (iii) a Central Project Managenent Officcxhich shall be responsible for implementation of Projcct activ itiesat national evel:

b) at cach Selected Region, prior to the commencement of any

troject actix ity in the respective Selected Region, establish andthereal ter maintain: (i) a Regional Projcet CoordinatingCommittee xw hich shall be responsible for oxverseein andproxiding guiidance at regional level; and (ii) a Regional ProjectManagemncc t Office xw1 hich shall be responsible for carrying outProject actixities at the Selecied Region: and

The Borroxer, through lDAR, shall ensure that the Project is implemented inacc rdance xxith the AWPiB accepted b\ the Bank for the respectix e fiscal \ ear:pro\ ided. hoxw ever, that in the event ofanx conflict between the AWPB and thepro\ isions of this Agreement, the proxisions of this Agreement shall prevail.

3. The Borroxwer. through DAR. shall not make or allow to be made anx chane tothe AWPB li ithoutt prior no-objection in w\riting by the Bank.

). Env ironmental and Social Standards.

1. The Borrowxer, through DAR, shall ensure that the Project is carried out inacc rdance xxith the Environmental and Social Standards. in a manner acceptableto ti-e Bank.

. W itlhout limitation upon paragraph I above. the Borrover, throuch DAR, shallensL re that the Project is implemented in accordance xx ith the nvironmental andSocial Commitment Plan ("FSCP"), in a manner acceptable to the Bank. To thisend. the Borrower, through DAR. shall ensure that:

(a) the measures and actions specied in the E.SCP are implemented w\ ith ducdiligence and efficiency and provided in the lSCP:

(b) su licient lunds are a ai lable to cox er the costs o fi inplenent ing the ESC1:

(f) poiicies and procedures are maintained, and qualified and experiencedstalf in adeqnate nunbers are retained to inplement the SCP as providedin the ESCP: and

(d) the ISCP, or any provision thereof, is not amended. repealed, suspended,or waived, except as the Bank shal1 otherwise agree in writing, as specitiedin the -SCP, and ensure that the revised E.SCP is diselosed promptlythereater.

In kase of any inconsistencels between the ISCP and the provisions of thisAgrent, the proxisions of this Agreement shall prex al.

.The Borrow\ er, through DAR, shall ensure that:

(a) all measures necessary on its part are taken to collect. compile, and Cornishto the Bank through regular reports. xwith the frequency specinled in theIESCP and proiptly in a separate report or reports, if so requested byli theBank. inforniation on the status of compliance with the ESCP and theenvironniental and social instruments referred to therein. all such reportsin Iorm and substance acceptable to the Bank, setting out. inter alia: (i) thestatus of implementation of the V.SCP: (ii) conditions, if any. wxhichinterfere or threaten to inter'ere x ith the implementation of the ESCP: and(iii) corrective and preventive measures taken or required to be taken toaddress such conditions: and

(b) the Bank is proiptly notified of any incident or accident related to orhaving an impact on the Projeet which has, or is likely to have. a signi icantadverse effect roteen miient, the atfected coiiinunities, the public orworkers, in accordance with the ISCP. the environiental and socialinstrunents referenced thercin and the 1-nv\ironiental and SocialStandards.

4. The Borrower. through DR, shall establish. publieiie. maintain. and operate anaccessible grievance mechanism to receive and facilitate resolution of concernsand griexanes of Project-afflcted people, and take all measures necessary aidappiopriate to resolve. or tcilitate the resolution of, such concerns and grievances,in a manner acceptable to the Bank.

Section HI. Project Monitoring Reporting and Evaluation

A. Project Reports.

ihe Borroxwer. through DAR. shall furnish to the Bank cach Project Report notlate than sixty (60) days atter the end of each calendar semester cov,ering t liecalendar semester. Except as may otherwsise be explicitly required or permittedund r this Agrecment or as niay be explicitly requested by the Bank, in sharingany information, report or document related to the activ ities described in ScheduleI o this Agreement, the Recipient shall ensure that such information, report ordoc iment does not include Personal Data.

B3. Mid-term Review.

The Borrower, through DAR, shall: (a) on or about the date txwenty tour (24)mor ths after the ffective Date. prepare and furnish to the Bank a niid-term report.in sich detail as the Bank shall reasonably request, documenting prouress achievedin thie carrying ont of the Project during tlie period preceding the date of suchrep rt, taking into account the ionitori[ng and evaluation activities perlormedpursunant to Part A above. and setting ont the measures recommended to ensure thecowinued efticient carrying ont o the Project and the achieverment of its ohjectivesduring the period following such date: and (b) re iexx with the Bank such mid-terni

rep( ri. on or about the date 'orty-Iive (45) day s after its submissio,i. and thereaftertake all measures required to ensure the continued efticient iniplementation of theProject and the achiiev ement of its objectives. based on the conclusions andrecemmendations of the mid-term report and the Bank's views on the matter.

Section III. Withdrawal of Loan Procceds

A. General.

Witiout limitation upon the prov isions of Article II of the General Conditions andin accordance with the Disbursement and Financial Information 1 etter, tlieBor oxw er may wx ithdraw the proceeds of the 1 oan to 1-inance one hundred percent

Iinancial. technicaland organizational arrangements and procedures as shall be required for theProject: as said manual max be modilied from time to time xwith the prior writtenapp:oval of the Bank, and such term includes any schedules to such manual.
