Master thesis Agreement

Between:

1) The Vrije Universiteit Brussel, with principal offices at Pleinlaan 2, 1050 Brussels, Belgium, herein represented by Prof._______________________________, rector, and by Prof._______________________________, promotor, who co-signs this agreement for acknowledgement and acceptance, hereafter referred to as‘the VUB’;

and

2) _______________, with principal offices at _____________________, herein represented by ………………………………………..hereafter referred to as ‘the Company/Institution/Organisation’,

who assigns ___________ as supervisor of the master’s thesis on behalf of the Company, hereafter referred to as the ‘Supervisor’, who co-signs this agreement for acknowledgement and acceptance;

and

3) Student___________ with student card number ________ who is registered at the VUB as a master student for Master in ____________, hereafter referred to as ‘the Student’.

Now it is hereby agreed as follows:

Art. 1 Time-schedule

The Supervisor accepts the Student for completing the master’s thesis at the Company/Institution/Organisation for the period between ____________ and___________.The Student generates the master’s thesis as a VUB student and cannot be considered in anyway whatsoever as an employee of the Company/Institution/Organisation.

Art. 2 Remuneration

The Student will not receive any type of remuneration or compensation for the experimental activities performed during the preparation of his/her thesis. The Company/Institution/Organisation may reimburse any cost submitted by the Student provided any such cost has been justified by a

receipt. However, the Company/Institution/Organisation has no obligation to do so.

Art. 3 Objectives

The overall objective of the master’s thesis is to improve the scientific education of the Student by allowing him/her to conduct his/her own research. The master’s thesis is an original experimental work supported by bibliographical data. Experimental work shall mean any scientific act that generates scientific data which are subsequently analysed and reported in a written thesis.

The VUB organises during the term of the master’s thesis external activities that the Student is recommended to attend.

Art. 4 Guidance at the place where experimental activities are executed

The Supervisor will provide the Student with all necessary information on the internal regulations and operational instructions applicable at the Company/Institution/Organisation.

Art. 5 Master student

1. The Student agrees to act according to the internal regulations and operational instructions applicable at the Company/Institution/Organisation. In the interest of order, safety and health the Student will follow the same instructions, conduct and regulations as those followed by the Supervisor and personnel of the Company/Institution/Organisation.

2. The Student accepts to handle with due care all material and equipment put at his disposal by Company/Institution/Organisation.

3. The Student will be present at the Company/Institution/Organisation in accordance with the time schedule agreed with the Supervisor. Any unauthorised absence will be communicated to the responsible VUB promotor or the master’s thesis coordinator.

Art. 6 Thesis development

1. At the start of the master’s thesis both the Student and the Supervisor receive a copy of the document “Toelichtingen bij de masterproef”.

2. In case of problems regarding the master’s thesis the Student and/or the Supervisor will contact the responsible VUB promotor or master’s thesis coordinator.

3. Early termination of the master’s thesis is only possible in common agreement between the parties.

Art.7 Insurance

Legally the Student is registered at the VUB during the period of the completion of his/her master’s thesis. No labour agreement exists between the Student and the Company/Institution/Organisation.

1. Accordingly, social security laws and the laws on health and disability insurance are not applicable to the Student. As a result, the Company/Institution/Organisation will not pay any related contribution.

2. The law concerning labour accidents and physical accidents on the way from and to the place where experimental activities are executed, as well as the law concerning professional diseases is not applicable. The Student is insured by the VUB against physical accidents arising from the execution of his/her master’s thesis as well as on the way from and to the place where the master’s thesis is executed.

3. The general liability and professional liability of the Student is covered by the insurance of the Vrije Universiteit Brussel:

- Policy n° 45.041.893 for general liability which covers amongst other things the liability of the Student during his/her university and para-university activities which are related to his/her studies, incl. during the master’s thesis, with the exception of the activities solely exercised within his/her private life.

The amounts covered by policy n° 45.041.893 are:- bodily injury: 4.957.870,50 € per claim;- property damage: 2.478.935,25 € per claim.

Is also covered the liability of the Student registered at the VUB for damage caused to objects of third parties in the care and custody of the Student for the purpose of use, handling or repair. The amount for this guarantee is 25.000,00 € per claim with a deductible amount of 250,00 € per claim.

- Policy n° 45.066.506 for bodily injury of the Student during his/her activities related to his/her studies, including on his/her way to and from the Company/Institution/Organisation where the Student completes his/her master’s thesis.

Art.8 Confidentiality agreement

Confidential information shall mean all information that is disclosed to the receiving Party by the disclosing Party in connection with the master’s thesis, and which is identified or marked in writing as confidential by the disclosing party or which by its nature is confidential.During the term of this Agreement and for a period of three (3) years thereafter, each Party will cause all Confidential Information to be treated with the same degree of care regarding its secrecy and confidentiality as the Party receiving the disclosure treats similar information of its own, but in any case not less than with a reasonable degree of care. Neither Party shall use the other Party’s Confidential Information for any purpose other than establishing the master’s thesis.

The obligation of confidentiality shall not apply, however, to any information which:(a) is already in the public domain at the time of disclosure or

becomes available to the public through no breach of this Agreement by the receiving party;

(b) was in the possession of the receiving Party prior to receipt from the disclosing party;

(c) is received by the receiving Party independently from a third party free to disclose such information to the receiving Party;

(d) the receiving Party can conclusively establish that it was independently developed by or for the receiving Party without use of the confidential information of the disclosing Party;

(e) is required to be disclosed by law, regulation, or court or governmental order, provided that the receiving Party reasonably notifies the disclosing Party prior to such disclosure of such requirement.

Art.9 Miscellaneousagreements

1. All intellectual property rights that would arise from the implementation of the master’s thesis belong to the VUB, notwithstanding any legal restriction as to the Student’s moral copyright. The VUB reserves the right to use these results for academic research and education purposes in accordance with the applicable legislation.

2. This Agreement shall be governed by, and construed in accordance with the laws of Belgium. The Parties agree to submit and maintain any dispute which cannot be settled amicably solely in the courts of Brussels.
