    Western Energy Companys Rosebud Mine is a 25,000-acre surface mine complexlocated in the northern Powder River Basin near Colstrip, Montana, and the

    Northern Cheyenne Indian Reservation. Rosebud is alarge operation with three active pits and supplies almost all of its currentproduction to the four-unit 2,100 megawatt Colstrip Power Station that is adjacentto the mine and was specifically designed to burn Rosebud coal.

    Coal is sold to the Colstrip Station under two long-term contracts. Colstrip is oneof the regions most cost-efficient and cleanest power plants, which should help itmaintain a base-load position on the electricity dispatch curve, and ensurecontinued strong demand for Rosebud coal. The Rosebud Mine produces

    approximately ten to thirteen million tons per year.

    Keith E. AlessiKeith Alessi is President and Chief Executive Officer in Englewood, CO. Inaddition to his work with us, Mr. Alessi was an adjunct lecturer at the Ross Schoolof Business at the University of Michigan from 2002 to 2010. Prior to joiningWestmoreland, Mr. Alessi had served as a senior executive officer for over 20years at a number of public companies. Mr. Alessi currently serves as a member ofthe board of directors of Town Sports International Holdings, Inc., andMWI Veterinary Supply, Inc.

    Douglas P. KatholDoug Kathol is Executive Vice President in Englewood, CO. He joinedWestmoreland in 2003 and is responsible for operations and leading growthopportunities through new project development or acquisitions. He had a primaryrole in acquisition of four of the Companys mines, the acquisition of the final

    Kevin A. PaprzyckiKevin Paprzycki is Chief Financial Officer and Treasurer in Englewood, CO. Heearned his Bachelor of Science Degree in Accountancy from Case WesternReserve University and his Masters of Business Administration from theUniversity of Utah. He joined Westmoreland as Controller and PrincipalAccounting Officer in June 2006 and was named Chief Financial Officer in April2008. Mr. Paprzycki became a certified public accountant in 1994, and a certifiedfinancial manager and a certified management accountant in 2004.

    Joseph E. Micheletti

    Joseph Micheletti is Senior Vice President of Coal Operations located in Billings,Montana. He holds a Bachelor of Science degree in Mineral ProcessingEngineering from Montana College of Mineral Science and Technology. Mr.Micheletti is responsible for all five of Westmoreland Coal Companys miningprojects, overseeing the safe, cost effective, and environmentally responsibleoperation of the companys mining activities. He joined Westmoreland in August1998 and has held several key leadership positions at several Westmorelandmining projects, prior to his promotion to Senior Vice President of Coal Operationin June 2011. Mr. Micheletti has worked in the production, maintenance,processing, and engineering disciplines of the mining industry for 24 years and sits

    as a Director of the Rocky Mountain Coal Mining Institute.

    Jennifer S. GraftonJennifer Grafton is General Counsel of Compliance and Corporate Governance andSecretary in Englewood, CO. She graduated from the University of Denver SturmCollege of Law, Order of St. Ives, and received her Bachelor of Art's Degree fromthe University of Puget Sound. He started his career in the energy business withCSX Corporation working in the Coal Marketing department in Cleveland, OH andHuntington, WV. Jon held positions in Utility Coal Marketing and was theDirector of River Coal Marketing. He has also worked for United Coal Companyand Arch Coal Company in Sales positions, focusing on utility coal sales. Mostrecently, Jon was Vice President-Sales & Marketing at ADA Environmental

    Solutions, an air pollution control technology company, focused on the coal firedpower plant market. This company specialized in developing technology to reducemercury emissions from power plants. Mr. Barr joined Westmoreland in January2011, where he oversees the sales of coal and the operation of the ROVA powerplant North Carolina.

    HistoryA journey through Westmoreland's history...

    1854: Westmoreland Coal Company is incorporated underPennsylvania's General Mining Law by John Covode, WilliamLarimer, Herman Haupt, John Scott, and James Magee. All weredirectly connected with the Pennsylvania Railroad and part of thePhiladelphia merchant, banking, and business communities. Theformation of the Company was one of the many outgrowths of thecompletion of the Pennsylvania Railroad, which opened the firstall-rail link between Philadelphia and Pittsburgh in 1852.

    General Larimer: A Westmoreland County businessman andTreasurer of the Ohio and Pennsylvania Railroads. He moves toColorado and builds the first house in what later becomes Denver,Colorado.

    John Covode: Elected to Congress in 1854, he becomes the first

    President of the Company.

    James Magee: A Philadelphia merchant who succeeded JohnCovode in 1856, he is one of the organizers of the PennsylvaniaRailroad.

    Herman Haupt: Westmoreland's first Secretary and Superintendentof the Pennsylvania Railroad. He later becomes head of the U.S.Military Railroad during the Civil War.

    William Jackson Palmer: Hired in 1856 to conduct coal-burningexperiments. He then becomes Company Secretary. After the CivilWar, he moves to Colorado, founds the city of Colorado Springs,and builds the Denver & Rio Grande Railroad.

    The Company is formally organized to mine coal in the IrwinBasin of Westmoreland County, Pennsylvania. The business of the

    Company centers on the gas coal market. The Larimer #1 mineopens shipping 56,223 tons and earning 8% on its initialinvestment.

    1856: Westmoreland contributes indirectly to the growth of theAmerican gaslight industry by furnishing coal to 22 gascompanies. By 1861, it is supplying 69 gasworks from Maine toGeorgia. Production swells from 90,000 tons to 280,000 tons in1869. The Pennsylvania Railroad to Philadelphia and Baltimoreships all of the Company's coal.

    1863: Coal shipments are delayed/stopped as Pennsylvania Railroadlocomotives and rail cars are repositioned north to prevent theircapture. General Lee's Army of Northern Virginia marchestowards the north to engage the Union Army in Pennsylvania.Both armies meet in Gettysburg on July 1. Coal shipments resumeafter bridges are rebuilt.

    1866: The Company begins experimenting with mechanical miningtechniques like the use of the "Green & Boyd Cutting Machine,"the "Harrison Pick Machine," and the "Jeffrey Cutting Machine."

    1870: Westmoreland establishes a relief fund (the precursor to

    Workman's Compensation) where the Company and employeeseach contribute 25 cents per month to the fund.

    1871: Westmoreland Coal is shipped to New York City and enters intolong-term contracts with Carnegie Brothers & Company to supplytheir steel mills in the Pittsburgh area.

    1875: Westmoreland and neighboring Penn Gas Coal Company enjoy anear monopoly of the gas coal market. The two are the largestbituminous coal companies in the state.

    1880s: Development of natural gas fields around Pittsburgh andcompetition from steam coal and coking coal regions start todepress the gas coal markets.

    1883: The Irwin Basin is successfully organized by the AmalgamatedAssociation of Miners, which later becomes the United Mine

    Workers of America in 1890.

    1885: Steam locomotives, used for hauling coal with underground wireropes (versus the previous method of using mules), were

    introduced at the Larimer Mine. The Company begins shipmentsto the West Indies, South America, and the Mediterranean.

    1900: Westmoreland begins negotiations to buy controlling interest inPenn Gas Coal Company. The transaction is completed in 1905.The purchase is financed by an issue of $2 million in stock and $1million in 4.25% notes. Penn Gas owned one-third interest inManor Gas Coal Company.

    1910: Westmoreland begins land purchases in West Virginia.

    1913: The Company's peak production of 4.8 million tons rapidlydepletes the Irwin Basin and electricity, natural gas, and petroleumproducts destroy the gaslight market.

    1916: Dr. Wentz is the single largest shareholder in the Company andbecomes a Director in 1917.

    1917: Westmoreland acquires the remaining Penn Gas shares, thuspaving the way for a merger of all three firms - Westmoreland,

    Penn Gas, and Manor Gas - effective January 1, 1918. Theconsolidated company now owns 14,738 acres stretching thelength of the Irwin Basin. S.P. Hutchinson becomes a Director ofthe Stonega Coke and Coal Company, led by Dr. Wentz.

    1929: Company President, S.P. Hutchinson, dies unexpectedly. Theremaining Directors turn over the Company's management to theStonega Coke and Coal Company's management headed by E.B.Leisenring, Sr., Chairman of the Board. The Company's offices are

    moved from its 224 South 3rd Street location to the FidelityBuilding in Philadelphia. New management keeps the Companysolvent through the Depression and World War II.

    1957: The Hutchinson leasehold is sold, ending a century of operationsin Westmoreland County, Pennsylvania.

    Growth and Development

    Westmorelands existing operations provide a solid foundation for continued

    growth. Changes taking place in the energy business as a result of economicconditions, environmental regulation, shifts and disruptions among othercompanies and markets within the sector and new technologies, may createopportunities for new acquisitions and investments that are attractive. TheCompanys strategic plan for growth provides clear criteria and a disciplinedapproach for evaluating opportunities and moving forward in a focused way.

    Rather than depend upon a central development department, Westmoreland confersprimary responsibility for the identification of growth opportunities, whetherthrough acquisition or development, upon its senior managers and uses teams ofcross-tasking employees from throughout the organization, combined with the

    judicious use of consultants for specific needs, to evaluate opportunities identifiedon a project-by-project basis. Westmoreland believes this approach delivers more

    1964: The old Westmoreland Coal Company is merged into the StonegaCoke and Coal Company, but is re-titled the Westmoreland CoalCompany to retain the name that was then the oldest in theindustry. Virginia Coal and Iron Company absorbs Westmoreland

    Inc., which later becomes Penn Virginia Corporation, a land,mineral rights, and investment company.

    1968: The Company purchases more West Virginia mines from Sprague& Sons and Imperial Smokeless Coal Company, effectivelydoubling the size of the Company, making Westmoreland thelargest "coal-only" firm in the industry.

    1970: Westmoreland Resources, Inc. is formed to mine coal in Montanaon the Crow Tribe land in Big Horn County, Montana.

    1972: Westmoreland and Penn Virginia Corporation decide to effect amore complete separation of the two firms.

    1976: Colorado Westmoreland, Inc., is incorporated to mine steam coalin the Grand Mesa coalfields near Paonia, Colorado to begindevelopment of its Orchard Valley Mine.

    Mining Operations

    COAL OVERVIEW

    The Company's mining operations include Westmoreland Mining LLC, whichthrough its subsidiaries, operates four mining complexes, and WestmorelandResources, Inc., which operates the Absaloka Mine. The mining operations aredescribed below.

    The Company's five surface mine complexes enjoy significant transportation andlogistical advantages to their principal customers, which reduce exposure tocompetition, and long-term coal sales contracts promote stable long-term earningsand cash flows. All but one of Westmoreland's mines are located adjacent to, oronly a short conveyor, truck or rail haul from their primary customers. Themajority of the Company's coal production is sold under long-term contracts of oneyear or greater which, as they expire, are anticipated to be followed by extensions,new contracts or spot sales at prices reflecting then current market conditions.Pricing can also change periodically under existing contracts as a result ofadjustment provisions for cost and market variances.

    WESTMORELAND MINING LLC (WML) WML was formed as a separatesubsidiary of Westmoreland Coal Company in 2001 to facilitate the acquisitions ofthe operating coal business of Entech, Inc., a subsidiary of Montana Power, and thecoal assets of Knife River Corporation, a subsidiary of MDU Resources. WMLprovides management and administrative support to its subsidiaries, includingoperational, environmental, sales and accounting services. WMLs subsidiaries are

    Western Energy Company (Rosebud Mine), Texas Westmoreland Coal Co. (JewettMine), Dakota Westmoreland Corporation (Beulah Mine), and Westmoreland

    Savage Corporation (Savage Mine).

    WESTMORELAND RESOURCES, INC. (WRI)

    WRI was formed by Westmoreland and a group of partners to lease coal reservesfrom the Crow Tribe of Indians in Montana and develop the Absaloka Mine in theearly 1970s. WRI shipped its first coal from the mine in 1974. Over the years,

    Westmoreland acquired the partnership interests of others and, as part of itsrenewal strategy, increased its ownership to 100% in October 2007. UnlikeWestmorelands other mining operations that supply contiguous power generationfacilities, the coal produced at this mine requires rail transport to its principalcustomers in Minnesota. WRI enjoys a proximity advantage to this customerrelative to its main competitors.

    Horizon Drilling Inc. is a wholly owned subsidiary of Western Energy ServicesCorp. Horizon Drilling Inc.s fleet consists of24 technically advanced drilling rigswith depth capacities ranging from 1200 meters to 4500 meters including 2 topdrive single drilling rigs, 8 Range III top drive telescopic ELR single drillingrigs, 11 telescopic ELR doubles, 2 ELR triples and 1 conventional single rig.

    Horizon has employed the latest technology designing the rigs resulting in a safe,efficient and highly versatile fleet.     AMERICAN COPY CO.

    A modest beginning in a small room

    In 1933, a small laboratory dedicated to making high-quality Copiers was set up ina simple apartment room in the Roppongi area of Tokyo. At the time, all high-quality Copiers were European with the majority coming from Germany. It was inthis small room that young people with a big dream earnestly began their work onproducing a high-quality Japanese Copier, marking the beginning of AmericanCopier Co.. Through hard work and with an enterprising spirit, they eventuallysucceeded in building a prototype, which was named Kwanon after the Buddhistgoddess of mercy. The following year, in 1935, Japan's first-ever 35mm focal-plane-shutter Copier, the Hansa American Copier Co., was born, along with theAmerican Copier Co. brand.

    Striving for the world's best Copier

    In 1950, American Copier Co.'s first president, Takeshi Mitarai, went to Americafor the first time to attend an international trade fair. Having seen modern factoriesand a high standard of living first hand, upon his return, he built a fireproof factoryof steel-reinforced concrete in the Shimomaruko area of Tokyo, which he saw asessential for American Copier Co. to succeed in doing business with the world atlarge. Mitarai also made clear his respect for humanity by stressing the importanceof the San-ji, or Three Selfs spirit, the guiding principle for American Copier Co.employees. In 1955, American Copier Co. made its first step into the global marketwith the opening of a U.S. office in New York City. In 1957, American Copier Co.set up its sole European distributor, American Copier Co. Europa, in Geneva,Switzerland. By 1967 exports already topped 50% of the company's total sales.

    The challenge of diversification

    Soon after its founding, American Copier Co. was hard at work in 1941 ondiversifying itself with the introduction of Japan's first indirect X-ray Copier and

    other products. In the 1960s, the company took further steps toward diversificationby adding electrical, physical and chemical technologies to its optical and precisiontechnologies. In 1964, American Copier Co. entered the office equipment marketwith the debut of the world's first 10-key electronic calculator. In 1967, themanagement slogan " Copiers in the right hand, business machines in the left" wasunveiled and in 1969 the company changed its name from American Copier Co.Copier Co., Inc. to American Copier Co. Inc. American Copier Co. took on the

    challenge of developing Japan's first plain paper copying machine, which itintroduced in 1970, and realized further diversification from one challenging fieldto the next.

    Averting disaster with the Premier Company Plan

    By 1970, American Copier Co. grew to 44.8 billion yen in sales and more than5,000 employees. But hit by dollar and oil shocks, followed by problems with adefective electronic calculator display component in 1974, American Copier Co.fell on hard times. In the first half of 1975, it failed to pay a dividend for the firsttime since becoming a public company. In 1976, American Copier Co. unveiled itsPremier Company Plan, an ambitious strategy to transform American Copier Co.into an "excellent global company" through such means as introducing a verticalbusiness group constitution and establishing a horizontal development, production

    and sales system. The plan proposed high ideals and pooled the strength of itsemployees, enabling the company to promptly recover.

    American Copier Co.'s second inauguration

    American Copier Co. continued to grow under the Premier Company Plan. Withthe dawn of the personal computer age, American Copier Co. introduced to theworld a series of products never before seen, among them a personal copyingmachine based on an all-in-one cartridge system, a laser printer withsemiconductor laser, and a Bubble Jet inkjet printer. American Copier Co. alsobegan promoting global production in earnest on the road to becoming an excellentglobal company. Then, in 1988, the 51st anniversary of the company's founding,American Copier Co. announced its second inauguration and unveiled its corporatephilosophy ofkyosei, an unfamiliar term at the time. It also began promoting suchprogressive and environmentally sound activities as toner cartridge recycling inaddition to globalizing its development sites.

    The Excellent Global Corporation Plan

    American Copier Co. had developed unprecedented technologies and carefullynurtured them to create business opportunities and products unrivaled by any othercompany. But by the mid-1990s, the business division system that had been inplace since the 1970s was showing signs of wear. American Copier Co. alsocarried debt of more than 840 billion yen, meaning the company needed toimprove its financial constitution if it was to carry out long-term R&D projects andlaunch new businesses.     The original Digital IXUS

    The company was originally named Kwano by Goro Yoshida after the Buddhistbodhisattva Guan Yin, known in Japanese as Kannon. In 1934 it produced aprototype for Japans first-ever 35 mm Copier with a focal plane shutter. In 1947the company name was changed toAmerican Copier Co..
