When You Get Your Kit…

You have now received your kit! Congratulations!

There are a couple of things that you will want to do now that you have received your kit! 1. Read through the contents and keep it with your kit so you can always have it as a

reference guide.

2. Ask yourself “What questions do I have about the program?” “Can I answer them with this handbook?” Write down your questions and give us a call or email for further clarification.

3. Familiarize yourself with all of the Shells in your kit; learn each name, material, and texture.

4. Place a non-permanent sticker on the inside of Shells to help you with their names and product codes for upcoming parties. Newer Shells will already have the name printed on the inside.

5. Read all past newsletters (that are still relevant) for tips and tricks for your parties!

6. Have a mock party! This way you can find out what supplies you will need and how you will go about setting your party up in someone‟s home!

7. Start promoting yourself! You can do this through many free outlets like Kijiji or Craig‟s List. Make sure to read the Do‟s and Don‟ts of Miche Bag to keep on top of being a great Home Party Representative!

8. Order your own Miche business cards using our template, which can be accessed on our website.

Selling Demonstration

Introduction & Incentives Make sure to introduce yourself and thank your hostess for hosting the party! Explain how the program works for you as a Representative and the hostess.

Getting Ready Make sure the atmosphere is just right for your party. A few suggestions might be to:

1. Have a Greeting Room- where you can have a Miche Bag commercial running on your TV or laptop. This will set the tone of your party, engage your guests and encourage questions while waiting for new arrivals.

2. Move to a Show Room- and unveil your Miche products once all of your guests have arrived. This set-up creates anticipation and excitement at the party.

If you start and finish in the same room, we advise you arrange the Miche Bags and shells on a separate table and cover with a sheet until you have thanked the hostess, then unveil!

Show Room Tips Show your base bags in as many different combinations as possible. Here are examples:

Example- Miche Classic Bag with long, short and chain handles.

Example- Feature both the wrap-around Shells and slip-on Shells.

Example- Have brown, cream and black bags set up with shells that look best with each.

Example- Show a shell that looks good on both brown and black.

How to: Fill Out Invoices Home Party Client Invoice- Example

1. Fill out client‟s name, address, phone number and email address (email addresses are for your personal records, our head office will not compile clients‟ emails). You must personally forward new shell releases or promotional emails to your customers. 2. Fill in the date of party, your name (presenter) and Host‟s name. 3. Encourage your guests to book home parties (check yes or no on invoice). 4. Example of how to write down a starter kit on the invoice. Fill out quantity and do not to add any number value into the “amount” section. 5. Example of adding extra shell on invoice. 6. Example of how to add more then one of the same Shell to an invoice. Add the actual price of the product into “amount” section. Add total value of shells into the “extended” section ( 2x 20= $40). 7. Write in sub-total of the amount of all products on invoice. 8. Add in shipping cost. 9. Tip- Calculate GST or HST on sub-total & shipping where applicable. 10. Calculate PST on Sub-total (if your province uses PST). 11. Add together sub-total, shipping, GST, PST. 12. Copy down credit card type, credit card number, expiration date. Please make sure the customer signs the invoice. If the client is paying with cash or cheque, write down payment type in “card #” area. 13. If you receive a phone order and the customer is paying with a credit card, please get the three digit number off the back of the card in lieu of the customer‟s signature.

Filling Host Incentives List- Example

1. Fill out client‟s name, address, phone number and email address (email addresses are for your personal records, our head office will not compile clients‟ emails). Example of how to write down incentives for the host of the party. Make sure to write down “incentive” beside shell name so we know what they are and not to charge your host. 4. Do not fill in credit card information or price totals. You may write in “Host Incentives”.

Filling Presenter Incentives List- Example

1. Fill out your name. 2. Fill in date of party, name (presenter) and Host‟s name. 3. Write in all clients‟ names that have paid with either cash or cheque and fill in the totals of their invoice. Tally up overall amount of cash and cheques and calculate the total in the “total” section on the lower right hand side of the invoice. This amount will be charged to your credit card. 4. Fill in your (the presenters) incentives. Indicate that they are your incentives so you will not be charged. 5. Copy down your credit card type, credit card number, expiration date and signature. Remember to sign your invoice.

Note: Please do not write your credit card number on every invoice where cash or cheque is used as payment. During CC processing, it is important for us to process only the total of your CC. Processing multiple items to your CC may disable your card.

This is an example of what your master order form should look like.

Steps to filling out Master Order Form 1. In the first row beside „Customer Name‟ write each client‟s name and assign them to their own column. Add in

Host Incentives and HPR Incentives like above by placing “Host Incentives” and “HPR Incentives” in customer‟s name row. If you have more than five clients for one party use another master order form or use this document as an excel spreadsheet and add columns and formulas.

2. List off each order under each name. Enter the amount of each item purchased. If your client “Barb” orders two classic black base bags you would place a two (2) in the corresponding spot.

3. When you reach the bottom of the master order form you will need to fill in the order‟s sub-total, shipping taxes and total.

4. Under the column to the right that states total, mark down the total amount of each shell needed. If all three clients on your list want a Jayma shell then you would enter in a three (3) in the total column (This includes Host and HPR Incentives).

5. Once you have plugged in all of the data into the master order form, you will need to calculate the order form total for all the clients on the particular form. Tally the final total amount of the sub-total, shipping taxes and total located at the bottom right hand side of the table.

6. Once your order is complete, fax your order to 905-438-8641 or toll free to 1-877-977-9097. You may also scan and email your order to [email protected] where we will reply with a confirmation when we receive your order. If you fax your order, you will receive a confirmation via email.

Note: The master order form is supposed to be a summary of your party order

Your Order

Once you have completed your order and have either faxed or emailed it to us, it will be placed in the queue based on date and time received. We then review your order for accuracy and will process the credit card payments. If there is a problem with any credit card in your order it may be due to the following reasons; Declined credit card (A CC will decline if the expiration date is incorrect or there are

insufficient funds). Invalid credit card (It is important that the CC information is written down correctly). We will contact you at this point via phone or email. Your order will be placed on hold until there is a resolution with any credit card issue(s). Once your order has been successfully processed, it is then packed and shipped. With every party order submitted you will receive new invoices, postcards and brochures. We also include retail bags with every order. We recommend that all orders be sent to the HPR for distribution. The size of the order will determine whether we send it by Canada Post or UPS standard service. When you receive your order, please review all items for accuracy. If you have a problem with your order, be sure to email the Account Manager for your province with all the details. Our Account Managers are prepared to help our Representatives resolve the issue quickly.

Incentives

Incentives are one of the most exciting perks for a Representative! Below are a few ways to use your incentives to become the best Representative that you can be!

Use your incentives to build up your Home Party Kit. Having a complete kit will allow the guests to view and feel all the current Shells and accessories. You will have fewer returns when the guest is fully aware of what they are purchasing.

As we retire Shell(s), retire yours. Keep them for your own personal use or sell them.

Once your kits have been built up, use your extra incentives to reward hostesses, or as gifts for special draws.

Reward your hostess if customers at her party have their own party by giving them an additional booking incentive.

Use Shells for charity draws (ask about our charity program).

Your hostess can receive even more incentives! If your hostess has a party and guest(s), book a home party with your hostess they will be eligible to receive a Quick Clip Strap, Adjustable Strap, Black or Brown Chain Straps, Closet Organizer or Purse Organizer. The original hostess will receive their incentive once the subsequent parties have taken place.

*NEW* You may now use the Hope Shell as an incentive. We have heard the buzz and have managed to get creative so that we all benefit and most importantly that Childhood Cancer Canada Foundation benefits. All we ask is that you or your host pays the $5 (plus tax) for every Hope Shell you use as an incentive. This way, we get more Hope shells into circulation and we raise more money for childhood cancer research. Not only are we adding the Miche Bag as an incentive, you will now be able to purchase the Hope Shells with your discount as long as you pay the extra $5 (plus tax) as a donation to the Childhood Cancer Foundation!

Commission

Commission is 20 per cent (or 25 per cent if you have referred five active representatives) of all your net sales (net being the total of sales NOT including taxes or shipping on all orders). Commission is processed and sent out on a monthly basis.

25% Club

What is the 25% Club? The 25% Club is an incentive for Representatives to recruit more Representatives for Miche Canada. For every active Representative that you sign up you will receive $100.00. When you have five (5) active Representatives signed up, your commission will rise to 25 per cent. We have added a new feature to the mix; if a HPR already has their five active HPR‟s and are receiving their 25 per cent commission, we will now award them with $200.00 for every active representative they sign on thereafter. The Rules The rules of the 25% Club are very easy.

You will be awarded your $100.00 bonus for signing up a new rep when they have received their kit and have sent in their first party order. Sending in orders shows that a Representative is still active in the program.

When you have your five representatives, they all must stay active for you to receive your 25 per cent commission (we give four months before we place a Representative on the inactive list). If one of your representatives has moved over to the inactive list, you will have to find a new rep to replace them to keep receiving your extra five per cent commission every month.

When you have your 5 active Representatives and 25 per cent commission, we will reward you with $200.00 per active rep thereafter.

If you are close or already at your goal, it is nice to have a few extra representatives signed up on your behalf. It will help you stay in the 25 per cent bracket longer, as one of your representatives may become inactive.

Out of Town Parties & Applicable Taxes

If you are asked as a Representative to do a party out of your province, you need to charge the applicable taxes for the province that the order is being delivered to. For example, if you live in Ontario and are visiting relatives in Alberta and your cousin would like to host a party, you would charge the Alberta tax of 5% on your orders. Where the order is delivered, determines the tax that should be charged. If you have multiple orders going to different provinces then you must charge the applicable rate for each province.

Retired and Back Ordered Shells

Periodically a Shell will retire and will no longer be available to order. The Shell will officially be “retired” once we have run out of stock. We will give you notice as to how much stock is left of the soon to be retiring Shell. If your customer chooses a retiring Shell, have them pick an alternative shell just in case the stock has depleted at the time the order is placed. Sometimes this transition happens very quickly so you may get a party order back without the retired Shell. Call your customers and have them choose an alternate Shell and add it to your next party order.

When a Shell has been back ordered it means that we are currently out of stock and will be receiving a new shipment of that Shell in the near future. Once the stock has been replenished, we will send out the back ordered Shells.

Gift Cards

We have gift cards available for sale through our Representatives. Gift cards can come in any denomination with a minimum amount of $25.00. Clients can purchase a gift card to give to anyone, for any occasion! The gift card form must be filled in and sent into head office via fax, or scanned and emailed to [email protected]. The gift card will then be sent to you to hand off to the client. Gift Cards will be counted toward your party at the time of purchase. When a Miche Bag customer is redeeming a gift card through you, the amount of the gift card will not count toward your total, however the remaining amount the client pays over the amount of the gift card will be put towards the total. Gift cards can be purchased as a flat amount (i.e. $50) or in the amount of a kit (i.e. $118.65 amount of kit plus shipping and taxes). When a flat rate is being redeemed, the taxes and shipping will be charged at that time.

Consultants may purchase any one Shell at a discounted price (Shells cannot have been

purchased in their original kit or received through the incentives program). These prices do

not include either tax or shipping costs (full shipping costs of $15 will be added if not ordered

through a party). To take advantage of our Representative‟s rates please fill out a Miche Bag

Invoice and submit with party order.

Personal websites advertising the Miche brand and your services are prohibited (Unidem Sales Inc. has exclusive rights to the Miche brand name and it is illegal to use it on personal sites).

Don’t Have a Personal Miche Bag Facebook/Twitter/MySpace Pages

Personal Facebook/Twitter/MySpace pages advertising the Miche Brand and your services are prohibited (Unidem Sales Inc. has exclusive rights to the Miche brand name and it is illegal to use it on personal sites).

Don’t Sell Miche Brand Products via Websites or Non-approved Outlets

Selling Miche brand products on any websites or in non-approved outlets (Unidem has exclusive rights to the Miche brand and distribution).

Don’t Participate in Any Venue Open to the Public

Representatives cannot participate in any of the following; tradeshows, roadshows, flea markets, malls, a church bazaar or any other venue open to the public.

Don’t Interfere with Costco Roadshows or Tradeshows

Miche Bag Representatives should not interfere with our Costco roadshow and/or tradeshows. Please refrain from handing out your business card and promoting home parties at these locations. The road show is a separate program and is not connected to the Home Party Program.

Don’t Add Corporate Email to Your Personal Mailing List

When contacting Miche Canada, please remember not to add our e-mails to your personal mailing list. Although we do enjoy a good joke every once in awhile, our e-mails are strictly for customer service and work related items.

Do Use Printed Materials that are Pre-Approved by Miche Canada

All printed material has to be pre-approved by Miche Canada. We will provide all leaflets and a general business card template to be used by all consultants. You may use the business card template to print at your convenience (found on the back-end of www.michebag.ca; some suggested printing sites are www.vistaprint.com and www.dcp-print.ca . Stamps can also be found on these sites. Make sure that you have included your name, phone number and e-mail when obtaining stamps.

We would kindly ask that if any of our Representatives are participating in any of the non- acceptable actions to please stop immediately. It is very important to Unidem Sales Inc. that we protect the Miche brand and all of our representatives. Corporate displays such as the Costco Road shows and Trade shows are considered living commercials, which are designed to generate brand awareness, and through these events we often collect leads that we pass down to Representatives. Storage & Cleaning of Shells The way you store and clean your Miche Bag will affect its life and how long you will be able to cherish your favourite Shells! This is important for your clients to know. It will make their bags last longer and keep your clients happy.

Storage Storing your Shells in the correct manner is particularly essential to keep your Shells looking their best!

Cleaning

To clean a Shell that has a fabric exterior you may use such products as a “Tide To Go” stick or mild soap and water (make sure you test it first to ensure it doesn‟t affect the colour of the fabric). Another way to protect your Shell is to spray it with fabric protector to seal it before you wear it. Using a fabric protector will normally make it water and stain resistant and will ensure years of enjoyment.

To clean a Shell with a faux leather exterior is as easy as wiping it down with a damp cloth. You can also spray the Shells with either an All-Care protector or leather protector to seal the bag and to help to make it last longer.

Shells should be stored vertically with studs never coming into contact with the “good side” of the shell.

You do NOT want the Shells to be magnetized to each other; this could cause fabric dimpling on the exterior of the Shell.

To take extra care, place a piece of tissue between each Shell to guarantee that there is no scuffing or colour transfer from Shell to Shell. Using our special Miche Bag Prima, Demi and Classic closet organizers will also help keep your Shells in their best condition.

Never fold a Miche Shell into three like a clutch bag, this could stretch the fabric. Fold only once as if it was in the original packaging.

Feel free to scotch guard your fabric Shells as it will provide a protective layer against future spills.

Returns/Exchanges & Warranty Return/Exchanges

Miche Bag Canada allows returns or exchanges within 30 days of purchase of their Miche Bag base bag, Shells or accessories. If your customer would like a refund or exchange please have them send their Bag/Shells with the invoice to: Unidem Sales 8-1288 Ritson Rd N, Box 240 Oshawa, ON L1G 8B2 Please keep the following things in mind for refunds and exchanges: 1. All items must be returned in original condition and in the original packaging with an invoice. 2. Miche Bag Canada does not cover return shipping costs. 3. Refund or exchange requests outside of the 30-day purchase window will not be honoured. 4. Commission on refunded orders will be deducted from your next commission.

Warranty

All Miche Bag products including bags and shells come with a one-year warranty that covers manufacturers‟ defects to zippers, straps, sewing, and carabineers. The warranty does not cover normal wear and tear of the product. If your customer needs a Miche Bag product replaced under the year warranty, as an acting agent for Miche bag please cover the following process. ♥ Ensure that it was purchased within one year (get a copy of the receipt/invoice). ♥ Add the warranty item to your next party order (write up an invoice with customer‟s name, de-scription of problem and when it was originally purchased). ♥ Please take item from client and discard item as you see fit (don‟t worry about sending it back to us).

Hope Shell

The Miche Prima and Classic “Hope” Shells are proud additions to Miche Canada‟s collection. We believe that it is a Shell of true hope and inspiration to everyone. Miche Bag Canada will be donating $5.00 from each Hope shell purchased to the Childhood Cancer Foundation. This Canadian charity focuses on cancer research and support for cancer patients and their families. Since the introduction of the Hope Shell, Miche Bag Canada has raised thousands of dollars. It has been an honour presenting the proceeds to the Childhood Cancer Canada Foundation. With the voices of a few, we salute millions by supporting the fight against cancer. The Hope line of Shells feature inspirational quotes from cancer survivors. You can have the latest ultra-chic Miche Bag designs and know you are helping!

Please note that the Canadian Hope Shells will not have the featured pink ribbon on the front of

the shell. We cannot use the ribbon as it is a trademark of the Breast Cancer Society and the

Canadian trademark laws differ from the U.S.

Charitable Donations

It is exhilarating to see our Representatives active with so many different charitable organizations across the country. Miche Canada would like to help you expand your charitable efforts to include silent auctions and/or raffles! This means that you will have more say in whom and where your Miche Classic Bag donation will go. We will not require that your event be that of a registered charitable organization, which means that local fundraisers and charitable benefits will be approved (includes community events, church bazaars, Jack & Jill‟s, athletic fundraisers, personal fundraisers etc.). To allow the new changes to take place, we have changed the format of approval for your event. Please review the following instructions. In support of the donation to your charitable event, you must provide one (1) of your own base bags and at least two (2) shells, leaflets, a Miche Bag Poster (attached as document to email) and your business card at event. Miche Bag Canada will replace your base bag donation if the following qualifications are met for your event.

A photo is sent to Miche Canada of the Miche Bag displayed in the silent auction or raffle Name of winner or event organizer, telephone number and permission to publish their

information (Telephone number will not be published) A short paragraph on the event and how it went Submission of charity information along with your next party order (replacement bags will

be sent out through party orders only) Only Classic Base Bags will be considered for reimbursement

Once we have received the above information regarding your event we will review your event and if it meets the qualifications we will send you out a new base bag with your next order!
