INVITATIONValley Park School District (the "District") hereby issues this Request for Proposal ("RFP") to contract with a company for Second Shift Custodial Services at its buildings located at 1 Main Street, Valley Park, MO 63088.

Each company submitting a proposal in response to the RFP (a “Proposer”) must have at least five (5) years of extensive experience in providing Second Shift Custodial Services to minimize personnel turnover and ensure continuity of service for the District. If the proposal is accepted, the Proposer and the District shall enter into a contract (“Contract”) for the Proposer to provide the services outlined in the RFP and the proposal.

Each proposal must set forth a plan for the smooth transition of services from the District to the Proposer. Such a plan must include target milestones for providing services. Each proposal must also indicate how the Proposer will provide maximum quality service at each District building. In addition, each proposal shall indicate how the Proposer will maintain a minimal turnover rate for its employees throughout the course of the Contract. Refer to Section VII for more detailed instructions concerning the contents of the proposal.

Proposers must submit complete proposals covering all requirements identified in this RFP package to be considered.

Please include the following in your proposal:1) Describe overall makeup of the project team. Identify the prime Contractor and any subcontractors.

Provide a description of each team group responsibilities and resumes. Provide any additional information about the project team.

2) Show proof of ability to provide insurance coverage. (Attachment #2)3) Provide prime Contractor and contact person for issues. (Attachment #3)4) Potential conflict of interest statement. (Attachment #4)5) List three (3) references including contact person(s) and phone number(s). a) Rates and prices must be for a firm fixed rate and not subject to change throughout the contract once negotiated.

b) Each proposal shall be submitted on the most favorable terms, from a cost and technical standpoint, which the Proposer can submit to the District. Proposers may submit an alternate proposal on a group of line items on an "all or nothing" basis.

11) Include statements signed by authorized individual representing your firm: 12) Respondent has read and agrees to terms and conditions set forth in the RFP.13) Terms and conditions set forth in the proposal will remain open for at least 90 days from the deadline

for submission of proposals.

The District is interested only in those Proposers who maintain the highest quality image and provide the highest quality of service. All proposals will be carefully scrutinized to ensure that such requirements will be met. Any Contract awarded as a result of the RFP process shall be for a one (1) year period with four (4) one (1) year options. All Contract awards will require the approval of the Board of Education of the District.

The Contract shall be effective on or about July 1, 2020 and end on or about June 30, 2021 for the first Contract period. Four (4) additional one (1) year renewal options will be available under the terms of this RFP package.

The written proposal form shall contain the following information: Acceptance of proposal provisions, if not accepted in its entirety, should be noted or an

explanation should be noted or inserted as Exhibits 1 and 2. All attachments must be returned as part of the acceptance.

Each Proposer shall include two (2) copies of the proposal. Proposers must submit complete proposals covering all requirements identified in this RFP package to be considered. All proposals must be submitted in a sealed package(s) with the following information clearly marked on the front of the package:

Late proposals will not be accepted. The District will not hold a public bid opening. If the District is unexpectedly closed on the scheduled bid opening date due to unforeseen circumstances, the bid opening will automatically occur and proposals will be accepted until 10:00 a.m. on the next regular working day. All proposals will be reviewed by District personnel. All Contract awards will require the approval of the Board of Education of the District.

Unauthorized contact by the Proposer with other District employees regarding the RFP may result in disqualification.

GENERAL INSTRUCTIONS Prospective Proposers are urged to read all sections very carefully. All questions must be

submitted in writing via e-mail to the Chief Financial Officer listed above by 2:00 p.m. CDT Mon day, April 20, 2020. Questions submitted after the deadline will not be answered. Unauthorized contact by the Proposer with other District employees regarding the RFP may result in disqualification.

Oral communications cannot be relied upon and shall not be the basis for responding to any part of this RFP. All properly submitted substantive questions will be responded to, in writing, in the form of an addendum to the solicitation.

Failure to submit questions or otherwise seek clarification(s) by the deadline for submitting questions shall constitute a waiver of any potential claim by the Proposer.

Misinterpretation of the specifications by the Proposer shall not relieve the Proposer of responsibility to perform.

BACKGROUND INFORMATIONAs a public school system dedicated to the education of all children who come to our schools, the Valley Park School District works to provide a supportive, personalized environment where students grow strong today in preparation for tomorrow. The District includes an early childhood center, one elementary school, one middle school, and one high school that together serve a student body of 900 on one campus in St. Louis County, Missouri.

PROPOSAL REQUIREMENTS (EXHIBIT A)It is the purpose of the RFP to obtain as much data as possible from each Proposer to enable the District to determine which Proposer is best able to perform the Contract. To this end, each proposal shall contain two (2) separate packages:

Part 1: Technical Data - Qualifications, Work Plan and other Technical InformationPart 2: Cost Data - Cost and Price Information

PART 1: TECHNICAL DATA Each proposal must contain a technical data section which describes the Proposer’s resources and methods of providing services for implementing the requirements of the RFP. The scope and specifications included should be in sufficient detail to ensure that the District is able to rate this section adequately. Elements of the technical proposal section should include details to achieve all of the requirements as identified in Exhibit D (Scope of Services).

A. Desired Structure 1. Organization Paragraph layout and identification should permit easy reading and referencing.

Multiple sections, paragraphs and subparagraphs should be numbered or otherwise identified to assure proper understanding of subordinated topic relationships and qualifying statements or phrases.

2. Format All proposals must be typewritten on plain white paper and each part shall be in booklet form.

3. Packaging Each part of the proposal shall be placed in a separate sealed envelope within the proposal package. The entire proposal package must then be placed in a sealed envelope with the RFP Name, Deadline (date and time) and the name, address and authorized representative of the Proposer plainly marked on the outside of the envelope.

B. Required Content a. Work Plan

1) A comprehensive and realistic work plan and schedule for performing all the tasks in the detailed work program defined in this proposal. All project milestones and timeframes must be identified. Key work products must be identified and approximate timeframes for completion given.

2) Appropriateness and feasibility of the proposed work plan.

b. Qualifications of Firm and Staff1) Information providing the Proposer is professionally qualified for the Contract. Provide the

duration and extent of experience in Custodial Services.2) Include the qualifications of those employees who will be involved in the project and the

percentage of their time which they will spend on the project. On-site management should have a minimum of five (5) years progressive experience in this position and be computer literate. Indicate which persons will be responsible for the management of the work to be performed and how long each has been in a similar position with the Proposer. Include a table of organization for this project showing each person and their respective job descriptions.

3) The District is aware that it is difficult to obtain employees who are dependable, perform quality work, and project an acceptable image. As a result, describe the Proposer’s hiring procedures, including minimum requirements for employment of personnel.

4) Indicate the turnover rate for the Proposer for the last five (5) years and what standards the Proposer will commit to during the course of the Contract to keep that rate.

5) List all penalties associated with high turnover rate on other contracts for similar services to which the Proposer has been a party in the last five (5) years.

6) Describe the Proposer’s training program for all service workers, both new and existing, for both health and safety issues.

7) Describe the availability of additional personnel resources and expertise to support the Proposer’s timely performance of the Contract.

8) Identify how the items listed in Desired Scope of Services will be handled on a timely and efficient basis.

9) List all special services not called for in this RFP that the Proposer performs which make Proposer a better candidate for acceptance.

10) Explain in detail how the Proposer will handle complaints of the District in a timely and responsible manner.

11) Explain in detail the Proposer’s system for quality control.12) The successful Proposer shall be required to furnish all equipment necessary to perform the

tasks as specified in the RFP. Identify the type of equipment and the District building in which the equipment is to be used.

13) Provide a detailed action plan for the smooth transition of services from the District to the Proposer. Such a plan must include target milestones for providing services. Indicate how the Proposer will provide maximum quality service at each District building site and how it will integrate current District employees. Indicate experience on past contracts, how the Proposer works with groups and provide copies of work rules instigated for similar contracts.

14) It is the expectation that the Proposer would hire the current District custodial staff. A list of current staff and their hourly rates is attached (Attachment 10).

15) Provide five (5) current credit references.16) Indicate as to whether the Proposer is a local St. Louis company performing services solely in

this area or whether it performs services in other parts of the country. Identify all owners of the Proposer name and address. If the owner(s) is a corporation of other business entity, identify the state of incorporation and all shareholders thereof who own 20% or more.

17) Give a detailed breakdown of the Proposer’s insurance costs as a percentage of payroll. Example: Worker’s Compensation, General Liability, and Umbrella Costs.

18) Provide copies of any and all permits and licenses required to perform services under the Contract, a Certificate of Corporate Good Standing issued by the Missouri Secretary of State, and a copy of its current license to perform contract services in St. Louis County.

19) Provide proof that the Proposer has at least five (5) years of successful experience and is licensed to provide service in the State of Missouri.

20) List all standard benefits available for the Proposer’s personnel who would be performing services under the Contract.

21) State whether any employees who would be performing services under the Contract are affiliated with a union. If yes, provide details and attach a copy of the assigned union contract with the proposal.

22) Provide detailed copies of employee handbook or specifics regarding employee attendance, work rules, discipline, procedures, overtime, union contracts, administrative days or leave, vacation, and sick leave.

23) Provide a sample contract. Also, if available, provide a copy of at least one contract the Proposer currently has with an entity, preferably an educational institution, where the Proposer provides services similar to those required by the RFP.

c. Other Technical Information Present any other pertinent information which should be known to the District when considering this Proposal.

PART 2: COST DATA Proposers are to indicate the cost for the program services. Each Proposal must contain a cost and price information section which sets forth Proposer’s subsequent cost as defined in Section D (Scope of Services), cost by services provided, if Proposer deems necessary, manpower allocations by services performed, manpower allocations by job function or position title, and salary and benefit levels, travel costs, shared costs for road trips, all subcontractors’ cost (if any) and other details Proposer feels will allow the District to evaluate the proposal’s cost adequately.

a. Cost Information Presentation1) Rates and prices must be for a firm fixed rate and not subject to change throughout the duration

of the Contract.2) Unit prices indicated in the proposal shall include all packaging, delivery charges to destination

and other charges.3) In case of a discrepancy between the unit price and extended price, the unit price will prevail.4) Each proposal shall be submitted on the most favorable terms, from a cost and technical

standpoint, which the proposer can submit to the District.5) Proposers may submit an alternate proposal on a group of line items on an “all or nothing”

basis.6) Provide a sample invoice including definitions of each line item on the invoice.

b. Approved Equal1) In the event the RFP specifies certain types of equipment, supplies or services, a Proposer may

submit a bid for alternative approved equal supplies, equipment and/or services. Such a bid for an alternative approved equal must include the following: (a) brief descriptive data titled “alternate” on the schedule sheet immediately below the item example that is cited and (b) specifications, pictures and complete descriptive literature in attachments to the schedule.

2) Failure to provide this information will result in the rejection of the alternative approved equal bid.

c. Employee Hourly Rates Include the hourly rate which the Proposer will charge the District for each type of employee which may be assigned to perform services under the Contract. In addition, include the hourly rate which the Proposer will pay to each such employee. Such rates must be submitted for both the initial year of the Contract and for any applicable option periods. Such rates shall constitute the regular billing rates and rates for employee time for extras during the term of the Contract. (Note: Custodian(s) shall have a minimum wage of $11 per hour.)

d. Furnished SuppliesThe following items will be furnished by the District and shall not be included in the cost proposal: toilet paper, paper towels, powder or liquid hand soap, fluorescent light tubes and incandescent light bulbs.

PROPOSAL GUARANTY (EXHIBIT B)All proposals submitted in response to this RFP shall provide as security a Proposal Guaranty in the form of a proposal bond, certified or cashier’s check or letter of irrevocable credit in an amount not less than five percent (5%) of the amount of the proposal price. All Proposal Guaranties shall be payable to the District and must be submitted with the proposal as a guaranty that the Proposer will promptly enter into the Contract and execute such bonds that are required if awarded the Contract. All proposal guaranties will be returned to the respective Proposers once the Contract is awarded and a Performance Bond is received from the successful Proposer. Failure of the successful Proposer to furnish the Performance Bond as discussed in Article VII below will result in forfeiture of the successful Proposer’s Proposal Guaranty.

PERFORMANCE BOND (EXHIBIT C)The successful Proposal shall, at its own expense, furnish a Performance Bond satisfactory to the District in an amount equal to each year’s Contract amount payment as a guaranty of good faith on behalf of the successful Proposer that it will comply with all the terms of the Contract. The Performance Bond must be renewed prior to each option year.

SCOPE OF SERVICES (EXHIBIT D)A. General Information for Preparing and Submitting Proposal

1. The Specifications establish requirements for custodial service capable of meeting the prestige cleaning requirements of the District. The specifications request a great amount of detail to avoid delays, misunderstandings, and to simplify the evaluation of the proposal. The Proposer is requested to respond to each specification. Additional information may be required during the final review process from the short listed vendors.

2. Proposer Requirements .The successful proposer is required to make whatever arrangements are necessary to assure that full custodial service is available at the beginning of the Contract startup period.a) The successful proposer shall furnish at their expense all management, support services,

personnel, fringes, custodial, and related items necessary to provide a top quality custodial service to the District as specified. Interviewing, employee selection and employee termination shall be responsibility of the successful proposer in accordance with District hiring practices.

b) Proposed labor and salary changes are to be reviewed and approved in writing by the District administration before changes are made by the successful proposer.

c) Physical status of all custodial service employees shall be in compliance with all local, county, and state health requirements for custodial service personnel.

d) The successful proposer must agree to furnish a properly qualified, full-time custodial service administrator to manage the District’s custodial service program. Interviewing and employee selection shall be the responsibility of the custodial service director in accordance with the District hiring practices and procedures, and selection of management personnel shall be subject to the approval of the District. The successful proposer’s management employees shall submit advance notification of days not physically on duty of the District. Days off to include successful proposer’s functions, state meetings, conferences.

e) The successful proposer shall provide 30 days advance written notice to the District before transferring management personnel.

f) The replacement personnel shall be with the final approval of the District.g) The successful proposer shall manage and supervise all the employees required for the custodial

program.h) All custodial personnel shall be subject to District approval and such health examinations as the

District may be required as established by local, county, and state health requirements.i) The successful proposer shall be responsible for compliance with all federal, state, and local

laws and regulations pertaining to wages and hours of employment of its custodial employees on District premises.

j) The successful proposer shall conduct its operations in the most efficient manner possible consistent with the District’s policies, facilities, and good custodial service practices, subject to all government regulations.

k) Upon conclusion of contract and termination of the custodial service, the successful proposer will vacate the District’s premises and leave the facilities in the same condition as made available to the operator less normal wear. All records for operations and computer equipment and reports shall remain the property of the District, including CD and written reports.

l) The successful proposer must agree that in fulfilling its obligations under the Contract that it will conform all federal procurement standards and use and document competitive procedures for obtaining all goods and services used under the terms of the Contract.

m) The successful proposer shall pay for all royalties and patents, and shall defend all suits of claims for infringement on any patent right, and shall save the District harmless from loss on account thereof.

n) The successful proposer shall agree to comply with the provisions of the occupational safety and health act and the standards and regulations issued thereunder and shall certify that all items proposed will conform to and comply with standards and regulations.

o) The successful proposer shall agree to comply with provisions of the Consumer Product Safety Act and shall certify that items proposed conform applicable standards.

B. General Specifications 1. There are three types of buildings included in this proposal: Education, Central Office, and Support

Operations, of which each type has unique cleaning requirements.2. Daytime custodial work will be the responsibility of the District. The Proposer is asked to provide

second shift custodial services.3. The building principals and District administrators will work with and direct the successful

proposer’s staff on a daily basis in regard to specific tasks to be completed in the buildings.4. The successful proposer shall provide custodial services to the District in the following buildings:

Elementary School including Early Childhood, Middle School, High School, and Central Office.

“The body fluids of ALL persons should be considered to contain potentially infectious agents (germs). The term “Body Fluids” includes: Urine, Blood, Semen, Vomitus, Respiratory Secretions (e.g. nasal discharge from sneezing) feces, and saliva. Contact with body fluids presents a risk of infection with a variety or germs. Direct skin contact with body fluids should be avoided. Gloves should be available to the Custodian and must be worn when hand contact with body fluids is anticipated. Hands are to be washed after gloves are removed.”

Though not specifically stated in the District Policy on “Universal Precautions” other body fluids as listed by the Center for Disease Control that should be included are plural fluids (e.g. fluids that are discharged from coughing), vaginal secretions, and all fluids, wet or dried, on surfaces where there is a possibility it may be a human body fluid.

Custodians are to wear rubber gloves at all times when cleaning restrooms, emptying trash cans, sanitary receptacles and diaper pails – any situation where hands are likely to come in to contact with wet or dried (such as in waste cans) body fluids. Proper and regular hand washing is to be practiced at all times. Hands are to be washed after each cleaning task.

If disposable gloves are used, they are to be discarded and hands washed and dried after each task. If latex (yellow or black) reusable gloves are used they are to be washed after each task – while they are still on the user’s hands.

C. REQUIRED TASKS & FREQUENCIES ALL BUILDINGS

1. RESTROOM CLEANING DAILY

a) Empty all trash and sanitary napkin receptacles, replace liners, as needed, and wipe receptacles clean. Remove trash.

b) Stock towels, tissue, and hand soap. Wipe/polish dispensers as needed. c) Toilets and urinals to be cleaned and sanitized inside and outside including toilet bases. d) Toilet seats to be wiped clean on both sides.e) Scour and sanitize all sinks and counters. Polish bright work.f) Clean and sanitize changing tables. g) Remove splash marks from walls around basins.h) Dust horizontal surfaces, including partitions, top of mirrors, and frames. i) Clean and polish mirrors.j) Sweep or mop floors.k) Spot clean walls and partitions as necessary. This includes removing any graffiti. l) Report any restroom repairs needed to the maintenance department.

WEEKLYa) Wipe all restroom partitions on both sides.b) Pour fresh water down floor drains to refresh water in sewer line.c) Spot wipe walls, light switches, doors, and any other items attached to the walls to remove

fingerprints, smudges, dust, and spills.d) Complete all high dusting, including exhaust fans and vents.

MONTHLY Machine scrub floors and detail clean floors including corners, edges, baseboards, and underneath

furniture. ANNUALLY

Machine strip all tile floors, taking care to get into corners, along edges, and beneath furniture. Rinse, reseal, and refinish all tile floors

2. PUBLIC SERVICE AREAS DAILY

a) Empty all waste receptacles and carefully dump the contents of the receptacle in the waste collection bag. Damp wipe soiled receptacle with a damp disinfectant cloth. Replace plastic liners when used in waste receptacles. Return waste receptacles to original location.

b) Spot-clean glass in doors and partitions and on the inside of windows to remove smudges. Use soft, lint free, clean cloth or paper towel and glass cleaner. Squeegee may be used on entrance panels or doors.

c) Damp clean window ledges, sills, displays, and decorations. Use lightly treated dusting cloths, dusting mitts or labs wool duster. Dust horizontal furniture surfaces.

d) Spot-clean walls, doors, and ledges as needed. Use clean cloth and properly diluted detergent solution in plastic spray bottle. Remove any graffiti daily as required.

e) Vacuum clean the traffic patterns on any carpets (four days each week) and check for spot-cleaning. One day each week, vacuum the whole carpet. Vacuum all entry mats daily.

f) Dust mop smooth floors with a treated dust mop. Sweep rough wood or concrete floors with a push broom.

g) Using a slightly dampened cotton mop, spot-mop floors as necessary, except carpeted areas. Entry areas, lobbies, and vestibules are to be completely damp mopped daily. Clean outside all entry and exit doors including emptying any waste cans. Sidewalks are to have all litter removed.

h) Clean and sanitize sinks and replenish paper towels. Clean and sanitize water fountains.

a) Using lightly treated dusting cloths, dusting mitts, or small dust mop with a short handle, dust vertical furniture surfaces, wall vents, and vertical wall trim.

b) Dust top of any wall hangings, (pictures, thermostats, and items attached to walls).c) In areas which have ceramic, concrete, terrazzo, or resilient file floors, damp mop the complete

areas.d) Buff all resilient floors.e) Dust high areas including ceiling corners, tops of windows, hallway lockers, etc.

QUARTERLYa) Wash and clean inside and outside surface of all perimeter windows (May, August, November,

and February).b) Machine scrub and refinish resilient floors in entry areas and primary corridors.

3. OUTSIDE OF BUILDINGS SCOPE: On a daily and weekly basis Custodial staff will be responsible for cleaning all areas within the sidewalks leading into the buildings as well as a 10 foot radius of all exits not leading to a sidewalk. Custodial staff is also responsible for all outdoor waste cans including those located in parking lots, at outdoor athletic facilities (tracks, basketball courts, etc.), and outdoor classroom spaces. Quarterly, custodial staff will be expected to monitor the full grounds. DAILY

a) Empty all outdoor waste cans near the building entrances and exits. b) Sidewalks and grass areas between sidewalk and the building are to have all litter removed.c) Spot clean entry and exit doors as necessary.

WEEKLYEmpty all outdoor waste cans located in parking lots, near outdoor athletic facilities, and outdoor classroom spaces. It is possible during the athletic season the waste cans near tracks or basketball areas will need to be emptied more frequently.

QUARTERLYa) Wash and clean inside and outside surface of all perimeter windows (May, August, November, and

February).b) Monitor the full grounds and remove all litter. This should be coordinated with building

administration to align with building events such as open houses or parent conferences (July, October, January, and April).

4. OFFICES, LOUNGES, AND CONFERENCE ROOMS DAILY

a) Empty all waste receptacles and damp wipe them as necessary to remove soil. Replace liners as required. Return waste receptacles to original location.

b) Damp wipe/dust clear areas of furniture tops, shelves, sills and ledges. Use treated cloth or dusting mitts. (Dust only horizontal surfaces daily)

c) Clean glass in doors and partitions. Use soft, clean cloth or paper towel with glass cleaner in a spray bottle. Wipe dry as needed.

d) Clean and sanitize any sinks or other restrooms fixtures in offices or work areas in accordance with the restroom cleaning procedure.

e) Dust mop smooth floors with a treated dust mop. Sweep wooden or concrete floors which are too rough to dust mop with a push broom.

f) Using a slightly dampened cotton mop with a mild neutral detergent solution, spot mop all floors (except carpeted floors).

g) Completely damp mop entrance areas.

h) Vacuum clean traffic patterns on carpeted floor four days each week to leave litter free. (Vacuum clean the entire carpeted area one day each week). Spot clean carpet daily.

i) Rearrange furniture as needed. Replace any furniture which you may have moved to clean properly.

j) Replace burned out lights as required, including exit lights. WEEKLY

a) In areas that have ceramic, terrazzo, or resilient tile floors, damp mop the entire areas. Buff entry areas.

b) Completely vacuum carpeted areas. Surface clean heavy traffic lanes in carpet. c) Using a treated cloth, dusting mitt, or small dust mop with short handle, dust vertical furniture

surfaces, wall vents and vertical wall trim. Dust wall hangings and high areas – above doors, window sashes, behind upper corners of draperies, blinds light fixtures. etc.

MONTHLYSpray-buff tile floors in office areas. If there are sealed or otherwise finished concrete floors, they should be buffed monthly.

QUARTERLYa) Clean inside and outside surface of perimeter windows. Surface clean carpeted areas.

b) Scrub and refinish areas which have terrazzo or resilient tile floors which are coated with floor

5. STAIRS DAILY

a) Dust mop using a small treated dust mop where treads are smooth and soil is light. If soil is heavy or abrasive, use a broom. Pick up soil and litter at the bottom of the stairs with a dustpan. Dust handrails and any windowsills or ledges.

b) Replace burned-out light bulbs, exit lights, and fluorescent tubes.c) Spot-clean walls, using diluted detergent solution in spray-bottle and a clean cloth. Difficult-to-

remove marks may be removed by carefully applying degreaser with a damp cloth and rinsing thoroughly with clean water. Always test cleaner first on inconspicuous areas on paint walls.

d) Using a damp cotton mop, spot-mop treads which are heavily soiled. Remove gum and other foreign substances.

e) Vacuum clean carpets and spot-clean as necessary. WEEKLY

a) Completely damp mop treads.b) Dust high areas.

MONTHLYa) Wash handrails with detergent solution and cloth. Use green nylon hand pad where soil will not

come off with detergent solution.b) Wash stair riser with neutral cleaner and a heavy cloth or scrubbing brush to remove soil, scuffs,

and shoe marks.c) Dust high areas for cobwebs, dust, etc.d) Dust wall areas.

6. ELEVATORS DAILY

a) Dust mop hard surface floor of elevator with treated dust mop or vacuum carpet.b) Mop hard surface floors using detergent solution. Rinse these floors with a mop rinsed in clear

water. Spot clean carpet.c) Clean door track with vacuum cleaner, and damp cloth as needed. Rotate brush or broom helps get

dirt out of tracks. Use canister or portable vacuum if available.

d) Damp clean elevator walls and both sides of all elevator doors (every floor) with cloth dampened in detergent solution. Dry with clean dry cloth. SPOT-CLEAN DAILY to remove marks and smudges and completely clean weekly.

7. OPENING & SECURING BUILDINGS DAILY

a) Custodians will be responsible for opening buildings each day and securing each building before final departure. This includes any gates.

b) Contractor will be responsible to pay for re-keying locks if Contractor’s employees lose any keys for building sites.

8. SNOW AND ICE REMOVAL As needed custodians may be asked to assist with snow and ice removal from sidewalks and paved

entry areas when required to ensure safe entry and entrance to all District Buildings.

9. LIGHTS & BULB REPLACEMENT DAILY

a) Replace burned out lights as required, including exit lights. Burnt out fluorescent bulbs to be disposed of are to be placed in cardboard recycle containers provided by the District.

b) Clean ceiling light fixtures and remove bugs and debris as needed.

11. STORAGE AREAS/BOILER ROOMS DAILY

a) Empty and clean waste receptaclesb) Clean up any spills or gross soil.

WEEKLYa) Dust mop smooth floors. Sweep rough wooden or concrete floors.b) Dust horizontal surfaces and open shelving.c) Vacuum clean traffic patterns on carpets. Check for spot-cleaning.

NOTE: The complete damp mopping of floor areas or the buffing of floors should be done only on project basis, as time allows; at most every 2 months.

12. SET-UP AND TEAR DOWNSa) Contractor is responsible for set up and take down for conference rooms, gyms, and lunchrooms for

meetings. (Move tables, set up chairs, etc.)b) This also includes the set-up and take down for conference rooms for student activities.c) Contractor will be notified of these needs as far in advance as possible. However, needs may arise

with limited notice.

13. DAILY POLICING WHILE BUILDING IS OCCUPIEDEducation Buildings may require more frequent restroom policing. Night classes or night activities in schools may require policing also. At Education Buildings it is often necessary to empty waste cans and diaper pails several times.

1. Entrances, Lobbies, Halls, and Other Public Areas a) Sweep outside steps or nearby sidewalk to keep soil away from door.b) Keep matting and runners clean and dry at entrance. Use vacuum, if necessary. Spot-mop these

areas to remove tracked-in water or soil. (These are very important jobs. Use wet floor signs for safety).

c) Keep waste receptacles emptied as required.d) Pick up any items that have been dropped on floors.e) Damp/wet clean any spillage or soiled spot on hard surface floors with a mop. Spot-clean on

carpets.

f) Spot clean walls as necessary. g) Remove graffiti from building surfaces as required, inside and outside.

2. Restrooms a) Empty filled restroom receptacles as required. Replace trash liners as required. b) Check paper dispensers for refill. Do not stack extra towels on sink or ledges.c) Spot-clean soiled basins, toilet seats, or any other fixtures or partitions.d) Clean and disinfect any spillage or soiled spots on the floors.e) Spot clean walls as necessary.

3. Cafeteria and Lunchrooms (During Lunch) a) Sweep and police spills and major pieces of litter from the floor.b) Move furniture as necessary to gain access to soiled places.c) Take out waste receptacles or liners when lunch is over, and clean waste cans when the garbage has

been picked up.d) Prepare area previously indicated for school activities after lunch period.e) Spot clean walls as necessary.

4. Outside a) Police sidewalks, grassy areas next to buildings.b) Empty and clean outside waste cans.

NOTE: Emergency clean-ups may cause certain items scheduled to be missed. However, restroom areas and safety related duties should always be attended to.

D. REQUIRED TASKS & FREQUENCIES EDUCATION BUILDINGS

The District’s education buildings are Elementary School, Middle School, and High School. In addition to the frequencies and tasks listed under All Buildings, the requirements below also apply to these buildings:

1. STAFFINGEducation Buildings must be staffed to the levels necessary to fulfill the expectations outlined in this RFP. Staffing level will be agreed upon by the District and Contractor. However, during the school day at least 1 full time and 1 part time custodians must be present when students are in attendance.

2. CLASSROOMS DAILYa) Empty all waste receptacles. Spot clean soiled receptacles. Replace plastic liners when used in waste

receptacles. Sanitize containers used for soiled diapers.b) Spot-clean glass in doors and partitions and the inside of windows to remove smudges.c) Daily spot-clean tops of desks.

d) Dust exposed window ledges and sills. e) Dust horizontal furniture surfaces. f) Spot-clean walls, doors, and ledges as needed. Special attention should be paid to spot cleaning

walls near trashcans. g) Vacuum clean carpets and check for spot-cleaning. One day each week detail vacuum the whole

carpet. It is imperative that carpet is thoroughly vacuumed and spot cleaned in Education Buildings as students play and lie on the floor. Carpet must be shampooed with a sanitizing solution as required for removal of any bodily fluids.

the floor beneath tables, cabinets, and behind refrigerators. d. Quarry tile floors are to be cleaned with degreaser as indicated. Resilient tile and poured floors are

to be damp mopped daily with neutral cleaner. Note: Exhaust fans and vents are to be cleaned monthly.

6. AUDITORIUMS/MULTIPURPOSE ROOMS DAILY

a) Waste and litter should be removed daily, and any soil on the floor or walls should be removed daily.

b) Floors should be dust mopped daily.c) Seats should be dusted only as needed or before special events, and other horizontal surfaces should

be dusted daily as needed.d) Carpeting and fabric upholstery should be vacuum cleaned.e) Mopping must occur at least weekly and buffing at least monthly.

7. GYMNASIUMS a) Cleaning of gymnasiums has to be scheduled around use for school activities, including after school

use and use by outside groups.b) Gyms must be cleaned after any night activity and readied for next school day. At times this may

require more than one cleaning per day. This includes sweeping, spot-mopping, and dusting horizontal surfaces.

c) Gyms with tile, resilient, and/or plastic floors are to be dust mopped and damp mopped daily as children have activities that require then to sit and lie on floors. Periodic cleaning is to be completed using floor care procedures as described for public service areas.

d) Gymnasiums with finished wood flooring are to be dust mopped daily and all scuff marks and foreign substance removed. Any wet cleaning must be done using chemicals and methods.

e) Trash to be removed daily f) Additional set ups are for graduation, assemblies and other meetings as scheduled.

8. LOCKER ROOMS DAILY

a) Empty and clean all waste receptacles. Sanitize or replace plastic trash bags as appropriate.b) Damp clean benches, furniture and lockers with a wet cloth with cleaner-disinfectant solution.

Rinse the cloth in clear water.c) Spot-clean walls, furniture and lockers.

c) Spot-clean walls, doors, and ledges as needed. Use clean cloth and properly diluted detergent solution in plastic spray bottle.

d) Spot-clean glass in doors and partitions and on the inside of windows to remove smudges. Use soft, lint free clean cloth or paper towel and glass cleaner. Squeegee may be used on entrance panels and doors.

e) Vacuum all carpeted areas and entry mats. Check for spot cleaning.f) Clean and sanitize all sinks, countertops and replenish paper towels. Clean and sanitize water

fountains.

g) Rearrange furniture as needed. Replace any furniture which you might have moved in order to clean.

h) Replace burned out lights as required, including exit lights. WEEKLY

a) Using lightly treated dusting cloths, dusting mitts, or small dust mop with a short handle, dust vertical furniture surfaces, wall vents and vertical wall trim.

b) Dust top of any wall hangings, (pictures, thermostats, and items attached to walls).c) Dust high areas including ceiling corners, tops of windows, hallway lockers, etc.

H. SUMMER CLEANING-SCHOOL BUILDINGS The following cleaning duties must be completed after the end of the normal school year and before the start of the next school year. In some buildings there is summer school for a portion of the summer and work has to be scheduled to cause least disruption.

a) Cleaning of all light fixtures, removal of the bulbs, clean the fixtures, replace bad bulbs or tubes with new ones, implement work orders to repair the lights that do not work.

b) Clean all interior windows, window frames, doors, door jams, and shelving. Wash and clean built-in cabinets, inside and out.

c) Wash all exterior windows, doors, and door frames.d) Wash all walls from the ceiling to the floors.e) Wash all hard surface furniture in the building. This includes the removal of all gum from the

bottom of desks, washing the desks on the bottoms, inside, outside and the entire surface. Also, the furniture shall be removed from the rooms and moved into the hallways.

f) All the tile floors are to be stripped and buffed before the laying of wax, three coats of wax, and buffed between each coat of wax. The furniture is to be replaced in the rooms as they are thoroughly cleaned.

g) Concrete floors are to be stripped, two coats of concrete sealer to be applied, and the furniture replaced.

h) All restrooms are to be sanitized from the ceiling to the floors, and all build-up on the fixtures shall be removed, and all restrooms fixtures shall be sanitized.

i) All tile and terrazzo floors are to be stripped and refinished. A minimum of three coats of finish applied, and buffed before furniture is returned.

j) All carpets are to be shampooed, concrete hallways are to be stripped and sealed.k) All cafeteria furniture is to be cleaned, top and bottom.l) All cafeteria walls, windows and doors are to be washed.m) All entrances to the buildings are to be kept clean and presentable at all times.n) All glass around the entrances us to be kept clean on an ongoing basis.o) All classrooms that are being used for summer school are to be cleaned on a daily basis.p) Set-ups are to be made for programs that are scheduled in the buildings.q) Restrooms that are used for the summer programs are to be cleaned daily. The unused restrooms

shall be treated weekly.r) Office areas that are being used by the office staff and teachers are to be cleaned daily.s) Scheduling of staff for the late use of buildings in the summer months for outside activities may be

required.t) Cleaning of the boiler rooms and receiving areas (including the cleaning and sealing of the boiler

room floors).u) Moving of the furniture from one area of the building to the other as directed by the principals.v) Clean out all lockers, inside and outside.w) Change all combinations on all lockers and record locker numbers.x) Clean all storage areas and custodial closets, and restock custodial closets.y) Communicate with management on a daily basis as to the cleaning process or emergencies that

might arise.z) Always be security conscious of persons coming into and leaving the buildings. aa) Remove black marks from all hardwood floors and buff the floors. Wash and clean under

bleachers.bb) Wash all trash containers inside and outside.cc) Shampoo all upholstered furniture and fabric partitions.dd) Shampoo and clean all District owned entry floor mats.ee) Refinish gymnasium floors at the Technical Schools.ff) Clean all venetian blinds.

I. ADDITIONAL REQUIREMENTSa) Custodians will be responsible for any furniture or equipment moves within District buildings. This

includes the movement of entire classroom contents. b) At times there is need for custodial service on weekends and holidays. Contractor must indicate

their hourly rate for providing such service. Contractor must guarantee that staff are available for weekends. These weekend requirements affect both District activities and community activities.

c) Construction clean up as needed at building sites.d) Additional window cleaning as needed.e) Emergency clean up in buildings as needed.f) The District desires annual training and certification for head custodians and custodians for forklift

certification and safety, asbestos adherence training, annual in-service on safety requirements, health issued, electrical equipment use, and material safety data sheets. Contractor to indicate how this needed training will be handled for their employees. Proof of such training must be available at all times for District review. Fire prevention training must be conducted and what to do in event of fire is required training for all custodians.

g) If any time during the contract term, the service performed or work done by the Contractor is considered by the District to create a condition that threatens the health, safety, or welfare of the community, the Contractor shall on being notified by the District, immediately correct such deficient service or work. In the event of failure of the Contractor to deliver services in accordance with the contract terms and conditions, the District after due oral or written notice may procure the services from other sources and hold the Contractor responsible for any resulting additional purchase and administrative costs. This remedy shall be in addition to any other remedies that the District may have.

h) The Contractor shall institute and maintain throughout the contract period a properly document quality control program designed to ensure that the services are provided at all times and in all respects in accordance with the Contract. The program shall include daily supervision and conducting frequent inspections of the Contractor’s staff and ensuring that accurate records are maintained describing the disposition of all complaints. The records so created shall be open to inspection by the District.

CONDITIONS (EXHIBIT E)1) GENERAL

The following general information is provided and shall be carefully followed by all Proposers to ensure that the proposals are properly prepared.

a) Each Proposer must furnish all information required by the RFP. The person signing the proposal must initial erasures or other changes. Proposals signed by an agent of the corporation must be accompanied by evidence of his or her authority.

b) The District reserves the right to conduct discussions with qualified Proposers in any manner necessary to serve the best interest of the District.

c) UNDUE INFLUENCE The Proposer shall not, under penalty of law and immediate disqualification of the proposal, offer or give any gratuities, favors or anything of monetary value to an officer, employee, agent, Board of Education member, Governing Council member or Parent Advisory Council member of the District for the purpose of influencing favorable disposition toward a submitted proposal or for any reason while a proposal is pending or during the bidding process.

d) COMPETITION No Proposer shall engage in any activity or practice, by itself or with other companies, the result of which may be to restrict or eliminate competition or otherwise restrain trade. Violation of this instruction will result in immediate rejection of the Proposer's proposal.

e) DISCLOSED DATA All materials submitted become the property of the Valley Park School District. The District understands that proposals may contain data that the Proposer does not want used or disclosed for any purpose other than evaluation of the proposal. However, any and all information submitted to a Missouri public school district is subject to the Missouri Sunshine Law and subject to disclosure upon request. The District will attempt to provide you notice of any Missouri Sunshine Law requests seeking disclosure of the information you submitted prior to disclosure. However, given that the District is obligated to make open records available to the public within three (3) business days, you herein agree and acknowledge that the District bears no responsibility not to disclose such documents upon request. Finally, the District retains no responsibility on behalf of you or your organization not to disclose the information. Rather, should you choose to do so, it is your sole responsibility to work to enjoin the disclosure of the records you submit without the involvement of the District, its board, administration, agents, assigns, stakeholders, students, student’s families’, and/or employees.

f) ELECTRONIC OFFERS Electronic or facsimile offers will not be considered in response to this RFP, nor will modifications by electronic or facsimile notice be accepted.

g) WITHDRAWAL Proposals may be modified or withdrawn by written notice or in person by a Proposer or its authorized representative, provided its identity is disclosed on the envelope containing the proposal and such person signs a receipt for the proposal, but only if the withdrawal is made prior to the Deadline.

h) EQUAL EMPLOYMENT OPPORTUNITY The District is an equal opportunity employer and does not discriminate on the basis of race, color, sex, age, physical or mental disability, national origin, religion, disabled veteran status or Vietnam era veteran status.

i) INSURANCE REQUIREMENTS Proposer must sign and return a copy of Attachment #1 indicating ability to meet insurance requirement levels. Details included in Attachment #1, Insurance Requirements.

j) BARRED LIST. By submitting a proposal, the Proposer certifies that it is not currently barred or otherwise prohibited from submitting proposals for contracts to any political subdivision or agency of the State of Missouri and it is not an agent of a person or entity that is currently barred or otherwise prohibited from submitting proposals for contracts by any political subdivision or agency of the State of Missouri.

) CONFLICT. In the event of a conflict between the proposal and the RFP, the District shall resolve any inconsistency in favor of the RFP and provide written notice of it to the Proposer. Additionally, the District shall in good faith decide all inconsistencies and/or disputes pertaining to the Contract, the RFP and the proposal. The Proposer agrees to abide by the decisions of the District.

2) TERMINATIONa) TERMINATION FOR CAUSE The District, in its discretion, may terminate the Contract in whole or in part at

any time, whenever it is determined that the successful Proposer has failed to comply with or breached one or more of the terms and conditions of the Contract or specifications incorporated therein and the successful Proposer has failed to correct such failure or breach to the District's satisfaction within a period of 15 days after receiving written notice thereof from the District. In the event of the partial or total termination of the Contract, it is hereby agreed that the District shall only be obligated to pay in accordance with the terms of the Contract for materials and services, which have been accepted by the District.

b) TERMINATION FOR CONVENIENCE The District may terminate the Contract without cause by notifying the successful Proposer in writing 30 days prior to the effective date of termination. The successful Proposer shall not incur new obligations after the effective date of termination and shall cancel as many outstanding obligations as possible.

c) TERMINATION FOR NON-APPROPRIATION In the event the Board of Education of the District fails to approve the appropriation of funds sufficient to provide for the District's obligations under the Contract, or if the funds are not appropriated due to federal, state or local action, the District shall have the right to terminate the Contract by providing written notice to the successful Proposer and the District will thereby be relieved from all further obligations under the Contract.

3) CONFLICT OF INTEREST The successful Proposer must agree that under no circumstances shall a member, officer or employee of the District, the Board of Education, or the Governing Council during his/her tenure and for one year thereafter be permitted to participate in the Contract, or any part thereof, or to derive any benefits therefrom.

4) INSPECTION OF RECORDS During the term of the Contract and for a period of 36 months after the termination of the Contract, the successful Proposer shall make available for the inspection, examination and audit by the District or its agents, the records of all costs of and disbursements for providing services pursuant to the Contract, and all books, accounts, memoranda and any and all other documents of the successful Proposer or any affiliated organization, indicating and substantiating the cost of any and all expenditures related to the performance of the Contract, to assure compliance with this requirement. The successful Proposer shall grant the District access to such records upon 72 hours written notice from the District.

5) INDEPENDENT CONTRACTOR It is understood that the successful Proposer is an independent Contractor supplying services to the District. Neither the successful Proposer nor its employees shall represent themselves to be employees, agents, representatives, partners or joint ventures of the District for any purposes whatsoever.a) The successful Proposer shall comply with all federal, state and local laws, regulations and ordinances,

including but not limited to, the compliance with all employment tax requirements for withholding and all applicable state and federal employment and workers' compensation laws. The District shall not withhold taxes from the successful Proposer's compensation. The District shall not be construed to be the successful Proposer's employer, nor be held liable for any obligation as an employer.

b) The successful Proposer will be required to assume full responsibility for the faithful execution of all the services outlined in their proposal. Special School District of St. Louis County will consider the successful Proposer to be the prime Contractor and the sole point of contact with regard to contractual matters, including payment of any and all charges relating to this contract.

6) ASSIGNMENT The Proposer’s obligations under the proposal or the Contract shall not be assignable or transferable without the written consent of the District.

7) TAX EXEMPTION The District is exempt from the payment of City, State, and Federal Taxes. Such taxes must not be included in the Proposal price.

DISTRICT RIGHTS (EXHIBIT F)

1) REJECTION OF PROPOSALSa) The District reserves the right, at its sole discretion, to reject all proposals that it receives because of this RFP.

The District also reserves the right to waive informalities and minor irregularities in those proposals received, and retains the right to negotiate separately with any source whatsoever, in any manner necessary, to serve the best interests of the District. The District will, at its discretion, award the contract to responsible vendor(s) submitting the best proposal that complies with the RFP.

2) LIABILITY AND RESERVED RIGHTS a) The District is not liable for any costs incurred by the vendor prior to the issuance of any agreements,

contracts or purchase orders, and will not pay for information solicited or obtained in response to the RFP. The information obtained will be utilized solely to determine the suitability of the products or services offered. Subsequent procurement, if any, will be in accordance with appropriate rules and regulations.

b) This RFP does not commit the District to pay any cost incurred in the preparation or submission of any proposal or to procure or contract for any services. The District reserves the right to amend this RFP by an addendum issued up to five (5) business days prior to the date set for receipt of proposals. Addenda or amendments will be mailed or faxed to all vendors who have procured copies of the RFP. If revisions are of such a magnitude to warrant, in the District’s opinion, the postponement of the date for receipt of proposals, an addendum will be issued announcing the new date.

3) AWARD TIME The District contemplates awarding the Contract within 90 calendar days from the Deadline for Proposals. Should the award of the Contract be delayed in whole or in part beyond the period 90 calendar days, such award shall be conditioned upon the Proposer's acceptance.

4) CONTRACT AWARD The Contract will be awarded to that Proposer whose proposal will be most advantageous to the District based on conformity to the RFP, reputation of the Proposer, cost and other factors. The award will be subject to approval by the Board of Education.

5) INTERVIEWS After reviewing all submitted proposals, the District may conduct interviews with any, all or none of the Proposers. Those Proposers who are interviewed will then have the opportunity to submit best and final proposals to the District. The District may, at any time, and in its sole discretion, interview any of the Proposers.

6) NEGOTIATION The District reserves the right to negotiate Contract terms with any, all or none of the Proposers. After reviewing all submitted proposals, interviewing Proposers and receiving best and final proposals from selected Proposers, the District shall begin negotiation of the final Contract terms with the Proposer whose proposal is deemed most advantageous by the District. If negotiation does not result in mutual agreement of terms, the District may commence negotiations with a second Proposer, and so on.

a) The District reserves the right to recommence negotiations with any Proposer, regardless of whether negotiations have ceased or the District has commenced negotiations with a second Proposer.

b) The District reserves the right to enter into arrangements to acquire the same or competing services from other sources.

c) The District reserves the right to negotiate final Contract terms with any Proposer, regardless of

whether such Proposer was interviewed or submitted a best and final proposal.

d) The District reserves the right to hold negotiations in an attempt to clarify and qualify terms of any proposal.

e) The District may accept any proposal as submitted whether or not negotiations have been conducted between the parties

f) Neither the commencement nor cessation of negotiations shall constitute rejection of the proposal or a counteroffer on the part of the District.

g) Initial proposals may not be withdrawn for 90 calendar days from the Deadline for Proposals except with the express written consent of the District. If a proposal is accepted as submitted, the negotiated final Contract shall consist of the Contract, this RFP, plus any addenda thereto, and the Proposer's proposal.

h) In the event the Contract initially awarded by the District is terminated for any reason within 120 days of the Deadline for Proposals, the District reserves the right to negotiate and accept any other submitted proposal.

7) ALTERNATE OFFER The District reserves the right to accept other than the lowest cost proposal if an alternate proposal is considered to be more advantageous to the District based on factors other than cost, at the sole discretion of the District.

8) REJECTION/WAIVER The District reserves the right to reject any or all proposals and to waive informalities and minor irregularities in proposals received. The District, in its sole discretion, will determine whether an irregularity is minor.

9) SPECIFIC LIMITATIONS The District may accept one part, aspect or phase, or any combination thereof, of any proposal unless the Proposer specifically qualifies its offer by stating that the proposal must be taken as a whole.

10) REMOVAL FROM MAILING LISTS The District reserves the right, in its sole discretion, to remove from mailing lists for future RFP's for an indeterminate period, the name of any Proposer for any reason.

11) REDUCTION IN SCOPE OF WORK In the event the District decides to make a minor reduction in the scope of the work of the Contract due to a change of conditions, the District shall notify the successful proposer of such decision in writing at least 30 days in advance and the Contract amount shall be equitably adjusted.

12) PRE-CONTRACT EXPENSES The District shall not be responsible for any pre-Contract expenses of any Proposer, including the successful Proposer, incurred prior to the commencement of the Contract.

13) REVIEW SERVICES The District reserves the right to periodically review and inspect the services performed by the successful Proposer.

ATTACHMENT 2 – INSURANCE REQUIREMENTS (EXHIBIT G)Contractor shall, unless otherwise approved in writing by District, obtain and maintain throughout the duration of this Agreement (or as otherwise specified) insurance written through a company duly authorized to conduct business in the State of Missouri and with a A.M. Best Rating of A, financial size VI or higher and of the types and in the amounts described below.

1. Commercial General Liability Insurance . Commercial general liability ("CGL") in the amount of $1,000,000 each occurrence/ $2,000,000 aggregate. If such CGL insurance contains a general aggregate limit, the policy shall be endorsed so that the aggregate limit applies separately to each Project authorized hereunder. a. CGL insurance shall cover liability arising from but not limited to premises, operations,

independent Contractor, products-completed operations and personal injury and advertising liability and liability assumed under an insured contract (including the tort liability of another assumed in a business contract).

b. DISTRICT shall be included as an insured under the CGL, using an ISO Additional Insured Endorsement. This insurance shall apply as primary insurance with respect to any other insurance or self-insurance programs afforded to, or maintained by, District.

2. Business Auto Liability Insurance. Business auto liability and, if necessary, commercial umbrella insurance with a limit of not less than $1,000,000 each accident. Such insurance shall cover liability arising out of any auto (including owned, hired, leased/rented and non-owned autos).

3. Workers Compensation Insurance. Workers' compensation and employer's liability insurance. a. The employer’s liability limits shall not be less than $ 1,000,000 each accident for bodily injury

by accident and each employee for bodily injury by disease. b. The alternate employer endorsement shall be attached showing District in the schedule as the

alternate employer. c. Worker's compensation limits shall not be less than the statutory limits.

4. Excess Umbrella Insurance . Excess umbrella liability insurance with a limit of not less than $ 1,000,000 in excess of the above liability policies.

5. If the policies require an endorsement to provide for continued coverage where there is a waiver of subrogation, the Contractor shall cause such policies to be so endorsed.

6. By requiring the insurance as set out herein, District does not represent that coverage and limits will necessarily be adequate to protect Contractor, and such coverage and limits shall not be deemed as a limitation on Contractor’s liability under the indemnities provided to District in this Agreement, or any other provision of the Contract Documents.

7. Prior to commencing the work, Contractor shall furnish District with a certificate(s) of evidence of insurance (ACORD Form 27 or equivalent), executed by a duly authorized representative of each insurer, showing compliance with the insurance requirements set forth above. a. The words "endeavor to" and "but failure to mail such notice shall impose no obligation or

liability of any kind upon the company, its agents or representatives" shall be deleted from the cancellation provision of all certificates provided by Contractor.

b. Failure of District to demand such certificate or other evidence of full compliance with these insurance requirements or failure of District to identify a deficiency from evidence that is provided shall not be construed as a waiver of Contractor’s obligation to maintain such insurance.

8. District shall have the right, but not the obligation, to prohibit Contractor from entering the Project site until such certificates or other evidence that insurance has been placed in complete compliance with these requirements is received and approved by District.

9. Failure to maintain the insurance required in this Section may result in termination of this Agreement at District’s option. District may, but is not obligated to, obtain any insurance required hereunder and not maintained by the Contractor and charge the cost thereof to Contractor.

10. With respect to insurance maintained after final payment in compliance with a requirement above, an additional certificate(s) evidencing such coverage shall be promptly provided to District when requested.

11. Contractor shall provide certified copies of all insurance policies required above within ten (10) days of District’s written request for said copies.

12. Contractor shall include the above requirements for types of insurance requirements in all of its subcontracts, if any. Limit amounts for subcontractors may be less than those set forth above, upon written agreement of District. Contractor shall be responsible for collecting certificates of insurance and monitoring insurance coverage of its subcontractors to verify that the required coverage is maintained as required. All Subcontractors providing professional services shall be required to provide professional liability insurance. In addition, all subcontracts shall include a similar indemnification of District as provided in this Agreement.

13. District reserves the right to request Contractor to obtain additional insurance and limits on individual Projects authorized hereunder. Contractor shall endeavor to obtain such insurance as soon as possible after such request and advise District if the Contractor will be required to pay any additional premium. If so, the District shall pay such additional premium in excess of the premium for the above insurance. If Contractor cannot obtain such additional insurance, District may terminate this Agreement in full or in part upon notice to Contractor.

ATTACHMENT 8 – FEDERAL WORK AUTHORIZATION (EXHIBIT M)

Pursuant to Missouri Revised Statute 285.530, all business entities awarded any contract in excess of five thousand dollars ($5,000) with a Missouri public school district must, as a condition to the award of any such contract, be enrolled and participate in a federal work authorization program with respect to the employees working in connection with the contracted services being provided, or to be provided, to the District (to the extent allowed by E-Verify). In addition, the business entity must affirm the same through sworn affidavit and provision of documentation. In addition, the business entity must sign an affidavit that it does not knowingly employ any person who is an unauthorized alien in connection with the services being provided, or to be provided, to the District.

Accordingly, your company:

a) agrees to have an authorized person execute the attached “Federal Work Authorization Program Affidavit” attached hereto as Exhibit A and deliver the same to the District prior to or contemporaneously with the execution of its contract with the District;

b) affirms it is enrolled in the “E-Verify” (formerly known as “Basic Pilot”) work authorization program of the United States, and are participating in E-Verify with respect to your employees working in connection with the services being provided (to the extent allowed by E-Verify), or to be provided, by your company to the District;

c) affirms that it is not knowingly employing any person who is an unauthorized alien in connection with the services being provided, or to be provided, by your company to the District;

d) affirms you will notify the District if you cease participation in E-Verify, or if there is any action, claim or complaint made against you alleging any violation of Missouri Revised Statute 285.530, or any regulations issued thereto;

e) agrees to provide documentation of your participation in E-Verify to the District prior to or contemporaneously with the execution of its contract with the District (or at any time thereafter upon request by the District), by providing to the District an E-Verify screen print-out (or equivalent documentation) confirming your participation in E-Verify;
