A popular new charity was born when Rachel Jenkinson, from Otago, decided

to get a few people together and make special birthday cakes for sick children. Two years on and Operation Sugar has more than 500 bakers; executive and pastry chefs as well professional cake decorator volunteers on its books, including some of the country’s top chefs and culinary artists. Between them, they’ve presented over 350 very sick Kiwi kids, many of them in hospital, with the birthday cake of their dreams. These are no ordinary cakes, but huge colourful works of culinary art, fabulously decorated in realistic imagery bringing each sick child’s specific fairytale dream alive.

This extremely caring southern angel with an eye for detail of delight was not about to stop there. She has also managed to round up over 300 professional photographers to volunteer their services to record that special moment of awe and delight on the face of each child. This is the most precious gift she can give to families of sick kids who have unfortunately died. “It’s just so nice for them to have a professional photo to look back on,” she says.

Volunteers are passionate about the cause and ensure every little feature is included to make their cake extra special for the child. Many have been known to work well into the wee small hours, even through the night, to finish the cake on time - in addition to their fulltime jobs.

Playing down her own cake making talents, Jenkinson has been “blown away” by the calibre of cakes, like the giant Spider-Man cake made recently by Kevin Martin from Chocolate Earth in Auckland. Rachel says, “We got a request with only two weeks to spare and he was very busy, but said he would squeeze something

in. It was the same size as a real Spider- Man torso with LED eyes that light up. A cake like that would retail for more than $1000. It was absolutely amazing. We get the odd one like that that really humbles me.”

Recent birthday for Alina had a two tiered chocolate mud with her favourite pets, horse and dogs in chocolate adorning the cake. She is pictured with the

remaining top layer, too pretty to eat. The bakers, were the winner of TV3 New Zealand’s Hottest Home Baker Paula Midgley and Cake decorating instructor Jane Sparnon, who have joined forces and established an exciting new cake business PaulaJane Cakes in Kumeu. look at it would be to eat.

Hats off to Rachel works who works tirelessly at her many charitable projects and was nominated for Next magazine’s Woman of the Year award, in which she was named a well-deserving finalist last year. She also won the Pride of NZ award in August for Community Spirit in the South Island, a well-deserved award!

A bit of water has now flowed under the bridge since the

transition from LAQC’s to Look Through Companies. Many investors saw significant advantages in the LAQC but it rose to popularity at a time when properties could be depreciated and interest rates were extremely high meaning that tax losses were the predominant outcome for debt funded properties.

So given that things have substantially changed, how does the Look Through Company compare with the simple Partnership for those embarking on their first leveraged property investment?

The key thing about a Look Through Company is that it is a transparent entity for tax purposes. This means its loss or profit is accounted for by its shareholders. One of the common misconceptions of the Look Through Company is that it does not necessarily offer any additional deductions over those that would be available if the same property investment was structured in a Partnership.

The same basic costs will be incurred and deducted regardless of which structure is chosen.

One significant drawback of the Look Through Company is that it contains a loss limitation rule that requires a calculation to be made annually known as the “basis calculation”. This is designed as an anti-avoidance measure and tasks the investor to prove that they have more funds invested and at risk in

the Look Through Company than the tax losses they seek to claim.

No such requirement exists for a Partnership.

There are also issues emerging for Look Through Companies that are insolvent and looking to liquidate where money owed to the shareholders can trigger taxable remission income if the debts, including shareholder loan accounts, are effectively written off on wind up.

This problem is also avoided with the use of a Partnership. A Partnership is also straight forward to establish. It is simply two people operating in common with a view to profit. There is nothing to create other than an application for Partnership IRD

number which enables the tax department to track the splitting of profits or losses from the Partnership. It can be operated with a standard joint bank account and has very little set-up cost.

Look Through Companies can still offer advantages as a restructuring tool. In a situation for example where a couple have accumulated equity in their own home and rather than sell it, transition it to become a rental property at a time when they are buying a replacement home for themselves.

Restructuring to sell the old property to the company can derive better debt structuring arrangements and an overall more tax efficient outcome. This type of restructuring is more problematic with a Partnership because changes of ownership amongst partners don’t necessarily result in refinancing opportunities.

The Look Through Company also allows for profits and losses to be flowed in accordance with shareholding, this may be an important consideration where shareholders incomes are in different tax brackets.

The Look Through Company does have the advantage of limited liability protection which means that the individual shareholders are protected from commercial difficulties within the company itself.

For simple property investment though, this limited liability protection may be of limited value. Any bank lending will generally be secured against the property and supported by guarantees from the shareholders anyway, and it’s very difficult to see many practical situations where limited liability protection would offer anything substantially better than a Partnership arrangement.

Partnerships though, do have each partner subject to joint and several liability. This means that each partner is liable for all partnership debts and for this reason, in the business environment, companies are seen to have an edge.

At acquisition, often not much thought is given to the issues associated with bringing an end to a structure. A Partnership can be wound up simply though distribution of its assets and filing the final tax return. Companies however, must go through formal liquidation processes which can be costly and procedural to administer.

Whilst the ultimate answer of what structure is best will come down to the specific needs of the individuals and the assets they are looking to hold within the structure, it’s certainly appropriate to consider the merits of the tried and true Partnership against the relatively new alternative of the Look Through Company.

With the election safely behind us, the property market

is re-energised in the run up to Christmas. Peter Thompson, Managing Director of Barfoot & Thompson stated that “At 1765, October’s new listings were the highest in a month for 12 months, and eased the shortage of properties for sale. At month-end we had 3267 properties on our books, the highest number since July. While the average selling price in October was within $2,600 of that for the previous month, the median price increased by $20,000 to $655,000, the highest median price ever.”

So basically this means that house prices are still rising, but fortunately interest rates have remained stable with no rise in the Official Cash Rate (OCR) in the last two review periods, remaining at 3.5%. The low of 2.5% enjoyed since March 2011 won’t be coming back, but it is a good time to consider your mortgage position should renewals, or a house purchase be on the cards. Just for

planning purposes, there are OCR reviews in December and January, with an indication by the Reserve Bank that increases will be forthcoming during this period. An increase could put a damper on the holidays with those on floating rates.

As well as the market turning, we also have a great interest rate environment at the moment, and therefore you could be on to a winner. Banks

over the last few weeks have really tried to stimulate the market by offering a variety of “specials”. If you purchase now or just simply choose to fix your mortgage on a great low rate it will not only help you with budgeting but takes the stress away of having to constantly think about your mortgage.

It’s always good to review options and check out what is available so you are ready to move before rates do. I am happy to help review portfolios to see if there is any better options available, or help get you into that home you always wanted.

When Claudia Zinzan and Nick Hutchinson bought their first home at 14 Cockburn Street in
